sec.53BY Director not to participate in decision-making
Unless the board otherwise directs, the director must not— be present when the board considers the matter; or take part in making a decision of the board about the matter. The director must not be present when the board is considering whether to give a direction under subsection (1) . The directors present are a quorum for making a decision mentioned in subsection (1) (b) . s 53BY ins 2024 No. 29 s 20 (sec.53BY-ssec.1) Unless the board otherwise directs, the director must not— be present when the board considers the matter; or take part in making a decision of the board about the matter.
