sec.53BI Role of president of board of corporation

The president of the board of the corporation is responsible for helping the board of the authority perform its functions. For subsection (1) , the president may attend a board meeting if invited by the chairperson and may participate in the board’s deliberations. However, the president may not vote at the board meeting. Subsection (5) applies if— the president has a direct or indirect interest in a matter being considered, or about to be considered, at a board meeting attended by the president under this section; and the interest could conflict with the performance of the president’s functions under subsection (1) . As soon as practicable after the relevant facts come to the president’s knowledge, the president must disclose the nature of the interest at the board meeting.
