sec.37 Application of subdivision
This subdivision applies if— a director has a direct or indirect interest in a matter being considered, or about to be considered, at a board meeting; and the interest could conflict with the proper performance of the director’s duties about the consideration of the matter. However, if the director is an elected office holder this subdivision does not apply in relation to an interest of the director held in the director’s capacity as an elected office holder. (sec.37-ssec.1) This subdivision applies if— a director has a direct or indirect interest in a matter being considered, or about to be considered, at a board meeting; and the interest could conflict with the proper performance of the director’s duties about the consideration of the matter. (sec.37-ssec.2) However, if the director is an elected office holder this subdivision does not apply in relation to an interest of the director held in the director’s capacity as an elected office holder.
- (a) a director has a direct or indirect interest in a matter being considered, or about to be considered, at a board meeting; and
- (b) the interest could conflict with the proper performance of the director’s duties about the consideration of the matter.
