Botanic Gardens and State Herbarium Act 1978

The Act is organised around a few core legal concepts and trade-offs: a statutory corporate Board with juristic capacity (s 6(2)); delegated administrative governance through a Director and staff (ss 12, 20); a finely enumerated set of functions and powers that blend public amenity, scientific collection, education, and commercial activity (s 13); constrained property alienation requiring parliamentary resolution (s 14); financial controls tying borrowing, investment and guarantees to Treasurer consent (ss 17-18); and a regulatory scheme for controlling public access, fees, parking and enforcement (s 27). The Act treats offences as summary matters (s 25), and sets specific offences for damage to Board property and for lighting fires except as authorised (ss 24, 24A).

Key concept: dual public and commercial mandate. Section 13(1) lists public-facing functions such as establishing and maintaining gardens for public use (s 13(1)(a)), exhibitions, herbarium maintenance and research (s 13(1)(b)-(h)), and dissemination of information (s 13(1)(i)). At the same time s 13(1)(j) explicitly permits the Board to engage in commercial activities for financial or reputational benefit, and ss 13(2)(g), (hc), (hd)-(hg) elaborate powers to operate refreshment amenities, venues, events, advertising, sponsorship, and to charge fees for specific services and events. The Act therefore places the Board at the interface of public amenity and revenue-earning enterprise, with statutory limits such as s 13(5) which prohibits charging for general admission to gardens, except as provided in s 13(2)(hf) and regulations (s 27(2)(c)-(d)).

Financial control is a second organising concept. Borrowing from non-Treasury sources requires Treasurer consent, and liabilities incurred with that consent are guaranteed by the Treasurer (s 17(1)-(2)). Investments by the Board in shares or other securities require Treasurer approval (s 18). The Board may open ADI accounts with signing rules (s 19). Accounts must be kept in a Treasurer-approved form and are subject to annual audit by the Auditor-General (s 22). The Board must produce an annual report incorporating audited accounts by 30 September each year and the Minister must lay copies before Parliament within 12 sitting days (s 23).

Property controls and parliamentary oversight form a third concept. While the Board may acquire, lease, manage and dispose of interests in land and property for its functions (s 13(2)(a), (f)), s 14(1) forbids disposal of any interest in land vested in it or divesting control of land placed under its control except by resolution of both Houses of Parliament, with notice requirements of not less than fourteen sitting days (s 14(2)). This creates a constitutional-like safeguard for core public land. Leases and licences for management-connected purposes are expressly excluded from that parliamentary resolution requirement (s 14(3)).

Regulation and enforcement is the fourth concept. The Governor may make regulations on recommendation of the Board (s 27(1)). The powers expressly include setting conditions of access, prescribing fees for certain facilities and services, conferring powers on the Director and staff to enforce regulations, regulating vehicular access and parking, fixing expiation fees and prescribing offences with penalties not exceeding a Division 7 fine (s 27(2)). The Act also contains specific criminal offences for damage to Board property and unauthorised fires, with courts empowered to order compensation on conviction (s 24(2)).

Governance features include specified Board size and appointment mechanics (s 7, s 8), election of a presiding member annually (s 10), quorum rules (s 11), Director attendance at meetings unless excused (s 12), and delegation rules that leave the Board able to act directly while revoking delegations at will (s 16). Those provisions distribute decision-making between politically appointed Board members, the Minister with general control (s 15), and the Director as the public service executive (s 20(2)).

Finally, legal process concepts appear in the offence regime, expiation scheme cross-reference to the Acts Interpretation Act schedule with divisional penalties and expiation fees (Appendix), and the summary nature of offences (s 25). The Act interlocks with Commonwealth training legislation for education and training responsibilities (s 13(4)), and ties some fee and parking rules to later amendments including the Public Holidays Act 2023 as reflected in s 27(3) amendments.

Primary legal actors under the Act are the Board, the Minister, the Treasurer, the Director, Board staff, persons appointed as deputies to Board members, and any persons who occupy, use, maintain, or interact with gardens and land vested in or under the control of the Board. Section 6 creates the Board as a corporate legal person with capacity to enter contracts, hold property, sue and be sued, and the Board’s membership is made up of eight ministerial appointees (s 7). Members and deputies have statutory terms, removal grounds and eligibility for reappointment (s 8). The Minister retains general control and direction over the Board’s exercise of functions, powers and duties (s 15), which affects strategic direction, policy priorities and operational oversight.

Financial actors include the Treasurer, whose consent is required for certain investments and borrowing by the Board (ss 13(3), 17-18). The Treasurer also guarantees liabilities incurred with consent under s 17(2) and the guarantee is to be met out of the Consolidated Account (s 17(3)). The Auditor-General has audit rights and must audit at least annually (s 22(2)). Public Service employment rules affect the Director and some staff categories; the Director must be a public service employee and other staff may be public servants, ministerial appointees, or Board appointees with Commissioner for Public Employment approval (s 20).

Members of the public using the gardens are affected in several ways. The Board is required to establish and maintain gardens for public use and enjoyment (s 13(1)(a)), but the Act limits the Board’s ability to charge for general admission (s 13(5)). Visitors may be subject to regulations about access, parking, bringing animals, and use of facilities (s 27(2)(a), (g), (h)). People who damage Board property commit a summary offence and may face a Division 6 penalty and a court-ordered compensation payment (s 24). Persons who light fires on prescribed land without authorisation commit an offence punishable by Division 6 penalties and potentially an expiation fee (s 24A).

Commercial operators, contractors, licensees and lessees are materially affected. The Board may enter into leases, licences, partnerships, joint ventures, and contracts for services and facilities such as refreshment amenities and events (s 13(2)(g), (h), (hb), (hc), (hd)). The Board may also grant advertising and sponsorship rights and acquire and dispose of intellectual property (s 13(2)(ha), (hg)). However, disposal of interests in land is constrained by s 14 and requires parliamentary resolution except for leases or licences connected with garden management (s 14(3)). Entities providing education and training must comply with Commonwealth registration requirements where applicable; s 13(4) explicitly provides that the Board may take necessary steps to comply with laws including registration as a registered training organisation under the National Vocational Education and Training Regulator Act 2011 (s 13(4)).

Regulatory interaction affects vehicle owners and drivers, who may be made guilty of offences under regulations, with expiation fees and evidentiary rules varying by regulation (s 27(2)(gb)-(gf), (gc)). Owners and drivers must note that regulations may fix expiation fees and that Sunday and public holiday parking fees are prohibited under s 27(3) following amendment by the Public Holidays Act 2023.

Researchers and donors to the herbarium are affected because the Board may accumulate and, subject to the Act, retain original specimens in the herbarium (s 13(1)(c)), but the Board is also explicitly not required to accept material it considers not justified for collection and classification (s 13(1a)), and it may dispose of objects of scientific or historical interest (s 13(2)(f)). That creates choices for donors and researchers about accession and custody.

Finally, the Parliament and the courts are affected by the Act’s procedural hooks. Disposal of land requires resolutions of both Houses with notice of not less than fourteen sitting days (s 14(1)-(2)). Courts have discretion upon conviction for property damage to order compensation payable to the Board (s 24(2)). The Minister must table annual reports within 12 sitting days of receipt (s 23(3)).

Who pays. The Act allocates costs to various actors: Parliament funds the Board in the first instance (s 26), the Board may raise revenue through permitted commercial activities, fees for specific services and facilities as authorised under s 13(2)(hf) and regulations (s 27(2)(c)-(d)), and third parties contracting with the Board may bear costs under their contractual arrangements. Where the Treasurer guarantees a liability, the Consolidated Account ultimately satisfies the guarantee if called (s 17(3)). Offending individuals may pay fines, expiation fees and compensation as ordered by a court (ss 24, 24A, Appendix).

This section lists the Act’s principal duties imposed on the Board, the Minister, the Director and others, and the rights or discretions the Act grants. Each duty or power below is cited to the statutory provision.

Duties and functions of the Board

• Duty to establish and maintain gardens for public use and enjoyment (s 13(1)(a)). This is an operative public-service function rather than a discretionary promotional clause.
• Duty to establish and maintain a herbarium and, subject to the Act, retain original specimens included in the herbarium (s 13(1)(c)). That duty is limited by s 13(1a), which permits the Board to decline to accept or retain material it does not consider justified for collection and classification.
• Duties to accumulate, care for and classify specimens and data, to manage lands and premises vested in or under control of the Board, and to carry out or promote research and dissemination (s 13(1)(d)-(i)).
• Duty to manage Board funds and apply them in accordance with trust instruments or other instruments affecting those funds (s 13(1)(g)).
• Duty to provide education and training courses, including vocational education, whether commercially or otherwise, and to provide consultant services (s 13(1)(k)-(l)), subject to compliance with applicable registration and legal requirements (s 13(4)).
• Duty to produce accounts and an annual report incorporating audited accounts and to have accounts audited at least annually by the Auditor-General (ss 22-23).
• Duty not to charge or collect fees for admission to the gardens or land generally, except as permitted under s 13(2)(hf) and regulations (s 13(5)).

Powers of the Board

• Power to acquire and dispose of interests in land and buildings, plant and equipment, personal property and collections, to borrow with Treasurer consent, and to form or acquire corporate interests and securities subject to Treasurer approval for certain classes (s 13(2)(a)-(fb), (ha)-(he), (hf)-(hg); s 13(3)).
• Power to establish and manage refreshment and eating amenities, operate venues and events, grant advertising and sponsorship rights, and regulate admission to events (s 13(2)(g), (hc)-(hd), (he)-(hg)).
• Power to enter into partnerships, joint ventures, contracts, and to carry out promotional activities (s 13(2)(hb), (hc), (hc)-(hg)).
• Power to determine, charge and collect fees and charges for admission to special exhibitions and for education and services, subject to regulatory constraints (s 13(2)(hf)).

Constraints and rights of other persons

• Minister’s control: the Board is subject to the general control and direction of the Minister in performing its functions, except when making or required to make a recommendation to the Minister (s 15). This places strategic oversight with the Minister while reserving discrete recommendation-making functions to the Board.
• Treasurer’s financial approvals and guarantee: the Board cannot exercise certain powers to deal in shares or borrow without Treasurer approval (s 13(3)); borrowing from non-Treasury sources requires Treasurer consent and is guaranteed by the Treasurer (s 17(1)-(2)); investments require Treasurer consent for approval of the investment manner (s 18).
• Director’s duties: the Director must attend every meeting of the Board unless excused (s 12), and the Director is a public servant (s 20(2)). The Director has administrative responsibilities and is the officer through whom staff and operational actions flow.
• Delegation: the Board may delegate to any Board member, the Director or other officer any of its powers or functions; delegations are revocable at will and do not derogate from the Board’s ability to act itself (s 16).
• Rights to charge: the Board has a restricted right to charge fees for certain admissions, education and services as specified in s 13(2)(hf) and allowed by regulation (s 27(2)(c)-(d)). The Act expressly prohibits general admission charges to the gardens (s 13(5)).
• Regulatory approvals: the Director may authorise lighting of fires on prescribed land either by signposted general authorisation (s 24A(3)) or by application with conditions, variation or revocation powers (s 24A(4)-(5)). This creates an operational discretion affecting visitors, contractors and event organisers.

Reporting and accountability duties

• Accounts in Treasurer-approved form and annual audit by the Auditor-General, with audited statements incorporated in the annual report (s 22(1)-(2); s 23(2)).
• Annual reporting to Minister by 30 September, with the Minister required to lodge copies before both Houses within 12 sitting days of receipt (s 23(1), (3)).
• Use of Parliamentary resolution for disposal of land vested in or under the control of the Board with notice of not less than fourteen sitting days before the motion (s 14(1)-(2)). Leases and licences for management-connected purposes are excepted (s 14(3)).

Offences and enforcement duties

• It is an offence to damage, mutilate, destroy or remove from the possession of the Board any property vested in or under the control of the Board without authority, punishable by Division 6 penalties and subject to court-ordered compensation (s 24(1)-(2)).
• It is an offence to light or maintain a fire on prescribed Board land except as authorised, punishable by Division 6 penalties and, for expiation, a Division 7 fee where applicable (s 24A(1), Appendix).
• Regulations made under the Act may confer powers on the Director and staff for enforcement, create offences with specified maximum penalties not exceeding a Division 7 fine, and fix expiation fees (s 27(2)(ba), (j), (ge)).

Rights of the Board as a juristic entity

• The Board is a body corporate with full juristic capacity (s 6(2)), including presumption that documents bearing the common seal are properly sealed in legal proceedings absent contrary proof (s 6(3)). This establishes legal certainty and transactional capacity.

Collectively, the Act creates a structured set of duties and powers balancing a custodial scientific and public amenity role with explicit, though circumscribed, commercial and revenue-raising capacities, subject to ministerial and Treasury controls and judicial remedies for offences.

The Act establishes a mixed enforcement regime combining criminal sanctions, court-ordered compensation, expiation fees and regulation-based offences with capped penalties. Offences under the Act are defined as summary offences (s 25). The principal statutory offences and their enforcement mechanisms are as follows.

Damage to Board property (s 24)

• Substance: A person who, without the Board’s authority, damages, mutilates, destroys or removes from the Board’s possession any property vested in or under the control of the Board commits an offence (s 24(1)).
• Penalty: The Act prescribes the penalty as "Division 6 fine or division 6 imprisonment" (s 24(1)). The Appendix maps Division 6 to a maximum imprisonment of 1 year, a maximum fine of $4,000 and an expiation fee of $300. However, s 24(1) specifies imprisonment or fine; the Appendix clarifies statutory maxima applicable to Division 6 offences.
• Court powers: On conviction, the court may order payment of compensation to the Board for damage or destruction of property (s 24(2)). The section also notes that it does not derogate from any other criminal liability a person may have (s 24(3)), which leaves open more serious criminal liability under other statutes where applicable.

Unauthorised lighting of fires on prescribed land (s 24A)

• Substance: A person must not light or maintain a fire on any land vested in or under the control of the Board, except as authorised under the section (s 24A(1)). Prescribed land is defined to include Wittunga Botanic Gardens and Botanic Park in Adelaide and any other land prescribed by regulation (s 24A(6)).
• Penalty: S 24A(1) prescribes a "Division 6 fine or division 6 imprisonment" and an expiation fee of Division 7 is also included in the section text. The Appendix records the Division 7 expiation fee as $200 and maximum imprisonment 6 months and maximum fine $2,000 for Division 7. The inclusion of an expiation fee provides a summary disposal pathway outside of prosecution for certain breaches, subject to the expiation scheme.
• Authorisations and defences: The Director, staff or persons performing authorised services on behalf of the Board are excluded from the prohibition when acting in the course of official duties (s 24A(2)(a)-(c)). The Director may authorise lighting in barbecues or similar receptacles by placing signs on land, and may authorise other fires on application subject to conditions and revocation (s 24A(3)-(5)). Those authorisations are definitional defences to the offence.

Regulation-based offences and enforcement powers (s 27)

• The Governor may make regulations on the Board’s recommendation covering a wide array of matters including conditions for access and use of gardens, recovery of charges for specific facilities (for example the Bicentennial Conservatory), payment and recovery of parking fees, prohibition of bringing animals or specified things onto Board land, and fixing expiation fees (s 27(2)(a)-(i), (ge)).
• The regulations may confer powers on the Director or staff to enforce the regulations (s 27(2)(ba)), and may provide for offences punishable by fines not exceeding Division 7 (s 27(2)(j)). The regulations may also expressly make owners and drivers guilty of offences for vehicle contraventions and provide for evidentiary rules (s 27(2)(gc), (gf)).
• Expiation scheme: The Act contemplates expiation fees for certain regulatory contraventions (s 27(2)(ge)). The Appendix provides the numeric values of divisional fines and expiation fees as at publication, and other legislation such as the Statutes Amendment and Repeal (Common Expiation Scheme) Act 1996 may affect transitional operation for expiation notices (Legislative history, Sch cl 6; transitional provision in 1996 Act).

Prosecutorial posture and remedies

• Offences under the Act are summary only (s 25), so prosecutions proceed in magistrates courts or their statutory equivalents under the summary process. The court retains discretion to order compensation for damage to property on conviction (s 24(2)).
• The Act permits the Director and staff, via regulation-making, to have enforcement powers, and to provide for procedural and evidentiary matters related to enforcement of parking and vehicle offences on Board land (s 27(2)(ba), (gd), (gf)). The Director’s authorisation powers for fires operate administratively to avoid criminality for authorised activity (s 24A(3)-(5)).

Limits on penalties

• The Act limits maximum penalties for regulations to Division 7 fines (s 27(2)(j)), while the core statutory offences listed in ss 24 and 24A are Division 6. The Appendix must be consulted for the dollar values and maximum terms associated with Divisions 6 and 7; the Appendix shows Division 6 maximum fine $4,000 and Division 7 maximum fine $2,000, with corresponding imprisonment maxima and expiation fees.

Enforcement risk and administrative discretion

• Enforcement relies significantly on delegation and regulation. Section 27(2)(ba) permits regulations to confer enforcement powers on the Director or staff. Delegations under s 16 are revocable at will and the Board remains able to act, so enforcement arrangements may be operationalised through Board policy, director authorisations and regulations together. That creates compliance points where the Board’s administrative practice will determine day-to-day enforcement intensity.

Overall, the enforcement architecture combines criminal penalties for damaging property and unauthorised fires, an expiation regime for certain contraventions, and regulation-enabled administrative enforcement focused on vehicle control, access conditions and fees for specific facilities. Crown financial exposure exists where the Treasurer’s guarantee is invoked under s 17(2) and s 17(3) directs satisfaction from the Consolidated Account.

The Act expressly cross-references and creates dependencies with other statutory frameworks at the State and Commonwealth level, and embeds institutional interactions with the Treasurer, the Auditor-General and the Public Service. The statute also contemplates that subordinate legislation and later amendments may modify operational detail. The principal interactions recorded in the text are as follows.

Commonwealth vocational education regulation

• Section 13(4) expressly permits the Board to take necessary action to comply with laws of South Australia or the Commonwealth in relation to provision of education and training, including complying with requirements for registration and maintaining registration as a registered training organisation under the National Vocational Education and Training Regulator Act 2011 (Commonwealth). This is an explicit cross-jurisdictional compliance obligation for any vocational education activities undertaken by the Board.

Treasury and public finance law

• Borrowing, investment and guarantees are integrated into State public finance systems. The Board may borrow money from the Treasurer or, with Treasurer consent, from other persons (s 17(1)). Liabilities incurred with Treasurer consent are guaranteed by the Treasurer (s 17(2)), and the guarantee is to be satisfied out of the Consolidated Account which is appropriated to that end (s 17(3)). Investments of Board funds otherwise not immediately required must be made with Treasurer consent and as the Treasurer approves (s 18). The Board’s accounts must be prepared in a form approved by the Treasurer and are subject to audit by the Auditor-General (s 22(1)-(2)). The Treasurer’s and Auditor‑General’s roles embed public financial controls and accountability requirements imposed by general State finance legislation and doctrine.

Public Service employment and Commissioner for Public Employment

• The Director is required to be employed in the Public Service of the State (s 20(2)). Other staff may be public servants, ministerial appointees, or Board appointees appointed with the approval of the Minister and on terms and conditions approved by the Commissioner for Public Employment (s 20(3)). Those references import public sector employment frameworks and related statutory employment obligations.

Parliamentary procedure and property safeguards

• Disposal of land vested in the Board or divestment of control of land placed under its control is subject to both Houses’ resolution with at least fourteen sitting days notice (s 14(1)-(2)). That procedure interacts with parliamentary standing orders and change of land status through legislative or procedural mechanisms, creating an institutional check beyond executive action.

Expiation and criminal procedure

• The Act’s summary offences and expiation fee regime interact with statewide criminal and expiation frameworks. The Legislative history references the Statutes Amendment and Repeal (Common Expiation Scheme) Act 1996 and transitional provisions that maintain continuity for expiation notices (Transitional provisions, Statutes Amendment and Repeal (Common Expiation Scheme) Act 1996, s 5). The Appendix cross-references the Acts Interpretation Act 1915 s 28A for divisional penalty schedules, linking to general State penalty architecture.

Regulatory limits tied to public holidays

• Section 27(3) forbids regulations under this Act imposing or authorising the imposition of a fee (other than an expiation fee) for parking or standing of vehicles on a Sunday or public holiday. The Legislative history notes an amendment from the Public Holidays Act 2023 that took effect 1 January 2024, which amended s 27(3). This cross-references the State’s public holiday regime and limits fee-setting policy under this Act accordingly.

Local government and event law (indirect)

• While the Act does not expressly reference local government, the Board’s powers to regulate vehicle use and parking and to conduct events, manage venues, and grant licences and concessions (s 13(2)(g), (hc)-(hd); s 27(2)(g)-(gb)) may implicate local planning, liquor licensing, food safety, building, and health laws when events or premises require compliance with those external regimes. The Act does not displace those regimes; it operates alongside them.

Intellectual property and corporate law

• The Board may acquire, hold and dispose of intellectual property, licences, patents and copyright and other property or interests (s 13(2)(ha)). Those powers will interact with State and Commonwealth IP law, and corporate law where the Board forms, acquires or holds interests in bodies corporate or issues and deals in securities (s 13(2)(fa), (ha)). Section 13(3) requires Treasurer approval for dealing in shares or borrowing arrangements subject to s 13(2)(fa) or (fb), adding a public finance overlay to corporate activities.

Court compensation powers

• The courts’ ability to order compensation to the Board for damage on conviction (s 24(2)) connects the Act’s enforcement with general criminal sentencing and restitution powers under State criminal procedure law.

Regulations and delegated enforcement

• Section 27(2)(ba) permits regulations to confer enforcement powers on the Director and staff, which will operate with general principles of administrative law governing delegations, procedural fairness and the exercise of statutory powers.

In sum, the Act intentionally situates the Board within the State’s public finance, public service employment, training regulation, and parliamentary property protection frameworks. Practically, any significant borrowing, investment, land disposal, vocational training or commercial activity will generate touchpoints with Treasury, the Auditor-General, Commissioner for Public Employment, Commonwealth training law, and parliamentary procedures.

The Act’s legislative history shows multiple amendments since its commencement in 1978. The source provides a run of principal amendments with dates and brief descriptions of which provisions were varied. Below is a structured, source-grounded chronology and the concrete changes recorded in the text.

Principal and repeal information

• Principal Act: Botanic Gardens Act 1978, No 19, assented 23 March 1978, commenced 5 October 1978 (Gazette 5.10.1978 p1106).
• The principal Act has been retitled and amended to become the Botanic Gardens and State Herbarium Act 1978. Earlier botanic garden statutes repealed by the 1978 Act are listed in the source (Botanic Garden Act 1935 and multiple amendment Acts).

Major amendment milestones

• 1992: Botanic Gardens (Miscellaneous) Amendment Act 1992, No 59, assented 12 November 1992, many substantive substitutions and amendments commenced 1 August 1993 (Legislative history entries for s 1, s 6, s 8, s 9, s 10, s 11, s 12, s 13, s 14, s 15, s 16, s 17, s 18, s 19, s 20, s 21, s 22, s 23, s 24, s 25, s 26, s 27). The 1992 amending Act substituted and restructured many of the governance, functions and reporting provisions. It also inserted s 13(1a) permitting the Board not to accept material it does not consider justified for collection.

• 1996: Statutes Amendment and Repeal (Common Expiation Scheme) Act 1996, No 34, assented 2 May 1996, with transitional effect for certain clauses from 3 February 1997 for expiation matters (Sch cl 6,a transitional provision noted in the source). This Act adjusted expiation arrangements and is reflected in the Act’s cross-references to the expiation scheme.

• 1999: Financial Sector Reform (South Australia) Act 1999, No 33, amended s 19(1) on 1 July 1999 to permit the Board to establish accounts at any ADI, reflecting financial sector reform and transfer date coordination.

• 2005: Botanic Gardens and State Herbarium (Lighting of Fires) Amendment Act 2005, No 72, assented 8 December 2005 and commenced 8 December 2005. This amendment inserted s 24A, the lighting-of-fires prohibition and Director-authorisation framework (s 24A(1)-(6)).

• 2009: Statutes Amendment (Public Sector Consequential Amendments) Act 2009, No 84, assented 10 December 2009. Certain provisions (for example s 9(2) previously) were deleted by this Act as reflected in the text (1 February 2010 commencement for parts noted).

• 2015: Statutes Amendment (Boards and Committees,Abolition and Reform) Act 2015, No 8, assented 18 June 2015 and relevant parts commenced 1 July 2015. This Act amended board composition and appointment provisions (s 7 and s 8 amendments noted in the legislative history; Pt 6 ss 37 & 38).

• 2023: Public Holidays Act 2023, No 39, assented 7 December 2023. Schedule 1, clause 4 amendment to s 27(3) took effect 1 January 2024, altering the rule that no regulation under this Act may impose, or authorise the imposition of, a fee other than an expiation fee in respect of parking or standing of a vehicle on a Sunday or a public holiday.

• 2024: Botanic Gardens and State Herbarium (Miscellaneous) Amendment Act 2024, No 4, assented 29 February 2024 and commenced 2 May 2024. The 2024 Act amended s 13(1) and s 13(2), and inserted ss 13(3)-(5) as recorded; it also amended s 27 (s 27(2) variations). The legislative history indicates s 13(1) was substituted and s 13(2) amended by 4/2024 s 3(1)-(4) and that new subsections s 13(3)-(5) were inserted by the 2024 Act.

Transitional provisions

• The 1992 amending Act included a transitional provision confirming continuity of the Board and continuation in office of members in office immediately before commencement (Transitional provision s 13). The Statutes Amendment and Repeal (Common Expiation Scheme) Act 1996 contains transitional provisions preserving the operation of earlier Acts with respect to expiation notices issued under repealed or amended Acts (Transitional provision s 5).

Provisions amended (textual detail)

• The legislative history section itemises which specific sections were substituted, amended, deleted or inserted by each Act. For example, s 6(1) was substituted by the 1992 Act, s 10 substituted by 1992, s 13(1) substituted by 1992 and later amended by the 2024 Act, s 24A was inserted by 2005, s 21 was deleted by the 2009 Act, and many regulatory paragraphs in s 27(2) were added or amended in 1992, 1996, 2005, and 2024.

Practical implication of amendments

• The 1992 restructure appears to have modernised governance, expanded the Board’s powers, and inserted significant administrative provisions such as the annual report and audit regime now in ss 22-23. The 2005 insertion of s 24A created a fire control offence and an administrative authorisation process for fires on specified Board land. The 2015 reforms altered appointment and tenure arrangements for Board members, part of a broader State reform of boards and committees. The 2024 amendments modified the Board’s functions and regulatory reach, including explicit constraints requiring Treasurer approval for certain financial dealings (s 13(3) as recorded). The 2023 Public Holidays Act amendment constrained parking fee-setting for Sundays and public holidays (s 27(3)).

The legislative history in the source is explicit about the amendments and their commencement dates. Practitioners should consult the version of the Act in force at any relevant date and the Gazette citations provided in the source for precise timing of changes.

The source document supplied contains no reported cases, judicial decisions, or litigation history under the Act. There are no statutes or cases named in the text as having interpreted the Act, and the legislative history lists only Acts and amendments, not judicial rulings.

What the Act itself provides about judicial remedies and court involvement is limited to:

• Court discretion on conviction to order compensation for damage to Board property (s 24(2)).
• Summary offence procedure governed by general criminal procedure law, since the Act specifies offences are summary offences (s 25).
• The Act’s enforcement design includes expiation fees, administrative authorisations and regulations, but it does not create a bespoke tribunal or civil penalty regime that would generate a specialised body of civil litigation within the statute.

Because the source lists no cases, there is no source-grounded litigation history to summarise. Users requiring common law or statutory interpretation history should consult court databases and law reporting services for any decisions that have applied or construed the Botanic Gardens and State Herbarium Act 1978. The Act’s provisions that a court may order compensation and that offences are summary in nature indicate the likely forum for enforcement is the State’s magistrates court or equivalent, but specific litigation patterns and appellate treatment are not evidenced in the supplied text.

The Act contains several operational and legal traps for the unwary. The following points derive directly from the statutory text and should be considered by Board members, staff, contractors, lessees, donors, event organisers, and counsel advising them.

Parliamentary resolution required to dispose of Board land (s 14)

• The Board may not dispose of any interest in land vested in it, nor be divested of control of land placed under its control, except pursuant to a resolution passed by both Houses of Parliament (s 14(1)). Notice of the motion must be given not less than fourteen sitting days before passage (s 14(2)). Practitioners sometimes overlook this procedural hurdle and treat leases or long-term arrangements as disposals. The Act does provide an exception for leases or licences granted for purposes connected with or incidental to garden management (s 14(3)), but the line between a management-related lease and a substantive disposal can be contested. Any transaction entailing significant alienation of land rights requires parliamentary process.

Limits on admission charges and the narrow fee window (s 13(5), s 13(2)(hf), s 27(2)(c)-(d))

• The Board may not charge or collect fees for admission to the gardens or other land under its control except as permitted in s 13(2)(hf). Section 13(2)(hf) allows fees for admission to exhibitions, events or activities conducted on special occasions or for special purposes, and for education and training or other services. Regulations may prescribe charges for specific facilities such as the Bicentennial Conservatory and for services (s 27(2)(c)-(d)). This creates a constrained revenue model for events and facilities; care must be taken not to label general admission as a "special occasion" fee, and regulatory drafting must align with the statutory exceptions.

Treasurer consent and guarantee obligations (ss 13(3), 17-18)

• The Board needs Treasurer approval before exercising powers to form, acquire, hold or dispose of shares or securities (s 13(3) referring to s 13(2)(fa)) and before borrowing from non-Treasury sources s 17(1). Liabilities incurred with Treasurer consent are guaranteed by the Treasurer (s 17(2)), with satisfaction so guaranteed to be met from the Consolidated Account (s 17(3)). This exposes the Board to Treasury oversight and potential public finance scrutiny. The guarantee mechanism means that a Board decision to borrow with Treasury consent converts a contingent Board liability into a sovereign guaranteed obligation, with appropriation implications.

Director attendance and delegation nuance (ss 12, 16)

• The Director must attend every meeting of the Board unless excused by the Board (s 12). Delegations made by the Board to members, the Director or officers are revocable at will and do not derogate from the Board’s power to act itself (s 16). Practically, delegations should be documented with clarity about scope, authority and revocation, because they can be withdrawn and the Board remains potentially liable for decisions taken under purported delegations.

Retention and disposal of specimens (ss 13(1)(c), 13(1a), 13(2)(f))

• Section 13(1)(c) obliges the Board to establish and maintain a herbarium and, subject to the Act, retain original specimens. Yet s 13(1a) gives the Board discretion not to accept or retain material it does not consider justified for collection and classification, and s 13(2)(f) authorises disposal of interests in objects or things of scientific or historical interest. Donors and researchers should note that statutory duties to retain are not absolute; the Board has both discretion to refuse accession and power to dispose of accumulated material. Legal expectations regarding custody, loans, and provenance should be contractually recorded.

Fire authorisation regime and prescribed land scope (s 24A)

• The prohibition on lighting fires applies to prescribed land defined in s 24A(6). The Director may authorise lighting via signs or on application, with conditions and revocation powers (s 24A(3)-(5)). Failure to obtain authorisation on prescribed land risks Division 6 penalties and potential expiation. Event organisers must proactively secure Director authorisations in writing and ensure compliance with conditions; relying on implied permissions or third-party permits risks criminal liability.

Delegation of enforcement powers via regulation (s 27(2)(ba))

• Regulations may confer enforcement powers on the Director and staff. Since delegations are revocable, an enforcement power conferred by regulation may be exercised differently over time depending on Board policy and delegation practice. The Act leaves important enforcement detail to regulations, so rights and obligations of users can shift when regulations are made or amended.

Parking and public holiday constraints (s 27(3))

• Regulations may provide for the payment and recovery of fees for parking (s 27(2)(ga)), but s 27(3) prohibits regulations imposing or authorising fees for parking or standing of vehicles on Sundays or public holidays, except expiation fees. Following the 2023 Public Holidays Act amendment, this is a live constraint on revenue models for parking; operators cannot rely on weekend or public holiday parking fees.

Limits on regulatory penalties (s 27(2)(j))

• Regulations made under the Act may prescribe penalties not exceeding a Division 7 fine. This caps regulatory penalty exposure and sets the top of administrative sanctioning powers that can be conferred by regulation rather than by primary legislation.

Summary offence status for regulatory and substantive breaches (s 25)

• All offences under the Act are summary offences. The summary nature may limit maximum penalties and procedural avenues for enforcement, but also generally expedites proceedings. Parties should be aware that criminal consequences, including imprisonment in Divisions 6 or 7 for the Act’s principal offences, remain possible.

Board corporate capacity and seal presumption (s 6(2)-(3))

• Section 6(3) creates a presumption in legal proceedings that a document purporting to bear the Board’s common seal was duly affixed unless the contrary is proved. This shifts evidentiary burdens in commercial transactions and administrative documentation and may affect due diligence assessments.

No explicit immunity for contractors or licencees from Act offences

• Persons employed or engaged on behalf of the Board are exempt from the fire prohibition only when performing authorised services (s 24A(2)(b)). Contractors and lessees must ensure appropriate contractual authorisations and compliance. There is no blanket statutory immunity; authorised status must be factual and contemporaneously documented.

In short, the Act preserves significant discretion for the Board and the Director while constraining certain strategic financial and land transactions. Practical compliance requires attention to parliamentary procedures, Treasurer approvals, Director authorisations, regulatory content and prescribed land lists.

This section sets out concrete, source-grounded steps that the Board, Director, staff, contractors, lessees, event organisers, researchers, donors and legal advisers should take to comply with the Act’s provisions.

Governance and Board processes

• Appointments and terms: Ensure ministerial appointments comply with s 7 and appointment terms do not exceed four years unless set otherwise by the Minister; record reappointment eligibility and deputy appointments in line with s 8(1)-(2). Establish clear written appointment instruments documenting terms, conditions and the deputy arrangement.
• Presiding member election: Conduct an annual election in July for the presiding member as required by s 10(1) and document the result, any interim elections needed under s 10(3), and declarations of eligibility.
• Quorum and decision-making: Operate Board meetings with a quorum of five members (s 11(1)) and minutes that reflect majority decisions (s 11(2)). Ensure the presiding member chairs meetings when present (s 11(3)).
• Director attendance: Require the Director to attend all Board meetings unless excused by resolution (s 12). Record any excusals to avoid procedural challenges.

Financial compliance and Treasury engagement

• Treasurer consents: Before taking actions that involve forming or dealing in corporate shares or securities as per s 13(2)(fa), or borrowing from non-Treasury sources per s 17(1), secure written Treasurer consent. File formal requests for consent with supporting financial analysis, purpose, and repayment arrangements to satisfy Treasury.
• Borrowing and guarantee implications: Where borrowing with Treasurer consent is approved, record the guarantee terms and the implication that any call on the guarantee will be met from the Consolidated Account (s 17(2)-(3)). Coordinate with Treasury and the Department of Treasury and Finance to manage contingent liabilities.
• Investment approvals: For investing Board funds not immediately required, obtain Treasurer consent and the Treasurer’s approval of the investment manner (s 18). Maintain investment policy documents reflecting those approvals.
• ADI accounts and signatory controls: Open ADI accounts in accordance with s 19 and operate them by cheque signed and countersigned by persons appointed by the Board. Implement internal controls, authorisation matrices and reconciliation procedures.

Accounts, audit and reporting

• Accounts: Keep proper accounts and prepare statement of accounts in the form approved by the Treasurer each financial year (s 22(1)). Implement accounting systems that produce audited financial statements compatible with Auditor-General requirements.
• Audit coordination: Facilitate at least annual audit by the Auditor-General (s 22(2)). Maintain documentation, asset registers, fixed asset policies, inventory control for collections and collections accession records to support audit.
• Annual report: Prepare and present the annual report to the Minister on or before 30 September, incorporating audited accounts (s 23(1)-(2)). Provide the Minister with required copies and coordinate tabling before both Houses within 12 sitting days of receipt (s 23(3)). Maintain a compliance calendar for statutory reporting timelines.

Land management and disposals

• Parliamentary disposal process: For any proposed disposal that could be characterised as divestment of land or change in control, seek parliamentary advice early, and if disposal is intended, prepare material for a motion and ensure a minimum of fourteen sitting days’ notice before passage as required by s 14(2). Where leases or licences are for purposes connected with or incidental to management, document the connection to fall within s 14(3).
• Leasing and licences: Draft leases and licences carefully to align with the exception in s 14(3) where the instrument is for management-related purposes. If a transaction goes beyond management-related purposes, secure parliamentary resolution.

Collections, accessioning and disposal policies

• Accession policy: Adopt written accession and deaccession policies compliant with s 13(1)(c) and s 13(1a). Given s 13(1a) allows refusal of material not justified for collection, ensure donor agreements and conditions reflect acceptance criteria. Record decisions and reasons for non-acceptance.
• Deaccession and disposal: When disposing of items of scientific or historical interest under s 13(2)(f), follow documented governance and, where required, ministerial or Board approval protocols to ensure transparency and legal defensibility.

Commercial activities, fees and education

• Fee regime compliance: Do not charge general admission to gardens or land except where specifically authorised under s 13(2)(hf) and consistent with regulations (s 13(5)). Establish pricing and fee schedules for exhibitions, special events, education and services that fit within s 13(2)(hf) and any relevant regulation made under s 27.
• Vocational training compliance: If offering vocational education and training, ensure registration and ongoing compliance as required by the National Vocational Education and Training Regulator Act 2011 where applicable (s 13(4)). Maintain training standards, registration records and quality assurance documentation.
• Commercial contracting: For partnerships, joint ventures or corporate share dealings, obtain Treasurer consent where required by s 13(3) and record conflict-of-interest management for Board members. Use standard procurement and contracting templates consistent with public sector requirements.

Regulatory and enforcement preparation

• Regulations monitoring: Monitor any regulations made under s 27 for conditions of access, vehicle regulation, prohibited things/animals, expiation fee schedules and enforcement powers. Ensure staff and security are trained in any enforcement powers conferred under regulations.
• Parking and vehicle rules: If implementing paid parking, confirm compliance with s 27(2)(ga)-(gb) and s 27(3) prohibition on charging on Sundays and public holidays. Maintain clear signage and ticketing systems consistent with regulations and expiation processes.
• Fire authorisations: For events or activities involving fires on prescribed land (s 24A(6)), apply to the Director for authorisation under s 24A(4) or rely on signposted authorisations under s 24A(3). Where authorisation is granted, document conditions and ensure compliance monitoring. For contractors or caterers, require written evidence of authorisation in contracts.

Staffing and delegations

• Delegation registers and policies: Maintain a delegation manual and register under s 16 that records delegations to Board members, the Director and officers. Although delegations are revocable at will, clear documentation reduces risk and clarifies operational roles.
• Public service employment compliance: Ensure the Director’s appointment is to the Public Service and that other staff appointments align with s 20(3) categories, with Commissioner for Public Employment approval for Board appointments where required.

Offence response and compounding

• Damage remediation and prosecution: Implement incident reporting and visitor complaint processes for damage to property. Where damage occurs, consider administrative remedies, claim for compensation under s 24(2) upon conviction, and coordinate with police or prosecutorial authorities if criminal action is contemplated.
• Expiation management: Where regulations and s 24A provide expiation options, manage expiation notices, revenue collection and record-keeping in accordance with the State’s expiation scheme, noting transitional provisions referenced in the legislative history.

Documentation and transparency

• Minutes and records: Keep minutes of Board meetings, Director authorisations (especially s 24A authorisations), delegation records, Treasurer consents, and copies of leases and licences to evidence compliance with s 14 procedures and other statutory obligations.
• Public disclosure: Publish annual reports promptly and ensure accessibility as required when the Minister tables them before Parliament (s 23(3)). Where fee waivers or reductions are applied under s 27(2)(da), ensure records of waiver decisions are retained.

Legal advice and reviews

• Seek legal advice early in transactions involving land disposal, significant borrowing, share dealings, or complex commercial arrangements. Review accession and deaccession policies with legal counsel to ensure compliance with retention and disposal powers in s 13.
• Undertake periodic compliance reviews aligned with audit cycles to ensure ongoing alignment with Treasurer-approved forms for accounts and Auditor-General audit expectations.

Implementing the above steps creates a compliance architecture directly tied to the Act’s text. Because the Act delegates significant operational detail to regulation and requires Treasurer and Ministerial consents for key financial and land-related transactions, proactive administrative planning and early engagement with Treasury and the Minister’s office are practical necessities.
