• Multiple layers of approval: Many powers require Treasurer approval; several require both the Treasurer and the Governor in Council on the Treasurer’s recommendation (s 20, s 21, s 22; see s 4(b) for incidental powers). Practically, an authority may need to secure both Treasurer and Governor in Council approvals, with attendant time and political considerations. Confirm precisely which approval is required for the intended transaction.

• Leasing limitations: Sections 8(2) and 9(2) state an authority may not obtain financial accommodation under those sections by granting or taking a lease of real or personal property. However, s 10 permits financial leases where the lease is part of a broader financial accommodation arrangement. Distinguish between operating leases and financial leases and ensure appropriate approval type is sought (see definitions in s 3 and the express carve‑outs in ss 8-10).

• Guarantees require Treasurer action: No automatic state guarantee attaches to an authority’s borrowing. Guarantees arise only where the Treasurer executes a certificate or guarantee in the prescribed form (ss 12-15). Authorities and creditors should not assume a guarantee exists absent a Treasurer execution in the prescribed form.

• Consolidated Fund exposure: Sums payable under guarantees are payable from the Consolidated Fund (s 16(1); Pt 5 s 30(6)). While this provides creditor comfort, it also means taxpayer funds are at stake, and the Treasurer can impose conditions (s 30(1)-(4)) for Pt 5 guarantees, including requiring creditors to exhaust other securities before the Treasurer’s guarantee is enforceable (s 30(4)).

• Assignment restrictions for Pt 5 guarantees: Pt 5 forbids assignment or encumbrance of the benefit of a guarantee without Treasurer written consent (s 30(5)), and further allows the Treasurer to require a creditor to exercise other securities prior to enforcement (s 30(4)). Creditors should obtain explicit consent and clarity on enforcement sequence before relying on assignment or sale of a guaranteed debt.

• Limited validation is circumscribed: The limited validation provisions (s 11AA and s 20A) protect third parties who entered in good faith and had no reason to suspect lack of authority, but they are limited in scope. A counterparty that had or should have had reasons to suspect an authority lacked power will not be protected. The provisions also apply in relation to transactions entered into before or after specified amendment commencements, but careful reliance on validation is required.

• Treasurer discretion and uncertain terms: The Treasurer determines guarantee terms and conditions (s 14(2), s 14A(2), s 29). Those terms are discretionary and may include requirements for securities, indemnities and other steps. Parties negotiating transactions with authorities should seek clarity in advance on whether a Treasurer guarantee is likely, on what terms, and whether it will be executed in the prescribed form.

• Regulations can substantially change application: Section 31 permits the Governor in Council to prescribe which sections apply to which bodies and to regulate forms and registers of securities. The operational details of issuing and transferring securities issued under this Act can therefore be governed by regulations that materially affect how a transaction is undertaken. Always check current regulations.

• Enforcement as Crown contract: Guarantees are enforceable as if contracts made on behalf of the Crown (s 17(2)). This brings Crown Proceedings Act rules into play, which may alter procedural and substantive expectations for enforcement (limitation periods, service, remedies, and possible defences).

• Interaction with other enabling statutes: Many amendments and sectoral Acts have altered how this Act applies to particular statutory bodies. Practitioners must check specific enabling or amending statutes for bespoke provisions, transitional rules and other constraints affecting a particular authority.

• No express penalty provisions in this Act: The Act does not specify penalties for unauthorised borrowing or investment. Consequences for such conduct may arise under the enabling legislation of an authority, general public law remedies, or commercial litigation; do not assume the Act itself supplies an enforcement penalty.

For an authority, creditor or adviser planning transactions under the Act, the following practical compliance checklist, drawn from the Act text, sets out the steps, documentation and approvals to obtain.

1. Confirm authority status and applicable sections

• Verify whether the body is prescribed as an "authority" and which sections of the Act apply. Section 3 defines "authority" as a person or body that is prescribed, and s 3A states a section applies to an authority only if it is prescribed as applying to that authority. Use s 31(1)(a)-(b) and current regulations to check prescription.

2. Identify the transaction type and applicable limits

• Determine whether the proposed transaction is an overdraft, loan, issue of securities, financial lease, investment, underwriting, or a financial arrangement as defined in s 3. Confirm whether leases are treated as financial accommodation or operating leases, and check limitations in ss 8(2) and 9(2) (leases excluded from ss 8 and 9) and the specific allowance in s 10 for financial leases.

3. Secure Treasurer and/or Governor in Council approvals

• For overdrafts and other financial accommodation, obtain Treasurer approval where required (s 5, ss 8-11). For investments and trading in investments, obtain Treasurer approval for the authority to invest and ensure the manner of investment is approved by the Governor in Council on the Treasurer’s recommendation where the section requires it (s 20). For trading in investments and underwriting powers refer to s 21 and s 22 which require Governor in Council approval on the Treasurer’s recommendation. Document the approvals in writing and retain records of the precise terms of approval, including any Treasurer recommendations to the Governor in Council.

4. For guarantees seek explicit Treasurer action and prescribed form

• Do not assume a state guarantee exists. Section 12 and s 15 state that a guarantee or certificate must be executed by the Treasurer in or to the effect of the prescribed form to create a Government guarantee. If a guarantee is required, obtain the Treasurer’s executed certificate or guarantee in the prescribed form and secure written confirmation of its terms and assignability. For Part 5 guarantees, confirm any special conditions the Treasurer imposes (s 29; s 30).

5. Check validation protections and good‑faith requirements

• If there is any doubt about the authority’s power to enter the transaction, consider whether limited validation (s 11AA or s 20A) might apply. Validation protects third parties who entered in good faith and had no reason to suspect lack of authority; ensure contemporaneous documentation evidences good faith and absence of red flags.

6. Pay attention to securities, registers and assignment rules

• For securities issued under the Act in Australia, check regulations under s 31 for prescribed forms, register‑keeping, inspection fees and transfer mechanisms. If negotiating a transaction dependent on assignment of a guarantee (particularly Pt 5 guarantees), obtain Treasurer written consent where required (s 30(5)) and confirm whether the guarantee contains any assignment or encumbrance limitations.

7. For Part 5 economic development guarantees obtain clarity on enforcement sequence and securities

• If dealing with a Pt 5 guarantee, note that s 30 allows the Treasurer to require creditors to hold securities and to make the guarantee unenforceable until creditors have exercised rights under those securities other than the guarantee itself (s 30(2)-(4)). Document the sequence of enforcement, the nature of securities required, and any indemnities from debtors or security arrangements required by the Treasurer.

8. Ensure accounting and payment protocols are understood

• Sums payable under guarantees are payable from the Consolidated Fund (s 16(1); s 30(6)), and the Treasurer may recover amounts from authorities and must account to the Consolidated Fund for recoveries (s 16(2)). Authorities should ensure appropriate accounting practices and budgetary approvals are in place if they may be required to reimburse the Treasurer.

9. Draft contractual protections for counterparties

• Counterparties should, where appropriate, require express statements about whether a guarantee has been executed, whether the Treasurer’s certificate is in the prescribed form, any conditions attached to enforceability (particularly for Pt 5 guarantees under s 30(4)), and whether assignment is permitted. Include representations regarding good faith for validation protections.

10. Keep contemporaneous records of approvals and communications

• Maintain copies of Treasurer approvals, Governor in Council approvals (where applicable), the prescribed form of any executed guarantee or certificate, and any conditions or indemnities requested by the Treasurer. These records will be critical if enforcement or validation issues arise.

11. Monitor regulatory and legislative changes

• Because the Act’s application depends on prescription and regulation (s 31), and because the Act has a long amendment history, regularly check for amendments to the Act, changes to the list of prescribed authorities, and any new regulations that change the scope or processes (see the Table of Amendments and Endnotes in the Act text).

12. Seek specialist advice for complex instruments

• Financial arrangements (s 3, s 11), derivatives, hedging and structured instruments can raise prudential, accounting, tax and legal complexities. Confirm Treasurer approval procedures, validation protections, and the extent to which guarantees will cover such instruments before entering into them.

By following the checklist above and ensuring approvals and guarantees are documented in the forms and sequences required by the Act (ss 3A, 5, 8-11, 12-17, 20-22, 29-30, 31), an authority or counterparty can align transaction design and documentation with the statutory requirements and with the Treasurer’s discretion as exercised under the Act.
