The statutory instrument rests on a small set of recurring legal and operational concepts, expressed in the Act text and the two schedules:

• Agreement as statutory instrument. The Act expressly defines “the agreement” to mean the document in Schedule 1, as amended by the document in Schedule 2 [s 4]. The schedules therefore form the operative contractual‑style terms between the two States and are given legal effect by s 5.

• Constructing Authority and authorised works. The Act makes the Victorian Authority the Constructing Authority for the specified works and declares the works to be “authorised works” for the purposes of the Public Works Act 1912 [s 6]. The Constructing Authority concept imports procedural powers and statutory processes from the Public Works Act into the cross‑border project (planning, acquisition and construction powers).

• Cross‑jurisdictional delegation of powers and management. The agreement and s 9 give the Government of Victoria the right to control and manage specified New South Wales railways, and to exercise in New South Wales the same powers it exercises over railways in Victoria [s 9; Sch 1 cl 49]. This is a statutory delegation of operational authority by one State to another to operate infrastructure in the first State’s territory.

• Land resumption and vesting. Section 8 and multiple schedule clauses contemplate resumption or acquisition of land in New South Wales for railway purposes, with vesting either in Victorian corporations nominated by Victoria’s Governor or in the New South Wales Commissioners for Railways upon transfer/sale [s 8; Sch 1 cl 38; Sch 1 cl 44]. The Act prescribes the mechanism by which land title is to move between Crown, private owners, New South Wales agencies and Victorian entities.

• Cost allocation and maintenance regimes. The 1922 Agreement contains a detailed schedule of who pays for construction and maintenance in various scenarios (for example, equal sharing for some bridges [Sch 1 cl 8], two‑thirds/one‑third splits for others [Sch 1 cl 20, cl 30], and Victoria bearing whole maintenance costs if the bridge is used for railway traffic [Sch 1 cl 12, cl 22, cl 32]). These clauses allocate financial responsibility according to use and gauge decisions.

• Gauge, extension and conversion. The Agreement contemplates use of both 4 ft 8½ in and 5 ft 3 in gauges on bridges and allows Victoria to construct 5 ft 3 in gauge railways into New South Wales for set distances in specified cases [Sch 1 cl 5; cl 11; cl 34]. The Agreement also contemplates future conversion to a uniform gauge in line with Commonwealth/State decisions, and allocates conversion costs proportionately under the “conversion scheme” (cl 36).

• Jobs, conditions and industrial relations. Section 10 and Sch 1 cl 40 allow the Victorian Government and Victorian Authority to observe and apply Victorian wages and conditions for construction and operation of works in New South Wales, notwithstanding the Industrial Arbitration Act 1940 [s 10; Sch 1 cl 40]. That is a statutory rule authorising labour‑condition parity rather than subjecting the works to a single State’s industrial statutes in the ordinary way.

• Dispute resolution and arbitration. The Agreement repeatedly provides for disputes between appointed Engineers or between the Governments to be determined by arbitration under the Arbitration Act 1902 or by the arbitration provisions under the Public Works Act when valuation for compulsory sale is in issue [Sch 1 cl 3; cl 15; cl 25; cl 50; cl 38(a)].

• Legislative dependence and enabling Acts. Several schedule clauses require the passing of “Enabling Acts” by New South Wales (for example to authorise Victoria to construct certain railways within NSW, to provide land, and to make construction suitable for conversion) and to vest necessary authorities to Victoria for operation, collection and enforcement of fares and freights [Sch 1 cl 33; cl 34; cl 35; cl 36; cl 37; cl 44; cl 49]. Those clauses make several elements of the agreement contingent on New South Wales providing statutory authority and the requisite land.

• Amendment by later agreement. Schedule 2 (1983) expressly amends the Border Railways Agreement by deleting a number of original clauses (31, 33, 35, 41, 42 and 43) and is itself ratified by the Act [Sch 2 cl 1; s 5]. The Act therefore incorporates the 1983 modification as part of its operative instrument.

These concepts produce a framework in which the Victorian Authority may exercise construction, operational and management powers within New South Wales in respect of defined rail works, subject to land acquisition and vesting processes, cost and maintenance allocations, labour arrangements, and arbitration processes fixed by the agreements as enacted into NSW statute.

The Act allocates legal rights and duties between specific public actors and identifies categories of private stakeholders who will be affected by actions under the Act.

Primary public actors and agencies

• Government of Victoria and the Victorian Authority. The Government of Victoria is authorised to construct and maintain the works in New South Wales, to control and manage the railways referred to in the agreement, and to act as the Constructing Authority with the powers of a Constructing Authority under the Public Works Act 1912 [s 6; s 9; Sch 1 cl 6; cl 18; cl 28]. The Victorian Railways Commissioners are assigned operational duties while railways remain in Victoria’s possession [Sch 1 cl 39]. The Victorian Authority also may be vested with land and exercise operational and fare enforcement powers [Sch 1 cl 49].

• Government of New South Wales and NSW Ministers. The New South Wales Government must ratify the agreement by statute and, under various schedule clauses, undertake enabling legislation and resumption of land for the purposes of rail construction and settlement [s 5; Sch 1 cl 33; cl 34; cl 35; cl 44]. The Minister for Public Works (and the Secretary for Public Works) are given explicit roles: s 8 permits the Governor, acting through the Minister for Public Works, to resume or acquire land and vested land is conveyed by the Minister; s 7 empowers the Secretary for Public Works to agree to be the Constructing Authority for certain bridges and carry out their construction.

• New South Wales Commissioners for Railways. If railways constructed by Victoria are sold to New South Wales as provided in Sch 1 cl 38, they vest in the New South Wales Commissioners for Railways who then acquire rights, powers and authorities over the lines [Sch 1 cl 38(a)].

Private and other affected parties

• Landowners and occupiers in New South Wales. Section 8 authorises resumption or acquisition of land required for or incidental to the railways under the Public Works Act 1912. The Act contemplates compensation and reconstruction or reconveyance options; it also allows easements to be reserved on sale of resumed land [s 8]. Schedule 1 cl 43 establishes New South Wales’ obligations to resume or otherwise make available large areas of land (for settlement) close to proposed railways.

• Deniliquin and Moama Railway Company and similar private railway owners. Sch 1 cl 47 specifically requires NSW to exercise its legal right to negotiate purchase of the Deniliquin and Moama Railway and to hand it to Victoria at cost of acquisition, subject to inspection and Victorian approval. Clause 38 sets the framework for compulsory purchase and valuation where the NSW Secretary requires Victoria to sell a railway.

• Workers and contractors on construction and operation. Section 10 and Sch 1 cl 40 permit application of Victorian wages and conditions for construction, management and operation of the works. Contractors and employees working on these projects will be subject to the wage and conditions regime authorised by the Victorian Government rather than being constrained by NSW industrial rules as if the works were ordinary NSW projects.

• Local communities and settlers. The agreement creates obligations on NSW to subdivide and make available land for settlement (for instance cl 35 for Benanee Settlement Area and cl 43 for Balranald and Gonn Crossing districts), which affects prospective settlers and the design of irrigation settlement areas (Sch 1 cl 11).

Who pays and who decides

• Payment and maintenance liabilities are allocated between Victoria and New South Wales in the schedules in specific proportions (equal shares, one‑third/two‑thirds, or Victoria fully in certain railway cases) depending on construction and use [Sch 1 cl 8; cl 20; cl 30; cl 12; cl 22; cl 32]. Victoria is required to refund New South Wales certain proportions if a bridge is used for railway purposes (Sch 1 cl 9). NSW is required to resume and vest land free of cost to Victoria where specified (Sch 1 cl 44).

• Decision‑making on locations, designs and materials initially lies with two Engineers, one appointed by each Government, whose recommendations are subject to approval by both Governments; disagreements between those Engineers are to be referred to arbitration [Sch 1 cl 1-4; cl 13-16; cl 23-26; cl 50]. The Constructing Authority is to be determined on receipt of the Engineers’ report [Sch 1 cl 6; cl 18; cl 28].

Overall, the Act affects multiple layers of public administration in both States, property owners whose land is required for infrastructure and settlement, rail operators and employees, contractors, and prospective settlers where land is to be made available.

The Act and the schedules allocate specific rights and duties between the two States, between State ministers and agencies, and towards private landholders and other third parties. The key legal duties and rights are set out below with reference to the relevant sections and schedule clauses.

Rights conferred to Victoria and the Victorian Authority

• Right to construct and maintain works in New South Wales. Section 6 authorises the Government of Victoria to construct and maintain the railways and other works described in the agreement. The Victorian Authority is declared the Constructing Authority and is given the powers of such an authority under the Public Works Act 1912, and those works are deemed “authorised works” under that Act [s 6].

• Right to control and manage operational railways. Section 9 grants the Government of Victoria (and the Victorian Authority) the right to control and manage any railway in New South Wales referred to in the agreement and to exercise the same powers as apply in Victoria [s 9; Sch 1 cl 49].

• Right to construct 5 ft 3 in gauge lines into New South Wales. The 1922 Agreement allows the Victorian Government to construct specified 5 ft 3 in gauge railways into New South Wales for set distances in named cases (for example up to 20 miles at Gol Gol, cl 11; specified extensions in cl 34; cl 35). These are subject to NSW enabling legislation and land provision in some cases.

Duties and obligations imposed on Victoria

• Construction and maintenance costs. The Agreement prescribes how the cost of construction or maintenance of bridges and approaches in flood areas is to be apportioned between the two Governments. Examples: equal proportions for some bridges [Sch 1 cl 8]; two‑thirds Victoria and one‑third NSW for others [Sch 1 cl 20; cl 30]; Victoria bears whole maintenance cost if the bridge is used for railway purposes [Sch 1 cl 12; cl 22; cl 32].

• Operational obligations while in possession. While the railways are in the possession of the Victorian Government, the Victorian Railways Commissioners are to operate the lines and are to charge fares and rates not less than the rates charged for similar mileage on Victorian Railways; they may nevertheless treat detached lines as separate and charge different fares charged for similar mileage on Victorian Railways [Sch 1 cl 39].

• Sale and valuation obligations. Clause 38 gives NSW the statutory right to require Victoria to sell railways constructed in NSW, with valuation and compensation measured by “then value exclusive of any allowance for past or future profits”, to be ascertained by arbitration in the manner provided by the Public Works Act 1912 for disputed compensation. If the right to purchase is exercised within 15 years of opening, special payment terms apply (capital outlay and deficits with surpluses deducted) [Sch 1 cl 38(a)-(b)].

Duties and obligations imposed on New South Wales

• Power and duty to resume or acquire land. Section 8 authorises the Governor of New South Wales to resume or acquire land required for or incidental to any railway referred to in the agreement using the Public Works Act 1912 and to vest resumed land in a Victoria‑nominated corporation for the purposes of the agreement. The resumption and vesting are to be effected by conveyance or transfer by the Minister for Public Works [s 8].

• Enabling legislation and land provision. The Agreement obliges NSW to pass enabling Acts authorising Victoria to construct specific railways and to make land available free of cost to Victoria for railway purposes, including station sites and other buildings (Sch 1 cl 33; cl 34; cl 44). Clause 35 ties railway construction obligations to provision of specific areas of land for settlement and timing targets.

• Settlement and subdivision duty. Clause 43 obliges NSW to resume, acquire or otherwise make available specified aggregate areas of land for closer settlement in districts served by particular railways, with percentage and distance requirements (for example at least 125,000 acres for Balranald district and at least 75,000 acres for Gonn Crossing to Stony Crossing district, with 80 per cent being within 10 miles of proposed railways).

Ministerial and administrative powers

• The Secretary for Public Works may agree to be Constructing Authority for certain bridges and, if so agreed, is empowered to carry out the works [s 7]. The Minister for Public Works has powers of a Constructing Authority for the purposes of resumption and transfer under s 8.

Industrial and employment arrangements

• Wages and conditions parity. Section 10 authorises the Victorian Government and the Victorian Authority, in construction, management and control of the works, to observe the same conditions and pay the same wages as prevail in Victoria for similar work, notwithstanding the Industrial Arbitration Act 1940 [s 10; Sch 1 cl 40]. This is an express statutory exemption from the standard operation of NSW industrial law for these works.

Dispute resolution rights and duties

• Arbitration framework. Disagreements between Engineers or disputes between the Governments on the agreement’s meaning or performance are to be referred to arbitration under the Arbitration Act 1902 (or amendment) [Sch 1 cl 3; cl 15; cl 25; cl 50]. For valuation on compulsory purchase, clause 38 provides for arbitration in the manner provided by the Public Works Act.

Rights of private parties

• Compensation and disposal mechanisms. Section 8(2) and clause 38 provide mechanisms for sale, lease, reconveyance and compensation for resumed land, and allow easements to be reserved in sales. Clause 38 prescribes valuation methods and special rules for purchases exercised within fifteen years of opening [s 8; Sch 1 cl 38].

These duties and rights are primarily contractual and administrative in character, enacted into statute through ratification of the interstate agreement. The obligations on both States are precise in some respects (cost and maintenance percentages; timeframes for commencement/completion) and contingent in others (dependence on NSW enabling Acts for particular extensions and land vesting).

The Act does not create new criminal offences or prescribe monetary fines for non‑performance in the text provided. Enforcement mechanisms in the Act and schedules are administrative, contractual and statutory rather than penal. The principal enforcement and dispute‑resolution devices are:

• Administrative powers under the Public Works Act 1912. Section 6 imports the powers of a Constructing Authority under the Public Works Act and deems the works to be “authorised works” under that Act. Section 8 expressly authorises resumption or acquisition of land “subject to the provisions of the Public Works Act 1912” and gives the NSW Minister for Public Works the powers of a Constructing Authority for that purpose [s 6; s 8]. The Public Works Act contains its own statutory machinery for resumption, compensation, process and enforcement of compulsory acquisition; the Border Railways Act imports and triggers that machinery for the works described.

• Arbitration under the Arbitration Act 1902. The Schedule repeatedly requires submission of disputes between the Engineers or between the Governments to arbitration in accordance with the Arbitration Act 1902 (or any amendment). Clause 50 provides for arbitration of disputes as to interpretation or performance of the agreement [Sch 1 cl 50]. Clause 38 directs valuation disputes to arbitration “in the manner provided by the New South Wales Public Works Act No. 45 of 1912 for settling cases of disputed compensation”. Those arbitration procedures are the principal mechanism for resolving disagreements about design, valuation, construction and the agreement’s meaning.

• Contractual rights to require sale and valuation rules. Clause 38 gives the NSW Government the right to require the Victorian Government to sell railways constructed in NSW, with valuation to be determined by arbitration under the Public Works Act provision. That clause sets out a statutory purchase remedy with a specified valuation method and temporal payment rules (for purchases within 15 years).

• Vesting, transfer and conveyance mechanisms. Section 8 and Sch 1 cl 44 create statutory mechanisms for vesting and transfer of resumed land to a corporation nominated by Victoria’s Governor or to the New South Wales Commissioners for Railways on sale, thereby effecting legal title transfers which can be enforced as conveyancing acts.

• Operational control and fare enforcement. Clause 49 contemplates that NSW will vest in the Government of Victoria any authority necessary to sanction the working of any railway in NSW territory, including collection and enforcement of fares and freights, and the vesting of control and management in Victoria. That is an internal administrative enforcement mechanism for operating the railways.

What the Act does not do, as enacted

• It does not prescribe criminal sanctions for breach of the agreement’s provisions in the text provided. No fines, imprisonment or other penal sanctions are set out in this Act as included in the material supplied.

• It does not create a new independent enforcement agency charged with policing compliance. Enforcement depends on administrative exercise of powers, compulsory acquisition mechanisms, arbitration outcomes and the contractual remedies set out in the agreement.

Practical enforcement risks and friction points

• The Act’s reliance on arbitration and Public Works Act processes concentrates enforcement into administrative and specialist dispute‑resolution forums rather than general criminal courts. Compliance enforcement therefore depends on timely initiation of arbitration, the availability of appropriate arbitral procedures, and the administrative capacity to execute conveyances, vestings and transfers.

• The Act uses conditional rights (for example, NSW’s duty to pass enabling Acts and to make land available) which are enforceable only by statutory or arbitral processes; if a State delays or declines to pass enabling legislation disputes are to be referred to arbitration under the agreement, but practical enforcement of legislative obligations is a political and legal complexity beyond the Act’s private‑party enforcement tools.

Overall, enforcement under the Border Railways Act is procedural and remedial rather than penal. Parties are steered to the Public Works Act compulsory acquisition machinery and to arbitration under the Arbitration Act 1902 for contested matters.

The Act expressly interacts with a small set of other statutes and legal regimes, and in some places overrides ordinary operation of those laws for the works and arrangements specified.

Public Works Act 1912

• Primary import. Section 6 expressly cross‑references the Public Works Act 1912: the railways, works, bridges and approaches authorised by the agreement are to be constructed “notwithstanding the provisions of the Public Works Act 1912 or any other Act” and the Victorian Authority is to have the powers of a Constructing Authority under the Public Works Act. The works are declared “authorised works” for the purposes of the Public Works Act 1912 [s 6]. Section 8 also makes resumption and acquisition subject to the provisions of the Public Works Act and gives the NSW Minister for Public Works the powers of a Constructing Authority under that Act for resumption purposes [s 8].

• Tension and synergy. The Act both disapplies and imports the Public Works Act. It says that works may be constructed notwithstanding provisions of the Public Works Act or any other Act, while at the same time giving the Constructing Authority the powers under that Act. Mechanically, the Act imports the procedural framework and powers of the Public Works Act but carves out ordinary constraints where the agreement or the Constructing Authority’s functions require departure. That creates an integrated but exceptional regime where Public Works Act powers apply to these projects but certain statutory obstacles are displaced.

Industrial Arbitration Act 1940

• Statutory exception. Section 10 says that, notwithstanding anything in the Industrial Arbitration Act 1940, the Victorian Government or the Victorian Authority may observe the same conditions and pay the same wages in construction, management and control of any work authorised by the Act as prevail in Victoria for similar work [s 10]. Schedule 1 cl 40 repeats this arrangement for operation and working of the lines. The Act therefore authorises deviation from ordinary NSW industrial law for the covered works.

Arbitration Act 1902 and Public Works Act arbitration procedures

• Dispute resolution. Schedule 1 clause 50 requires disputes between the Engineers or Governments arising under the agreement to be referred to arbitration in accordance with the New South Wales Arbitration Act 1902 (or any amendment). Clause 38 directs valuation disputes for compulsory purchase to arbitration in the manner provided by the Public Works Act 1912. The Act therefore imports existing arbitration and compensation dispute frameworks rather than creating new ones.

Interpretation Act 1987

• Transferred provisions. Section 11 preserves certain provisions of the repealed Border Railways (Grain Elevators) Amendment Act 1957 by treating them as transferred provisions to this Act and states that they are to be treated as transferred provisions for the purposes of s 30A of the Interpretation Act 1987 [s 11]. That provision affects how those transferred clauses are interpreted and applied.

Other statutory interactions and dependencies set up in the Agreement

• Enabling Acts and vesting. Schedule 1 contains several clauses that require New South Wales to pass enabling Acts to authorise Victoria to construct specified railways and to provide for vesting of land, construction suitable for uniform gauge conversion, and other statutory steps (Sch 1 cl 33, cl 34, cl 35, cl 36, cl 37, cl 44). Those clauses make the operation of parts of the agreement dependent on additional NSW legislation and hence interact with the ordinary legislative process.

• Conveyancing and property law. Section 8 and clauses concerning vesting, sale and reconveyance interact with the statutory regime for compulsory acquisition, conveyancing and compensation as set out in the Public Works Act and in New South Wales property law generally.

• Gauge conversion decisions. Clause 36 contemplates conversion of lines to a standard gauge in accordance with “the standard gauge decided upon by the Commonwealth and the States” and allocates cost responsibility accordingly. The clause thus links to broader intergovernmental decisions about gauge, which would have legal effect through separate Commonwealth/State arrangements not contained within this Act.

Net effect

The Act functions as an exercise in statutory intergovernmental contracting. It imports and overrides parts of other Acts where necessary to give effect to the interstate agreement, while pointing disputes and compensation issues into the Public Works Act procedures and state arbitration frameworks. Where the Act overrides or disapplies other Acts (for instance by permitting construction “notwithstanding” other Acts), it simultaneously imports powers from those same Acts (powers of a Constructing Authority), producing a tailored legal regime for the specified cross‑border works.

The text supplied contains several amendment and insertion annotations. The Act as presented has evolved from its original 1922 enactment through later statutory insertions and amendments. The material in the Act itself records the following alteration history:

• Original enactment and commencement. The Act was originally passed in 1922; section 3 states the Act shall come into force on 1 January 1923 [s 3].

• 1941 amendment. Section 8 was amended by 1941 No 13, sec 2(1), which is noted in the margin for s 8: "s 8: Am 1941 No 13, sec 2 (1)". The text of s 8 in the supplied material includes that amendment note.

• 1957 amendment (transferred). The Border Railways (Grain Elevators) Amendment Act 1957 was repealed but certain sections of it (ss 1(2) and 2-6 of that Act) continue to have effect and are taken to have been transferred to this Act; s 11 records that those transferred provisions are subject to s 30A of the Interpretation Act 1987. Section 11 was inserted by 2007 No 82 Sch 4.1 and preserves certain provisions from the repealed 1957 Act within this Act's operation [s 11].

• 1983 amendments and Schedule 2. The Act was amended in 1983 by insertion of Schedule 2 (the 6 July 1983 Agreement) and other consequential amendments. The marginal notes record multiple 1983 amendment references: s 3 (Am 1983 No 118, Sch 3(1)); s 4 (Am 1983 No 118, Schs 1(1), 3(2)); s 5 (Am 1983 No 118, Sch 1(2)); s 6 (Am 1983 No 118, Sch 3(3)); s 8 (Am 1983 No 118, Schs 2(1), 3(4)); s 9 (Am 1983 No 118, Schs 2(2), 3(5)); s 10 (Am 1983 No 118, Sch 3(6)); sch 1 heading substituted 1983 No 118, Sch 1(3); sch 2 inserted 1983 No 118, Sch 1(4). Schedule 2 itself states that the 1922 Agreement is amended by deleting clauses 31, 33, 35, 41, 42 and 43 and is subject to ratification by the Parliaments in 1983 [Sch 2 cl 1-2].

• 2007 insertion note. Section 11 was inserted by 2007 No 82, Sch 4.1 and records that specific provisions from the repealed 1957 Act were transferred into this Act and are treated as transferred provisions under the Interpretation Act 1987 [s 11: Ins 2007 No 82, Sch 4.1].

What the amendment history shows in operational terms

• The Act incorporates the 1983 agreement by schedule and removes particular original obligations about extending some Victorian railways and about land provision for certain settlement schemes (those clauses are deleted by Sch 2 cl 1). The marginal amendment notes record the instrument’s legislative history and the insertion of Schedule 2.

• Some provisions from a later‑repealed 1957 Act were preserved and transferred into this Act, with s 11 formalising their transfer and applying Interpretation Act provisions to them.

• The Act therefore has a layered history: original 1922 terms and obligations, followed by mid‑20th century adjustments, and a material 1983 revision removing certain proposed railway extensions and land obligations. The Act text supplied is the integrated version that includes those amendments and the 1983 deletions.

The Act’s marginal notes and inserted schedule language are the only amendment history recorded in the supplied text. The Act as presented should be read with those amendments in place: Schedule 2 is part of the operative agreement as ratified by s 5.

The text supplied contains no judicial decisions, citations of case law, or references to litigation that interprets the Border Railways Act 1922 or the agreements in Schedule 1 and Schedule 2. The Act itself fixes arbitration as the dispute‑resolution route for matters specified in the agreement:

• Engineer disagreements and intergovernmental disputes are to be referred to arbitration under the Arbitration Act 1902, or any amendment thereto [Sch 1 cl 3; cl 15; cl 25; cl 50].

• Valuation disputes for compulsory purchase pursuant to clause 38 are to be ascertained by arbitration in the manner provided by the Public Works Act 1912 [Sch 1 cl 38(a)].

Because the Act directs disputes to statutory arbitral procedures and the Public Works Act compensation machinery, the agreement contemplates private arbitration and administrative valuation procedures rather than ordinary court litigation as the first instance means of resolving disputes under the agreement.

What the Act does not provide on litigation

• The Act does not list or report any appellate or Supreme Court actions, judicial interpretations or precedent. The supplied material includes no litigation history or named cases.

Practical implication for researchers and practitioners

• The Act creates statutory hooks and arbitration clauses that would generate case law only if the arbitration awards were challenged in court or if issues arose that required judicial interpretation (for example over the meaning of “authorised works”, the interaction with other statutes, or the operation of vesting clauses). The Act text does not contain or summarise any such litigation.

• Users needing an authoritative picture of decisions applying or construing the Border Railways Act should therefore seek external case law and tribunal records, because none is provided within the Act text itself. The Act, however, explicitly prescribes the dispute paths (arbitration; Public Works Act compensation procedures) which are the likely origins of any contested matters.

In short, the Act is silent in the supplied text on any litigation history; it directs disputes into arbitral and Public Works Act procedures, but no judicial decisions are recorded in the material provided.

The Act’s design produces a number of points where legal and practical friction, ambiguity or conditionality may arise. These are matters to watch, grounded in the statutory text itself.

“Notwithstanding” language together with imported powers (s 6)

• The Act states works “may be constructed notwithstanding the provisions of the Public Works Act 1912 or any other Act” while also specifying that the Victorian Authority shall have “all the powers of a Constructing Authority under the Public Works Act 1912” and that the works are “authorised works” within that Act [s 6]. That duality means the agreement both disapplies some statutory restrictions and imports powers from the same statute. Careful analysis is required to identify which specific provisions of the Public Works Act are being disapplied in particular circumstances, and how the Constructing Authority’s exercise of powers will be governed.

Conditional obligations on New South Wales (enabling Acts and land provision)

• Several schedule clauses make Victoria’s rights or the timing of construction conditional on New South Wales passing enabling legislation and resuming/providing land (for example Sch 1 cl 33, cl 34, cl 35, cl 44). If NSW delays or declines to pass the requisite Acts, the entitlement to construct or extend may be frustrated or delayed. The Agreement contains arbitration for disputes about meaning or performance, but it does not create a direct enforcement mechanism to compel NSW to legislate; rather the remedy lies in interstate negotiation or arbitration as prescribed [Sch 1 cl 50; cl 44].

Vesting of resumed land in Victorian corporations (s 8)

• Section 8 allows resumed or acquired land in NSW to be vested in a corporation constituted by or under any Act of the Parliament of Victoria as may be nominated by the Governor of Victoria. That movement of title from NSW territory to a Victorian corporation may give rise to administrative, registration and property law complexities (for example, dealing with NSW land titles systems, local rates and by‑laws, and long‑term management responsibilities), which the Act requires but does not operationalise in detail [s 8].

Valuation and compensation rules (Sch 1 cl 38)

• Clause 38 instructs that valuation on a compelled sale be “the then value exclusive of any allowance for past or future profits”, with disputes to be arbitrated under Public Works Act procedures. The exclusion of profit allowances and the special formulas for purchases within 15 years (capital outlay plus deficits less surpluses) produce valuation rules that can yield outcomes materially different from market valuations. That could affect commercial expectations of private sellers or investors in lines transferred under the agreement.

Employment and industrial relations disjunction (s 10 and Sch 1 cl 40)

• The Act authorises Victorian wages and conditions to apply notwithstanding the Industrial Arbitration Act 1940 [s 10]. That statutory exception produces an industrial relations regime for the works that differs from ordinary NSW projects and could generate industrial disputes, claims by local unions or categories of workers who seek parity, or uncertainty about which industrial instruments govern particular employees.

Maintenance cost allocation tied to use and gauge (Sch 1 cl 9-12, cl 20, cl 30)

• Maintenance obligations change depending on whether a bridge is subsequently used for railway purposes and on whether road approaches branch from the embankment. Those conditional cost‑sharing rules impose monitoring and accounting obligations to determine when and how maintenance costs must be reallocated. Disputes about what constitutes “used for railway purposes” or about the precise location of branching could lead to arbitration references under the agreement.

Deleted obligations by Schedule 2 (1983)

• Schedule 2 deletes a number of original clauses (31, 33, 35, 41, 42 and 43). Practitioners must not rely on the deleted clauses where they once formed the core obligations; historical expectations formed before 1983 may no longer be operative. The Act text includes marginal amendment notes to indicate these deletions; verify the operative schedule text rather than older versions.

Timeframes and force majeure carve‑outs (Sch 1 cl 7, cl 19, cl 29, cl 46)

• Many construction obligations are tied to tight timeframes (for instance construction to be entered upon within one year after ratification and completed within three years). Clause 46 exempts interruptions due to floods, accident, or international/industrial troubles directly affecting supply of labour or materials, from the completion period. Parties must document interruptions carefully to invoke the carve‑out and avoid arbitration over alleged delays.

Arbitration as the primary dispute route (Sch 1 cl 50)

• The agreement consistently directs disputes to arbitration under the Arbitration Act 1902. Arbitration routes are efficient for some disputes but may limit broader remedies available in court or create jurisdictional issues if parties differ about arbitral procedure or the scope of arbitrability. Arbitrators’ awards may be subject to challenge in court on narrow grounds; the agreement’s reliance on arbitration concentrates dispute risk into that procedure.

Record and plan custody obligations (Sch 1 cl 41-42)

• The Agreement requires signed plans of routes to be deposited in the offices of Ministers and furnished to the Governments. Failure to follow these formalities could affect the scope of deviations (for example, clause 41 limits permitted deviations to 5 miles on either side of a marked route and clause 42 limits further deviation to 40 chains once route is fixed). Practitioners must ensure proper execution and filing of plans to preserve or contest deviation rights.

In short, the Act creates multiple conditional, technical and administrative obligations that require precise execution and record keeping, careful valuation framing, and clarity on how Public Works Act powers are applied or disapplied in particular circumstances.

Compliance under the Border Railways Act 1922 is primarily a matter of executing the statutory processes the Act prescribes, passing and implementing enabling legislation where required, and documenting decisions and plans to fit the agreement’s formalities. The following practical checklist is grounded in the Act’s text and Schedule 1.

For New South Wales government bodies and ministers

• Ratification and enabling Acts. Ensure the 1922 Agreement and the 1983 Agreement (Schedule 1 and Schedule 2) are treated as ratified by s 5. For railways and works that require enabling legislation, identify the specific clauses that require NSW enabling Acts (for example Sch 1 cl 33; cl 34; cl 35; cl 36; cl 37; cl 44) and prepare drafting instructions and timelines to meet the conditional construction triggers.

• Land resumption and vesting procedures. When land is required, exercise the resumption and acquisition powers subject to the Public Works Act 1912 as required by s 8. Conduct resumption using the procedures of the Public Works Act, effect vesting by conveyance or transfer by the Minister for Public Works to the nominated Victorian corporation or as specified. Keep detailed records of vesting instruments and any reservations of easements permitted under s 8(2).

• Conveyancing and compensation framework compliance. When a sale or compulsory purchase needs valuation, apply clause 38’s valuation rule (“then value exclusive of allowance for past or future profits”) and follow the Public Works Act dispute procedure for disputed compensation. Engage valuation experts familiar with the Public Works Act approach to contested compensation and the arbitration forum specified.

• Plans, deviations and documentation. Ensure compliance with the requirement that plans marked “A” be signed and deposited (Sch 1 cl 41). If deviations are proposed, observe the one‑year deadline for exercising power to deviate and the limits on deviation (for instance 5 miles, and later 40 chains from the settled route once the Constructing Authority has fixed the permanent route,Sch 1 cl 41-42). Maintain copies of all signed plans in the specified ministerial offices.

• Settlement land obligations. If NSW is required to resume or make available land for settlement (Sch 1 cl 35; cl 43), implement statutory resumption and subdivision programmes to meet the acreage and proximity requirements and schedule subdivision activity to coincide with railway construction starts as required by the clauses.

For Victorian government bodies and the Victorian Authority

• Exercise of Constructing Authority powers. When acting as Constructing Authority under s 6, exercise the powers of a Constructing Authority under the Public Works Act 1912. Draft and maintain proper delegation instruments and exercise Public Works Act procedural requirements where necessary, notwithstanding the Act’s “notwithstanding” language.

• Engineering appointment and reporting. Appoint the Engineer under Sch 1 cl 1, cooperate with NSW’s nominated Engineer, and ensure a timely report with site recommendations. If there is disagreement between Engineers, follow the arbitration procedures prescribed by the agreement (Sch 1 cl 3, cl 50).

• Funding and maintenance accounting. Observe the cost‑sharing and maintenance responsibilities as set out in clauses 8, 9, 12, 20, 22, 30, 32. Keep auditable records demonstrating maintenance expenditures and how costs are allocated between the two Governments in accordance with the specified triggering conditions (for example, whether a bridge is used for railway purposes).

• Wages and employment compliance. Apply Victorian wages and conditions to construction, management and control activities for the works in NSW as authorised by s 10 and Sch 1 cl 40. Ensure payroll, contracts and industrial instruments reflect the Victorian wage regime and that compliance with Victorian industrial obligations is documented, while noting the “notwithstanding” status vis‑à‑vis NSW industrial law.

For ministers determining Constructing Authority and for the Secretary for Public Works

• Determination of Constructing Authority. If the Secretary for Public Works is to act as Constructing Authority for any bridge or approach (s 7), prepare the necessary agreements and ensure statutory empowerment is recorded. Where the two Governments are to determine the Constructing Authority on receipt of Engineers’ reports (Sch 1 cl 6; cl 18; cl 28), ensure written ministerial decisions and formal notices are lodged and recorded.

For landowners and affected private parties

• Compensation claims and process. If land is resumed, bring compensation claims under the Public Works Act procedures, and be aware that valuation in the context of purchases required by clause 38 may exclude profit allowances. Preserve evidence of land value and have experts ready for arbitration under the Public Works Act frameworks.

• Easement and sale reservations. Where resumed land is sold under s 8(2), note that easements may be reserved in any sale. Ensure conveyances and sale contracts reflect these reservations and the statutory powers under which the sale is made.

For operators, contractors and workers

• Contract drafting to reflect wage rules. Contracts for construction and operation should reflect the authorised Victorian wages and conditions for the specific works (s 10; Sch 1 cl 40). Contractors should ensure that their pricing, labour supply arrangements and industrial relations strategies account for Victorian wage levels and any Victorian industrial instruments that apply.

• Timeframes and force majeure. Observe the construction commencement/completion timeframes in the schedule (frequently one year to commence, three years to complete for bridge works; specific longer or shorter timeframes for certain railways). Document any interruptions due to floods, accident or industrial troubles as described in Sch 1 cl 46 to ensure those periods are not included in the completion times.

When disputes arise

• Arbitration initiation. If disagreements occur between Engineers or between Governments as to meaning or performance, invoke the arbitration provisions in Sch 1 cl 50. For compensation disputes under clause 38, follow the arbitration procedure provided by the Public Works Act 1912. Prepare submissions and technical evidence for arbitration early, and ensure arbitral timetables and procedures are complied with.

Record keeping and transparency

• Maintain signed plans, deposited copies and ministerial notices in the offices specified by the agreement (Sch 1 cl 41-42). Keep a clear audit trail of decisions about constructing authority, land vesting, maintenance cost allocations, wage application and any notices under clause 38 requiring sale.

Finally, check amendment status and operative text

• The 1983 Agreement in Schedule 2 deletes several original obligations (Sch 2 cl 1). Confirm the current operative text (as included in this Act) when advising on compliance obligations and before committing to construction or land resumption steps. The marginal amendment notes in the Act identify the 1983 amendments and the insertion of s 11 in 2007; ensure the current version of the Act is relied upon for statutory obligations.

Following these steps will align administrative action with the statutory framework created by the Act and the Agreements in Schedules 1 and 2.
