Biological Resources Act 2006

The Act organises a small number of interlocking legal concepts.

Definitions and scope

• Bioprospecting is defined narrowly as taking samples of biological resources for research in relation to genetic resources or biochemical compounds contained in those resources, that is for biodiscovery (ss 5(1), 4). The Act separates biodiscovery (research to discover and exploit genetic or biochemical resources of value) from other non-biodiscovery uses (s 4).
• Biological resources and genetic resources are both broadly drawn to include organisms, parts thereof, populations and any material containing functional units of heredity with actual or potential value for humanity (s 4). Biodiversity is defined to include regional, ecosystem, species and genetic diversity (s 7).
• The Act distinguishes in situ (natural habitat) and ex situ collections (samples previously obtained and preserved elsewhere) and treats both as potentially within scope of bioprospecting (s 5(4)).

Who controls access

• Resource access provider is a statutory and property-based construct listing who has control over access depending on land or water tenure: freehold owners, Aboriginal Land Trusts, registered native title corporations for exclusive possession, Park Land Trusts, and the Territory for Crown land, pastoral leases, certain leases and Territory waters (s 6(1)). Importantly, s 6(2) separates legal resource access provider from the person who controls physical access, requiring arrangements with whoever controls physical access.

Permit plus contractual precondition

• The Act sets up a two-step: a permit to take samples (issued by permit issuing authorities under existing Acts, such as Parks and Wildlife and Fisheries) and, in cases constituting bioprospecting, an additional requirement of a benefit-sharing agreement with the resource access provider (ss 11-13, 27). The CEO acts as a gatekeeper: the permit authority refers potential bioprospecting to the CEO (s 12) and the CEO must confirm whether proposed activities are bioprospecting (s 13). If so, the CEO must be satisfied a suitable benefit-sharing agreement is in place before the permit is issued (ss 20-21).

Benefit-sharing and informed consent

• The Act requires prior informed consent of every resource access provider to the terms of a benefit-sharing agreement for those resources (s 27(3), 28). The CEO must be satisfied independently that non-Territory resource access providers gave prior informed consent and must consider whether they had adequate knowledge, time to consult (including Land Council processes where relevant), and access to independent legal advice (s 28(2)).

Registers, certificates and provenance

• The CEO must maintain a register recording permits, samples, benefit-sharing agreements and certificates of provenance (s 33). The register is the central administrative record and contains specified particulars for each permit, subject to confidentiality carve-outs where information is culturally sensitive, commercially damaging or risks the environment or national interest (s 23(2)-(3), s 33). The CEO may issue a certificate of provenance for a sample that confirms compliance with the Act and Australia’s international obligations at the time the sample was taken, and such certificates must contain detailed identifying information (s 36).

Offences, records and limitations on rights

• Substantial maximum penalties apply for unauthorised bioprospecting and related false statements and breaches of permit conditions or benefit-sharing agreements (ss 38-41). Bioprospectors must keep and share records, including unique identifiers for each sample, GPS coordinates, species, quantity and disposition, and must offer samples to resource access providers before disposal (ss 24, 42-43). The Act expressly states that neither a permit nor a benefit-sharing agreement creates exclusive rights to a biological resource and that the CEO may not grant exclusive rights on behalf of the Territory (s 44).

Ministerial and CEO discretions; regulations

• The Minister can exempt specified resources or collections by Gazette declaration where, for example, use is controlled under an international agreement or the resources are held and managed consistently by a public body (s 10). The CEO has multiple discretions: to decide whether activity is bioprospecting (s 13), to require additional information (s 15), to negotiate or refuse agreements on behalf of the Territory subject to a fairness test (ss 16-18), to record and withhold sensitive information from the public register (s 23), and to issue or revoke certificates (ss 36-37). Regulations can fill detail on fees, sample ownership and enforcement (s 47).

Temporal and territorial reach

• The Act applies throughout the Territory including the air, water and seabed (s 9(1)) and also applies outside the Territory to the extent of the Legislative Assembly’s extraterritorial competence in relation to biological resources of Territory origin (s 9(2)). The Act contains a mechanism for legitimising samples taken outside the statutory process by entering retrospective benefit-sharing agreements, but legitimisation does not preclude prosecution for breaches (s 30).

The Act creates direct legal obligations or entitlements for several identifiable groups and agencies; it also imposes administrative duties on governmental actors.

Primary regulated persons

• Bioprospectors, defined as persons engaged in bioprospecting (s 4), carry the most immediate duties: they must obtain permits (s 11), negotiate and enter benefit-sharing agreements with each resource access provider for resources taken under a permit (s 27(1)), keep precise records for each sample (s 42(1)), report sample details and lodge specimens if required by permit conditions (s 24), and offer unwanted samples back to resource access providers before disposal (s 43). Failure risks significant penalties (ss 38, 40, 41, 42(1)-(3), 43).

Property holders and indigenous entities

• Resource access providers are a comprehensive class that includes freehold owners (including where land is subject to a lease), Aboriginal Land Trusts, associations managing Aboriginal community living areas, registered native title bodies corporate for exclusive possession, Park Land Trusts and the Territory for various Crown and leasehold land and waters (s 6(1)). These entities are entitled to negotiate benefit-sharing agreements, must give prior informed consent before agreements are valid (s 27(3)), and are recipients of records and copies of agreements held in the CEO’s register where the agreement is with the Territory (s 31).

Government and regulators

• The CEO of the administering Agency is central: to be advised of applications referred by permit issuing authorities (s 12), to decide if proposed activity is bioprospecting (s 13), to negotiate benefit-sharing agreements on behalf of the Territory (s 16), to maintain the register and issue or revoke certificates of provenance (ss 33, 36-37), and to withhold sensitive information from public disclosure (s 23(2)). The Act explicitly binds the Crown in the right of the Territory (s 8).

Permit issuing authorities

• Permit issuing authorities are the agencies responsible for administering the Territory Parks and Wildlife Conservation Act 1976 and the Fisheries Act 1988, and any other body prescribed by regulation (s 4 definition; s 11 note). Those authorities remain responsible for issuing or declining permits under their regulatory role (ss 12, 21, 22).

Research, collections and museums

• Holders of ex situ collections, universities, museums and research organisations are affected. The Minister can declare certain collections exempt where those bodies administer bioprospecting in a manner consistent with the Act (s 10). The Northern Territory Herbarium and the Museum and Art Gallery of the Northern Territory are mentioned as repositories for voucher specimens (s 10 note; s 24(3) example). Parties holding samples may later request certificates of provenance if they have title (s 35).

Indirectly affected commercial users

• Businesses or institutions that use samples or extracts for product development, R&D or commercialisation will be affected by the obligations on chain of custody, record-keeping and provenance (ss 42, 35-36), and by any terms in benefit-sharing agreements that deal with ownership and transmission of samples to third parties (s 29(1)(g); s 31(2)(g)). The Act allows the CEO to record such dispositions in the register (s 31).

Indigenous persons and communities

• The Act explicitly recognises indigenous knowledge as a protected and valourised input to bioprospecting and requires benefit-sharing agreements to provide for protection, recognition and valuing of indigenous people’s knowledge where it is to be used (s 29(1), s 3(2)(d)). The CEO must ensure informed consent procedures are followed including giving adequate time for consultation and, where samples are on Aboriginal land, for the responsible Land Council to consult traditional owners (s 28(2)(b)).

Third parties and downstream transferees

• Persons who receive samples or extracts (e.g. downstream licensees, laboratories, overseas collaborators) fall within the regulatory perimeter insofar as the Act requires particulars of sample ownership and proposed transmission to third parties to be included in the benefit-sharing agreement and, for Territory-negotiated agreements, kept in the register (s 29(1)(g); s 31(2)(g)).

Who decides and who pays

• Decisions: permit issuing authorities decide on permits within their regulatory role but must refer suspected bioprospecting to the CEO (ss 11-13). The CEO decides whether the activity is bioprospecting, what information is needed, whether informed consent has been provided, whether a Territory-negotiated agreement is fair, and whether to issue or revoke certificates (ss 13, 15, 17, 28, 36-37).
• Costs and payments: the Act contemplates fees for certificates of provenance (s 36(1) requires the prescribed fee) and permits and other amounts may be prescribed by regulation (s 47(2)(b), (f)). The economic incidence of costs, application fees, negotiation and legal advice costs, monitoring and record-keeping,falls predominantly on bioprospectors, with negotiation benefits accruing to resource access providers and the Territory.

The Act allocates a clear set of statutory duties to bioprospectors, resource access providers, the CEO and permit issuing authorities, along with corresponding rights.

Duties of bioprospectors

• Permit requirement: A person must not engage in bioprospecting except in accordance with a permit registered with the CEO (s 38(1); s 11 requires application to permit authority).
• Benefit-sharing agreements: Enter into a benefit-sharing agreement with each resource access provider in relation to resources to be taken under a permit (s 27(1)).
• Prior informed consent: Ensure that resource access providers have given prior informed consent to agreement terms; the agreement is invalid without prior informed consent (s 27(3)).
• Records and reporting: Keep specified records for each sample (unique identifier, date, GPS location, quantity, scientific name, location when entered in record, subsequent disposition and recipients) and send copies to each relevant resource access provider, the permit issuing authority and the CEO within a reasonable time (s 42(1)-(2)). Retain records while the sample is in possession (s 42(3)).
• Sample reporting and lodging: Report the taking of samples to the permit issuing authority in accordance with permit conditions and include date, GPS coordinates, species and quantity; lodge voucher specimens where required (s 24).
• Sample disposal: Offer samples and records to resource access providers before disposing, and if disposal occurs, notify CEO (s 43).

Duties of resource access providers

• Consent and negotiation: Resource access providers must be given an opportunity to consent and negotiate benefit-sharing agreements; the CEO must be satisfied consent was prior and informed for non-Territory resource access providers (ss 27(3), 28).
• Receipt of records: Resource access providers are entitled to receive records and copies of sample records (s 42(2)).

Duties and discretions of the CEO

• Determination of bioprospecting: Consider referred applications and advise whether the proposed activity comprises bioprospecting (s 13).
• Information gathering: Consult other agencies or persons and require further information from applicants, including details of proposed biodiscovery activities and timetables (ss 14-15).
• Negotiate on behalf of the Territory: Where the Territory is the resource access provider, the CEO negotiates benefit-sharing agreements and must be satisfied the terms are fair to the Territory (ss 16-17).
• Register maintenance: Maintain the public register, decide what is not publicly disclosed for cultural, commercial or environmental protection, and record permit, sample and agreement details (ss 23, 31-33).
• Certificates and revocation: Issue certificates of provenance on application and prescribed fee, record them in the register, and revoke and Gazette revocations where a certificate should not have been issued (ss 35-37).
• Notification to permit issuing authority: Advise the permit issuing authority once satisfied a benefit-sharing agreement meeting the Act’s requirements is in place (s 20).

Duties of permit issuing authorities

• Referral: If, in the authority’s regulatory role, it determines the proposed activity may comprise bioprospecting, it must refer the application to the CEO and advise the applicant that approval is in-principle pending CEO consideration (s 12).
• Issuing permits: May issue permits once the CEO advises that an appropriate benefit-sharing agreement is in place; may decline to issue a permit for reasons within its regulatory role (ss 21-22). Must provide the CEO with full permit details or reasons for declining (s 22).
• Reporting to CEO: Must report to the CEO the details of samples taken and whether there are concerns about compliance with permit conditions (s 25).

Rights under the Act

• Right to negotiate: Resource access providers have the statutory right to negotiate benefit-sharing agreements and must give prior informed consent for agreements to be valid (ss 27-28).
• Right of holders to seek a certificate: A person with rights to a sample or successor in title may request a certificate of provenance from the CEO and must provide proof of title and unique identifier (s 35).
• Right to register agreements: Agreements negotiated on behalf of the Territory must be entered in the register and a copy kept by the CEO (s 31(1)); for non-Territory agreements, specified particulars must be entered (s 31(2)).
• Right to withhold sensitive information: The CEO has the right under the Act to withhold culturally sensitive, commercially damaging or environmentally risky information from public disclosure in the register (s 23(2)).

Limitations and prohibitions

• No exclusive rights: Neither a permit nor a benefit-sharing agreement creates exclusive rights to biological resources merely by their issue or entry; the CEO cannot grant exclusivity as Territory resource access provider and any agreement term attempting to do so is void (s 44).
• Non-transferable permits: A permit to take biological resources is not transferable (s 44A).
• Retrospective legitimisation is limited: A person holding a sample taken without compliance may legitimise it by entering a benefit-sharing agreement and providing details to the CEO, but legitimisation does not bar prosecution for breaches (s 30).

Administrative and regulatory mechanisms

• Regulations: The Administrator may make regulations governing fees, disposition of ownership in samples, enforcement options and other matters (s 47). Regulations may prescribe fees for certificates (s 36(1) read with s 47(2)(b)) and provide for regulatory offences and alternative enforcement mechanisms (s 47(2)(c)-(f)).
• Delegation: The CEO may delegate powers and functions to employees (s 46).

The Act establishes criminal and regulatory penalties, administrative enforcement levers and record-keeping obligations. Maximum penalties are expressed in penalty units; the Act’s endnotes and the current penalty unit value are not contained within the Act text here, so application will require reference to the Penalty Units Act or equivalent.

Primary penal sanctions

• Major offences and penalties: Engaging in bioprospecting without a registered permit, knowingly giving false or misleading information in an application or to the CEO, breaching permit conditions, and breaching a benefit-sharing agreement are each offences carrying a maximum penalty of 500 penalty units (ss 38-41). The text deems a person to be engaging in bioprospecting if there is a reasonable prospect that biological resources taken will be subject to R&D on relevant genetic or biochemical resources (s 38(2)).
• Lesser penalties for administrative breaches: Failure to keep required records, to send copies of records to relevant parties in a reasonable time, or to retain records while the sample is in possession carry maximum penalties of 100 penalty units (s 42). Failure to offer samples to resource access providers before disposal and failure to notify CEO on disposal carry maximum penalties of 100 penalty units (s 43).

Regulatory tools and discretion

• Permit denial and register entries: The permit issuing authority must decline to issue a permit where no benefit-sharing agreement meeting the Act’s requirements exists (s 18(1)(b)). The CEO is required to enter reasons for refusal in the register (s 18(2)). The CEO can withhold particular register information from public view where it believes disclosure would be culturally sensitive, hurt commercial interests, risk the environment or harm national interest (s 23(2)).
• Certificates and revocation: The CEO can issue certificates of provenance on payment of the prescribed fee and later revoke a certificate if it turns out it should not have been issued; revocations must be published in the Gazette and may be published otherwise at the CEO’s discretion (ss 36-37).
• Regulation-based enforcement: The Administrator may create regulations that prescribe penalties not exceeding 200 penalty units for breaches of those regulations (s 47(2)(c)), make certain contraventions regulatory offences (s 47(2)(d)) and provide enforcement mechanisms for codes of practice (s 47(2)(e)). Regulations may also provide for payment of prescribed amounts in lieu of penalties and for service of notices (s 47(2)(f)).

Investigatory and consultative powers

• Information gathering and consultation: The CEO may require further information from applicants where activities may comprise bioprospecting (s 15). The CEO may consult any Department, agency, Commonwealth or Territory body, or any other person with relevant information; persons giving information in good faith are protected from civil or criminal liability for doing so (s 14).

Overlap with other legal regimes and external enforcement risk

• Cross-jurisdiction issues: The Act applies throughout the Territory and, to the extent of competence, outside it for Territory-origin biological resources (s 9(1)-(2)). The Act notes federal EPBC regulations for Commonwealth areas in the Territory, signalling potential overlap with federal environmental regulation (s 9 note). Samples taken in contravention of other legislative regimes (for example, Fisheries Act licensing or Commonwealth obligations) may attract separate enforcement action under those regimes; the Act requires permit issuing authorities to act within their regulatory roles and allows them to decline permits for reasons such as environmental events affecting sustainability (s 22 note).

Practical enforcement implications

• The CEO and permit issuing authorities are the primary administrative enforcers, with criminal penalties available for significant breaches. The Act’s combination of record-keeping, register entries and certificates creates administrative evidence trails that can be used in prosecutions or compliance reviews. The registered certificate of provenance can serve as an administrative shield but is revocable if issued in circumstances that should have prevented issuance (s 37). Retrospective legitimisation of samples is possible (s 30) but does not immunise past breaches from prosecution (s 30(4)).

The Act contains numerous express cross-references to Territory and Commonwealth laws and leaves regulatory interplay to be managed in practice.

Territory permit regimes

• The Act does not create its own permit-granting machinery for taking flora, fauna or aquatic life; rather it requires persons to apply to the existing permit issuing authorities under the Territory Parks and Wildlife Conservation Act 1976 and the Fisheries Act 1988 (s 4 definition of permit issuing authority; s 11 note). Those authorities retain their regulatory roles and may decline permits even where the CEO has approved bioprospecting matters, for instance if intervening natural events affect sustainability (s 22 note). This design ensures the Act sits above and interacts with existing NT environmental and fisheries permit frameworks.

Commonwealth environmental law

• The Act expressly notes that Part 8A of the Environment Protection and Biodiversity Conservation Regulations 2000 (Cth) applies to Commonwealth areas in the Territory and lists the categories constituting Commonwealth areas for that purpose (s 9 note). The Act therefore contemplates concurrent federal regulation of Commonwealth areas and limits its own territorial scope accordingly. The certificate of provenance issued under s 36 also states consistency with Australia’s international obligations at the time the sample was taken, linking the certificate to compliance with international instruments.

Property, native title and Aboriginal land laws

• Several definitions rely on Commonwealth Acts concerning Aboriginal land and native title: 'Aboriginal land', 'Land Council', 'Land Trust' and native title bodies corporate references are linked to the Aboriginal Land Rights (Northern Territory) Act 1976 and the Corporations (Aboriginal and Torres Strait Islander) Act 2006 (s 4 definitions; s 6(1)(b)-(d)). Section 28(2)(b)(ii) requires the CEO to consider whether a Land Council had adequate time to consult traditional owners where biological resources are on Aboriginal land, embedding existing Land Council and Land Trust consultation processes into the Act’s informed consent requirement.

Gene technology and plant breeders’ rights

• The Act excludes from its scope genetically modified organisms regulated under the Gene Technology Act 2000 (Cth) and plant varieties covered by Plant Breeder’s Rights Act 1994 (Cth) where a Plant Breeder’s Right has been granted (s 5(2)(f)). This cross-reference prevents duplication of federal regimes from being subject to the Territory bioprospecting scheme for those specific categories.

Collections, museums and specimen holding

• The Minister may exempt specified biological resources or collections where they are appropriately managed by an Agency or other body or where international agreements require a different control regime (s 10). The Northern Territory Herbarium and Museum and Art Gallery of the Northern Territory are mentioned as bodies that hold plant and animal material respectively and as possible lodgement points for vouchers (s 10 note; s 24(3) example). The Act therefore interacts with museum and herbarium stewardship functions and their relevant statutes, including the Museum and Art Gallery of the Northern Territory Act 2014 as noted in the endnotes.

Evidence, property and personal property laws

• The Act contemplates disposition of ownership of samples, transmission to third parties and registration of particulars relating to ownership and transfer in the CEO’s register and permits regulations dealing with disposition (s 29(1)(g); s 31(2)(g); s 47(2)(a)). The Personal Property Securities (National Uniform Legislation) Implementation Act 2010 appears among the amendments listed in the endnotes, suggesting later amendments interacted with national personal property securities law (endnotes list of legislation and amendments). Parties transferring or licensing samples will need to consider personal property and title rules in conjunction with the register particulars required by this Act.

Administrative law and delegation

• The CEO’s powers may be delegated in writing to employees under the Public Sector Employment and Management Act 1993 (s 46), bringing standard administrative law and delegation principles into play. The CEO’s exercise of discretion under s 17 (satisfaction that agreements are fair to the Territory), s 13 (whether an activity is bioprospecting) and s 28 (informed consent evaluation) may be reviewable under administrative law principles applicable to Territory decisions.

Regulatory instruments and codes

• The Act provides the Administrator with a broad power to make regulations on fees, ownership, enforcement options, codes of practice and alternative enforcement mechanisms including regulatory offences (s 47(2)). Regulations can apply or adopt external documents and codes, folding them into the scheme (s 47(2)(g)). This gives regulators the capacity to harmonise practice with other domestic or international standards, subject to proper regulatory process.

Interaction notes for practitioners

• Practitioners must navigate the permit regimes under existing Territory Acts in tandem with the CEO’s bioprospecting gatekeeping role (ss 11-13, 21). Where samples have international supply chains or involve GMOs or plant breeder rights, federal laws may exclude or supplement the Act (s 5(2)(f); s 9 note). Land tenure, Land Council consultation procedures and native title processes intersect directly with the informed consent requirements, and records and title questions interact with personal property arrangements in transfers of samples (ss 6, 28, 29, 31).

The reprint contains an endnotes section that records the Act’s assent date, commencement and subsequent amendments. The Act received assent on 3 November 2006 and commenced on 14 February 2007 (Endnotes 2). The endnotes and listed amendments identify the following legislative changes and notes of formal amendment:

Formal and interpretive amendments

• The Interpretation Legislation Amendment Act 2018 made general amendments of a formal nature to several sections: ss 1, 4, 5, 6 and 46 (Endnotes 3). These are described as formal, interpretive or consequential in nature in the reprint’s endnotes rather than policy-driven amendments.

List of sections specifically recorded as amended in the reprint

• s 6 amended: No. 33, 2019, s 49; No. 26, 2020, s 3 (Endnotes 4).
• s 10 amended: No. 6, 2014, s 43 (Endnotes 4).
• s 21 amended: No. 6, 2014, s 43 (Endnotes 4).
• s 24 amended: No. 6, 2014, s 43 (Endnotes 4).
• s 30 amended: No. 6, 2014, s 43 (Endnotes 4).
• s 44A inserted: No. 30, 2010, s 28 (Endnotes 4).

Practical import of amendments recorded

• The 2010 insertion of s 44A makes clear that permits are not transferrable, altering possible secondary market practice for permit holders (s 44A ins No. 30, 2010, s 28).
• The 2014 amendments (Museum and Art Gallery of the Northern Territory Act 2014) affected provisions addressing exemptions for collections and the practicalities of lodging samples and legitimising retrospectively taken samples (ss 10, 24, 30) and the permit issuance process (s 21). The reprint does not provide the pre-amendment text; practitioners comparing versions should consult the amending Act.
• The 2019 and 2020 amendments to s 6 likely updated the resource access provider provision to reflect changes in land administration or terminological modernisation; the endnotes indicate formal adjustments and the Interpretation Legislation Amendment Act 2018 made formal changes to several definitions and section headings.

Recordation and reprint status

• The reprint includes the endnotes with a formal list of amendments and general amendments of a formal nature not listed individually (Endnotes 3-4). For litigation, administrative practice and statutory interpretation, practitioners should consult the consolidated statute including these amendments and any regulations made under s 47 to determine current operational detail such as fees, prescribed forms and offences under the regulations.

The reprinted Act text and its endnotes do not name any judicial decisions or administrative determinations interpreting the Biological Resources Act 2006. The statute as provided contains no case citations and the endnotes do not list judicial or tribunal outcomes. Consequently the reprint does not record a litigation history.

What the source shows with respect to litigation and interpretive practice

• The Act contains numerous discretions and subjective standards, whether an activity is bioprospecting (s 13), whether a benefit-sharing agreement is fair to the Territory (s 17(1)), whether resource access providers gave prior informed consent (s 28(2)), and whether information is culturally sensitive or would unwarrantedly damage commercial interests (s 23(2)). These are the types of provisions that in practice commonly attract litigation or administrative review claims in other jurisdictions, but no such determinations are included in the reprint.
• The Act also creates offences and administrative records that could give rise to prosecutions, judicial review of administrative decisions or civil disputes over contract terms in benefit-sharing agreements. The reprint records that pre-existing benefit-sharing agreements with the Territory are to be treated as agreements under s 16(1) and entered into the register (s 45), which in theory could raise retrospective disputes as well.

What practitioners should do

• Because the Act itself does not include litigation examples, practitioners needing authoritative guidance on contested questions under the Act should search Northern Territory and federal court databases, tribunal decisions and administrative determinations for cases invoking ss 13, 17, 28, 36-37 and the offences in Part 6. Areas of likely interpretive dispute include the meaning of "reasonable prospect" in s 38(2), the scope of "informed" consent in s 28, valuation and disclosure requirements under s 29, the CEO's fairness test under s 17, and the evidentiary role of certificates of provenance under s 36.
• Administrative practice, such as how the CEO applies the informed consent factors in s 28(2) or exercises s 23(2) to withhold information from the public register, may be clearer in agency guidance, codes of practice, or regulations made under s 47; those materials should be inspected for enforcement practice in the absence of case law in the reprint.

Several provisions contain traps for the unwary or create operational frictions that practitioners and clients should anticipate.

Broad definition of bioprospecting

• The statutory definition of bioprospecting (s 5(1)) captures taking samples for research concerning genetic resources or biochemical compounds. Subsection 5(2) lists a series of exceptions and subsection 5(3) lists activities that, if undertaken for purposes other than biodiscovery, are excluded. Distinguishing intended future use at the time of sample collection from subsequent use may be difficult in practice. s 38(2) deems a person to engage in bioprospecting if there is a reasonable prospect that samples taken will be subject to R&D; this introduces an objective test that can reach past stated intentions. In short, uncertainty about future use may expose collectors to the Act even if they claim non-biodiscovery motives.

Physical access versus legal resource access

• s 6(2) separates the resource access provider from the person controlling physical access. For example, where land is pastoral leasehold the Territory is the resource access provider but the lessee controls physical access. Bioprospectors must secure physical access arrangements with the controlling party while also entering benefit-sharing agreements with the resource access provider (s 6 note and s 27). Failure to deal with both can leave projects subject to access disputes.

Informed consent procedural requirements

• For non-Territory resource access providers, the CEO must be satisfied that prior informed consent was given, considering issues such as adequate knowledge, time to consult relevant people, time for Land Council consultation on Aboriginal land, and whether independent legal advice was available (s 28(2)(a)-(c)). Practically, this creates procedural timing and information obligations that can significantly extend negotiation timelines and require the bioprospector to fund or arrange processes (including legal advice) for resource access providers.

CEO discretion and fairness test

• If the Territory is the resource access provider, the CEO negotiates and must be satisfied the agreement is fair to the Territory (ss 16-17). The CEO may consider the applicant’s reputation for compliance, sustainability and honouring commitments (s 17(2)(a)-(d)). This gives the CEO subjective discretion, which may lead to unpredictability for applicants and heightened compliance checks. There is no statutory guidance on the quantitative standards for "fairness", so procedural clarity will depend on agency practice.

Non-exclusive rights and non-transferability

• The Act expressly disallows exclusive rights arising from permits or agreements (s 44). The CEO cannot grant exclusive rights for Territory resources and any term purporting to do so is void (s 44(2)-(3)). Additionally, s 44A bars transfer of permits. Parties expecting to secure monopolistic access or to trade permits as assets will find the statutory framework forbids such strategies.

Retrospective legitimisation does not immunise prosecution

• s 30 allows a person holding an unregulated sample or a sample taken for a different purpose later used for biodiscovery to "legitimise" it by disclosing details to the CEO and entering into a benefit-sharing agreement. However s 30(4) states legitimisation does not prevent prosecution for a breach of the Act. Relying on retrospective cure is therefore risky.

Certificates of provenance: administrative protection but revocable

• Certificates of provenance (s 36) provide an evidentiary statement that a sample was taken under a permit scheme and with informed consent and a benefit-sharing agreement in place. They require prescribed fees (s 36(1)). However, the CEO can revoke certificates if circumstances later indicate they should not have been issued and must publish the revocation in the Gazette (s 37). A revoked certificate may undermine downstream commercial reliance.

Register confidentiality carve-outs

• The CEO must not include information in the register if it is culturally sensitive, could unwarrantedly damage commercial interests, or could risk the environment or national interest (s 23(2)). While protective, these carve-outs mean the public register may be incomplete for due diligence. Buyers and collaborators cannot assume full transparency.

Record-keeping and disclosure obligations

• Strict record-keeping rules apply (s 42). Records must include unique identifiers linked to labels attached to samples. Copies must be sent to resource access providers, the permit issuing authority and the CEO within a reasonable time. Penalties of up to 100 penalty units attach. Chain-of-custody failures risk both administrative penalties and undermining certificate or benefit-sharing protections.

Potential regulatory expansion via regulations

• The regulations power is broad (s 47(2)): regulations can prescribe fees, ownership disposition rules, codes of practice, and create regulatory offences and alternative enforcement schemes. The scope for regulatory detail means compliance costs may change by regulation without amendment to the primary Act. Practitioners should monitor subordinate legislation and codes.

Overlap with federal laws and international obligations

• The Act excludes GMOs and plant varieties covered by federal plant breeder rights legislation (s 5(2)(f)). It also acknowledges that Commonwealth areas are subject to EPBC regulations (s 9 note) and certificates are framed by reference to Australia’s international obligations (s 36(2)). Projects with cross-jurisdictional elements will need concurrent compliance plans.

Who pays for consent processes and benefit-sharing

• The Act requires independent legal advice for resource access providers to be a factor in the CEO’s informed consent assessment (s 28(2)(c)). The text does not say whether the bioprospector must pay for that advice, but in practice bioprospectors often fund or facilitate such advice to secure consent. This creates negotiation costs and potential bargaining leverage imbalances.

Ambiguities and evidentiary burdens

• Several statutory standards (reasonable prospect, fairness, informed) are fact-sensitive and leave interpretive space. The Act places evidentiary burdens on applicants to satisfy the CEO and permit issuing authority of compliance, and on resource access providers to show informed consent where they refuse to sign, potentially generating disputes that require careful contemporaneous documentation.

A practical compliance roadmap, anchored to the Act’s provisions, for any person or entity intending to undertake bioprospecting in the Northern Territory.

Step 0 , Preliminary legal and factual assessment

• Determine whether the activity is bioprospecting per s 5(1). If the objective includes research on genetic resources or biochemical compounds, treat the project as bioprospecting unless a specific exclusion applies under s 5(2)-(3) (for example, samples taken for traditional indigenous subsistence activities, material of human origin, cultivated material not intended for biodiscovery, declared exemptions under s 10, or regulated GMOs and plant varieties).
• Identify the exact locations and tenure of proposed collection sites and determine the legal resource access provider under s 6(1). Note whether land is freehold, Aboriginal land, on native title land, under pastoral lease, part of Park freehold or Territory waters.

Step 1 , Secure physical access and determine the resource access provider

• Arrange any necessary physical access with the person who controls physical access to the site (s 6(2)). Where the resource access provider differs from the party controlling physical access (for example, Territory as resource access provider but lessee controlling access), secure both physical access arrangements and agreement in principle with the resource access provider, because the resource access provider must enter the benefit-sharing agreement (ss 6(1)-(2), 27).

Step 2 , Prepare permit application materials

• Apply to the appropriate permit issuing authority under the relevant statutory regime (Parks and Wildlife or Fisheries, or other prescribed authority) (s 11). Provide comprehensive detail about the proposed activity, including biodiscovery components, proposed timetable and scientific protocol, because the CEO may request further information under s 15.
• Expect the permit issuing authority to assess sustainability and other regulatory matters; if the authority believes the activity may comprise bioprospecting it must refer the application to the CEO and inform you that approval is in-principle but contingent on the CEO’s bioprospecting assessment (s 12(2)(a)-(b)).

Step 3 , Engage with the CEO’s processes

• If referred, the CEO will consider whether the proposed activity comprises bioprospecting (s 13). Prepare to supply further information about the biodiscovery activities, timetables and other details if requested (s 15). Be ready for the CEO to consult other agencies and bodies (s 14).

Step 4 , Negotiate benefit-sharing agreements before permit issuance

• If the CEO considers the proposed activity comprises bioprospecting, secure a benefit-sharing agreement with each resource access provider that meets the content requirements of s 29, including: full details of the parties, entry time/frequency where physical access is granted, species or lowest known taxon, quantity authorised, purpose of access, labelling of samples, disposition of ownership and transmission to third parties, any use of indigenous knowledge and proposed benefits (s 29(1)(a)-(k)).
• Ensure prior informed consent as required by s 27(3). For non-Territory resource access providers, the CEO must be satisfied informed consent was given and will look for evidence that the provider had adequate knowledge of the Act, adequate time to consult (including Land Council consultation on Aboriginal land where relevant), and access to independent legal advice (s 28(2)(a)-(c)). Keep contemporaneous records showing these steps.

Step 5 , Where the Territory is the resource access provider

• If the Territory is the resource access provider, the CEO negotiates and must be satisfied the agreement is fair to the Territory (ss 16-17). Provide information demonstrating your capacity for ecological sustainability, compliance history, and willingness to meet conditions such as lodging voucher specimens.

Step 6 , Get CEO confirmation and permit issuance

• Once the CEO is satisfied that an agreement addressing the required criteria is in place, the CEO will advise the permit issuing authority (s 20). The permit issuing authority may then issue the permit under its regulatory role and may impose conditions; the CEO may also advise on conditions to include (ss 21-22).

Step 7 , Pre-collection compliance and record set-up

• Before taking any sample, implement robust chain-of-custody protocols: ensure unique identifiers are prepared and will be attached to sample containers as required by s 42(1)(a). Implement GPS logging systems that use WGS84 datum to record exact sample locations as required by s 24(2)(b).

Step 8 , During collection: comply with permit conditions and reporting

• Take samples strictly within the species, quantity, timeframe and locations authorised by the permit and benefit-sharing agreement (ss 23(3)(c), 24). Report to the permit issuing authority in accordance with the permit conditions and include required details: dates, WGS84 GPS coordinates, species and quantities (s 24(1)-(2)).
• Where required by the permit, lodge voucher specimens with the Northern Territory Herbarium or the Museum and Art Gallery of the Northern Territory (s 24(3)) and advise the permit issuing authority when vouchers were lodged (s 24(4)).

Step 9 , Record retention and sharing

• Keep detailed records for each sample containing the unique identifier, date, location, quantity, scientific name, initial entry location and the subsequent disposition including names and addresses of any third parties with possession (s 42(1)(a)-(g)).
• Send copies of records to each relevant resource access provider, the permit issuing authority and the CEO within a reasonable time after the sample is taken (s 42(2)). Retain records while the sample remains in possession (s 42(3)).

Step 10 , Certificate of provenance and chain of title

• If you or a successor in title wish to obtain a certificate of provenance, apply in writing, include the unique sample identifier and proof of the right to title (s 35). Pay the prescribed fee for issuance (s 36(1)). Be aware the certificate asserts the sample was taken under an appropriate permit scheme and with informed consent and a benefit-sharing agreement in place; the CEO records the certificate in the register (s 36(2)-(4)).
• Remember that certificates can be revoked by the CEO if circumstances warrant and that revocations are gazetted (s 37).

Step 11 , Disposition and transfer compliance

• Any proposed transmission of samples to third parties should be documented in the benefit-sharing agreement and in the CEO’s register where required (s 29(1)(g); s 31(2)(g)). Ensure contracts with downstream labs, licensees or partners incorporate representations and warranties as to chain of title, permit compliance and requirements for any future certificates.

Step 12 , Disposal and offers to resource access providers

• If you do not intend to keep a sample, offer the sample and record to each resource access provider (s 43(1)). If none accepts, you may dispose of the sample but must report the disposal and send the record to the CEO at disposal time (s 43(2)). Failure to offer or report attracts penalties.

Step 13 , Ongoing compliance monitoring

• Maintain internal audit trails demonstrating compliance with permit conditions, the benefit-sharing agreement and record-keeping obligations. Ensure GDPR-type controls for cultural sensitivity where information may be withheld from the register (s 23(2)).

Step 14 , If non-compliance or retrospective legitimisation is needed

• If samples have already been taken without compliance, consider s 30: you can advise the CEO of the approximate date, location and person who took the sample, supply a unique identifier and scientific details, and enter a benefit-sharing agreement with the resource access provider. Be aware that s 30(4) expressly states legitimisation does not prevent prosecution for a breach; consult legal advisers before relying on retrospective cure.

Administrative practicalities and risk management

• Anticipate costs for permit applications, CEO-requested information, legal advice for resource access providers, fees for certificates (s 36(1)) and the time needed for Land Council consultations (s 28(2)(b)(ii)). Build these into project budgets and timelines.
• Keep documentary evidence of every step: communications with resource access providers, proof of information given to them about the Act, time allowed for consultation, offers of legal advice and fees paid for such advice where applicable, and copies of all records sent to resource access providers and the CEO. Such contemporaneous documents will be decisive if the CEO later audits informed consent or if a register entry is challenged.

Monitoring regulations and administrative guidance

• Because the Act empowers the Administrator to make regulations covering fees, ownership disposition and enforcement options, monitor subordinate legislation and any CEO-issued guidance or codes of practice (s 47(2)). These instruments can alter practical compliance requirements such as prescribed fees, forms, or alternative enforcement mechanisms.

In short, compliance requires a combined legal, scientific and project-management approach: identify tenure and stakeholders early, build informed consent and Land Council consultation into project timelines, implement chain-of-custody systems keyed to unique identifiers, document every negotiation and consent step to satisfy s 28, and ensure records and reporting to permit authorities and the CEO are timely and complete to avoid penalties under ss 38-43.
