Bendigo Art Gallery Site Act 1891

The Act introduces several distinct legal concepts that govern the land.

First, a statutory trust is imposed by section 3 and the Second Schedule. The trustees must hold the land and buildings for use as an art gallery and for offices and conveniences connected with it, including exhibitions of art productions and instruction in drawing and painting, and for no other purpose whatsoever. This is a purpose trust, not a trust for named beneficiaries. The trust must be administered in accordance with regulations made or approved by the Governor in Council, and in the meantime under rules made by the trust members that are not inconsistent with the schedule. The trust effectively removes the trustees’ discretion to change the use of the land; any deviation without Crown consent triggers a right of re-entry.

Second, the reservations and exceptions in the Second Schedule preserve Crown rights over the land. These are: all gold, silver and coal, with full liberty to search, dig, win, work and take them away, and rights of ingress, egress and regress for that purpose; the use of parts of the land required for making railways, canals, watercourses, reservoirs, drains or sewers; and the public use of parts proclaimed as or becoming public highways. These are not mere easements; they are exceptions from the transfer, meaning the Crown retains full ownership of those resources and rights, and the trust’s title is subject to them without compensation.

Third, the condition of re-entry is a forfeiture clause. It can be triggered if: (a) the Bendigo Art Gallery Trust is dissolved or becomes extinct; (b) the trustees without Governor in Council consent permit the land or premises to be used for any other than the trust purposes; (c) the trustees without consent permit the buildings to fall out of proper substantial tenantable repair and condition; (d) without consent the trustees alienate or attempt to alienate the land in fee simple or any lesser estate (except under a future law); (e) the trustees do or suffer anything whereby the really of the trust would become liable to be seized or sold under legal process to satisfy a debt or liability of the trust. Upon any of these events, the Crown may re-enter and hold the land as if it had never been alienated. This is a powerful Crown right; it operates as a condition subsequent.

Fourth, a limited power to mortgage is granted to the trustees. They may borrow money by way of mortgage on the land, but without power of sale. The borrowing must be approved by the Governor in Council and by a majority of trust members present at a meeting convened by four consecutive weekly advertisements in a Bendigo newspaper, with at least one month’s notice. Borrowed money may only be applied for the purposes or requirements of the trust. This is a constrained power: no sale, no unapproved borrowing, and a cumbersome meeting procedure.

Finally, the Act creates a special statutory mechanism for re-entry and title deletion. Section 5 allows the Commissioner of Titles, upon application by the Board of Land and Works and proof of re-entry to the Commissioner’s satisfaction, to order deletion of the folio of the Register and vesting of the land in the Crown, subject only to any duly authorised subsisting encumbrances. This bypasses normal Torrens system procedures and gives the Crown a direct path to recovery of the land.

The principal parties affected are the trustees for the time being of the Bendigo Art Gallery Trust. They are the registered proprietors and bear the ongoing duties and restrictions under the Act. They must ensure the land is used only as an art gallery with the specified ancillary purposes, maintain the buildings in repair, obtain Governor in Council consent before any change of use, any alienation, or any borrowing, and avoid any act that could make the trust’s realty liable to seizure. The trustees have no power to sell the land, and their power to mortgage is circumscribed. They must also comply with any regulations made or approved by the Governor in Council concerning the gallery’s use. The trust itself is affected: if it is dissolved or becomes extinct, the land reverts to the Crown.

The Governor in Council exercises significant control. The Governor in Council may direct reservations, conditions or exceptions to be set forth in the certificate of title prior to its issue (section 3). The Governor in Council must approve regulations for the use of the land, and must approve any act of the trustees that would otherwise trigger the condition of re-entry, such as a change of use, alienation, or failure to repair. The Governor in Council also must approve any mortgage and is the authority that authorises a person to re-enter on behalf of the Crown. So the executive arm of the state retains substantial supervisory power over the trust.

The Crown (Her Majesty, her heirs and successors) is the ultimate reversioner. The Crown is reserved the rights to gold, silver, coal, railways, canals, drains, sewers, and highways. The Crown has the right to re-enter and repossess the land upon breach of the condition, and thereafter the land becomes Crown land subject to general Crown lands legislation. The Crown is not the registered proprietor but has a contingent future interest.

The Registrar of Titles and the Commissioner of Titles have specific statutory duties. The Registrar must register the transfer, create a new folio, and upon an order of the Commissioner under section 5, must make recordings to give effect to the order, including calling in certificates of title and deleting the folio. The Commissioner must receive proof of re-entry and may make the vesting order.

Lenders are indirectly affected. The limited power to mortgage (without power of sale) means that any mortgagee cannot sell the land to recover the debt. The mortgage is only a security that can be enforced, presumably, through other means such as taking possession or appointing a receiver, but the land cannot be sold. This makes the land unattractive as security, and any lender would need to evaluate the risk that the Crown could re-enter and extinguish the trust’s interest, leaving the mortgagee with only a claim against the Crown (if at all) or the reversion. The Act provides that upon re-entry, the land reverts subject to any duly authorised subsisting encumbrance, so a mortgage granted with proper approvals may survive a re-entry, but only if it was “duly authorised” under the Act. Lenders must therefore verify the strict approval process.

Users of the gallery (the public, artists, students) are affected in that the land must be maintained for those purposes. The Act does not confer any private rights on them; they are third-party beneficiaries of the trust purpose but cannot enforce the trust directly unless standing is given under trust law.

The duties and rights in the Act are largely asymmetrical: heavy duties on the trustees, extensive rights in the Crown.

Trustees’ duties. The trustees must hold the land exclusively for use as an art gallery and for offices, conveniences, exhibitions of art productions, and instruction in drawing and painting, and for no other purpose whatsoever. This is an absolute prohibition on any other use. They must maintain the buildings in proper substantial tenantable repair and condition. They must not alienate or attempt to alienate the land in fee simple or any lesser estate except under a future law (which would presumably require amendment or repeal of this Act). They must not do or suffer anything that would make the realty of the trust liable to be seized or sold under legal process to satisfy a debt or liability of the trust. They must obtain Governor in Council consent before using the land for any other purpose, before permitting buildings to fall into disrepair, or before any alienation. They must comply with any regulations made or approved by the Governor in Council, and in the meantime with rules made by the trust that are consistent with the schedule. If they wish to borrow money by mortgage, they must call a meeting with notice advertised once per week for four consecutive weeks in a Bendigo newspaper, specifying the business and a time and place at least one month from the first advertisement, obtain a majority vote of members present, and then obtain Governor in Council approval. The money borrowed must be applied only for the purposes or requirements of the trust.

Trustees’ rights. The trustees have the right to hold the land as registered proprietors and to use it for the permitted purposes. They have a right to mortgage the land (limited as above). They have the right to make rules for the governance of the gallery, provided those rules are not inconsistent with the schedule. They have the right to be free from claims by the Council of Defence, since the land is discharged from all trusts, estates, interests, rights, titles, claims, and demands of that Council.

Crown’s rights. The Crown has reserved rights to gold, silver, coal, and to use land for railways, canals, watercourses, reservoirs, drains, sewers, and public highways. The Crown has the right to re-enter upon breach of the condition. The Governor in Council has the right to make or approve regulations, to direct additional reservations or conditions on the certificate of title, to approve or withhold consent to various trustee actions, and to authorise a person to re-enter on the Crown’s behalf. Upon re-entry, the Crown holds the land as if it had never been alienated, subject only to any duly authorised subsisting encumbrance.

Registrar and Commissioner’s powers. The Registrar must register the transfer and create a folio. The Commissioner, on proof of re-entry, may order deletion of the folio and vesting in the Crown. The Registrar must then record the order and may call in certificates of title.

Lenders’ rights. A mortgagee with a duly authorised mortgage has a security interest that may survive a re-entry, but the mortgage cannot include a power of sale. The mortgagee’s remedies are therefore limited to those available at law or equity for a mortgage without power of sale, such as taking possession or appointing a receiver, but cannot sell the land. The mortgagee also bears the risk that the re-entry might be contested or that the approval process was defective.

This Act does not impose criminal penalties, fines, or imprisonment. The only enforcement mechanism is the condition of re-entry set out in the Second Schedule, which is a forfeiture of the land to the Crown. The condition is enforceable by re-entry by any person authorised by the Governor in Council on behalf of the Crown. The condition is not self-executing; the Crown must take positive steps to re-enter. However, section 5 provides a streamlined post re-entry process: upon application by the Board of Land and Works on behalf of the Crown, and upon proof of re-entry to the satisfaction of the Commissioner of Titles, the Commissioner may order deletion of the folio of the Register and vesting of the land in the Crown, free of the trust but subject to any duly authorised subsisting encumbrances. The Registrar must then make recordings to give effect to the order and may call in any relevant certificate of title. This means the Crown does not need to go to court to recover title; the administrative process under the Transfer of Land Act, as supplemented by this Act, is sufficient. The only check is the Commissioner’s satisfaction that re-entry has been duly made in accordance with the condition. The condition itself does not require a court order, but any dispute about whether the condition has been triggered (e.g., whether the trust has been dissolved, or whether buildings are out of repair) could still be litigated in the ordinary courts. The Act provides no further enforcement teeth. There are no penalties for non compliance short of forfeiture. The trustees are not personally liable; the sanction is loss of the land. However, if the trustees cause the trust to become liable for debts that lead to seizure, that itself triggers the condition. The result is that the trust’s only real asset is subject to forfeiture, and the trustees have a strong incentive to comply strictly.

The Act explicitly references several other statutes. The Discipline Act 1883 (section 14) was the original source of the conveyance to the Council of Defence. That Act is no longer in force, but its historical role is acknowledged. The Trusts Act 1890 (Part III) is the Act under which the Bendigo Art Gallery Trust was registered. The 1891 Act does not repeal or amend the Trusts Act; it simply uses the existing trust structure and overlays additional statutory conditions. The trust itself remains subject to the general law of trusts except where the 1891 Act displaces it.

The Transfer of Land Act 1958 governs the registration process. Section 2 requires the Registrar to register the transfer “in the manner prescribed by the Transfer of Land Act 1958 for registration of transfers” and to create a folio. The later amendment by the Transfer of Land (Computer Register) Act 1989 updated references to reflect the computerised register and the change from “Registrar of Titles” to “Registrar” and from “folio of the Register” to “Register” etc. Section 5 also relies on the powers of the Commissioner of Titles, which are conferred under the Transfer of Land Act. So the 1891 Act operates within the Torrens system, but creates special provisions (such as the power to delete a folio on proof of re-entry) that would not exist under general Torrens law.

The Crown land legislation is referred to in section 4: upon re-entry, the land is deemed to be Crown land subject to be dealt with under any Act relating to the sale, leasing or occupation of Crown lands. So the Act integrates with the general law governing Crown land disposal. The specific Act in force at the time of any re-entry would apply; currently that would be the Crown Land (Reserves) Act 1978 or the Land Act 1958, depending on the land’s classification.

The Act also has potential interactions with planning and heritage laws that were not in force in 1891 but apply today. The land is in Bendigo and may be subject to local council planning schemes, heritage overlays, and building regulations. The trust’s use as an art gallery would likely be a permissible use, but any change of use or development would require both council permits and the Governor in Council’s consent under this Act. The Act’s restriction to art gallery purposes may conflict with later planning laws that permit other uses; the 1891 Act would prevail as a specific statute, but the trust would need to comply with both.

The reservation of gold, silver and coal interacts with mining legislation. Any mining on the land would require the consent of the trust? The reservation says the Crown has full liberty to search and dig, so the trust cannot prevent mining. However, the trust’s purpose of maintaining an art gallery could be frustrated by mining activity. The Act does not resolve that conflict; presumably the Crown’s right is paramount.

The original Act (No. 1227 of 1891) received assent on 22 December 1891 and commenced on that date. It has been amended only once, by the Transfer of Land (Computer Register) Act 1989 (No. 18/1989). That Act was assented to on 6 May 1989, and its relevant provisions (section 13, Schedule 2, item 8) commenced on 3 February 1989 (by Government Gazette 18 December 1991, which appears to be a retrospective commencement). The amendment made two changes. First, it amended section 2 by substituting references to the “Transfer of Land Act 1958” for the earlier “Transfer of Land Act 1890” (the 1890 Act had been repealed and replaced). Second, it amended section 5 by replacing references to “Registrar of Titles” with “Registrar of Titles” (the terminology changed with the computerisation of the register, and the section was also updated to refer to “folio of the Register” and to require the Registrar to make recordings and call in certificates of title). The amendment did not change the substance of the vesting or re entry provisions. No other amendments have been made. There are no amendments not in operation at the date of this publication. The Act therefore remains largely in its original 1891 form, with only technical updates to align with current land registration practice.

The source text (the version of the Act as at 1 June 2019) contains no references to any litigation. No cases are cited in the endnotes, and the explanatory details section is empty. This is not surprising for a small, single purpose statute that has had only one technical amendment in 130 years. The Act’s provisions are clear in their terms, and the narrow scope (one parcel of land, one trust) means there are few parties who would have standing to litigate. The condition of re-entry is a potential source of dispute, but there is no evidence in the public record of any re-entry having occurred or been challenged. The trust has presumably operated the gallery continuously since 1891, and the land has remained in the trust’s possession. If any disputes did arise, they would likely be heard in the Supreme Court of Victoria, perhaps under its equitable jurisdiction regarding trusts or property. However, no reported decisions are mentioned. The Act has not been the subject of appellate interpretation. This lack of litigation history means that the precise boundaries of terms such as “instruction in drawing and painting” or “proper substantial tenantable repair” remain untested. Practitioners should therefore interpret the Act strictly according to its plain meaning, with an awareness that a court might apply general trust and property law principles if a dispute arises.

Several features of the Act can trap the unwary.

Extremely narrow purpose clause. The trust is “for an art gallery and offices and conveniences connected therewith (including exhibitions of art productions and also including instruction in drawing and painting) and for no other purpose whatsoever”. The italicised “whatsoever” leaves no room for any ancillary revenue generating activity, such as a cafe, retail shop, concert venue, or commercial hire of the space for private events, unless those activities fall within “offices and conveniences connected therewith” or are part of an exhibition or instruction. Even a small gift shop may be risky unless it is treated as a convenience connected with the art gallery. Any expansion into modern museum practices (film screenings, wedding receptions, corporate functions) would require close analysis and likely Governor in Council consent. The Act does not define “art gallery”, “exhibitions of art productions”, or “instruction in drawing and painting”, so there is some scope for interpretation, but a court would likely construe them strictly given the penal forfeiture condition.

Crown reservation rights may conflict with gallery operations. The Crown retains the right to take parts of the land for railways, canals, watercourses, reservoirs, drains, or sewers, and to mine for gold, silver, and coal. While unlikely in a built up area, these rights could be exercised without the trust’s consent and without compensation (the Act is silent). The public highway reservation means the Crown could proclaim a road through the gallery site, potentially severing the land. The trust has no power to object.

Power to mortgage is practically unusable. The requirement for four consecutive weekly newspaper advertisements and a meeting at least one month after the first advertisement, plus a majority vote of members present, plus Governor in Council approval, and with no power of sale, makes borrowing almost impossible in a commercial context. Lenders will be reluctant to lend on a security that cannot be sold and that is subject to a Crown re entry condition. The mortgage must be “without power of sale”. The only remedy for a defaulting borrower would be for the mortgagee to take possession or appoint a receiver, but the trustee must still operate the gallery. The re entry condition could also be triggered if the trust becomes liable to seizure, so a mortgagee might inadvertently cause a forfeiture by enforcing its security.

The condition of re entry for disrepair is subjective. The trustees must not permit the buildings to become “out of proper substantial tenantable repair and condition”. This is a high standard and not defined. The cost of maintaining an ageing heritage building could be substantial. Failure to keep up with maintenance, even due to lack of funds, could trigger re entry. The condition does not require notice or a cure period; the Crown can re enter at any time after the disrepair occurs.

Alienation prohibition is absolute. The trustees cannot alienate the land in fee simple or for any lesser estate, except “under and in pursuance of some law hereafter in force”. That exception presumably allows future legislation to override the Act, but the trustees cannot rely on it until such a law is passed. Any attempt to lease the land for a term of years, or to grant an easement, could be an alienation triggering re entry. The Act does not define “alienate”, but it likely covers any transfer of an interest in land.

The trust must never become extinct. If the trust is dissolved or becomes extinct by any means, the land reverts. The trust must ensure its own perpetual existence. This is a standard condition for a charitable trust, but the consequences are severe.

No provision for change of use even with consent. The Second Schedule’s condition says the trustees must not “without the consent of the Governor in Council permit or suffer the said land and premises or any part thereof to be used for or applied to any other than the purposes of the above mentioned Trust”. This implies that Governor in Council consent can be given for a different use. However, the trust itself in the schedule says the land shall be “maintained and used as and for an art gallery and offices and conveniences connected therewith … and for no other purpose whatsoever”. There is a tension: the condition allows consent to vary the use, but the trust clause seems absolute. A court would likely read the condition as an exception to the trust clause, meaning that with consent the use can be changed, but only temporarily or specifically? The Act is ambiguous. The safer view is that the consent power allows the Governor in Council to authorise a use that would otherwise be a breach, thereby avoiding the condition. But the trust clause itself is not amended; it still says “no other purpose whatsoever”. This is a gotcha for anyone assuming that consent is a simple fix.

Compliance with the Bendigo Art Gallery Site Act 1891 requires the trustees to adopt a conservative approach to land management and governance.

First, maintain the permitted use strictly. The land and buildings must be used only as an art gallery, including offices and conveniences connected with it, exhibitions of art productions, and instruction in drawing and painting. Any new activity (cafe, concert, retail, private hire) should be assessed for whether it is a convenience connected with the gallery or a separate use. If in doubt, seek Governor in Council consent in writing before commencing the activity. Keep detailed records of all uses, and include in the trust’s annual report a statement confirming compliance with the statutory purpose.

Second, keep the buildings in repair. The condition requires “proper substantial tenantable repair and condition”. Implement a planned maintenance program, with regular inspections, a maintenance fund, and professional assessments every few years. Document all repairs. Do not allow any building to deteriorate. If funds are insufficient, consider applying for grants or seeking Governor in Council approval for a mortgage (see below). Do not let any part of the premises become unusable or unsafe.

Third, do not alienate the land. Do not sell, lease (for any term), mortgage (except with full procedure), or grant easements or licences that could be construed as an interest in land. If a lease is needed (e.g., for a caretaker), obtain Governor in Council consent and ensure the lease is for a short term and does not amount to an alienation of the fee simple. The safer alternative is to avoid any lease and instead grant licences (which may not be an interest in land) but even that should be done with caution.

Fourth, avoid any debt or liability that could lead to seizure of the land. The trust must not incur debts that could result in a judgment creditor seizing the realty. This means maintaining adequate insurance, not trading while insolvent, and ensuring that any loans are structured to avoid the land being the primary asset subject to execution. If borrowing is necessary, use the limited mortgage power and obtain Governor in Council approval, but be aware that the lender cannot sell the land.

Fifth, if a mortgage is required, follow the procedure precisely. The trust must convene a meeting with notice advertised once per week for four consecutive weeks in a newspaper circulating in Bendigo. The notice must specify the business (borrowing) and fix a time and place at least one month from the first advertisement. At the meeting, a majority of members present must consent. Then application must be made to the Governor in Council for approval. The mortgage must be without power of sale. The borrowed funds can only be used for the trust’s purposes or requirements. Keep copies of the advertisements, meeting minutes, and consent.

Sixth, never attempt to dissolve the trust. Ensure the trust has perpetual succession. If the trust structure needs to be changed (e.g., to incorporate a new governance model), seek legal advice on whether this would count as dissolution. Any change that extinguishes the existing trust could trigger re entry.

Seventh, comply with regulations. Monitor any regulations made or approved by the Governor in Council. Currently, there may be none, but the power exists. The trust may also make its own rules, but they must not be inconsistent with the schedule. Keep a copy of current rules and review them periodically.

Eighth, engage with the Governor in Council proactively. For any significant decision (change of use, borrowing, alienation) the trust should seek formal consent in advance. The Governor in Council may impose conditions. Document all correspondence.

Finally, keep the land registered under the Transfer of Land Act and ensure the folio is accurate. If the trust changes its trustees, the transfer of trusteeship should be recorded on the Register. The Act does not require this, but it is prudent to maintain a clean title. If a re entry is threatened, the trust should immediately seek legal advice and possibly injunctive relief, as the administrative process under section 5 is summary.
