Ayers House Act 2024

The Act is compact and introduces a small set of legal concepts and mechanisms that interact:

• Vesting in fee simple, with constrained disposal: Ayers House is legally vested in the Minister (s 5(1)). The Minister’s ability to grant rights or interests is constrained by a consent requirement from the National Trust, or by a substitute test that follows consultation and a satisfaction that the Trust is “unreasonably withholding consent” (s 5(2)). The Minister must certify compliance with s 5(2) to the Registrar‑General before registration of any right or interest (s 5(4)). The concept separates title-holding (Minister) from day‑to‑day control (Trust).

• Operational control: Care, control and management are vested in the National Trust on commencement (s 6(1)). The Trust is authorised to grant leases and licences “as if they were the owner” subject to the Minister’s Gazette notices (s 6(2)). The phrase “as if they were the owner” places the Trust in the position of an owner for the purposes of commercial dealings under these provisions, subject to the statutory constraints.

• Public access and Ministerial direction by Gazette notice: The Minister must, by notice in the Gazette, specify rights of public access that the Trust must provide (s 6(3)(a)). The Minister may also, with the Trust’s agreement, specify additional requirements relating to care and management by Gazette notice (s 6(3)(b)). The Act identifies types of matters that requirements may cover, including standards of care and maintenance, the grant of leases or licences or any other matters agreed between Minister and Trust (s 6(4)).

• Liability transfer and extinguishment: Section 7 produces a legal effect that, from commencement of s 6, the Crown is not and will not be liable for any claims arising in respect of Ayers House or any use of it, while the National Trust is liable for all such claims as if it were the owner (s 7(1)). The Act expressly extinguishes any Crown liability that would have existed but which is not a liability of the Trust (s 7(2)). The Act defines “claim” broadly to include actions, proceedings, remedies, damages, costs and other liabilities (s 7(4)).

• Rates exemption: Section 8 removes the obligation to pay council rates under the Local Government Act 1999 in respect of Ayers House or any lease, licence, right or interest in it.

• Transitional non‑change of use and automatic assignment: Schedule 1 Part 2 cl 2 declares that resumption of use of Ayers House by the Trust and prescribed activities are not changes in land use for the purposes of the Planning, Development and Infrastructure Act 2016. Schedule 1 Part 2 cl 3 provides that on commencement any lease or licence with respect to Ayers House is assigned to the National Trust “as if the National Trust had granted the lease or licence”.

• Amendment to Trust objects and definition cross‑reference: Schedule 1 Part 1 amends s 5 of the National Trust Act 1955 to add an object requiring protection and heritage conservation of Ayers House in accordance with any requirements under the Ayers House Act 2024, and adds the Ayers House definition cross‑reference.

• Broad regulations power: s 9 allows the Governor to make regulations “contemplated by, or necessary or expedient for the purposes of, this Act”, providing delegated legislation capacity.

The main concepts therefore operate along three axes: ownership and title (Minister in fee simple), operational control and commercial powers (National Trust acting as owner for management and leasing subject to notices), and allocation of risk and fiscal incidence (liability shifted to Trust, rates exempted). The Act intertwines ministerial direction through Gazette notices and a requirement for agreement with the Trust for some management requirements, creating a mix of unilateral and consensual controls.

The Act changes legal relationships and financial exposures for a defined group of actors. The principal affected parties are:

• The National Trust of South Australia (the Trust). The Trust acquires care, control and management of Ayers House on commencement (s 6(1)). The Trust is authorised to operate commercial activities to generate revenue (s 4(a)) and to grant leases and licences “as if they were the owner” subject to Gazette notices (s 6(2)). At the same time, the Trust assumes liability for all claims in respect of Ayers House or any use of it, “as if they were the owner”, from the commencement of s 6 (s 7(1)(b)). The Trust’s objects in its constituting statute are amended to include protection and heritage conservation of Ayers House (Schedule 1 Part 1 item 1).

• The Crown and the Minister. The Minister is the legal title‑holder in fee simple (s 5(1)), retains residual powers to grant rights and interests subject to the statutory consent or satisfaction test (s 5(2)), must publish public access rights by Gazette notice (s 6(3)(a)), and may publish management requirements by Gazette notice with the Trust’s agreement (s 6(3)(b)). The Minister must provide an instrument to the Registrar‑General certifying compliance with s 5(2) prior to registration when the Minister grants an interest (s 5(4)). From commencement of s 6 the Crown is relieved of liability for Ayers House claims (s 7(1)(a)) and any Crown liability not assumed by the Trust is extinguished (s 7(2)).

• Local government councils. Councils lose the power to levy council rates under the Local Government Act 1999 in relation to Ayers House or any lease, licence or interest in it (s 8). This affects council revenue and future valuation and rating administration in respect of that land and any associated interests.

• Leaseholders, licensees and third parties with rights or interests in Ayers House. Existing leases and licences are automatically assigned to the National Trust on commencement of the transitional clause (Schedule 1 Part 2 cl 3). Future lessees and licensees will be contracting with the National Trust as the operative manager and commercial counterparty (s 6(2)), subject to any Gazette notices specifying public access or other requirements (s 6(3)-(4)). Any granted right or interest that the Minister creates in respect of Ayers House must be registered only after the Minister certifies compliance with the consent/satisfaction test (s 5(4)).

• Members of the public and visitors. The Minister must define rights of public access by Gazette notice that the Trust must provide (s 6(3)(a)). The Act’s objects include continued rights of public access (s 4(d)). The public’s practical access will depend on the content of the Minister’s Gazette notice and the Trust’s operational arrangements.

• The Registrar‑General and administrative agencies. Registration of interests is conditioned on the Minister’s certification that s 5(2) requirements have been satisfied (s 5(4)). The Administrative Arrangements Act 1994 remains unaffected for existing proclamation vestings (s 5(3)). Planning authorities see resumption of use and prescribed activities as not constituting change in land use for the Planning, Development and Infrastructure Act 2016 under the transitional clause (Schedule 1 Part 2 cl 2).

• Insurers and potential litigants. The Trust’s new position as liable party “as if owner” (s 7(1)(b)) makes insurers of the Trust and those seeking remedies for loss or damage the parties likely to be involved in claims. The Act’s broad definition of “claim” (s 7(4)) expands the legal scope of exposures that the Trust is regarded as bearing.

The Act therefore shifts duties, benefits and costs materially from the Crown and local councils to the National Trust, while preserving statutory tools for the Minister to protect public access and set standards by Gazette notice. Parties dealing with Ayers House will find contractual counterparties changed, statutory protections and obligations clarified, and rate liabilities removed.

The Act creates a small set of statutory duties, rights and formal steps for actors involved with Ayers House. Important provisions to note are:

Rights and powers

• Ministerial title and conditional disposal. The Minister holds Ayers House in fee simple (s 5(1)), and thus holds ultimate legal title. The Minister may grant rights or interests, but only with the National Trust’s consent or where the Minister is satisfied after consulting the Trust that the Trust is unreasonably withholding consent and the grant is not inconsistent with the Act’s objects (s 5(2)). The Minister’s power to grant is therefore conditional rather than unfettered.

• National Trust management powers. On commencement, the National Trust has the power to exercise care, control and management of Ayers House (s 6(1)) and may grant leases or licences “as if they were the owner” (s 6(2)). That authorises the Trust to enter commercial arrangements and manage the site operationally subject to Gazette notices.

• Public access prescription. The Minister must publish rights of public access in the Gazette that the Trust must provide (s 6(3)(a)). Those Gazette notices are statutory instruments with binding effect on the parties covered by the Act.

• Amendment and revocation of notices. The Minister may amend or revoke notices by further Gazette notice. Amendments or revocations of notices that were issued under s 6(3)(b) require the Trust’s agreement; amendments to public access notices under s 6(3)(a) do not require the Trust’s agreement (s 6(5)).

• Registration certification. If the Minister grants any right or interest in Ayers House, the Minister must provide the Registrar‑General with an instrument certifying that the requirements of s 5(2) have been satisfied before the Registrar‑General makes an entry in the Register Book in relation to the right or interest (s 5(4)). This imposes an administrative precondition to registration.

Duties and liabilities

• National Trust liability. From commencement of s 6 the National Trust “is liable for all claims in respect of Ayers House, or any use of Ayers House, as if they were the owner of Ayers House” (s 7(1)(b)). The Act defines “claim” expansively, including actions, proceedings, remedies, damages, costs and expenses (s 7(4)). The Trust’s liability is stated to be in addition to any other liability it has in relation to Ayers House (s 7(3)), so statutory liability here does not displace contractual or other statutory liabilities the Trust may have.

• Crown immunity for Ayers House claims. “Despite any other Act or law”, the Crown is “not and will not be liable” for any claims arising in respect of Ayers House or any use of Ayers House from the commencement of s 6 (s 7(1)(a)). The Crown’s statutory immunity on this subject is absolute in the terms used.

• Extinguishment of Crown liabilities. Any Crown liability that would have existed but which is not a liability of the Trust pursuant to s 7(1)(b) is extinguished by force of the section (s 7(2)). The extinguishment is express and operates immediately.

• Rate exemption duty removal. No council rates are payable under the Local Government Act 1999 in respect of Ayers House or any lease, licence, right or interest granted in respect of Ayers House (s 8). This is a duty‑removal provision as to local councils and ratepayers in relation to the site.

Administrative duties

• Publication requirements. The Minister is required to put specified public access rights in the Gazette (s 6(3)(a)); the Minister may, with the Trust’s agreement, put other management requirements in the Gazette (s 6(3)(b)). These Gazette notices operationalise the Minister’s oversight and the Trust’s obligations and are central to compliance.

• Transitional administrative effects. Existing leases and licences are assigned to the Trust on commencement of the transitional clause (Schedule 1 Part 2 cl 3). The resumption of use and prescribed activities are treated as not constituting change in land use under the Planning, Development and Infrastructure Act 2016 (Schedule 1 Part 2 cl 2(1)), which reduces the risk of needing fresh planning approvals for previously undertaken activities.

What the Act does not do

• The Act does not create criminal offences or specific penalties for non‑compliance with Gazette notices. Enforcement of requirements appears to be primarily civil and administrative via the allocation of liability and the Minister’s powers to set or amend requirements.

• The Act does not specify mandatory insurance, funding obligations or ongoing grants from the Crown to the Trust. The Trust’s liability as owner will therefore be borne by the Trust unless otherwise covered by contract, insurance or other funding arrangements.

Taken together, the statutory scheme creates operational decision‑making rights for the Trust, ministerial control via Gazette notices, and a clear allocation of civil exposure to the Trust while removing rate obligations and Crown liability.

The Ayers House Act 2024 does not create criminal penalties or administrative fines within its text. Enforcement mechanisms and legal consequences under the Act are primarily civil, administrative and archetypal of property and governance law rather than penal. Key enforcement and consequence elements are:

• Civil liability allocation. The statutory transfer of liability in s 7 is the principal enforcement‑adjacent mechanism. From commencement of s 6, the National Trust is “liable for all claims in respect of Ayers House, or any use of Ayers House, as if they were the owner” (s 7(1)(b)). That allocates the financial consequence of legal claims, including damages, costs, orders and other remedies, to the Trust rather than the Crown.

• Extinguishment of Crown claims. Section 7(2) extinguishes any Crown liability that would have existed but for the operation of s 7(1)(a) and which is not a liability of the Trust. The effect is to remove Crown exposure decisively. The extinguishment is expressed to operate “by force of this section”, indicating immediate statutory effect on legal claims that would otherwise have attached to the Crown.

• Administrative compliance via Gazettal and registration steps. The Minister is required to publish public access rights by Gazette notice (s 6(3)(a)). The Minister may publish additional management requirements with the Trust’s agreement (s 6(3)(b)). Where the Minister grants any right or interest in Ayers House, the Minister must provide the Registrar‑General with an instrument certifying satisfaction of s 5(2) before the Registrar‑General records the entry (s 5(4)). The registration certification requirement acts as an administrative gate for the creation of registered interests and can be enforced by the Registrar‑General refusing to record entries absent certification.

• No express enforcement powers for Gazette notices. The Act does not specify penalties for breach of Gazette‑issued requirements under s 6. The statutory effect of a Gazette notice is to define contractual and management obligations, and the practical enforcement mechanism would therefore be civil remedies or contractual enforcement, or administrative action by the Minister (which the Act does not specify beyond amendment and revocation powers).

• Interaction with other statutes and remedies. The Act expressly states “despite any other Act or law” at s 7(1), which means the liability shift and Crown immunity take precedence over inconsistent provisions elsewhere. Remedies for breaches of duties that are not covered by s 7 will remain available under other statutes unless expressly displaced. The Act does not purport to remove statutory enforcement powers that are not inconsistent with its clear terms, but the statutory priority in s 7(1) is broad.

• Regulatory instruments. The Governor may make regulations “contemplated by, or necessary or expedient for the purposes of, this Act” (s 9). Regulations made under s 9 could create enforcement mechanisms, procedural requirements, or penalties, depending on the scope of delegated drafting exercised by the executive. As at the text of the Act, no such regulations are contained within it.

• Practical enforcement actors. Any person seeking remedy for loss, damage or other claims arising from Ayers House would pursue those remedies against the National Trust, not the Crown, from the commencement of s 6 (s 7(1)). Councils may not be able to enforce rates recovery as there is an explicit exemption (s 8). The Registrar‑General’s registrar function provides administrative enforcement by conditioning registration on the Minister’s certification (s 5(4)).

In summary, the Act enforces its objectives chiefly by reallocating civil and administrative consequences, placing the Trust as owner for liability purposes and preserving ministerial oversight through Gazette notices, rather than by introducing new criminal offences or express penalties in the statute itself. The regulations power retains the possibility that subordinate legislation could add procedural enforcement mechanisms later.

The Act expressly and implicitly intersects with several existing statutory frameworks. Key interactions found in the text are:

• Heritage Places Act 1993. Section 5(5) states that, “for the purposes of the Heritage Places Act 1993 the National Trust is to be taken to be the owner of Ayers House.” That is a statutory recognition that, while legal title sits with the Minister, the Trust is treated as owner for heritage law purposes. The Act therefore aligns owner status in the Heritage Places Act with the operative management role of the Trust without transferring legal title.

• Administrative Arrangements Act 1994. Section 5(3) provides that nothing in s 5(2) affects any vesting of land pursuant to a proclamation under the Administrative Arrangements Act 1994. The section preserves the operation or effects of any proclamation vesting made under that Act even though Ayers House is vested in the Minister in fee simple by s 5(1).

• Local Government Act 1999. Section 8 states that no council rates are payable under the Local Government Act 1999 in respect of Ayers House or any lease, licence, right or interest in respect of Ayers House. The Act therefore displaces the normal application of rating law to this parcel and to any interests granted in it.

• Planning, Development and Infrastructure Act 2016. Schedule 1 Part 2 cl 2 declares that the resumption of use of Ayers House by the National Trust and the carrying out of “prescribed activities” by the Trust are taken not to constitute changes in the use of the land for the purposes of the Planning, Development and Infrastructure Act 2016 (cl 2(1)). “Prescribed activities” is defined as activities of a kind previously undertaken by the Trust at Ayers House (cl 2(2) definition). The transitional clause thus prevents the Trust’s resumption of prior activities from triggering planning change‑of‑use rules.

• National Trust of South Australia Act 1955. Schedule 1 Part 1 amends s 5 of the National Trust Act 1955 by adding an object (e) that requires protection and heritage conservation of Ayers House in accordance with any requirements under the Ayers House Act 2024, and by inserting a cross‑reference definition of Ayers House (Schedule 1 Part 1). This makes Ayers House a specific object within the Trust’s statutory mandate, binding its trustees to the Act’s requirements.

• Registrar‑General and land registration regime. Section 5(4) conditions the Registrar‑General’s registration of any Minister‑granted right or interest on the Minister providing an instrument certifying satisfaction of s 5(2). This creates an interaction with the land registration system and an administrative control on the creation of registered interests.

• Other statutes and claims. Section 7(1) begins with “Despite any other Act or law”, which signals that the statutory allocation of liability to the Trust and immunity to the Crown takes precedence over inconsistent legislative provisions. The Act therefore overrides inconsistent liability or claim provisions in other statutes to the extent they would attach liability to the Crown for Ayers House claims after commencement of s 6.

• Regulations and delegated legislation. Section 9 grants the Governor power to make regulations “contemplated by, or necessary or expedient for the purposes of, this Act.” Regulations could be used to provide detailed procedures, definitions or enforcement mechanisms that interact with other regulatory schemes.

Overall, the Act creates a carefully defined localised legal regime for Ayers House that modifies the application of rating law, planning change‑of‑use rules for certain activities, heritage owner status, land registration processes and civil liability allocation. The expressed “despite any other Act or law” language in s 7 means that the liability allocation is intended to have primacy over inconsistent statutory provisions.

The Ayers House Act 2024 is itself short and includes a schedule of related amendments and transitional provisions. The Act’s amendment history within the text is confined to Schedule 1 and to the legislative metadata detailing assent and commencement. Key points in the amendment record visible in the Act are:

• Amendments to the National Trust of South Australia Act 1955. Schedule 1 Part 1 inserts a new paragraph (e) into s 5(1) of the National Trust Act 1955, adding an object: “the protection and heritage conservation of Ayers House (in accordance with any requirements under the Ayers House Act 2024)” (Schedule 1 Part 1 item 1(1)). Schedule 1 Part 1 also inserts a new subsection in the National Trust Act providing a definition cross‑reference: “In this section, Ayers House has the same meaning as in the Ayers House Act 2024” (Schedule 1 Part 1 item 1(2)). Those amendments explicitly tie the Trust’s statutory objects to Ayers House and the new Act’s requirements.

• Transitional provisions. Schedule 1 Part 2 provides two transitional mechanisms. Clause 2 ensures that the resumption of use of Ayers House by the National Trust and prescribed activities are not changes in land use for the purposes of the Planning, Development and Infrastructure Act 2016 (Schedule 1 Part 2 cl 2(1)). Clause 2 also defines “prescribed activities” narrowly as activities of a kind previously undertaken by the National Trust at Ayers House (cl 2(2)). Clause 3 effects an assignment: “On the commencement of this clause, any lease or licence with respect to Ayers House is assigned to the National Trust (as if the National Trust had granted the lease or licence)” (Schedule 1 Part 2 cl 3). These transitional clauses operate to maintain continuity of activity and contractual relationships on the Trust’s resumption of management.

• Commencement and legislative history metadata. The Act records in its legislative history that the principal act (Ayers House Act 2024) is Year 2024 No 11, with assent on 18 April 2024 and commencement on 1 July 2024 as per the Gazette (Gazette 13.6.2024 p1429). Section 2 provides that the Act comes into operation on a day to be fixed by proclamation, aligning statutory commencement to proclamation practice.

• No other statutory amendments are contained in the Act text. The Act does not amend other statutes by operation beyond the specific National Trust Act amendments and the specific interactions provided elsewhere in the Act (for example, the explicit displacement of rating obligations under the Local Government Act 1999 in s 8, and the declaration as to the Heritage Places Act in s 5(5)).

The amendment history within the Act is therefore narrow: it expands the National Trust’s statutory objects to include Ayers House, provides transitional arrangements for planning and lease assignment, and sets the date of commencement by proclamation. The Act itself does not record any previous amendments to the Ayers House Act because it is the principal law; any future changes would appear as later amending Acts not contained in the text provided.

The Act’s text does not record any case law or litigation regarding its provisions. No judicial decisions, appeals, or litigation matters are embedded in the statute text. Given the recency evident from the legislative history (assent 18 April 2024; commencement 1 July 2024), the Act is likely new to the legal landscape and any litigation would, if it arises, be post‑enactment.

The Act does, however, create several discrete legal questions that could be the subject of future litigation or dispute resolution. These potential areas for future legal contest are grounded in the Act’s wording and include:

• Interpretation of “unreasonably withholding consent” under s 5(2)(b). The statute permits the Minister to grant a right or interest without the Trust’s consent where the Minister is satisfied, after consulting the Trust, that the Trust is unreasonably withholding consent and the grant is not inconsistent with the objects of the Act. Disputes could arise about the standard or evidentiary content of “unreasonably withholding consent”, including what processes or communications are required for the Minister to be satisfied, and whether judicial review could be available to challenge a Ministerial satisfaction.

• Scope of Gazette notices and their legal effect. The Minister is required to specify rights of public access by Gazette (s 6(3)(a)) and may, with the Trust’s agreement, specify other management requirements (s 6(3)(b)). Litigation could arise as to the legal status of Gazette notices, for example whether non‑compliance with a Gazette public access requirement creates private law remedies, or whether the Minister’s amendment of public access notices (which the Act allows without the Trust’s agreement under s 6(5)) may be subject to judicial review on procedural fairness or other administrative law grounds.

• Extinguishment and scope of extinguished Crown liabilities. Section 7(2) extinguishes any Crown liability that would have existed but is not a liability of the Trust. Questions may arise about temporal application and whether pre‑existing claims that had arisen prior to the commencement of s 6 survive against the Trust, the Crown, or are extinguished. The Act’s plain language appears to extinguish Crown liability prospectively and extinguish any Crown liability not taken on by the Trust; the precise cut‑off points and retrospective operation could be contested in litigation.

• Assignment of existing leases and licences. Schedule 1 Part 2 cl 3 assigns any existing lease or licence to the Trust “as if the National Trust had granted the lease or licence”. Disputes could arise about the operation of third party consent clauses in existing leases, statutory rights that require consent to assignment, or whether assignment triggers rights of re‑entry, termination, or renegotiation under existing contractual terms.

• Interaction with other statutes. Although the Act states that s 7 operates “despite any other Act or law”, litigation can arise about whether certain statutory obligations or protections outside the Act are inconsistent and therefore displaced. For example, claims against the Crown under other liability regimes could test the scope of s 7’s priority.

• Practical enforcement issues. Because s 7 confers liability to the Trust “as if they were the owner” and s 6(2) authorises the Trust to act as owner, litigation over obligations arising under the Heritage Places Act 1993, planning law, or contract law could test how the Trust’s dual status (owner for some purposes but not fee simple title holder) operates in practice.

At present, the Act contains no recorded litigation history. If disputes arise over the elements above, they are likely to be civil, administrative law or property‑law matters, given the Act’s allocation of duties and its absence of penal provisions. Any litigation would therefore be in courts or tribunals with civil jurisdiction and could engage judicial review, contract law, property law, or statutory interpretation questions.

The Act is succinct, but it contains several provisions and drafting features that create practical traps and administrative steps that are easy to miss. The following are concrete “gotchas” for practitioners and administrators, grounded in the Act’s text:

• Legal title and operational owner are split. The Minister holds the fee simple title (s 5(1)) while the National Trust holds care, control and management (s 6(1)) and is treated as owner for many purposes (s 5(5); s 7(1)(b)). This split can cause confusion in transactional documents, enforcement proceedings, or third party dealings where “owner” is not explicitly defined. Practitioners should express clearly whether “owner” references mean the Minister as legal title holder or the Trust as operational owner.

• Broad definition of “claim”. Section 7(4) defines claim to include an extensive list of remedies, costs and liabilities. That breadth means the Trust’s exposure is extensive, encompassing actions, proceedings, judgments, orders, relief, remedies, damage, loss, compensation, reimbursement, cost, expense and liability. The Trust should not assume that liability is limited to typical property torts; it includes a wide commercial sweep.

• Crown liability extinguished, potentially extinguishing remedy. Section 7(2) extinguishes Crown liabilities not assumed by the Trust. If a victim holds a claim that would have been against the Crown, they may find that remedy is unavailable if the Trust does not assume it. The statutory extinguishment operates by force of the section; parties should not assume the Crown remains an available defendant for retrospective claims.

• Registrar‑General certification step required for Minister grants. If the Minister grants any right or interest in Ayers House, the Registrar‑General must receive an instrument certifying that s 5(2) requirements have been satisfied before registering the interest (s 5(4)). Failure to provide certification will prevent registration. Practitioners dealing in land titles must ensure this administrative prerequisite is completed to enable registration.

• Gazette notices as binding operational controls. The Minister must specify public access rights by Gazette notice (s 6(3)(a)). That is a statutory instrument and not merely a policy statement. The Trust must implement whatever the Gazette requires. Practitioners must check the Gazette for operative notices and monitor amendments because the Minister can change public access notices without the Trust’s consent (s 6(5)), potentially altering obligations.

• Difference in amendment consent requirements for different notices. The Minister may amend or revoke a notice, but amendments or revocations to notices under s 6(3)(b) (management requirements agreed with the Trust) require the Trust’s agreement (s 6(5)). In contrast, amendments to public access notices under s 6(3)(a) do not require Trust agreement. The asymmetry can create operational risk for the Trust on public access.

• Automatic assignment of existing leases and licences. Schedule 1 Part 2 cl 3 assigns any existing lease or licence to the Trust “as if the National Trust had granted the lease or licence”. This assignment may trigger consent clauses, revenue allocation changes, or require notification to tenants. There may be contractual or statutory provisions in existing agreements that reference assignment, registration or consent that now need re‑examination.

• Rates exemption applies to future interests. Section 8 exempts Ayers House and any lease, licence, right or interest granted in respect of Ayers House from council rates under the Local Government Act 1999. The exemption extends to interests granted in the future, which affects councils’ revenue models and valuation approaches and may affect purchasers or lessees who might have expected to pay rates.

• Resumption of use not a change in land use for planning law. Schedule 1 Part 2 cl 2 provides that resumption and “prescribed activities” are not a change in use for the Planning, Development and Infrastructure Act 2016. The definition of “prescribed activities” is limited to activities previously undertaken by the Trust at Ayers House. Activities outside that prior scope may still require planning processes.

• Insurance and funding obligations are not specified. The Act transfers liability to the Trust but does not mandate insurance, ongoing funding from the Crown, or capital expenditure. The Trust will carry financial exposure unless it secures funding or insurance. Practitioners advising the Trust should address insurance placement, risk reserves and budgetary measures.

• No express enforcement or penalties for Gazette non‑compliance in the Act. There is no express penalty regime for non‑compliance with Gazette notices. Enforcement would therefore be through civil remedies or by other statutory instruments if regulations are later made. That creates enforcement uncertainty.

• “Despite any other Act or law” in s 7 may not prevent contractual claims. While s 7 gives statutory primacy to the liability shift over other laws, the Trust remains “liable” in addition to other liabilities (s 7(3)). Parties should review contracts for indemnities, warranties and other clauses that can create parallel private law obligations.

These features produce a series of operational and legal points that require attention from trustees, ministers, councils, tenants and insurers. Checking Gazette notices, confirming assigned leases, updating contracts, securing insurance and clarifying who is sued for what are immediate priorities to avoid surprise exposures.

Compliance with the Act requires co‑ordinated administrative, contractual and risk management steps by the National Trust, the Minister’s office, local councils, and parties with existing interests in Ayers House. Below is a practical checklist grounded in the statute’s requirements, cross‑references to the relevant sections, and suggested actions.

For the National Trust

• Confirm commencement and Gazette notices. On commencement of s 6, the Trust gains care, control and management (s 6(1)). Immediately check the Gazette for notices under s 6(3)(a) and s 6(3)(b). Implement any specified rights of public access and management requirements in accordance with the notices.

• Review and assume assigned leases and licences. Schedule 1 Part 2 cl 3 assigns existing leases and licences to the Trust. Compile a register of all leases and licences that are now assigned, noting any consent, notice, registration or termination clauses triggered by assignment. Notify lessees, licensees and counterparties as appropriate and take steps to effect practical management continuity.

• Assess and manage liability. Section 7(1)(b) makes the Trust liable for all claims “as if they were the owner”. Conduct a formal risk assessment of Ayers House exposures, and secure appropriate insurance cover for public liability, property, management liability and any identified risks. Consider professional indemnity for trustees and management.

• Budget for maintenance and standards. The Minister may publish standards of care and maintenance as a Gazetted requirement (s 6(4)(a)). Prepare budgets and capital plans to meet likely maintenance standards and to be able to comply with any management requirements agreed with the Minister.

• Make decisions about commercial operations. The objects of the Act explicitly include the Trust’s use of Ayers House for commercial operations to generate revenue (s 4(a)). Where the Trust proposes to grant leases or licences, ensure that such grants are consistent with Gazette requirements and that contracts reflect the Trust’s liability position, public access obligations, and the absence of rates.

• Clarify contracting capacity and title representation. When granting new leases or licences “as if they were the owner” (s 6(2)), draft instruments to reflect the Trust’s role as manager and operational owner and note that fee simple title rests with the Minister. If a third party requests title documentation, ensure the Registrar‑General and land registry steps are addressed as necessary.

For the Minister and Minister’s office

• Prepare and publish Gazette notices. The Minister must specify rights of public access by Gazette notice (s 6(3)(a)) and may, with the Trust’s agreement, specify other management requirements (s 6(3)(b)). Draft clear, implementable Gazette notices that identify measurable standards and operational expectations.

• When granting rights or interests, follow s 5(2) process. If the Minister intends to grant any right or interest in Ayers House, obtain the National Trust’s consent or, if proceeding without consent, consult the Trust and form a documented satisfaction that the Trust is unreasonably withholding consent and that the grant is not inconsistent with the Act’s objects (s 5(2)(b)). Provide the Registrar‑General with the required instrument certifying compliance before registration (s 5(4)).

• Coordinate with the Registrar‑General. Ensure administrative procedures are in place to deliver the certification required by s 5(4) and to liaise with land registry staff to avoid registration delays.

• Manage the asymmetric amendment power. Be aware that the Minister can unilaterally amend public access notices under s 6(3)(a) and s 6(5). Establish consultation protocols to manage changes and communications so that the Trust can operationalise any changes without service disruption.

For Local Government and Rating Authorities

• Reconcile rates and valuation records. Section 8 exempts Ayers House and any lease, licence, right or interest in it from council rates under the Local Government Act 1999. Update rating databases, remove Ayers House from ordinary rate billing, and notify relevant finance teams to ensure correct treatment. Recompute budgets if the exemption materially affects revenue.

For existing lessees, licensees and prospective commercial partners

• Confirm assignment and counterparty. Schedule 1 Part 2 cl 3 assigns leases and licences to the Trust on commencement of that clause. Verify whether assignment has occurred, whether your rent or rights are affected, and update counterparties and payment instructions accordingly.

• Check for public access obligations. Determine whether any public access requirements published by Gazette (s 6(3)(a)) affect use or revenue models for commercial operations. Where a lessee’s operation might be limited by public access obligations, renegotiate or incorporate those conditions into lease documents.

• Review rate expectations and contractual pricing. Because council rates are disapplied for Ayers House and any interests (s 8), adjust business models or contractual expectations that assumed rates payments or rate-based outgoings.

Cross‑cutting steps

• Recordkeeping and transparency. Keep clear records of Gazette notices, Ministerial consultations, the Registrar‑General certification instrument for any Minister grants, assignments of leases and licences, insurance policies, and maintenance standards. These records will be material to defending claims and demonstrating compliance.

• Monitor for regulations. Section 9 permits regulations. Monitor the State Gazette and legislative updates for any regulations made under the Act that establish procedural requirements, reporting obligations, or enforcement mechanisms.

• Legal review of contracts. Parties should review existing contractual arrangements in light of the Trust’s new liability exposure and the assignment provisions. Include clear indemnities, warranties and notice protocols tailored to the Act’s allocation of risk.

• Communicate with stakeholders. The Trust and Minister should develop communications for the public, tenants, councils, insurers and heritage authorities to set expectations about public access, liability, maintenance and business operations.

Practical compliance thus requires administrative coordination between the Minister’s office, the Registrar‑General, the Trust, local councils, insurers and affected third parties. The Act places primary operational duties on the National Trust and administrative steps on the Minister’s office; both must translate statutory obligations into operational procedures.
