The number of members of a committee required to constitute a quorum at a meeting of the committee is: (a) if the number of committee members is an odd number—the number of committee members that constitute a majority of the committee’s membership; or (b) if the number of committee members is an even number—the number of committee members equal to one more than half the committee’s membership.
