Australian River Co. Limited Act 2015

The Act introduces several operative concepts. ARCo is defined as the Australian River Co. Limited (ACN 008 654 206). This is the specific company being dissolved and absorbed. Asset is defined broadly to include any legal or equitable estate or interest in real or personal property, whether actual, contingent or prospective, and any right, power, privilege or immunity. Liability is similarly broad: any liability, duty or obligation, whether actual, contingent or prospective. This expansive definition ensures that everything ARCo owns or owes is captured, including future or conditional rights and obligations. Transfer time is defined as the commencement of Schedule 1, which occurred by proclamation on 24 April 2015. The Act’s commencement table shows that sections 1 to 4 came into force on Royal Assent (1 April 2015), but Schedule 1 commenced on a day fixed by Proclamation, which was 24 April 2015. If Schedule 1 had not commenced within 12 months of Royal Assent, it would have been automatically repealed; because it was proclaimed, the vesting took effect on that date. Assets official and land registration official are the persons responsible for keeping registers for assets and land respectively; they may register the vesting on the basis of a certificate signed by the Minister. The Act provides a streamlined registration mechanism. A certificate lodged with a land registration official (item 3) or an assets official (item 4) that identifies the asset and states it has vested is not a legislative instrument and the official may register it as if it were a proper instrument. Such certificates are taken to be authentic unless the contrary is proved (item 12). Rules means rules made under item 15, which are legislative instruments. The Minister may make rules prescribing matters required or permitted by the Act or necessary or convenient for carrying it out. Rules can, among other things, provide for the deregistration of ARCo under the Corporations Act 2001, matters occurring after the transfer time, and reporting obligations. Critically, rules may also provide that provisions of the Schedule are taken to be modified as set out in the rules (item 15(4)), a Henry VIII clause allowing the executive to alter primary legislation via delegated legislation. However, rules cannot create offences or civil penalties, provide for arrest, detention, entry, search or seizure, impose a tax, set an appropriation amount, or amend the Act itself. The Act also creates an exempt matter for stamp duty and other state/territory taxes (item 11). The Minister can certify a matter is exempt, and such a certificate is prima facie evidence of that fact. The compensation provision in item 13 is a fallback constitutional safety net: it applies only if the operation of the Act would result in an acquisition of property otherwise than on just terms. “Acquisition of property” and “just terms” take their meaning from the Constitution, not the Act. If the Commonwealth and the person do not agree on compensation, the person may sue in the Federal Court for a reasonable amount. This is not an automatic right to compensation for every loss; it depends on a constitutional claim.

The primary entity affected is the Australian River Co. Limited (ARCo) itself. The Act dissolves ARCo in practical terms: its assets and liabilities are stripped away, it loses its legal personality for those purposes, and its records are taken. ARCo’s directors, officers, employees, and former officers are affected because the Act overrides their usual duties and powers. Under item 10, the directors’ obligation to keep books under subsection 601AD(5) of the Corporations Act 2001 after deregistration is transferred to the Commonwealth. Directors and officers may also be required under the rules to prepare or lodge reports or returns after the transfer time (item 15(2)(c)). Creditors of ARCo are directly affected: their claims against ARCo become claims against the Commonwealth. This is a significant change of debtor, potentially affecting enforceability, priority, and interest rates if the Commonwealth’s creditworthiness differs. Shareholders of ARCo are likely to lose their investment entirely, as the Act does not provide for any payment to shareholders. The only compensation provision (item 13) is limited to constitutional acquisition of property; shareholders’ shares may not constitute “property” for that purpose, or if they do, the acquisition may be on just terms if the shares are worthless. Counterparties to contracts with ARCo now deal with the Commonwealth as the party. The automatic substitution may alter contractual rights, especially if the contract contains change of control clauses or restrictions on assignment. Persons who had pending legal proceedings with ARCo are affected: the Commonwealth is automatically substituted as a party for proceedings related to transferred assets or liabilities; otherwise the Minister may decide to substitute. State and territory governments are affected because they cannot levy stamp duty or other taxes on the vesting or anything connected with it (item 11). This deprives them of revenue that would normally be payable on a transfer of assets. Commonwealth entities may be given functions under the rules to manage liabilities transferred to the Commonwealth (item 9). Any person with a contingent or prospective right against ARCo is also affected because the liability definition is expansive. The Minister and the Department are central actors: the Secretary or SES employees can be delegated powers, and the Minister has broad discretion to make determinations and rules. The Act also affects the Federal Court, which may hear compensation disputes. Finally, because the Act applies outside Australia (section 4), foreign persons or entities with assets held by ARCo outside Australia may be affected, though the Act’s extraterritorial reach may conflict with foreign property laws.

The Act imposes few explicit duties on private actors; most duties fall on the Minister and Commonwealth officials. The core duty is on ARCo and its officers to cooperate, though the Act is silent on enforcement mechanisms for non-cooperation. Item 8 requires that records and documents in ARCo’s custody immediately before the transfer time are to be transferred into the custody of the Commonwealth after the transfer time. This implies an obligation on ARCo to deliver up records, but the Act does not create an offence for failing to do so. The Minister has a duty to act within the limits of the rule-making power: rules cannot create offences or civil penalties, provide for arrest or search, impose taxes, or set appropriations (item 15(5)). The Minister may delegate powers (other than the rule-making power) to the Secretary or an SES employee, but the delegate must comply with any directions (item 14). The Minister has a power to certify matters for land vesting (item 3), asset vesting (item 4), and exempt matters (item 11). These certificates are powerful: they facilitate registration and are prima facie evidence of the matters stated. The Minister has discretion to determine that things done by ARCo are taken to be done by the Commonwealth (item 5), that references in instruments to ARCo are to be read as references to the Commonwealth (item 6), and that the Commonwealth is substituted in legal proceedings (item 7). These determinations are not legislative instruments, so they are not subject to parliamentary disallowance or public consultation. However, the Minister must not act arbitrarily: determinations must be in writing and presumably subject to administrative law review. The Commonwealth has a right to become the successor in law to ARCo’s assets and liabilities, and to be substituted in proceedings. The Commonwealth also has a right to require transfer of records. Persons whose property is acquired otherwise than on just terms have a right to reasonable compensation from the Commonwealth (item 13). If no agreement, they may institute proceedings in the Federal Court. This is a statutory right that mirrors the constitutional guarantee. Persons who are affected by a determination or a certificate may have rights under administrative law to seek judicial review, but the Act does not create any special review mechanisms. State and territory governments have no right to levy taxes on the exempted matters; they must forgo that revenue. Creditors and counterparties have a right to enforce obligations against the Commonwealth as the new party, but the Act does not alter the terms of the underlying obligations. There is no duty on the Commonwealth to notify affected persons of the vesting; the Act operates automatically. The rules may prescribe additional duties, such as reporting requirements on former officers (item 15(2)(c)), but those rules are not yet specified in the text.

The Australian River Co. Limited Act 2015 contains no offence provisions and no civil penalty regime. Item 15(5)(a) explicitly provides that the rules may not create an offence or civil penalty. This means there is no direct criminal or civil penalty for failing to comply with the Act’s requirements, such as the duty to transfer records (item 8). Enforcement relies on other legal mechanisms. For example, if ARCo or its officers refuse to hand over records, the Commonwealth might seek an order for specific performance or an injunction in a court with inherent jurisdiction. Failure to comply with a court order could result in contempt proceedings. Alternatively, the conduct might constitute an offence under other laws, such as the Archives Act 1983 if records are destroyed (note in item 8 says the records become Commonwealth records under that Act). The Act does not specify any transitional enforcement powers. The Minister’s determinations and certificates are not legislative instruments and are not subject to disallowance, but they may be challenged under administrative law for jurisdictional error or unreasonableness. Item 12 provides that a document appearing to be a certificate under items 3, 4, or 11 is taken to be authentic and properly given unless the contrary is established. This reverses the normal burden of proof: a person challenging the certificate must prove it is not genuine. In compensation claims, the Federal Court has jurisdiction to determine a reasonable amount if the Commonwealth and the person do not agree (item 13(2)). The court can enforce the compensation right against the Commonwealth. There are no time limits specified for bringing a compensation claim, but general limitation periods would apply. The Act does not provide for enforcement of rules: if a rule requires a report to be lodged and it is not, the enforcement would depend on the rule itself, but since the rule cannot create an offence, it may rely on consequences under other legislation. The stamp duty exemption (item 11) is enforced by operation of law; state revenue offices cannot collect duty on exempt matters. If a state attempts to impose duty, the Commonwealth may rely on the certificate as evidence. Overall, the Act is designed to operate by force of law rather than through penalties; the primary enforcement risk for affected persons is that they lose rights or incur liabilities without compensation unless they successfully invoke the compensation mechanism or challenge a determination.

The Act directly overrides state and territory taxation laws by exempting the vesting and connected matters from stamp duty and other taxes (item 11). This means that even if a state law would ordinarily impose duty on a transfer of land or assets, the Commonwealth absorbs the assets free of that charge. The Act interacts with the Corporations Act 2001 in several ways. Item 10 modifies subsection 601AD(5) of that Act so that the reference to directors of a company immediately before deregistration is read as a reference to the Commonwealth. This deals with the obligation to keep books after deregistration. Item 15(2)(a) allows the rules to prescribe matters relating to ARCo’s deregistration under the Corporations Act, implying that ARCo will eventually be deregistered by ASIC. The Act does not itself deregister ARCo; it leaves that to rules. The Act also interacts with the Public Governance, Performance and Accountability Act 2013 (PGPA Act) by allowing rules to give a specified Commonwealth entity the function of managing liabilities that have become Commonwealth liabilities (item 9). That entity must agree to manage them. The Archives Act 1983 is engaged because after transfer, ARCo’s records become Commonwealth records as defined in section 3 of that Act (note in item 8). This triggers obligations regarding preservation, access, and disposal. The Legislation Act 2003 applies to rules made under item 15: they are legislative instruments and must be registered and tabled. However, subsection 12(2) of the Legislation Act, which allows retrospective application of legislative instruments, does not apply to rules made for the purposes of item 15(2)(a) or (b) (deregistration and post-transfer matters) as per item 15(3). This prevents rules from operating retrospectively for those matters. The Constitution, particularly paragraph 51(xxxi) (acquisition of property on just terms), is directly relevant via item 13, which creates a statutory compensation mechanism to ensure the Act is constitutionally valid. If the Act purported to acquire property without just terms, it would be invalid. The compensation provision attempts to save it by providing for reasonable compensation. State and territory laws regarding land titles and asset registries are affected: land registration officials and assets officials are obliged to give effect to ministerial certificates (items 3 and 4). They must treat the certificates as proper instruments even if their state legislation would not normally recognise such a procedure. The Act does not, however, amend the state laws; it operates on a Commonwealth level and relies on the officials’ cooperation. General Commonwealth contract law and tort law apply to the transferred liabilities; the Commonwealth becomes subject to all duties and obligations that ARCo had. The Act does not purport to extinguish or alter the content of those liabilities, only the identity of the obligor. The interaction with foreign law is uncertain because of the extraterritorial application (section 4); foreign courts may not recognise the compulsory transfer of assets located within their jurisdiction.

The Australian River Co. Limited Act 2015 as presented in the source material is the Act as originally enacted. The text includes a commencement table that shows sections 1 to 4 commenced on 1 April 2015 (Royal Assent). Schedule 1 commenced on a day fixed by Proclamation, which was 24 April 2015, as indicated by the reference to F2015L00575, the registration number of the Proclamation. The Act itself provides (section 2(1)) that if Schedule 1 did not commence within 12 months of Royal Assent, those provisions would be repealed automatically. Because the Proclamation occurred within that period, the Schedule came into force. No subsequent amendment history is provided in the source. The note in section 2(1) states that the table relates only to the provisions as originally enacted and will not be amended to deal with later amendments. The text we have does not include any amending Acts or regulations. Therefore, it is not possible to determine from the source whether the Act has been amended since its enactment. In practice, private acts of this nature are often one-off and not amended, but that cannot be assumed. The rules made under item 15 are a form of delegated legislation and may have been amended over time, but the Act itself may remain unchanged. The source does not provide any amending schedules or notes. For the purposes of this deep dive, we can only state that the Act as originally enacted is what we have, and any amendment would require reference to the Federal Register of Legislation. The Act also contains a Henry VIII clause (item 15(4)) allowing rules to modify the Schedule, so substantive changes to the operation of the Act could occur via rule changes without formal amendment of the Act itself. That means the Act’s effect can evolve through executive action, which is a significant feature for anyone relying on the Act’s current wording.

The source material for the Australian River Co. Limited Act 2015 does not reference any litigation history. The Act itself provides a potential source of litigation: the compensation mechanism in item 13 allows a person to institute proceedings in the Federal Court for recovery of compensation if they claim an acquisition of property otherwise than on just terms. It is possible that such proceedings have been brought, but the source does not mention any. The Act also may have been challenged on constitutional grounds, for example, whether the vesting amounts to an acquisition of property without just terms, or whether the delegation of rule-making power violates the separation of powers. The item 13 compensation clause suggests the drafters anticipated such challenges and attempted to head them off. However, without referencing external cases, we cannot state that any case exists. Practitioners should search the Federal Court and High Court records for cases involving ARCo or the Australian River Co. Limited Act. Additionally, the ministerial determinations under items 5, 6, and 7 are administrative decisions potentially subject to judicial review under the Administrative Decisions (Judicial Review) Act 1977. Certificates under items 3, 4, and 11 may also be challenged. The Act does not oust judicial review, but the certificate authentication provision in item 12 shifts the evidential burden. Any litigation history would depend on whether affected parties (creditors, shareholders, counterparties) have disputed the vesting, the scope of assets transferred, or the amount of compensation. Because the Act is a private act for a specific company, litigation history is likely limited and fact-specific. For the purposes of this deep dive, the source provides no case names or details, so we cannot and should not invent them.

Several aspects of the Act could catch out the unwary. First, the breadth of the definitions of “asset” and “liability” (item 1) includes contingent and prospective interests. This means that even if a right or obligation has not yet crystallised, it is automatically transferred. For example, a pending insurance claim or a potential warranty claim against ARCo becomes a claim against the Commonwealth. Contractual rights that depend on future events are swept up. Second, the ministerial discretion under items 5, 6, and 7 is extremely broad. The Minister may determine that any thing done by or in relation to ARCo is taken to be done by or in relation to the Commonwealth. This could include things like internal decisions, correspondence, or even statements that ARCo made that could create liability. The Minister can make such determinations after the transfer time, meaning the Commonwealth can retrospectively adopt actions it might prefer to disown. Similarly, the Minister can decide that a reference to ARCo in an instrument is to be read as a reference to the Commonwealth, even if the instrument does not relate to a transferred asset or liability. This could affect contracts that have no connection to the transferred assets, subjecting the Commonwealth to obligations it never intended to assume. The determinations are not legislative instruments, so they are not published or disallowable. Third, the certificate system for land and assets creates a powerful shortcut. A certificate signed by the Minister is sufficient to register the vesting, and it is presumed authentic unless the contrary is proved. This shifts the burden of proof onto anyone challenging the registration. Fourth, the stamp duty exemption (item 11) is absolute, but the Minister can certify that a matter is exempt. If someone inadvertently pays stamp duty, they may struggle to recover it because the state is barred from collecting it, but the Act does not provide a refund mechanism. Fifth, the compensation provision (item 13) only applies if the acquisition would be otherwise than on just terms. This is a constitutional threshold. Shareholders of ARCo may have no claim if the company is insolvent or if their shares are not “property” for constitutional purposes. Even if they have a claim, they must negotiate with the Commonwealth; if no agreement, they must sue in the Federal Court. There is no automatic compensation for loss of business goodwill or going-concern value. Sixth, the rules can modify the Schedule itself (item 15(4)). This means the core provisions of the Act can be altered by a legislative instrument without parliamentary amendment. While rules cannot create offences or impose taxes, they can change how the vesting operates, redefine terms, or add new obligations on former officers. Seventh, the Act applies extraterritorially (section 4), but whether foreign courts will recognise the vesting of assets located abroad is uncertain. A foreign creditor might still try to attach assets held by ARCo’s foreign branch, arguing that the Commonwealth’s claim is not recognised. Eighth, there is no notification requirement. Affected persons may not know the vesting has occurred. They might continue dealing with ARCo or its directors, only to find that the Commonwealth is now the proper party. Ninth, the directors’ obligation under item 10 references subsection 601AD(5) of the Corporations Act, which deals with books after deregistration. But the company may not be deregistered yet; the Act only provides for rules to deal with deregistration. Directors could face duties under general law to preserve records, and failure to transfer could expose them to liability under the Archives Act. Finally, the Minister’s delegation power (item 14) allows delegation to the Secretary or an SES employee, but not to lower-ranking officials. Delegates must comply with ministerial directions, but those directions are not published. The power to make rules is non-delegable (item 14(1) says “other than item 15”).

Compliance with the Australian River Co. Limited Act 2015 is largely a matter of acknowledging the automatic operation of law rather than taking positive steps. For ARCo and its directors and officers, the primary duty is to cooperate with the transfer of assets, liabilities, and records. Item 8 requires that records and documents in ARCo’s custody immediately before the transfer time be transferred into the custody of the Commonwealth. Directors should identify all records, including electronic data, and arrange for their delivery to the Department or other specified Commonwealth entity. Failure to do so could expose them to liability under other laws (e.g., the Archives Act). They should also cease dealing with ARCo’s assets and liabilities after the transfer time, as those are now owned by the Commonwealth. Directors should not enter into new contracts on behalf of ARCo, as the company is effectively wound down. For persons dealing with ARCo (creditors, contractors, lessors), compliance involves updating internal records to reflect that the Commonwealth is now the counterparty. For example, if ARCo was a tenant, rent should be paid to the Commonwealth as landlord (if ARCo was the lessor) or to the Commonwealth as tenant (if ARCo was lessee). It may be prudent to request a certificate from the Minister confirming the vesting of particular assets or liabilities (items 3 and 4 provide for certificates, but the Minister is not obliged to issue them). If a certificate is obtained, it should be lodged with the relevant registration official to update title registers. For those who have legal proceedings pending against ARCo, they should ensure that the Commonwealth is substituted as the defendant. If the proceedings relate to a transferred asset or liability, the substitution is automatic; otherwise the Minister may determine substitution. Litigants should notify the court and the Commonwealth to avoid procedural issues. For state and territory revenue authorities, compliance means not assessing stamp duty or other taxes on the vesting or connected transactions. The Minister’s certificate under item 11 provides prima facie evidence that a matter is exempt. Revenue offices should treat such certificates as conclusive unless they have evidence to the contrary. For Commonwealth entities that may be given management functions under rules (item 9), they should review the rules if made and accept the function if they have agreed. They must manage the liabilities in accordance with the PGPA Act and any directions. For the Minister, compliance involves ensuring that any determinations are in writing, within power, and not inconsistent with the Act. Determinations under items 5, 6, and 7 should be documented and retained. Rules must be made as legislative instruments and comply with the Legislation Act 2003, noting the restriction on retrospective application for certain matters (item 15(3)). For anyone potentially affected by the compensation provision (item 13), they should document their claim, attempt to negotiate with the Commonwealth, and if no agreement, file proceedings in the Federal Court within applicable limitation periods. Given the Act’s broad ministerial discretion and the presumption of authenticity for certificates, persons should seek legal advice promptly, as challenges to determinations or certificates may be time-sensitive. Overall, compliance is reactive rather than proactive for most parties; the Act does most of its work automatically.
