Australian Catholic University (Victoria) Act 1991

The Act centres on several interlocking legal concepts: statutory recognition of a company as a university, internal autonomous law‑making (statutes/regulations) with evidentiary force, conversion of internal disciplinary sanctions into civil debt, trust and property succession, vesting of land, and the continuity of contracts and court proceedings after a statutory succession.

Statutory recognition and definitional anchoring. Section 1 frames the University both as a company within the Corporations Law and as a University within post‑secondary education legislation. The definitions in s.3 anchor the Act’s terminology: "University" is the company taken to be registered in Victoria under the name Australian Catholic University Limited (as amended by the 2001 Corporations consequential amendments recorded in the Endnotes). "Constituent documents" are defined to mean the constitution of that company under the Corporations Act (s.3).

Internal governance: statutes, regulations and the Senate. Section 5 grants the Senate power to make statutes about the organisation, management and good government of the University. The power is broad and explicit (s.5(1)), including discipline and imposition of fines or compensation (s.5(1)(b)). Statutes may delegate power to make regulations to the Senate or, if authorised, to the Vice‑Chancellor (s.5(3)(a)), and statutes/regulations must be written and sealed (s.5(4)). Statutes come into operation on the day they are made, unless a later day is specified (s.5(5)), and certified copies under seal are evidence of their authenticity in all courts (s.5(6)-(8)).

Awards and revocation. Section 4 permits the Senate, subject to statutes and regulations, to confer degrees and other awards after appropriate assessment (s.4(1)). Special modes of admission (admission without examination, honoris causa) are permitted (s.4(2)-(3)). Awards must be evidenced by a certificate under the common seal (s.4(4)). Revocation of awards is permissible only if the statutes so provide and in prescribed circumstances and manner (s.4(5)).

Discipline enforcement converted to civil debt. Section 6 converts fines or compensation imposed under statutes/regulations on staff or students into civil debts that the University may recover summarily in a court of competent jurisdiction (s.6(1)). A certificate by the Vice‑Chancellor or an appointee giving particulars is evidence of the matters stated (s.6(2)).

Trusts, gifts and investment common funds. The Act permits the University to establish investment common funds into which trust or other funds under the University’s control may be pooled for investment, and to distribute income among participating funds in proportion to participation (s.8(1)-(4)). Specific legal consequences follow when an investment is brought into a common fund, including change in legal character of the University’s holding and valuation mechanics for withdrawal (s.8(5)). The Act preserves the underlying trust terms: inclusion in a common fund does not affect the trust to which funds are subject (s.8(6)-(7)), and s.9 declares that the University’s powers are subject to any express directions or conditions of a trust.

Statutory succession mechanics. Part 3 (ss.10-13) effects succession: dissolution of the Institute and its Council and vesting of assets and liabilities in the University (s.10). Contracts, except those relating to members of staff, continue as if made by the University (s.10(e)). Proceedings pending at the appointed day continue against or by the University (s.10(f)). Gifts and trusts in favour of the Institute are not defeated by the succession and become, for matters occurring on or after the appointed day, gifts or trusts in favour of the University for corresponding purposes (s.11). Specified land vests in fee simple in the University subject to existing terms and an existing land purchase contract is taken to be with the University (s.12).

Registry and title amendments. Section 13 requires the Registrar of Titles to amend the Register under the Transfer of Land Act 1958 upon request and delivery of certificates or instruments, and contains transitional provision to address the operation of section 7 of the Transfer of Land (Computer Register) Act 1989.

Evidentiary and procedural finality: the common seal and certificates perform a decisive role in evidencing statutes, regulations and fines (ss.4(4), 5(4), 5(6), 5(8), 6(2)).

The Act allocates legal consequences across a defined set of actors and stakeholder groups. The principal parties who pay, decide or change behaviour because of the Act are listed below with the specific statutory hooks.

The University (the corporate entity). The core beneficiary of the statutory framework is the Australian Catholic University Limited, taken to be registered in Victoria (s.3 definition as amended). The University gains statutory power to make statutes, establish investment common funds, take ownership of Institute assets, assume liabilities, hold land in fee simple, and administer scholarships and trusts. The University is the entity entitled to recover disciplinary fines by civil process (s.6(1)). The University also gains evidentiary advantages for its internal instruments by relying on common seal verification (s.5(6), s.5(8)).

The Senate and Vice‑Chancellor. Decision‑makers inside the University are the Senate, which has the power to make statutes for good government including discipline and fine imposition (s.5(1)), and the Vice‑Chancellor, who may be authorised to make regulations under statutes (s.5(3)(a)) and who is empowered to sign certificates evidencing fines or compensation claims (s.6(2)). These roles concentrate rule‑making and enforcement within university governance structures.

Students and staff. Students and members of staff are the principal subjects of disciplinary statutes. Fines or compensation imposed under statutes or regulations on staff or students become civil debts owing to the University and are recoverable summarily (s.6(1)). Section 4(1) governs conferral of awards on students; s.4(5) allows revocation of awards if the statutes provide. Staff who were employees of the Institute are affected by the succession regime: s.10(e) expressly excludes contracts relating to members of the staff of the Institute from the general carry‑over of contracts to the University, indicating staff employment arrangements are treated separately. That exception affects who pays and whose contractual position may change.

Beneficiaries of scholarships, gifts and trusts. The Act preserves scholarships, prizes and bursaries of a continuing nature administered by the Institute, which the University thereafter administers on the same terms (s.10(d)). Gifts, dispositions and trust funds to the Institute do not fail by reason of the succession and will, on or after the appointed day, operate in favour of the University for corresponding purposes (s.11). Trustees, donors and beneficiaries have their expectations preserved subject to the express terms of trusts (s.9).

Creditors, litigants and counterparties. Creditors of the Institute see their claims transferred to the University by operation of law because liabilities and obligations of the Institute become those of the University (s.10(c)). Actions, claims, arbitrations and other proceedings pending at the appointed day continue as if by or against the University (s.10(f)). Counterparties to contracts other than staff contracts have those contracts treated as if made by the University (s.10(e)).

Crown and land registry. The Act affects the Crown with a specific provision dealing with a purchase contract between the Minister for Property and Services and the Institute for Crown Allotment 6A, Ballarat, which is taken to be a contract with the University and any entitlement to a Crown grant arising under it vests in the University (s.12(3)-(4)). The Registrar of Titles is mandated to amend records under the Transfer of Land Act 1958 to reflect the vesting of titles in the University (s.13(1)-(2)). The Schedule lists specific volume/folio identifiers for land that vests under s.12.

Others who may be affected. Persons seeking admission or recognition by the University are affected by s.4 which sets out award conferral powers and admits special admission routes. Donors and trustees must navigate s.8 and s.9 when the University pools funds into investment common funds. The Courts and persons acting judicially are affected insofar as verified copies under the University seal are admissible as evidence of statutes and regulations (s.5(6), s.5(8)). Regulatory interaction arises with the Corporations Act and post‑secondary education law mentioned in s.1(a) and with land and transfer legislation referred to in ss.12-13.

Who pays and who decides. The University decides internal rules through the Senate and possibly the Vice‑Chancellor (s.5). Students or staff who breach university statutes may pay fines or compensation, which are recoverable as civil debts by the University (s.6). Donors and trust beneficiaries are paid from trust funds administered by the University consistent with existing trust terms (ss.8-9, s.11). The Registrar undertakes administrative costs and acts to update registers (s.13).

The Act imposes discrete duties and recognises specific rights. These operate at three levels: internal university governance obligations, property and trust handling duties, and succession obligations.

Duties of the University and the Senate. The Senate has a statutory duty to make statutes for the organisation, management and good government of the University (s.5(1)). The Senate may, and in practice will need to, enact statutes implementing admission, assessment, award conferral, discipline and procedures for fines and compensation (s.4 and s.5). Statutes must be in writing and bear the common seal (s.5(4)). The University has a duty to handle trust funds consistent with express trust terms: s.9 provides that the University’s power to use investment common funds and to invest is subject to any express direction or condition of the trust.

Duties in the exercise of discipline and financial enforcement. Where the University imposes a fine or demands compensation under a statute or regulation, it has a duty to recover those sums through civil process. Section 6(1) makes such fines and amounts payable by a member of staff or a student civil debts recoverable summarily. The Vice‑Chancellor (or an authorised appointee) has a duty to sign a certificate giving particulars of the fine or compensation and of the reasons and date for it. That certificate is admitted as evidence of the matters stated (s.6(2)).

Duties in relation to investment common funds. The University has a duty to distribute income of investment common funds periodically among participating funds in proportion to the extent of participation (s.8(3)), unless the University elects to capitalise some income or create a provision against depreciation as permitted by s.8(4). Where investments are pooled into a common fund, the University must account for contributions and withdrawals according to the valuation and withdrawal rules in s.8(5).

Duties arising from succession. On the appointed day, the Institute and its Council are dissolved and the University becomes successor in law (s.10). The University must accept vesting of assets and rights (s.10(b)), assume liabilities and obligations (s.10(c)), administer continuing scholarships per their existing terms (s.10(d)), and take effect of contracts and instruments as if entered into by the University (s.10(e)), with the narrow exception of contracts relating to members of staff. The University also has the duty to receive records and documents of the Institute which become its property (s.10(h)). The University inherits the duty to prosecute or defend pending proceedings that previously involved the Institute; those proceedings have effect as if against or by the University and may be continued (s.10(f)).

Rights preserved for donors and beneficiaries. Section 11 preserves the operative effect of gifts, dispositions and trusts made to the Institute, treating them as gifts or trusts in favour of the University for corresponding or similar purposes, provided they take effect on or after the appointed day. Trustees and beneficiaries retain rights under express trust instruments; inclusion of trust funds in an investment common fund does not negate the trust (s.8(6)-(7)). Section 9 reinforces that express trust terms prevail.

Rights of individuals regarding discrimination. Section 7 confers a right against denial of admission, ineligibility to graduate or deprivation of university benefits, on the basis of religious or political affiliation, views or beliefs. That provision operates as an express non‑discrimination protection in the university context.

Evidentiary rights and duties. The University has the right to rely on verified copies of statutes and regulations under its common seal as evidence in courts and administrative processes (s.5(6) and s.5(8)). Likewise, the Vice‑Chancellor’s certificate is evidence in civil debt recovery (s.6(2)). The Registrar of Titles holds a duty to make amendments to the Register to reflect vesting of land (s.13(1)) and to follow special transitional rules where computer register provisions are not in force (s.13(2)).

Limits on rights and duties. Where the trust instrument contains an express direction or condition, the University’s investment powers and power to bring funds into a common fund are subject to those terms (s.9). The University’s power to revoke awards exists only if the statutes provide for revocation and then only in the prescribed circumstances and manner (s.4(5)). The special carve‑out for staff contracts in s.10(e) limits the automatic transfer of employment rights from Institute to University.

The Act creates primarily civil enforcement mechanisms rather than criminal penalties and places evidentiary weight on internal university instruments.

Civil enforcement of disciplinary sanctions. Section 6 is the principal enforcement provision. It converts fines or compensation imposed under a statute or regulation upon a member of staff or a student into a civil debt recoverable summarily by the University in a court with appropriate jurisdiction (s.6(1)). "Recoverable summarily" indicates a streamlined civil process rather than an indictment or criminal prosecution. The evidence of the debt is a certificate in writing signed by the Vice‑Chancellor or an appointee, detailing the amount, date and reasons for the imposition (s.6(2)). That certificate is admitted as evidence of the matters stated. The Act does not specify procedural safeguards within the Act for contesting such certificates, nor does it define the scope of summary recovery; therefore recovery must proceed under applicable civil procedure rules.

No criminal sanctions specified. The Act does not create criminal offences or powers of arrest. Discipline and penalties are confined to fines and compensation under statutes or regulations and their civil enforcement. There is no statutory criminal enforcement architecture or specified pecuniary penalties beyond the civil debt mechanism.

Evidentiary enforcement and institutional finality. The common seal performs an enforcement and evidentiary role. A verified copy of a statute or a regulation under the common seal is "sufficient evidence of its making and authenticity in all courts and before all persons acting judicially" (s.5(6) and s.5(8)). That reduces evidentiary friction when the University seeks to enforce or rely on internal rules or when courts review matters that touch on the statutes or regulations.

Transfer of liabilities and continuance of proceedings. Part 3 makes the University liable for the Institute’s liabilities and obligations (s.10(c)) and enables pending legal actions, arbitrations and other proceedings that were by or against the Institute immediately before the appointed day to "have effect as if they were proceedings by, against or in relation to the University" and to be continued and completed accordingly (s.10(f)). This mechanism effectively imposes enforcement obligations, creditors or litigants may pursue the University in place of the Institute.

Registry enforcement mechanisms. Section 13 imposes an administrative obligation on the Registrar of Titles to make amendments to the Register under the Transfer of Land Act 1958 at the University’s request and on production of relevant certificates of title or instruments. The Registrar’s obligation is a statutory one; failure to comply would attract administrative or legal remedies available under land registration law.

Limits and discretion. The Act expressly preserves the terms of express trusts and directions. Section 9 ensures that the University’s investment power and the power to bring trust funds into an investment common fund are subject to any express direction or condition of the trust. That places a legal constraint on enforcement via capital reallocation.

No specified penalty levels, timetables or appeals in the Act. The Act does not prescribe maximum fines, schedules, appeal rights from disciplinary decisions, or administrative review processes. Those details must be supplied in University statutes and regulations, which the Senate is empowered to make (s.5). Because the Act gives the Senate a wide remit to regulate discipline, the content of sanctions and associated procedures will depend on the statutes adopted and the extent to which they provide rights of review, appeal or internal procedural safeguards.

The Act explicitly cross‑references and operates alongside multiple pieces of legislation. Its operation depends on corporate, land, trust and post‑secondary education law regimes.

Corporations law and the company form. Section 1(a) and s.3 anchor the University in the corporations framework: the University is a company within the meaning of the Corporations Law and its "constituent documents" are the constitution of that company under the Corporations Act (s.3). The Endnotes record that definitions in s.3 were amended by the Corporations (Consequential Amendments) Act 2001 to align with changes in federal corporations law. Consequently corporate governance, director duties, members’ rights and other statutory corporate provisions remain applicable to the University except as otherwise provided by the Act. Practitioners must therefore reconcile the Senate’s statutory powers under this Act with the company’s obligations under the Corporations Act and its constitution.

Post‑Secondary Education Act and higher education regulation. Section 1(a)(ii) recognises the University within the Post‑Secondary Education Act 1978 framework. Specific regulatory obligations under that Act and subsequent Commonwealth or State higher education regulation (not repeated in this Act) will continue to apply to the University. The Act is not a comprehensive substitute for the regulatory framework of higher education.

Transfer of Land Act and land law interactions. Sections 12 and 13 explicitly tie the Act to land law. Section 12 vests specific parcels of land in the University in fee simple subject to existing terms and qualifications, and s.12(2) preserves the continuity of any application under s.103 of the Transfer of Land Act 1958 lodged before the appointed day in relation to certain land (Certificate of Title Volume 1606 Folio 049). Section 12(5) provides that subsections (3) and (4) (dealing with a contract dated 4 May 1990) have effect despite anything to the contrary in the Land Act 1958. Section 13 directs the Registrar of Titles to amend the Register and contains transitional machinery in the event that section 7 of the Transfer of Land (Computer Register) Act 1989 is not yet in operation. Practitioners must coordinate with land registry procedures and ensure instruments are lodged for amendment.

Interpretation of Legislation Act 1984. Section 10(g)(ii) refers to "a subordinate instrument within the meaning of the Interpretation of Legislation Act 1984". This indicates that references in other Acts and subordinate instruments to the Institute or its Council made in relation to periods on or after the appointed day are to be taken as references to the University unless a contrary intention appears. That dimension requires lawyers to interpret statutory references in light of the succession.

Trust and property law. The Act interacts with trust principles by preserving express directions and conditions of trusts (s.9) and providing mechanics for investment common funds (s.8). Inclusion of trust funds in an investment common fund does not affect the trust itself (s.8(6)). Section 11 ensures that gifts, dispositions and trusts to the Institute do not fail and may be applied as if in favour of the University for corresponding purposes. Trustees and beneficiaries should note their rights are preserved but subject to express trust terms and general trust law.

Commonwealth/State division. The Act operates as State law, but the University is also a company regulated under federal corporations law. The Endnotes record that the definition of "constituent documents" and the definition of "University" were amended in 2001 to align with federal changes. Practitioners must consider both State statutory successor treatment and the federal corporations regulatory environment for corporate governance issues.

No displacement of other statutes except as expressly provided. The Act preserves continuity of proceedings and confers substitutionary references (s.10(g)), and s.12(5) expressly overrides anything contrary in the Land Act 1958 in relation to the specified contract. Beyond those express interactions the Act leaves other statutory regimes intact, and its practical effect will often be mediated by those regimes.

Evidentiary interplay with judicial processes. The Act’s admissibility provisions for sealed statutes and regulations (s.5(6), s.5(8)) and for Vice‑Chancellor certificates (s.6(2)) interact with rules of evidence and civil procedure in courts. That interaction means internal university instruments and certificates can be relied upon in litigation or recovery, subject to usual rules about weight, admissibility and challenge.

The consolidated version of the Act attached includes one recorded amendment in the Table of Amendments and Endnotes. The recorded amendment and relevant commencement details are:

• Corporations (Consequential Amendments) Act 2001 (No. 44/2001). Assent date 27 June 2001. Commencement: section 3 (Schedule item 8) commenced 15 July 2001 (Endnotes). The 2001 amendment substituted the definition of "constituent documents" in s.3 and amended the definition of "University" in s.3 (see the marginal notes in the consolidated text indicating substitution and amendment by No. 44/2001 s.3(Sch. item 8(a)) and s.3(Sch. item 8(b))). The Endnotes also cross‑refer to regulation 4 of the Corporations (Ancillary Provisions) Regulations 2001 for context on s.1(a)(i).

• Commencement. Although s.2 of the Act provides the Act comes into operation on a day to be proclaimed, the Endnotes record the practical commencement. The Bill was assented to on 4 June 1991 and, according to the Endnotes, the Australian Catholic University (Victoria) Act 1991 came into operation on 15 August 1991 (Government Gazette 14 August 1991 p. 2250).

No other amendments or amendments to operative provisions are recorded in the Table of Amendments contained in the consolidated text. The Schedule and the core substantive provisions appear in their original form except for the 2001 definitional amendments.

Practitioners should note the definitional alignment to changes in federal corporations law effected by the 2001 amendment may have downstream consequences for corporate governance interactions with this Act. The Endnotes also include an Explanatory Details reference pointing to a regulation under the Corporations (Ancillary Provisions) Regulations 2001 for s.1(a)(i).

The absence of later amendments in the consolidated text does not preclude later legislative changes after the captured consolidation date (8 February 2008). Users relying on this text for transactional or litigation work should verify whether further amendments or replacements have occurred since the consolidation date and should consult the Victorian reprint and parliamentary amendment registers or official legislation databases to confirm currency.

The consolidated Act and the Endnotes do not name or record any judicial decisions, appeals or reported cases that interpret its provisions. The Act’s text contains no references to litigation history, and the Endnotes list only parliamentary proceedings (Second Reading speech dates in the Legislative Assembly and Legislative Council) and commencement information. Accordingly, within this document there is no statutory record of case law construction of key provisions such as the scope of Senate statutes, the boundaries of the Vice‑Chancellor’s certificate as evidence, the effect of s.10(e) excluding staff contracts from automatic transfer, or judicial treatment of disputes about investment common funds under s.8.

The absence of recorded litigation in this consolidated text has several practical consequences for practitioners:

• Limited authoritative judicial interpretation. Key phrases,"after appropriate assessment" in s.4(1), "in prescribed circumstances and in the manner prescribed" for revocation in s.4(5), the degree of deference courts will afford to a Vice‑Chancellor’s certificate under s.6(2), and exact limits on the Senate’s statute‑making power in s.5(1),may not have been the subject of reported decisions within the temporal scope of the consolidation. Legal practitioners should therefore treat statutory text and University statutes as the primary guide, and anticipate judicial scrutiny on contested points in the absence of settled authority.

• Practical reliance on administrative and contractual mechanisms. Because the Act vests evidentiary and enforcement privileges in university internal instruments, disputes may be resolved by negotiation or administrative processes under University statutes rather than immediate litigation. Where litigation is contemplated, counsel should be prepared to argue evidentiary weight of certificates and sealed statutes afresh.

• Need to check external databases. For any matter requiring knowledge of how courts have treated these provisions since consolidation, practitioners must undertake a targeted search of Victorian and federal law reports and unreported judgments to identify any post‑consolidation judicial treatment or appeals involving the University or the Act.

Where litigation arises, issues likely to generate disputes include the validity of revocation of awards under s.4(5), enforceability and procedural fairness in disciplinary processes that give rise to civil debts under s.6(1), the precise effect of s.10(e) on employment contracts and associated continuity obligations, the construction of trusts and the limits on pooling in investment common funds under s.8 and s.9, and land title amendments under s.13 when competing claims or defects in title arise. In the absence of reported authority in this consolidated text, parties should expect courts to engage in statutory construction guided by general principles of administrative and trust law and to consider the Act’s explicit preservation of express trust terms and the common seal evidentiary provisions when assessing procedural fairness and authenticity.

This Act contains a number of specific drafting features and limited carve‑outs that can create practical pitfalls if not attended to. The following items are potential "gotchas" for advisers, administrators and counterparties, grounded in the statutory text.

Vice‑Chancellor certificate is evidence, not necessarily conclusive. Section 6(2) provides that a certificate signed by the Vice‑Chancellor or an authorised person "is evidence" as to the amount of the fine or compensation and the particulars of date and reasons. The wording is evidence‑based, not conclusive proof on its own. Courts will weigh such a certificate in context and may permit challenge. Do not assume the certificate is an absolute, unreviewable judgment.

Fines are civil debts recoverable summarily; presume civil procedure. Section 6(1) renders fines and compensation civil debts "recoverable summarily". This converts internal disciplinary penalties into recoverable civil claims. Parties should not treat internal fines as government fines or administrative penalties attracting criminal procedural protections; instead, expect recovery to proceed under civil procedure rules. The Act does not set an internal appeal or review structure; those must be provided in statutes/regulations.

Revocation of awards is permissive, not automatic. Section 4(5) allows revocation "if the statutes so provide" and then only "in prescribed circumstances and in the manner prescribed". If the University seeks to revoke a degree or award, the statutes must expressly authorise it and set out procedural requirements. Absent such statutory prescription a revocation may be vulnerable.

Staff contracts excluded from automatic contract transfer. Section 10(e) expressly excepts "contracts, agreements or arrangements relating to the members of staff of the Institute" from the general carry‑over rule. That means employment contracts do not automatically have effect as if made by the University. Employers and employees must therefore review continuity of employment, entitlements, superannuation and redundancy arrangements and may need fresh contractual instruments or transitional arrangements.

Trust funds may be pooled but express terms prevail. The University may bring trust funds into an investment common fund (s.8(1)-(5)), but s.8(6)-(7) and s.9 make clear that inclusion does not affect the trust and that the University’s powers are subject to any express direction or condition of the trust. Advisers should scrutinise trust instruments for restrictive clauses that prohibit pooling or prescribe investment constraints. Failure to comply with express terms risks breach of trust.

Vesting of land subject to existing covenants and prior dealings. Section 12(1) vests land in fee simple in the University "subject to the terms, conditions, covenants, limitations, exceptions, reservations and restrictions to which the land was subject immediately before the appointed day." The University therefore inherits all encumbrances. Practitioners should examine the Schedule volumes and folios listed in the Schedule and verify encumbrances and any unregistered interests.

Specific Crown contract treated as if with the University. The contract dated 4 May 1990 for Crown Allotment 6A, Ballarat, is taken from the Institute to the University (s.12(3)-(4)), and this is effective "despite anything to the contrary in the Land Act 1958" (s.12(5)). This overrides some Land Act constraints and can have surprising effects on title acquisition or Crown grant entitlements. Check whether compliance steps or conditions precedent in that contract were satisfied prior to the appointed day.

Registry compliance requires active steps. Section 13 obliges the Registrar of Titles to amend the Register on request and on delivery of relevant certificates or instruments. This is not automatic. The University must present documents and request amendments. Transitional rules in s.13(2) apply if computer register provisions are not yet in force; these may require delivery of duplicate certificates of title instead of folios. Administrative failure to lodge documentation can produce title irregularities.

Non‑discrimination clause is narrowly drafted. Section 7 prohibits denial of admission or graduation because of religious or political affiliations, views or beliefs. That protection is focused on those grounds and does not address other potential bases of discrimination. Ensure University statutes and practices comply with broader anti‑discrimination law as required under other State or Commonwealth regimes.

Statutes and regulations must be formal. Statutes must be in writing and have the common seal affixed (s.5(4)), and a regulation made under a statute must be promulgated in the manner the statute provides (s.5(3)(b)-(c), s.5(7)). Informal or unwritten rules will not have statutory backing. Always check the promulgation and sealing to ensure enforceability and admissibility as evidence in courts (s.5(6), s.5(8)).

Be cautious about the appointed day. Many consequences in Part 3 operate "on and from the appointed day" (s.10). The Act’s s.2 leaves commencement to proclamation, and the Endnotes record an actual commencement date. Establish the appointed day for any given transaction so that succession and vesting consequences are certain.

For practitioners advising the University, donors, trustees, staff or students, the Act sets out a limited number of concrete compliance steps and areas of governance work. The steps below flow directly from the statutory text.

1. Ratify and publish statutes and regulations in writing and under the common seal. The Senate must ensure all statutes are recorded in writing and bear the common seal (s.5(4)). Statutes should specify clearly the grounds and process for discipline, fines and compensation, and the procedure for reversal or revocation of awards (see s.4(5)). If the statutes authorise delegation, they must set out the framework and manner for delegation to the Vice‑Chancellor (s.5(3)(a)). Ensure regulations are promulgated in the manner prescribed and that verified copies under the common seal are retained for use as evidence in court (s.5(6) and s.5(8)).

2. Build procedural safeguards into disciplinary statutes. Given fines and compensation imposed under statutes/regulations are converted to civil debts recoverable summarily (s.6(1)), statutes should provide fair processes, timeframes and internal review or appeal mechanisms to reduce litigation risk and to ensure procedural fairness that will be considered by courts when challenged. Clearly record the circumstances and manner in which awards can be revoked, since s.4(5) conditions revocation on statutes providing for it.

3. Maintain strict documentation of fines and compensation. The Vice‑Chancellor or authorised appointee must sign a certificate detailing amount, date and reasons that will be used as evidence in recovery (s.6(2)). Keep contemporaneous records and ensure certificates follow a template that includes required particulars to reduce challenge risk.

4. Audit trust instruments before pooling. Before bringing trust funds into an investment common fund, audit each trust deed for express directions or conditions that limit pooling or require particular investment treatment (s.8(6) and s.9). Where a trust prohibits pooling or prescribes distinct investment duties, do not pool without obtaining necessary consents or court approval. Maintain clear accounting to attribute contributions and value to participating funds and record valuation methodologies for withdrawals, as required by s.8(5).

5. Preserve scholarship and prize terms. Section 10(d) requires the University to administer continuing scholarships, prizes and bursaries "as if" they were University scholarships but otherwise in accordance with terms and conditions existing immediately before the appointed day. Create a register of scholarships and their terms, and ensure administrators apply existing conditions. If the scholarship instruments require active trustee or administrative steps, confirm those are implemented.

6. Address employment continuity for Institute staff. Because s.10(e) excepts staff contracts from automatic transfer, review all employment contracts previously held by Institute staff. Draft transitional employment agreements or novation agreements where necessary, and analyse entitlements such as long service leave, redundancy, superannuation and accrued rights to avoid disputes. Communicate changes with employees and their representatives in advance of the appointed day.

7. Lodge title amendments and Crown contract documentation. For land listed in the Schedule and for the Crown purchase contract referred to in s.12(3), deliver the relevant certificates of title and instruments to the Registrar of Titles and request amendments to the Register under s.13(1). If the Transfer of Land (Computer Register) Act provisions are not in force, follow the transitional form requirements in s.13(2) and provide duplicate certificates as specified. For the Crown contract, review compliance with contract conditions precedent to determine entitlement to Crown grant and ensure the University meets any remaining obligations.

8. Preserve records and manage pending proceedings. Ensure all records and documents of the Institute are transferred to the University (s.10(h)). For any pending proceedings, notify solicitors and courts of the substitution of the University in place of the Institute under s.10(f) and adjust pleadings, notices and funding arrangements accordingly. Maintain continuity in dispute handling and ensure files are complete.

9. Align corporate governance with the Corporations Act and University constitution. Because the University is a company within the meaning of federal corporations law and the Act references the company’s constituent documents (s.3), review the constitution and board governance to align with the Senate’s statutory powers under this Act. Update any internal governance documents to clarify the relationship between the board and the Senate, roles of the Vice‑Chancellor, and the process for making and sealing statutes.

10. Train administrators on evidentiary formalities. University registrars, records managers and legal counsel should be trained on the evidentiary significance of the common seal (s.5(6), s.5(8)) and the Vice‑Chancellor’s certificate (s.6(2)). Establish control systems for the use of the common seal, ensure certified copies are maintained, and adopt secure templates for certificates.

11. Review non‑discrimination obligations and broader compliance. Although s.7 bars denial of admission or graduation on account of religious or political affiliations, the University must also ensure compliance with broader State and Commonwealth anti‑discrimination legislation. Statutes and admissions policies should be checked for compatibility.

12. Keep a statutory amendment and title register. Maintain a register of all statutes, regulations, sealed instruments, amended land titles, and trust accounting records. Where trust funds are pooled, maintain a ledger of attributable contributions and withdrawals per s.8(5). For transparency and to facilitate Registrar amendments, keep copies of instruments ready for production.

13. Seek legal advice for ambiguous trust or contract terms. Where trust instruments, contractual covenants over the land, or conditions in Crown contracts raise doubt about vesting effects or the permissibility of pooling investments, obtain legal advice and, where appropriate, approach courts for directions or seek consents from donors, beneficiaries or contracting parties.

These steps flow from the Act’s specific provisions.
