Australia and New Zealand Banking Group Act 1977

This Act establishes a small set of statutory concepts and legal effects. The main concepts are: deemed incorporation, Date of Assumption, preservation of identity and continuity, documentary and evidentiary requirements, selective non-application of specified provisions of the Companies Act 1961, and prescribed changes to constitutional documents.

• Deemed incorporation: When a named company lodges the required documents with the Commissioner, the company is "deemed to be a company limited by shares incorporated under the Companies Act 1961" (s 3(1)(a)). The Commissioner must issue a certificate of incorporation and that certificate is conclusive evidence that the statutory requirements have been met (s 3(1)(b)-(c)). This mechanism replaces the usual registration route by statutory deeming on compliance with the listed steps.

• Date of Assumption: The Act defines "Date of Assumption" as the date of delivery by the company to the Commissioner of the documents required under s 3 (s 2). This single defined date operates as the effective date for application of the Companies Act 1961, save for the one statutory carve out in s 4(2).

• Documentary package and verification: The Act prescribes the documents to be lodged (s 3(2)(a)-(e)). They include the UK Act authorising the change (s 3(2)(a)), notice of the Victorian registered office (s 3(2)(b)), a copy of the Memorandum in the amended form required by the First Schedule (s 3(2)(c)), a copy of the Articles of Association as they will apply from the Date of Assumption (s 3(2)(d)), and a statement of nominal share capital and issued share particulars (s 3(2)(e)). Those documents must be verified by statutory declaration of two or more directors (s 3(3)). A single fee specified in the Second Schedule is payable on lodging; no other fee is payable in connection with becoming a company deemed to be incorporated under the Companies Act 1961 (s 3(4)).

• Preservation of identity and continuity: The Act contains an explicit declaration that the companies, once deemed incorporated, are "for all purposes be and be deemed to be the same companies respectively" as they were prior to the operation of the Act (s 4(1)). The Act further states that continuity shall not be affected and that any property, powers, rights, authorities, duties, functions, liabilities or obligations or any legal or other proceedings instituted or to be instituted by or against the companies shall not be affected (s 4(1)). That language is explicit statutory protection of continuity.

• Selective non-application of specified provisions: The Act then limits the full application of the Companies Act 1961 by declaring that sections 50, 52(2) and 135 of the Companies Act 1961 do not apply to the named companies (s 4(2)). The Act does not itself state the content of those sections; it creates an express exception from their operation in relation to the Companies.

• Ceasing to be registered under Division 3 of Part XI: Upon issue of the certificate, the company ceases to be registered under Division 3 of Part XI of the Companies Act 1961 and that Division ceases to apply to the company; and subject to s 4(2) the Companies Act 1961 applies as if the company had been originally incorporated in Victoria as a company limited by shares (s 5).

• Amendments to the Memorandum: The First Schedule lists ordered amendments to each company’s memorandum of association, including updating statutory references to the Companies Act 1961, substituting "Victoria" for "England" or "United Kingdom" in territorial clauses, replacing currency references with Australian currency, inserting the words "national, state" in some places, and substituting specified nominal capital amounts (First Schedule).

• Registration fee schedule: The Second Schedule sets the fee payable on registration for each company; those monetary entries are explicit and final under the Act (Second Schedule).

Together these concepts convert corporate domicile through a statutory mechanism designed to preserve legal continuity, supply specific constitutional amendments, and set a single-step administrative path through the Victorian Commissioner for Corporate Affairs, with an evidentiary certificate at its conclusion.

The Act directly affects the five named companies: Australia and New Zealand Banking Group Limited (the Bank), A.N.Z. Holdings Limited, E.S. & A. Holdings Limited, A.N.Z. Investments Limited and A.N.Z. Nominees Limited (s 2; preamble). Those companies are the only bodies the Act permits to be "deemed to be" incorporated under the Companies Act 1961. The Commissioner for Corporate Affairs is a central actor , the Commissioner must retain and register the lodged documents, issue the certificate of incorporation, and receive the specified fee (s 3(1)(b); s 3(2)-(4)).

Shareholders of those companies are affected because the Act requires the memorandum to be amended in particular respects and fixes nominal capital figures in Australian currency for each company in the First Schedule (First Schedule, clause 5 substitutions). The Act requires the Articles of Association that will apply on and from the Date of Assumption to be lodged (s 3(2)(d)), so members need to be attentive to any new or continuing articles which govern company governance and shareholder rights.

Creditors, counterparties and litigants are affected because the Act declares that any property, powers, rights, liabilities, obligations and legal proceedings instituted or to be instituted by or against the companies are not to be affected by the change of legal form or domicile (s 4(1)). That statutory continuity is framed to maintain contractual relations, security arrangements, litigation status and debts without reconstitution or assignment.

Corporate officers and directors are affected by the verification requirement: two or more directors must make statutory declarations verifying the lodged documents (s 3(3)). The companies also become subject to the Companies Act 1961 as if originally incorporated in Victoria (subject to the s 4(2) exceptions), so officers will thereafter be operating under that Act’s provisions with the Date of Assumption treated as the date of incorporation for most purposes (s 3(1)(d); s 5).

Victorian regulatory bodies and registries are affected insofar as the companies will, on issue of certificate, cease to be registered under Division 3 of Part XI of the Companies Act 1961 and will instead be treated as companies incorporated in Victoria under that Act (s 5). The Commissioner’s registry will therefore record the companies as incorporated domestically rather than as overseas companies registered under that Division.

The Act also affects the public trustee and other institutions indirectly via the schedule amendments that replace statutory references from United Kingdom Acts to Victorian or Australian equivalents in the memoranda (First Schedule). That change may alter the applicability of certain statutory fiduciary arrangements by virtue of textual substitution, because the memoranda themselves are constitutionally operative documents that reference other statutes.

Finally, procedural or administrative actors in the United Kingdom are relevant in concept because the Act contemplates that the companies must first be "authorized by the law of the United Kingdom to become incorporated under the law of Victoria" before the lodgement and deeming can occur (s 3(1)). The preamble records that a UK Bill had been introduced in the UK Parliament authorising similar changes (preamble (12)); the Victorian mechanism presumes the existence of such authorisation as a condition precedent to the lodging step.

The Act imposes a small set of procedural duties and creates specific rights tied to the state of being deemed incorporated.

Key duties

• Duty to lodge specified documents: Each Company that wishes to be deemed incorporated must deliver to the Commissioner the documents listed in s 3(2): (a) a copy of the UK Act authorising incorporation under Victorian law, (b) notice of registered office in Victoria, (c) a copy of the memorandum in the amended form specified in the First Schedule, (d) a copy of the articles to take effect from the Date of Assumption, and (e) a statement of nominal capital and issued shares including amounts paid (s 3(2)(a)-(e)).

• Duty of verification by directors: The documents lodged under s 3(2) must be verified by statutory declaration of any two or more directors of the company (s 3(3)). That places a director-level evidentiary attestation obligation on the company’s leadership.

• Duty to pay the prescribed fee: On lodging the documents the company must pay the fee specified in the Second Schedule for that company (s 3(4); Second Schedule). The Act also expressly states that no other fee is payable in connection with becoming a company deemed to be incorporated under the Companies Act 1961 (s 3(4)).

• Duty to adopt the Articles and amended memorandum: The company must prepare the Articles that it intends to apply from the Date of Assumption and the memorandum as amended in the First Schedule, and lodge those copies with the Commissioner (s 3(2)(c), (d)).

Key rights and legal effects

• Right to be deemed incorporated: Upon compliance with the lodging, verification and fee payment requirements the company has the statutory right to be deemed a company limited by shares under the Companies Act 1961 and to receive a certificate of incorporation from the Commissioner (s 3(1)(a)-(b)).

• Evidentiary protection: The certificate of incorporation issued by the Commissioner is "conclusive evidence" that the requirements of s 3 have been complied with and that the company is for all purposes deemed to be incorporated under the Companies Act 1961 (s 3(1)(c)). That confers a statutory evidentiary advantage in disputes over whether the procedural steps were observed.

• Continuity of corporate identity and rights: Section 4(1) provides an explicit statutory right for the companies to be treated as the same entities after the deeming, with continuity of status, property, powers, rights, duties, liabilities and legal proceedings preserved. The text is categorical: "shall for all purposes be and be deemed to be the same companies respectively" (s 4(1)). This protects pre-existing contracts, security interests, ongoing actions and corporate history from being treated as novated or interrupted by the change of domicile.

• Right to domestic application of Companies Act 1961: Subject to s 4(2), after issue of the certificate the Companies Act 1961 applies to the companies as though they had originally been incorporated in Victoria as companies limited by shares (s 3(1)(d); s 5). That confers the substantive legal regime and attendant rights and obligations of local incorporation.

• Carve-outs and non-application: The Act confers a narrow right to non-application of specific provisions of the Companies Act 1961 to the named companies by declaring that sections 50, 52(2) and 135 of the Companies Act 1961 do not apply (s 4(2)). The precise legal consequence is that those statutory sections cannot be invoked in relation to these companies.

Administrative roles and duties

• Commissioner duties: The Commissioner must retain and register the lodged documents and issue a certificate of incorporation (s 3(1)). The Commissioner is also the recipient of the prescribed fee and therefore controls the administrative trigger for the companies’ deemed incorporation.

Other practical rights and duties flow indirectly from the schedule amendments: shareholders and officers must observe any new or continued procedural matters in the Articles and Memoranda as amended in the First Schedule, and the company must observe the Companies Act 1961 going forward as if originally incorporated (subject to specified exceptions) (First Schedule; s 3(1)(d); s 4(2); s 5).

The Act contains no express civil penalties, criminal penalties or enforcement mechanisms framed as sanctions. The operative provisions are administrative and declaratory rather than punitive. There is no section in the source text prescribing fines, imprisonment, or other forms of sanction for non-compliance with the Act itself. The Act’s enforcement architecture is therefore procedural, relying on the Commissioner’s administrative functions and the statutory consequences of compliance or non-compliance.

Administrative enforcement mechanisms and practical effects

• Commissioner’s role as gatekeeper: The Commissioner is given administrative control over the effect of the Act. The Commissioner retains and registers the lodged documents and issues the certificate of incorporation required under s 3(1)(b). The issuance of the certificate is the decisive administrative act; absent it, the company does not obtain the statutory deeming (s 3(1)(a)-(c)). The Commissioner therefore enforces the procedural requirements by withholding or issuing the certificate consistent with s 3.

• Fee payment as condition precedent: The payment of the specific fee in the Second Schedule on lodging is required (s 3(4)). The fee operates as a financial precondition to the Commissioner processing the lodgement. The Act explicitly states that no other fee is payable in connection with the deeming (s 3(4)), which sets a single-fee enforcement clearing mechanism.

Evidentiary consequences

• Certificate conclusive evidence: Section 3(1)(c) makes the Commissioner’s certificate "conclusive evidence" that the requirements of s 3 have been complied with. That legislative wording constrains contested factual disputes about whether the procedural steps were observed in the absence of fraud or some other exceptional challenge; it allocates evidentiary weight to the certificate as an instrument of administrative finality.

Preservation clauses as protective devices

• Protection of ongoing proceedings and liabilities: Section 4(1) declares that "any legal or other proceedings instituted or to be instituted by or against the Companies" shall not be affected by the deeming. That is a statutory safeguard that prevents third parties from using the change of corporate guise as a basis to invalidate or interrupt legal actions, or to discharge liabilities by reason of a supposed corporate discontinuity. The text creates an immediate statutory remedy against arguments that the company ceased to exist or that proceedings were rendered defective by the change.

Absence of statutory sanctions

• No statutory penalty regime for breach of the Act’s lodging requirements: The Act does not include a penalty for a company that fails to lodge the documents, nor for directors who do not make the statutory declarations. It follows that default consequences are practical (no certificate issued; the company remains as before) rather than penal.

Interaction with Companies Act 1961 enforcement regimes

• Post-deeming enforcement: Once the company is deemed incorporated and the Companies Act 1961 applies (subject to s 4(2)), the enforcement and penalty provisions in the Companies Act 1961 will govern corporate conduct after that date in the usual way. The Act does not itself reenact or displace those enforcement tools, except by the explicit non-application of sections 50, 52(2) and 135 to these Companies (s 4(2)). The effect is that enforcement options under the Companies Act 1961 continue to be relevant post-deeming, except as to the carved-out sections.

In sum, enforcement under this statute is administrative and declaratory: compliance with documentary, verification and fee requirements produces a conclusive certificate; non-compliance means the company remains outside the deemed-incorporation regime. The Act does not create new penalties but interacts with existing enforcement provisions of the Companies Act 1961 once the companies become subject to that Act.

This Act is explicitly designed to change which statutory corporate regime governs the named companies by moving them from being companies within the scope of United Kingdom Companies Acts to being companies governed by the Victorian Companies Act 1961. The interaction points and textual cross-references are direct and central.

Primary interaction with Companies Act 1961

• Deeming device: The Act makes the Companies Act 1961 apply to each company as if the Date of Assumption were the date of incorporation (s 3(1)(d)). That is a direct, operative interaction: the companies become subject to the full suite of statutory rules in the Companies Act 1961, with the single proviso in s 4(2) excluding three specified sections.

• Non-application carve-outs: Section 4(2) provides that sections 50, 52(2) and 135 of the Companies Act 1961 "do not apply" to the Companies. The Act therefore creates a tailored statutory exception within the application of the Companies Act 1961 as it applies to these particular companies. The Act itself does not restate the content of those sections; the only interaction is to exclude their operation for the Companies.

• Division 3 of Part XI: On issue of the certificate the company "shall cease to be a Company registered under Division 3 of Part XI of the Companies Act 1961" and that Division ceases to apply to the company (s 5). That wording removes the companies from a particular registration regime within the Companies Act 1961, after which the rest of the Companies Act 1961 applies as if the companies had originally been incorporated in Victoria (subject to s 4(2)). The Act both removes an overseas-company registration regime and substitutes full domestic incorporation status.

Interaction with United Kingdom law

• Condition precedent of UK authorisation: The operation of s 3 is expressly conditional on the companies having been "authorized by the law of the United Kingdom to become incorporated under the law of Victoria" (s 3(1)). The preamble records that a UK Bill with the same name had been introduced into the UK Parliament (preamble (12)). The Victorian Act therefore anticipates parallel action under UK legislation and makes the Victorian deeming contingent on that UK-level authorisation.

• Preservation of overseas companies provisions in UK Act: The preamble notes that the new UK Act would cease the application of the Companies Acts 1948 to 1976 to the companies "with the exception of those provisions which apply to oversea companies" consequent upon such incorporation (preamble (12)). That statement is descriptive of the intended UK approach; the Victorian Act itself requires a copy of the UK Act as part of the lodgement package (s 3(2)(a)) so it explicitly links the Victorian process to UK authorisation.

Interaction with existing contracts and proceedings

• Statutory continuity: Section 4(1) declares that property, powers, rights, liabilities, obligations and legal or other proceedings "shall not in any way be affected". This is a direct statutory instruction to courts, counterparties and other statutory authorities that pre-existing legal relationships are to be carried forward; it therefore interacts with contract law, securities, trust and litigation practice by precluding some doctrines that might otherwise treat the reconstitution of a corporate body as a new entity for certain purposes.

Interaction with company constitutional documents

• Amendment to memorandum and articles: The First Schedule prescribes specific changes to the memoranda of association (First Schedule). The companies are required to lodge the memorandum "which on and from the Date of Assumption shall be in the form as already registered under section 346 of the Companies Act 1961 as amended from time to time by special resolution of the Company and in the case of each of the Companies subject to the amendments and additions specified in the First Schedule" (s 3(2)(c)). That creates an interaction between constitutional documents and the Companies Act 1961's section 346 (referred to in s 3(2)(c)); the company’s memorandum is to be cast into the form that aligns with Victorian statutory form and the schedule prescribes the textual substitutions.

Currency, territorial and statutory references

• Currency and territorial effects: The First Schedule substitutes "Australian" for "Sterling" in some clauses and substitutes "Victoria" for "England" or "United Kingdom" in territorial references. These changes will affect how constitutional provisions refer to place and currency, which in turn affects the interpretation of powers, objects and any statutory cross-references embedded in the memoranda.

Limits of interaction

• No comprehensive displacement: Aside from the specific carve-outs in s 4(2), the Act does not purport to displace other federal or state laws outside the Companies Act 1961. The Act is narrowly targeted at corporate domiciliation and its immediate consequences, and expressly incorporates the Companies Act 1961 as the governing company law post-deeming (s 3(1)(d); s 5).

In short, the Act operates by moving the named companies from the ambit of United Kingdom Companies Acts to the Companies Act 1961, with express procedural prerequisites linking the change to UK authorisation, textual constitutional amendments in the First Schedule, evidentiary finality in the Commissioner’s certificate, and two discrete categories of statutory exceptions to the Companies Act 1961’s application.

The Act as provided records a minimal amendment history: the Endnotes state "There are no amendments made to the Australia and New Zealand Banking Group Act 1977 by Acts and subordinate instruments" (Endnotes, Table of Amendments). The Endnotes also record the date of assent and commencement: the Act was assented to and came into operation on 3 May 1977 (Endnotes, General Information).

The First and Second Schedules are part of the original enactment and record the company-specific constitutional substitutions and the fee schedule respectively. The First Schedule lists company-by-company directions that replace earlier textual references (for example changing UK Companies Acts references to "The Companies Act 1961", substituting "Victoria" for "England", replacing "Sterling" with "Australian", inserting "national, state" in specified paragraphs, and prescribing new nominal capital figures) (First Schedule). The Second Schedule lists fee amounts for each company to be paid on lodgement under s 3(4) (Second Schedule).

The Explanatory Details section in the Endnotes contains "No entries at date of publication" (Endnotes, Explanatory Details). That indicates there were no additional explanatory notes attached to the published version in the source provided.

Because the Table of Amendments in the Endnotes records no post-enactment amendments, the operative text, schedules and fees remain as enacted in 1977 in the version provided. The Act’s machinery for bringing companies into the Victorian legal regime rests on procedural acts (lodgement, verification and fee payment) and on a separate UK authorisation step which the Act treats as a precondition; any subsequent legislative adjustments to the Companies Act 1961 or to the schedules would have required explicit amendment by later instrument, none of which the Endnotes record.

For readers tracking current applicability, the Endnotes’ statement that there have been no amendments is primary statutory evidence that the version provided is the operative version as at the date of the version note (version as at 8 October 1999) in the source. The absence of recorded amendments means the specific fee figures, the First Schedule textual substitutions and the s 4(2) carve-outs remain part of the Act’s unchanged apparatus in this source.

The statute itself contains no reported case law, and the source provides no list of judicial decisions interpreting the Act. The Endnotes do not provide litigation references and the Table of Amendments records no subsequent amendments that might have arisen from litigation outcomes (Endnotes). Therefore the Act, as presented, has no litigation history recorded in the source material.

Notwithstanding the absence of recorded cases in the provided text, the Act contains provisions that will be dispositive in any dispute about the companies’ legal status, and those provisions would be the primary legal texts in any litigation. Two provisions have direct litigation relevance:

• Certificate conclusive evidence (s 3(1)(c)): The statutory designation that the Commissioner’s certificate is "conclusive evidence" that the requirements of s 3 have been complied with will be a decisive evidentiary benchmark in any contested proceedings. Courts engaged to contest the validity of the deemed incorporation would be required to treat the certificate as conclusive evidence under the Act, unless a challenge is brought that successfully undermines the premise of conclusive effect (the Act gives the certificate that status as statutory evidentiary primacy).

• Continuity protection for proceedings (s 4(1)): The Act statutorily directs that "any legal or other proceedings instituted or to be instituted" by or against the companies "shall not in any way be affected" by the deeming. In litigation concerning whether a party may prosecute claims, enforce judgments, or rely on prior actions, s 4(1) is an immediate statutory defence to arguments of invalidity or discontinuity flowing from the change of corporate domicile.

Where disputes might arise that would call for judicial interpretation, those disputes could involve: the scope of the s 4(2) carve-outs (whether a given statutory provision in the Companies Act 1961 falls within the excluded sections), the effect of the First Schedule amendments on corporate powers and objects in contractual or fiduciary contexts, or challenges to the Commissioner’s certificate in exceptional circumstances despite the conclusive-evidence clause. The Act’s text itself, however, supplies statutory presumptions that would shape judicial handling of any such cases.

Because no judicial decisions are quoted or cited in the source, practitioners must rely on the Act’s clear wording in advising on litigation risk: the Act creates legislated evidentiary finality and a statutory preservation rule that would be central to any court consideration of company status or continuity after the Date of Assumption.

The Act is short and tightly focused, but several practical and legal pitfalls arise from its specific wording and schedules. The following are source-grounded "gotchas" to watch for when advising or preparing to use this statute.

1. UK authorisation is a precondition: Section 3 begins "At any time after the Companies have been authorized by the law of the United Kingdom to become incorporated under the law of Victoria each Company may deliver..." (s 3(1)). The deeming cannot be triggered unless the companies have first been authorised by UK law. The preamble records that a UK Bill had been introduced (preamble (12)), but the Victorian mechanism presumes that authorisation exists as a condition precedent. Failure to secure or demonstrate the UK authorisation will prevent successful lodgement.

2. The Commissioner’s certificate is conclusive: The Act makes the Commissioner’s certificate "conclusive evidence" that the requirements of s 3 have been complied with and that the company is deemed to be incorporated under the Companies Act 1961 (s 3(1)(c)). That confers high evidentiary weight to the certificate and limits the ability to relitigate procedural compliance, which is helpful for the companies but creates a threshold barrier for third parties seeking to challenge the deeming on procedural grounds.

3. Specific mandatory documentary package: The Act prescribes a precise list of documents (s 3(2)(a)-(e)). Omission of any required element , for example a copy of the UK Act (s 3(2)(a)), a notice of registered office in Victoria (s 3(2)(b)), the amended memorandum (s 3(2)(c)), articles to take effect (s 3(2)(d)), or the capital statement (s 3(2)(e)) , will prevent the operation of s 3 and the issue of the certificate. The memorandum required must be in the form as already registered under section 346 of the Companies Act 1961 and subject to the First Schedule amendments (s 3(2)(c)); practitioners must ensure the form precisely matches those requirements.

4. Verification by statutory declaration of directors: The documents must be verified by statutory declaration of two or more directors (s 3(3)). That creates a formal attestation obligation that engages directors’ legal risk if the declarations are inaccurate. It is not enough to file the documents; two or more directors must swear to them.

5. Single, specified fee only: The fee payable on lodgement is set out in the Second Schedule and is required on lodgement (s 3(4); Second Schedule). The Act then states "but no other fee shall be payable by the Company in connexion with the Company becoming a company deemed to be incorporated under the Companies Act 1961" (s 3(4)). That clause prevents surprise registry levies in relation to the deeming, but practitioners should note that other fees under general company legislation for ongoing compliance are not disclaimed by this statement.

6. Sectional carve-outs are limited and specific: The Act removes the application of sections 50, 52(2) and 135 of the Companies Act 1961 to the Companies (s 4(2)). The consequence depends entirely on what those sections provide; the Act does not state their content. Advisers must check the Companies Act 1961 text to determine the practical effect of those exemptions. One must not assume these carve-outs are broad or cover other provisions.

7. Division 3 of Part XI removal: On issue of the certificate the companies "shall cease to be a Company registered under Division 3 of Part XI of the Companies Act 1961" (s 5). If a company or counterparty had been operating on the assumption that the company remained subject to that Division, legal or practical confusion could follow unless records are amended. Administratively, registry entries and public notices should be updated to reflect the changed status.

8. Memorandum amendments are prescriptive and company-specific: The First Schedule contains company-by-company textual changes, including new nominal capital amounts, currency substitutions and territorial wording changes (First Schedule). Failure to adopt or lodge the precise amended memorandum could block the deeming. The schedule also substitutes particular statutory references (for example, changing "The Companies Acts 1948 to 1967" to "The Companies Act 1961") and inserts phrases like "national, state" in certain clauses; the meaning of these inserted words should be checked in the context of the memorandum.

9. Continuity protection may not override unrelated statutory regimes: The Act’s preservation of identity and continuity is broad (s 4(1)) but is confined to rights and obligations of the companies under the law as between the company and third parties. The Act does not expressly override unrelated statutory obligations or outcomes that are triggered by domiciling or incorporation changes under other statutes; practitioners should verify how other legislative schemes treat a change of domicile, particularly where the change affects licensing, taxation or regulatory approvals (the preamble notes tax consent obtained under UK law, p 1(8), but the Act itself does not contain taxation provisions).

10. No penalty for partial non-compliance, but no certificate either: The Act contains no fine or criminal penalty for failing to lodge or verify documents; the practical consequence of non-compliance is that the certificate will not be issued and the companies will remain in their prior UK-incorporated status (contrast with the statutory consequence of compliance). That outcome can be strategically significant in time-sensitive transactions.

11. Public record and evidence: Because the Commissioner retains the lodged documents and issues a certificate that is conclusive, parties should obtain and preserve certified copies of the filed documents and the certificate for transactional certainty and for future due-diligence requirements.

Each of these "gotchas" flows directly from the text. Practitioners must coordinate UK authorisation, prepare the precise documentary package, ensure director statutory declarations are in order, and address the administrative steps with the Commissioner to secure the evidentiary certificate and the intended continuity effects.

Compliance under this Act is procedural and document-driven. The Act sets out a single pathway with discrete steps and specified documentary form. The following is a source-grounded compliance checklist and recommended sequencing based on the Act’s wording.

1. Confirm UK authorisation exists

• Before any lodgement, confirm that the company has been "authorized by the law of the United Kingdom to become incorporated under the law of Victoria" (s 3(1)). The Act conditions the Victorian lodgement on that UK authorisation. Practically, obtain a certified copy of the UK Act or other UK instrument of authorisation referred to in the First Schedule or preamble, and include it in the lodgement (s 3(2)(a)).

2. Prepare the specified documents

• Copy of the UK Act: Prepare a certified copy of the Act of the United Kingdom authorising the companies to become incorporated under Victorian law (s 3(2)(a)).

• Notice of registered office: Draft and sign a notice specifying the situation of the registered office in Victoria for the company (s 3(2)(b)).

• Memorandum of Association: Prepare a copy of the memorandum in the form required. The memorandum must be "in the form as already registered under section 346 of the Companies Act 1961 as amended from time to time by special resolution of the Company and in the case of each of the Companies subject to the amendments and additions specified in the First Schedule" (s 3(2)(c)). Therefore, ensure the memorandum incorporates the First Schedule substitutions and the company’s special resolutions where required.

• Articles of Association: Prepare the company’s Articles of Association in the exact form the company wishes them to take on and from the Date of Assumption, and include that copy in the lodgement (s 3(2)(d)).

• Statement of share capital and issued shares: Prepare a statement specifying the nominal share capital of the company in Australian currency and the number and classes of shares into which it is divided; and the number of shares issued and the amount paid on each share (s 3(2)(e)).

3. Director statutory declarations

• Obtain statutory declarations from any two or more directors verifying the documents required under s 3(2), and ensure those declarations are made in the form and manner required by Victorian statutory declaration rules (s 3(3)). Confirm directors are available to make these declarations and that they are satisfied the lodged documents are accurate.

4. Pay the prescribed fee

• On lodgement, pay the fee specified in the Second Schedule for the particular company (s 3(4); Second Schedule). The amounts in the Second Schedule are company-specific and must be paid at the time of lodgement. The Act states that no other fee is payable in connection with becoming a company deemed to be incorporated under the Companies Act 1961 (s 3(4)), but pay attention to other registries or filings that may be required subsequently.

5. Lodge documents with the Commissioner

• Deliver the full documentary package and the statutory declarations to the Commissioner for Corporate Affairs, who shall "retain and register the same" (s 3(1); s 3(2)). Ensure records of delivery and receipt are kept and obtain stamped or certified copies where possible.

6. Obtain and preserve the Commissioner’s certificate

• Await the Commissioner’s issue of a certificate of incorporation. The certificate is conclusive evidence that the requirements of s 3 have been complied with and that the company is for all purposes deemed to be incorporated under the Companies Act 1961 (s 3(1)(b), (c)). Obtain certified copies and incorporate them into the company’s corporate records, and serve notice on counterparties and registries as required.

7. Implement constitutional changes and register changes

• Ensure that the company’s internal registers, minute books, share certificates, director appointments and other corporate records reflect the incorporation under the Companies Act 1961 and the specific alterations in the First Schedule (for example, nominal capital figures in Australian currency and any territorial or statutory reference substitutions in the memorandum) (First Schedule; s 3(2)(c)).

8. Update external registrations and stakeholders

• Notify creditors, counterparties, regulators, licensing bodies and other stakeholders of the change in the company’s corporate domicile and the registered office in Victoria. Update public registers and any necessary licences or regulatory approvals that require a domestic company registration.

9. Review continuing applicability of Companies Act 1961 and carve-outs

• After the issue of the certificate, the Companies Act 1961 applies to the company as if originally incorporated in Victoria subject to the non-application of sections 50, 52(2) and 135 (s 3(1)(d); s 4(2); s 5). Review the Companies Act 1961 provisions to determine which compliance obligations persist and which of the carved-out sections were relevant to prior practice.

10. Preserve evidence of continuity for ongoing proceedings

• If the company is involved in legal proceedings, ensure that court files and litigants are served with certified copies of the Commissioner’s certificate to invoke s 4(1)’s preservation of continuity if necessary. The Act declares that ongoing proceedings are not affected by the deeming (s 4(1)).

11. Maintain accurate public records and financials

• Ensure that the company’s financial statements, tax filings and statutory returns reflect the new nominal capital figures and the Companies Act 1961 framework. While the Act does not itself stipulate tax consequences, the company’s auditors and tax advisers should be engaged to update filings under the new corporate regime.

12. Seek legal confirmation where ambiguities exist
