Australia and New Zealand Banking Group Act 1970

The Act operates around a small set of legal mechanisms and defined concepts. Understanding those is necessary to apply and comply with the statute.

• Undertaking and undertakings. The Act defines “the undertaking of an existing bank” and “the undertaking of E.S.A. Savings Bank” to mean the business and all property (except excluded assets and rights relating to excluded assets) vested in or belonging to or held by the transferring entity immediately before the appointed day together with all liabilities of that entity as at that time (s 4). The core operation is to divest those undertakings from the transferor and vest them in the transferee (ss 5, 13).

• Excluded assets. “Excluded assets” are narrowly defined: (a) documents required to be kept by an existing bank or E.S.A. Savings Bank under the Companies Act 1961, and (b) land vested in, belonging to, or held by the existing bank or E.S.A. Savings Bank otherwise than by way of security and while so vested, belonging or held after the appointed day (s 4). Contracts, liabilities and property relating to excluded assets do not transfer (s 4; ss 6(2), 14(2)). The Act therefore distinguishes between assets that transfer automatically and those that remain with the original corporate entity.

• Deeming transfers and continuity. The statute contains deeming provisions that operate to make contracts, securities, bailments, negotiable instruments and customer relationships continue in effect, with the Bank or A.N.Z. Savings Bank in the place of the transferring entity (ss 6(1), 7(a)-(e); ss 14(1), 15(a)-(e)). This preserves operational continuity for day‑to‑day banking operations: instructions and mandates remain valid unless revoked (s 7(a); s 15(a)).

• Litigation continuity and substitution. Actions, arbitrations and proceedings pending at the appointed day, or arising from pre‑appointed day acts or contracts, do not abate and may be continued by or against the successor companies without amendment to writs or pleadings (s 8(1)-(2); s 16(1)-(2)). For excluded assets, a party may at any stage substitute the name of the original bank for the Bank or A.N.Z. Savings Bank in the proceedings without costs (ss 9, 17).

• Bankers’ books and evidence. The Act preserves the operation of ss 89-95 of the Evidence Act 1906 for bankers’ books of the transferring entities that pass to the successors, treating those books as if used in the ordinary business of the successor (s 10(1); s 18(1)). “Bankers’ books” is defined in the Act to include ledgers, day books, cash books and all other books and records used in the ordinary business before the appointed day (s 10(2); s 18(2)).

• Third‑party protection and registration. Third parties dealing with the successors are not obliged to enquire whether a subject property is an excluded asset; registrars and other registration authorities are required to take cognisance of the Act and record documents to give effect to it (ss 22(1), 23).

• Preservation of Crown and other obligations. The Act binds the Crown (s 3) and expressly preserves duties and fees payable under Stamp Act or other Acts (s 25). It also disclaims any exemption from laws that regulate companies carrying on banking business (s 24).

These concepts cohere to effect a statutory corporate succession for banking operations, while carving out a small class of assets that remain with the old corporate vehicles and providing statutory certainty for third parties, courts and registrars.

The Act identifies primary, secondary and incidental affected parties and specifies how they are affected by the statutory vesting.

Primary affected parties

• The Bank (Australia and New Zealand Banking Group Limited), as the transferee of the undertakings of the existing banks (s 5). The Bank receives property, contractual positions, securities and customer relationships, and acquires rights and liabilities defined as the undertakings (s 4; ss 6-7).
• A.N.Z. Savings Bank, as the transferee of the undertaking of E.S.A. Savings Bank (s 13; s 14).
• The existing banks (Australia and New Zealand Bank Limited and The English, Scottish and Australian Bank, Limited) and E.S.A. Savings Bank, as transferors; they are divested of the undertakings and retain excluded assets (s 5; s 13; s 4).

Customers, depositors and counterparties

• Customers and depositors at branches or offices of the existing banks or E.S.A. Savings Bank are affected because their relationships are automatically transferred to the successor banks, with continuity of rights, duties and mandates unless revoked (s 7(a); s 15(a)). This affects contractual counterparty identity and may alter the legal entity with which customers deal, without further consent being required under the Act.

Employees

• Employees with accrued or accruing rights under Acts, awards, industrial agreements or under contracts connected to pension/provident/officers’ guarantee funds have those rights preserved and enforceable against the successor, where the contract of employment is one to which s 6 applies (s 12). The rights continue to accrue as if service with the Bank were service with the existing bank for the purpose of those instruments.

Mortgagees, secured parties and holders of negotiable instruments

• Securities held by the existing banks are transferred or deemed transferred to the Bank and A.N.Z. Savings Bank; the successors take the same priorities, rights and obligations as the transferors would have had (s 7(b)-(c); s 15(b)-(c)). Negotiable instruments payable to the existing banks are treated as if payable to the successor (s 7(e); s 15(e)).

Third parties dealing with excluded assets, registrars and land title authorities

• The Act protects third parties and registrars from having to enquire into excluded asset status and deems the successor to have full power to enter into dealings in relation to excluded assets, for the benefit of the dealing party (s 22(1)-(2)). The Registrar of Titles, Registrar of Deeds and other registration authorities are directed to record and register documents as necessary to give effect to the Act (s 23).

Courts, arbitrators and litigants

• Ongoing and future litigation that arises from pre‑appointed day contracts or acts may be continued by or against the successors without amendment (s 8(2); s 16(2)). Where proceedings relate to excluded assets, parties may substitute the original transferor as a party at any stage (ss 9, 17).

Regulatory authorities

• The Act preserves the applicability of laws dealing with companies engaged in banking to the successor entities; it does not create exemptions from statutory banking regulation (s 24). It also binds the Crown (s 3), meaning government agencies and Crown parties are bound as well.

Those who “pay”

• The Act does not create exemptions from stamp duty or fees; stamp duty and fees remain payable as they were before (s 25). This places transactional costs on parties as in ordinary transfers.

In short, the statutory changes reallocate legal title, contractual relationships, security interests and litigation positions from the transferring companies to the successor entities, while leaving a defined set of assets and obligations with the original companies and imposing procedural duties on registrars and courts to recognise the transfers.

The Act creates and preserves a set of duties and rights by statutory operation rather than by voluntary assignment. These are grouped below with statutory cross‑references.

Rights and duties of successor banks

• Vesting of undertakings: The Bank and A.N.Z. Savings Bank acquire the undertakings of the transferors by operation of law on the appointed day (ss 5, 13). That confers legal title to property (except excluded assets) and assumption of liabilities that formed part of the undertakings immediately before the appointed day (s 4).
• Contractual continuity: All contracts, conveyances, deeds, leases, licences and other instruments in force immediately before the appointed day that were binding upon an existing bank or E.S.A. Savings Bank become binding and of full force and effect in favour of and against the Bank or A.N.Z. Savings Bank as if they had been the original contracting party (s 6(1); s 14(1)). Subsection exclusions apply for contracts relating to excluded assets (s 6(2); s 14(2)).
• Customer rights and duties: Customer relationships at offices or branches transfer to the successor with the same rights and duties (including set‑off). Customer mandates, instructions or authorities subsisting at or given after the appointed day are deemed given to the successor unless revoked or cancelled (s 7(a); s 15(a)).
• Security and priority: Security interests (mortgages, charges, guarantees and other security as defined) are transferred or deemed transferred and the successors take the same rights and priorities and are subject to the same obligations as the transferor bank would have had (s 7(b)-(c); s 15(b)-(c)).
• Bailment and custody: Custody of documents, goods or things held by the transferor as bailee is transferred and the rights and obligations under the contract of bailment transfer to the successor (s 7(d); s 15(d)).
• Negotiable instruments: Instruments drawn on, given to, accepted or endorsed by the transferor, or payable at its places of business, have the same effect as if they were drawn on, given to, accepted or endorsed by the successor (s 7(e); s 15(e)).

Duties placed on registrars and public officers

• Registration authorities are required to take cognisance of the Act and empowered to record and register documents needed to give effect to the transfers in relation to land or other property (s 23).
• The Registrar of Titles, Registrar of Deeds and persons certifying title to land are protected from being required to enquire into excluded asset status when presented with dealings (s 22(1)(d)); they are empowered to record necessary instruments (s 23).

Procedural and litigation-related rights and obligations

• Continuation of proceedings: Actions, arbitrations and proceedings pending at the appointed day, or arising from pre‑appointed day contracts or acts, do not abate and may be continued and enforced by or against the successor without amendment (s 8(1)-(2); s 16(1)-(2)).
• Judgment against both: Courts may, at the request of a party in whose favour a money judgment is made, enter it against both the successor and the transferor and allow enforcement against both (s 8(3); s 16(3)).
• Substitution for excluded assets: For proceedings relating to excluded assets, a party may at any stage substitute the original transferor’s name in place of the successor without cost orders against them (ss 9, 17).

Employee rights

• Preservation of accrued and accruing rights under Acts, awards, industrial agreements, pension schemes or similar arrangements where the contract of employment is one to which s 6 applies; such rights continue to accrue and may be enforced against the successor as if service with the successor were service with the transferor (s 12).

Limitations and retained duties

• Excluded assets remain with the transferor company and liabilities relating to excluded assets do not transfer (s 4).
• The Act expressly does not exempt successors from duties under the Stamp Act or payment of fees, and it does not exempt successors from Acts relating to banking (ss 24-25).

Service and notice mechanics

• Service of documents has statutory deeming arrangements between the Bank and existing banks and between A.N.Z. Savings Bank and E.S.A. Savings Bank (s 21). These deemings cease to have force when the subsidiary relationship ends (s 21(e)-(f)).

Collectively, these provisions create a legal framework in which contractual relationships, securities and operational matters are carried forward to successor banks by operation of statute while specified residual assets and obligations are carved out. The duties on registrars and courts are procedural instruments to reduce frictions and allow the transfers to have practical effect.

The Act is primarily a transfer and procedural statute; it does not create new criminal offences or express monetary penalties for non‑compliance within its own text. Enforcement and remedies arise from existing legal processes and the statutory conferrals of rights and obligations. The enforcement and compliance mechanisms that follow from the Act are therefore chiefly interpretive and civil rather than penal.

Court enforcement and remedies

• Continuation of proceedings: Existing causes of action, arbitrations and proceedings may be continued by or against the successor entity in the same way as they could have been against the transferor (s 8(2); s 16(2)). Standard civil remedies (damages, injunctions, specific performance, enforcement of securities) remain available under the general law as applied to the successor by virtue of the statutory deeming and vesting provisions.
• Joint liability in judgment: A court or other adjudicative tribunal, at the request of a party in whose favour a monetary judgment is entered, may make the judgment against both the transferor and the successor and it may be enforced against both (s 8(3); s 16(3)). This is an enforcement tool that preserves creditors’ practical rights against both entities.

Registrar and registration enforcement

• The Registrar of Titles, Registrar of Deeds and other registration authorities are empowered to record and register documents necessary to reflect the transfers (s 23). The Act does not specify penalties for failing to record; failure to register may affect priority and enforceability under underlying land or securities law, but those consequences arise under the applicable registration and property regimes rather than under this Act.

Protection for third parties dealing in good faith

• The Act immunises third parties and registrars from being required to enquire into whether property is an excluded asset (s 22(1)(c)-(d)). That protection functions as a form of practical legal certainty for counterparties, reducing the risk that third parties will be found to have negligently transacted. However, the Act retains the liability of the successor to the transferor and vice versa in relation to dealings with excluded assets (s 22(3)); this preserves internal claim lines even where external third parties are protected.

Statutory preservation of duties and fees

• The Act expressly preserves obligations to pay stamp duty and fees under relevant statutes (s 25). Non‑payment of those duties/fees would attract enforcement and penalties under the particular fiscal enactments (for example, the Stamp Act 1921), not under this Act.

No express criminal or administrative penalties

• The Act contains no express criminal sanctions, civil penalty regimes or administrative fine mechanisms directed at failure to comply with its provisions. Compliance and enforcement thus proceed through normal civil and regulatory channels: contract law, property and registration law, and applicable taxation or fees regimes.

In practical terms, enforcement is effected through the ordinary civil courts and existing registration and revenue frameworks. Parties seeking relief must rely on standard remedies and the statutory mechanisms that preserve continuation of proceedings and enable judgments to run against both transferor and successor where appropriate (s 8(3); s 16(3)). Registrars have a statutory direction to register instruments (s 23) but the Act leaves the remedies for registrar non‑performance to the broader administrative and statutory context.

The Act is expressly drafted to operate alongside and to rely upon several existing statutes and legal processes. It also contains references and savings that shape cross‑legislative interaction.

Companies and corporate law

• The Act refers to the Companies Act 1961 for two main purposes: the definition of excluded assets (documents required to be kept under the Companies Act 1961) and the concept of a subsidiary for the purpose of service deeming (s 4; s 21(e)-(f)). The compilation notes explain that the Companies Act 1961 has subsequently been superseded by later corporate legislation (Other notes). The Act’s operation must therefore be understood in the context of subsequent corporate law changes and the present corporate law regime, but the statutory text ties its definitions and triggers to the Companies Act 1961 as it stood.

Evidence law

• Sections 89-95 of the Evidence Act 1906 are preserved in respect of bankers’ books of the transferring entities that are transferred to the successors (s 10(1); s 18(1)). This treats transferred bankers’ books as admissible under the old evidence provisions as if they belonged to the successor and thereby maintains the practical evidentiary position in ongoing or future litigation. The compilation notes include an uncommenced reference to the Evidence Act 2025 (Uncommenced provisions table), indicating later legislative reform of evidence law; the Act’s cross‑references mean courts will apply the preserved provisions as directed unless and until replacement provisions are brought into force and declared applicable.

Property, registration and land law

• The Act requires registrars of titles, deeds and other recorders to take cognisance of the Act and to record documents necessary to give effect to the transfers (s 23). Section 20 contains a specific declaration that the Bank’s entry on land as tenant, sub‑tenant or licensee under or through an existing bank does not constitute an assignment or other disposition for the purposes of any provision in instruments relating to that land. That interacts with property law and instruments containing covenants against assignment or alienation.

Banking regulation and fiscal law

• The Act expressly does not exempt the successor entities from Acts relating to companies carrying on banking business (s 24). It also preserves the duty to pay stamp duty and fees under the Stamp Act 1921 and other Acts (s 25). Consequently, regulatory and fiscal obligations under the broader statutory framework still apply to the successor entities despite the statutory transfers.

Court procedure and substitution rules

• The Act interacts with court rules by allowing continuation of proceedings without writ or pleading amendment (s 8(2); s 16(2)). This dovetails with procedural law: courts must accept the successor’s ability to be sued and to sue in the same name as the transferor. For excluded assets, the right to substitute the transferor as party (ss 9, 17) interacts with joinder and amendment rules in civil procedure.

Statutory consents and external Acts

• The preamble records the Commonwealth Treasurer’s consent to transfers in the Commonwealth (preamble paragraphs (f) and (l)) and that concurrent or complementary Acts were enacted in the UK and Victoria (preamble paragraphs (a), (m)). The WA Act is therefore part of a multi‑jurisdictional statutory architecture required to effect corporate restructuring that spanned countries and states.

Practical interaction issues

• Because the Act ties to historic definitions and statutes (for example, Companies Act 1961, Evidence Act 1906, Stamp Act 1921), subsequent amendments and repeals of those statutes may affect the practical operation of the cross‑references. The compilation notes record subsequent legislative supersession of the Companies Act 1961 and later company law instruments (Other notes), meaning practitioners must map the old references to current law when operationalising rights or duties preserved by the Act.

Overall, the Act is designed to work as a piece in a web of statutory and procedural rules. Its operation depends on courts, registrars and other statutory officers giving effect to the deeming and vesting provisions while the underlying regulatory, property and fiscal regimes continue to apply to the successor entities.

The Act’s compilation table and notes record a small number of recorded amendments and subsequent reprints. The statutory record in the source materials is as follows.

Recorded amendments

• Section 2 of the Act was deleted by the Statutes (Repeals and Minor Amendments) Act (No. 2) 1998, s 76 (Statutes (Repeals and Minor Amendments) Act (No. 2) 1998, No. 10 of 1998, assented 30 April 1998; commencement 30 April 1998) (compilation table and top of text where s 2 is shown as deleted). The compilation notes identify this deletion specifically.

Reprints and dates

• The principal Act received assent on 29 September 1970 and commenced on 1 October 1970 where no later proclamation day was appointed (s 1(2)(a); compilation table). The compilation records Reprint 1 of the Australia and New Zealand Banking Group Act 1970 as at 17 October 2003, which incorporates the amendments listed in the compilation table.

Uncommenced provisions and consequential links

• The compilation includes an “Uncommenced provisions table” showing the Evidence Act 2025 Pt. 12 Div. 2 (15 of 2025) as an entry with assent on 25 September 2025 and commencement to be proclaimed (compilation). This appears in the notes accompanying the reprint and indicates later legislative development affecting evidence law, which the Act cross‑references through the saving of Evidence Act 1906 provisions (s 10(1); s 18(1)). The presence of that entry signals that when new evidence law provisions commence they may affect the relevance of the Evidence Act 1906 provisions preserved by ss 10 and 18.

Other consequential law notes

• The notes state that the Companies Act 1961 has been superseded by the Companies (Western Australia) Code (Companies (Application of Laws) Act 1981 s 18), then by the Corporations Law, and finally by the Corporations Act 2001. The compilation provides statutory references to those transitions (Other notes). These are not amendments to the Bank Act itself, but they are consequential legal developments relevant to the Act’s cross‑references.

No other amendments recorded in the compilation

• Apart from the deletion of s 2 and the reprint, the compilation table does not record other amendments to the operative provisions captured in the reprint. Practitioners should, however, consult the WA legislation website for any later amendments beyond the Reprint 1 date if relying on the Act in current practice.

In sum, the Act has seen limited direct amendment according to the compilation material presented: the deletion of s 2 in 1998 and the usual reprinting. The most significant legislative interactions since enactment are captured in the compilation notes which identify the evolution of company and evidence law that the Act references.

The Act’s text and the compilation materials supplied do not record any reported case law or litigation history specific to this statute. There are no cases named in the source materials. That absence in the statutory compilation does not mean there has been no litigation involving issues generated by the transfers; it means the Act itself does not annotate or cite judicial decisions.

Potential litigation vectors suggested by the statute

• Determination of excluded assets. Because excluded assets are defined narrowly (documents required to be kept under the Companies Act 1961 and land held other than by way of security), litigation could arise over whether a given document or land interest falls within the statutory exclusion, particularly where title, custody or the nature of holding is disputed. The Act contemplates special procedural treatment for excluded assets (ss 9, 17; s 22(1)-(2)), so disputes about exclusion status could produce litigation on substitution, costs and remedial orders.
• Priority and security enforcement. The Act transfers securities and preserves priorities for successors (s 7(b)-(c); s 15(b)-(c)). Disputes could arise over the effect of the statutory transfer on priority between competing secured creditors, particularly where registrations and timing of entries in land or chattel registers are contested. Section 23 empowers registrars to record necessary documents but does not specify timelines or dispute processes, leaving room for judicial settlement of conflicts.
• Continuation of proceedings and procedural issues. The Act allows pending actions to be continued without amendment and permits judgments against both transferor and successor (s 8(2)-(3); s 16(2)-(3)). Litigation could test the boundaries of those provisions: for example, whether an action that arises after the appointed day but in respect of pre‑appointed day acts falls within s 8(1)(b) or s 16(1)(b), or whether procedural rules permit practical enforcement against the transferor, the successor, or both.
• Employee rights. Section 12 preserves accrued and accruing employment rights where the contract of employment is one to which s 6 applies (s 12). Disputes could follow where employers or successors challenge the scope or duration of preserved rights, particularly in relation to industrial agreements, award interpretation or the characterization of continuous service across the corporate change.
• Third‑party protections and internal liabilities. The Act protects third parties from needing to enquire into excluded asset status (s 22(1)(c)-(d)) but preserves the liability of the successor to the transferor regarding dealings with excluded assets (s 22(3)). Litigation could therefore involve internal indemnity or restitution claims between transferor and successor where external third parties transacted in reliance on the statutory deeming.

Absence of recorded authoritative rulings

• The source does not provide any reported decisions construing these provisions. Practitioners assessing litigation risk will therefore need to apply general principles of statutory interpretation, property law, contract law and procedural law to resolve disputes arising under the Act, recognising that specific judicial guidance is not captured in the Act’s compilation materials.

Where to look for litigation

• Because the Act relates to corporate restructuring and property, disputes would likely have been resolved in state courts (Supreme Court) or federal courts depending on the remedy sought. Given the lack of cases cited in the statute itself, practitioners should search case law databases and registries for decisions citing the Australia and New Zealand Banking Group Act 1970 or its provisions if a historical litigation precedent is required.

In short, the Act does not itself record litigation history in the supplied materials. The statute generates plausible litigation pathways linked to excluded asset classification, security priority, continuation of proceedings, employee rights and registration issues, but authoritative judicial treatment is not provided in the source.

The Act achieves statutory succession with apparent simplicity, but several practical and legal pitfalls for practitioners and affected parties flow directly from the text. The following are concrete “gotchas” grounded in the statutory wording.

Narrow and somewhat technical definition of excluded assets

• Excluded assets are limited to (a) documents required to be kept under the Companies Act 1961 and (b) land vested in or held by the transferor otherwise than by way of security and while so held after the appointed day (s 4). This creates a sharp dichotomy: many operational assets will transfer, but certain statutory company records and specified land holdings will remain with the transferor. Parties should not assume all documents transfer; identify whether a document is “required to be kept” under the old Companies Act 1961 (which the Act itself references) and whether a land interest is “held otherwise than by way of security.” The compilation notes flag that the Companies Act 1961 has since been superseded (Other notes), so mapping that historical reference to current records obligations is necessary.

Contracts relating to excluded assets do not transfer automatically

• Section 6(2) and s 14(2) exclude any contract relating to an excluded asset from automatic transfer. Consequently, contracts that on their face concern land held by the transferor otherwise than as security, or paperwork required by corporate statute, may remain with the transferor and need specific attention. Parties cannot assume all contractual counterparty obligations passed to the successor.

Service deeming is time‑limited

• Section 21 deems service on the Bank to be service on each existing bank and vice versa, and similarly for the savings banks, but paragraphs (e) and (f) provide that these deemings cease to have force when the relevant entity ceases to be a subsidiary within the meaning of section 6(1) of the Companies Act 1961. Practitioners should note that the service deeming is tied to subsidiary status under a historical corporate statute; its continued applicability may depend on subsequent corporate law changes and the continuing subsidiary relationship.

Third parties need not enquire, but internal liabilities remain

• Section 22(1) shields third parties and registrars from being required to enquire whether subject property is an excluded asset. This protects bona fide third parties. However, section 22(3) preserves the liability of the successor to the transferor (and vice versa) in respect of dealings with excluded assets. A third party may be safe for transactional purposes, while the transferring and recipient companies may be exposed to internal indemnity claims.

Bankers’ books vs excluded documents

• The Act preserves the application of sections 89-95 of the Evidence Act 1906 to bankers’ books transferred to the successor (s 10(1); s 18(1)), and defines bankers’ books expansively (s 10(2); s 18(2)). But “documents required to be kept by an existing bank pursuant to the Companies Act 1961” are an excluded asset (s 4(a)). Practitioners must distinguish between bankers’ books transferring and documents that remain excluded; the lines may be nuanced and fact specific.

No express timetable or process for registrar action

• Section 23 empowers registrars to record and register documents necessary to give effect to the Act, but does not set out a mandatory timetable or steps that the Bank or third parties must follow. That leaves open potential administrative delay risk, and uncertainty about whether registration will be automatic or require applications and supporting documents.

Employee rights are preserved but only where contract of employment is one to which s 6 applies

• Section 12 protects accrued and accruing rights under Acts, awards, industrial agreements and pension/provident schemes where the contract of employment is a contract to which s 6 applies. That qualification means rights arising under contracts that fall outside s 6’s scope may not be preserved in the same way. Practitioners should scrutinise which employment contracts were binding immediately before the appointed day and whether they fall within the catchment of s 6.

Stamp duty and fees still payable

• Section 25 expressly preserves stamp duty and fee obligations. Parties cannot rely on the statutory transfer to avoid duty or registration fees; fiscal costs may be material in large asset or security transfers.

Court judgments can be entered against both transferor and successor

• While the Act generally allows continuation against the successor without amendment (s 8(2); s 16(2)), courts may enter judgment against both transferor and successor at a party’s request (s 8(3); s 16(3)). Creditors may therefore pursue both entities for recovery, creating potentially complex enforcement scenarios and insolvency exposure.

Historical statute cross‑references require mapping

• The Act cross‑references older statutes (Companies Act 1961; Evidence Act 1906; Stamp Act 1921). The compilation notes confirm those statutes have been superseded or repealed in parts (Other notes). Practitioners must map the Act’s references onto current statutory frameworks to understand ongoing obligations and triggers.

In short, the apparent simplicity of automatic vesting conceals a set of precise legal distinctions and administrative steps that must be managed. The Act reduces some transactional friction but leaves a network of residual issues (excluded assets, registrar action, duties, employee contract scope and evidentiary questions) that require deliberate attention.

This section sets out practical, source‑grounded steps and checklists for parties affected by the statutory transfers to manage legal, operational and administrative obligations created by the Act. The Act imposes no express administrative filing regime in its text, but its provisions create clear tasks.

Checklist for the successor banks (the Bank and A.N.Z. Savings Bank)

• Identify all assets and liabilities that constitute “the undertaking” as defined in s 4. Exclude from that list any “excluded assets” as defined in s 4(a)-(b).
• Inventory securities, mortgages, charges and guarantees that the transferor holds and ensure transferability under s 7(b)-(c) and s 15(b)-(c). Prepare documentation to evidence continuance of security arrangements where registration is required.
• Review and adopt customer mandates, instructions and authorities that are subsisting at or given after the appointed day, in the terms permitted by s 7(a) and s 15(a). Establish operational processes to honour those instructions until revoked.
• Ensure continuity of bailment custody obligations and physical transfer of bailed goods and documents in accordance with s 7(d) and s 15(d). Maintain chain of custody evidence.
• Treat negotiable instruments in the Bank’s favour as its own where the instrument references the transferor (s 7(e); s 15(e)). Update internal clearing and reconciliation systems accordingly.

Checklist for transferor banks

• Identify and segregate excluded assets so that documents required to be kept under the Companies Act 1961 and land held otherwise than by way of security remain recorded as not transferred (s 4).
• Preserve records and statutory company documents required to be kept; ensure availability for inspection in accordance with company law obligations.
• Where liabilities relating to excluded assets remain, maintain systems to manage claims and creditors’ enquiries.

Registration and title actions

• Lodge or arrange for registrars to record, where necessary, documents to give effect to transfers of land interests and securities as contemplated by s 23. Although the Act does not prescribe a specific timeframe, proactive registration avoids priority disputes and fits the s 23 direction to registrars.
• Use s 20 to address clauses in existing land instruments that prohibit assignment. The Act declares that the Bank’s occupation as tenant, subtenant or licensee by virtue of the transfer does not constitute assignment for the purposes of instruments related to that land (s 20(a)). Prepare submissions to registrars where instrument interpretation is required.

Service and litigation management

• Where litigation is pending or likely, note that actions do not abate and can be continued by or against the successor without amendment (s 8(2); s 16(2)). Coordinate with litigators to confirm whether substitution or joint judgment against transferor and successor is appropriate (s 8(3); s 16(3)).
• For proceedings concerning excluded assets, be prepared to use the statutory right to substitute the original transferor as party without cost orders (ss 9, 17).

Employee rights and HR compliance

• Identify contracts of employment that are contracts to which s 6 applies and catalogue accrued and accruing rights under Acts, awards, industrial agreements and pension/provident/guarantee funds (s 12). Preserve those rights and maintain payroll, superannuation and entitlements in a manner consistent with their continued accrual and enforceability against the successor.
• Communicate to employees the preservation mechanics (without providing legal advice) and coordinate with industrial relations counsel to address any entitlements that might be ambiguous.

Tax, duty and fee compliance

• Make provision for payment of stamp duty and other fees on relevant documents; s 25 explicitly preserves duty and fee obligations. Consult revenue authorities as to the documentation they require given the Act’s statutory transfers.

Third‑party counterparties and registrars

• Registrars should take cognisance of the Act and be prepared to record requisite documents to give effect to the transfers (s 23). Good practice is to require identification of instruments covered by the Act and to maintain contemporaneous file notes referencing the statutory authority.
• Third parties transacting with the successors can rely on s 22(1) not to have to enquire whether an asset is excluded. However, prudent counterparties will verify the capacity of the contracting party and retain contractual indemnities where appropriate, recognising that internal claims between transferor and successor remain possible (s 22(3)).

Documentary and operational housekeeping

• Update client and counterparty records, bank mandates, signatory authorities, and contract registers to reflect the successor bank as contracting party in line with s 6(1) and s 14(1).
• Where manual or electronic records include references to the transferor, plan a documentation program to replace references where appropriate, while noting that references in enactments and documents are to be read as references to the successor except where relating to excluded assets (s 11; s 19).

Evidence and recordkeeping

• For bankers’ books that transfer, ensure they are preserved and accessible in ways that permit their use in litigation under ss 89-95 of the Evidence Act 1906 as preserved by s 10(1) and s 18(1). Maintain copies and proper chain of custody for ledgers, day books, cash books and account books (s 10(2); s 18(2)).

Practical communication

• While the Act does not require notice to customers to effect the transfers, consider issuing a client communication explaining that relationships will be carried forward to the successor and that mandates subsist until revoked (s 7(a); s 15(a)). That reduces customer confusion and operational friction.

In sum, compliance is principally an exercise in identification, documentation, registration and records management, together with careful liaison with registrars, litigators and revenue authorities to ensure the statutory transfers have practical legal effect and that residual liabilities and excluded assets are handled transparently.
