Auctioneers Act 1935

Licence as permission to operate: The central legal instrument is the licence. An auctioneer cannot carry on business as an auctioneer, nor sell or offer to sell by auction, unless holding an auctioneer's licence or, for persons employed by a licensed auctioneer, a clerk's licence (s 4). Licences are non‑transferable (s 18A) and must be returned promptly after expiration, suspension or cancellation (s 12).

Eligibility gatekeeping: The Board is required to be satisfied that an applicant is over 18, of good character and a fit and proper person before granting a licence or renewal (s 7(2)). Bankruptcy and recent insolvency dealings create disqualification or at least a presumption against grant: undischarged bankrupts and persons involved in winding up, controllers or administrators are ineligible; persons who have been bankrupt or insolvent within the last three years are also disqualified unless the Board is satisfied that they took all reasonable steps to avoid bankruptcy (s 9).

Two licence types, distinct durations: The Act distinguishes auctioneer's licences (applicants choose a licence period of 1, 3 or 5 years when applying; s 5(2)(i)) and clerk's licences (which can only be granted to a person employed by a holder of an auctioneer's licence; ss 8E-8F). A clerk's licence has a statutory end date: it continues until the next 30 June following grant (or 30 June of the following year if granted in June), or until the employer auctioneer's licence is cancelled or suspended, whichever occurs first (s 8H). Auctioneer licences remain in force from grant until the end of the licence period specified in the application unless sooner cancelled or suspended (s 8D).

Regulatory duties and enforcement tools: Licence holders must record full particulars of property sold by them and preserve those records for at least 12 months; the book is open to inspection by police and must be produced on request (s 14). Sellers and auctioneers have a prohibition against undisclosed seller bidding (s 15). The Board has inquiry and disciplinary mechanisms (s 8HB), including the power to suspend licences pending inquiry (s 8HC), and to reprimand, cancel, suspend or impose a fine up to 50 penalty units after an inquiry (s 8J). Specific offences are set by the Act with maximum penalties expressed in penalty units (ss 4, 12-15).

Administrative review and dispute resolution: NTCAT is given jurisdiction to review specified Board decisions listed in the Schedule, including refusals to grant or renew licences, suspension decisions, disciplinary decisions, and rejection of applications for disciplinary action (s 8; Schedule). If NTCAT orders the Board to grant or renew a licence, the Board must promptly issue it (s 8A). The Act refers to the Northern Territory Civil and Administrative Tribunal Act 2014 for procedural details (s 8, note).

Delegation and rule‑making: The Minister and the Board may delegate powers under the Act to the chief executive officer of the relevant agency or a public sector employee (s 3A). The Administrator may make regulations; regulations may prescribe fees and make rules of conduct, including adoption by reference of professional conduct codes (s 19(1)-(3)). Fees previously prescribed under a repealed section continue until regulations prescribe new fees (s 20).

Interaction with Criminal Law (Regulatory Offences): The Act classifies certain contraventions (specifically of ss 12 and 14(1)) as regulatory offences (s 17A). This shifts some contraventions into a regulatory enforcement model rather than full criminal proceedings, as effected by the Criminal Law (Regulatory Offences) Act 1983 in 1984 (see endnotes). The Act itself sets most penalties in penalty units for summary enforcement.

Procedural protections and limits: The Board may refuse to proceed with a disciplinary application that is frivolous, malicious or without sufficient evidence, or where a licence holder has a reasonable excuse for breach of rules (s 8HB(7)). Courts convicting for offences against the Act may also cancel or suspend licences in the same proceeding (s 18). These provisions allocate discretion between administrative and judicial processes.

Primary regulated parties

• Auctioneers: persons who sell by auction or offer for sale by auction. They must hold an auctioneer's licence to carry on business as an auctioneer (s 3; s 4). Auctioneers bear the principal compliance obligations: licence application/renewal, record keeping (s 14), notification of change in circumstances (s 8HA), delivery of licence on expiry or cancellation (s 12), and the prohibition on taking seller bids unless properly notified (s 15).
• Clerks: persons employed by a licensed auctioneer may perform auctions if the employer holds an auctioneer's licence and the clerk holds a clerk's licence granted under the Act (ss 8E-8F). Clerks are constrained by the limited duration of their licence which depends on either the statutory expiry date or the employer's licence status (s 8H).

Administrative actors and enforcers

• The Agents Licensing Board (the Board): responsible for granting, refusing, renewing and disciplining licences (s 7; ss 8HB-8J). The Board must act within 28 days for grant/refusal decisions (s 7(1)). It conducts inquiries, may suspend licences pending inquiry (s 8HC), and may impose penalties or cancel/suspend licences after inquiry (s 8J).
• Registrar of Land, Business and Conveyancing Agents: the Registrar is the recipient of notifications and disciplinary applications, and undertakes service functions; the Act requires licence holders to notify the Registrar of relevant changes within 14 days (s 8HA), and requires the Registrar to serve notice of disciplinary applications and decisions (s 8HB(8)).
• Minister and agency chief executive: the Minister and the Board may delegate powers under the Act to the Chief Executive Officer of the Agency or a public sector employee, enabling administrative officers to exercise statutory functions (s 3A).

Public enforcement and third parties

• Commissioner of Police: empowered to apply for disciplinary action against a licence holder by written notice lodged with the Registrar (s 8HB(2)), and authorised police may inspect record books on reasonable request (s 14(2)). Courts may order licence suspension or cancellation when sentencing (s 18).
• Any other person: the Act permits any person to apply to the Registrar for disciplinary action to be taken against a licence holder (s 8HB(4)); however, the Board may dismiss frivolous, malicious or unsupported applications (s 8HB(7)(a)-(c)). Those who apply are an affected party for review in certain circumstances (Schedule).

Indirectly affected parties

• Sellers and buyers at auction: sellers are constrained from clandestine bidding where an undisclosed right to bid has not been notified (s 15), and buyers are protected by record keeping and misrepresentation provisions (s 13, s 14). The Act empowers police inspection and Board oversight to preserve market integrity.
• Crown officers and persons authorised by law: the Act exempts persons employed to sell Crown lands or property, and any person expressly authorised by law to sell by auction, from operation of the Act in relation to those sales (s 10; s 17(b)-(c)). This creates differential treatment for certain public or statutorily authorised sales.

Service providers and market intermediaries

• Professional associations or code owners: the Act allows regulations to adopt rules or codes of professional conduct by reference (s 19(3)). Entities that maintain codes of conduct may therefore see their material incorporated into regulatory rules if the regulations refer to them.
• Businesses acquiring auction houses and purchasers of auction businesses: licences are not transferable (s 18A), so transactions that change who operates an auction business typically require new licence applications, with attendant eligibility assessments and fees.

Who pays and who decides

• Applicants and licence holders pay the prescribed fees at application and renewal (ss 5(3), 6(3); s 19(2)). If an application is refused, the prescribed fee must be refunded (s 5(4)); if a licence ceases because the holder stops trading or dies, the Board may refund a pro rata portion under s 8K.
• The Board and Registrar decide and administer licensing and disciplinary matters (ss 7, 8HB-8HC). The Minister and the Board may delegate functions to agency executives (s 3A), shifting decision making towards the public service.

Duties imposed on licence applicants and holders

• Licence requirement: No person may carry on business as an auctioneer or sell/offer to sell by auction without an in‑force auctioneer's licence or a clerk's licence where appropriate (s 4). This is the primary duty.
• Application content and fees: An application for an auctioneer's licence must be made in the approved form, specify a licence period of one, three or five years, provide the applicant's full name and business address, and be accompanied by the prescribed fee (s 5(1)-(3)). For renewals, similar formalities apply (s 6).
• Notification of change: Licence holders must notify the Registrar within 14 days of a change in circumstances relevant to licensing, such as name, address, place of business, or becoming an adjudicated bankrupt (s 8HA(1)-(2)); failure attracts a maximum penalty of 5 penalty units.
• Record keeping: Every auctioneer must immediately record full particulars of all property sold at auction in a book kept for that purpose and preserve the record for at least 12 months after the sale (s 14(1)). The book must be produced for inspection by the Commissioner of Police or authorised police officers on request (s 14(2)). Non‑compliance is an offence with a maximum penalty of 5 penalty units (s 14(3)).
• Return of licence: The holder must deliver the licence to the Registrar within 3 days after expiry or after cancellation/suspension (s 12). Non‑compliance attracts a maximum penalty of 1 penalty unit.

Conduct constraints and prohibitions

• Seller bidding: Where a sale is not notified in the conditions of sale as being subject to a right to bid on behalf of the seller, the seller must not bid or employ anyone to bid, and the auctioneer must not knowingly take a bid from the seller or such a person (s 15). Maximum penalty is 5 penalty units.
• Misrepresentation: Auctioneers who knowingly misrepresent the composition, structure, character, quality, origin or manufacture of any property offered for sale are guilty of an offence (s 13), with a maximum penalty of 0.8 penalty units.

Administrative and procedural rights

• Board decision times: The Board must grant or refuse an auctioneer licence or renewal within 28 days of receiving an application (s 7(1)). This timing right reduces uncertainty for applicants.
• Grounds for grant: Applicants have the right to a licence if they meet statutory criteria: age, good character and fitness, and payment of the prescribed fee (s 7(2)).
• Review rights: Specified Board decisions are reviewable by NTCAT as set out in the Schedule; affected persons may apply to NTCAT for review (s 8(1)-(3); Schedule). If NTCAT orders a grant or renewal, the Board must promptly issue the licence (s 8A).
• Disciplinary process: Licence holders have procedural protections as the Board must hold an inquiry before taking disciplinary action (s 8HB(6)). The Board may reject frivolous or malicious applications or those lacking evidence (s 8HB(7)), and it must serve the licence holder with the application or decision (s 8HB(8)). The Board may suspend pending inquiry if appropriate (s 8HC(1)-(3)).

Powers and remedies available to the regulator and courts

• Board sanctions: After inquiry the Board may reprimand or caution, cancel or suspend a licence for an appropriate period, or impose a fine not exceeding 50 penalty units (s 8J).
• Interim suspension: The Board may suspend a licence pending the outcome of an inquiry (s 8HC).
• Court powers on conviction: A court that convicts a person of an offence against the Act may, at the same time, cancel or suspend the person's licence for such period as it thinks fit (s 18).
• External applications for discipline: The Commissioner of Police, Registrar, or any other person may apply for disciplinary action (s 8HB(2)-(4)), creating multiple channels for enforcement.

Regulatory instruments that affect duties and rights

• Regulations and rules of conduct: The Administrator may make regulations, including fees (s 19(2)), and rules of conduct which may incorporate codes or professional rules by reference (s 19(3)). This allows the executive to refine expected standards and their operational application without primary‑law amendment.
• Delegation: Minister and Board delegations to the agency chief executive or public sector employees (s 3A) can change who actually exercises statutory powers.

Statutory penalty architecture

• High‑level prohibition penalty: Carrying on business as an auctioneer or selling by auction without an in‑force licence is an offence carrying a maximum penalty of 100 penalty units (s 4). This is the most substantial monetary sanction expressly in the Act.
• Specific statutory offences and penalties:
  • Misrepresentation by an auctioneer is an offence with a maximum penalty of 0.8 penalty units (s 13).
  • Failure to keep and preserve the required record of property sold (s 14(1)) and non‑production on reasonable request exposes the offender to a maximum penalty of 5 penalty units (s 14(3)).
  • Failure to return an expired, cancelled or suspended licence within three days carries a maximum penalty of 1 penalty unit (s 12).
  • Bidding by the seller where not notified in the conditions of sale is an offence with a maximum penalty of 5 penalty units (s 15).
  • The Board’s disciplinary fine capability is up to 50 penalty units (s 8J(c)), which the Board may impose after holding an inquiry and finding a breach of the Act or the rules.
• Regulatory offence classification: Contravention of ss 12 (return of licences) or 14(1) (record keeping) are expressly defined as regulatory offences (s 17A). That classification typically means these contraventions are dealt with under the regulatory enforcement framework rather than as conventional criminal offences, pursuant to the Criminal Law (Regulatory Offences) Act 1983 and related provisions (see endnotes).

Enforcement actors and mechanisms

• Board disciplinary pathway: The Board handles complaints and disciplinary applications and must hold an inquiry into the conduct of a licence holder where an application is made by the Commissioner of Police, the Registrar, or any other person, or where the Board independently considers grounds exist (s 8HB(2)-(6)). The Board has powers to reprimand, suspend, cancel licences and impose fines up to 50 penalty units after an inquiry (s 8J).
• Interim measures: The Board may suspend a licence pending the outcome of its inquiry if it considers suspension appropriate (s 8HC(1)-(3)). The Registrar must give written notice of that suspension (s 8HC(2)) and suspension takes effect on the day after notice is given (s 8HC(3)).
• Court enforcement: Courts retain concurrent powers to cancel or suspend a licence at the time of imposing penalties for offences under the Act (s 18). Criminal prosecutions for offences under the Act may be brought to court where applicable.
• Police powers: Authorised members of the police force can inspect the auctioneer’s record book at reasonable times and require production of the book (s 14(2)). The Commissioner of Police may initiate disciplinary applications with the Registrar (s 8HB(2)).

Procedural limits and protections

• Board may decline to pursue frivolous or malicious complaints: The Board may, without holding an inquiry, reject an application for disciplinary action if the application is frivolous, irrelevant or malicious, or if it is satisfied there is insufficient evidence or there is a reasonable excuse for breaching the rules (s 8HB(7)). This provides a gatekeeping control to limit vexatious enforcement.
• Notice and service obligations: Where an application for disciplinary action is made, or where the Board decides to take disciplinary action, the Registrar must serve a copy on the licence holder as soon as reasonably practicable (s 8HB(8)). The Act does not specify minimum hearing procedural rules in the text, but the Board’s obligation to hold an inquiry and NTCAT review rights supply procedural pathways (ss 8HB(6), 8).
• Review rights to NTCAT: Affected persons may apply to NTCAT for review of reviewable Board decisions specified in the Schedule. If NTCAT orders grant or renewal, the Board must promptly issue the licence (ss 8, 8A; Schedule). This provides a remedial administrative appeal route.

Practical enforcement considerations

• Financial exposures are a mix of statutory fines (often small in absolute terms for breaches like misrepresentation at 0.8 penalty units) and larger licensing penalties (e.g. unlicensed operation at 100 penalty units and Board fines up to 50 units). The Board’s ability to cancel or suspend licences and the court’s power to do likewise on conviction mean enforcement can have immediate operational consequences beyond monetary penalties (ss 4, 8J, 18).
• The regulatory offence classification for record and licence delivery offences (s 17A) means some non‑compliance may be handled through administrative or civil‑style regulatory processes rather than traditional criminal prosecution, which affects evidentiary and procedural expectations.
• The Registrar and police have inspection and reporting functions that make routine compliance activities (record keeping, licence custody) focal points for discovery and enforcement (s 14; s 8HB).

References to other NT statutes and instruments

• Agents Licensing Act 1979: The Act uses the Agents Licensing Board established under s 6(1) of the Agents Licensing Act 1979 as the licensing authority for auctioneers (s 3). The Registrar referenced is the Registrar of Land, Business and Conveyancing Agents appointed under s 8(1) of the Agents Licensing Act 1979 (s 3). This links auctioneers’ administration to the broader agent licensing infrastructure in the Territory.
• Northern Territory Civil and Administrative Tribunal Act 2014: The Act confers review jurisdiction to NTCAT for specified Board decisions and explicitly notes that the NTCAT Act sets out the procedure for applying to NTCAT and other relevant matters in relation to reviews (s 8, note). This channels administrative appeals into the NTCAT framework.
• Criminal Law (Regulatory Offences) Act 1983: The Act classifies certain contraventions as regulatory offences (s 17A). The endnotes record the Criminal Law (Regulatory Offences) Act 1983 as the instrument effecting regulatory offence treatment from 1984. That Act changes enforcement mechanics, penalties and procedural frameworks for regulatory offences.

Regulations and codes

• Regulations and fees: The Administrator may make regulations under the Act and prescribe fees (s 19(1)-(2)). Section 20 preserves previously prescribed fees under a now‑repealed provision until regulations are made, preventing an administrative gap (s 20). This cross‑referencing means that the practical cost of licencing depends on subordinate regulation.
• Rules of conduct and adoption by reference: The regulations may make rules of conduct which may incorporate or adopt by reference rules, codes or other documents as in force from time to time, with necessary changes (s 19(3)). This allows regulatory norms, potentially drafted elsewhere (for example, industry codes), to be given legal bite through regulation rather than primary legislation. Practically, this links the Act to external professional standards.

Crown and statutory exemptions

• Crown sales and authorised sales: The Act exempts persons employed to sell Crown lands or property of the Crown and persons expressly authorised by law to make sales by auction from the operation of the Act in respect of those sales (s 10; s 17(b)-(c)). This creates an interface between administrative licensing and statutorily authorised disposals by government agencies, preserving pre‑existing statutory authorisations.

Bankruptcy and insolvency regimes

• Interaction with insolvency: Section 9 disqualifies undischarged bankrupts or persons involved in company windings up from receiving or renewing licences, and disqualifies persons with bankruptcies or insolvency arrangements in the previous three years unless the Board is satisfied that reasonable steps were taken to avoid bankruptcy (s 9). Licensing decisions therefore require the Board to consider external insolvency outcomes and the commercial fitness of applicants in the context of insolvency law outcomes.

Enforcement overlap with courts and police

• Court sentencing and licence cancellation: A court imposing a penalty for an offence under the Act may simultaneously cancel or suspend the convicted person’s licence (s 18). This cross‑link brings criminal court sentences into administrative consequences and may influence prosecutorial and defence strategies where matters proceed to court.
• Police inspection and disciplinary applications: Police inspection powers for record books (s 14(2)) and the ability of the Commissioner of Police to apply for disciplinary action (s 8HB(2)) create a direct link to law enforcement and criminal investigation resources.

Transitional and amendment interactions

• Statute Law Revision and Repeals Act 2019: The endnotes record that s 3AB (a provision previously used to define prescribed fees) was repealed by that Act, and transitional savings preserve previously prescribed fees until regulations are made (s 20). This both shows the Act’s interaction with statute law revision machinery and indicates reliance on subordinate instruments for practical fee settings.
• NTCAT conferral 2023: The Statute Law Amendment (NTCAT Conferral of Jurisdiction) Act 2023 amended s 8 and the Schedule to confer NTCAT jurisdiction, altering the tribunal review pathway and aligning it with NT administrative framework reforms (endnotes).

Limits of the Act’s own cross‑references

• The Act references Agents Licensing Act administrative appointments and NTCAT for procedure but does not itself specify detailed hearing rules, evidentiary standards, or code contents; those are left to the Board, regulations (s 19(3)) or NTCAT procedures (s 8 note). Practitioners should therefore consult the Agents Licensing Act, NTCAT rules and relevant regulations for complete procedural detail.

Chronology of selected legislative changes and insertions is set out in the Act’s endnotes. The text below summarises the primary amendments recorded in the provided material and the sections they affected. All itemised changes are taken from the Act’s endnotes.

Early and mid 20th century consolidations

• 1935, 1955, 1960s: The Act originated as the Auctioneers Ordinance 1935 and was amended and re‑enacted several times through the 1950s and 1960s, with s 3 and many early sections amended by the Auctioneers Ordinance 1955 (No. 10, 1955) and subsequent Ordinances (see List of Legislation in endnotes).

Administrative and revisionary amendments

• 1970s-1980s: Various Ordinances Revision Acts and Transfer of Powers instruments in the 1970s and 1980s made formal and structural amendments to sections and administrative arrangements, including references to the Agents Licensing Board and related structures (endnotes list Ordinances Revision Ordinance 1973, 1974, and others; Transfer of Powers Acts 1977 and 1978).

Regulatory offence and penalties changes

• Criminal Law (Regulatory Offences) Act 1983: Inserted s 17A making certain contraventions regulatory offences. The Act commenced as to this effect on 1 January 1984 (endnotes). This reclassified certain procedural offences under the regulatory enforcement regime.
• Sentencing and penalties amendments: The Sentencing (Consequential Amendments) Act 1996 and the Penalties Amendment (Justice and Treasury Legislation) Act 2010 made changes relevant to sentencing and penalty units applied in the Act (endnotes record these amendments affecting ss 7, 12, 13, 14, 15, 16 and others).

Statute law revisions and modern updates

• Statute Law Revision Act 1993 and subsequent revision Acts: The Act shows multiple entries reflecting periodic statute law revision activity that amended formal language and updated section numbering and references.
• Personal Property Securities (National Uniform Legislation) Implementation Act 2010 and related reforms are recorded in the endnotes, indicating general legislative modernisation in the NT statute book during that period.
• Red Tape Reduction (Miscellaneous Amendments) Act 2016: Amended aspects of the Act including the insertion or modification of s 8D (licence period provisions) among other formal changes (endnotes).

Recent conferral of tribunal jurisdiction and other modern amendments

• Statute Law Revision and Repeals Act 2019: Repealed s 3AB (which had previously governed some fee prescriptions) and made other formal updates; transitional provision s 20 ensures fees previously prescribed under s 3AB continue until regulations prescribe replacement fees (s 20; endnotes).
• Statute Law Amendment (NTCAT Conferral of Jurisdiction) Act 2023 (Act No. 24, 2023): Assent 21 September 2023; commenced 27 November 2023. This amending Act conferred NTCAT jurisdiction over reviewable Board decisions by amending s 8 and related provisions and inserted the Schedule of reviewable decisions (endnotes and Schedule). The Schedule now lists the specific Board decisions that are reviewable by NTCAT.

Notable insertions and repeals by section

• s 3A (Delegation) inserted by No. 10, 1955 and subsequently amended (endnotes).
• ss 8A-8D, 8E-8H, 8J and 8K were variously inserted, amended or re‑substituted across the 1955 Ordinance and subsequent revision Acts (endnotes reference No. 10, 1955; No. 12, 2016 for s 8D; No. 33, 2019 for several changes).
• ss 8HB-8HC (notification, disciplinary application grounds, and suspension pending inquiry) were inserted by the Statute Law Revision and Repeals Act 2019 (No. 33, 2019, s 36) or similar modern amendments as listed in the Act’s amendment schedule (endnotes).

Practical consequence of amendment history

• Over time the Act has been modernised to align with administrative structures (Agents Licensing Board, Registrar), to route review processes through NTCAT, and to move some contraventions into regulatory enforcement frameworks. The recurring pattern in the endnotes is one of statute law revision and administrative realignment rather than wholesale policy change recorded in the text. Section 20 preserves continuity of fee arrangements during transitions in subordinate instruments.

For practitioners advising on current compliance, the amendment history indicates that the Act is heavily dependent on subordinate regulation (fees, rules of conduct) and institutional architectures (Board, Registrar, NTCAT). Consult the current regulations and the Agents Licensing Act and NTCAT Act for contemporary procedural detail.

The Act text and its endnotes do not record any reported litigation, leading cases or judicial interpretations as part of the instrument provided. The Schedule and s 8 create an express administrative review pathway to NTCAT for specified Board decisions, and s 18 gives the courts power to cancel or suspend licences on conviction, so the statutory architecture anticipates disputes will be resolved through administrative tribunal review and, where offences are prosecuted, through the courts.

What the Act provides by way of dispute mechanisms

• Administrative review: The Act lists specific Board decisions that are reviewable by NTCAT (Schedule; s 8). Affected persons for each decision are identified in the Schedule, and an affected person may apply to NTCAT for review (s 8(1)-(3)). If NTCAT orders grant or renewal of a licence following review, the Board must promptly issue the licence (s 8A). The NTCAT Act provides procedural rules for applications, hearings and remedies; the Auctioneers Act delegates procedural mechanics to that Act by reference (s 8, note). Practitioners should therefore expect most licence‑related administrative disputes to proceed initially to NTCAT.
• Disciplinary inquiries and appeals: The Board conducts inquiries under s 8HB(6). Decisions to take disciplinary action, to suspend, to cancel or to impose fines are reviewable under the Schedule (items 3-5) and thus can be taken to NTCAT by affected persons.
• Court involvement: For conduct that results in criminal charges under the Act, a prosecution in court may result in conviction and the court has the express power to cancel or suspend the convicted person’s licence as part of sentencing (s 18). This embeds administrative consequence within criminal sentencing.

Implications of the absence of case law in the text

• No precedent provided in the statute: The Act itself does not supply judicial interpretation. Practitioners must therefore consult the NT court and tribunal decisions outside this text for principles applied in disciplinary inquiries, licence refusals, bankruptcy disqualification questions, and the scope of rules of conduct. The absence of cases in the Act does not mean litigation has not occurred; it simply means the Act text does not compile or summarise that litigation.
• Reliance on tribunal and regulatory records: Given the Act’s emphasis on Board and NTCAT processes, the record of administrative decisions, NTCAT determinations, and any relevant court judgments will be the principal source of operational precedent. Where an applicant’s eligibility depends on subjective judgments (for example, “fit and proper” or whether reasonable steps were taken to avoid bankruptcy), tribunal and court decisions will materially inform how the Board exercises discretion.

Practical note for practitioners

• Before advising clients on likely outcomes or strategy for a licensing, disciplinary, or review matter, obtain and review NTCAT determinations and local court decisions addressing: what evidence satisfies “good character” and “fit and proper”; when the Board’s discretion to refuse is judicially reviewable; how disciplinary procedures have been applied; and how bankruptcy‑related disqualifications have been treated. The Act provides the statutory pathways and remedies but not the interpretive detail necessary for case‑by‑case prediction.

Several operational and legal traps are embedded in the Act’s mechanics and penalties. These are concrete points of friction practitioners must flag for clients.

Short timelines for administrative obligations

• Notification requirement: Licence holders must notify the Registrar within 14 days of any change in name, address, place of business or becoming adjudicated bankrupt (s 8HA(1)-(2)). Failure to do so attracts a maximum penalty of 5 penalty units. This is a short window that can result in regulatory exposure for everyday changes in contact details or insolvency events.
• Return of licence: The holder must return an expired, cancelled or suspended licence within three days (s 12). This brief timeframe is an administrative compliance point that can lead to a penalty (s 12) if missed.

Non‑transferability and business transactions

• Licence is not transferable: s 18A expressly states a licence is not transferable. Acquisitions of auction businesses or changes in business ownership therefore require new licence applications rather than simple transfer,an often‑overlooked transaction cost for purchasers or vendors.
• Clerk licences tied to employer status: Clerk licences can only be granted to persons employed by the holder of an auctioneer’s licence (s 8F(2)(a)(iv)). A change in employer or a sale of the auctioneer business could therefore terminate a clerk’s licence (s 8H(b)), creating continuity risk for employees.

Bankruptcy and insolvency traps

• Recent insolvency is disqualifying: s 9 disqualifies those who are undischarged bankrupts or subject to winding up orders, and generally excludes persons who, within three years, were bankrupt, applied to take the benefit of insolvency laws, compounded with creditors or assigned remuneration for creditors’ benefit. The Board can except in the case the applicant took all reasonable steps to avoid bankruptcy (s 9(2)), but the burden lies on the applicant to persuade the Board. Recent insolvent histories can therefore block licencing.

Record keeping and police inspection

• Detailed record keeping and immediate recording: Auctioneers must “forthwith record” full particulars of property sold and preserve records for at least 12 months (s 14(1)). The police may inspect those books at reasonable times and demand production (s 14(2)). Failure is an offence carrying up to 5 penalty units (s 14(3)). The “forthwith” requirement has operational implications for auctions with high turnover or itinerant auctioneers.

Seller bidding and disclosure

• Seller bidding: If the conditions of sale do not notify a seller’s right to bid, the seller must not bid and the auctioneer must not knowingly accept such bids (s 15). It is easy to breach this provision unintentionally if sale conditions are not explicit or if third‑party bids are not properly vetted.

Regulatory offence classification and enforcement pathway

• Regulatory rather than criminal exposure: Offences for failing to return licences and failing to keep records are regulatory offences (s 17A). That affects enforcement procedure, evidence thresholds and potential remedies. Parties should not assume these issues will be treated as ordinary criminal prosecutions.

Board discretion and evidentiary gates

• Board’s gatekeeping on disciplinary applications: Any person may apply for disciplinary action (s 8HB(4)), but the Board may reject frivolous or malicious applications and may decline to hold an inquiry where insufficient evidence exists (s 8HB(7)). Complainants may therefore face dismissal of unsubstantiated claims, which can be unexpected if they are unfamiliar with evidentiary thresholds.
• Interim suspension: The Board may suspend a licence pending inquiry (s 8HC(1)). Suspension takes effect upon notice (s 8HC(3)), so licence holders may face immediate operational disruption even before final determinations.

Fees and transitional fee risk

• Fees prescribed by regulation: The Act relies on regulations for fee schedules (s 19(2)). Section 20 preserves previously prescribed fees until regulations make new prescriptions. Practitioners should confirm the current prescribed fee instruments and any transitional arrangements to avoid underpayment or inadvertent non‑payment risks (s 20).

Prosecution consequences include cancellation

• Court can cancel or suspend upon conviction: Courts may cancel or suspend licences as part of sentencing for offences under the Act (s 18). This can compound the impact of convictions by immediately affecting the licence holder’s ability to trade.

Adoption of external codes by reference

• Rules of conduct by reference: The regulations may adopt external codes or documents by reference (s 19(3)). Licence holders should identify applicable codes adopted by regulation because breaches of such codes may be treated as breaches of the rules under s 8HB(1)(b) and attract disciplinary action.

Low monetary penalties but high operational impact

• Some statutory penalties are small (misrepresentation 0.8 penalty units; s 13) compared with the operational impact of suspension or cancellation. Practitioners must focus on non‑monetary consequences like licence suspension or cancellation which often produce greater economic harm than the monetary fines.

A practical compliance checklist for applicants, licence holders and employers, tied to the Act’s text.

Before applying

• Check eligibility against bankruptcy and insolvency rules: Ensure the applicant is not an undischarged bankrupt, a director of a company subject to winding up, or within three years of insolvency dealings that would disqualify them unless they can show they took all reasonable steps to avoid bankruptcy (s 9).
• Prepare documentary proof of identity and business address: s 5(2)(ii) requires the applicant’s full name and business address. Organise supporting documentation to evidence these facts and any material relevant to “good character” and “fit and proper” status.
• Choose licence period and budget for fees: The application must specify a licence period of one, three or five years (s 5(2)(i)) and be accompanied by the prescribed fee (s 5(3)). Verify current fees in regulations (s 19(2)); until new regulations prescribe fees, s 20 ensures continuity of prior fee prescriptions.

Filing the application

• Use approved forms and pay fees: Apply in the approved form (s 5(1)), provide required particulars and pay the prescribed fee (s 5(3)). If the Board refuses, the prescribed fee must be refunded (s 5(4)).
• Allow for Board decision timeline: The Board must grant or refuse within 28 days of receiving an application (s 7(1)). Plan for this timeline in business launches or transaction closings.

If employing clerks

• Ensure employment relationship: A clerk’s licence may only be granted for a person employed by a holder of an auctioneer’s licence (ss 8E, 8F(2)(a)(iv)). Document the employment and ensure compliance with s 8H: clerk licences end on 30 June next after grant or when the employer’s auctioneer’s licence is cancelled or suspended, whichever is earlier (s 8H).

Ongoing compliance for licence holders

• Notify the Registrar promptly: Notify the Registrar within 14 days of a change in circumstances relevant to licensing such as name, address, place of business, or becoming adjudicated bankrupt (s 8HA(1)-(2)). Maintain records of notifications to avoid penalty exposure.
• Maintain record book and preserve for 12 months: Record full particulars of all property sold “forthwith” in a book kept for that purpose and preserve the record for at least 12 months (s 14(1)). Ensure the book is available for inspection by authorised police (s 14(2)). Consider digital record keeping that satisfies the “forthwith” requirement and retention obligations.
• Ensure sale notices disclose seller bidding rights: When a sale is subject to a right to bid on behalf of the seller, the conditions of sale must notify that fact; otherwise neither the seller nor any person employed by the seller may bid, and the auctioneer must not knowingly accept such bids (s 15). Draft conditions of sale to make any seller bidding rights explicit.
• Return licences on expiry/suspension/cancellation: When a licence expires or is cancelled/suspended, deliver the licence to the Registrar within three days (s 12). Create an internal calendar and process for licence management to prevent inadvertent non‑return.

Preparing for and managing disciplinary risk

• Establish internal compliance and complaint handling: Because the Commissioner of Police, the Registrar, or any person may apply for disciplinary action (s 8HB(2)-(4)), licence holders should maintain records of compliance with rules and codes, and implement internal complaint response processes to reduce risk and to prepare evidence if an application is received.
• Respond promptly to inquiries and notices: If the Registrar serves a copy of an application for disciplinary action, the Board must be reported to (s 8HB(5)) and the Board must hold an inquiry if certain triggers are met (s 8HB(6)). Engage legal representation early, preserve documents and be ready to invoke procedural rights, including review to NTCAT where appropriate.
• Understand interim suspension risk: The Board may suspend a licence pending inquiry if it considers this appropriate (s 8HC(1)). Anticipate operational continuity plans for auction activities if a licence is suspended.

Regulatory and code compliance

• Monitor regulations and adopted codes: Regulations may prescribe fees and rules of conduct and may adopt external codes by reference (s 19(2)-(3)). Ensure compliance with both the Act and any rules or codes incorporated into the regulations. Maintain a compliance register to track current regulatory instruments.
• Budget for potential Board fines and penalties: After inquiry the Board may impose fines up to 50 penalty units (s 8J(c)), in addition to statutory penalties for specific offences (ss 13-15). Factor this into risk assessments and insurance considerations.

Dispute and review readiness

• Use NTCAT review mechanism: For reviewable decisions listed in the Schedule, affected persons have a right to apply to NTCAT (s 8; Schedule). If NTCAT orders grant or renewal, the Board must promptly issue the licence (s 8A). Prepare evidence and submissions in accordance with NTCAT procedural rules.
• Keep records to defend “good character” and fitness: Since s 7(2) requires the Board to be satisfied about good character and fitness, maintain documentary evidence (references, conduct history, compliance records) to support licence grant or renewal applications.

Transaction planning where licences matter

• Plan for non‑transferability: Because licences are not transferable (s 18A), include licence application timing and eligibility checks as conditions precedent in sales or business transfer agreements involving auctioneering operations.
• Consider clerk licences in employment transitions: When auctioneers sell their business or change employer, clerk licences may lapse under s 8H(b), so transitional arrangements should be made to re‑apply for licences where necessary.

Record keeping and audit trails

• Timestamped logs and retention: Because the Act uses “forthwith” and requires preservation for at least 12 months (s 14(1)), adopt practices that create timestamped records at the time of sale, and retain audit trails. Make the book available for inspection and document any police requests and responses (s 14(2)).

Practical compliance governance

• Delegate administrative responsibilities: Use the Act’s delegation mechanisms to structure responsibility for compliance within the business; the Minister and Board may delegate powers to the chief executive officer or public sector employees (s 3A), and businesses should mirror that approach internally by delegating a compliance officer to manage notifications, record keeping and licence renewals.
• Regular compliance reviews: Conduct scheduled audits of record books, sale terms, and licence status to identify and remedy breaches before regulatory or disciplinary action arises.
