What it does
These Regulations (Associations Incorporation (Model Rules) Regulations 2017) prescribe a complete model set of rules for incorporated associations by regulation (regulation 3 and Schedule 1). They commenced on 26 December 2017 (regulation 2) and the model rules themselves are contained in Schedule 1. Mechanically, the instrument supplies a ready-made constitution that associations may use (the text states the model rules are “prescribed for the purposes of section 16(1) of the Act” (regulation 3)). The Schedule sets out definition clauses, membership and admission procedures, governance arrangements for committees and officers, financial and banking procedures, audit and exemption mechanics, meeting rules (AGMs, special general meetings, notices, quorum and voting), conflict-of-interest and disclosure obligations, subcommittee and executive committee powers, rules for expulsion and appeal, a dispute-resolution clause referring to the Commercial Arbitration Act 2011, and rules concerning the use of a common seal.
The Schedule is drafted as a modular template with a number of blank fields that must be populated by any adopting association (for example, name of association, office location, annual subscription amount, liability cap on members in winding up, and number of ordinary committee members , see rules 1, 3, 32(1), 6(3), 25(1)). The model rules also reference, and in some cases condition application on, provisions of other statutes: the Associations Incorporation Act 1964 (the Act) (see numerous cross-references throughout the Schedule), the Trustee Act 1898 (investment power subject to trustee law in rule 4(h)), the Income Tax Assessment Act 1936 (s 78A donations in rule 4(i)), the Banking Act 1959 (definition of authorised deposit-taking institution in rule 2), the Guardianship and Administration Act 1995 (vacancy ground in rule 27(c)), and the Commercial Arbitration Act 2011 (disputes clause in rule 36).
