What it does
This Direction establishes a set of rules the Commissioner must apply when granting certificates of incorporation to associations under the Associations Incorporation Act 1964. It does four concrete things.
First, it prescribes the short title for the instrument as the Associations Incorporation Direction 1999 (s 1). Second, it fixes the commencement rule: the Direction takes effect on the day its making is notified in the Gazette (s 2). Third, it defines the term Act for the Direction as the Associations Incorporation Act 1964 (s 3). Fourth, and substantively, it imposes mandatory limitations on names that the Commissioner may grant to an association on incorporation, subject only to a Ministerial consent exception (s 4(1)). The Direction also sets rules for how the Commissioner determines whether a proposed name is identical to a name reserved or registered under the Corporations Law (s 4(2)). Finally, the Direction expressly revokes the earlier Associations Incorporation Direction 1983 (s 5) and records that the Direction is administered in the Department of Justice and Industrial Relations, and that it was notified in the Gazette on 10 November 1999.
Mechanically, the operative constraint is a negative duty on the Commissioner: except with the consent of the Minister, the Commissioner must not grant incorporation under names of specified kinds (s 4(1)). The list of unacceptable names includes names likely to be confused with registered business names, cooperative society names or other incorporated associations (s 4(1)(a)(i)-(iii)); names identical to Corporations Law reserved or registered names as they appear on an electronic national names register to which the Commissioner has access (s 4(1)(b)); names misleading as to the business to be carried on (s 4(1)(c)); names likely to be offensive (s 4(1)(d)); names containing a long enumerated list of words or phrases (s 4(1)(e)); and names capable, in context, of suggesting various governmental, royal, ex-service or incapacity connections where those connections do not exist (s 4(1)(f)-(k)). Section 4(2) prescribes a specific list of matters the Commissioner must disregard when applying the “identical” test against Corporations Law names.
