What it does
This instrument designates which Australian Securities and Investments Commission staff roles count as “senior staff members” for the purposes of the ASIC Act and, in specific contexts, for provisions of the Corporations Act and employment decisions under the ASIC Act. The instrument is made under section 122A of the Australian Securities and Investments Commission Act 2001 (ASIC Act) (see s 3). It contains two core operative provisions.
First, section 5 lists roles that are senior staff members “for all purposes”. Those positions are: Chief Executive Officer (added as subparagraph (aa)), Executive Director, Senior Executive Leader, Senior Executive Specialist, and, in a separate enumerated list under paragraph (d), specified chief or legal officer roles: Chief Financial Officer, Chief Technology Officer, Chief Risk Officer, Deputy General Counsel, General Counsel and Special Counsel (s 5).
Second, section 6 contains two narrow, purpose-specific determinations. Subsection 6(1) makes staff who hold or act as MDP Chair, MDP Deputy Chair or MDP Member senior staff members for the purposes of performing functions and exercising powers in relation to matters referred to the Markets Disciplinary Panel (defined in the instrument as the panel that handles alleged contraventions of the market integrity rules under Part 7.2A of the Corporations Act). Subsection 6(3) designates that staff who hold or act as Head, People and Culture or Senior Manager, People and Culture are senior staff members for the purposes of performing functions and exercising powers relating to employment of staff (including terms and conditions) under section 120 of the ASIC Act.
Mechanically, the instrument operates by attaching the legal status “senior staff member” to named positions. The phrase “holds or acts in” appears in both s 5 and s 6, so the determination covers both substantive incumbents and staff acting in those positions. The instrument itself does not create novel statutory powers or offences. Rather it identifies which individuals can be treated as senior for the purposes of functions and powers that are conferred elsewhere in statute or by ASIC’s internal delegations. The instrument’s commencement and amendment history are recorded in the endnotes, with the original instrument number 2019/117 commencing 1 July 2019 and subsequent amendments listed (Endnote 1 and Endnote 2).
