What it does
This legislative instrument, the ASIC Market Integrity Rules (Securities Markets) Class Waiver 2018/304 (the waiver), suspends specified disclosure obligations in the ASIC Market Integrity Rules (Securities Markets) 2017 (the Rules) for Market Participants that operate a Crossing System and receive Orders via an Aggregator, in the specific circumstances described in the instrument. The instrument is made under subrule 1.2.1(1) of the Rules (s 3) and commences on the day after registration on the Federal Register of Legislation (s 2). The instrument itself is dated 26 April 2018 and signed by a delegate of ASIC (Anthony Graham).
Mechanically, the waiver operates as follows. Under the Rules, subrule 5A.1.1(1) requires certain information to be included in a Crossing System Initial Report and subrule 5A.2.1(1) requires certain information to be made publicly available free of charge. The waiver relieves a Market Participant from those two obligations to the extent they require the Market Participant to describe "Received Aggregation Information" in a Crossing System Initial Report (s 5(1)) or to make Received Aggregation Information publicly available on a website free of charge (s 5(2)). The waiver applies only where the Market Participant is not reasonably able to identify the other Crossing System or Market Participant in relation to the Received Aggregation Information because Orders are received from that Crossing System or Market Participant via an Aggregator (s 5(3)).
The instrument also prescribes conditions that the Market Participant must meet for the waiver to be effective. Those conditions require, in the Crossing System Initial Report lodged with ASIC under Rule 5A.1.1, that the Market Participant provide the legal name of the Aggregator, a statement that Orders in the Market Participant’s Crossing System may be executed or matched with Orders received via the Aggregator, and a unique code identifying each Crossing System operated by the Aggregator (s 6(1)(a)(i)-(iii)). The instrument also requires that any change during a calendar month to that information be treated as a change to be set out in a Crossing System Monthly Report, and, if no monthly report would otherwise be required, that such a change nevertheless triggers the preparation and lodgement of a Crossing System Monthly Report for that month (s 6(1)(b)). For public availability, the instrument requires the Market Participant to make the same three items available on a publicly accessible website free of charge (s 6(2)(a)) and to comply with Rules 5A.2.1 and 5A.2.2 as if those three items were Publicly Available Crossing System Information (s 6(2)(b)). The instrument repeats, by embedded note, that conditions imposed on a waiver must be complied with for the waiver to be effective, citing subrule 1.2.1(2) of the Rules.
