ASIC Derivative Transaction Rules (Clearing) 2026

Clearing Derivative: A narrowly defined subset of OTC interest rate derivatives. To be a Clearing Derivative a contract must be an OTC Derivative, fall in a Determined Clearing Class, be one of four contract types (Basis Swap, Fixed-to-Floating Swap, Forward Rate Agreement, Overnight Index Swap), and meet the IRD Class Specifications which combine currency, floating-rate index and termination date range (Rule 1.2.3(1)-(4)). The IRD Class Specifications operate by table entries: for example, BBSW-denominated Basis Swaps and Fixed-to-Floating Swaps with terms 28 days to 30 years are included (Rule 1.2.3(2) table). Optionality, multi-currency notionals, and uncertain conditional notional mechanics remove a derivative from being a Clearing Derivative (Rule 1.2.3(6)).

Clearing Entity: An entity that must comply with the clearing requirement for Clearing Transactions. It is capacity-specific. An entity may be a Clearing Entity in its Personal Capacity, or in a Representative Capacity (trustee/responsible entity) and those capacities are assessed separately (Rule 1.2.4(2)-(5)). Domestic entities that meet the Clearing Threshold are Australian Clearing Entities; foreign companies that meet the threshold are Foreign Clearing Entities. There is an opt-in route allowing an entity to elect to be a Clearing Entity (Rule 1.2.8).

Clearing Threshold and Calculation Dates: The threshold is AUD 100 billion total gross notional outstanding positions aggregated across all Derivatives in a particular capacity (Rule 1.2.7 and Rule 1.2.6). The aggregation excludes positions with related bodies corporate and, for certain foreign or foreign-scheme capacities, excludes positions not booked to the profit or loss account of a branch located in Australia (Rule 1.2.6(1)(a)-(b)). Calculation Dates are quarterly: 31 March, 30 June, 30 September, and 31 December, with the first Calculation Date commencing 31 December 2025 (Definition of Calculation Date). The threshold is met after two consecutive Calculation Dates at or above AUD 100 billion and the Clearing Start Date is the first Monday after the immediately following Calculation Date (Rule 1.2.7(1)).

Clearing Transaction and Cleared Through: A Clearing Transaction exists for a Clearing Entity when it enters into a Clearing Derivative with certain counterparties (other Clearing Entities or Foreign Internationally Active Dealers), subject to booking conditions for foreign counterparty structures (Rule 1.2.5). A Clearing Transaction is Cleared Through a Clearing Facility when the operator of a Licensed CS Facility or Prescribed CS Facility enters into Central Clearing Transactions that effectively novate the trade such that parties have no or substantially no further rights or obligations to each other under the original derivative (Rule 2.1.1(2)-(3)). The operator may either be substituted as the counterparty by novation or enter into a transaction with equivalent legal and economic effect (Rule 2.1.1(3)-(4)).

Exceptions: Explicit exceptions adjust the duty-to-clear:

• Terminated contracts: if the Clearing Derivative terminates before the time it must be cleared (Rule 2.1.2).
• No clearing service: where no Licensed CS Facility or Prescribed CS Facility exists that is authorised and provides services for that class of derivative (Rule 2.1.3).
• Intra-group: trades with related bodies corporate at the time of entry (Rule 2.1.4).
• Post-trade Risk Reduction Exercises: multilateral compression/rebalancing/optimisation exercises that meet detailed procedural requirements, including market risk neutrality and restrictions on participant choice (Rule 2.1.5).
• Foreign jurisdiction T+3: where a foreign jurisdiction requires clearing by no later than three Business Days and the Clearing Entity complies with that jurisdictional requirement (Rule 2.1.6).

Administrative and compliance concepts: Opt-in mechanics (Rule 1.2.8) specify notices to ASIC including identifiers (LEI/Designated Business Identifier/BIC) and require minimum 30-day lead times. Notifications of Clearing Start and End Dates and disclosure to counterparties are required (Rules 3.1.1-3.1.2). Record retention is at least five years, or where arrangements exist to access those records through the Clearing Facility (Rule 3.2.1).

Inter-instrument references: The Rules operate with the Corporations Act (authority under s 901A; penalties under s 1317G referenced at Rule 1.1.3 and Rule 1.1.4), the Corporations Regulations 2001 (including subregulations 7.5A.61-7.5A.63, noted in Rule 1.2.3 and 1.2.4(6)), the ASIC Derivative Transaction Rules (Reporting) 2024 for definitions and reporting links, and the Corporations (Derivatives) Determination 2023 for Determined Clearing Classes (Rule 1.2.1 definitions and notes).

Directly affected entities are Financial Entities as defined in the Rules, namely financial services licensees, Australian ADIs and Exempt Foreign Licensees (Rule 1.2.1 definitions). The Rules differentiate effects by capacity: an entity can be affected in its Personal Capacity, meaning the entity acting in a non-representative role, or in a Representative Capacity, meaning the entity acting as trustee or responsible entity for a registered scheme (Rule 1.2.1 definitions and Rule 1.2.4(2)-(5)). The Clearing Entity designation is capacity-specific: an entity may be a Clearing Entity in one capacity and not in another, and each capacity’s positions are assessed separately to determine if the Clearing Threshold is met (Rule 1.2.7 and Rule 1.2.6).

Entities that trade the specified IRD classes with counterparties that are Australian Clearing Entities, Foreign Clearing Entities, or Foreign Internationally Active Dealers are potentially subject to being part of Clearing Transactions (Rule 1.2.5(2)-(3)). Foreign entities may be swept in as Foreign Clearing Entities if they meet the Clearing Threshold in their Personal or Representative capacities (Rule 1.2.4(4)-(5)). For a Clearing Transaction to be treated as such for a Foreign Clearing Entity when the other party is a Foreign Clearing Entity or Foreign Internationally Active Dealer, at least one foreign clearing party must have booked the derivative to the profit or loss account of a branch located in Australia (Rule 1.2.5(3)(b)). That booking rule creates a concrete link between foreign branches’ accounting/booking choices and the reach of these Rules.

Market infrastructure participants are also affected. Licensed CS Facilities and Prescribed CS Facilities are the services through which Clearing Transactions must be Cleared Through (Rule 1.2.1 definitions and Rule 2.1.1(2)). Operators of clearing facilities are required, by the novation mechanics in Rule 2.1.1(3)-(4), to enter Central Clearing Transactions with participants or with participants acting on behalf of non-participants.

Counterparties and clients of Financial Entities will be affected indirectly through disclosure and operational changes. Clearing Entities must disclose their Clearing Entity status on request to persons that have entered into or propose to enter into a Derivative Transaction with them, including capacity-specific detail and future dates where status will change (Rule 3.1.2). Trustees and responsible entities acting for schemes are implicated by Representative Capacity treatment (Rule 1.2.4(3)).

Regulators and enforcement actors are implicated. ASIC is the recipient of Opt-In Notices, Withdrawal Notices, Clearing Start and End Date notifications and has power to request records under Rule 3.2.2. The Court determines pecuniary penalties under section 1317G of the Corporations Act for contraventions of the Rules (Rule 1.1.4).

Entities that rely on exemptions in a foreign jurisdiction should note the T+3 foreign clearing exception where the relevant foreign jurisdiction’s business-day concept applies and the Clearing Entity must ensure the transaction is cleared by no later than three business days (Rule 2.1.6).

Finally, the Rules affect entities with past dealings under the 2015 Rules. Transitional provisions treat certain circumstances as carried over from the 2015 Rules, including Clearing Threshold status and existing Opt-In or Withdrawal Notices lodged under the 2015 Rules (Chapter 4, Rules 4.1.1-4.1.3).

Key duties

• Duty to clear: A Clearing Entity must ensure each of its Clearing Transactions is Cleared Through a Clearing Facility as soon as reasonably practicable after entry into the Clearing Transaction (Rule 2.1.1(1)). The mechanism to satisfy this duty is novation or an equivalent legal/economic substitution so that parties have no or substantially no further rights against one another under the original derivative (Rule 2.1.1(2)-(4)).

• Notifications to ASIC: Financial Entities must notify ASIC of each Clearing Start Date and Clearing End Date that applies under Rule 1.2.7 (Rule 3.1.1(1)). The notification must be in writing, contain identifying information including LEI or other identifiers, state capacity (Personal or Representative), and include the Clearing Start or End Date and whether the entity becomes or ceases to be an Australian or Foreign Clearing Entity as appropriate (Rule 3.1.1(2)). Timing requirements are 30 days before a Clearing Start Date and 30 days after a Clearing End Date (Rule 3.1.1(3)).

• Disclosure to counterparties: An entity that is a Clearing Entity, or which has given or is required to give opt-in/notification notices, must disclose in writing on request whether it is an Australian or Foreign Clearing Entity and, if it will become or cease to be a Clearing Entity on an identifiable future date, the date and the nature of the change (Rule 3.1.2(1)-(2)). This disclosure must be capacity-specific (Rule 3.1.2(3)).

• Records and production obligations: A Clearing Entity must keep records enabling it to demonstrate compliance with the Rules for at least five years from the date the record is made or amended (Rule 3.2.1(1)-(2)). If the Clearing Entity has arrangements to access records in a Clearing Facility, direct or via another person, it need not itself keep the records (Rule 3.2.1(3)). On written request by ASIC, a Clearing Entity must provide records or other information relating to compliance within the time specified (Rule 3.2.2(1)-(2)).

• Opt-in/withdrawal mechanics: Entities may elect to become an Opt-In Clearing Entity by lodging written Opt-In Notices with ASIC providing specified information including an identifier and the Clearing Start Date which must be at least 30 days after lodging (Rule 1.2.8(1)(a)-(e)). Opt-In Notices can be withdrawn via Withdrawal Notices subject to similar content and a 30-day minimum notice period (Rule 1.2.8(2)-(6)). ASIC may publish Opt-In and Withdrawal Notices (Rule 1.2.8(3)).

Key rights, exclusions and exceptions

• Exceptions to the clearing duty are explicit and operationally defined and include termination before the clearing timeframe (Rule 2.1.2), absence of an authorised clearing facility for the class of derivative (Rule 2.1.3), intra-group trades with related bodies corporate (Rule 2.1.4), participation in defined Post-trade Risk Reduction Exercises (Rule 2.1.5), and reliance on foreign jurisdictions’ T+3 clearing requirements where applicable (Rule 2.1.6). These are rights to avoid the clearing duty in specified circumstances.

• Right to treat prior opt-in notices and notifications as carried over: Opt-In and Withdrawal Notices lodged under the 2015 Rules that have not been withdrawn will be taken to be lodged under these Rules, and notifications under the 2015 Rules are taken to be notifications under these Rules (Rules 4.1.2-4.1.3).

• Where no Licensed CS Facility or Prescribed CS Facility is available for a class of Derivatives, the Clearing Entity is not required to clear (Rule 2.1.3). The definition of Clearing Facility is explicit and requires either a Licensed CS Facility authorised to provide clearing services in respect of the class of financial products or a Prescribed CS Facility prescribed under the Regulations (Rule 1.2.1 definitions and Rule 2.1.3).

Enforcement and penalty framework

• The Rules themselves do not set out a schedule of fines; rather, they state that the maximum pecuniary penalty payable for contravention of a provision of these Rules is an amount determined by the Court under section 1317G of the Corporations Act (Rule 1.1.4). ASIC has powers to request production of records and to publish opt-in/withdrawal and notification information (Rules 1.2.8(3), 3.1.1(4), 3.2.2).

Operational interactions in duties

• Clearing Transaction determination depends on counterparty type and booking practices for foreign entities. For example, entry into a Clearing Derivative by an Australian Clearing Entity is a Clearing Transaction if the other party is an Australian Clearing Entity, a Foreign Clearing Entity or a Foreign Internationally Active Dealer (Rule 1.2.5(2)). For a Foreign Clearing Entity, the Clearing Transaction requires either that the other party be an Australian Clearing Entity, Foreign Clearing Entity or Foreign Internationally Active Dealer, and that where the other party is foreign or an internationally active dealer, at least one foreign clearing party books the derivative to the profit or loss account of an Australian branch (Rule 1.2.5(3)(a)-(b)).

Statutory penalty anchor

• The Rules refer enforcement of contraventions to the civil pecuniary penalty regime of the Corporations Act 2001. Specifically, Rule 1.1.4 states that the maximum pecuniary penalty payable for a contravention of a provision of these Rules is an amount determined by the Court under section 1317G of the Corporations Act. The Rules therefore embed contraventions within the Act’s established civil penalty procedures rather than prescribing bespoke monetary amounts within the instrument itself.

ASIC’s powers and administrative enforcement levers

• ASIC is the administrative hub for the opt-in/withdrawal and notification regimes (Rule 1.2.8(1)-(3) and Rule 3.1.1). ASIC may publish Opt-In Notices, Withdrawal Notices and Clearing Start/End Date notifications on its website (Rules 1.2.8(3), 3.1.1(4)). Publication is an administrative tool that creates transparency and can influence counterparties’ and market participants’ commercial choices.

• ASIC can compel provision of records or other information relating to compliance with these Rules under Rule 3.2.2. The Rule requires a Clearing Entity to comply with a written request within the time specified. Failure to comply with such a request would likely form part of a broader compliance breach that could be the basis for enforcement action under the Corporations Act, with penalties determined under s1317G as referenced in Rule 1.1.4.

Court enforcement and pecuniary penalties

• Contraventions are intended to be litigated through the Courts under the Corporations Act civil penalty provisions (Rule 1.1.4). The Rules do not set out criminal penalties, criminal enforcement mechanisms, or administrative infringement notices within the instrument; they rely on the Act’s civil enforcement architecture.

Practical enforcement focus areas implied by the Rules

• Record-keeping and production: The five-year retention requirement (Rule 3.2.1(2)) and ASIC’s power to request records (Rule 3.2.2) mean that documentation demonstrating how total gross notional outstanding positions were aggregated, how related body corporate exclusions were applied, and how booking decisions were made for branch P&L, will be central to demonstrating compliance.

• Clearing mechanics: Compliance with the duty to ensure Clearing Transactions are Cleared Through a Clearing Facility as soon as reasonably practicable (Rule 2.1.1(1)) will hinge on demonstrable novation or equivalent arrangements under Rule 2.1.1(3)-(4). Enforcement attention may focus on whether novation (or a transaction with equivalent legal/economic effect) was achieved, and whether counterparties consequently have no or substantially no further rights against each other as specified in Rule 2.1.1(2)(c).

• Use of exceptions: Reliance on exceptions such as the absence of a Licensed CS Facility for the clearing class (Rule 2.1.3), intra-group trades (Rule 2.1.4), the Post-trade Risk Reduction Exercise (Rule 2.1.5) and foreign T+3 exceptions (Rule 2.1.6) will require evidence that the conditions for the exception were satisfied. For the Post-trade Risk Reduction Exercise exception, the Rules prescribe precise procedural characteristics such as market risk neutrality and the prohibition on participant cherry-picking (Rule 2.1.5(2)(i)-(vii)), which will be reviewable elements.

• Cross-border booking: For Clearing Transactions involving foreign counterparties, enforcement will turn on whether at least one Foreign Clearing Entity booked the Clearing Derivative to the profit or loss account of an Australian branch where required (Rule 1.2.5(3)(b)). This creates a specific, documentable booking test that may be scrutinised.

No penalty schedule within the Rules

• The Rules do not list penalty amounts or alternative remedial mechanisms. Instead, they direct enforcement to the Corporations Act process and s1317G’s court-determined civil pecuniary penalty amounts (Rule 1.1.4). The absence of a monetary schedule within the Rules leaves quantum to the general civil penalty regime of the Act.

Corporations Act 2001

• The Rules are made under section 901A of the Corporations Act (Rule 1.1.3). They rely on the civil penalty framework of the Act for pecuniary penalties, referencing section 1317G for the Court-determined maximum penalty (Rule 1.1.4). Definitions from the Act carry across into the Rules by operation of paragraph 13(1)(b) of the Legislation Act 2003 as noted in Rule 1.2.1 definitions (Note).

Corporations Regulations 2001 and related subregulations

• The Rules cross-reference specific regulatory provisions. The definitions of Australian clearing entity and foreign clearing entity in the Regulations are tied to the Rules under Rule 1.2.4(6), which specifies that the Rules align with subregulations 7.5A.61(2) and 7.5A.62(2) for representative capacities. The definition of Prescribed CS Facility references regulation 7.5A.63 of the Regulations (Rule 1.2.1 definitions). The interplay means that the practical effect of being a Clearing Entity under the Rules can have knock-on effects where the Regulations require additional action or classification for regulatory purposes.

ASIC Reporting Rules and Determinations

• The Rules explicitly rely on the ASIC Derivative Transaction Rules (Reporting) 2024 for the definition of OTC Derivative (see Rule 1.2.3(1) which requires an OTC Derivative as defined in rule 1.2.4 of the Reporting Rules). The Rules also refer to the Corporations (Derivatives) Determination 2023 for the Minister’s Determined Clearing Classes (Rule 1.2.1 definitions and note). As a result, the Rules operate in a regulatory bundle: what is captured depends not only on the Rules’ own IRD Class Specifications but also on external determinations and reporting definitions.

Cross-border legal obligations

• The Rules provide a specific accommodation for foreign jurisdictions insofar as they permit a deferral to a relevant foreign jurisdiction that imposes a T+3 clearing requirement. Rule 2.1.6 allows a Clearing Entity not to comply with the immediate clearing duty if it or its counterparty is subject to a foreign requirement to clear within three Business Days; subject to the Clearing Entity ensuring the transaction is cleared in that jurisdiction within three Business Days. The Rule also imports the foreign jurisdiction’s concept of Business Day into the calculation for the exemption (Rule 2.1.6(3)).

Accounting/bookkeeping and branch P&L interactions

• Rule 1.2.6(1)(b) excludes from total gross notional outstanding positions, for certain foreign-related entities and representative capacities relating to schemes formed outside Australia, a position in a Derivative that was not booked to the profit or loss account of a branch of the entity located in Australia. This creates an interaction between accounting and booking choices and the regulatory reach of the Rules. Entities’ accounting and booking practices therefore affect whether the Clearing Threshold is met, and these choices may also have tax, financial reporting and other regulatory consequences under separate law.

Transitional interaction with prior Rules

• The Rules expressly treat certain arrangements under the ASIC Derivative Transaction Rules (Clearing) 2015 as continued: Clearing Threshold start dates, Opt-In and Withdrawal Notices and notifications lodged under the 2015 Rules are taken to be lodged under the 2026 Rules (Chapter 4, Rules 4.1.1-4.1.3). This continuity both aligns with the Corporations Act repeal of earlier subsidiary instruments and creates a legal bridge between regimes.

Record-keeping and ASIC production requests within general regulatory powers

• The Rules’ record-keeping and production obligations (Rules 3.2.1-3.2.2) align with ASIC’s broader enforcement and information-gathering powers under the Act and related instruments. Requested materials will interact with general disclosure and confidentiality regimes, including any protections or legal privilege assertions that may be available under other laws. The Rules themselves do not limit access rights beyond their own production mandate to ASIC.

Textual dates and succession

• The instrument records its making date as 16 March 2026 and establishes its commencement as the later of registration and 1 April 2026 (Rule 1.1.2 and the signature page). No amending provisions or later changes are contained in the body of the instrument provided.

Successor and predecessor instruments

• The Rules make explicit reference to the ASIC Derivative Transaction Rules (Clearing) 2015 (the 2015 Rules) and provide transitional treatment for matters under that instrument. Rules 4.1.1-4.1.3 set out how entities that met thresholds or had lodged opt-in/withdrawal or notification documents under the 2015 Rules are to be treated under these Rules. Specifically:

  • Rule 4.1.1 treats Financial Entities that, but for repeal of the 2015 Rules, would meet the Clearing Threshold as meeting the Clearing Threshold under these Rules from either their prior Clearing Start Date or from 6 April 2026 (the first Monday after 31 March 2026) depending on when they would have met the threshold under the 2015 Rules.

  • Rule 4.1.2 takes Opt-In Notices and Withdrawal Notices lodged under the 2015 Rules and treats them as lodged under the 2026 Rules.

  • Rule 4.1.3 treats notifications to ASIC under the 2015 Rules as notifications under the 2026 Rules.

• The Rules also reference the ASIC Derivative Transaction Rules (Reporting) 2024 for the definition of OTC Derivative and the Corporations (Derivatives) Determination 2023 for the Determined Clearing Classes (see Rule 1.2.1 definitions and notes). Those references indicate that the operational scope of the Rules is intended to sit alongside these more recent instruments.

No in-instrument amendment history

• The instrument text provided does not record any amendments, amending instruments, schedules of prior amendments, or legislative history beyond the explicit transitional continuity with the 2015 Rules. There is therefore no internal log of changes within the instrument itself.

Practical implication for legal reviewers

• To track future amendments a practitioner must monitor (a) registrations and commencement notices on the Federal Register of Legislation as noted in Rule 1.1.2; (b) any changes to the Corporations Act or Regulations that intersect with the Rules (for example, changes to the definition of Prescribed CS Facility or to subregulations 7.5A.61-7.5A.63); and (c) ministerial Determinations under subsection 901B(2) of the Act which determine clearing classes, referenced in the Rules’ definition of Determined Clearing Class (Rule 1.2.1 definitions and note).

No judicial history contained in the instrument

• The text of the ASIC Derivative Transaction Rules (Clearing) 2026 does not contain or cite any litigation, case law, or judicial determinations. There are no named cases or reported decisions in the instrument and no internal history of legal disputes is recorded.

Points of potential legal contestation evident in the Rules

• While the instrument contains no litigation history, a number of provisions contain precise and potentially contestable legal concepts that could, if litigated, turn on interpretation of the Rules and related instruments. Examples drawn directly from the Rules include:

  • Interpretation of "as soon as reasonably practicable" in the duty to clear (Rule 2.1.1(1)). That phrase is fact-sensitive and commonly a focus of litigation over timeliness obligations.

  • The test for whether a Clearing Transaction is Cleared Through a Clearing Facility, including the novation mechanics and "no, or substantially no, further rights" outcome (Rule 2.1.1(2)(c) and Rule 2.1.1(3)-(4)). Disputes could arise about whether a purported novation or an equivalent transaction in fact removed residual counterparty exposure.

  • Scope questions about whether a contract is a Clearing Derivative under the IRD Class Specifications where optionality, multi-currency or conditional notional provisions may be present (Rule 1.2.3(6)). Contract drafting nuances may create factual disputes about capture.

  • The construction and application of the exclusion for positions not booked to the profit or loss account of an Australian branch (Rule 1.2.6(1)(b)). This ties regulatory capture to accounting/booking choices, which may be disputed.

  • The operation of the Post-trade Risk Reduction Exercise exception given its procedural requirements including market risk neutrality, no cherry-picking, and the exercise taking a specific form of compression, rebalancing or optimisation (Rule 2.1.5(2)). If a party claims the exception in reliance on a third-party service provider’s process, the question of compliance with these procedural elements may be litigated.

  • Determination of whether a Licensed CS Facility or Prescribed CS Facility exists for a class of Derivatives such that Rule 2.1.3 applies. The interplay between Rules and the Regulations on prescribed facilities could be an administrative law issue amenable to judicial review.

• These potential disputes are identified solely on the basis of wording and tests found in the Rules and do not represent existing litigation.

No recorded judicial interpretation of cross-references

• The Rules cross-reference the Reporting Rules, the Corporations (Derivatives) Determination 2023 and certain subregulations of the Corporations Regulations. Interpretive disputes may also involve how those instruments interact. No judicial interpretation of these cross-references is provided in the instrument.

Precise capacity-specific assessment of the Clearing Threshold

• The Clearing Threshold test is applied by capacity. Rule 1.2.7 requires aggregation of total gross notional outstanding positions in either the Personal Capacity or a Representative Capacity. This means a single legal entity may be a Clearing Entity in one capacity but not in another. Practitioners must avoid treating entity-level thresholds as a single binary for all activities. The Rules require separate calculation per capacity and separate notification and disclosure obligations per capacity (Rule 3.1.1(2)(c) and Rule 3.1.2(3)).

Booking-to-Australia trap for foreign structures

• For a Clearing Transaction to be treated as a Clearing Transaction for a Foreign Clearing Entity when the other party is another foreign clearing party or Foreign Internationally Active Dealer, at least one foreign clearing party must book the Clearing Derivative to the profit or loss account of a branch located in Australia (Rule 1.2.5(3)(b)). Booking and accounting choices therefore materially affect regulatory reach. Entities that use booking arbitrage or centralised booking structures should review whether those practices will cause capture under these Rules.

Related body corporate exclusions and aggregation scope

• The aggregation rule for total gross notional outstanding positions excludes positions entered into with related bodies corporate (Rule 1.2.6(1)(a)). Entities with intra-group hedging arrangements need to ensure related-party status is correctly identified and documented. Incorrectly treating intra-group trades as excluded or included will change whether the AUD 100 billion threshold is met.

Identifying Clearing Derivatives: optionality and multi-currency exclusions

• The Rules exclude certain contracts from being Clearing Derivatives where optionality, multi-currency denomination, or conditional notional mechanics apply (Rule 1.2.3(6)). Parties that add optionality or dual-currency features to standard contracts may inadvertently render a contract out of scope for clearing. Conversely, failing to appreciate the exclusion may lead to mistaken non-compliance.

Availability of Clearing Facilities and the "no facility" exception

• The exception in Rule 2.1.3 relieves Clearing Entities where no Licensed CS Facility or Prescribed CS Facility both exists and provides clearing services for the class of derivative. Entities should not assume the exception applies merely because a facility is not convenient; the facility must both be authorised for the class and provide clearing services for that derivative. Confirming the authorisation status and the facility’s operational availability is essential.

Post-trade Risk Reduction Exercise complexity

• The Post-trade Risk Reduction Exercise exception (Rule 2.1.5) comes with detailed process requirements including that the process be market risk neutral, involve no participant choice on individual modifications (accept or reject result in whole only), and not contribute to price formation. The exception only applies where exercises are operated by third-party service providers meeting specified criteria and are among participants only. Operational design of compression/rebalancing platforms must match Rule 2.1.5’s features to rely on the exception.

Timing nuances for threshold and notification

• Calculation Dates commence on 31 December 2025 (definition of Calculation Date). Where a Financial Entity holds AUD 100 billion or more on two consecutive Calculation Dates, the Clearing Start Date is the first Monday after the immediately following Calculation Date (Rule 1.2.7(1)). Practitioners must calendar these dates. Notifications to ASIC of Clearing Start Dates must be delivered 30 days before the Clearing Start Date, whereas notifications of Clearing End Dates must be given within 30 days after the Clearing End Date (Rule 3.1.1(3)). Opt-In Notices also must specify a Clearing Start Date at least 30 days after lodging (Rule 1.2.8(1)(e)). Failure to hit these timelines affects compliance and publication.

Record access alternative

• Rule 3.2.1(3) allows a Clearing Entity not to keep the records itself if it has arrangements to access those records in a Clearing Facility, either directly or through another person, for the five-year retention period. This creates a dependency on the Clearing Facility’s ability and willingness to provide access. Ensure contractual and operational arrangements with the Clearing Facility secure access for the full retention period and that this access meets ASIC’s likely evidentiary needs under Rule 3.2.2.

"Substantially no" residual exposure test

• The Clearing Transaction is required to result in "no, or substantially no, further rights against, or obligations to" the other party (Rule 2.1.1(2)(c)). The term "substantially no" is imprecise and may be a point of contention when netting, collateral arrangements, portability features or unique contract terms leave residual exposures. Parties should document post-novation exposures and legal analysis of whether those exposures meet the Rule’s standard.

Interplay with foreign jurisdiction definitions of Business Day

• The T+3 foreign clearing exception imports a foreign jurisdiction’s concept of Business Day for the purposes of computing the three Business Days allowed (Rule 2.1.6(3)). Entities dealing across multiple jurisdictions must track the relevant foreign Business Day definitions and ensure clearing compliance in those timeframes where reliant on the exception.

Publication and market signalling

• ASIC may publish Opt-In and Withdrawal Notices and Clearing Start/End Date notifications (Rules 1.2.8(3), 3.1.1(4)). Publication can change counterparties’ commercial responses such as pricing or margin requirements. Entities should assume that the status they notify ASIC of may become public and plan counterparty conversations and operational readiness accordingly.

Calculations and monitoring

• Establish ongoing systems to calculate total gross notional outstanding positions by capacity (Personal and each Representative Capacity) across all Derivatives in scope. Apply the aggregation rules in Rule 1.2.6 carefully: exclude positions with related bodies corporate (Rule 1.2.6(1)(a)), and, where relevant for foreign-formed entities or representative capacities relating to schemes formed outside Australia, exclude positions not booked to the profit or loss account of an Australian branch (Rule 1.2.6(1)(b)). Calendar Calculation Dates (31 March, 30 June, 30 September, 31 December starting 31 December 2025) and compute two consecutive quarter-end totals to determine if the AUD 100 billion Clearing Threshold is met (Rule 1.2.7).

• If the Clearing Threshold will be met on two consecutive Calculation Dates, prepare for a Clearing Start Date which is the first Monday after the immediately following Calculation Date (Rule 1.2.7(1)). Use the Rule 1.2.7 example to validate your computation and timing.

Opt-in and notification mechanics

• If electing to opt in, lodge an Opt-In Notice with ASIC in writing that includes the entity name, LEI or alternative identifier, the capacity being opted in, names of schemes or trusts if relevant, and a Clearing Start Date at least 30 days after lodging (Rule 1.2.8(1)(a)-(e)). For withdrawals, lodge a Withdrawal Notice with similar identifying information and a Clearing End Date at least 30 days after lodging (Rule 1.2.8(2)). Prepare for ASIC publication of Opt-In and Withdrawal Notices (Rule 1.2.8(3)) and plan counterparty communication accordingly.

• Where the Clearing Threshold is met or ceases to be met under Rule 1.2.7, notify ASIC in writing of Clearing Start and Clearing End Dates with required identifiers and capacity information. Deliver notifications 30 days before a Clearing Start Date and within 30 days after a Clearing End Date (Rule 3.1.1(2)-(3)). Maintain documentary evidence of the notifications and dates.

Operational clearing execution

• To comply with Rule 2.1.1(1), ensure contractual clearing mechanics are in place with a Licensed CS Facility or a Prescribed CS Facility and that novation or equivalent transactions effect the substitution described in Rule 2.1.1(3)-(4). Operational tasks include: becoming a participant in the Clearing Facility where appropriate, agreeing client clearing arrangements, preparing trading documentation to allow for novation, and ensuring the facility operator will enter Central Clearing Transactions that effect legal/economic substitution so that parties have no or substantially no further mutual rights or obligations under the original derivative (Rule 2.1.1(2)(c)).

• If trades are entered into with non-participants, document the agency or principal relationships by which a participant will act on behalf of that non-participant and the contractual arrangement under which the operator enters Central Clearing Transactions with participants acting on behalf of the non-participants (Rule 2.1.1(2)(b)).

• Maintain mechanisms for prompt post-trade execution to satisfy "as soon as reasonably practicable" timing in Rule 2.1.1(1). Document operational timelines, connectivity, and trade submission/novation processes to demonstrate timeliness.

Using exceptions correctly

• If relying on the "no facility" exception, document searches and confirmations that no Licensed CS Facility is authorised and provides clearing services for the class, or that no Prescribed CS Facility is available (Rule 2.1.3). Retain contemporaneous evidence of the lack of authorised or available clearing service.

• For intra-group trade exceptions, maintain group structure documentation demonstrating related body corporate status at time of entry (Rule 2.1.4).

• If participating in a Post-trade Risk Reduction Exercise, ensure the process meets the Rule 2.1.5 procedural requirements: third-party operation, participant-only submissions, market risk neutrality within tolerance, no contribution to price formation, no cherry-picking, whole-of-submission acceptance mechanics, and that the exercise takes the form of compression, rebalancing or optimisation (Rule 2.1.5(1)-(2)). Preserve audit trails, third-party rules, and exercise results.

• Where the foreign T+3 exception is relied upon, ensure documentary proof that the Clearing Entity or its counterparty is subject to the foreign requirement and verify the foreign jurisdiction’s definition of Business Day to ensure clearing within the required three Business Days; retain evidence that clearing occurred in that timeframe (Rule 2.1.6(1)-(3)).

Record-keeping and ASIC production readiness

• Retain records for at least five years showing the computation of total gross notional positions, related party analyses, booking decisions (including booking to branch profit or loss account where relevant), opt-in/withdrawal notices, Clearing Start/End notifications, clearing confirmations showing novation/equivalent substitution, contractual clearing facility participant status, and procedural documentation for any Post-trade Risk Reduction Exercise relied upon (Rule 3.2.1(1)-(2)). If relying on access arrangements to Clearing Facility records instead of local retention, ensure contractual access rights are documented and practical access has been tested (Rule 3.2.1(3)).

• Prepare to satisfy ASIC’s written requests for records or information in the time specified (Rule 3.2.2). Assign an internal compliance owner and maintain a production plan that maps where required documents and systems of record are located.

Counterparty disclosure and client communications

• Where a counterparty requests, be prepared to disclose in writing whether the entity is an Australian Clearing Entity or Foreign Clearing Entity, and to provide future dates on which clearing status will change (Rule 3.1.2(2)). Implement standard disclosure templates and capacity-specific statements so counterparties receive accurate, timely answers consistent with notifications to ASIC.

Accounting and booking adjustments

• Review accounting and booking practices for derivatives in light of Rule 1.2.6(1)(b). If a foreign entity seeks to avoid being captured by not booking to an Australian branch’s profit or loss account, ensure the accounting treatment is consistent with applicable accounting standards and legal requirements. Document the rationale and the bookkeeping flows since these may be subject to scrutiny.

Legal and documentation review

• Amend ISDA or other master agreements and clearing addenda to reflect novation requirements, agency relationships with participants acting on behalf of non-participants, collateral and margin arrangements at the clearing facility, and representations/warranties about Clearing Entity status. Ensure legal opinions or counsel advice exists for new booking structures or novation mechanics.

Governance and internal controls

• Implement internal governance to monitor Clearing Threshold exposure, opt-in decisions, notification deadlines and record retention. Create escalation protocols if thresholds are approached. Ensure the compliance team liaises with front-office, operations, treasury and accounting to ensure consistent application of the Rules by capacity.

Monitor related instruments and facility availability

• Keep under active review: (a) the list of Determined Clearing Classes in the Corporations (Derivatives) Determination 2023; (b) the status of Licensed CS Facilities and any Prescribed CS Facilities; and (c) the Reporting Rules (ASIC Derivative Transaction Rules (Reporting) 2024) for definitions used in scope. Because the Rules tie scope and facility availability to other instruments, changes in those instruments affect compliance obligations.

Audit trail and readiness for enforcement

• Given that contraventions are subject to civil penalties under the Corporations Act per Rule 1.1.4, design an audit-ready compliance pack that evidences threshold calculations, opt-in/withdrawal and notification timelines, clearing confirmations, and records relating to any exceptions relied upon. Ensure counsel oversight over any disputed interpretations.

By following the steps above, entities will operationalise the Rules’ technical tests in Rule 1.2.3, the threshold and capacity calculations in Rule 1.2.6-1.2.7, the clearing mechanics in Rule 2.1.1 and associated exceptions in Rules 2.1.2-2.1.6, and the notification and record-keeping duties in Chapter 3.
