What it does
This instrument adds two linked obligations, in sections 53A and 53B, that restrict how regulated persons may provide benefits to introducers and associated persons in relation to flexible credit cost arrangements attached to certain credit contracts and consumer leases. The mechanical effect is rule-based and forward-looking: it prohibits particular forms of benefit that are calculated by reference to price signals in the contract or lease where the introducer has had a role in determining, proposing or influencing those price signals, and it constrains the level and basis on which certain dealer-style fees may be specified and charged.
Section 53A(1) identifies the regulated persons to whom the obligation applies: a licensee (a regulated person) who has entered into a flexible credit cost arrangement in relation to a credit contract (other than a home loan) or a consumer lease and is, or is proposed to be, the credit provider or lessor under that contract or lease; and, in a second alternative, a licensee and an exempt special purpose funding entity where there is a servicing agreement between them, one of them has entered into a flexible credit cost arrangement, and the exempt special purpose funding entity is, or is proposed to be, the credit provider or lessor (s 53A(1)(a), (b)). The instrument therefore targets non‑home-loan credit contracts and consumer leases that involve flexible credit cost arrangements and an introducer relationship.
The core prohibition is in s 53A(2). Subject to two enumerated sets of exceptions (ss 53A(3) and 53A(4)), a regulated person must not give, and where s 53A(1)(b) applies must not engage in conduct that results in another regulated person giving, any benefit, monetary or non‑monetary, to the introducer under the flexible credit cost arrangement or an associated person if two conditions are satisfied. First, the amount of the benefit is determined by, or varies by reference to, the annual percentage rate (APR) under the credit contract or, for a consumer lease, the rental charge by which the rental payable exceeds the cash price (s 53A(2)(c)(i)-(ii)). Second, the introducer or an associated person has determined, proposed or influenced the amount of the APR or rental charge (s 53A(2)(d)). The section carries a civil penalty of 2,000 penalty units for contraventions of the provision (s 53A(2)) and a separate criminal offence provision with a penalty of 100 penalty units, or two years imprisonment, or both, for contravening the requirement in subsection (2) (s 53A(5)).
