ASIC Corporations (Serviced Apartment and Like Schemes) Instrument 2016/869

The instrument builds around a small set of recurring concepts defined in s 4. Understanding these is critical because they determine who may rely on the exemptions and what operational arrangements are permitted.

• Strata scheme. The instrument defines "strata scheme" as a managed investment scheme involving owners of strata units making their unit available for use as part of serviced apartments, hotels, motels or resort complexes, where members have no right to be paid an amount related to the value of scheme property on withdrawal (s 4). This ties the instrument to arrangements where owners contribute occupation rights of real property to a collective letting and management model.
• Operator and promoter developer. "Operator" means a person who operates a strata scheme and is a real estate (managing) agent, a financial services licensee, or, if only operating as a promoter developer, licensed in relation to real property under state/territory law, and who is not an "excluded person" (s 4). The instrument distinguishes persons who "operate as a promoter developer" (offers interests while offering a strata unit and where another operator manages the scheme) from other operators. Several obligations in Parts 2 and 3 do not apply to promoter developers (see ss 6(6), 7(2)).
• Management rights and transfer. "Management rights" are defined broadly to include all real or personal property, including contractual rights, held by the operator or its associates that facilitate scheme operation (s 4). Section 10 mandates the content of the investor agreement on transfer procedures for those rights, prescribing how members can force transfer, who may be a transferee, how price is set and certain voting exclusions.
• FFE Fund. The instrument recognises a replacement/repair/ refurbishment fund for furniture, fittings and equipment (FFE Fund). It defines the fund and sets specific limits on permitted deductions and maximum balances (s 4 and s 5(2)(f)(iv)). Operators must hold such funds on trust with an Australian ADI and subject them to annual audit (s 6(2)).
• Withdrawal and non‑conditional purchase. A core eligibility condition is that each investor and the operator may withdraw from the scheme on no more than 90 days’ notice (s 5(2)(b)), and that purchase of the strata unit cannot be conditional on participation in the scheme (s 5(2)(g)). These conditions aim to preserve investor freedom to exit and prevent tying of property purchases to scheme participation.
• Retail client treatment and price threshold. Section 13 treats interests priced at a minimum $500,000 differently for retail-client determinations under the Act by modifying the way the "price" is calculated under reg 7.1.18(3). This interacts with chapter 7 consumer protections and the retail/wholesale client distinction.
• Registered strata scheme and responsible entities. The instrument treats managed strata schemes that are registered with responsible entities distinctively in Part 3. It relaxes the mandatory valuation rule in paragraph 601FC(1)(j), but conditions the relief (s 11).

These concepts interlock: the definition of "operator" sets who can rely on the relief; "strata unit" and "strata scheme" set the substantive activity; FFE Fund and trust account rules set financial controls; transfer procedures constrain how management rights change hands; the $500,000 threshold in s 13 adjusts consumer treatment.

The instrument affects a defined and limited set of actors. Who bears the operational, compliance and decision‑making responsibilities is set out in the definitions and the operative provisions.

Principal affected parties

• Operators of strata schemes. The primary addressees are "operators" as defined in s 4. These are typically real estate managing agents, financial services licensees, or persons licensed under state/territory law who only act as promoter developers. Operators who meet the s 5(2) conditions may rely on the exemptions in s 5(1) from registration, certain AFSL requirements and the hawking prohibition. Operators who are not promoter developers are specifically subject to the conditions and reporting obligations in ss 6 and 7.
• Scheme investors (scheme members). Investors who own strata units and make them available for letting are directly affected. The instrument prescribes their rights to withdraw on no more than 90 days’ notice (s 5(2)(b)), their entitlement to appoint another manager on withdrawal (s 5(2)(d)), limits on payments they must make (s 5(2)(f)), and participation in transfer processes (s 10). Scheme members have a potential mechanism to force transfer of management rights and to set price under specified valuation, auction or tender processes (s 10(a)-(c), (i)).
• Real estate (selling) agents and independent real estate agents. Section 8 exempts real estate selling agents from AFSL obligations for certain services if they reasonably believe the scheme is covered by s 5. The instrument also relies on the notion of an "independent real estate agent" for the alternative in s 5(2)(a)(ii), where the operator may supply a written statement that an independent agent would be willing and able to let units at reasonable rates and expect reasonable occupancy.
• Responsible entities of registered strata schemes. For strata schemes that are registered and have a responsible entity, s 11 modifies the valuation obligation in paragraph 601FC(1)(j) of the Act, and s 12 modifies the application of compliance plan requirements. Responsible entities must still value scheme property where reasonable grounds exist to believe a valuation is needed in members' best interests or for fair operation (s 11(2)).
• Body corporates and their members. The instrument interacts with state/territory body corporate voting structures. Where a body corporate exists, majority calculations for member votes and decisions in the transfer process rely on body corporate voting entitlements (s 5(3), s 10(j)-(l), (f)). Body corporate members may block a proposed transferee performing caretaking functions by majority written statement (s 10(f)).

Indirectly affected parties

• Auditors and Australian ADIs. The instrument requires that cash and FFE Funds be held on trust with an Australian authorised deposit-taking institution and be audited at least annually by a registered company auditor (s 6(1)-(2)). That places demand on those service providers.
• Valuers and auctioneers. The prescribed pricing methods for transfers (s 10(i)) require independent qualified valuers nominated by the Australian Property Institute or another ASIC-approved body, auctions with at least 60 days’ notice, or reasonable marketing followed by tender. This will involve valuers, auction houses, or marketing agents.
• ASIC. ASIC is empowered to exclude persons from relying on the instrument (s 4, definition "excluded person"), to receive breach reports under s 7, and to have the continued operation of certain earlier class orders preserved under ss 14-16.

Who is excluded

• Excluded persons. The instrument excludes anyone ASIC notifies in writing that they are excluded from relying on the instrument (s 4). Scheme operators who have failed to comply with s 7 and have been notified by ASIC that the s 5(2)(j) exclusion applies cannot rely on the exemptions (s 5(2)(j)).

Promoter developers

• The instrument makes repeated carve-outs for operators who "only operate the scheme as a promoter developer". Those operators are not subject to ss 6 and 7 in relation to the obligations and breach reporting in those sections (ss 6(6), 7(2)), and the definition of operator includes special licensing criteria if the person only operates as promoter developer (s 4).

The instrument creates a set of positive duties on those who wish to rely on the relief and confers rights on scheme members; it does not create new civil penalties but ties entitlement to exemptions to compliance with the conditions.

Operator duties when relying on exemptions (Part 2)

• Eligibility conditions. Operators wishing to rely on the s 5 exemptions must ensure the scheme meets detailed eligibility conditions in s 5(2). Those cover lawful residential use or an independent real estate agent statement on letting (s 5(2)(a)), short withdrawal notice (s 5(2)(b)), post‑withdrawal occupation constraints (s 5(2)(c)), appointment of replacement managers by withdrawing investors (s 5(2)(d)), prohibition on post‑commencement guarantees/payments to investors (s 5(2)(e)), limits on investor payments and FFE Fund rules (s 5(2)(f)), non‑conditional purchases (s 5(2)(g)), written agreements including required transfer provisions (s 5(2)(h) and s 10), and either no purchasers pre‑1 March 2000 or majority written agreement by scheme members to the operator relying on the exemption (s 5(2)(i)). Non‑compliance with s 7 is an additional ground to bar reliance unless ASIC notifies otherwise (s 5(2)(j)).
• Financial controls and audits. Operators (other than promoter developers) must deposit any cash scheme property promptly with an Australian ADI on trust for investors and have the trust account audited at least annually by a registered company auditor (s 6(1)). FFE Funds must also be held on trust with annual audit and returned promptly on termination or investor withdrawal (s 6(2)).
• Reporting to investors. Where the operator manages letting, it must give each investor who is a retail client a written statement for each reporting period, detailing any transactions in relation to the investor’s interest, within six months after the end of the reporting period (s 6(3), (5)).
• Operation in accordance with the investor agreement. If the operator manages letting, it must operate the scheme in accordance with the written agreement required by s 5(2)(h) (s 6(4)).
• Breach reporting. Operators (other than promoter developers) must notify ASIC in writing with full particulars within 15 business days of becoming aware of matters giving reason to believe they have materially failed to comply with the conditions in s 6 (s 7(1)).

Investor rights and remedies

• Withdrawal and appointment of alternate manager. Investors may withdraw from the scheme on no more than 90 days’ notice (s 5(2)(b)). If they withdraw, they will not be bound after their notice expires to allow use of their unit except in tightly prescribed circumstances (s 5(2)(c)), and they may appoint another person to manage their unit (s 5(2)(d)).
• Protection against mandatory payments. Investors are not required to make payments to participate in the scheme beyond purchase price, specified purchases of furniture/fittings/equipment where maximum amounts are set out in the agreement, reasonable proportion of operator fees with commensurate periodicity, and contributions to FFE Fund limited by 3% of gross rent and a $10,000 cap per unit (s 5(2)(f)).
• Transfer of management rights. If a majority of scheme members give written notice to terminate the operator’s engagement, the operator must transfer management rights within nine months to a person chosen by the operator who satisfies independence requirements (s 10(a)). If the operator does not complete the transfer, members may name a replacement operator in a written notice and require transfer at the price set out (s 10(b)). Members can arrange valuations, auctions or marketing to set price and recover reasonable valuation, auction or marketing costs from the purchase price (s 10(n)-(o)). Body corporate consent rules and voting calculations are specified (s 10(e)-(m)).
• Information and assistance. The operator must give reasonable assistance to enable a transferee to operate the complex, including making available information about future bookings (s 10(p)).

Responsible entity duties for registered strata schemes (Part 3)

• Valuation condition. Responsible entities of registered strata schemes do not have to comply with paragraph 601FC(1)(j) in all circumstances (s 11(1)), but must ensure that scheme property is valued as soon as practicable after the responsible entity has reasonable grounds to believe a valuation is in the best interests of members or is needed for fair operation (s 11(2)). Failure to comply with that condition disallows reliance on the exemption (s 11(3)).
• Compliance plan variation. Section 12 modifies the operation of compliance plan obligations under chapter 5C by inserting language to reconcile compliance plan duties with any exemption under paragraph 601QA(1)(a) that exempts from paragraph 601FC(1)(j).

Other duties and rights

• Selling agent limited AFSL exemption. A real estate (selling) agent may provide certain financial services in relation to interests in schemes covered by s 5 without an AFSL, subject to exclusions (agents who are AFSL holders, agents who are operators, or excluded persons) (s 8(1)-(2)).
• Hawking. Section 9 exempts a person from s 992A (the prohibition on hawking) in relation to an offer that appears to be covered by s 5.

By tying entitlement to exemptions to compliance with the specified duties, the instrument creates a binary relationship: compliance permits use of lighter regulatory obligations; material non‑compliance, or an ASIC notice excluding a person, removes that relief. The instrument thereby creates both obligations and conditional rights.

The instrument itself is an exemption instrument under ASIC powers and does not create new offences or new penalty regimes. Enforcement and penalty consequences flow from the Act and the conditional nature of the relief.

• Conditional relief and loss of exemption. The instrument makes the relief contingent on satisfying the eligibility conditions in s 5(2) and the continuing operational conditions in s 6 (where applicable). Failure to satisfy those conditions means an operator cannot rely on the exemption. For example, s 11(3) expressly states that a responsible entity that has not complied with s 11(2) cannot rely on the exemption in s 11(1). Similarly, s 5(2)(j) provides that the operator must not have failed to comply with s 7 in relation to the scheme unless ASIC notifies otherwise. The practical effect is that non‑compliance can impose the full regulatory regime that the relief otherwise suspends, such as AFSL requirements and registration obligations referenced in s 5(1).
• ASIC notification and exclusion. The instrument contemplates an "excluded person" defined as a person who has been notified in writing by ASIC that the person is excluded from relying on this instrument and that notice has not been withdrawn (s 4). ASIC therefore has administrative power to withdraw relief as to particular persons by written notice. The instrument does not set a statutory process for such notices other than their written form; the statutory and administrative powers of ASIC under the Act govern exercise of that power.
• Breach reporting obligations. Section 7 requires an operator (other than a promoter developer) who becomes aware of matters giving reason to believe they have materially failed to comply with the conditions in s 6 to give full particulars to ASIC within 15 business days. Failure to report as required is specifically referenced in s 5(2)(j) as a ground that may prevent reliance on the exemptions unless ASIC notifies otherwise. Non‑reporting therefore exposes an operator to loss of exemption and consequent regulatory obligations.
• Underlying Act enforcement. This instrument is made under the authority of subsections 601QA(1), 926A(2), 951B(1), 992B(1) and 1020F(1) of the Act (s 3). Enforcement of the Act for contraventions (for example of licensing requirements in ch 7 or prohibitions on hawking) remains a matter for the Act and the enforcement powers that reside with ASIC and, where applicable, the courts. The instrument does not alter those enforcement powers, but it can alter whether a given operator is obliged to comply with certain Act provisions.
• Civil and contractual remedies. The instrument imposes obligations that are naturally enforceable in contract and fiduciary contexts. For example, the transfer procedures, cost recovery entitlements in s 10(o), and the operator’s assistance obligation in s 10(p) will have contractual effect if incorporated into the investor agreement as required by s 5(2)(h). Scheme members or transferees could therefore pursue contractual remedies for failure to comply with those provisions.
• Audit and trust requirements. The requirement to hold cash and FFE Fund money on trust with an Australian ADI and to subject the accounts to annual audit by a registered company auditor (s 6(1)-(2)) creates an evidentiary pathway for ASIC or other enforcement actors to examine scheme finances. Breaches revealed by audit may trigger reporting, exclusion, or other enforcement steps.
• Transitional preservation and continuing effect. For schemes that continue to rely on earlier class orders or pro forma instruments under ss 14-16, those instruments continue to apply in accordance with their terms. If an operator ceases to be able to rely on a preserved instrument in substantially the same terms as specified pro forma material, the operator may also lose that basis for relief (see s 15(3) note).

In short, the instrument links regulatory relief to a set of operational and reporting duties. The principal enforcement mechanism is conditionality: failure to comply withdraws the relief and exposes operators to the full scope of the Act’s licensing, disclosure and conduct obligations; ASIC retains the capacity to exclude persons from relief and to use its enforcement powers under the Act where contraventions arise.

The instrument operates within the regulatory architecture of the Corporations Act and state/territory property and licensing laws. It modifies how particular Corporations Act provisions apply to the specified strata schemes rather than displacing other laws.

Interaction with the Corporations Act 2001

• Exemption from specific Act provisions. The instrument expressly exempts operators from parts of the Act to the extent specified: subsection 601ED(5) (registration) (s 5(1)(a)), subsection 911A(1) (AFSL) in specified respects (s 5(1)(b)), and sections 992A (hawking) (s 5(1)(c) and s 9). It also provides relief from paragraph 601FC(1)(j) for responsible entities of registered strata schemes (s 11(1)).
• Compliance plan and chapter 5C. Section 12 modifies the application of chapter 5C by varying the compliance plan requirement in paragraph 601HA(1)(c) to accommodate exemptions made under paragraph 601QA(1)(a). The instrument therefore adjusts how compliance plans should be interpreted where valuation obligations have been varied.
• Retail client definitions and chapter 7. Section 13 modifies the application of subregulation 7.1.18(3) of the Corporations Regulations 2001 for strata schemes where interest prices are at least $500,000, which in turn affects the retail-client determination under section 761A and the test under paragraph 761G(10)(a). This interacts with the Act’s consumer protections in chapter 7.
• Statutory instrument authority. The instrument is made under ASIC’s powers, listed in s 3, including s 601QA(1), s 926A(2), s 951B(1), s 992B(1) and s 1020F(1). These are the statutory gates that permit ASIC to make class orders or legislative instruments modifying the application of the Act for specified circumstances.

Interaction with Corporations Regulations and other ASIC instruments

• Corporations Regulations 2001. Section 13 explicitly modifies the effect of subregulation 7.1.18(3) as it applies for retail-client definitions. That subregulation forms part of the machinery determining what is a retail client for financial services purposes; s 13 therefore interacts directly with the regulations that support the Act’s client classification regime.
• Other ASIC instruments. The instrument cross-references ASIC Corporations (Miscellaneous Technical Relief) Instrument 2015/1115 in notes to ss 5(1)(b), 8(1) and 14(2). Those references indicate that, for persons who provide financial services on behalf of an exempt person, additional technical relief may be available under instrument 2015/1115 with the effect of avoiding AFSL duplication in limited circumstances.

Interaction with state and territory laws

• Real estate licensing and body corporates. The definitions and operative provisions rely on state and territory licensing regimes and body corporate structures. "Real estate (managing) agent" and "real estate (selling) agent" are defined by reference to licensing under state or territory laws (s 4). The instrument also links voting entitlements to body corporate voting entitlements where a body corporate exists for the property (s 5(3), s 10(k)-(l)). State laws governing body corporates, conveyancing and strata titles therefore interact with the instrument’s mechanics for votes, consent and caretaking arrangements.
• Property rights and contract law. The instrument prescribes contractual terms (s 10 and s 5(2)(h)) that must be included in investor agreements. Those terms will sit alongside state conveyancing law, lease law, property rights registrations and contractual remedies.

Interaction with other Commonwealth regulatory frameworks

• Financial services and consumer protections. By modifying AFSL and retail client determinations for specified strata schemes, the instrument changes how chapter 7 responsibilities apply to those schemes, including disclosure obligations and licensee conduct obligations where the exemption is not available. It leaves intact other Commonwealth consumer and competition laws. It does not displace criminal law obligations or obligations under other Commonwealth statutes that may apply.
• Transitioned class orders and pro forma instruments. The instrument preserves the ongoing operation of certain repealed class orders and pro forma instruments for schemes that were operating under them immediately prior to repeal (ss 14-16). That creates temporal interaction with prior ASIC relief instruments.

Operational and interpretive interactions

• Definitions and cross-references. The instrument defines "registered strata scheme", "strata scheme", "operator", "FFE Fund" and other terms. Those definitions determine the scope of interaction with the rest of the Act. For example, "strata scheme" is defined to require that members do not have a right to be paid an amount related to the value of scheme property on withdrawal (s 4). That definitional choice narrows the class of arrangements affected and creates interaction points with investor entitlement rules in the Act.

In short, the instrument is a web of carve-outs and variations that sit on top of the Act and Regulations. It does not replace state property or licensing laws. It shifts when and how certain Commonwealth financial services duties apply to a defined set of strata-managed letting arrangements, and sets conditional operational and reporting duties to preserve investor protections within that relief construct.

The compilation provides an explicit amendment history in Endnotes 1 and 2. The instrument has been amended at least twice since its original registration. The key dates and amendment specifics recorded in the compilation are as follows.

Instrument registration and commencement

• Original instrument: ASIC Corporations (Serviced Apartment and Like Schemes) Instrument 2016/869 was registered for Federal Register of Legislative Instruments (FRL) on 23 September 2016 and commenced on 28 September 2016. This appears in Endnote 1 for instrument number 2016/869.
• First amendment: Instrument 2017/580 was registered on 3 July 2017 and commenced on 4 July 2017.
• Second recorded amendment: Instrument 2021/799 was registered on 22 September 2021 and commenced on 5 October 2021.

Amendments recorded (Endnote 2)

• Section 2. The endnote states "Section 2 rep. s48D LA". This indicates a technical or consequential amendment of section numbering or references, noting the Legislation Act 2003 changes. The compilation records the replacement or repeal reference.
• Paragraph 5(1)(b) (note). The note to paragraph 5(1)(b) was amended by instrument 2017/580. The note in the instrument references ASIC Corporations (Miscellaneous Technical Relief) Instrument 2015/1115; the amendment likely updated that cross‑reference or the explanatory note text.
• Paragraph 5(1)(c). Amended by instrument 2021/799. This is the paragraph exempting operators from section 992A of the Act in relation to offers for issue of interests in the strata scheme. The 2021 amendment likely clarified the scope of the exemption or the referencing to s 992A.
• Subsection 8(1) (note). The note to s 8(1) was amended by 2017/580, again probably altering cross-references or explanatory note text linking instrument 2015/1115.
• Subsection 14(2) (note). Amended by 2017/580. This is a note in the transitional provision preserving old class orders; the amendment likely updated the note referencing instrument 2015/1115.
• Section 9. Amended by instrument 2021/799. Section 9 provides an exemption from the prohibition on hawking for offers appearing to be covered by s 5. The 2021/799 amendment adjusted this provision; the compilation does not provide the precise textual change here, but records that s 9 was amended.

Transitional and application notes

• The endnotes do not include extended transitional application language beyond what appears in ss 14-16, but they do record the application, saving or transitional provisions for each instrument and the dates. The absence of other entries suggests the amendments were targeted and limited.

What the amendment history tells you from the compilation

• The instrument has been subject to targeted technical amendments since its original commencement: changes to notes, some operational paragraphs (5(1)(c) and s 9) and retention-of-reference notes. The amendments in 2017 appear to be mostly cross‑referencing updates to the note that points to instrument 2015/1115. The 2021 amendments affected the hawking exemption and the paragraph enabling the exemption from section 992A (s 5(1)(c) and s 9).
• The compilation does not include explanatory memoranda or second reading speeches, so the endnotes only record formal amendment actions and dates. The instrument as compiled includes the consolidated text as in force on 5 October 2021.

For practice, always check the FRL entries for the amending instruments (2017/580 and 2021/799) and the consolidated instrument for subsequent amendments after 5 October 2021 when relying on this material.

The compilation provided contains no court decisions, appeals, or other judicial determinations that interpret this instrument. The instrument itself does not list case authorities, and the endnotes (Endnote 1 and 2) record only instrument history and amendment history; there are no references to litigation in the compiled text.

Practical implications of the absence of recorded litigation

• Lack of authoritative judicial construction. Because there are no cases cited in the compilation, the statutory phrases and prescribed procedures in the instrument have not, within this compilation, been judicially authoritatively construed. That means practitioners must rely on the plain language of the instrument and the underlying Act, and any applicable administrative guidance from ASIC, in advising clients.
• Reliance on administrative practice and ASIC guidance. Where judicial guidance is absent, ASIC’s public guidance, regulatory guides and compliance documents, together with professional practice in the sector, will govern reasonable expectations about interpretation. The instrument itself cross‑references other ASIC instruments (for example instrument 2015/1115). Check ASIC regulatory guides and market practice for any interpretive statements or published Q&A.
• Potential for future disputes. The instrument creates several procedural mechanisms that present points of potential dispute, for example: the qualification of a proposed transferee under s 10(a)(ii)-(iii); valuation methodology and selection of valuers under s 10(i)(i); the operation of FFE Fund caps and deductions under s 5(2)(f)(iv); and the circumstances in which a responsible entity has "reasonable grounds" to value scheme property under s 11(2). If these provisions generate contested outcomes, litigation or tribunal review may develop factual and interpretive jurisprudence.

If legal outcomes or precedent are required for a particular transaction or dispute, a practitioner should search the court databases, tribunal records and ASIC enforcement actions beyond this compilation for relevant decisions or ASIC administrative determinations post‑dating 5 October 2021.

The instrument contains specific conditions and traps that can change an operator’s regulatory position quickly. The following are practical points that commonly produce non‑obvious compliance or commercial consequences; each is grounded in the instrument text.

1. Reliance is conditional, not permanent (s 5(2), s 11(3)). An operator may lose the exemptions if the scheme no longer meets the precise eligibility conditions. For responsible entities, failure to comply with s 11(2) prevents reliance on the valuation exemption (s 11(3)). This can suddenly convert a low‑regime operation into one that must register, obtain or rely on an AFSL, and meet chapter 7 disclosure obligations.

2. The "excluded person" concept is unilateral to ASIC (s 4). ASIC may notify that a person is excluded in writing. The instrument does not set out a public procedure for exclusion, so operators should monitor ASIC communications and ensure breach reporting (s 7) is prompt to avoid administrative exclusion risk.

3. Promoter developer carve-outs narrow duties but change applicability (ss 4, 6(6), 7(2)). Operators who "only operate the scheme as a promoter developer" are treated differently; the obligations in s 6 and the breach reporting duty in s 7 do not apply to those operators. Whether a person "only" operates as a promoter developer is a fact question under the definition in s 4. Getting the factual classification wrong may result in inadvertently missing obligations.

4. Withdrawal mechanics and post‑withdrawal use are tightly constrained (s 5(2)(b)-(c)). Investors can withdraw on no more than 90 days’ notice. After withdrawal, an investor will not be bound to allow use of the unit except in narrow circumstances (s 5(2)(c)). Operators should ensure their agreements do not impose extended post‑withdrawal occupancy clauses or tie the investor to future lettings that are inconsistent with s 5(2)(c).

5. Purchaser protections and anti‑tying rule (s 5(2)(g)). The purchase of the strata unit must not be conditional on participation in the scheme. Any conveyancing term, lease or interest that effectively ties purchase to scheme participation may invalidate exemption entitlement.

6. FFE Fund restrictions and caps (s 5(2)(f)(iii)-(iv) and s 6(2)). Deductions into FFE Funds must be by way of deduction from rental income that does not exceed 3% of gross rent attributable to the investor for the relevant period, and the Fund balance must not exceed $10,000 per unit. Payments from the Fund for replacement/repair/refurbishment cannot be used for the period to which the deduction relates unless all money in the Fund has first been expended. Operators must track allocation and expenditure carefully; misuse may nullify the exemption.

7. Operator payments and timing (s 5(2)(f)(iii)(A)). Operator fee recoveries must relate to no more than a three month period and be reasonably commensurate with work or expenses for that period. Aggregated or advance fee demands that are not commensurate with the period may breach the condition.

8. Transfer procedures are prescriptive and time‑sensitive (s 10). Where a majority of scheme members advise termination, the operator has nine months to transfer management rights to a person chosen by the operator who is independent. If it fails to do so, the members can name a replacement and set a price. The pricing options are constrained and exclude bids by the operator or its associates (s 10(i)). Operators must be ready to complete transfers and provide assistance (s 10(p)). Disputes over valuation methodologies or the independence of transferees can be contentious.

9. Body corporate interplay (s 10(e)-(h)). If a body corporate exists, its members have a statutory window to consider transfers, and a majority of body corporate members may block a named transferee for caretaking functions. Operators need to engage with body corporates and manage notice obligations carefully; failing to notify body corporate members as required may trigger member rights to object.

10. Reporting timelines and reporting period design (s 6(3)-(5)). Operators set the reporting periods subject to rules in s 6(5). The first reporting period starts when the investor and operator enter the agreement. Periodic statements for retail client investors must be provided within six months after the end of each reporting period. Poorly designed reporting periods or late statements are reportable under s 7 and can jeopardise the exemption.

11. Selling agent AFSL exemption exclusions (s 8(2)). The exemption for selling agents does not apply if the agent is an AFSL holder or representative, or is the operator, or is an "excluded person". Selling agents must ensure their reasonable belief that the scheme is covered by s 5 is documented and defensible.

12. Registered scheme valuation relief is conditional (s 11). Responsible entities are relieved from strict compliance with paragraph 601FC(1)(j) only if they value scheme property as soon as practicable after having reasonable grounds to believe a valuation is in members' best interests or needed for fair operation. Failure to do so invalidates the exemption (s 11(3)).

13. Transitioning schemes. Schemes that relied on older ASIC class orders may continue to do so per ss 14-15. However, s 15(3) notes that if the operator ceases to be able to rely on an instrument in substantially the same terms as the relevant pro forma, they will cease to be able to rely on the old class order. This can create discontinuities when contractual documentation diverges from pro forma terms.

These "gotchas" are operational levers that can change regulatory exposure. They arise from the instrument’s conditional approach: relief is available if, and only if, the specified conditions are met and maintained.

This section outlines practical steps and a compliance checklist for operators, selling agents, responsible entities and scheme members to stay within the instrument’s conditions. Each step references the specific provisions requiring or permitting the conduct.

Pre‑reliance assessment and documentation

1. Confirm scheme fits the definition of "strata scheme" (s 4). Check that the scheme involves strata units made available for use as part of serviced apartment, hotel, motel or resort complexes and that members have no right to be paid an amount related to scheme property value on withdrawal. If the arrangement falls outside this definition, the instrument does not apply.

2. Determine operator classification (s 4). Establish whether the operator is a real estate managing agent, a financial services licensee, or is only a promoter developer licensed under state/territory law. If the operator only operates as a promoter developer, note that ss 6 and 7 do not apply. Document the factual basis for this classification.

3. Establish whether any ASIC exclusion applies (s 4). Confirm there is no written ASIC exclusion notice for the operator. Maintain a record of ASIC correspondence.

Draft and execute the investor agreement with mandatory provisions

4. Prepare the written agreement required by s 5(2)(h) and ensure it contains the transfer procedures required by s 10 exactly or substantively to the required effect. Key clauses to include:

• Withdrawal rights (s 5(2)(b)): right for investors and operator to withdraw on no more than 90 days’ notice.
• Post‑withdrawal occupation constraints (s 5(2)(c)).
• Appointment rights for replacement manager by withdrawing investor (s 5(2)(d)).
• Payment restrictions and FFE Fund rules, including maximum amounts and permitted deductions (s 5(2)(f)(i)-(iv)).
• Transfer procedures per s 10 (including timeframe, independence requirements, pricing mechanisms, voting rules, cost recovery and operator assistance).

5. Set out maximum amounts for any furniture, fittings and equipment purchases that the investor may be required to make (s 5(2)(f)(ii) and (g)) and specify reporting periods as required in s 6(5).

Financial and trust arrangements

6. Open trust accounts with an Australian ADI. Deposit any cash scheme property promptly into trust accounts held with an Australian authorised deposit‑taking institution and keep separate accounting for investor entitlements (s 6(1)). For FFE Funds, open a separate trust account and maintain strict segregation and records (s 6(2)(a)).

7. Audit arrangements. Engage a registered company auditor to audit whether trust money has been dealt with in accordance with the trust terms at least annually (s 6(1)(b), s 6(2)(a)). Ensure audit scope covers collection, retention, deduction, investment and disbursement of FFE Fund monies.

8. FFE Fund mechanics. Implement procedures to: deduct no more than 3% of gross rent attributable to an investor for the specified period (s 5(2)(f)(iv)(A)); cap the balance of the Fund at $10,000 per unit (s 5(2)(f)(iv)(B)); only expend FFE Fund money for replacement/repair/refurbishment in accordance with the stated ordering of deductions (s 5(2)(f)(iii)(B)); and return the Fund balance promptly on termination or investor withdrawal (s 6(2)(b)).

Operational controls and reporting

9. Reporting periods and investor statements. Define reporting periods in accordance with s 6(5): first reporting period from agreement commencement, subsequent periods consecutive, and a period ending on investor withdrawal. Provide each retail-client investor with a written statement for each reporting period, including transactions related to the investor’s interest, within six months after the reporting period ends (s 6(3)-(5)).

10. Breach reporting. Put in place internal incident identification and reporting triggers so that any material failure to comply with s 6 prompts an ASIC report with full particulars within 15 business days (s 7(1)). Ensure legal and compliance teams review incidents for materiality and timing.

11. Maintain records to evidence compliance. Keep contemporaneous records demonstrating adherence to withdrawal rights, payment limitations, FFE Fund caps, trust account reconciliations, auditor reports, investor statements, and the operation of the scheme in accordance with agreement terms (s 6(4)).

Transfer and valuation procedures

12. Prepare for transfer events. Implement processes that comply with the timeframes and requirements in s 10:

• If a majority of scheme members issue termination in writing, the operator must transfer management rights within nine months to a qualifying transferee (s 10(a)).
• If the operator fails to transfer, accept the obligation to transfer to the replacement operator named by members at the price in the notice (s 10(b)).
• Facilitate valuations, auctions and tenders used to set price, including using independent qualified valuers nominated by the Australian Property Institute or another ASIC‑approved body for the valuation method (s 10(i)(i)-(iii)).
• Notify body corporate members and manage any body corporate decision periods as per s 10(e)-(g).

13. Cost recovery and assistance. Record any reasonable valuation, auction or marketing costs and be ready to reimburse them from the purchase price when the price is paid, if claimed by a member (s 10(n)-(o)). Provide reasonable assistance to enable the transferee to operate the complex, for example by supplying booking and occupancy data (s 10(p)).

Registered scheme valuation compliance

14. Responsible entities must watch valuation triggers. For registered strata schemes relying on s 11, have procedures to identify when there are reasonable grounds to believe a valuation is in the best interests of members or needed for fair operation, and obtain valuations as soon as practicable once those grounds arise (s 11(2)-(3)). Document the decision-making that forms the "reasonable grounds" assessment.

Selling agents and hawking

15. Selling agents’ reasonable belief. If acting as a real estate (selling) agent and relying on the exemption in s 8(1), document the basis for the agent’s reasonable belief that the scheme is covered by s 5. Ensure the agent is not an AFSL holder, not the operator, and not an excluded person (s 8(2)).

16. Hawking exemptions. If relying on s 9’s hawking exemption for offers that appear to be covered by s 5, document how the offer appears to be covered and ensure compliance with the eligibility conditions in s 5(2).

Regular compliance monitoring and governance

17. Periodic compliance review. Institute periodic compliance reviews to confirm ongoing eligibility for the exemptions. This should include audits of trust accounts, FFE Fund balances, investor statement delivery, and any operator guarantees or indemnities (s 5(2)(e)).

18. Engage with ASIC where uncertain. If there is doubt whether a proposed practice or document complies with the instrument, consider applying to ASIC for written confirmation or seeking legal advice. Keep evidence of communications with ASIC in case of future enforcement/correspondence.

19. Update contractual templates. Ensure resale contracts and initial strata sale documents do not condition purchase on participation in the scheme (s 5(2)(g)). Ensure sales documentation, conveyancing clauses, and title instruments align with the instrument’s non‑tying requirement.

20. Transitional schemes. Operators of schemes that previously relied on the old class orders or pro forma instruments should confirm continued applicability under ss 14-16 and ensure their documents remain in substantially the same terms for continued reliance (s 15(3) note).

Following this checklist will address the principal conditions that the instrument makes a precondition to relief. Compliance requires continuous attention to the specific quantitative limits (for example the 3% deduction cap and $10,000 Fund cap), event-driven obligations (transfer timelines and breach reporting), and recordkeeping to prove entitlement to exemptions when required.
