ASIC Corporations (Product Intervention Order—Binary Options) Instrument 2021/240

The instrument turns on a small set of technical concepts that determine scope, obligations and exceptions. Those concepts are defined or referenced in Part 1, especially s 4, and drive the application of the prohibitions in Part 2.

Binary option. The instrument defines "binary option" as an arrangement that is an over‑the‑counter derivative meeting a five‑part structure. The arrangement must be an OTC derivative; the parties must be a "binary option provider" who carries on a business of offering to issue, and issuing, that type of derivative, and a "holder" (s 4(1)(a)(i)). A payment is made or payable by the holder to the provider in consideration for entering the arrangement (s 4(1)(a)(ii)). The arrangement specifies a condition in relation to the value or amount of an asset, rate, index or commodity at or before an expiry time (s 4(1)(a)(iii), with examples included in the text). If the condition is satisfied at expiry time and no prior termination occurred, a predetermined fixed amount, or no amount, is payable by the provider to the holder (s 4(1)(a)(iv)). If the condition is not satisfied at expiry time and no prior termination occurred, a predetermined fixed amount, or no amount, is payable by the provider to the holder (s 4(1)(a)(v)). The definition expressly includes arrangements where the holder may have a right to terminate before expiry and may receive payment on termination (s 4(1)(b)(i)-(ii)).

Binary option provider. This term is defined indirectly by reference to the binary option structure. It means a person who carries on a business of offering to issue, and issuing, derivatives of that type to other persons (s 4(1)(a)(i)(A)). The statutory focus is on persons in the business of issuing and offering the product; it does not label occasional issuers in the text, leaving "carries on a business" as the qualifying criterion.

Over‑the‑counter. For the purposes of this instrument, "over‑the‑counter" in relation to a derivative means the derivative is not able to be traded on a licensed market (s 4(1)). That anchors the definition to the tradability of the instrument rather than economic equivalence to other derivative forms.

Financial product and cryptoasset. The instrument links "financial product" to the Act by referring to section 761A and to the ASIC Act financial product concept in section 1023B (s 4(1)). It also expressly states that "cryptoasset includes cryptocurrency" (s 4(1)), therefore bringing crypto‑listed underlying assets within scope where their value is the subject of the binary condition.

Offering and application. The instrument clarifies that "offering to issue" a derivative includes inviting applications for the issue of the derivative (s 4(2)). That language extends the reach of the prohibitions to invitations to subscribe as well as issuances themselves.

Jurisdictional connectors. The prohibitions in s 5 apply only where certain Australia‑connection tests are satisfied. Each of the four prohibitions is conditioned by a separate subsection (ss 5(6)-(9)) that applies the same two‑limbed test: either the provider/arranger/agent is an Australian body corporate, citizen or ordinarily resident; or the issue/arranging/applying takes place in circumstances where the issue occurs in Australia or an offer to issue or to apply for the issue is received in Australia.

Time bounds and limitations. The instrument takes effect immediately on its commencement for general operation, but the prohibitions are given a clear operational start date of 3 May 2021 (s 5(5)). The instrument also signals that the orders are subject to the limitations in s 1023C of the Corporations Act, and that they will remain in force for 18 months unless the Court stays or otherwise affects their operation, citing subsection 1023G(2) of the Act (notes to s 5). The instrument imposes a specific discrete disclosure duty in s 6 for recent issuances within the 12 months before commencement.

The legal architecture is narrow and formulaic. The concept of a binary option is tightly defined to capture the common structural features of the product as an OTC derivative with a conditional fixed payoff and an advance payment by the holder. The jurisdictional tests determine when Australian regulatory power is exercised. The notification obligation is limited in scope and timeframe.

The instrument names, directly or by definition, the classes of persons and commercial activities it regulates. The primary targets are: binary option providers; persons whose business is arranging for the issue of binary options; agents who, in the course of a business, apply for or acquire binary options on behalf of retail clients; and persons who arrange for retail clients to apply for or acquire binary options (s 5(1)-(4)). The immediate protected class is retail clients, since prohibitions are expressly framed as "in relation to retail clients" (s 5 heading and subsections).

Binary option providers. Defined in the instrument as persons who carry on a business of offering to issue, and issuing, derivatives of the binary option type (s 4(1)(a)(i)(A)). These persons are subject to the primary issuance prohibition (s 5(1)) and the notification obligation for prior issuances (s 6). The instrument’s definition targets persons in the business of issuing the product, so entities that run a business model offering the product to clientele are captured.

Arrangers and agents. The instrument captures intermediaries who carry on a business arranging for the issue of binary options (s 5(2)), agents applying for or acquiring binary options on behalf of retail clients (s 5(3)), and persons arranging for retail clients to apply for or acquire binary options (s 5(4)). These rules reach back through common distribution chains, including intermediated sales, agency relationships and placement activities.

Retail clients. The prohibitions operate only in relation to retail clients. The instrument does not set out the substantive definition of "retail client" within its text; it uses the term as a class to which the orders apply (s 5 preamble and operative subsections). Consequently, persons dealing with clients who are not retail clients are, on the face of the instrument, outside the prohibitions as framed here. The binary option definition refers to a "holder", which is the contracting counterparty, and the protections attach specifically when that holder is, or would be, a retail client.

Cross‑border and jurisdictionally connected entities. The instrument uses explicit connection tests to determine when the prohibitions bind an entity or activity. Each operative prohibition is qualified so it applies only if one or both of two conditions are satisfied: (a) the relevant person is a body corporate incorporated or carrying on business in Australia, an Australian citizen, or ordinarily resident in Australia; or (b) the relevant dealing takes place in circumstances where the issue occurs in Australia or an offer to issue or apply for issue is received in Australia (ss 5(6)-(9)). Those connectors mean that the instrument reaches foreign firms and operators only to the extent there is an Australian nexus such as Australian incorporation, citizenship, ordinary residence or receipt of offers in Australia.

Who pays. The immediate economic burden falls on binary option providers and the distribution chain: providers must cease issuing to retail clients where the prohibitions apply (s 5(1)), intermediaries must cease arranging such issues for retail clients (s 5(2) and s 5(4)), and business agents must not apply for/acquire binary options for retail clients (s 5(3)). Providers who sold to retail clients within the prior 12 months must expend resource to identify those retail clients and take reasonable steps to notify them of the instrument (s 6). Customers (retail clients) lose lawful access to this product class in the relevant circumstances for the duration of the order.

Who decides. The instrument is made by an ASIC delegate who certifies the satisfaction of the statutory preconditions under s 1023D(3) of the Corporations Act (s 3 and the instrument preamble). Courts may stay the order or otherwise affect its operation (note to s 5). The underlying decisions about duration and legal limits are referenced to provisions of the Corporations Act as noted in the instrument.

Behaviour changes required. Subject persons must stop issuing, arranging or applying for retail‑facing binary options where the jurisdictional tests apply. They must also perform prompt notifications to recent retail holders. Those proximate changes impact revenue streams for providers that previously served retail clients, and shift distribution activity away from retail channels or outside the parameters that trigger the prohibitions.

The instrument creates a small number of positive duties and negative prohibitions, and it references statutory constraints and temporal limits. Those operative obligations are express and narrowly specified.

Prohibitions. The core duties are prohibitory. Under s 5(1) a binary option provider must not issue a binary option to a retail client. Under s 5(2), a person who carries on a business of arranging for the issue of binary options must not arrange for the issue by a binary option provider to a retail client. Under s 5(3), a person who carries on a business of applying for, or acquiring, binary options as an agent must not apply for, or acquire, a binary option from a binary option provider on behalf of a retail client. Under s 5(4), a person who carries on a business of arranging for persons to apply for, or acquire, binary options must not arrange for a retail client to apply for, or acquire, a binary option from a binary option provider. These duties are framed as absolute prohibitions subject to the jurisdictional application tests in ss 5(6)-(9).

Jurisdictional limits to duties. Each prohibition applies only if one or both of two connection tests are satisfied: either the relevant person is an Australian‑connected entity or natural person, or the dealing occurs in circumstances where the issue occurs in Australia or an offer to issue or apply for issue is received in Australia (ss 5(6)-(9)). Those limits are part of the statutory duty structure and create a compliance focus on where parties are incorporated, resident or where offers are received.

Notification duty. A discrete affirmative duty is imposed on binary option providers who issued binary options to retail clients within the 12 months before commencement in circumstances that would have been prohibited (s 6). Such providers must take reasonable steps to notify each affected retail client of the terms of the instrument as soon as practicable and within 15 business days after commencement. The duty is qualified by the "reasonable steps" standard and by a temporal and class limitation: it applies only to prior issuances within the 12‑month lookback window and only to those that would have been prohibited had the prohibition then applied (s 6).

Rights. The instrument does not create new substantive rights for market participants beyond the retention of existing legal positions outside the order’s scope. The instrument explicitly acknowledges that arrangements may contain termination rights for holders (part of the binary option definition in s 4(1)(b)), but that is descriptive of the product, not a new right conferred by the instrument. The instrument also notes that its application is subject to statutory limits in s 1023C of the Act and that judicial stay remains available (note to s 5). Those references operate as rights in the sense that affected persons may rely on statutory constraints and court processes to challenge or stay the instrument’s operation.

Temporal constraints. The instrument is a temporary intervention. The substantive prohibitions take effect from the date specified (s 5(5)) and the instrument will remain in force for 18 months from commencement unless the Court stays or otherwise affects the order (note to s 5). That creates a duty for regulated persons to track remaining term and plan for resumption or further regulatory action at expiry.

Scope and interpretive duties. The instrument supplies definitional scaffolding in s 4. Persons who must comply therefore have a duty to determine whether particular products fall within the technical definition of "binary option", including evaluation of whether the product is an over‑the‑counter derivative, whether it specifies a condition about an asset/rate/index/commodity at or before expiry, whether predetermined fixed payoffs are involved, and whether the holder is a retail client. That interpretive exercise is a compliance duty embedded in the operative prohibitions.

Recordkeeping and reasonable steps. The instrument does not prescribe recordkeeping formats or specify what "reasonable steps" means. However, the presence of the 15 business day deadline for notification (s 6) and the business‑oriented "carries on a business" threshold imply practical duties to identify affected retail clients and to document the steps taken to notify them.

In sum, the instrument imposes prohibitions on issuance and facilitation of binary options to retail clients where specified connections exist, imposes a short notification duty to recent retail purchasers, and requires affected market participants to make interpretive calls about product type, client classification and jurisdictional connection.

The instrument itself does not set out criminal offences, civil penalties, or administrative sanction regimes. It establishes prohibitions and an affirmative notification duty, but it does not specify penalties for contravention within its text. The statutory vehicle is a product intervention order under subsection 1023D(3) of the Corporations Act (s 3), and the instrument’s notes refer to related Act provisions, but the instrument does not reproduce enforcement provisions.

Scope of enforcement left to the Act. Because the instrument is made under the Corporations Act and repeatedly cross‑references Act provisions (see s 3 and notes to s 5), consequences for non‑compliance are to be understood in the context of the broader statutory framework. The instrument itself does not identify enforcement mechanisms or sanction amounts; therefore, any enforcement response will depend on the enforcement powers and penalty regimes contained in the Corporations Act or other applicable law. The instrument references the possibility of a court making an order staying or otherwise affecting the operation of the orders in section 5 (note to s 5), which signals that judicial processes can interrupt operation.

Practical enforcement signals. The prohibitions are framed in mandatory terms,"must not",which gives notice of prohibited conduct (ss 5(1)-(4)). The affirmative duty to take reasonable steps to notify retail clients within a tight timeframe,15 business days after commencement, creates a compliance obligation with a specific performance metric (s 6). Those features enable agency enforcement by reference to non‑compliance with mandatory duties, even though the instrument does not itself prescribe penalties.

Compliance risk and litigation risk. The instrument’s notes make explicit that application of the orders is subject to the limitations in section 1023C of the Act and that the orders remain in force for 18 months unless the Court intervenes (note to s 5). That indicates potential avenues for affected entities to seek judicial relief or challenge. The instrument does not itself prescribe how alleged breaches will be investigated or prosecuted, or whether ASIC will use infringement notices, civil penalty proceedings, injunctions, licence conditions, or other administrative actions. Those choices fall outside the instrument and lie in the enforcement toolkit provided by the Corporations Act and ASIC’s enforcement policies.

Enforcement uncertainty. Because the instrument does not specify remedies or penalties, regulated entities face uncertainty about the enforcement approach that ASIC or prosecutors may take in the event of breaches. The immediate compliance risk is reputational and regulatory, given the express prohibitions and the short notification deadline. Entities should therefore assume that breaches could attract regulatory action under the Corporations Act, even though the instrument itself does not enumerate such consequences.

Record and proof. The instrument imposes a "reasonable steps" standard for notification and thus invites dispute over what steps satisfy that standard. In any enforcement or litigation context, records documenting the identification of affected retail clients, the content of the notifications, and the actions taken within the 15 business day period will be central evidence. The instrument’s silence on what constitutes sufficient notification increases the importance of contemporaneous compliance documentation.

In sum, enforcement levers and penalty quantum are not set out in this instrument. The instrument creates mandatory duties that can be the predicate for enforcement under the broader Corporations Act framework and leaves specific enforcement mechanisms and penalties to the Act and regulators.

The instrument is an exercise of delegated regulatory power under the Corporations Act 2001 and is explicitly cross‑referential to several provisions of the Act. Its interaction points with other laws are therefore primarily through the statutory references and through the definitional links incorporated in s 4.

Legal basis and statutory embedding. The instrument is made under subsection 1023D(3) of the Corporations Act (s 3). It repeatedly indicates its relationship to other provisions of the Act. For example, the instrument refers to the Act’s definitions by stating that, unless a contrary intention appears, a term defined in section 761A has the same meaning in this instrument (s 4(1) note). It also links "financial product" to both section 761A and section 1023B of the Act (s 4(1)), thereby embedding the instrument’s subject matter within the Act’s conceptual framework for financial products.

Limitations and duration under the Act. The instrument’s application is expressly subject to the limitations in section 1023C of the Act (note to s 5). It also states that the orders will remain in force for 18 months from the day the instrument commences, with that period cited to subsection 1023G(2) of the Act (note to s 5). Those references mean that the instrument does not operate in isolation; it operates within the Act’s product intervention architecture, including any procedural, judicial and substantive limits specified there.

Definitions and interpretive cross‑reference. The instrument links its definitions to Act definitions and uses Act terminology. For example, the instrument treats "financial product" as meaning either the statutory financial product in section 761A or an ASIC Act financial product in section 1023B (s 4(1)). It also instructs that terms defined in section 761A have the same meaning in the instrument unless a contrary intention appears (s 4(1) note). These cross‑references will govern interpretive disputes about whether a particular underlying is a financial product and whether the derivative falls within the Act’s scope.

Operational relationship with licensing and market rules. The instrument defines "over‑the‑counter" as a derivative not able to be traded on a licensed market (s 4(1)). That interacts with market licensing regimes and the distinction between OTC and exchange‑traded instruments. Where a derivative is tradable on a licensed market it is excluded from the instrument’s binary option definition, and therefore the prohibitions would not capture the exchange‑traded variant on that basis alone. Conversely, products that are economically equivalent but structured as OTC will be in scope.

Interaction with client classification regimes. The instrument applies only in relation to retail clients. The substantive meaning of "retail client" is not provided in the instrument, so that interaction depends on the Act’s client classification rules and related guidance. That creates a functional hinge where the Act’s retail/wholesale client definitions will determine the instrument’s practical reach in particular factual settings.

Cross‑border law and jurisdictional reach. The instrument’s jurisdictional connectors (ss 5(6)-(9)) create an interaction between Australian jurisdictional law and cross‑border commercial arrangements. The instrument reaches persons incorporated, carrying on business, citizens or ordinarily resident in Australia, and it also reaches dealings where the issue occurs in Australia or where an offer to issue or to apply for issue is received in Australia. Those connectors intersect with private international law considerations about where offers are received and where business is carried on, and they likely intersect with communications and consumer protection laws where offers are made online into Australia.

Notification and consumer disclosure regimes. The instrument’s notification duty (s 6) requires providers who sold to retail clients in the prior 12 months to notify those clients of the instrument’s terms. That duty interacts with other disclosure and consumer protection obligations in the Act and other applicable statutes because the notification is a regulatory measure aimed at informing consumer holders that the product is now prohibited for retail distribution. The instrument does not specify the content beyond "the terms of this instrument", but affected providers may need to ensure that their notifications do not conflict with other statutory disclosure obligations.

Judicial processes and stays. The instrument acknowledges that a Court may make an order staying or otherwise affecting the operation of the orders in s 5 (note to s 5). That creates a direct interaction with judicial review or interim relief mechanisms in the courts and with the broader administrative law framework under which delegated instruments can be challenged or stayed.

In short, the instrument sits within the Corporations Act’s product intervention framework, uses the Act’s definitional architecture and jurisdictional reach as its operational scaffolding, and interacts practically with licensing regimes, client classification rules, cross‑border communications, and judicial review procedures. Because the instrument itself does not recite the content of those cross‑referenced Act provisions, parties must consult the Act to evaluate enforcement mechanisms, client classification criteria and other procedural constraints.

The instrument text supplied contains the core enactment details but does not record any subsequent amendments or revisions within its text. The operative entries that bear on the instrument’s history are the signature, date and commencement mechanism, together with the built‑in temporal limit and the specified operative start date for the prohibitions.

Enactment and signature. The instrument is signed by Oliver Harvey, an ASIC delegate, and carries a date of 1 April 2021 in the instrument text. The signature block and the preamble specify that the delegate, being satisfied that the prerequisites in the enabling provision exist, makes the legislative instrument (preamble and signature line).

Commencement. The instrument states that it "commences on the day after it is registered on the Federal Register of Legislation" (s 2). The instrument does not in its text supply the registration date, but it states the general commencement rule and sets a clear operative start date for the prohibitions in s 5(5), which is 3 May 2021. Consequently, the instrument uses two temporal markers: the general commencement rule and the specific effective date for the s 5 prohibitions.

Temporal limit. The instrument includes an express note that, subject to a Court order staying or otherwise affecting the operation of the orders in section 5, the orders will remain in force for 18 months from the day the instrument commences, citing subsection 1023G(2) of the Act (note to s 5). That places an 18‑month outer limit on the life of the order unless altered by judicial action or subsequent statutory change.

No recorded internal amendments. The supplied text does not record any amendments, variations, or repeal actions. It is presented as a standalone instrument with a single signature and date. There are no schedules, transitional amendment clauses to other instruments, or subsequent variation clauses within the supplied instrument.

No express commencement of s 6 beyond instrument commencement. Section 6 creates the notification duty and states that the duty applies where a provider has issued a binary option to a retail client in the 12 months before commencement in circumstances that would be prohibited by s 5 (s 6). The duty must be performed as soon as practicable and within 15 business days after commencement. Therefore, the instrument’s amendment history is limited to its initial making and its temporal framing. The supplied text does not indicate subsequent amendments or legislative changes.

Implication for users. Because the instrument contains no amendment history in the supplied text, users should assume this version is the operative instrument as issued on the date shown. Any later amendments, judicial stays or legislative overrides would not appear in the supplied text and must be checked on the Federal Register of Legislation and in subsequent statutory materials.

The instrument, as provided, contains no record of litigation, court decisions, or judicial interpretations. It contains only the instrument text, the delegate’s signature and two notes that refer to the possibility of judicial intervention.

Court stay possibility. The instrument’s note to s 5 expressly records that, "Subject to the Court making an order staying or otherwise affecting the operation of the orders in section 5, the orders will remain in force for 18 months from the day this instrument commences" (note to s 5). That language acknowledges the ordinary judicial powers to stay or modify the operation of delegated instruments but does not record any instance where such relief was sought or granted.

No cases or judicial outcomes cited. The instrument does not cite any judicial decisions, does not refer to any litigation or non‑compliance proceedings, and does not incorporate any court orders into the text. There is no transcript of judicial review proceedings within the instrument.

Implication for research. Because no litigation history is recorded in the instrument itself, anyone assessing legal risk or precedent must review court records and the Federal Register for any applications to the courts challenging the instrument, any injunctions or stays subsequently granted, or any statutory amendments made in response to litigation. The instrument’s content leaves open the potential for judicial contestation, and affected parties may in practice seek interlocutory relief, but the supplied text contains no such history.

Record keeping and proof. In the absence of an adjudicated litigation history, compliance arguments about what constitutes reasonable steps for the notification duty (s 6) and about whether a particular product falls within the binary option definition (s 4) will likely be fielded in any enforcement or litigation. Because the instrument offers no adjudicative guidance, factual and documentary evidence will be decisive in any dispute.

In short, the supplied instrument contains no litigation history or judicial interpretation. It records only the instrument’s own making and the statutory possibility of court action.

The instrument contains several technical features and drafting choices that create traps for the unwary. These are practical points that affect compliance, product design, jurisdictional risk, and post‑issue obligations. They arise from definitional breadth, jurisdictional connectors, the "carries on a business" threshold, the "reasonable steps" standard, time limits and omission of enforcement detail.

Definition breadth. The statutory definition of "binary option" in s 4 is functional rather than labelled by market parlance. It captures any OTC derivative that: (a) involves a business of offering and issuing such derivatives by a provider, (b) requires payment by the holder, (c) specifies a condition about the value or amount of an asset, rate, index or commodity at or before an expiry time, and (d) provides for predetermined fixed payoffs (which may be zero) depending on whether the condition is satisfied (s 4(1)(a)(i)-(v)). That can encompass many payoff structures that retail customers recognise as binary options, but it also potentially captures variants that are economically similar but drafted differently. Practitioners must map product documentation to this functional definition rather than rely on product marketing labels.

Inclusion of cryptoassets. The instrument expressly includes "cryptoasset" and states that "cryptoasset includes cryptocurrency" (s 4(1)). Products referencing crypto underlyings that meet the binary option structure will therefore be in scope. A provider marketing a superficially different crypto product should check whether the contractual terms fall within the s 4 formula.

Early termination capture. The definition expressly includes arrangements where the holder has, or may have, a right to terminate before expiry and where termination may give rise to a payment (s 4(1)(b)). Some firms may have presumed that early termination rights would exclude them from the definition; the instrument makes the opposite clear.

OTC versus exchange‑traded. The instrument’s definition of "over‑the‑counter" is “not able to be traded on a licensed market” (s 4(1)). That means an economically similar product that is tradable on a licensed market is not a binary option for the purpose of this instrument. However, the practical "gotcha" is that some platforms describe themselves as markets or operate on novel licensing models. A provider must confirm tradability on a licensed market to rely on that exclusion.

"Carries on a business" threshold. The term "binary option provider" is limited to a person who "carries on a business of offering to issue, and issuing, derivatives of that type" (s 4(1)(a)(i)(A)). Occasional, one‑off issuances might fall outside the definition if they do not amount to a business. That creates a compliance incentive to fragment activities or route sales through entities structured to avoid the "carries on a business" threshold. Regulators and courts will look at substance and continuity, not only form.

Jurisdictional tests and online offers. The prohibitions are qualified by tests that tether application to Australian connection: Australian incorporation, carrying on business in Australia, Australian citizenship, ordinary residence, or that an offer to issue or to apply for issue is received in Australia or that the issue occurs in Australia (ss 5(6)-(9)). For online offers, the question of when an offer is "received in this jurisdiction" is fact dependent. Firms that rely on geofencing or targeted marketing may still be captured if offers are received in Australia, creating compliance exposure for international providers who target Australian retail audiences.

Temporal mismatch between commencement and operation dates. The instrument’s general commencement mechanism is the day after registration (s 2). However, s 5(5) specifies that the prohibitions apply on and from 3 May 2021. That creates a situation where the instrument's legal commencement may precede or follow the s 5 effective date, so firms must pay attention to both dates. Section 6’s notification duty refers to the 12 months before commencement and requires notification within 15 business days after commencement, which creates a compressed compliance window.

"Reasonable steps" ambiguity. Section 6 requires binary option providers who issued prohibited products to take "reasonable steps" to notify affected retail clients of the terms of the instrument as soon as practicable and within 15 business days. The instrument does not define "reasonable steps" or the content and format of the notice. That ambiguity raises compliance risk for firms that must decide what measures constitute reasonable notification and how to evidence them.

Absence of enforcement detail. The instrument does not set out specific penalties or enforcement mechanisms. That absence leaves regulated persons uncertain about enforcement risk and the precise consequences of breach. It does not, however, mean regulators lack recourse in the broader Corporations Act.

Time‑limited relief. The instrument is time limited to 18 months subject to judicial intervention (note to s 5). That creates a practical business risk and potential for regulatory whipsaw: firms may reconfigure business models to wait out the instrument, or regulators may seek further order or legislative change before expiry.

Scope limited to retail. The prohibitions target retail clients. Activities directed to institutional or wholesale clients are, on their face, outside the instrument. That invites potential client reclassification strategies but also requires careful adherence to the Act’s definitions of retail and wholesale clients, which the instrument does not reproduce.

No guidance on transitional liabilities or client remediation. The instrument requires notification to prior retail clients but does not mandate refunds, redress or other remediation. Firms will need to consider whether other legal obligations or consumer protection laws create remediation obligations beyond the instrument’s narrow notification duty.

In sum, common "gotchas" are definitional breadth, inclusion of crypto underlyings, the early termination capture, the OTC requirement tied to tradability on licensed markets, the "carries on a business" test, jurisdictional uncertainty for online offers, the ambiguous "reasonable steps" standard for notification, the short notification window, and the absence of explicit enforcement mechanics. Each of these points must be addressed in practical compliance planning.

Compliance obligations under this instrument are narrow in number but demand rapid, discrete actions and interpretive analysis. Compliance steps below follow logically from the instrument’s operative text and focus on cessation of retail dealing, identification and notification of past retail holders, recordkeeping and structural mitigation.

1. Product mapping against the statutory definition. Conduct a legal and factual review of each product to determine whether it meets the binary option definition in s 4(1). The review must assess whether the product is an over‑the‑counter derivative (i.e., not able to be traded on a licensed market), whether the contractual terms specify a condition on the value or amount of an asset, rate, index or commodity at or before an expiry time, whether the payoff structure is predetermined fixed amounts or zero, whether the holder makes payment to the provider, and whether any early termination rights exist that could generate payments on termination (s 4(1)(a)-(b)). Document the analysis and retain it as evidence of good faith.

2. Client classification analysis. Determine which holders are "retail clients" for the purposes of the instrument and the Corporations Act. Because the instrument’s prohibitions apply only in relation to retail clients, firms must reliably segment their client base between retail and non‑retail categories, using the Act’s criteria where applicable. Record the basis for each classification decision.

3. Jurisdictional connection assessment. For each product and client relationship, apply the jurisdictional connectors in ss 5(6)-(9). Assess whether the provider, arranger, agent or arranger for applications is an Australian entity, Australian citizen, or ordinarily resident in Australia, and whether the issue takes place in Australia or whether an offer to issue or to apply for issue has been received in Australia. For cross‑border online offers, document geofencing, IP blocking, targeted marketing restrictions and other measures used to prevent reception of offers in Australia.

4. Cessation of retail issuance and arranging activities. If a product falls within the binary option definition and the jurisdictional connectors indicate the prohibitions apply, immediately cease issuing binary options to retail clients (s 5(1)), cease arranging for the issue of binary options to retail clients (s 5(2)), cease applying for or acquiring binary options as agents on behalf of retail clients (s 5(3)), and cease arranging retail clients to apply for or acquire binary options (s 5(4)). Implement written internal controls, staff training, updated onboarding scripts, platform blocks and compliance attestations to ensure ordinary staff and third‑party distributors are aware and act accordingly.

5. Notification of recent retail purchasers. Identify binary options that were issued to retail clients in the 12 months before commencement that would have been prohibited had the prohibition then been in force (s 6). For each such retail client, take reasonable steps to notify them of the terms of the instrument as soon as practicable and in any case within 15 business days after commencement (s 6). Document the steps taken and the dates on which notifications were sent. Because "reasonable steps" is not defined, use conservative methods: direct written notices by email and post, telephone follow‑up where contact details exist, and retention of delivery/read receipts where possible.

6. Content and form of notification. The instrument requires notification "of the terms of this instrument" (s 6). Ensure the notice sets out the prohibitions in s 5 and the effect on the client’s ability to hold or acquire binary options, plus any operational impacts such as cessation of trading, margin calls or closed positions. Coordinate with legal counsel to avoid creating unintended promises or admissions. Keep a template notice and record each instance of dispatch.

7. Recordkeeping. Maintain contemporaneous records of product mapping analyses, client classifications, jurisdictional assessments, cessation orders issued internally, distributor communications, and notifications to affected retail clients. Those records will be material evidence of compliance and "reasonable steps" if challenged.

8. Contractual and platform remediation. Review platform terms, client agreements and marketing materials to remove or disable pathways that enable retail acquisition of binary options. Implement platform controls to block retail clients from accessing binary option products where appropriate. Update terms of business with distributors and agents to reflect the prohibitions.

9. Restructuring or product redesign. If the business model depends on retail distribution of binary option exposures, consider legitimate restructuring options that remain compliant: pivot to wholesale client offerings where the instrument does not apply, or redesign products to either be exchange‑traded on a licensed market (thereby falling outside the instrument’s OTC definition) or to alter payoff or contractual architecture so that the arrangement no longer meets the s 4 binary option formula. Any redesign should be assessed legally to ensure it does not merely circumvent the intent of the instrument.

10. Legal monitoring and contingency planning. Monitor the Corporations Act provisions referenced in the instrument (for example the limitations in s 1023C and duration under subsection 1023G(2)) and keep watch for court actions that may stay or alter the order. Prepare for the instrument’s expiry at 18 months by creating a business plan for either reintroduction, continued absence from the retail market, or seeking regulatory authorisation if possible. If considering a legal challenge or application for relief, document the legal and factual basis early.

11. Engage external counsel and compliance advisors. Given definitional complexity, ambiguous standards such as "reasonable steps", and the absence of specified sanctions in the instrument, obtain prompt legal advice to refine the product analysis, notification content, and cross‑border measures. Consider seeking written regulatory guidance from ASIC where appropriate to reduce uncertainty.

12. Communicate with counterparties and distributors. Notify distributors, affiliates and third‑party agents immediately about the prohibitions and the need to cease retail‑facing activities.
