What it does
Mechanically, the ASIC Corporations (Post Balance Date Reporting) Instrument 2025/437 grants a limited exemption from the financial reporting requirements in Part 2M.3 of the Corporations Act 2001 (the Act). The exemption, in section 6, permits a relevant entity to include in the notes to its financial statements, for a financial year or half year, a balance sheet (or consolidated balance sheet) that explains the financial effect of material acquisitions and disposals occurring after the end of the reporting period, where strict application of Part 2M.3 would otherwise prevent that inclusion (s 6(1)). The relief applies to companies, registered schemes, registrable superannuation entities and disclosing entities, and specifically extends to retail corporate collective investment vehicle sub-funds (defined as relevant entity in s 5(1) and flagged in s 6(1)).
The instrument was made by an ASIC delegate on 19 September 2025 and comes into force the day after registration on the Federal Register of Legislation (s 2; instrument heading). It is made under subsection 341(1) of the Corporations Act 2001 (s 3) and is expressed to be repealed at the start of 1 October 2030 (s 7). The instrument’s simplified outline (s 4) states its purpose as setting out an exemption to allow presentation of a pro forma balance sheet in notes to explain the financial effect of material post-balance-date acquisitions and disposals, subject to requirements.
The exemption is conditional. Relief is available only where specified tests are met: the relevant transactions must have a material effect on the entity or consolidated entity, and a single-entity or consolidated balance sheet must be included in the notes that is either an actual balance sheet drawn up to a point after the transactions or a pro forma balance sheet prepared on the basis of the actual balance sheet at the end of the period or a later date (s 6(2)(a)(i)-(ii)). Where a pro forma balance sheet is used, the pro forma must be prepared on a basis consistent with the accounting standards, disclose the basis of preparation and key underlying assumptions, and reflect any other material transactions or events after balance date that are necessary to avoid the pro forma being misleading (s 6(2)(b)(i)-(iii)).
