ASIC Corporations (Group Purchasing Bodies) Instrument 2018/751

The instrument builds around a compact set of concepts defined in section 4. The primary concept is the group purchasing body, defined functionally as a body that arranges for the issue of a risk management product or arranges for a person to be covered by an existing risk management product (s 4). That concept is read alongside the definition of group purchase payment, which captures the payment flow from a person to the group purchasing body that, directly or indirectly, enables cover to be provided to that person either by issue to the person or by extension of a product held by the body (s 4). The instrument thus focuses on arrangements where a collective entity intermediates between persons and an issuer of a risk management product.

A second cluster of concepts relates to the kinds of products and schemes covered. "Risk management product" is defined by reference to particular paragraphs of the Corporations Act, namely paragraphs 764A(1)(d), (e) or (f) or paragraph 763A(1)(b), excluding general insurance products that a licensee must not deal in under s 985D of the Act (s 4). "Risk management scheme" is defined as a managed investment scheme under which monies are pooled or used in a common enterprise to confer particular benefits (lower costs, availability of cover, or securing cover on more favourable terms) and where contributors do not have entitlements to distributions other than payments directly attributable to cover or payments from the issuer or licensee for arranging cover (s 4). Further, scheme property is circumscribed to contributions, money borrowed, property acquired with those monies and income derived from those sources (s 4).

Licence statuses and service-provider types are formalised terms in the instrument. A "standard licensee" is defined negatively as a financial services licensee that is not a limited licensee; "limited licensee" is referenced to subsection 989B(4) as modified by regulation (s 4). An "authorised representative" has its statutory meaning (s 4). The instrument also recognises incidental providers, defined as group purchasing bodies that provide financial services only incidentally to another relationship with the persons who will be covered and do not carry on business to make monetary payments to members (s 4).

The instrument introduces constraints on allowable receipts and associations when relying on the relief. A body meeting the requirements in s 5(6) must not receive payments, remuneration or other benefits for providing the relevant financial services except in narrowly defined categories: group purchase payments that are separately identified and equivalent amounts paid to the issuer, payments to cover reasonable costs, rebates passed promptly to covered persons, and payments under multinational pooling arrangements (s 5(6)(a)). The instrument also defines multinational pooling arrangements for a specific cross-border context (s 4).

Operational safeguards are central. Conditions require that group purchase payments operate as discharges of liability between payer and issuer, that covered persons be given prompt notice if cover will not apply or is likely to be cancelled, that the body accept liability to compensate for failures to notify, that a facility exist to verify cover with the issuer or licensee without charge, and that specified written information be given as soon as practicable and before an election to be covered where applicable (s 6(a)-(e)). The instrument therefore pairs exemptions from licensing and conduct obligations with procedural and contractual mechanisms intended to preserve certain protections for covered persons.

Finally, the instrument contemplates administrative control. ASIC may issue a notice excluding a body from relying on the instrument (s 7). Decisions to give or not withdraw such notices can be reviewed by the Administrative Review Tribunal in specified circumstances (s 9). The instrument also makes explicit how it applies to unincorporated bodies by imposing conditions on office bearers and allowing notices to be sent to their addresses (s 8). These procedural mechanisms close the loop between relief, oversight and administrative review.

The instrument defines, and therefore limits, who may rely on the relief and who is affected by the relevant arrangements. Primary actors are group purchasing bodies, the persons who make group purchase payments and are intended to be covered (covered persons), issuers of risk management products, financial services licensees (standard and limited), authorised representatives, members of group purchasing bodies, and ASIC as regulator empowered to withdraw relief (see s 4, s 5 and s 7).

Group purchasing bodies are the central legal subject. The instrument applies whether the body is incorporated or not, subject to modifications for non-incorporated bodies (s 8). If not incorporated, the relief may be relied upon by an office bearer or employee authorised by the body and conditions otherwise imposed on the body are instead imposed on each office bearer (s 8(a), (b)). The instrument therefore shifts legal consequence to office bearers of unincorporated entities.

Members and covered persons are those who stand to receive the cover. "Member" is defined to mean, for a company, a company member, and otherwise a person treated as a member under constituent documents who has agreed to be a member (s 4). The instrument draws a distinction where standard licensees seek to rely on relief: the only persons who will be covered must be officers or employees of the body or their relatives (s 5(4)(a)). This restricts the potential beneficiary population for standard licensees.

Licensees and authorised representatives are categorised as "standard licensee" versus "limited licensee", and the instrument treats them differently. Standard licensees that are group purchasing bodies may rely on exemptions only in narrow circumstances (s 5(4)). Bodies that are not standard licensees also face constraints, including not carrying on a business of issuing risk management products other than interests in a scheme and not providing financial product advice apart from limited advice covered by s 5(2)(c) (s 5(5)). A body that is an authorised representative of a standard licensee is treated similarly to a standard licensee for eligibility purposes (s 5(4)).

Issuers, financial services licensees and their associates are affected economically because the instrument regulates what receipts the group purchasing body may accept, requires equivalent payments to issuers in certain cases, and anticipates rebate flows from issuers that must be passed to covered persons unless the covered person is the body or its associates (s 5(6)(a)(i)-(iii); s 6(e)(iv)). The instrument also contemplates multinational pooling arrangements involving entities incorporated outside Australia and specifies treatment for payments under those arrangements (s 4, s 5(6)(a)(iv)).

ASIC is the decision-maker that can withdraw relief by issuing a notice that a particular body cannot rely on the instrument (s 7). Affected persons include the body and, for unincorporated bodies, each office bearer and employee whose interests are affected by the decision (s 9(5)). Those affected may seek review by the Administrative Review Tribunal of ASIC decisions to give or not withdraw notices under s 7 (s 9(1)-(2)).

Indirectly affected stakeholders include employers (when the arrangement covers employees), insurers and reinsurers (as issuers of risk management products), and advisers who may need to explain the body’s limited licence status to covered persons (s 6(e)(v)-(vi)). The instrument’s definitions and constraints therefore create a closed class of entities and persons who can benefit from the exemptions and place duties primarily on the intermediary body and, in the case of unincorporated bodies, on office bearers and employees.

The instrument creates a package of duties that must be satisfied in order to rely on its exemptions, and it confers specific rights to covered persons and to ASIC as a regulator. The duties are concentrated in sections 5 and 6.

Primary duties to qualify for relief: A group purchasing body relying on the exemptions must satisfy eligibility tests in s 5(4) or s 5(5), depending on licence status. For standard licensees, the body may rely on the exemptions only where the only persons to be covered are officers or employees of the body or their relatives, and either the body is an incidental provider or it meets the requirements of s 5(6) (s 5(4)). For bodies that are not standard licensees, the body must not carry on a business of issuing risk management products other than scheme interests, must not provide financial product advice except as described in s 5(2)(c), and must be an incidental provider or meet s 5(6) requirements (s 5(5)).

Restrictions on receipts and associations: Section 5(6)(a) specifies permissible receipts: (i) group purchase payments separately identified in writing and with equivalent amounts to be paid to the product issuer; (ii) payments to cover reasonable costs; (iii) rebates that the body must promptly pass equivalent amounts to covered persons (other than the body or its associates); and (iv) payments under a multinational pooling arrangement. Section 5(6)(b) prevents non-standard licence bodies from being associates of product issuers or particular licensees, subject to an exception for multinational pooling arrangements.

Operational and disclosure duties: Section 6 imposes several operational duties. Section 6(a) requires that the making of a group purchase payment operate as a discharge of liability between the person and the issuer (where the product is issued to the person), or between the person and the body (where the product is or will be issued to the body), to the extent of the payment. The notes to s 6 indicate this may be achieved by contractual or agency arrangements with the issuer but do not require arrangements that affect the issuer’s right to recover from the body.

Notification and compensation obligations: Section 6(b) requires the body to take reasonable steps to promptly bring to the attention of each person who may reasonably believe they will be covered, where it is not reasonable to expect the cover will apply for the period represented or where the product is or is likely to be cancelled or not renewed, unless the issuer is already obliged to give notice or substantially similar cover will apply (s 6(b)(i)-(iv)). Section 6(c) requires the body to enter an enforceable obligation to compensate any person who suffers loss or damage due to the body’s failure to comply with the notification obligation. The obligation to compensate may be created by contract or deed poll (s 6(c) note).

Verification facility and information rights: Section 6(d) requires the body to establish a facility enabling covered persons, by taking reasonable steps, to verify with the product issuer or an authorised representative or licensee acting on behalf of the issuer, without charge, that the product has been issued and remains current. Section 6(e) requires the body to supply specified written information as soon as practicable after the body has reason to believe the person will be provided with the financial services and, if the person may elect whether to be covered, before the election. The required information includes factual information about the nature and period of cover and the body’s role, a statement that terms and conditions will be provided on request without charge, information on any separately identifiable amounts payable by the person, disclosure of rebates or how they are determined, and tailored statements where the body is not a licence holder or is a limited licensee (s 6(e)(i)-(vii)).

Rights and regulatory processes: Covered persons gain the right to free verification of coverage (s 6(d)) and to receive written information and access to terms and conditions (s 6(e)(ii), (iv)). The body retains the right to rely on the instrument’s exemptions provided it complies with the eligibility criteria and conditions. ASIC retains enforcement and supervisory rights and may issue a notice excluding a body from reliance on the instrument (s 7). Affected persons have a statutory review route to the Administrative Review Tribunal against ASIC decisions under s 7, and the instrument requires ASIC to take reasonable steps to notify the body and affected persons of the decision and review rights (s 9(1)-(3)).

Procedural safeguards and finality: The instrument also contains a procedural rule that failure by ASIC to comply with the notice and information obligations in s 9 does not affect the validity of the decision (s 9(4)). This limits the procedural remedy available for defective notification even while preserving the right to review the merits of the decision.

Collectively, the duties require contractual, disclosure, verification and rebate-passing arrangements that constrain the manner in which group purchasing bodies receive and deploy funds and interact with issuers and covered persons (see s 5 and s 6). Rights are modest and primarily procedural, focused on transparency, access to terms and verification.

The instrument itself does not create criminal offences or specify monetary penalties against particular actors for breach; instead it operates by conferring exemptions that can be withdrawn and by imposing contractual and statutory obligations that enable regulatory oversight and administrative review. Enforcement therefore primarily works through three mechanisms in the instrument: ASIC exclusion notices, contractual obligations imposed on the body, and administrative review rights.

ASIC exclusion notices: Section 7 gives ASIC the power to issue a notice stating that a particular group purchasing body cannot rely on the instrument. Once such a notice is given and not withdrawn, the body loses the ability to rely on the exemptions in section 5. The notice may be given by sending it to the body’s address last known to ASIC (s 7). This is a discretionary regulatory lever that effectively restores the underlying statutory obligations the instrument had relieved the body from, because after a notice the body can no longer rely on the instrument’s exemptions.

Contractual obligations and private enforcement: Several of the instrument’s conditions require bodies to "enter an obligation" or to ensure particular legal effects. For example, s 6(c) requires the body to enter an obligation under which the body is liable to compensate any person who suffers loss or damage as a result of failure to comply with the notification duty in s 6(b). The instrument’s note states that this obligation "may be created in any way, provided it is capable of being enforced," including by contract or deed poll. Such contractual obligations enable private enforcement by affected persons (for example covered persons could enforce an available obligation to obtain compensation), subject to general contract and enforcement law outside the instrument.

Regulatory procedure and review rights: Section 9 establishes a review route to the Administrative Review Tribunal for persons affected by ASIC decisions under s 7. An affected person may apply for review of ASIC’s decision to give a notice under s 7 (s 9(1)), and where ASIC refuses to withdraw a notice following an application by an affected person, that person may apply for review of ASIC’s decision not to withdraw the notice (s 9(2)). ASIC must take reasonable steps to notify the body and affected persons of the decision and of their right to review (s 9(3)), but the instrument also contains a non‑waiver rule: a failure by ASIC to comply with s 9 does not affect the validity of the decision (s 9(4)). The instrument therefore confers a statutory administrative review remedy while insulating ASIC’s decision from invalidation on account of defective notification.

Absence of express sanctions: The instrument does not itself prescribe monetary penalties, suspension rights, or criminal offences for non‑compliance. Instead, non‑compliance has two principal consequences: (1) loss of the exemptions if ASIC intervenes, bringing the parties back within the Act’s ordinary compliance regime; and (2) exposure to private claims where the body has contractual obligations to compensate covered persons (s 6(c)). Additionally, other statutory provisions in the Corporations Act and related regulation may apply where a body is not entitled to rely on the instrument or where it never qualified; the instrument’s note links to ASIC Corporations (Effect of Licensing Exemptions) Instrument 2015/1115 concerning relief from subsection 911B(1) for persons providing services on behalf of an exempt person (s 5(2) note).

Practical enforcement implications: Practitioners should note that ASIC’s notice power is administrative and focused on excluding the relief. The existence of a private compensatory obligation is a direct form of exposure for the body. The instrument’s limited set of permissible receipts and the requirement to pass rebates promptly to covered persons (s 5(6)(a)(iii)) create circumstances in which non‑compliance could give rise to recovery actions. The instrument therefore relies on a mix of administrative supervision and private enforcement rather than on new criminal or pecuniary penalties within the instrument text itself.

This instrument is explicitly made under and interacts with multiple provisions of the Corporations Act 2001 and refers to a separate ASIC instrument and to the Administrative Review Tribunal Act 2024. Its operation is therefore interdependent with the broader statutory scheme governing financial services, licensing and managed investment schemes.

Reference to the Corporations Act: The instrument is made under subsections 601QA(1), 926A(2), 951B(1) and 992B(1) of the Corporations Act 2001 (s 3). It grants relief from specific provisions of the Act, notably subsection 601ED(5) (relief from an obligation in relation to operation of a risk management scheme) and subsection 911A(1) (relief for provision of certain financial services), and for licensees and authorised representatives, relief from Parts of the licensing framework, namely Divisions 2, 3 and 4 of Part 7.7 and Divisions 2, 3, 5 and 6 of Part 7.8 where the financial services are those described in s 5(2) (s 5(1)-(3)). The instrument therefore sits as an exemption instrument under the Corporations Act, deliberately tailoring the Act’s operation for a narrow class of arrangements.

Cross-reference to other ASIC instruments: The instrument’s note in s 5(2) expressly references ASIC Corporations (Effect of Licensing Exemptions) Instrument 2015/1115, which provides relief from subsection 911B(1) of the Act to a person who provides financial services on behalf of a person who does not need a financial services licence because of an exemption under section 926A of the Act. This identifies a chain of exemption reliefs and indicates that the instrument was designed to work with existing ASIC instruments that address intermediary conduct and the effects of licensing exemptions.

Administrative Review Tribunal Act 2024: The instrument defines "decision" by reference to the Administrative Review Tribunal Act 2024 (s 4). Section 9 then creates a review mechanism to the Administrative Review Tribunal for ASIC decisions under s 7. This ties the instrument into the administrative review architecture and means that challenges to ASIC’s exclusion notices are mediated through the Tribunal’s procedural and substantive review powers as defined in the Tribunal Act, rather than in the courts under judicial review provisions. The text also requires ASIC to take reasonable steps to notify affected persons of review rights (s 9(3)), but preserves the validity of the decision even if ASIC fails to give such notice (s 9(4)).

Interaction with managed investment scheme rules: The instrument’s definition of "risk management scheme" as a managed investment scheme with narrowly specified distribution rules (s 4) means that the instrument modifies how certain managed investment schemes operate in practice. Relief from subsection 601ED(5) (s 5(1)) alters compliance obligations applicable to the operation of a scheme of that kind. However, the instrument explicitly constrains scheme property and contributor entitlements to ensure that the scheme does not function like broader pooled-investment schemes that return distributable scheme property to members other than payments attributable to the cover or payments from issuers/licensees (s 4).

Corporations Act definitions referenced but not restated: The instrument adopts several statutory meanings from the Corporations Act, including "authorised representative" (section 761A), "control" (s 50AA), "custodial or depository service" (s 766E), "financial product advice" (s 766B), "issue" and "issuer" (s 761E), and "limited licensee" (subsection 989B(4) as modified by regulation 7.8.12A) (s 4). These cross-references mean that the instrument’s operation depends upon the existing statutory framework and definitions; practitioners must consult the underlying Act for the substantive content of those terms where necessary.

No repeal of underlying obligations: The instrument does not purport to alter the Corporations Act generally beyond granting specified exemptions. Bodies that cannot or do not rely on the instrument (because they do not meet eligibility criteria or because ASIC has issued a notice under s 7) remain subject to the Act in full. In that sense the instrument functions as a conditional carve-out rather than a parallel regulatory regime.

Recordation, compilation and amendment: The compilation endnotes show that the instrument has been amended (Endnotes 3 and 4). Section 4 was amended by instruments in 2018 and 2024 and section 9 was added and later amended (Endnote 4). The instrument’s effectiveness may therefore depend on the latest legislative package, as reflected in its compilation. Practitioners should cross-check the instrument text with the Corporations Act and the cited ASIC instrument 2015/1115 and the Administrative Review Tribunal Act 2024 to determine the full legal position on licensing exemptions, the effects of notices and review paths.

The instrument’s compilation endnotes and legislation history record three primary registration events and a set of amendments that have adjusted definitions and procedural provisions. The initial instrument, ASIC Corporations (Group Purchasing Bodies) Instrument 2018/751, was registered on 18 September 2018 and commenced on 25 September 2018 (Endnote 3). Two amending instruments are recorded in the compilation table: ASIC Corporations (Amendment) Instrument 2018/1098, registered 5 December 2018 and commenced 6 December 2018, and ASIC Corporations (Amendment) Instrument 2024/806, registered 8 October 2024 and commenced 14 October 2024 (Endnote 3).

Endnote 4 provides a provision-level amendment history. It records that Section 2 was repealed (rep. s48D LA), that Section 4 (definitions) was amended by both 2018/1098 and 2024/806, and that Section 9 (the Administrative Review Tribunal review provisions) was added by 2018/1098 and subsequently amended by 2024/806 (Endnote 4). The compilation itself is dated 14 October 2024 and incorporates amendments up to and including F2024L01272, reflecting the 2024 instrument (cover page and About this compilation).

The compilation notes caution that uncommenced amendments and application, saving and transitional provisions that are not included may still affect operation; details of uncommenced amendments are underlined in the endnotes (About this compilation). The endnotes describe the general practice for compilations and the status of modifications and self-repealing provisions. They also include an abbreviation key and the legislative history table summarising registration and commencement dates for the instrument and its amendments (Endnotes 1 to 4).

For practitioners, the key historical facts in the compilation are: the instrument took effect in late 2018; minor technical amendments were made shortly after promulgation in 2018; and a further amendment in 2024 altered definitions and the Tribunal review provision structure. The endnotes show that the instrument’s substance has been treated as fungible for targeted refinement rather than as static, so reliance should be on the compiled text current as at the compilation date.

The instrument itself contains no judicial decisions or litigation references. The text defines "decision" by reference to the Administrative Review Tribunal Act 2024 (s 4) and creates a statutory right to apply to the Administrative Review Tribunal for review of decisions made by ASIC under section 7 (s 9(1)-(3)). The instrument does not name any cases or report litigation outcomes in its endnotes.

Because the instrument functions primarily by granting conditional exemptions and by preserving administrative review rights, disputes that arise will be administrative in character and likely proceed through the Tribunal process provided by the Administrative Review Tribunal Act 2024, where the Tribunal’s procedural and substantive powers will apply to challenges to ASIC exclusion notices (s 9). The instrument does not supply a catalogue of past Tribunal or court rulings. The endnotes record only the instrument’s legislative and amendment history (Endnotes 3 and 4), not litigation.

Practitioners should therefore treat the instrument as creating a statutory administrative review path rather than a body of case law. If litigation or Tribunal decisions interpreting this instrument arise, they will appear in administrative law or Tribunal case records outside the instrument text. The instrument’s own procedural protections and limits , for example that ASIC’s failure to comply with the notice obligations does not affect the validity of the decision (s 9(4)) , may be points of contest in any administrative review, but the instrument does not pre-empt Tribunal outcomes.

In short, the instrument identifies a mechanism for administrative review but contains no litigation history or precedent material within its text. Any party seeking to challenge ASIC action under s 7 should expect to proceed under the Administrative Review Tribunal Act 2024 as the statutory forum referenced in the instrument, and should search Tribunal and court records for subsequent decisions that interpret the instrument’s eligibility, conditionality and procedural rules.

The instrument contains several technical traps and operational constraints that practitioners should note. These points are grounded in explicit text and notes in the instrument.

Narrow eligibility for standard licensees: If the group purchasing body is a standard licensee (or an authorised representative of one), it may only rely on the exemptions if the only persons who will be covered are officers or employees of the body or their relatives (s 5(4)(a)). That is a strict limiting criterion: any broader beneficiary class would exclude reliance by a standard licensee unless the body is an incidental provider or meets the s 5(6) requirements (s 5(4)(b)). Misclassification of the beneficiary population therefore risks invalid reliance on the exemptions.

Permitted receipts tightly constrained: Section 5(6)(a) lists the only payments, remuneration and benefits a body may receive for providing the relevant financial services. In particular, group purchase payments must be separately identified in writing and an equivalent amount must be paid by the body to the product issuer (s 5(6)(a)(i)(A)-(B)). The instrument makes rebates actionable: the body can receive rebates only where it has an obligation to promptly pay an equivalent amount to covered persons who are not the body or its associates (s 5(6)(a)(iii)). Failure to structure payment flows and rebate pass-throughs correctly can result in non‑compliance and loss of the exemption.

Discharge requirement may require contractual or agency arrangements: Section 6(a) requires that a group purchase payment operate as a discharge, as between the person and the issuer or as between the person and the body, to the extent of the payment. The instrument notes that this may, for example, be met by appropriate contractual/agency arrangements with the product issuer (s 6(a) note). Practically this means the body must have enforceable arrangements with the issuer to ensure the payer’s liability is discharged to the correct party; absence of sufficient legal mechanics risks non‑compliance.

Notification and compensation obligations create liability: Section 6(b) requires prompt notice to persons who may reasonably believe they will be covered where the cover will not apply for the period represented or is likely to be cancelled. Section 6(c) then requires the body to enter an obligation to compensate persons who suffer loss because of failure to meet the notice duty. That obligation must be enforceable and may be created in any way, including contract or deed (s 6(c) note). Bodies that neglect to set up these arrangements expose themselves to private claims for compensation.

Verification facility operational burden: Section 6(d) mandates a facility whereby persons can verify with the product issuer or an authorised representative/licensee that the product has been issued and remains current, without charge. Implementing and staffing such a facility, and coordinating with issuers and authorised representatives, is an operational cost and requires reliable processes for real-time verification.

Association constraints for non-standard licensees: Section 5(6)(b) prevents a body that is not a standard licensee from being an associate of persons who issue risk management products (with a multinational pooling exception). This may restrict group purchasing bodies that have corporate links to issuers or licensees, or discourage vertical integration, unless the multinational pooling carve-out applies (s 5(6)(b)).

Rebates and associates caveat: Rebates must be passed promptly to covered persons other than covered persons who are the body or its associates (s 5(6)(a)(iii)). If the covered person is an associate or the body itself, the rebate pass-through requirement does not apply, which creates a potential conflict of interest and a compliance scrutiny point for regulators.

Non‑incorporated body mechanics: Where the body is not incorporated, exemptions may be relied on by an office bearer or employee authorised by the body, and conditions are imposed on each office bearer (s 8(a)-(b)). Notices sent to the body may instead be sent to an office bearer or employee and take effect against the body and each office bearer and employee (s 8(c)). The practical effect is that personal liability and notice exposure shift to individuals, which is an important practical consideration for community bodies and clubs.

ASIC notice finality and limited procedural remedy: ASIC’s exclusion notice in s 7 is operationally final in that once issued and not withdrawn the body cannot rely on the instrument. Although s 9 provides for Tribunal review, s 9(4) makes clear that ASIC’s failure to comply with notice obligations does not affect the validity of the decision. This limits remedies tied to defective notification and emphasises the need to act promptly if a notice is received.

Limited scope of exemptions: The instrument relieves bodies only from the specific statutory provisions named (for example subsection 601ED(5), subsection 911A(1), and specified divisions of Parts 7.7 and 7.8) and only in relation to specified services (s 5(1)-(3)). It does not create a general exemption from the Corporations Act or from other regulatory obligations not mentioned. Practitioners must ensure compliance with other applicable statutory and regulatory duties outside the instrument’s carve-out.

Timing and documentation requirements: Section 6(e) requires that specified written information be given "as soon as practicable" after the body has reason to believe services will be provided and, where the person may elect, before the election is made. Failure to meet these timing requirements, or to make amounts separately identifiable in writing as required by s 5(6)(a)(i)(A), poses a compliance risk.

Compliance with the instrument requires both an eligibility assessment and operational steps to implement the prescribed conditions. The following is a pragmatic checklist of actions grounded in the instrument’s text.

1. Determine eligibility and licence status

• Identify whether the body is a standard licensee, limited licensee, authorised representative, or not a licensee (s 4, s 5(4)-(5)). For standard licensees, confirm that the only persons to be covered will be officers, employees or their relatives (s 5(4)(a)). If the body is not a standard licensee, ensure it does not carry on a business issuing risk management products other than scheme interests and does not provide financial product advice beyond that permitted (s 5(5)(a)-(b)).

2. Decide route to rely on exemptions

• If the body is an incidental provider, confirm the incidental provider definition applies (s 4) and document the incidental nature of financial services. If relying on s 5(6), confirm the body meets the permitted receipts and association criteria (s 5(6)(a)-(b)).

3. Structure payment flows to meet discharge requirement

• Put in place contractual or agency arrangements with the product issuer so group purchase payments operate as a discharge of the payer’s or the body’s liability to the issuer as required by s 6(a). Ensure the group purchase payment is separately identified in a written request for payment or statement and that an equivalent amount will be paid by the body to the issuer (s 5(6)(a)(i)(A)-(B)).

4. Establish and document permissible receipts and rebate pass-through

• Record and segregate group purchase payments and any payments intended to cover the body’s reasonable costs (s 5(6)(a)(ii)). If the body will receive rebates from issuers or licensees, document the obligation to promptly pay equivalent amounts to covered persons other than the body or its associates (s 5(6)(a)(iii)) and put in place administrative processes to effect prompt pass-through.

5. Implement notification and compensation arrangements

• Create and document the procedure to promptly notify covered persons where it is not reasonable to expect cover will apply for the represented period or where the product is or is likely to be cancelled or not renewed (s 6(b)). Draft and execute an enforceable obligation under which the body compensates persons who suffer loss due to failure to notify; ensure the obligation is capable of enforcement (s 6(c)).

6. Set up verification facility and disclosure process

• Establish a no-charge verification facility that enables covered persons, by taking reasonable steps, to verify with the issuer or an authorised representative/licensee that the product has been issued and remains current (s 6(d)). Prepare the written information package required by s 6(e) and integrate its delivery into enrolment or election processes so that it is given as soon as practicable and before any election to be covered.

7. Manage associations and multinational pooling arrangements

• If the body is not a standard licensee, ensure it is not an associate of a product issuer or specified licensees unless the association is limited to a multinational pooling arrangement as defined (s 5(6)(b), s 4). If using a multinational pooling arrangement, document the arrangement elements set out in the definition (s 4).

8. For non‑incorporated bodies, manage office bearer responsibilities

• If the body is unincorporated, authorise an office bearer or employee to rely on the instrument (s 8(a)). Ensure each office bearer understands that conditions are imposed on them individually and that notices may be sent to their address and have effect against them (s 8(b)-(c)).

9. Maintain records and ensure written identification

• Ensure that amounts payable by covered persons that are group purchase payments are separately identified in dollars in written requests or statements (s 5(6)(a)(i)(A); s 6(e)(iii)). Maintain contemporaneous records proving that equivalent amounts were paid to the issuer or that rebates were passed promptly to covered persons.

10. Monitor and respond to ASIC notices

• Be prepared to respond to any ASIC notice under s 7. If ASIC gives a notice excluding reliance on the instrument, obtain immediate legal advice, and consider administrative review under s 9(1)-(2). Note that ASIC must take reasonable steps to notify affected persons and inform them of review rights, but the validity of the decision is not affected by any failure to give notice (s 9(3)-(4)).

11. Regular compliance reviews and training

• Conduct periodic compliance reviews that test: payment routing, rebate pass-through timing, notice procedures, verification facility operation, and that disclosure materials meet the content and timing requirements of s 6(e). Train staff and any authorised representatives on the limitations of the relief and on the content of required disclosures, including specific statements if the body is not a licence holder or is a limited licensee (s 6(e)(v)-(vi)).

12. Coordinate with issuers and advisers

• Negotiate clear contractual arrangements with product issuers and, where appropriate, with financial services licensees or authorised representatives who will act on the issuer’s behalf for verification and disclosure purposes. Document who bears which liabilities and how equilibrium payments are treated under the contractual framework to ensure the discharge mechanics and rebate pass-throughs are operational.

Following these steps aligns operational practice with the instrument’s textual conditions (s 5 and s 6) and reduces the risk of ASIC intervention under s 7. Where uncertainty remains about the scope of permitted conduct in relation to the Corporations Act definitions that are cross-referenced but not reproduced in the instrument (for example the detailed content of "financial product advice" or the regulatory limits on a "limited licensee"), consult the Corporations Act provisions cited in the instrument and, where necessary, seek ASIC guidance or legal advice.
