What it does
This section (labelled 912AH in the source) sets mandatory minimum financial-resource processes and a minimum liquidity buffer for financial services licensees who operate as crowd-sourced funding intermediaries (CSF intermediaries), and it prescribes an annual auditor’s report to ASIC confirming compliance. The provision applies only to CSF intermediaries and excludes several classes of regulated entities and participants (see s 912AH(1)(a)-(b)). Mechanically, it requires each covered licensee to:
- prepare and maintain a written projection of cash flows for at least the next 12 months (with a temporary reference to 3 months in certain timing contexts) and have that projection approved in writing at least quarterly by the entity’s responsible persons (directors, partners, trustees or the natural person licensee), s 912AH(2)(a)-(b);
- document the calculations and assumptions underpinning the projection and why those assumptions are appropriate, s 912AH(2)(c);
- update projections when they cease to cover the required period or where there is reason to suspect material change, s 912AH(2)(d);
- document whether, based on the projection, the licensee will have access when needed to enough financial resources to meet liabilities over the projected period, and whether it will hold at all times during the projection period the amount of cash required by the section, s 912AH(2)(e);
- hold in cash at least 5% of the greater of (i) the pro rata 12‑month cash outflow based on the projection, or (ii) the licensee’s actual cash outflow for the most recent financial year of at least 360 days for which a profit and loss statement has been prepared, s 912AH(2)(f); and
- lodge with ASIC, for each financial year (and any other period ASIC directs), a report by a registered company auditor addressed to the licensee and ASIC (the audit opinion), containing specified assurances and matters the auditor must consider, s 912AH(3)-(4).
