What it does
This instrument, ASIC Corporations (Financial Product Advice - Exempt Documents) Instrument 2016/356, creates targeted exemptions from the requirement to hold an Australian financial services licence (AFSL) for certain forms of general advice that are contained in specified documents. The operative exemption is in section 5. It provides that a person who provides general advice in a document that complies with section 6 need not comply with (1) the requirement in subsection 911A(1) to hold an AFSL for the provision of financial product advice and (2) in the case of a person who is a financial services licensee or an authorised representative of such a licensee, Divisions 2 and 4 of Part 7.7 of the Corporations Act 2001 in relation to that advice (s 5).
Section 6 sets out three narrow categories of document that qualify for the relief. Those categories are: (1) documents prepared in accordance with a requirement of the Corporations Act, another Act, or a disallowable legislative instrument, subject to explicit exclusions (s 6(1)); (2) explanatory statements about compromises or arrangements involving a foreign company and its members where the arrangement is regulated by law in a specified set of jurisdictions and the statement is prepared because it is required by that law (s 6(2)); and (3) offer documents or documents responding to offer documents in connection with transactions to acquire control or a substantial interest in an issuer of securities or a managed investment scheme where the transaction is regulated by law or other rules in a specified list of jurisdictions, where the offer involves acquisition offers to holders of a defined ‘bid class’, and where the document is prepared because such preparation is required by those laws or rules (s 6(3)).
Section 7, added by a later amendment, creates a separate carve‑out for “self‑dealers”: an entity to which subsection 766C(4) of the Corporations Act applies does not have to hold an AFSL for provision to wholesale clients of general advice relating to the entity’s own securities, debentures, stocks or bonds when that advice is contained in a document offering those instruments for issue (s 7). The instrument is expressly made under paragraphs 926A(2)(a) and 951B(1)(a) of the Corporations Act (s 3). The instrument defines only one specialised term, Act, to mean the Corporations Act 2001 (s 4).
