ASIC Class Order [CO 03/1103]

This class order rests on three core concepts: conditional exemption, eligibility linked to Hong Kong regulation, and cross-border regulatory co-operation.

Conditional exemption

• The instrument is not a blanket carve-out. It creates a licence exemption conditional on satisfying the eligibility criteria in Schedule A, meeting the pre-reliance procedural and contractual items in Schedule B(2), and complying with the ongoing operational and notification conditions in Schedule C. The exemption is expressed to operate "under paragraph 911A(2)(l) of the Corporations Act" and applies "in the case referred to in Schedule B" only while those conditions hold.

Eligibility tied to Hong Kong regulation

• Eligibility hinges on being a Hong Kong entity regulated by the SFC: the body must hold a current Hong Kong licence or certificate of registration (Schedule A(a)), and must be either a body corporate incorporated in Hong Kong or a partnership formed in Hong Kong (Schedule A(aa)). The instrument adopts Hong Kong regulatory concepts by reference, for example using the terms "licence" as derived from section 116 of the SFO and "certificate of registration" under section 119 of the SFO (Interpretation).

Scope limited to specified services, products and client type

• The exemption covers: (a) financial product advice, (b) dealing in a financial product, and (c) making a market (Schedule B(1)(a)-(c)). It is limited to certain product classes including derivatives, foreign exchange contracts, securities, government debt, managed investment products, and certain interests in managed investment schemes (Schedule B(1)(d)-(h)). The services must be provided to wholesale clients as defined by section 761G of the Corporations Act (Interpretation; Schedule B(1)).

Inter-regulatory and enforcement mechanism through deed and consents

• The precondition that the body execute an irrevocable deed for the benefit of ASIC and the persons referred to in subsection 659B(1) of the Corporations Act creates a contractual mechanism by which ASIC and those persons can take action or enforce obligations against the body (Schedule B(2)(c)(i)-(iii)). The deed must submit the body to the non-exclusive jurisdiction of Australian courts in proceedings by ASIC or the persons in subsection 659B(1) and covenant to comply with Australian court orders relating to the provision of the financial services (Schedule B(2)(c)(ii)-(iii)). The deed also contains a service-of-process mechanism where the body is not registered under Division 2 of Part 5B.2, enabling service on the Agent (Schedule B(2)(c)(iv)). The instrument requires written consents to disclosure by the SFC to ASIC and vice versa, and a covenant to assist transmissions of information on request (Schedule B(2)(c)(v)-(d)), thus operationalising cross-border information exchange.

Operational standard: "so far as is possible"

• Schedule C(1) requires the body to provide services in Australia "in a manner which would comply, so far as is possible, with the HK regulatory requirements if the financial service were provided in Hong Kong in like circumstances". That wording imports Hong Kong substantive standards while recognising the geographical/regulatory differences. It sets a best-efforts compliance standard rather than imposing Australian statutory standards directly.

Time-sensitive notification and cure windows

• Schedule A(e) and Schedule C(2)(a) create specific timelines: if the body becomes aware of a material failure to comply with a Schedule C requirement, it must provide full particulars to ASIC within 15 business days, and ASIC then has 30 business days to notify the body that it may continue to rely on the instrument (Schedule A(e)(i)-(ii)). Separately, Schedule C(2)(a) requires notification to ASIC "as soon as practicable and in any event within 15 business days" of specified events (significant licence changes, exemptions, or enforcement/disciplinary actions). These timelines structure the information flow between the body and ASIC.

Definitions and interaction points

• The Interpretation section brings in key Corporations Act and Hong Kong SFO definitions (for example, derivative, financial product advice, foreign exchange contract, securities, wholesale client) and defines Agent and HK regulatory requirements. The instrument also notes that subsection 761H(1) affects the operation of the instrument in relation to partnerships through section 761F and subsection 769B(4) of the Act (Interpretation note).

Taken together, these concepts create a framework that allows specified Hong Kong entities to operate in Australia without an Australian financial services licence, provided they submit to contractual access and information-sharing, limit their offerings to wholesale clients and particular products, and maintain continual adherence to Hong Kong regulation to the extent possible.

Directly affected entities

• Hong Kong entities that wish to provide specified financial services in Australia to wholesale clients and that are regulated by the Hong Kong SFC are the primary group affected. The instrument identifies the affected "body" as a foreign company (body corporate or partnership) that (a) holds a current Hong Kong licence or certificate of registration, (b) is incorporated or formed in Hong Kong, (c) has financial services as its primary business, and (d) either is registered under Division 2 of Part 5B.2 of the Corporations Act or has an Agent in Australia who will accept service of process and whose appointment will not lapse for more than 10 consecutive business days (Schedule A(a), (aa), (b)(i)-(ii), (c); Interpretation).

• The instrument also affects any Australian Agent nominated under the instrument. An Agent must be a natural person resident in Australia or a company whose name and address are notified to ASIC, and must be authorised to accept service of process on the body's behalf from ASIC and persons referred to in subsection 659B(1) of the Act (Interpretation).

Customers and client types

• Only "wholesale clients" in Australia are covered as recipients of the exempted services (Schedule B(1), Interpretation referring to section 761G). Retail clients are excluded from the permitted client scope under this instrument. Therefore, Australian wholesale clients receiving the specified services from a Hong Kong body will be affected insofar as they receive the pre-service disclosure required under Schedule C(2)(b) and will engage with a service provider that is not AFS-licenced but regulated in Hong Kong (Schedule C(2)(b)(i)-(ii)).

Regulators and third-party enforcement actors

• ASIC is directly affected as the instrument creates reporting, deed and consent obligations designed to facilitate ASIC oversight and enforcement (Schedule B(2), Schedule C). The SFC is also implicated because the body must provide written consents to the disclosure by the SFC to ASIC and vice versa, and covenant to assist disclosure on written request (Schedule B(2)(c)(v)-(d)). The persons referred to in subsection 659B(1) of the Corporations Act are identified as beneficiaries of the deed and thereby become potential private litigants or enforcement parties under the deed; the instrument does not specify who those persons are, but it expressly makes the deed enforceable by them (Schedule B(2)(c)).

Australian firms and intermediaries

• Australian market participants that deal with or rely on information from these Hong Kong bodies may be indirectly affected. For example, the deed submission to Australian jurisdiction and service-of-process arrangements may alter legal recourse available to counterparties (Schedule B(2)(c)(ii)-(iv)). Australian firms that ordinarily compete with AFS-licensed entities may face competition from Hong Kong bodies operating under the exemption for wholesale business in the covered products and services (Schedule B(1)).

Legal and compliance advisers

• Lawyers and compliance units advising Hong Kong bodies, their Australian Agents, or Australian wholesale clients are affected because the instrument imposes specific contractual form, disclosure content, notification timelines and documentation requirements, and because the standard "so far as is possible" requires legal interpretation and operationalisation against the body’s Hong Kong compliance regime (Schedule B(2), Schedule C(1)-(2)).

Partnerships and special entities

• The instrument notes that subsection 761H(1) of the Corporations Act affects the operation of the instrument as regards partnerships, referring to section 761F and subsection 769B(4). Therefore partnerships formed in Hong Kong and seeking to rely on the instrument must consider those provisions’ effects (Interpretation note).

Who is excluded or constrained

• The instrument allows ASIC to notify that a body is excluded from relying on the instrument; bodies so notified cannot rely on the exemption (Schedule A(d)). Additionally, the exemption only covers specified financial services (advice, dealing, making a market), specific product categories, and only for wholesale clients. Bodies providing other services, to retail clients, or products outside the list are not permitted to rely on the instrument.

In summary, the instrument principally affects Hong Kong SFC-regulated bodies that want to provide discrete services/products to Australian wholesale clients, their nominated Australian Agents, the Australian and Hong Kong regulators (ASIC and SFC), and the wholesale clients and counterparties dealing with those bodies.

This instrument creates a set of conditional rights , the right to operate in Australia without an AFS licence for specified services , and ties those rights to a number of express duties. These are concrete obligations the body must fulfil before and during reliance, and they allocate decision-making authority and procedural obligations between the body, ASIC and the SFC.

Rights

• Conditional exemption: If the body satisfies the conditions in Schedule A and the pre-reliance requirements in Schedule B(2), it may provide the specified financial services in Australia to wholesale clients without holding an Australian financial services licence (Schedules A and B(1)-(2)).

• Right to be treated as exempt unless excluded: The body may continue to rely on the instrument so long as it remains compliant, and unless ASIC notifies that the body is excluded from relying on the instrument (Schedule A(d)).

Duties , pre-reliance

• Evidence of Hong Kong authorisation: The body must provide ASIC with evidence that the licence or certificate of registration required by Schedule A(a) is satisfied, and the evidence must be of a kind that ASIC "has stated in writing is adequate" (Schedule B(2)(a)).

• Notice to ASIC: The body must give ASIC a notice that it will provide financial services in Australia in reliance on the instrument (Schedule B(2)(b)).

• Execution and provision of a deed: The body must provide ASIC with a deed for the benefit of and enforceable by ASIC and the persons referred to in subsection 659B(1) of the Act. That deed must: be irrevocable except with ASIC’s prior written consent; submit the body to the non-exclusive jurisdiction of Australian courts in proceedings by ASIC and the persons in subsection 659B(1); covenant to comply with Australian court orders relating to the financial services; provide for service of process via the Agent if the body is not registered under Division 2 of Part 5B.2; and covenant to enable and assist disclosure between SFC and ASIC upon written request (Schedule B(2)(c)(i)-(v)).

• Provide written consents: The body must provide written consents to the disclosure by the SFC to ASIC and vice versa in such form as ASIC may specify (Schedule B(2)(d)).

Duties , ongoing / operational

• Compliance with HK regulatory requirements insofar as possible: The body must provide each financial service in a manner which would comply, so far as is possible, with HK regulatory requirements if provided in Hong Kong in like circumstances (Schedule C(1)).

• Notifications to ASIC: The body must notify ASIC "as soon as practicable and in any event within 15 business days" of details of significant changes (including termination) to the licence or registration relevant to the services, significant exemptions/relief obtained from HK regulatory requirements relevant to the services, and actions or investigations by the SFC or other overseas regulatory authority of certain kinds (significant enforcement, disciplinary action, significant investigation), with limited exception where notification is prohibited by law (Schedule C(2)(a)(i),(iii),(iv)(A)-(C)).

• Client disclosure: Before providing services in Australia, the body must give written disclosure to each person to whom services are provided in Australia, containing prominent statements that (i) the body is exempt from the requirement to hold an Australian financial services licence under the Act for those services, and (ii) the body is regulated by the SFC under Hong Kong laws, which differ from Australian laws (Schedule C(2)(b)(i)-(ii)).

• Compliance with ASIC directions: The body must comply with any written notice from ASIC directing it to lodge a written statement containing specified information about any financial service provided in Australia, within the time specified in the notice (Schedule C(2)(c)).

Duties , fault reporting and cure mechanics

• If the body becomes aware (or reasonably should have become aware) of matters that give it reason to believe it has failed, other than in an immaterial respect, to comply with a requirement in Schedule C, the body must ensure two time thresholds are met for continuing reliance: (a) it must not allow 15 business days to pass without providing full particulars of the failure to ASIC (to the extent known or discoverable on reasonable enquiry); and (b) it must not allow 30 business days to pass from ASIC receiving those particulars without ASIC notifying that it may continue to rely on the instrument (Schedule A(e)(i)-(ii)). Those provisions create a reporting-and-cure window tied to continued eligibility.

Agent duties

• The Agent must be authorised to accept service of process from ASIC and, in relation to proceedings relating to a financial services law, from any person referred to in subsection 659B(1) of the Corporations Act, and its name and address must be notified to ASIC (Interpretation: Agent). The body must maintain an Agent and must not fail to have an Agent for any consecutive period of 10 business days from the time it first purports to rely on the instrument (Schedule A(b)(ii)).

ASIC’s discretionary and enforcement powers embedded in the instrument

• ASIC can assess the adequacy of evidence of Hong Kong licensing (Schedule B(2)(a)), specify the form of consents for inter-regulatory disclosure (Schedule B(2)(d)), give written directions requiring lodging of specified statements (Schedule C(2)(c)), and notify that a body is excluded from reliance (Schedule A(d)). The deed required by Schedule B(2)(c) also effectively grants ASIC and the persons in subsection 659B(1) contractual enforcement rights and a forum for proceedings in Australian courts.

Consequences of non-compliance

• The instrument does not state criminal penalties itself. It conditions the exemption on compliance and provides ASIC with means to exclude a body from reliance (Schedule A(d)), and obliges the body to submit to Australian jurisdiction and to accept service through an Agent; failure to perform could therefore expose the body to court proceedings by ASIC or third parties and to the loss of the exemption.

Collectively, the instrument grants an exemption as a right conditional on a package of duties designed to enable oversight, disclosure and enforcement by Australian authorities and specified third parties. The duties allocate the principal compliance burdens and reporting obligations to the Hong Kong body and its Australian Agent, and give ASIC discretions (to accept evidence, to specify consent forms and to exclude bodies) that affect the body’s ability to rely on the exemption.

The class order itself does not create novel statutory criminal or civil penalties. Instead, it establishes contractual and procedural mechanisms that enable ASIC and specified persons to exercise enforcement powers under existing Australian law and to limit or terminate a body's ability to rely on the licence exemption.

Primary enforcement mechanisms in the instrument

• Exclusion by ASIC: Schedule A(d) provides that the exemption does not apply if either the body or its Agent "has been notified by ASIC that the body is excluded from relying on this instrument". That is a direct administrative mechanism to remove the exemption in response to compliance or other concerns.

• Deed enforceability and submission to jurisdiction: Schedule B(2)(c) requires the body to provide a deed that is enforceable by ASIC and persons under subsection 659B(1) of the Corporations Act. The deed must submit the body to the non-exclusive jurisdiction of Australian courts in legal proceedings conducted by ASIC and by persons referred to in subsection 659B(1), and covenant to comply with any order of an Australian court in respect of any matter relating to the provision of the financial services (Schedule B(2)(c)(ii)-(iii)). These contractual undertakings create a route for ASIC and third parties to obtain remedies in Australian courts and to enforce orders against the body.

• Service of process via Agent: If the body is not registered under Division 2 of Part 5B.2, the deed must provide that service of process in proceedings brought by ASIC or persons referred to in subsection 659B(1) can be effected by service on the Agent (Schedule B(2)(c)(iv)). That mechanism reduces the transactional difficulty of bringing proceedings against a foreign entity by permitting Australian service through the Agent.

• Information disclosure and co-operation covenant: The deed must covenant that, on the written request of either the SFC or ASIC, the body will give or vary written consent and take all practicable steps to enable SFC to disclose to ASIC and ASIC to disclose to SFC any information or document the SFC or ASIC has relating to the body (Schedule B(2)(c)(v)). This provides an enforcement-relevant pathway for regulatory co-operation and evidence-sharing between ASIC and the SFC.

Indirect enforcement through loss of exemption

• Non-compliance with the conditions in Schedules A or C, including the reporting timelines and disclosure duties, may lead to ASIC notifying exclusion and therefore to the body losing the right to operate in Australia without an AFS licence. Loss of the exemption would expose the body to the full range of licensing requirements and potential contraventions under the Corporations Act if it continued to provide services without an AFS licence.

ASIC’s procedural powers under the instrument

• Schedule B(2)(a) allows ASIC to state in writing whether the evidence of the Hong Kong licence is "adequate". Schedule C(2)(c) allows ASIC to give written notices directing the body to lodge specified written statements within prescribed times, which the body must comply with. Those provisions give ASIC administrative levers to require information and to determine whether prerequisites for reliance on the exemption have been met.

No express statutory fines or criminal penalties in the instrument

• The class order does not itself specify fines, civil penalty amounts, or criminal offences for breach of its conditions. Instead, enforcement will proceed through ASIC's standard powers under the Corporations Act and related enforcement mechanisms (for example court proceedings and orders). The deed's covenant to comply with Australian court orders implicitly exposes the body to court-ordered remedies enforceable against its assets, reputation and operations.

Practical enforcement implications

• The contractual nature of the deed and the Agent service mechanism lower practical barriers to bringing proceedings in Australia. The 15-business-day and 30-business-day reporting and cure windows (Schedule A(e) and Schedule C(2)(a)) create predictable timelines for ASIC to act and for the body to correct or explain non-compliance before losing the exemption. ASIC also controls the form of evidence and consents required, giving it gatekeeping power over who may rely on the instrument.

In sum, enforcement under this instrument is achieved by a combination of: (a) administrative exclusion by ASIC; (b) contractual submission to Australian courts and covenant to comply with orders via the required deed, enforceable by ASIC and certain third parties; (c) service-of-process arrangements through an Australian Agent; and (d) mandated inter-regulatory co-operation with the SFC. The instrument itself does not create new penalties, but it enables existing Australian enforcement routes to be exercised effectively against the foreign body.

This class order interacts with and references multiple parts of the Corporations Act 2001, the Hong Kong Securities and Futures Ordinance 2002 (SFO), and the SFC regulatory regime. The instrument operates as an exemption under the Corporations Act and imports definitions and legal concepts from both Australian and Hong Kong law.

Statutory base and Corporations Act linkage

• The instrument is made under paragraph 911A(2)(l) of the Corporations Act 2001, and it exempts specified persons from the requirement to hold an Australian financial services licence (opening paragraph). It explicitly references several Corporations Act provisions by defining key terms with reference to Act sections; for example, "derivative" references section 761D, "financial product advice" references section 766B, "financial services law" references section 761A, "foreign exchange contract" references section 761A, "making a market" references section 766D, "securities" references section 761A, and "wholesale client" references section 761G (Interpretation).

Division 2 of Part 5B.2 and registration

• Schedule A(b)(i) conditions eligibility on being registered under Division 2 of Part 5B.2 of the Corporations Act, or otherwise having an Agent as set out in Schedule A(b)(ii). The instrument thus coordinates with the registration mechanisms in that Division. If an entity is registered under that Division, certain service-of-process and registration implications may differ compared with an entity that relies on an Agent for service (Schedule B(2)(c)(iv); Interpretation: Agent).

Section 659B(1) connections

• The deed required by Schedule B(2)(c) must be for the benefit of and enforceable by "the other persons referred to in subsection 659B(1) of the Act". The instrument does not recapitulate the content of subsection 659B(1), but by invoking it the instrument creates contractual rights for those persons under Australian law and aligns enforcement prospects with the persons that the Corporations Act identifies in that subsection.

Definitions sourced from the SFO and the SFC regime

• The instrument imports Hong Kong terminology and statutory bases: "licence" and "registration" are defined with reference to sections of the SFO, such as licences under section 116 and certificates of registration under section 119 of the SFO (Interpretation). It defines "HK regulatory requirements" as rules that apply to the financial services in Hong Kong, including applicable legislation, instruments made under that legislation and relevant policies or other documents issued by the SFC (Interpretation). Thus operational compliance may require reference to Hong Kong statutory and regulatory materials. The deed and consents required create an information-sharing bridge between ASIC and the SFC (Schedule B(2)(c)(v) and (d)).

Interaction with Corporations Act definitions of clients and products

• By specifying that services must be provided to "wholesale clients" (Schedule B(1) and Interpretation), the instrument requires bodies to apply the Corporations Act's client classification rules (section 761G) when dealing with Australian recipients. The instrument also draws on Corporations Act product definitions for what kinds of products are covered by the exemption (Interpretation referencing sections 761A, 761D, 766B, 766D).

Notification and reporting obligations in relation to overseas regulators

• Schedule C(2)(a)(iv) specifically requires notification to ASIC of actions or investigations taken by the SFC or other overseas regulatory authorities in relation to matters arising in foreign jurisdictions. The instrument therefore creates a reporting interface with overseas enforcement action and effectively extends the reach of Australian reporting requirements to events in other regulatory jurisdictions.

Partnerships and other Act provisions

• The instrument notes that subsection 761H(1) of the Corporations Act affects the operation of this instrument in relation to partnerships through section 761F and subsection 769B(4) of the Act (Interpretation note). Consequently, the interaction with those provisions may alter how partnership entities rely on the exemption or how certain definitions apply to partnerships.

Administrative and evidentiary interactions

• ASIC retains discretion to determine whether the evidence of Hong Kong authorisation is adequate and the form of written consents for disclosure between regulators (Schedule B(2)(a), (d)). Those discretionary determinations are administrative actions under the Corporations Act regime and may be subject to procedural fairness or judicial review challenges in appropriate circumstances, although the instrument itself does not address review mechanisms.

No substitution of Australian law for Hong Kong law, but an expectation of HK-compliant practice

• Schedule C(1) requires the body to provide services in a manner that would comply, "so far as is possible", with the HK regulatory requirements as if the service were provided in Hong Kong. This imports Hong Kong regulatory standards into the operational expectations of Australian activity without directly substituting Australian law for Hong Kong standards. The instrument thus relies on cross-jurisdictional regulatory equivalence or compatibility rather than imposing Australian substantive requirements.

In sum, the class order is a cross-border regulatory instrument that operates within the Corporations Act framework, requires alignment with Hong Kong licensing and regulatory standards under the SFO/SFC regime, uses Australian client and product definitions for scope, and creates contractual and information-sharing ties that permit ASIC to enforce Australian regulatory expectations in practice.

The class order as compiled includes a history of amendments and instruments that altered specified schedules and the interpretation note. The Table of Instruments and Table of Amendments in the compilation identify the dates and instrument numbers that have modified the class order (Notes at end).

Chronology of instrument-making and commencement

• Original Class Order: [CO 03/1103], made 23 December 2003, commenced 23 December 2003 (Table of Instruments).

• Subsequent amending instruments and commencement dates:

  • [CO 04/100], made/registered 4 February 2004, commenced 17 February 2004.
  • [CO 05/308], made/registered 17 May 2005, commenced 17 May 2005.
  • [CO 10/737], made/registered 6 September 2010, commenced 7 September 2010.
  • [CO 12/572], made/registered 3 July 2012, commenced 3 July 2012.
  • [CO 12/1266], made/registered 25 September 2012, commenced 25 September 2012.

Amendments by instrument and affected provisions

• The Table of Amendments in the compilation specifies which schedules and the interpretation note were affected by the listed class orders. The chart records the following changes:
  • Schedule A was amended by [CO 04/100], [CO 05/308], and [CO 12/572].
  • Schedule B was amended by [CO 10/737].
  • Schedule C was amended by [CO 04/100], [CO 05/308], [CO 12/572], and [CO 12/1266].
  • The Interpretation note was amended by [CO 04/100].

Nature of amendments

• The compilation does not reproduce the prior text versions or the specific amendment language. It records only which provisions were amended and by which instruments, and the dates on which those amending instruments were made and commenced. The precise content of each amendment is therefore not set out in the instrument text provided, beyond the fact of amendment and the schedules affected.

Practical implication of amendment history

• The amendment table signals that the instrument was updated at multiple points over a near-decade period after its original making. Those updates affected eligibility criteria (Schedule A), scope conditions (Schedule B), operational and reporting duties (Schedule C), and interpretative clarifications (Interpretation). ASIC’s periodic updates imply an administrative willingness to adjust the terms of the exemption, including tightening or clarifying requirements relevant to bodies relying on the instrument.

Commencement continuity

• The compilation indicates that the current consolidated form of the class order was prepared on 25 September 2012, taking into account all amendments up to CO 12/1266 (see opening paragraph of the compilation). Each amending instrument has its own commencement date which, for practical purposes, would produce transitional or application consequences if particular bodies relied on earlier versions before the amendment dates; however, the compilation does not set out specific transitional provisions in the table.

Where to find amendment text

• The compilation identifies the instrument numbers and dates which can be used to locate the amending class orders and to examine the precise textual changes made by each amendment. The table serves as a map to those instruments.

In short, the class order has been amended several times since 2003, with the main changes affecting the eligibility provisions (Schedule A), scope provisions (Schedule B) and ongoing conditions (Schedule C), and with an interpretative note also amended. The consolidated form provided reflects amendments up to 25 September 2012.

The class order compilation supplied does not record any litigation or court decisions relating to the instrument. The text contains no references to cases, judicial interpretations or proceedings arising from the class order itself. The instrument requires the body to submit to Australian jurisdiction and to accept service of process (Schedule B(2)(c)(ii)-(iv)), and it grants enforceability of the deed to ASIC and persons referred to in subsection 659B(1) (Schedule B(2)(c)), but it does not cite any litigation history or report any court decisions interpreting its terms.

What the document does record about potential litigation routes

• The instrument explicitly contemplates legal proceedings by ASIC and persons referred to in subsection 659B(1) and requires contractual submission to Australian courts and service-of-process arrangements to facilitate such proceedings (Schedule B(2)(c)(ii)-(iv)). That establishes the procedural framework for future litigation, but does not record any actual litigation having occurred.

Implication for practitioners

• Because the instrument itself contains no litigation history, practitioners must look beyond the instrument to external sources (court databases, regulatory enforcement announcements, and legal reporting services) to identify whether ASIC, wholesale clients or other parties have brought proceedings under the deed or for breaches of the conditions attaching to the exemption. The instrument’s absence of litigation references is a neutral fact in the compilation.

This instrument contains multiple operational and legal details that can catch practitioners and regulated entities if not handled precisely. The "gotchas" below are drawn directly from the class order text and highlight timing, scope, contractual entrenchment, and evidentiary discretion risks.

Agent continuity and the 10 business day rule

• If a body relies on an Agent rather than registration under Division 2 of Part 5B.2, it must have an Agent at the time it first purports to rely on the instrument, and from that time must not fail to have an Agent for any consecutive period of 10 business days (Schedule A(b)(ii)). A lapse of more than 10 consecutive business days in maintaining an Agent risks breaching the eligibility condition and thus losing the exemption.

ASIC discretion over adequacy of evidence and consent forms

• The instrument requires the body to provide evidence that it holds a current Hong Kong licence or certificate "that ASIC has stated in writing is adequate" and requires written consents in such form as ASIC specifies in writing (Schedule B(2)(a) and (d)). ASIC therefore controls the evidentiary threshold and consent format, and bodies cannot unilaterally assume that standard documents will suffice.

Irrevocability of deed except by ASIC consent

• The required deed must be "irrevocable except with the prior written consent of ASIC" (Schedule B(2)(c)(i)). That limits the body’s ability to alter or rescind the deed unless ASIC consents. For a foreign entity, that may restrict corporate flexibility in restructuring or altering dispute resolution arrangements unless ASIC agrees.

Deemed submission to Australian courts and covenants to comply with orders

• The deed must submit the body to the non-exclusive jurisdiction of Australian courts for proceedings by ASIC and the persons in subsection 659B(1) and covenant to comply with any Australian court order relating to the financial services (Schedule B(2)(c)(ii)-(iii)). This removes practical forum barriers for claimants and compels the foreign body to accept Australian court authority in relevant disputes.

Ambiguity of "so far as is possible"

• Schedule C(1) requires providing services "in a manner which would comply, so far as is possible, with the HK regulatory requirements if the financial service were provided in Hong Kong in like circumstances". That standard is fact- and context-dependent and may produce uncertainty about what operational changes are required when the Australian context materially differs from Hong Kong. Operationalising "so far as is possible" may trigger disputes about the adequacy of compliance measures.

Narrow client and product scope , wholesale only

• The exemption is limited to wholesale clients (Schedule B(1)). If a body misclassifies a client and provides services to a retail client under the exemption, it risks contravening the Corporations Act because the instrument does not authorise services to retail clients. The classification rules under section 761G of the Corporations Act therefore become critical, but the instrument does not restate those rules.

Timely notification obligations and cure windows

• Schedule C(2)(a) imposes a 15 business day notification window for significant licence changes or regulatory actions. Schedule A(e) then requires that if the body becomes aware of a material failure to comply with Schedule C, the body must not allow 15 business days to pass without providing full particulars to ASIC and must not allow 30 business days to pass from ASIC's receipt of those particulars without ASIC notifying that it may continue to rely on the instrument (Schedule A(e)(i)-(ii)). These dual timing obligations can be operationally demanding; missing them can jeopardise entitlement to rely on the exemption.

Mandatory client disclosure wording

• Schedule C(2)(b) mandates written disclosure to recipients before services are provided, with prominent statements that the body is exempt from the Australian licensing requirement and is regulated by the SFC under Hong Kong laws that differ from Australian laws. The instrument prescribes the content elements but not precise wording; failure to make such disclosures or to make them prominently before service commencement is a compliance breach.

Information sharing and consent obligations

• The deed must covenant to assist SFC and ASIC disclosure on written request (Schedule B(2)(c)(v)), and the body must supply written consents to such disclosure in forms ASIC specifies (Schedule B(2)(d)). Refusal, delay or inadequate consent forms could impede the body’s ability to rely on the instrument, given ASIC’s control over the consent form.

Dependence on Hong Kong regulatory status

• The entire exemption is premised on holding a "current licence or certificate of registration" in Hong Kong (Schedule A(a)). Significant changes to that licence, or disciplinary/enforcement action by the SFC in Hong Kong, trigger reporting obligations and may lead to exclusion by ASIC (Schedule C(2)(a)(i),(iv); Schedule A(d)). Entities must therefore monitor and report their Hong Kong regulatory status carefully.

Enforceability by persons under subsection 659B(1)

• The deed must be enforceable not only by ASIC but by "the other persons referred to in subsection 659B(1) of the Act" (Schedule B(2)(c)). That can expand the class of potential litigants who can sue under the deed, and the instrument does not describe those persons, so parties must examine subsection 659B(1) directly to understand who may bring enforcement actions.

No express statutory penalty clause

• The instrument does not set out penalties for breach of the class order terms, but breaches will expose the body to loss of exemption and to standard Australian enforcement remedies available to ASIC or third parties under the Corporations Act or through the deed (Schedules A and B). Entities cannot assume the absence of an explicit penalty clause means absence of enforcement risk.

Partnership considerations

• The note at the end says subsection 761H(1) affects partnerships' operation of the instrument through section 761F and subsection 769B(4) (Interpretation note). This signals special rules for partnerships that users must check; the class order does not itself spell out those partnership-specific effects.

In sum, the main operational "gotchas" are timing and continuity requirements for the Agent, ASIC’s discretion over evidence and consent forms, the irrevocable nature of the deed, the ambiguity of compliance expectations in Australia relative to Hong Kong ("so far as is possible"), the narrow client/product scope, and the need to manage inter-regulatory disclosure and reporting obligations promptly and precisely. Practitioners should plan for these specific contractual and operational commitments before a body first purports to rely on the instrument.

Complying with this class order requires a sequence of pre-reliance steps, ongoing operational controls and monitoring processes. The steps below follow the instrument’s structure and cite relevant schedules and paragraphs to guide implementation.

Pre-reliance checklist (must be completed before providing services in reliance on the exemption)

1. Confirm Hong Kong authorisation and gather evidence.

   • Ensure the body has a current licence or certificate of registration in Hong Kong (Schedule A(a); Interpretation: licence, certificate of registration).
   • Prepare documentary evidence of that licence/certificate and submit it to ASIC in a form ASIC deems adequate; contact ASIC in advance if uncertain about what evidence will be accepted (Schedule B(2)(a)).

2. Confirm corporate form and jurisdiction.

   • Verify the body is either a company incorporated in Hong Kong or a partnership formed in Hong Kong (Schedule A(aa)). If a partnership, confirm how subsection 761H(1), section 761F and subsection 769B(4) affect reliance (Interpretation note).

3. Decide registration vs Agent route for service of process.

   • If the body is registered under Division 2 of Part 5B.2, ensure registration is current (Schedule A(b)(i)). If not, appoint an Agent in Australia before first relying on the instrument. The Agent must be a resident natural person or a company, must be authorised to accept service of process from ASIC and persons in subsection 659B(1), and must be notified to ASIC (Schedule A(b)(ii); Interpretation: Agent).
   • Put processes in place to ensure the Agent’s appointment cannot lapse for more than 10 consecutive business days once reliance begins (Schedule A(b)(ii)).

4. Prepare and provide the deed required by Schedule B(2)(c).

   • Draft a deed that is irrevocable except with ASIC’s prior written consent, that submits to the non-exclusive jurisdiction of Australian courts in proceedings by ASIC and persons under subsection 659B(1), covenants to comply with Australian court orders relating to the financial services, provides that service of process may be effected by service on the Agent if the body is not registered under Division 2 of Part 5B.2, and covenants to enable disclosure between the SFC and ASIC on written request (Schedule B(2)(c)(i)-(v)).
   • Ensure the deed is enforceable by ASIC and the persons in subsection 659B(1). Obtain legal advice on enforceability under both Hong Kong and Australian law before execution.

5. Provide written consents for regulator-to-regulator disclosure.

   • Prepare and provide written consents permitting the SFC to disclose to ASIC and ASIC to disclose to the SFC any information or documents each regulator holds relating to the body, in the form ASIC specifies (Schedule B(2)(d) and (c)(v)). Contact ASIC to obtain the specified consent form.

6. Submit notice of reliance.

   • Provide ASIC with a notice that the body will provide financial services in Australia in reliance on the instrument (Schedule B(2)(b)).

Operational compliance and monitoring (ongoing)

1. Maintain primary business focus and licensing status.

   • Ensure the body’s primary business remains the provision of financial services (Schedule A(c)). Monitor the Hong Kong licence or registration to ensure it remains current, and prepare to notify ASIC promptly of any significant changes (Schedule C(2)(a)(i)).

2. Align operational practices with HK regulatory requirements "so far as is possible".

   • Document how Australian operations will comply, as far as practicable, with HK regulatory requirements for the same service in like circumstances (Schedule C(1)). Keep records evidencing the body’s efforts and any material differences analysed against the HK requirements.

3. Implement a notification regime.

   • For events listed in Schedule C(2)(a) , significant licence changes including termination, significant exemptions or relief obtained from HK regulatory requirements relevant to the services, and significant enforcement, disciplinary action, or investigations by the SFC or other overseas regulators , notify ASIC "as soon as practicable and in any event within 15 business days" of becoming aware (Schedule C(2)(a)(i),(iii),(iv)).
   • If you become aware, or reasonably should have become aware, of matters that give reason to believe you have failed (other than immaterially) to comply with Schedule C, prepare full particulars and submit them to ASIC within 15 business days; monitor ASIC’s response within the subsequent 30 business days to confirm continued reliance (Schedule A(e)).

4. Prepare client disclosure documents.

   • Prepare a written disclosure document to be provided to all persons in Australia to whom financial services are provided, containing prominent statements that the body is exempt from the Australian AFS licensing requirement for the services and that it is regulated by the SFC under Hong Kong laws which differ from Australian laws (Schedule C(2)(b)(i)-(ii)). Ensure the disclosure is provided before services are provided.

5. Be ready to comply with ASIC notices.

   • Maintain information systems and reporting templates so that if ASIC directs the body to lodge a written statement containing specified information about any financial service provided in Australia, the body can comply within the time specified in the direction (Schedule C(2)(c)).

6. Maintain records and proof of compliance.

   • Keep copies of all notifications to ASIC, copies of the deed and consents given, records of client disclosures, Agent appointment documents, and documentation evidencing compliance with HK regulatory requirements. These records support responses to ASIC enquiries and potential enforcement matters.

Practical steps for Agent management

• Ensure the Agent has authority and capacity to accept service; record the Agent’s contact details and notification to ASIC; set reminders and backup arrangements so that the Agent assignment does not lapse for more than 10 consecutive business days; and coordinate with the Agent regarding any prospective litigation or regulatory process that may involve service through the Agent (Schedule A(b)(ii); Schedule B(2)(c)(iv)).

Governance and legal coordination

• Establish a cross-border compliance team including Hong Kong and Australian legal advisers and compliance officers to interpret "HK regulatory requirements" and to operationalise "so far as is possible" compliance in the Australian context (Interpretation; Schedule C(1)). Keep the SFC informed as required and ensure timely response to any SFC requests or investigations.

Engage with ASIC on forms and evidence

• Because ASIC specifies the adequacy of evidence and the forms of consents, engage ASIC early to confirm acceptable documentary evidence of Hong Kong authorisation and to obtain the prescribed consent forms. Early engagement reduces the risk that ASIC will reject the submissions and delay reliance.

Testing and periodic review

• Conduct periodic compliance audits covering the required disclosures, reporting timelines, Agent continuity, deed obligations, and alignment with HK regulatory standards. Ensure remedial steps for any identified deficiencies can be executed within the 15- and 30-business-day windows set out in Schedule A and Schedule C.

In short, compliance requires pre-reliance legal and documentation steps (evidence, notice, deed, consents, Agent appointment), continuous operational alignment with HK regulatory standards, robust monitoring and reporting processes with tight timelines, and close engagement with ASIC to ensure the evidentiary and consent forms meet ASIC’s specifications.
