Asian Infrastructure Investment Bank Act 2015

The Act operates around a small set of defined and operational concepts. The principal definitional items are Bank, Bank Agreement, and the ordinary meaning of payment that expressly includes foreign currency (s4). Bank is defined as the Asian Infrastructure Investment Bank (s4). Bank Agreement is defined specifically as the Articles of Agreement done at Beijing on 29 June 2015, as amended from time to time (s4). The Act thereby imports obligations and institutional features from that external instrument into the scope of domestic authorisation, without restating those obligations in full.

Payments is a core concept and is used in two linked ways. First, s5 permits Australia to make payments where Australia is "required, under the Bank Agreement, to subscribe to shares" or to make instalments on such subscriptions (s5(1)). Second, s5(2) authorises Australia to make "any other payment to the Bank that Australia is required to make in accordance with the Bank Agreement." The Act therefore ties domestic authorisation to external requirements in the Bank Agreement rather than to fixed domestic amounts.

Promissory notes are a second main concept. The Minister may, on behalf of Australia, make promissory notes and issue them to the Bank (s6(1)). The Act prescribes the features of those promissory notes: non‑negotiable; non‑interest‑bearing; payable to the Bank at par value upon demand (s6(2)). The promissory‑note mechanism is an alternative or adjunct means of meeting payment obligations under the Bank Agreement, and the appropriation in s7 expressly covers payments under promissory notes so long as they were made for purposes of meeting obligations under the Bank Agreement.

Privileges and immunities are the third main concept and are handled by a delegated power. Section 8 allows regulations to confer on the Bank and on specified classes of individuals such privileges and immunities as are "necessary or desirable" to give effect to Chapter IX and specified articles of the Bank Agreement (s8(1)-(3)). The classes of individuals listed include Governors, Directors and Alternate Directors, the President, Vice‑Presidents, other officers and employees, and experts and consultants performing missions or services for the Bank (s8(2)-(3)). Section 8(4) clarifies that the privileges and immunities conferred are "in relation to the operation of the laws of the Commonwealth and of the laws of the States and Territories." Section 8(5) states that this section does not limit the International Organisations (Privileges and Immunities) Act 1963, which remains available.

Regulations are a procedural concept. The Governor‑General is authorised to make regulations prescribing matters required or permitted by the Act or necessary or convenient to give effect to the Act (s9). The Act specifies that the minister must announce the day Australia becomes a member of the Bank by notice in the Gazette, and that that notice is not a legislative instrument (s2 table, column 2). Commencement mechanics are therefore tied to both Royal Assent and a ministerial announcement (s2 table).

Finally, appropriation is a constitutional-fiscal concept embedded in the Act. Section 7 appropriates the Consolidated Revenue Fund for the purposes of making payments under s5 and for payments under promissory notes issued under s6 provided the notes were made to satisfy obligations contained in the Bank Agreement. That is, the Act creates express statutory authority for public expenditure arising from the Bank Agreement obligations and associated promissory notes.

These concepts interlock: the Bank Agreement gives rise to payment obligations; the Minister may issue promissory notes or make payments; the Consolidated Revenue Fund is appropriated for those aims; and regulations may be made to give effect to immunities and privileges for the Bank and identified persons, consistent with particular parts of the Bank Agreement.

The Act primarily affects four categories of actors: the Commonwealth (executive and Treasury), the Bank (the Asian Infrastructure Investment Bank), specified categories of individuals associated with the Bank, and third‑party claimants or litigants who might otherwise seek to enforce Commonwealth, State or Territory laws against the Bank or those individuals.

Commonwealth actors: The Minister gains express authority to issue promissory notes on behalf of Australia (s6(1)) and to make payments under s5 where required by the Bank Agreement. The Governor‑General is given power to make regulations under s9. The appropriation in s7 routes fiscal consequences to the Consolidated Revenue Fund, thereby affecting Budget and Treasury processes because funds required to meet Bank obligations or to honour promissory notes issued for that purpose are authorised by this Act. The commencement table imposes an administrative duty on the Minister to announce the date Australia becomes a member by notice in the Gazette (s2 table, column 2). The Act does not allocate detailed administrative responsibilities beyond those roles, but it brings executive decision‑making on payments, promissory notes and regulations within the bounds of the authorisations it creates (ss5-9).

The Bank: The Act provides a domestic mechanism by which Australia can make share subscriptions and other required payments to the Bank and can issue promissory notes to it (ss5-6). It also gives the executive the capacity to confer privileges and immunities on the Bank by regulation to the extent necessary to implement Chapter IX of the Bank Agreement (s8(1)). The Bank stands to receive payments and potentially benefit from immunities within Australia if and when regulations are made.

Individuals associated with the Bank: The Act lists categories of persons who may be the subject of immunities and privileges under regulations: Governors, Directors, Alternate Directors, the President, Vice‑Presidents, other officers and employees, and experts and consultants performing missions or services for the Bank (s8(2)-(3)). Those persons may, as a result of regulations, acquire immunities in relation to operation of Commonwealth, State and Territory laws (s8(4)). The Act does not itself confer the immunities; it leaves that to regulations. It also does not, in the operative text, identify the content, scope, or limits of the immunities beyond their purpose to give effect to specified portions of the Bank Agreement.

Third‑party litigants and regulators: The conferral of immunities by regulation could affect the legal remedies available to private parties, claimants, or law enforcement authorities seeking to apply Commonwealth, State or Territory law to the Bank or to the identified categories of persons (s8(4)). Because s8(5) expressly preserves the International Organisations (Privileges and Immunities) Act 1963, there may be parallel regimes under which immunities operate. However, the Act itself imposes no criminal sanctions, civil liability regimes, or administrative penalties on private parties; its effect on them is indirect via the immunities power and via Australia’s overseas obligations under the Bank Agreement which drive financial commitments.

Other stakeholders: Parliament is affected in that the appropriation for payments is set in primary legislation (s7), although practical Budget effects will follow contingent obligations as agreed in the Bank Agreement. State and Territory governments may be affected by any immunities that are made applicable to the operation of their laws, because s8(4) covers both Commonwealth and State and Territory laws. The Act requires a Gazette notice of Australia’s membership commencement date, which imposes a procedural obligation on the Minister (s2 table).

The Act therefore concentrates decision and fiscal power in executive hands (Minister and Governor‑General by regulation) over a narrow set of actions, while creating potential legal insulation for the Bank and particular categories of persons. The practical reach of the Act into private conduct is mediated by the regulations that may be made under it and by the external requirements contained in the Bank Agreement which the Act enables the Commonwealth to meet.

The Act is primarily enabling and permissive in form; it creates duties and rights for the executive, and potential legal effects for the Bank and specified individuals through delegated regulation. The key duties, powers and entitlements are these.

Ministerial powers and administrative duties: The Minister is expressly authorised, on behalf of Australia, to make and issue promissory notes to the Bank (s6(1)). The Minister also bears the administrative duty to announce, by notice in the Gazette, the day Australia becomes a member of the Bank (s2 table, column 2). The Act does not set out additional internal procedural requirements for the Minister in making payments or issuing promissory notes beyond the form requirements for promissory notes in s6(2).

Promissory note rights and constraints: Promissory notes issued under s6 are required by the Act to be non‑negotiable, non‑interest‑bearing and payable to the Bank at par on demand (s6(2)). Those statutory constraints define the Commonwealth’s contractual position when using promissory notes as an instrument to meet obligations under the Bank Agreement. The Act does not, however, prescribe further contractual provisions, such as choice of law, dispute resolution clauses or timing beyond being payable on demand.

Payments: Section 5 authorises Australia to make payments required under the Bank Agreement, specifically share subscriptions and instalments, and "any other payment to the Bank that Australia is required to make in accordance with the Bank Agreement" (s5(1)-(2)). The use of the term "may" indicates an enabling posture. Where the Bank Agreement requires a payment, the Act gives domestic authorisation for Australia to make that payment. The Act therefore functions as the domestic fiscal and legal pathway to meet international obligations under the Bank Agreement.

Appropriation: Section 7 provides that the Consolidated Revenue Fund is appropriated for payments under s5 and for payments under promissory notes made under s6, on the condition that those promissory notes were made for the purpose of meeting Bank Agreement obligations (s7). That appropriation gives the executive a domestic funding mechanism that avoids separate annual appropriation for those specific purposes, subject to the statutory text.

Regulations and conferral of immunities: The Governor‑General may make regulations to confer privileges and immunities on the Bank and on the named categories of people, "as are necessary or desirable" to give effect to Chapter IX and specified articles of the Bank Agreement (s8(1)-(3)). The conferral is limited to privileges and immunities in relation to the operation of Commonwealth and State and Territory laws (s8(4)). This means the executive can create rules that modify how domestic laws apply to the Bank and to those individuals to implement international obligations. The Act does not itself expand or define the content of those immunities beyond linking them to particular parts of the Bank Agreement.

Preservation of other statutes: Section 8(5) explicitly provides that this section does not limit the International Organisations (Privileges and Immunities) Act 1963. That is a right of preservation for the 1963 Act: the new Act does not displace or restrict its operation.

Absence of enforcement rules and penalties: The Act contains no provisions creating offences, administrative penalties, enforcement mechanisms, or direct civil causes of action in relation to the matters it authorises. No statutory process for challenging payments, promissory notes, or regulations is set out within the Act. Any procedural or substantive process would be the product of other laws or of the form of regulations that the Governor‑General may make pursuant to s9.

In summary, the Act imposes few classic "duties" on private actors. Its principal encoded duties are on the executive: the Minister’s announcement duty (s2 table), the Minister’s power and implied responsibility in issuing promissory notes (s6), and the Governor‑General’s regulation‑making power (s9). It confers fiscal authority (s7) and potential legal effects through regulations that may confer immunities on the Bank and named officials (s8).

The Act contains no express criminal penalties, civil penalties, or administrative sanctioning mechanisms. It does not create offences for non‑compliance, nor does it establish enforcement agencies or prescribe judicial remedies tied to the matters within the Act. The Act’s operational provisions concern authorisation and appropriation rather than enforcement.

Payments and promissory notes: Sections 5 and 6 authorise payments and promissory notes but do not prescribe enforcement mechanisms for defaults by either party. The promissory notes are to be made non‑negotiable, non‑interest‑bearing and payable at par on demand (s6(2)). The Act does not state what domestic remedies exist if the Bank seeks to enforce a promissory note and Australia fails to pay; nor does it create a statutory enforcement regime for ensuring the Commonwealth satisfies Bank Agreement obligations. Enforcement of financial obligations would therefore be governed by the terms of the Bank Agreement, the form of the promissory notes issued, and the general law. The Act does not confer express statutory enforcement privileges to the Bank beyond authorising payments and promissory notes.

Regulations conferring immunities: Section 8 permits the making of regulations to confer privileges and immunities on the Bank and specified persons to give effect to particular chapters and articles of the Bank Agreement (s8(1)-(3)). Those regulations, when made, will determine the degree to which domestic laws apply to the Bank and the identified individuals. The Act, however, does not itself state enforcement consequences for breach of immunities, nor does it create sanctions for mis‑use of immunities. Enforcement of any limits or exceptions to immunities would be determined by the text of the regulations and by the interaction with existing statutes, including the International Organisations (Privileges and Immunities) Act 1963 which s8(5) preserves.

Regulatory instruments and judicial review: The Governor‑General is empowered to make regulations necessary or convenient to give effect to the Act (s9). The Act states the Minister must announce the day Australia becomes a member by Gazette notice and that the notice is not a legislative instrument (s2 table). The Act does not specify procedural requirements for the making of regulations beyond what is standard for regulations made by the Governor‑General. The Act does not address whether regulations under this Act are subject to disallowance by Parliament, though regulations in Australia in general are typically legislative instruments subject to parliamentary oversight; the Act’s text does not create its own special disallowance regime.

Absence of statutory review or reporting: The Act contains no express periodic reporting requirement to Parliament or statutory review clause setting a review date. It contains no mandate for publication of promissory notes, payment schedules, or for Parliamentary appropriation beyond the general appropriation in s7. The only explicit publication duty is the Minister’s requirement to announce the date of membership in the Gazette (s2 table). Stakeholders seeking enforcement or accountability information would therefore rely on other processes, such as general parliamentary budgetary oversight, freedom of information, and conventional constitutional controls on expenditure and regulation.

In short, enforcement under the Act is mainly indirect. Financial obligations will be enforceable according to the Bank Agreement and the specific promissory notes; domestic immunities and privileges will be given effect by regulations the Governor‑General may make; and the Act itself provides no statutory penalties, supervisory body, or bespoke enforcement mechanisms.

This Act is designed to operate alongside, and to give domestic effect to, obligations under the Bank Agreement. The Act expressly interacts with several bodies of domestic and international law; those interactions are limited and are constrained by specific textual clauses.

Bank Agreement as external driver: The Act repeatedly ties domestic authorisation to obligations "under" or "in accordance with" the Bank Agreement (s5(1)-(2); s7). The Bank Agreement is defined in the Act as the Articles of Agreement done in Beijing on 29 June 2015, as amended from time to time (s4). The Act therefore imports the Bank Agreement as the source of substantive obligations and leaves the content of payments and immunities to that external treaty instrument. Any legal consequences that stem from the Bank Agreement are domestically actionable only to the extent this Act and any regulations provide the necessary authorisation.

Appropriation and the Consolidated Revenue Fund: Section 7 appropriates the Consolidated Revenue Fund for payments under s5 and for payments under promissory notes made pursuant to s6 so long as the promissory notes were issued for the purpose of meeting Bank Agreement obligations (s7). This appropriation creates a specific link between international obligations and domestic fiscal authorisation, and interacts with the constitutional and statutory framework governing the Consolidated Revenue Fund. The Act does not purport to alter broader appropriation procedures, but it does remove the need for separate annual appropriation for the specified Bank payments by providing a head of appropriation in the Act itself.

Privileges and immunities, and the International Organisations (Privileges and Immunities) Act 1963: Section 8(5) states that s8 does not limit the International Organisations (Privileges and Immunities) Act 1963. That preserves the operation of the 1963 Act and means that any conferral of privileges and immunities under this Act operates in addition to, and not in derogation of, the 1963 Act. Section 8(4) further clarifies that the privileges and immunities conferred by regulations are "in relation to the operation of the laws of the Commonwealth and of the laws of the States and Territories", thereby interacting with state and territory law as well as federal law. The precise legal effect will depend on the content of regulations and the existing statutory regimes in each jurisdiction.

Regulatory law and the Governor‑General’s powers: The Governor‑General is empowered to make regulations as to matters required or permitted by this Act or necessary or convenient to give effect to this Act (s9). Those regulations will sit within the general law on delegated legislation and will be subject to the usual rules and constitutional limits on regulations. The Act specifies that the Minister’s Gazette notice of the membership date is not a legislative instrument (s2 table), which means it is outside the formal legislative instrument regime though still a public administrative act.

Constitutional and administrative law: By appropriating the Consolidated Revenue Fund and authorising the Minister to issue promissory notes, the Act interacts with constitutional principles governing public expenditure, executive authority and the making of international agreements. The Act does not purport to alter the constitutional distribution of powers, nor does it override other statutes. It provides statutory authority for specified executive acts so that payments and immunities are supported by domestic legislation, which may be relevant to administrative law challenges based on unlawfulness of executive acts. The Act contains no express non‑derogation clause for other federal statutes beyond s8(5) and s8(4), so regulatory instruments and payments will have to be made and operated consistently with other Commonwealth, State and Territory law unless immunities are expressly conferred by regulation.

Interaction with private law and enforcement: The Act does not itself create substantive private law rights or liabilities, nor does it alter procedural rules in courts directly. However, once privileges and immunities are conferred by regulation under s8, those regulations can change how domestic laws apply to the Bank and to the identified persons, which may affect tort, contract, employment, taxation and other private law claims. The exact interaction depends on the content of the regulations and on the interplay with existing state and federal statutes.

In summary, the Act is an enabling statute that connects domestic legal authority and appropriation to an international instrument, while preserving pre‑existing domestic regimes such as the International Organisations (Privileges and Immunities) Act 1963. Its practical legal interactions will largely arise from the content of the Bank Agreement and from regulations the Governor‑General may make under s9 and s8.

The Act as provided contains only its original enactment materials and a commencement table; there are no textual amendments recorded in the supplied text. The Act indicates its assent date and has an express commencement schedule in s2. The commencement table establishes that:

• Sections 1 and 2 (short title and commencement) and anything not elsewhere covered commence on the day the Act receives Royal Assent, which the Act records as 13 October 2015 (s2 table row 1).

• Sections 3 to 9 commence on the later of: (a) the day after Royal Assent; and (b) the day Australia becomes a member of the Asian Infrastructure Investment Bank. The Minister must announce the day Australia becomes a member by notice in the Gazette, and that notice is not a legislative instrument (s2 table row 2).

The table includes an editorial note that column 3 information is not part of the Act and may be edited in published versions (s2(2)). The Act carries a formal Note associated with the definition of the Bank Agreement indicating where the Bank Agreement could, in 2015, be viewed: on the Bank’s website or on the AustLII Australian Treaties Library (s4 note). The Act also contains the parliamentary dates for the Minister’s second reading speeches in the House of Representatives and the Senate (13 August 2015 and 7 September 2015 respectively), and indicates assent was on 13 October 2015.

There are no recorded amendments or schedules in the supplied text. The Act’s provisions permit the Bank Agreement to be updated "as amended from time to time" within the definition (s4), which means the domestic referent is the Bank Agreement as it changes, but the Act itself contains no mechanism for Parliamentary approval of amendments to the Bank Agreement; amendment to the Agreement will stand as the updated external instrument to which the Act refers. The Act does not include sunset clauses, review triggers, or expiry dates.

Because the supplied material is the original text, any later amendments, repeals, or judicial modifications are not included here. The Act’s note that the commencement table relates only to the provisions "as originally enacted" indicates that later versions might contain amendment history externally but none is present in the provided text.

The supplied Act text contains no references to litigation, no named cases, and no statutory citations to judicial decisions. The Act does not list any judicial interpretations, and there is no schedule or note indicating subsequent litigation or judicial consideration. The Act does include the parliamentary second reading speech dates (House of Representatives on 13 August 2015 and Senate on 7 September 2015) and the assent date (13 October 2015), but these are legislative history materials and not judicial decisions.

Because the Act is enabling and leaves many operational details to the executive and to the external Bank Agreement, litigation that might arise in the future would likely concern the application or scope of regulations conferring immunities, the enforceability of promissory notes, or disputes about whether particular payments were required "in accordance with the Bank Agreement" (s5(2)). However, none of that litigation appears in the supplied text. The Act does not refer to, incorporate, or rely on any judicial authority, nor does it cite any case law.

If readers require post‑enactment litigation history, that information is not in the Act as provided and would have to be obtained from case law databases, parliamentary records or government releases outside this text. Within the boundaries of the supplied material, there is no litigation history to report.

The Act’s brevity and enabling form create several specific practical and legal points to watch. These are mechanistic, grounded in the Act’s text, and indicate where implementation choices or details not specified in the Act could have material effect.

"May" language and executive discretion: The Act repeatedly uses permissive language. Australia "may" make payments under s5 and the Minister "may" make promissory notes under s6. That means the Act authorises but does not compel action. The scope and timing of payments therefore depend on obligations under the Bank Agreement and on executive decisions. Practitioners should note that domestic authorisation exists, but it does not itself fix obligations until the external instrument (the Bank Agreement) imposes them.

Promissory notes constrained in form but not in content: Promissory notes must be non‑negotiable, non‑interest‑bearing and payable at par on demand (s6(2)). The Act does not address other contractual terms such as governing law, jurisdiction, waiver provisions, or remedies in event of default. Those matters will matter in practice for enforceability and risk allocation but are not specified by the Act. The non‑interest‑bearing feature means the Commonwealth will not pay interest on amounts outstanding under such notes, as a statutory rule.

Appropriation linked to purpose: Section 7 appropriates the Consolidated Revenue Fund for payments under s5 and for payments under promissory notes made under s6, "so long as the promissory notes were made for the purposes of making a payment that Australia is required to make to the Bank in accordance with the Bank Agreement" (s7). That wording creates a conditional link between promissory notes and appropriation. If a promissory note is issued for a purpose other than to meet Bank Agreement obligations, the statutory appropriation in s7 would not, on its face, cover payments under that note. The drafting thus confines the fiscal cover to notes issued in the specific context of Bank Agreement obligations.

Regulations and the subjective standard "necessary or desirable": Section 8 authorises regulations to confer such privileges and immunities "as are necessary or desirable" to give effect to the specified parts of the Bank Agreement (s8(1)-(3)). "Necessary or desirable" invites executive judgment and is broader than a strictly necessary test. The exercise of that discretion could result in a range of immunities being conferred. The Act does not define the outer limits of what is "desirable", so the precise scope of immunities will rest on the content of regulations and potential judicial review of their validity under general administrative law principles.

Interaction with the International Organisations (Privileges and Immunities) Act 1963: Section 8(5) states this section does not limit the 1963 Act. That preserves a separate statutory route for privileges and immunities. Practically, this means there may be more than one legal path by which immunities can be conferred, and stakeholders should check both regimes when assessing legal consequences.

State and Territory laws covered: Section 8(4) makes clear that privileges and immunities conferred by regulations are "in relation to the operation of the laws of the Commonwealth and of the laws of the States and Territories." That language indicates any immunities can have effect in relation to state and territory law as well as federal law. This raises practical questions about co‑operation with state and territory governments and how immunities will operate in local courts and tribunals.

No enforcement, reporting or review clauses: The Act does not contain reporting obligations to Parliament about payments, promissory notes issued, or regulations made under s8 and s9. The only explicit publication requirement is the Gazette notice of the membership date (s2 table). There is hence potential information asymmetry for Parliament and the public absent separate administrative publication or Parliamentary oversight.

Gazette notice is not a legislative instrument: The commencement table requires the Minister to announce by notice in the Gazette the day Australia becomes a member, and it states that the notice is not a legislative instrument (s2 table). That places a formal act outside the legislative instrument regime which normally carries certain parliamentary oversight and tabling requirements. Practically, the Minister’s notice will be an administrative declaration rather than a statutory instrument.

No specification of amounts or timing: The Act does not provide figures, schedules or timing for share subscriptions or other payments. Those details come from the Bank Agreement. Practitioners must therefore work from the Bank Agreement and subsequent executive decisions to understand actual fiscal commitments.

Consequences for third parties depend on regulations: Because immunities are conferred by regulation, the effect on litigants, employees and contractors will depend on the detailed terms of those regulations, not on the Act itself. Until regulations are made, the legal position remains largely as before.

In sum, the "gotchas" are not hidden legal penalties but are procedural and practical: the Act delegates major detail to the Bank Agreement and to executive instruments, it limits appropriations to promissory notes issued for Bank Agreement purposes, and it creates a broad but unspecified power to confer immunities that can have significant effects once exercised.

For government officials (Treasury, Attorney‑General’s Department, Department of Foreign Affairs and Trade, Ministerial offices) and agencies implementing the Act, the compliance pathway consists of a limited set of actions and administrative checks rooted in the Act’s text.

1. Membership announcement and commencement:

• The Minister must announce the day Australia becomes a member of the Bank by notice in the Gazette (s2 table, column 2). The notice is not a legislative instrument. Compliance requires drafting and publishing the Gazette notice in accordance with federal publishing procedures and recording the date for the purposes of commencement under s2.

2. Assessing payment obligations under the Bank Agreement:

• Before making payments under s5, officials should identify whether a payment is one "required, under the Bank Agreement, to subscribe to shares" or "required to be made in accordance with the Bank Agreement" (s5(1)-(2)). That assessment requires reviewing the current text of the Bank Agreement as amended (s4). Documentation should be retained showing the source provision in the Bank Agreement that triggers the payment authorisation.

3. Promissory notes issuance:

• If using promissory notes as a mechanism to meet obligations, the Minister may issue them on behalf of Australia (s6(1)). Such notes must be drafted in conformity with s6(2): non‑negotiable, non‑interest‑bearing and payable to the Bank at par on demand. Any legal, accounting and treasury teams involved should ensure the promissory notes’ language conforms to those statutory constraints and that other contractual elements are consistent with Crown negotiation policies. Officials should also document the purpose of each promissory note to ensure the appropriation in s7 applies.

4. Appropriation documentation:

• Section 7 provides an appropriation from the Consolidated Revenue Fund for payments under s5 and for payments under promissory notes made under s6 provided the notes were issued to meet Bank Agreement obligations. Agencies should maintain clear records linking each payment or promissory note to the relevant Bank Agreement obligation to demonstrate that the statutory appropriation covers the expenditure. If a promissory note is issued for another purpose, separate appropriation processes may be required.

5. Regulations conferring privileges and immunities:

• If it is necessary or desirable to confer privileges and immunities to give effect to Chapter IX or to Articles 50 and 51 of the Bank Agreement, the Governor‑General may make regulations under s9 and s8. Compliance steps include preparing regulatory instruments that accurately mirror or implement the relevant articles of the Bank Agreement, consulting with state and territorial counterparts given s8(4) covers state and territory laws, and ensuring that the regulations are consistent with the International Organisations (Privileges and Immunities) Act 1963, since s8(5) preserves that Act. Legal review is necessary to ensure that regulations are within the delegated power and do not exceed what is "necessary or desirable" to implement the Agreement.

6. Publication and parliamentary processes:

• Although the Gazette notice of membership is not a legislative instrument, regulations under s9 will be instruments for which normal drafting, registration and tabling processes apply. Ensure regulations are prepared in accordance with the Legislative Instruments Act and standard drafting practice, and that they are notified to Parliament as required.

7. Recordkeeping and audit:

• Because the Act authorises appropriation from the Consolidated Revenue Fund, accounting and audit procedures should record payments, promissory notes and the legal basis for each to support audit by relevant bodies and to assist Parliament in oversight. Document the link between payments/promissory notes and enabling Bank Agreement provisions.

8. Liaison with states and territories:

• Given s8(4) contemplates immunities in relation to the operation of the laws of the States and Territories, coordinate with state and territory legal advisers when preparing regulations to understand local legal consequences and to secure any necessary administrative arrangements.

9. Contingency planning:

• Because the Act contains no enforcement mechanisms and minimal reporting requirements, develop internal processes for crisis management around disputes or claims involving the Bank or its officials. Ensure there are arrangements for legal representation and for managing potential claims where immunities might be asserted or challenged.

10. Internal legal advice and policy clearance:

• Before issuing promissory notes or making payments, secure formal legal advice confirming that the Bank Agreement obligation exists and that the proposed instrument complies with s6(2). For regulations, secure advice on constitutional validity and the scope of the delegated power to ensure that instruments fall within "necessary or desirable" bounds.

For private sector stakeholders, lawyers and accountants advising clients:

• If advising organisations or individuals contracting with the Bank or engaging with Bank personnel in Australia, monitor the Federal Register of Legislation for regulations made under s8 and s9, because such regulations may change the legal rights and remedies available in Australia.

• Where potential claims may involve the Bank or listed Bank officials, check whether the relevant immunities are in place before commencing proceedings. The Act itself does not confer immunities until regulations are made.

• For financial compliance, understand that payments to the Bank authorised by the Act are a charge on the Consolidated Revenue Fund, and that promissory notes will be non‑interest‑bearing and payable on demand; this may affect counterparties’ risk assessments.

Overall, compliance under the Act is a mix of precise statutory form requirements (e.g. content of promissory notes, Gazette notice), legal linkage to the Bank Agreement, and prudent administrative practice to ensure that payments and regulations are backed by documentation demonstrating they fall within the Act’s authorisation.
