Art Gallery Act 1959

Definitions and bodies

• Board (s 4 and s 5). The Act preserves the corporate body as “The Board of the Art Gallery of Western Australia” with perpetual succession, a common seal and capacity to hold and dispose of property subject to statutory limits (s 5(2)). Courts must take judicial notice of its seal (s 5(3)). The Board is the primary decision maker for gallery operations.
• Appointed members and membership numbers (s 6). The Board consists of eight members, seven appointed by the Governor (including chairman and vice chairman) and one ex officio member who is the chief executive officer of the Department for the Arts, now called Department of Culture and the Arts (see s 6(1), note 3). Appointed members’ terms are up to four years and are renewable (s 7).
• Director and officers (s 16). The Act establishes a Director, appointed by the Governor on the Board’s recommendation (s 16(1a)). The Director is the Board’s principal executive, manages the Art Gallery and must comply with Board directions (s 16(2), (2a)). Other officers are appointed by the Board (s 16(1b)).
• Foundation (ss 28A-28C). The Act establishes The Art Gallery of Western Australia Foundation as a separate body corporate with a Council as its governing body (s 28A(1)-(3)). The Foundation’s statutory object is to attract and retain community interest and financial support for the gallery and to encourage donations for the State collection and facilities (s 28A(4)). The Minister may make rules, on the Board’s recommendation, to implement detailed governance and financial arrangements for the Foundation (s 28C).

Financial architecture

• Accounts (ss 22(2); 28B(1)). The Board has an agency special purpose account called The Art Gallery of Western Australia Account under the Financial Management Act 2006 to receive appropriations, Foundation transfers, proceeds of disposals, income, gifts and other moneys (s 22(1) and (2)). The Foundation has its own account (s 28B(1)).
• Investment and Treasurer control (s 22(3)-(5); s 28B(3)). Funds in the Board’s Account may be invested temporarily as the Treasurer directs (s 22(4)). The Board may invest funds not immediately required in a class of investments authorised by law prior to the Trustees Amendment Act 1997 (s 22(5)). The Treasurer’s approval is required for account operation and temporary investment directions (s 22(3)-(4)).
• Borrowing and State guarantee (s 20A). The Board may borrow on the Treasurer’s guarantee but only with the Treasurer’s prior written approval of terms and conditions and on such security as the Treasurer requires (s 20A(1)-(6)).

Property and transfers

• Vesting of personal property from Trustees (s 19(1)). Personal property held by the pre‑existing Trustees for gallery purposes is transferred to the Board on commencement. The Minister may direct on doubtful transfers and that direction is binding (s 19(2)-(3)).
• Vesting of real property by proclamation (s 20(1A)-(1B)). The Governor may proclaim that specified land and buildings from the Museum and Art Gallery of Western Australia schedule are vested in the Board. The Board may not dispose of such land without the Governor’s written consent (s 20(2)), and any land other than vested land requires Governor consent for disposal, with the exception of leases for establishing branch galleries (s 20(3)).

Operational powers and restrictions

• Core functions and powers (s 18). Care and control of gallery and related assets, receipt and application of parliamentary moneys, acquiring, selling, lending and exhibiting works, publishing and education, advising regional governments on galleries, establishing branches, charging fees for services or admission, operating or leasing restaurants, and enabling necessary ancillary activities (s 18(1)-(2)).
• Fees and commercial activities (s 18(2)(h)-(j)). The Board may impose fees for admission or services, operate restaurants itself or lease space for commercial activity, and permit other activities necessary or incidental to gallery functions.

Governance overlay

• Minister, Governor, and Treasurer roles. The Governor makes appointments, and may remove members (ss 6, 8). The Treasurer controls borrowing approval, guarantees, and investment directions (s 20A; s 22). The Minister can direct on property questions (s 19(2)) and makes rules for the Foundation on the Board’s recommendation (s 28C). The Financial Management Act 2006 and Auditor General Act 2006 apply to the Board (s 28).
• Regulatory powers. The Governor may make regulations for board procedures, admission and exclusion, handling of works, and penalties up to $50 for regulatory breaches (s 29(1)-(2)(h)).

The Act thus combines a statutory corporate governance model with delegations to an executive Director, a parallel private fundraising vehicle, and strong financial controls by the Treasurer and Governor over borrowing and land transactions.

Listed groups and practical stakeholders

• Board members and deputies. Appointed members, chairman and vice chairman are appointed by the Governor (s 6, s 11). They are entitled to travel and other expenses as the Governor determines (s 15). Members are not public service officers by operation of s 14, although a member who is a public servant retains their public service rights.
• The Director and gallery staff. The Director is the principal executive officer, appointed by the Governor on the Board’s recommendation (s 16(1a), (2)). Other officers are appointed by the Board (s 16(1b)). Staff previously employed by the pre‑existing Trustees are deemed employed by the Board on commencement and retain accruing rights (s 21(4)-(6)).
• The Treasurer and Department executives. The Treasurer must approve borrowing terms, guarantees and security for loans (s 20A(2)-(5)). The chief executive officer of the Department for the Arts is an ex officio member (s 6(1)(b)), and in their absence may nominate a senior officer to act on meetings (s 10(1a)). Financial controls are exercised through the Financial Management Act account provisions (s 22(2), s 28B(1)).
• Donors, bequestors and the Foundation. All gifts and bequests to the gallery are deemed gifts to the Board post‑commencement (s 21(1)). The Foundation is established to attract donations and may hold funds in its own account, which may be transferred to the Board subject to directions (s 28A(4); s 28B(1)-(3)). Donors therefore interact with both the Foundation and the Board, with the statutory rule that gifts to the gallery are Board property (s 21(1)).
• Lenders and financiers. Any external lender must satisfy the Treasurer’s security conditions for loans guaranteed by the State (s 20A(1), (3)-(5)). The Treasurer controls the annual aggregate borrowing amount (s 20A(4)).
• Tenants and commercial operators. The Board may lease parts of the gallery for restaurants and other commercial uses, and may operate restaurants itself (s 18(2)(i)). The Board may also enter leases to establish branch galleries without Governor consent (s 20(3)).
• Regional councils and local governments. The Board may advise and assist local governments and bodies approved by the Minister on establishing, controlling and managing regional art galleries (s 18(2)(f)). That creates an avenue for partnerships and conditions set by the Board.
• Members of the public and patrons. The public are subject to admission fees if the Board sets them (s 18(2)(h)), and may be excluded or expelled under regulations (s 29(2)(d)). The Board may set restrictions on examination and handling of works (s 29(2)(e)-(f)).
• Courts, prosecutors and enforcement bodies. The Board can prosecute offences and is represented in summary proceedings by an officer authorised by the chairman (s 27(1)). Courts take judicial notice of the Board’s seal (s 5(3)), and a prosecution or civil proceeding may state generally that the property is the Board’s property (s 24).

Who bears costs, who benefits and who decides

• Public purse and taxpayers. Parliamentary appropriations are a primary funding source (s 22(1)(a)). Borrowing with the Treasurer’s guarantee creates potential contingent liabilities for the State subject to Treasurer controls (s 20A).
• Donors and members of the Foundation. Donors supply private funds to the Foundation and Board (ss 21, 28B), gaining whatever legal certainty the Act provides about application of gifts.
• Private commercial operators and tenants. They can gain access to museum foot traffic via leases authorised by the Board (s 18(2)(i)), but are subject to Board terms and state property consent regimes where land is vested (s 20).
• Board and gallery staff. The Board takes responsibility for care, custody and disposition of works (s 18(1)(a); s 19), and staff’s employment continuity is protected on vesting (s 21(4)-(6)).

In sum, the Act affects governance actors, funders, the public, financiers and local governments. The statutory design creates concentrated decision rights with the Governor and Treasurer over appointments, land and borrowing, while operational discretion over collections, exhibitions, fees and commercial activities sits with the Board and Director.

Duties and responsibilities of the Board

• Care and control of gallery, lands and works (s 18(1)(a)(i)-(ii)). The Board must, through the Director, undertake care and control of the Art Gallery, lands and premises placed under its care, and all works of art and personal property acquired for the Act’s purposes. That is a core statutory duty and the basis for other powers.
• Application of parliamentary funds (s 18(1)(b)). The Board must receive and apply moneys voted by Parliament for the purposes of the Act. This imposes an accountability link between appropriation and use.
• Corporate powers to acquire, dispose, loan and exhibit works (s 18(2)(a)-(d)). The Board may receive, take or purchase works, sell or exchange items under its control, lend or make items available on terms it thinks fit, and arrange exhibitions in places it thinks fit.
• Ancillary and commercial powers (s 18(2)(h)-(j)). The Board may charge fees for admission or services, operate or lease space for restaurants and permit other activities necessary or incidental to its objects. Those powers create revenue generation duties, but also discretion over pricing and contracting.

Director and officers

• Executive management (s 16(2)). The Director manages the Art Gallery and is the principal executive officer of the Board.
• Board directions (s 16(2a)). The Director must comply with Board directions in carrying out duties under the Act. That sets the right of the Board to direct operational management.
• Appointment rights (s 16(1a)-(1b)). The Governor appoints the Director on the Board’s recommendation, and the Board appoints other officers. That is a hybrid appointment regime allocating influence to both the Board and the Governor.

Property and transfer rights

• Vesting and contractual succession (ss 19(1), 19(3)). Personal property held by the former Trustees for gallery purposes is transferred to the Board, and prior contracts become the Board’s contracts. The Board therefore inherits contractual obligations and rights.
• Limitations on disposal of vested real property (s 20(2)-(3)). The Board cannot dispose of certain vested land or any other land without Governor consent, except for leases to establish or manage branch galleries. This imposes a statutory constraint on the Board’s property rights in favour of executive oversight.

Financial duties and fiscal controls

• Account operation and investment (s 22(2)-(5)). The Board must credit receipts to The Art Gallery of Western Australia Account and may operate and invest funds subject to Treasurer approval. The Treasurer may direct temporary investment and control the use of the Account.
• Use of borrowed moneys (s 20A(6)). Any moneys borrowed under s 20A must be used for the purposes of carrying the Act into effect. The Board must provide security as the Treasurer requires prior to a guarantee (s 20A(5)).

Foundation duties and rights

• Foundation objects and Council governance (s 28A(3)-(4)). The Foundation has a Council and objects focused on fundraising and support. The Minister may make rules on the Board’s recommendation that set Foundation governance, membership, financial administration, and by‑laws (s 28C(1)-(2)).

Enforcement and prosecution powers

• Representational rights in court (s 27(1)). An officer authorised in writing by the chairman may represent the Board in summary jurisdiction as if the officer were the party. The Board can institute proceedings and courts will accept it is the owner of property in prosecutions (s 24).
• Offences and penalties (ss 23, 26). Unauthorised damaging, removing, destroying or stealing of works in the Board’s possession carries a statutory penalty and potential civil compensation ordered by courts (s 23). Selling or exposing works for sale in Board control is prohibited (s 26).

Rights retained by employees and staff

• Transfer of staff and preservation of rights (s 21(4)-(6)). Officers and employees employed by the Trustees at commencement are deemed employed by the Board and have their accruing rights preserved. Section 16(3) gives certain leave and superannuation entitlements by reference to the Public Sector Management Act and former Superannuation Act.

Procedural and meeting rights

• Voting and quorum (s 13). Each member has one vote, a quorum is five members, and majority decision rules apply. Where votes are equal, the motion is deemed lost (s 13(a)-(c)). Deputies and presiding arrangements are provided for (ss 10, 11, 12).

In short, the Board has broad operational responsibilities and discretionary powers, matched by financial and property oversight from the Treasurer and Governor, and statutory duties to manage exhibits, apply public funds and preserve employee rights.

Criminal offences and monetary penalties

• Damage, destruction and removal of works (s 23). Unlawfully damaging, mutilating, destroying or removing any picture, engraving, exhibit or other work of art in the possession of the Board is a summary offence. The Act sets the maximum penalty at a fine of $200 or imprisonment for 12 months or both. In addition to penalty, the court may order the offender to pay the full value of the damaged or removed item as compensation, recoverable notwithstanding it causes the total to exceed statutory maxima for penalties (s 23(2)).
• Unauthorised sale or exposure for sale (s 26). A person must not sell, offer for sale or expose for sale in the Art Gallery or any other place under the Board’s sole management any work of art that belongs to them and is being exhibited. The penalty is $100. Subsection (2) creates an exception for works exhibited pursuant to agreements with other States, Commonwealth or foreign governments or other galleries.

Regulatory penalties under regulations

• Regulations may fix penalties up to $50 (s 29(2)(h)). The Governor may make regulations, including provisions to prevent handling and defacement of works and conditions of public access. For breaches of regulations, the Governor may prescribe penalties not exceeding $50 for any one offence.

Court processes and special evidentiary rules

• Proceedings by the Board and proof of ownership (s 24). In prosecutions or proceedings relating to property vested in the Board, it is sufficient to state generally that the property is the Board’s property. This simplifies evidentiary proof of ownership in enforcement proceedings.
• Representation in summary jurisdiction (s 27(1)). An officer appointed by the chairman in writing may represent the Board in proceedings in courts of summary jurisdiction, as if the officer were the party, facilitating administrative enforcement by the Board.

Civil recourse and compensation

• Court-ordered compensation (s 23(2)). When a person is convicted under s 23(1), the court may order payment of the full value of the work to the Board. That amount is recoverable as if part of the penalty even where it causes the total to exceed the maximum statutory penalty.
• Reward provisions (s 25). The Board may offer and pay a reward for information leading to conviction. If a convicted person is ordered to pay an amount towards the reward, the court may order payment up to the lesser of the reward paid or $40. This creates potential private cost recovery against convicted persons.

Oversight and audit

• Financial management and audit regimes (s 28; s 22). The Board is subject to the Financial Management Act 2006 and the Auditor General Act 2006 for financial administration, audit and reporting (s 28). That subjects the Board to public audit obligations and standard financial controls.

Practical enforcement implications

• The Act concentrates powers for quick administrative enforcement in the Board, including authorised representation and simplified proof of ownership. Penalties are comparatively modest in monetary terms as stated in the Act, but imprisonment is included as an option for damage or removal convictions. The Act also permits civil recovery by court order of the full value of the work in addition to criminal penalties (s 23(2)). Regulatory penalties for breaches of regulations are capped at $50 per offence (s 29(2)(h)), meaning most enforcement will rely on criminal prosecution and injunctions for serious conduct involving works.

Note on currency of penalty amounts

• The compilation table shows amendments across decades. The Act sets numeric penalties in older dollar figures, as amended by subsequent Acts listed in the compilation table. When applying the Act operationally, confirm whether penalty amounts have been updated by later laws or penalty unit frameworks, since the text provided retains the amount figures as written.

Financial legislation and audit framework

• Financial Management Act 2006 (ss 22(2), 28, 28B). The Board’s Account and the Foundation’s Account are established as agency special purpose accounts under the Financial Management Act 2006 (s 22(2); s 28B(1)). Section 28 expressly applies the Financial Management Act 2006 and the Auditor General Act 2006 to the Board. That means the Board is subject to the financial administration, audit and reporting regimes that govern statutory authorities in Western Australia. Section 28C(2)(c) also requires Foundation rules to be subject to the Financial Management Act and Treasurer’s instructions.
• Auditor General Act 2006 (s 28). Audit requirements in that Act apply to the Board, bringing external audit oversight and reporting obligations.

Public sector employment and superannuation

• Public Sector Management Act and predecessor references (s 14; s 16(3), (4)). Appointed members are not public service officers under the Public Sector Management Act 1994 by operation of s 14, but rights of a person who was a public service officer at time of appointment are preserved. Section 16(3) makes Director and other officers entitled to certain leave of absence and superannuation rights as would apply if they were appointed under the Public Sector Management Act. Section 16(4) provides that where there is inconsistency with that Act in the case of a Senior Executive Service member, the Public Sector Management Act prevails. Notes in the Act show cross‑references that were updated by later reprints and amendments.

Trust and trustees law, historical Acts

• Museum and Art Gallery of Western Australia Act 1911 and Trustees (ss 19, 20). The Act transfers personal property held by the historical Trustees to the Board and allows vesting of specific land and buildings via proclamation (s 19(1); s 20(1A)). A reference to the Trustees in any other Act, insofar as it refers to the Art Gallery, is to be read as a reference to the Board (s 21(3)).
• Trustees Amendment Act 1997 (s 22(5)). Section 22(5) retains the Board’s power to invest funds in investments authorised by law as in force immediately before the Trustees Amendment Act 1997 for trust fund investment, subject to other controls. That cross‑references historical trust investment rules.

Criminal law and procedure

• Courts legislation and criminal procedure amendments in compilation table. The Act’s penalties and prosecution provisions must be read with the Criminal Procedure and Appeals Acts and court rules. The compilation table records amendments that affected relevant procedural cross‑references; practitioners should confirm procedural consequences under current criminal procedure legislation.

Other statutory overlays

• Governor and Minister powers. The Governor’s appointment and consent powers (ss 6, 11, 20(2)-(3)) and Minister’s power to issue binding directions on doubtful property transfers (s 19(2)) create intersections with executive administrative law principles and possible review pathways. The Board also acts within rules made by the Minister for the Foundation (s 28C).

Administrative law and procurement

• Procurement and contracting. The Board’s capacity to acquire, dispose and loan works and to enter commercial leases (s 18(2)(a)-(c), (i)) will interact with government procurement, conflict of interest and State contracting rules, particularly as the Board is subject to financial management and audit regimes (s 28). Borrowing subject to Treasury security requirements also brings procurement and contracting standards into play for financiers.

In summary, the Act nests the Board within Western Australia’s financial management and audit framework, aligns employment rights with public sector statutes, transfers trustee property subject to proclamation and Ministerial directions, and subjects borrowing and investment decisions to Treasurer controls. Practitioners must read the Act in tandem with the Financial Management Act 2006, Auditor General Act 2006, Public Sector Management Act 1994, and applicable criminal and procurement rules.

Chronology and substantive themes

• Foundational enactment and early reprints. The Act received Royal Assent in 1959 and commenced 27 May 1960. Early reprints consolidated amendments up to 1970 and 1989 (compilation table entries).
• 1960s and 1970s changes. The Art Gallery Act Amendment Act 1968 (No. 28 of 1968) and the Art Gallery Act Amendment Act 1974 (No. 38 of 1974) made structural changes. The Art Gallery Act Amendment Act 1978 (No. 35 of 1978) notably changed names and preserved pre‑existing members’ terms and introduced s 4A (change of name) and reconstituted the Board nomenclature (s 4A; s 5).
• Creation of borrowing power. The 1974 amendment inserted s 20A creating power to borrow money upon Treasurer guarantee, subject to prior approval and security as the Treasurer requires (s 20A). That was substantive because it opened the Board to leverage with State guarantee but under Treasurer control.
• 1980s institutional and Foundation reforms. The Art Gallery Amendment Act 1981 and the Art Gallery Amendment Act 1988 (No. 59 of 1988) consolidated governance and created the Foundation. Section 28A-28C (1988 insertion) established The Art Gallery of Western Australia Foundation, its objects, financial account and rule‑making power (ss 28A-28C). The 1985 Acts Amendment (Financial Administration and Audit) Act aligned the Board with broader financial management and audit frameworks (s 28 insertion, No. 98 of 1985).
• Public sector and financial law modernisation in the 1990s and 2000s. Amendments reflected changes in public sector and financial administration law. The Public Sector Management and Trustees Amendment cross‑references updated employment and investment provisions (1994, 1997). The Financial Management Act 2006 regime was incorporated later, with reprints from 2006 and 2007 aligning the Board’s accounts to the new financial framework (compilation table entries for 1996, 1997, 2006).
• More recent formatting and procedural amendments. Reprints and acts such as the Standardisation of Formatting Act 2010 updated sectional references and formatting, without changing substantive policy (compilation table entry 2010).

Specific amendment examples from compilation table

• No. 35 of 1978 (Art Gallery Act Amendment Act 1978): Introduced ss 4A and preserved the corporate identity while changing name to The Art Gallery of Western Australia (s 4A; s 5).
• No. 38 of 1974 (Art Gallery Act Amendment Act 1974): Inserted s 20A authorising borrowing on Treasurer guarantee, subject to prior approval and security (s 20A).
• No. 59 of 1988 (Art Gallery Amendment Act 1988): Established the Foundation and Foundation accounts, and inserted ss 28A-28C. Required a Ministerial review of the Foundation’s effectiveness two years after establishment (s 30).
• No. 77 of 2006 (Financial Legislation Amendment and Repeal Act 2006): Aligned the Board with Financial Management Act 2006 account and investment provisions (see s 22 amendment notes, s 28 insertion).

Observations on amendment patterns

• The amendments show a progression from a straightforward trustee governance model to a hybrid modern statutory authority with explicit commercial powers and financial management controls. A recurring theme is the balance between operational autonomy for the Board and executive financial oversight by the Treasurer and Governor.
• The establishment of the Foundation formalised private fundraising in a separate corporate vehicle while linking its financial flows back to the Board through statutory accounts and transfer powers.
• Amendments record interlocking updates to public sector employment, trusteeship and financial administration, reflecting broader statutory reform in Western Australia across decades.

For operational use, practitioners should track whether any amendments after the last reprint date in the provided compilation have altered penalty figures or financial controls. The compilation table provided lists up to the Standardisation of Formatting Act 2010 reprint; check the WA Legislation website for subsequent changes.

Material in the Act and compilation table

• The Act text and compilation table supplied do not list or cite judicial decisions interpreting the Art Gallery Act 1959. The Act itself contains a note that courts must take judicial notice of the Board’s common seal (s 5(3)), and it authorises Board representation in summary jurisdiction (s 27(1)). Other procedural rules include that it is sufficient in prosecutions to allege generally that property is the Board’s (s 24). Those provisions facilitate litigation involving the Board but are not judicial interpretations.

Practical implications for litigation

• Evidentiary facilitation. Sections 5(3) and 24 ease evidentiary burdens for the Board in prosecutions or property proceedings by creating presumptions and simplified proof requirements.
• Standing and representation. Section 27(1) allows the Board to be represented in summary courts by an authorised officer, which can streamline enforcement action.
• Contractual succession. Section 19(3) deems prior contracts of the historical Trustees as now enjoyed by the Board, which clarifies contractual succession and reduces litigation risk about title to obligations or rights vested prior to commencement.
• Property vesting and Governor proclamations. Section 20(1A) allows the Governor to declare vesting of specified land and buildings. Where disputes arise about whether property falls within the schedule or a proclamation, s 19(2) gives the Minister binding directional power in doubtful cases. That administrative power could influence or preclude some legal disputes by establishing a binding direction, and where exercised it may pre‑empt litigation on ownership issues.

Absence of reported cases in the source

• Because the provided material does not include any case names or judicial commentary, this note does not attempt to list or infer litigation history. Practitioners seeking precedent should search state court databases and law reports for decisions involving the Board, the Foundation, or enforcement under ss 23 and 26.

Recommended next steps when litigation is contemplated

• Confirm current statutory text and any penalty unit conversions that may post‑date the text supplied.
• Review the Financial Management Act 2006 and Auditor General Act 2006 precedents for disputes about account operation, investment discretion, or audit findings.
• Where property vesting or contract succession is at issue, check proclamations made under s 20(1A) and any Ministerial directions under s 19(2), as those administrative instruments alter the factual and legal posture of potential litigation.

In short, the Act provides procedural tools that facilitate the Board’s enforcement and simplifies evidentiary proof of ownership, but the source materials supplied contain no reported litigation. Practitioners should research up‑to‑date case law for interpretive guidance.

Consent and control traps

• Governor consent for land dealings (s 20(2)-(3)). The Board cannot sell, lease, mortgage or otherwise encumber land vested by proclamation without Governor’s written consent, nor can it purchase, sell or encumber any other land without Governor consent, except for entering leases to establish or manage branch galleries. That is a constraint on asset management. Failure to obtain the required consent could render a transaction invalid or expose the Board to administrative review. Practitioners must check whether a parcel is land vested under a proclamation and obtain the Governor’s written consent where required.

Treasurer discretion and borrowing conditions

• Borrowing only with Treasurer approval and security (s 20A). Although the Board can borrow on the Treasurer’s guarantee, the Treasurer’s prior written approval of terms and conditions is required. The Treasurer also requires security and limits the total aggregate borrowing in any one year. These controls mean that the Board’s ability to finance capital projects depends on satisfying Treasurer conditions, which may include State risk allocation and procurement expectations.

Investment and account operation subject to Treasurer directions

• Temporary investment and direction powers (s 22(3)-(4)). The Treasurer may direct temporary investments and approve the manner in which the Account is operated. Even where the Board has investment power (s 22(5)), the Treasurer’s direction and the Financial Management Act overlay can restrict or redirect available approaches.

Gifts, bequests and allocation powers

• Gifts deemed to vest in the Board (s 21(1)). All gifts and bequests to or for the benefit of the Art Gallery are deemed gifts to the Board, whether made before or after the Act’s commencement. Where gifts were made to the Public Library Museum and Art Gallery, the Governor allocates or divides those gifts among the Board, Library Board and Museum Board as the Governor thinks fit (s 21(2)). Donors who expect their gift to be applied in a particular way should ensure terms are legally binding and check whether allocation powers could alter application.

Foundation rule‑making and Ministerial control

• Minister may make rules on the Board’s recommendation (s 28C). The Foundation’s powers and governance are implemented by rules the Minister may make on the Board’s recommendation. That creates a two‑step governance path where the Board’s recommendation triggers Ministerial rule‑making, which sets detailed arrangements. The Foundation’s financial administration must comply with the Financial Management Act and Treasurer’s instructions (s 28C(2)(c)). Practitioners should not assume the Foundation has unfettered autonomy.

Employee and public sector status subtleties

• Members not public service officers but rights preserved (s 14). Appointed members are not public service officers under the Public Sector Management Act, but if a member was a public servant at the time of appointment their rights under the public sector statutes are preserved. Confusion may arise over which entitlements apply to particular persons; check the person’s status at time of appointment.

Outdated penalty figures and enforcement practice

• Numeric penalties appear low in statutory text (s 23 fine $200; s 26 penalty $100; s 29(2)(h) up to $50). These figures reflect historic drafting. Practitioners should confirm whether current penalty unit conversions or later amending laws adjusted those amounts. Do not rely on the raw figures in the version provided when advising on sentencing exposure.

Ministerial directions on property transfers

• Minister’s binding directions on doubtful property transfers (s 19(2)). Where there is doubt about whether transferred property falls under s 19(1), the Minister may issue a binding written direction. That can be operationally decisive and may shortcut judicial processes. Stakeholders disputing such Ministry directions should consider administrative law pathways but must note the Act’s express binding effect.

Commercial activities needing regulatory attention

• Fees and commercial leasing powers create commerce within a public institution (s 18(2)(h)-(i)). When the Board charges admission fees, operates restaurants, or leases space, those activities may trigger consumer, health, planning and local government regulatory regimes. The Act permits the activities, but compliance with external laws is still required.

Delegation and continuity issues

• Continuity of employment (s 21(4)-(6)) protects prior employees, but where staff move between public service frameworks and Board appointments complexities may arise. Section 16(4) makes the Public Sector Management Act prevail in cases of inconsistency for Senior Executive Service officers.

In sum, the main operational pitfalls involve failure to secure required Governor or Treasurer consents, misunderstanding the reach of Ministerial directions over property, relying on historical penalty figures, and under‑estimating the cross‑statutory constraints imposed by financial and public sector laws.

Checklist for the Board and Director

1. Governance and appointments

   • For any proposed borrowing, prepare full documentation for Treasurer review, including proposed security, annual aggregate requirements and intended use of proceeds, as required by s 20A(2)-(6). Expect Treasury to set terms, conditions and security.
9. Foundation coordination
   • If the Foundation is to accept donations or transfer funds, ensure Foundation rules are made on the Board’s recommendation and comply with Financial Management Act requirements (s 28C(1)-(2), s 28B). Record transfers from the Foundation account to the Board and maintain transparent donor reporting.
10. Legal and regulatory compliance
    • Implement policies to prevent unauthorised handling and sale of exhibited works and ensure signage and visitor conditions comply with regulations the Governor may make (s 29). Keep records to support prosecutions under s 23 and 26 where necessary.

Advice for donors and private funders

• Gifting and bequest practice. Donors should ensure that the terms of gifts and bequests are clearly documented, including any conditions, because all gifts to the Art Gallery are deemed to be to the Board (s 21(1)). Where a donor requires application to a specific purpose, use legally enforceable terms and confirm acceptance by the Board or the Foundation.
• Use of Foundation. Donors seeking to provide funds to the Foundation should understand that the Foundation’s rules are ministerially made on the Board’s recommendation (s 28C). The Foundation’s account is subject to the Board’s directions and the Financial Management Act (s 28B(3)), so donors should obtain written confirmation about how funds will be held and applied.

Advice for financiers and potential lenders

• Engage Treasury early. Any proposed lending to the Board under s 20A requires prior written approval from the Treasurer and the provision of security as the Treasurer requires (s 20A(2), (5)). Lenders should expect State guarantee processes and should request written confirmation of the guarantee and security.
• Understand annual limits. The Treasurer limits aggregate borrowing in any one year (s 20A(4)). Lenders should confirm the Board’s authorised borrowing capacity for the relevant year.

Practical compliance monitoring and risk management

• Develop a financial delegation schedule consistent with the Financial Management Act and Treasurer’s instructions, and ensure audit trails for all receipts, donations, fees, investment transactions and transfers with the Foundation (ss 22, 28B).
• Maintain an asset management plan for the collection, including conservation budgets, insurance and condition reporting, because criminal penalties and civil recovery provisions under s 23 assume the Board’s custodial responsibilities.
• Document Ministerial and Governor consents and any Minister directions under s 19(2). If a dispute arises about the scope of a Ministerial direction, identify administrative review options and preserve judicial review timetables.

Record-keeping and reporting

• Keep Gazette notices of appointments (s 6(2)) and formal records of Board meetings, resolutions and delegated authorities per s 13 and any regulations made under s 29.
• Prepare and publish reports and audited financial statements in accordance with Financial Management Act requirements and Auditor General audits as applied by s 28.

In short, compliance requires early and continuous engagement with the Treasurer on finance and borrowing, careful recording of Governor and Minister consents, rigorous financial controls and audit readiness, clear donor documentation, and attention to regulatory constraints on property disposal and commercial activities. Practical pre‑approvals and transparent documentation reduce execution risk under the Act.
