Army and Air Force (Canteen) Regulation 2016

Board as corporate accountable authority. The regulation continues a Board of Management as a body corporate with perpetual succession, common seal, property powers and standing to sue and be sued in its corporate name (s 7(1)(a)-(d)). The Board is therefore the statutory accountable authority for the Canteen Service, and the regulation expressly notes that the PGPA Act applies to the Board, linking it to Commonwealth financial governance, reporting and accountability frameworks (s 7(1) note).

Commercial, self‑supporting operation. The regulatory policy framework requires the Canteen Service to operate commercially and on a self‑supporting basis with the aim of achieving profits sufficient to allow surplus funds to be distributed for the benefit of Army and Air Force members (s 24(3)(b)-(c)). Each installation’s canteen operations are to be self‑supporting and commercially viable to contribute to the overall financial self‑sufficiency of the Canteen Service (s 24(3)(c)(i)-(iii)).

Composition of decision makers. The Board combines senior Defence appointees and ministerially appointed civilian members, at least two of whom must have extensive business or commercial experience (s 9(1)(a)-(c)). The Managing Director is the Board’s executive member (s 9(1)(d), s 25(2)). The Chief of the Defence Force appoints the military members and a Deputy Chair, the Minister appoints the civilian members and Chair (s 9(2)-(3)).

Delegation and ministerial oversight. The Board may delegate powers (other than the delegation power itself) by instrument under its seal to the Chair, Deputy Chair, Managing Director or an employee (s 23). The Minister may approve policy guidelines, approve profit distribution principles, issue written directions about employment terms and may delegate Ministerial powers to senior Defence officers or SES employees (ss 24(5), 31(5), 26(3), 36).

Financial controls and limits. The Board controls finances (s 27(1)), may allocate funds to executive officers for parts of the Service (s 27(2)), may borrow with written Finance Minister approval and give security over assets (s 28(1)-(2)), but cannot enter into a contract involving payment or receipt of more than $500,000 except with Ministerial approval (s 30). Money of the Board may be applied only for Canteen Service costs, remuneration for persons employed under the instrument and distributions in accordance with the rules (s 29).

Profit calculation and distribution. Profits for a trading period are calculated as revenue less expenditure subject to s 31(1) formula and must be distributed at least once per financial year after making provision for debts, contingent liabilities, reserves and allocations (s 31(2)-(3)). Minister‑approved principles must direct distribution to units or bases and relate the amount distributed to each unit or base to its contribution to overall trading profits or sales (s 31(4)(a)-(c)).

Licences, taxation and liquor supply. The Board may grant licences to persons to provide services not catered for by the Canteen Service, with approval of the installation’s Commanding Officer and on terms the Board determines (s 35). The Board is subject to Commonwealth, State and Territory taxation laws other than income tax (s 33(1)). The regulation removes the need under State or Territory law for licences or permissions to keep, supply or permit the consumption of liquor at canteens established under the instrument (s 34).

Savings and transition. The instrument preserves existing appointments, orders, policy guidelines, directions, staff arrangements, licences and delegations in force immediately before commencement, by treating them as having effect as if made under the new instrument (Part 5, ss 38-43). The 1959 Regulations are repealed (Schedule 1).

Primary beneficiaries and intended recipients. The Canteen Service is to supply goods, facilities and services, and to provide entertainment and recreation for members of the Army and Air Force, persons employed in connection with Army and Air Force installations, dependants, visitors to installations and ADF Cadets (s 24(2)(a)(i)-(v)). Profits and surplus funds are to be distributed to Army or Air Force units or bases to provide amenities, services and facilities for the benefit of members (s 31(4)(a)).

Defence governance actors. The Chief of the Defence Force participates directly by appointing two senior officers to the Board and by appointing the Deputy Chair from those officers (s 9(1)(a)-(b), (3)). The Minister appoints civilian members and the Chair (s 9(1)(c), (2)). The Minister also approves policy guidelines, approves principles for profit distribution and may issue written directions about staff terms (ss 24(5), 31(5), 26(3)). The Finance Minister has an approval role for borrowing (s 28(1)).

Board members and staff. Board members are directly affected by appointment, term and remuneration rules (ss 10-12). Board appointees by the Minister are paid remuneration determined by the Remuneration Tribunal, while other members are not entitled to be paid for services performed but may be reimbursed for out‑of‑pocket expenses (s 12). The Board employs staff and determines terms and conditions of employment subject to Ministerial directions (s 26(1)-(3)). The Managing Director is an employed executive whose remuneration is set by the Remuneration Tribunal, or by the Minister in the absence of a Tribunal determination (s 25(3)-(5)).

Suppliers, contractors and licensees. The Board may contract for the sale of goods, supply services and conduct canteens; it may also grant licences to third parties to provide services not catered for at an installation with the Commanding Officer’s approval (s 8(2), s 35(1)-(2)). Contractors face a $500,000 contract threshold above which Board must obtain written Ministerial approval before entering into contracts (s 30). Banks and lenders are affected by the Board’s ability to borrow with Finance Minister approval and to grant security over assets (s 28).

State and Territory regulating authorities. State and Territory liquor licensing and permission regimes are directly affected by a federal exemption in the instrument, which declares that it is not necessary to have licences or permissions under State or Territory law for keeping, supplying or permitting consumption of liquor at canteens established under this instrument or those under a licence granted under s 35 (s 34). Tax authorities are affected by the instrument’s statement that the Board is subject to taxation other than income tax under Commonwealth, State and Territory laws (s 33(1)).

Accountability stakeholders. Parliamentarians, auditors and the public have an interest through application of the PGPA Act to the Board and the requirement to prepare an annual report for the Minister that includes policy guidelines and Ministerial directions (s 7 note, s 32). Where the Board uses Commonwealth departmental facilities or deposits money with the Commonwealth, departmental accounting arrangements and public resource management are implicated (s 27(3)(a)).

Indirect effects and local operators. Local canteen committees may be established by the Board in consultation with commanding officers (ss 8(1)(g), 21(1)-(2)). Local businesses that previously supplied similar goods or services at installations may compete with the Board or be contracted by the Board under licence arrangements (s 35).

Board duties and powers. The Board is the statutory controller of the Canteen Service and must act to further its purposes by acquiring property, selling goods, supplying services, accepting gifts, establishing canteens, establishing local committees in consultation with commanding officers, issuing management orders and entering contracts (s 8(1)(a)-(k)). The Board has general implied powers to do all things necessary or convenient to perform its functions (s 8(3)). It may also delegate powers under seal to the Chair, Deputy Chair, Managing Director or an employee (s 23).

Governance and meeting duties. The Board must hold meetings necessary for its functions and the Chair must convene at least one meeting each quarter (s 16(1)-(2)). Quorum for a meeting is three Board members provided at least one is a Chief of the Defence Force appointee (s 18). Questions are decided by majority vote and the presiding person has a casting vote where votes are equal (s 19). Deputy members of military appointees may attend and exercise powers of a Board member at meetings when the primary member is absent, except for Chair and Deputy Chair powers (s 20).

Financial duties and constraints. The Board controls Canteen Service finances (s 27(1)), may allocate funds to the Managing Director or employees for administration of parts of the Service (s 27(2)), and may apply money only to specified purposes: costs and expenses of the Board relating to the Canteen Service, remuneration for persons appointed or employed under the instrument, and payments required under s 31 (s 29). The Board may borrow money necessary to conduct the Canteen Service but only with written approval of the Finance Minister, and it may give security over assets for repayment and interest (s 28(1)-(2)). The Board cannot enter into a contract involving payment or receipt exceeding $500,000 without the Minister’s written approval (s 30).

Profit distribution obligations. The Board must calculate profits for a trading period by applying the formula in s 31(1), ensure provisions are made for debt repayment, accrued or contingent liabilities, reserves and allocations before distributing surplus funds, distribute profits and other surplus funds at least once each financial year and do so in accordance with Minister‑approved principles (s 31(1)-(3)). Minister‑approved principles must require that profits and surplus funds be distributed to units or bases and allocated in a manner related to each unit’s contribution to trading profits or sales (s 31(4)(a)-(c)). The Minister may approve distribution principles (s 31(5)).

Employment and management duties. The Board must appoint a Managing Director to manage the Canteen Service pursuant to Minister‑approved policy guidelines, and the Managing Director is the executive member of the Board charged with managing operations under those guidelines (s 25(1)-(2)). The Board may employ necessary staff and must set employment terms in writing, subject to written directions by the Minister (s 26(1)-(3)). The Managing Director’s terms and remuneration are set by the Remuneration Tribunal or, if absent, by the Minister (s 25(3)-(5)).

Ministerial rights and controls. The Minister appoints civilian Board members and the Chair, approves policy guidelines and certain activities, may issue written directions regarding staff terms and conditions, may approve profit distribution principles and may delegate powers. The Finance Minister must approve borrowing (ss 9(1)(c), 9(2), 24(5), 26(3), 31(5), 28(1)). The Chief of the Defence Force has appointment and termination powers for the military appointees (s 9(1)(a)-(b), 15(3)-(4)).

Rights of third parties. The Board has capacity to sue and be sued (s 7(1)(d)). The Board may grant licences for services not catered at installations, with the Commanding Officer’s approval (s 35(1)-(2)). Contractual counterparties are protected by the Board’s capacity to enter contracts and to provide security for borrowing, subject to Ministerial and Finance Minister approvals where applicable (ss 8(2), 28(2), 30).

Reporting and accountability duties. The Board must prepare an annual report under s 46 of the PGPA Act and include in that report each policy guideline approved by the Minister and each direction issued by the Minister under s 26(3) (s 32). The PGPA Act applies to the Board, potentially imposing broader duties under that statute (s 7(1) note).

Taxation obligations. The Board is subject to taxation other than income tax under Commonwealth, State and Territory laws (s 33(1)), which creates obligations to comply with those tax regimes and to manage tax liabilities within the confines of the Canteen Service’s permitted applications of money (s 29).

Administrative enforcement, termination and removal. The instrument provides administrative enforcement levers rather than criminal sanctions. The Minister may terminate appointments of ministerially appointed Board members for misbehaviour or inability to perform duties due to physical or mental incapacity (s 15(1)). The Minister must terminate a ministerial appointee who becomes bankrupt, takes the benefit of insolvency relief, compounds with creditors, assigns remuneration for creditors, or is absent from three consecutive meetings without leave (s 15(2)). The Chief of the Defence Force has parallel termination powers for members he or she appoints (s 15(3)-(4)). The note to s 15 cross‑references s 30 of the PGPA Act as another ground for termination for contravention of general duties under that Act.

Ministerial directions and approvals as enforcement points. The Minister’s power to approve policy guidelines (s 24(5)), approve principles for distribution of profits (s 31(5)), grant approvals for activities (s 24(5)(a)), and issue written directions concerning staff terms (s 26(3)) operate as instruments of administrative control. Failure to comply with Ministerial directions would engage administrative remedies under the PGPA Act and internal governance processes, although the regulation itself does not specify penalties such as fines or prohibitions for non‑compliance.

Contractual and civil enforcement. The Board may enter contracts and is capable of suing and being sued in its corporate name (s 7(1)(d), s 8(2)(j)). Contractual disputes, debt enforcement and creditor remedies would be pursued through standard civil litigation processes. The Board may give security over assets as security for borrowing (s 28(2)), creating property interests that creditors could enforce under ordinary law.

Statutory limits which, if breached, may have consequences. The Board may not borrow without written Finance Minister approval (s 28(3)), and may not enter contracts exceeding $500,000 without written Ministerial approval (s 30). Breach of these statutory limits could lead to administrative consequences, including orders to unwind actions, disciplinary processes against accountable officials under the PGPA Act, or termination of appointments under s 15 and the PGPA Act. The instrument itself does not provide an express statutory penalty for contravention of these specific prohibitions.

Tax compliance enforcement. The Board is subject to taxation laws other than income tax (s 33(1)). Failure to meet tax obligations would engage the enforcement regimes of the relevant tax authorities, including administrative assessments, interest, penalties and litigation in tax courts. The instrument does not specify mechanisms to shield Board members or the Commonwealth from such tax liabilities.

No express criminal offences in the instrument. The regulation contains no express criminal offences or monetary civil penalties within its text. Enforcement is therefore administrative, contractual or via external statutory regimes such as taxation law and the PGPA Act. The PGPA Act reference indicates additional accountability obligations that can result in termination, and enforcement actions under the PGPA Act are performed under that statute rather than under this instrument.

Litigation exposure and remedies via civil courts. The Board’s statutory capacity to sue and be sued, combined with its contractual and property powers, makes it subject to normal civil litigation, including contractual disputes, tort claims arising from its operations, and challenges to administrative decisions where applicable grounds for judicial review exist. The instrument does not specify any ouster of judicial review or immunities beyond its corporate capacities.

Parent Act and enabling authority. The regulation is made under the Defence Act 1903, as stated in s 3. It continues an entity previously established under the 1959 Regulations, with specific references to the Acts Interpretation Act 1901 about continuation of functions (s 6 note).

Application of PGPA Act. The regulation explicitly notes that the PGPA Act applies to the Board and that the PGPA Act deals with Commonwealth entities and matters such as reporting and the use and management of public resources (s 7(1) note). The Board’s annual reporting duty is linked to s 46 of the PGPA Act (s 32). The instrument also cross‑references s 30 of the PGPA Act as an additional basis for termination of appointment of Board members who contravene general duties of officials (s 15 note). This aligns the Board with Commonwealth financial governance, audit and accountability frameworks.

Taxation laws. Section 33(1) states that the Board is subject to taxation, other than income tax, under the laws of the Commonwealth, the States and the Territories. Subsection 33(2) clarifies that this does not affect the operation of s 34 (the liquor exemption). The instrument does not expressly provide for income tax treatment; by specifying "other than income tax" it creates a point of interaction with federal income tax law that is not addressed in the instrument itself and therefore may require separate treatment under the tax statute or practice.

State and Territory liquor and business name laws. Section 34 declares that State or Territory licences or permissions are not necessary to keep, supply or permit consumption of liquor at canteens established under this instrument or under licences granted under s 35. That is a federal legislative statement affecting the application of State and Territory liquor regulatory regimes in the context of these federal canteens. Section 24(4) allows the Board to operate under a business name registered under State or Territory business name legislation, indicating cooperation rather than exclusion with those regimes.

Delegation and Defence service law. The Minister may delegate powers under this instrument to senior naval, army and air officers or to SES employees (s 36). The Chief of the Defence Force appoints military Board members and exercises termination powers for the military appointees (s 9(1)(a)-(b), s 15(3)-(4)), which integrates the regulation with Defence internal appointment and command structures.

Contract, property and security law. The Board’s power to enter contracts, to give security over assets for borrowing (s 28(2)), and to hold and dispose of real and personal property (s 7(1)(c)) interact with general commercial, property and secured transactions law. Contracts above the $500,000 threshold require Ministerial approval (s 30), creating an operative interface between statutory administrative oversight and commercial contracting norms.

Employment law and industrial relations. The Board employs personnel and determines terms, subject to written directions of the Minister (s 26). Those employment relationships will intersect with applicable Commonwealth, State or Territory industrial relations frameworks. The instrument does not displace general employment law; staff employed by the Board continue on the terms they had under the old law (Part 5, s 41).

PGPA reporting and audit. Because the PGPA Act applies, the Board is subject to Commonwealth financial reporting and audit requirements and to the accountability mechanisms the PGPA Act creates. The annual report (s 32) is to be prepared in accordance with s 46 of the PGPA Act, which sets out the reporting obligations of accountable authorities.

Savings and continuity from previous regulation. The instrument treats the 1959 Regulations’ appointments, orders, policy guidelines, directions, licences and delegations as continuing under the new instrument (Part 5, ss 38-43). This ensures continuity and a smooth legal bridge between the old and new regimes, while bringing the operation explicitly within the PGPA framework.

No explicit privative clause or ouster of State law beyond liquor. The instrument expressly exempts State/Territory liquor licensing requirements for canteens run in accordance with this instrument (s 34) but otherwise preserves interaction with State and Territory law, for example via business name registration (s 24(4)) and taxation (s 33). Where the instrument is silent, concurrent State and Commonwealth requirements remain pertinent.

Commencement and repeal of prior regulation. The instrument commenced in full on 1 October 2016 (s 2). Schedule 1 repealed the Army and Air Force Canteen Service Regulations 1959 in their entirety, taking effect on that commencement date (Schedule 1; Part 5 contains savings provisions to preserve prior appointments and decisions).

No subsequent amendments recorded in the text. The version provided contains the instrument as originally made and includes a commencement table explicitly noting that the table relates only to the provisions as originally made and will not be amended to deal with later amendments (s 2 notes). The instrument itself contains no text indicating later amendments or variations; therefore the amendment history recorded in this instrument is confined to its repeal of the 1959 Regulations and its own commencement on 1 October 2016.

Savings that preserve prior instruments and appointments. Part 5 contains several savings provisions that preserve appointments, Board orders and instructions, Ministerial policy guidelines and directions, trustees’ appointments for superannuation schemes, staff employment arrangements, licences granted under the old law and existing delegations (ss 38-43). Those savings preserve legal continuity and are their own historical amendments in the sense that they map prior arrangements onto the new regulatory instrument at the point of transition.

Interaction with PGPA and other Acts as an ongoing source of change. While this instrument itself does not amend other federal statutes, it expressly folds the Board into the PGPA Act reporting and accountability regime (s 7(1) note). Future changes to the PGPA Act, the Defence Act 1903 or to Remuneration Tribunal determinations, or State/Territory laws addressing business names, taxation or liquor, will affect the Board’s operation without the need to amend this instrument. The instrument provides mechanisms,Ministerial approvals, directions and delegations, that can be used administratively to alter operational detail without formal amendment, e.g., policy guidelines (s 24(3)(d), s 24(5)(b)).

What the instrument does not change. The instrument does not, within its own text, alter or create any new criminal offences, does not specify income tax treatment, and does not purport to change the PGPA Act, the Defence Act or State and Territory taxation statutes. The absence of income tax detail in s 33(1) is a deliberate drafting feature that leaves income tax treatment to the relevant tax law and practice.

Practical implication for historical research. The instrument’s own Schedule and Part 5 set out the immediate historical amendment, repeal of the 1959 Regulations and preservation of their legal effects where necessary. For any events, decisions or changes after 1 October 2016, one must consult later instruments, departmental records, Ministerial instruments (policy guidelines and principles approved in writing), and Remuneration Tribunal determinations.

No litigation recorded in the instrument. The regulation itself contains no record of litigation or judicial consideration. It does cross‑reference the PGPA Act, which provides separate enforcement and administrative processes that have been litigated in other contexts, but the instrument does not record any cases or judicial decisions.

Potential legal exposure suggested by the instrument. While the instrument does not cite litigation, the text identifies situations that commonly give rise to disputes in analogous contexts, including contract disputes, property and security enforcement arising from borrowing and security interests, administrative law challenges to Board or Ministerial decisions, employment disputes involving Board staff, taxation disputes (other than income tax), and disputes over licence scope or the operation of the liquor exemption (ss 8(2), 28(2), 30, 33-35). The Board’s capacity to sue and be sued (s 7(1)(d)) confirms that civil litigation is an available remedy for third parties and the Board itself.

Judicial review and administrative law. Decisions of the Board, the Minister, the Chief of the Defence Force on appointment or termination, and the Finance Minister on borrowing approval are administrative acts that may be amenable to judicial review where statutory error, jurisdictional facts or denial of procedural fairness are alleged. The instrument does not contain any clause excluding review. Remedies may include injunctions, declarations and orders under administrative law principles. The instrument’s reference to the PGPA Act and its applicability to termination under s 30 of the PGPA Act indicates administrative accountability that has been subject to litigation in the broader PGPA context, but this instrument does not itself list cases.

Contract and commercial litigation. The Board’s contractual powers and borrowing powers create typical commercial litigation exposures: breach of contract claims, claims for debt, enforcement of securities given under s 28(2), and disputes about whether Ministerial approval was required or obtained for major contracts (s 30). The $500,000 threshold for Ministerial approval is a statutory compliance point; disputes may arise about the correct application of that cap to composite agreements or to staged contracts.

Tax disputes. Section 33(1) brings the Board within non‑income tax regimes of Commonwealth, States and Territories, exposing the Board to assessments, penalties and litigated disputes with tax authorities. Because income tax is not addressed by the instrument, questions about income tax liability may require separate tax law analysis and could be the subject of litigation or private binding rulings with the Australian Taxation Office.

Employment and industrial disputes. Staff employed under the instrument are subject to employment terms set by the Board subject to Ministerial directions (s 26). Employment disputes, claims for unfair dismissal, workers compensation and industrial relations proceedings may arise and be litigated in applicable tribunals or courts according to the relevant industrial relations and employment laws.

Liquor exemption and State law challenges. Section 34 declares State and Territory licences and permissions unnecessary for liquor kept, supplied or consumed at canteens established under the instrument. That federal provision could be a point of legal contest in cases testing the scope of federal exemptions against State regulatory schemes. The instrument does not reference any litigation but the interplay of Commonwealth statutory exemptions and State regulatory powers is a recognised locus for legal challenges.

What this absence of litigation in the instrument means for users. The instrument provides the statutory framework and administrative levers. Where legal risk is present,as suggested above, practitioners should search case law databases and administrative tribunal decisions for any subsequent litigation involving the Board, the PGPA Act in relation to similar bodies, tax treatments of canteen operations, or challenges to the liquor exemption. The instrument itself gives no record of such litigation.

Contract threshold and staged contracts. Section 30 prohibits entering into contracts involving payment or receipt exceeding $500,000 without the Minister’s written approval. The instrument does not define whether aggregated contracts, contingent liabilities or multi‑part contracts are treated as single contracts. Practical risk arises if a supplier or the Board structures arrangements as multiple contracts to avoid Ministerial approval, or conversely if a series of related contracts should be aggregated and require approval. Board officers and procurement lawyers should treat the $500,000 cap as a material compliance point and document Ministerial approvals for any contract or arrangement that could reasonably be seen as aggregating to that threshold (s 30).

Borrowing subject to Finance Minister approval. The Board may borrow only with the written approval of the Finance Minister (s 28(1)), and may grant security over assets (s 28(2)). That approval requirement constrains the Board’s financial flexibility and introduces a coordination cost and timing risk when negotiating with lenders. Lenders may require proof of Finance Minister approval before advancing funds and may demand additional Commonwealth assurances. Failure to obtain the written approval would render the borrowing ultra vires under the instrument (s 28(3)).

Distribution rules tied to Ministerial principles. Profits and surplus funds must be distributed at least once a year and in accordance with Minister‑approved principles that relate distributions to unit contributions (s 31(2)-(4)). The Minister’s power to approve distribution principles means local units’ expectations of distributions can shift administratively. Units and base managers should note that distribution methodologies, timing and eligible uses are subject to Ministerial approval and that the Board must make provision for liabilities and reserves before distributing surplus (s 31(3)).

Liquidity rules and permitted application of funds. The definition of "funds" in s 27(3) excludes inventory, plant, book debts and other non‑monetary assets until converted into money. This may constrain the Board’s ability to treat non‑cash assets as available security or to rely on stock‑in‑trade for working capital without converting that stock into cash. Financial planning must reflect that only money on deposit, in accounts or as negotiable instruments is treated as "funds" for the purposes of allocation under s 27(2).

Remuneration asymmetry and governance incentives. Ministerially appointed Board members are paid (s 12(1)), whereas other members, including the military appointees, are not entitled to be paid for Board services (s 12(2)). This asymmetry may produce incentive dynamics in decision‑making and attendance. Note that military members retain their Defence salary and allowances (s 12(3)(b)), and that reimbursement of reasonable out‑of‑pocket expenses is permitted (s 12(3)(a)). Documenting conflicts of interest and attendance records is prudent given removal provisions based on absence (s 15(2)(b), (4)(b)).

Liquor exemption scope. Section 34 states that State or Territory licences or permissions are unnecessary for keeping, supplying or permitting consumption of liquor at canteens established under this instrument. Practitioners should interpret this with caution: the instrument asserts a federal statutory exemption in this context, but does not elaborate on hours, conduct of licensed premises, minors, advertising or other matters often regulated under State laws. Operational policies should be aligned with Minister‑approved policy guidelines (s 24(3)(d), s 24(5)(b)) and counsel should consider how the exemption interfaces with public safety, local planning laws and other regulatory regimes.

Employment terms subject to Ministerial directions. The Board sets written employment terms but those terms are subject to written directions by the Minister (s 26(2)-(3)). This gives the Minister an administrative lever to shape employment conditions, which may affect bargaining positions and industrial relations strategies. Staff engaged under the old law are preserved on their prior terms (s 41), creating two classes of staff where transitional arrangements persist.

Taxation ambiguity on income tax. Section 33(1) specifies applicability to taxation other than income tax. The absence of an express income tax provision leaves uncertainty which should be resolved by reference to the substantive tax statutes, rulings and practice of the Australian Taxation Office. Practitioners and the Board should not assume exemption or specific treatment of income tax without external confirmation.

Ministerial approvals can be delegated but with rank constraints. The Minister may delegate powers under the instrument to senior officers of the Navy, Army or Air Force or to SES employees (s 36). Delegation instruments must be signed and are an operational necessity for handling approvals and directions. Ensure that delegated instruments are in writing, and that delegates meet the rank or SES requirements in s 36.

Quorum requirement includes a military appointee. The quorum for Board meetings is three members only where at least one is a Chief of the Defence Force appointee (s 18). Absences of CDF appointees may prevent a quorum even if three other members attend; ensure deputies are appointed and available (s 20).

Savings preserve prior licences and delegations but may perpetuate legacy obligations. Part 5 preserves existing licences, delegations and staff terms (ss 38-43). These savings reduce transition friction but mean old terms and practices may continue to bind the Board unless explicitly changed. Review legacy licences and delegations for alignment with the new instrument and with PGPA requirements.

Create and document governance instruments. Prepare Board instruments of appointment, minutes and a written delegation instrument under the Board seal to any delegated officers, consistent with s 23. Ensure quarterly meetings are convened by the Chair and that quorum requirements are met by scheduling attendance of a CDF appointee or their deputy (ss 16(2), 18, 20). Record attendance to avoid the termination trigger for absence after three consecutive meetings (s 15(2)(b), (4)(b)).

Adopt Minister‑approved policy guidelines and profit distribution principles. Seek Ministerial approval for policy guidelines required by s 24(3)(d) and for the principles governing profit distribution under s 31(2)(b). Until such instruments are approved, document any transitional or interim policies and seek written Ministerial endorsement. Ensure profit distribution methodologies are auditable and relate allocation to each unit’s contribution as required by s 31(4)(b)-(c).

Financial controls and PGPA compliance. Implement accounting and financial systems in compliance with the PGPA Act, including timely preparation of the annual report under s 46 of the PGPA Act and inclusion of all Minister‑approved policy guidelines and Ministerial directions in the annual report as required by s 32. Maintain separate bank accounts and reconciliations to identify "funds" as defined in s 27(3). Make provisions for debt repayment, contingent liabilities and reserves before distributions, and document the Board’s determination of those provisions in accordance with s 31(3).

Procurement and contract thresholds. Flag all procurement and contract activities that may involve payments or receipts over $500,000 and secure written Ministerial approval where necessary (s 30). For staged projects or multi‑part contracts, seek legal advice to determine whether aggregation means Ministerial approval is required. Record Ministerial approvals or waivers in procurement files.

Borrowing authorisation and security. Before seeking facilities from banks or other lenders, obtain written approval from the Finance Minister as required by s 28(1). Ensure legal documentation for security over assets clearly states the Board’s authority to grant the security and is approved by counsel. Consider lenders’ requirements for Commonwealth approvals in credit documentation and obtain certificates of Finance Minister approval where lenders request them.

Tax compliance and record keeping. Engage tax counsel to confirm treatment for income tax and to comply with taxes other than income tax identified in s 33(1). Maintain records to support tax positions, including separation of taxable and non‑taxable activities, and preserve historical documents saved under Part 5 for any continuing obligations arising from the 1959 Regulations (ss 38-43).

Employment terms and Ministerial directions. Where recruiting or setting terms, prepare written employment contracts consistent with the Board’s policy and the Minister’s written directions (s 26(2)-(3)). Preserve transitional staff terms for employees continued under s 41 and record any changes authorised by the Minister. Maintain records of Ministerial directions affecting employment terms for inclusion in the annual report (s 32).

Licences and commanding officer approvals. If granting licences to third parties to provide services not catered for by the Canteen Service, obtain the approval of the Commanding Officer of the relevant installation and set clear licence terms in writing (s 35(1)-(2)). Ensure that licence holders understand the scope of the federal liquor exemption under s 34 and any applicable operational constraints.

Documentation of Ministerial approvals and directions. Keep signed written instruments for all Ministerial approvals, delegated authorities and Ministerial directions to staff. The annual report must list each policy guideline approved by the Minister and each direction issued under s 26(3) (s 32). Keep a register of Ministerial approvals, Finance Minister approvals for borrowing, and Remuneration Tribunal determinations affecting remuneration for Board members and the Managing Director (ss 12, 25(3)).

Operational compliance with liquor exemption. Although s 34 removes the need for State and Territory licences for keeping and supplying liquor at canteens established under the instrument, develop responsible service of alcohol policies consistent with Defence requirements, public safety considerations and any other applicable law. Document the basis for relying on s 34 and coordinate with installation Commanding Officers to ensure local operational compliance.

Audit and internal control. Implement an audit committee where required under the PGPA Act and maintain internal controls for cash handling, inventory, procurement and payroll. The Board may establish state, area, base, unit or local canteen committees (s 21), but must consult commanding officers before establishing them. Ensure committee roles, reporting lines and limits of authority are clearly documented.

Review legacy documents and transitional arrangements. Use the savings in Part 5 as a checklist to identify appointments, orders, policies, licences and delegations that continue in force (ss 38-43). Review each legacy item for compatibility with PGPA obligations and current commercial practice and, where needed, update or re‑seek authorisations in writing under the new instrument.

Seek legal and financial advice for novel matters. For activities where statutory thresholds, tax treatment, or intergovernmental issues are unclear, such as VAT or income tax interpretations, the scope of the liquor exemption, aggregation of contracts for the $500,000 threshold or complex borrowing structures, obtain specialist legal and financial advice. Document the advice and decision rationale in Board minutes and retain it for audit and potential review.

In short, compliance requires documented governance, Ministerial and Finance Minister approvals where the instrument prescribes them, adherence to PGPA financial reporting and audit obligations, careful procurement and borrowing practices, properly framed licences and staff contracts, and robust record keeping to support distributions and tax positions.
