Alumina Refinery (Wagerup) Agreement and Acts Amendment Act 1978

The Agreement in the Schedule organises a set of interlocking concepts that allocate rights, duties and discretions between the State and the Company. The following are the principal legal and operational concepts, with the Schedule clause references.

• Ratification and precedence: the Agreement only comes into operation after the ratifying Bill becomes law (Sch cl. 3(1)-(3)), but once in force its provisions operate “notwithstanding the provisions of any Act or law” (Sch cl. 3(3)). The Agreement further provides that, where inconsistent, the provisions of this Agreement prevail over the principal and Pinjarra agreements (Sch cl. 19, 21). The Act itself ratifies the Agreement (s 3).

• Defined roles and parties: the State and the Company are the contracting parties; specified State instrumentalities (for example, the State Energy Commission, Railways Commission, Railways Commission, Commissioner of Transport, Commissioner of Main Roads, Bunbury Port Authority and the Conservator of Forests) are repeatedly engaged for operational implementation (Sch cl. 1, cl. 8, cl. 9, cl. 10, cl. 5).

• Project scope and timelines: construction obligations, capacities and staged expansion are specified (Sch cl. 4). The Company must commence construction subject to approval of an environmental review and management programme and must complete the first stage (≥200,000 tpa) within three years of programme approval, with planned expansion to about 2,000,000 tpa within 15 years of the first stage being operational (Sch cl. 4(a)-(b)). An upper expansion threshold to 4,000,000 tpa is addressed through an environmental review process (Sch cl. 7).

• Environment and monitoring: the Company must submit a detailed environmental review and management programme by 30 June 1978 (Sch cl. 6(1)), implement the approved programme and carry out continuous investigations and research including monitoring (Sch cl. 6(2)), and file periodic interim and detailed reports on those investigations (annual interim and three‑yearly detailed reports , Sch cl. 6(3)). The State may require additional information (Sch cl. 6(4)). The Agreement preserves application of other environmental laws (Sch cl. 17).

• Mining planning: the Company must prepare a ten‑year mining plan for State Forest and Crown land within two years of 30 June 1978 and review and resubmit annually after consulting the Conservator of Forests (Sch cl. 5).

• Transport architecture: primary carriage of alumina to port and bulk inputs to the refinery is required by rail (Sch cl. 10(1)-(3)). The Company may use conveyor for bauxite and pipelines for caustic soda and fuels (Sch cl. 10(3)). The Agreement contemplates financial participation in rolling stock and rail upgrading by Company advances repayable on agreed terms (Sch cl. 10(4)) and prescribes freight agreements with the Railways Commission (Sch cl. 10(5)-(7)). Notice obligations for anticipated tonneages and changes are spelled out (Sch cl. 10(8)).

• Infrastructure, roads and easements: the State will grant easements over Crown land as agreed (Sch cl. 14(4)); the State may close and dispose of portions of roads for the Company’s operations after consultation (Sch cl. 16(4)); the Company is responsible for private roads it constructs (Sch cl. 16(1)). Where closures impede public access the Company may be required to construct replacement roads at its cost (Sch cl. 16(5)). For roads the Company is deemed a municipality for liability purposes (Sch cl. 16(6)).

• Water rights: the Company must submit proposals for water supplies (Sch cl. 15(1)); the State will grant licences under the Rights in Water and Irrigation Act 1914 up to specific annual quantities and may amend licences after consultation (Sch cl. 15(2)). The Company is entitled to a first call on surface water within the Wagerup refinery site but must contribute fairly to any alternative supply establishment costs if surface supply is inadequate (Sch cl. 15(3)).

• Town development and community services: the Company must provide and maintain housing for staff where necessary and accept the principle of fair and reasonable sharing of costs for sewerage, water supply, drainage and other services as those needs develop (Sch cl. 13).

• Local procurement and labour: the Company must, as far as reasonable and economically practicable, use local professional services, labour and provide opportunity for Western Australian suppliers when tendering (Sch cl. 12). The Company must also furnish implementation reports when requested (Sch cl. 12(2)).

• Amendment and parliamentary oversight: the Agreement supplies a variation mechanism allowing the parties to vary any provision in writing (Sch cl. 28(1)), requires the Minister to lay such a variation before each House of Parliament within 12 sitting days (Sch cl. 28(2)) and allows disallowance by resolution within 12 sitting days (Sch cl. 28(3)).

• Interaction with other agreements and Acts: the Agreement amends the principal Alumina Refinery Agreement and the Pinjarra agreement through specified textual substitutions (Sch cls 18, 20-21) and removes operation of particular provisions of other Acts in limited contexts (for example, Public Works Act s 96 for rail construction , Sch cl. 14(3); Bunbury Port Authority Act modification via Pinjarra addition , Sch cl. 20).

These concepts form an integrated regulatory contract: they allocate discrete infrastructure, operational and environmental duties to the Company and confer targeted statutory powers and administrative duties upon the State and its agencies.

The Agreement identifies and allocates roles among a set of public bodies, the Company, and third parties. Parties explicitly named in the instrument are the State of Western Australia and Alcoa of Australia Limited (the Company) (Sch cl. 1 and recitals). The State’s instruments and officers that participate or are affected include the Minister (for approvals and many discretions), the State Energy Commission (Sch cl. 8), the Railways Commission (Sch cl. 10), the Commissioner of Transport under the Transport Commission Act 1966 (Sch cl. 11), the Commissioner of Main Roads (Sch cl. 16(3)), the Conservator of Forests (Sch cl. 5), the Bunbury Port Authority (Sch cl. 9 and Sch cl. 20), local authorities (consultation for road closures and town services , Sch cl. 16(4)-(5), cl. 13(2)), and other State agencies that enforce environmental protection laws (Sch cl. 17).

Direct commercial and community stakeholders affected include:

• The Company itself, which acquires statutory privileges (easements, leases, licences, road closures, water rights) and takes on detailed obligations (construction, environmental monitoring, reporting, funding of certain public works and infrastructure). These are set throughout the Schedule, notably in clauses 4, 6, 10, 12, 13, 14, 15 and 16.

• Suppliers, contractors and subcontractors working for or supplying the Company within the Wagerup region. The Agreement gives them an express right to apply for road licences within a 110 km radius (Sch cl. 11) and imposes procurement preferences and tendering expectations (Sch cl. 12).

• Regional communities and local governments in the Wagerup region. The Company is required to provide housing and to participate, fairly and reasonably, in establishment and extension of sewerage, water, drainage, education, hospital and police services (Sch cl. 13). Road closures and replacements (Sch cl. 16(4)-(5)) and the Company’s liability position as the effective “municipality” for certain roads (Sch cl. 16(6)) directly affect local access, public safety and maintenance responsibilities.

• Port and transport users at Bunbury and Kwinana. The Agreement contemplates increased land leases at Bunbury if expansion necessitates more port facilities (Sch cl. 9), and requires freight agreements with the Railways Commission (Sch cl. 10(5)). These changes affect port users, the Bunbury Port Authority and other cargo interests.

• Landholders, residents and environmental interests near the refinery and mining areas. Obligations concerning prevention of discharge of tailings, slimes, pollutants, salt release, rehabilitation and minimisation of erosion (Sch cl. 6(1)) create duties aimed at protecting third‑party interests, and the State retains powers under other environmental statutes (Sch cl. 17).

• Other users of public roads and railways through potential upgrade projects and use patterns. The Company bears costs if its operations require public road upgrades or produce damage beyond fair wear and tear (Sch cl. 16(3)) and must give significant notice to the Railways Commission to enable planning (Sch cl. 10(8)).

Indirectly affected groups include financiers and purchasers of alumina (the Agreement contemplates the Company demonstrating best endeavours to obtain finance and sales contracts as a basis for delay relief , Sch cl. 4 proviso), and parties with rights under the principal and Pinjarra agreements because the Agreement expressly amends and can displace inconsistent provisions in those agreements (Sch cl. 18, 20-21, 19).

Finally, the Parliament and its committees are stakeholders because variations agreed between the parties must be tabled and are subject to parliamentary disallowance within a specified timeframe (Sch cl. 28(2)-(3)). In short, the Agreement re‑allocates and formalises both private commercial entitlements and public administrative duties across multiple actors in Western Australia’s resource and infrastructure governance architecture.

The Agreement embeds a catalogue of enforceable duties for the Company and reciprocal rights and obligations for the State and its agencies. The following synthesises the principal rights and duties with clause references.

Company duties (express):

• Construct and operate Wagerup refinery stages on the Wagerup refinery site, starting after State approval of an environmental review and management programme (Sch cl. 4); first stage (≥200,000 tpa) to be completed and in operation within three years of programme approval (Sch cl. 4(a)); expansion to ~2,000,000 tpa within 15 years of the first stage (Sch cl. 4(b)). Extensions are available if the Company reasonably demonstrates using best endeavours to obtain finance/sales but failing because of market conditions (Sch cl. 4 proviso).

• Prepare and annually review a ten‑year detailed mining plan in consultation with the Conservator of Forests; initial plan due within two years after 30 June 1978 (Sch cl. 5).

• Submit a detailed environmental review and management programme by 30 June 1978 and implement the approved programme, including rehabilitation and management of red mud disposal, prevention of tailings/slimes discharge, minimisation of salt release and prevention of soil erosion (Sch cl. 6(1)-(2)). Carry out continuous investigations and research and provide periodic reports: interim yearly reports starting 12 months after programme approval and detailed three‑yearly reports thereafter (Sch cl. 6(3)). Provide additional information when reasonably required (Sch cl. 6(4)).

• Transport commodities predominantly by rail: alumina to Bunbury and/or Kwinana, bulk materials from Bunbury/Kwinana to Wagerup (Sch cl. 10(1)(a)-(b)). Provide and maintain loading/unloading facilities, terminal equipment and staff at its cost as agreed with Railways Commission (Sch cl. 10(6)). Give adequate advance notice of railway requirements and 18 months’ notice for significant changes (Sch cl. 10(8)). Where required by the State, advance funds to the State for rolling stock and upgrades (Sch cl. 10(4)).

• Use local professional services, labour and suppliers as far as reasonable and economically practicable, give local suppliers reasonable opportunity to tender and give proper consideration where price/quality/delivery/service are equal or better (Sch cl. 12). Report on implementation when requested (Sch cl. 12(2)).

• Provide or ensure housing and assist with community services and infrastructure cost sharing in the Wagerup region as needs develop (Sch cl. 13(1)-(2)).

• Construct and maintain private roads at its expense and exclude unauthorised use (Sch cl. 16(1)(a)-(b)); pay equitable contributions for upgrading or repairing public roads where its operations cause excessive damage (Sch cl. 16(3)); construct replacement roads if required by Minister when closures impede access (Sch cl. 16(5)).

• Submit proposals for water provision and be entitled to licences under the Rights in Water and Irrigation Act 1914 with a first call on surface water from sources within the Wagerup site; contribute fairly to costs of alternative supplies if surface water proves inadequate (Sch cl. 15(1)-(3)).

Company rights and State duties (express):

• The State must introduce and sponsor a Bill to ratify the Agreement and allow entry upon Crown lands where reasonably necessary (Sch cl. 2). The Act then ratifies the Agreement (s 3).

• The State shall, in the Minister’s opinion, lease additional land at Bunbury if required by expansion, at rentals to be agreed and with regard to Bunbury Port Authority and other users (Sch cl. 9).

• The State and State Energy Commission may enter arrangements with the Company for joint electricity and steam generating facilities and for sale of energy by the Company to the State (Sch cl. 8).

• The State shall lease easements over Crown land necessary for construction under terms agreed (Sch cl. 14(4)) and, after consultation with local authorities and Minister for Lands, may close and dispose of road portions to the Company (Sch cl. 16(4)).

• For rail construction specifically authorised by the Agreement, section 96 of the Public Works Act 1902 shall not apply and the Railways Commission constructs such railway at the Company’s cost (Sch cl. 14(3)).

• The State will ensure the Commissioner of Transport will not refuse road licences to the Company or its approved suppliers/contractors inside a 110 km radius, subject to fees and clause 10(1) (Sch cl. 11).

Other protective and procedural features:

• Variation procedure: parties may agree in writing to vary the Agreement; the Minister must lay such agreements before Parliament and they are subject to disallowance within 12 sitting days (Sch cl. 28(1)-(3)).

• Precedence and mutual consistency: where inconsistent, this Agreement prevails over the principal agreement and Pinjarra agreement (Sch cl. 19, 21). The Pinjarra agreement is itself amended to modify the Bunbury Port Authority Act 1909 for certain leases (Sch cl. 20).

• Environmental regulatory backstop: notwithstanding the Agreement’s statutory privileges, clause 17 expressly states the Company is not exempt from compliance with any environmental protection requirement made under any Act, State agency or local authority (Sch cl. 17).

• Liability for roads: for purposes of civil liability arising from use of roads for which the Company is responsible, the Company is to be treated as a municipality and such roads as streets under Local Government Act 1960 definitions (Sch cl. 16(6)).

These duties and rights combine contractual‑statutory obligations with administrative discretions reserved to the Minister and State agencies. The Agreement mixes benefits that facilitate project development with recurring obligations (reporting, environmental monitoring, infrastructure contributions) designed to limit externalities and infrastructure burden on the State and local communities.

The Agreement does not set out express criminal sanctions or administrative fines within its text as reprinted in the Schedule. Instead, enforcement is effected primarily through contractual statutory mechanisms, administrative approvals, licence conditions and the State’s continuing powers recorded in the document. The following summarises the available enforcement levers and legal consequences present within the instrument.

• Statutory force and precedence: once the ratifying Bill becomes law the Agreement operates notwithstanding other Acts or laws (Sch cl. 3(3)). That confers statutory force on the Agreement’s terms and limits direct conflict from other statutes in many respects, which is an enforcement mechanism because statutory privileges can be invoked by the Company against inconsistent regulatory claims. However, clause 17 expressly preserves the State’s power to require environmental compliance under other Acts and authorities (Sch cl. 17), so environmental enforcement can still be pursued under existing statutory regimes.

• Ministerial approvals and conditions: multiple duties hinge on approvals by the Minister or State agencies (for example, approval of the environmental review and management programme , Sch cl. 4, cl. 6(1); approval of water proposals , Sch cl. 15(1); approval of proposals for transport systems , Sch cl. 14(1)). Refusal or conditional approval is a practical enforcement tool; the Agreement ties construction and timing to those approvals (Sch cl. 4). The Schedule does not detail internal appeal procedures for such refusals; parties may need to look to the principal agreement or general administrative law for remedies (the Schedule refers to clause 29 of the principal agreement in cl. 4 proviso).

• Contractual obligations with parliamentary oversight: variations to the Agreement are subject to parliamentary scrutiny: variations must be laid before each House and are capable of disallowance within 12 sitting days (Sch cl. 28(2)-(3)). That mechanism allows Parliament to check agreed variations, functioning as a legislative oversight enforcement channel over amendments.

• Financial enforcement through advances and repayment terms: the Company may be required to advance funds to the State for rail rolling stock and upgrades; those advances are repayable on terms to be agreed (Sch cl. 10(4)). The contractual obligation to advance funds creates enforceable payment duties, and repayment terms are to be agreed at the time of advance.

• Property and lease rights: the State grants easements, leases and licences under statutory Titles (Sch cl. 14(4), cl. 15(2), cl. 9). The State’s power to grant or rescind those rights is a regulatory lever; compliance failures may affect continuation of leases or licences depending on their terms. The Schedule does not show default forfeiture clauses for leases, which may be in lease instruments or in the principal or Pinjarra agreements.

• Civil liability categorisation: for roads the Company is deemed to be a municipality for the purposes of civil liability arising from use of the roads for which the Company is responsible (Sch cl. 16(6)). This reclassification modifies the legal regime applicable to tort claims by third parties and could affect standard of care, indemnity, defences and insurance obligations.

• Reporting obligations: failure to submit the required environmental investigations and reports (annual interim and three‑yearly detailed reports , Sch cl. 6(3)) would be a breach of an express Agreement duty. Enforcement could be sought through contractual remedies, regulatory action under environmental statutes (Sch cl. 17) or by recourse to remedies specified in the principal agreement where applicable (the Schedule cross‑refers to the principal agreement).

• Infrastructure and upgrade obligations: the Company’s obligation to fund upgrades or to make equitable contributions to repair public roads damaged by its operations (Sch cl. 16(3)) is an enforceable debt or contractual obligation; similarly, requirement to provide loading and unloading facilities (Sch cl. 10(6)) is enforceable as a covenant between the parties.

• No express administrative penalty roster: the Schedule does not itself create an administrative penalty regime (for example, infringement notices or administrative fines) within the text provided. Enforcement therefore relies on contract remedies, statutory authority enforcement (for environmental or licensing breaches), and the exercise by the State of its powers under the particular leases, licences and statutory instruments referenced.

Implementation and enforcement risk areas:

• Gaps in dispute‑resolution text within the Schedule as reprinted: the Agreement refers to other clauses in the principal and Pinjarra agreements for certain matters (for example, cl. 4 proviso referencing clause 29 of the principal agreement) without reproducing them; enforcement processes for some obligations may therefore be located in those other instruments rather than in this Schedule.

• Intersection of statutory override and residual statutory powers: clause 3(3) states the Agreement operates notwithstanding any Act or law when the Bill commences as an Act, but clause 17 states the Company is not exempt from environmental requirements made under Acts or state agencies. The coexistence of those provisions creates potential interpretive and enforcement friction that may require administrative or judicial clarification if contested.

• Parliamentary disallowance of variations: while variations can be agreed by the parties, Parliament may disallow them within a tight window; that creates a political enforcement check but also timing uncertainty for the Company and the State.

Overall, enforcement is decentralised across contractual obligations, statutory licence conditions, ministerial approvals, and the civil liability framework. The Schedule places numerous operational duties on the Company that, while not paired with a prescriptive fines regime in the Agreement text, are enforceable under normal contractual and statutory mechanisms. Parties and regulators will need to combine contract law, administrative law and the relevant statutory regimes to effect compliance or redress breaches.

The Agreement expressly intersects with several Acts, pre‑existing agreements and statutory agencies. The Schedule both imports definitions from the principal and Pinjarra agreements and modifies the application of particular statutes in named contexts. The key textual intersections follow from the Agreement language.

• Principal agreement and Pinjarra agreement: the Schedule explicitly cross‑references and amends the principal Alumina Refinery Agreement and the Pinjarra agreement. Words and phrases defined in clause 2 of the principal agreement and clause 1 of the Pinjarra agreement are imported where not defined in this Agreement (Sch cl. 1). The Agreement amends the principal agreement by substituting clause 28 and adding other constructional provisions (Sch cl. 18-19). It also inserts a clause 5A into the Pinjarra agreement to modify the Bunbury Port Authority Act 1909 for lands leased to the Company (Sch cl. 20). Clause 21 sets out which parts of the Pinjarra agreement apply mutatis mutandis to this Agreement and lists exclusions.

• Public Works Act 1902: clause 14(3) disapplies section 96 of the Public Works Act 1902 for railways constructed pursuant to the Agreement, and declares any such railway to be constructed under authority of a special Act as at the date of approved proposal and in accordance with s 96(1). This is a targeted modification to the ordinary public works authorisation process for specified rail projects.

• Rights in Water and Irrigation Act 1914: the State’s grant of water licences to the Company is explicitly to be made pursuant to the Rights in Water and Irrigation Act 1914 (Sch cl. 15(2)). The Agreement contemplates amendment of such licences by the State, after consultation with the Company, having regard to the Company's water requirements (Sch cl. 15(2)). The Company is granted a first call on surface water within the Wagerup refinery site; however the State retains amendment power.

• Transport Commission Act 1966 and other transport legislation: the Agreement requires the Commissioner of Transport under the Transport Commission Act 1966 not to refuse to grant road transport licences within a 110 km radius, subject to fees (Sch cl. 11). Charges must not be discriminatory against the Company (Sch cl. 11(c)). The Agreement therefore modifies administrative discretion under existing transport licensing regimes for a specific geographic and operational envelope.

• Local Government Act 1960 and Land Act 1933: clause 16(4) authorises the Minister to close and dispose of certain portions of roads notwithstanding provisions of the Local Government Act 1960 and Land Act 1933, after consultation. Clause 16(6) also borrows the definitions of “municipality”, “street”, and “care control and management” from the Local Government Act 1960 for the purpose of road liability.

• Bunbury Port Authority Act 1909: the Agreement modifies how the Bunbury Port Authority Act applies to land leased to the Company by deleting the proviso to section 25 and allowing different leasing powers consistent with the Agreement (Sch cl. 20). This is a specific statutory modification effected through the Agreement and its amendment to the Pinjarra agreement.

• State Energy Commission Act 1945: the State Energy Commission is engaged in potential joint electricity/steam generation arrangements with the Company (Sch cl. 8). The Agreement therefore involves the jurisdiction and functions of the State Energy Commission.

• Public railway operation and railways law: the Agreement prescribes that the Railways Commission shall provide, maintain and service rail infrastructure necessary for the Agreement (Sch cl. 10(7)), subject to the Company’s contribution commitments and freight agreements. The Agreement thus interacts with rail regulatory and operational law and practice.

• Environmental statutes and regulatory regimes: while the Agreement confers rights and imposes environmental management duties, clause 17 states that nothing in the Agreement exempts the Company from compliance with any environmental protection requirement under any Act, State agency or local authority (Sch cl. 17). Therefore, environmental law continues to apply and the Agreement operates alongside it.

• Parliamentary procedures: clause 28 requires that variations to the Agreement be laid before Parliament and are subject to disallowance. This introduces a procedural interaction with parliamentary sitting rules and the processes of laying and disallowance under parliamentary practice.

• External obligations housed in principal agreements: the Schedule frequently references clauses in the principal agreement and in the Pinjarra agreement (for example, clause 4 proviso references clause 29 of the principal agreement; clause 1 imports definitions from clause 2 of the principal agreement and clause 1 of the Pinjarra agreement). For full effect and to locate dispute resolution mechanisms and certain enforcement provisions, one must consult the principal and Pinjarra agreements and the other Acts they amend or incorporate.

In sum, the Agreement is interwoven with an array of statutory instruments and pre‑existing contractual agreements. It both relies upon and modifies how certain statutes apply in specific contexts, creates cross‑statutory duties (for example, water licences pursuant to the Rights in Water and Irrigation Act 1914) and imports definitions and mechanisms from the principal and Pinjarra agreements. Practitioners must therefore treat the Schedule as part of a legal ecosystem: its operation depends on reading it alongside the principal agreement, the Pinjarra agreement and the statutes and instruments it references.

The legislative compilation table printed in the Act records the following formal amendments and editorial updates.

• Original enactment: Alumina Refinery (Wagerup) Agreement and Acts Amendment Act 1978 No. 15 of 1978, assented to 18 May 1978, commenced 18 May 1978. The 1978 Act enacted and ratified the Agreement contained in the Schedule (s 3).

• 1987 Variation Agreement: the Agreement was amended in accordance with the 1987 Variation Agreement, which was given statutory effect by the Alumina Refinery Agreements (Alcoa) Amendment Act 1987 (No. 86 of 1987), Part IV. The compilation table records assent on 9 December 1987 and commencement 9 December 1987 (see s 2). The Act itself had section 2 (definition of 1987 Variation Agreement) and section 4 inserted by No. 86 of 1987 (s 14 and s 15 of that amending Act). The Schedule’s textual references to the 1987 Variation Agreement appear through the Act’s inserted s 2 and s 4, which expressly amend the Agreement.

• 2010 formatting/standardisation: the Standardisation of Formatting Act 2010 (No. 19 of 2010) effected formatting standardisations to the reprint. Section 4 and s 43(2) of that Act are cited in the compilation table, with assent 28 June 2010 and commencement 11 September 2010. The reprint notes that sidenotes in the Agreement have been represented as bold headnotes without changing their legal status (Notes point 2).

• Reprints omission: the statutory reprint records that Parts II and III of the Act have been omitted under the Reprints Act 1984 s 7(4)(e). The compilation table notes this editorial omission.

• Insertions in the Schedule: within the Schedule (the Agreement itself), the Act as reprinted indicates where sections were inserted or amended by the 1987 Act (for example, the Interpretation clause s 2 and s 4 of the Act stating the Agreement is amended in accordance with the 1987 Variation Agreement are labelled as inserted by No. 86 of 1987, s 14 and s 15 respectively).

What the compilation table does not show:

• The compilation table and the reprint record the Acts and sections that amended or formatted the instrument, but they do not reproduce the text of the 1987 Variation Agreement in the Schedule within this reprint excerpt (the Act’s definition of the 1987 Variation Agreement is included but the variation text is not reprinted here). Practitioners must consult the amending Act No. 86 of 1987 (Part IV) and the formal 1987 Variation Agreement text in the Pinjarra/Alcoa amendment instruments to see the precise changes effected by that variation.

• The compilation table does not record any subsequent substantive amendments beyond 1987 and the 2010 formatting changes within the excerpted notes. For updated legal status beyond those amendments, consult consolidated state legislation sources or official reprints that include any later variations, orders, or consequential amendments to the principal or Pinjarra agreements.

Taken together, the amendment history shows the Agreement was given statutory force in 1978, was varied by a 1987 instrument now incorporated by reference in the Act, and has been subject to formatting standardisation in 2010. The Schedule also cross‑references and modifies provisions of other agreements which themselves may have their own amendment histories.

The text of the Act and the Schedule as supplied contains no reported litigation, no citations to judicial decisions, and no in‑text references to adjudicated disputes. The Schedule does, however, create multiple potential axes for legal conflict because it embeds statutory overrides, administrative discretions and cross‑instrument references. The Agreement’s own text points users back to the principal agreement for certain matters (for example, the proviso in clause 4 refers to clause 29 of the principal agreement) indicating that dispute resolution and enforcement modalities may be situated in the wider set of Alcoa‑State agreements.

Potential litigation or administrative review loci identifiable from the Agreement text include:

• Ministerial approval of the environmental review and management programme: construction commencement and timing are conditional on State approval of the environmental review and management programme (Sch cl. 4 and cl. 6(1)). Disputes could arise over whether approvals or conditions were lawfully exercised, whether the programme as implemented complies with approved parameters, or whether the State has unreasonably withheld approval. The Agreement does not itself set out a detailed appeals process for such approvals within the Schedule text; practitioners should consult the principal agreement for procedures and the Administrative Decisions (Judicial Review) Act or state judicial review principles for potential judicial review of unreasonable or unlawful administrative decisions.

• Interpretation of the “notwithstanding” clause and environmental protection interplay: clause 3(3) of the Agreement declares the Agreement will operate notwithstanding any Act or law once the Bill is passed. Clause 17, however, preserves application of environmental requirements made under other Acts. Interpreting the scope of the “notwithstanding” provision against clause 17 may be a locus for litigation or administrative dispute about the extent to which the Agreement displaces statutory environmental duties and what obligations remain enforceable under environmental statutes. The Agreement’s text therefore provides a defined tension that could be litigated.

• Water licence amendments and “first call” rights: clause 15(2) grants water licences under the Rights in Water and Irrigation Act 1914 but allows the State to amend such licences after consultation. Clause 15(3) grants the Company a “first call” on surface water within the Wagerup refinery site. Litigation could arise concerning the meaning and enforceability of “first call”, the reasonableness of licence amendments by the State, and the Company’s contribution obligations for alternative supplies.

• Road closures, access and liability: clause 16(4) authorises road closures notwithstanding the Local Government Act 1960 and Land Act 1933, but requires consultation. Clause 16(5) contemplates the Company constructing replacement roads if closures impede public access. Clause 16(6) deems the Company a municipality for purposes of civil liability for road use. Disputes over closure procedures, adequacy of replacement roads, liability for accidents and compensation for loss of access could arise.

• Rail and freight arrangements: the Agreement obliges the Company to use rail carriage (Sch cl. 10(1)) and to provide facilities and notices (Sch cl. 10(6)-(8)). Litigation could surface around freight agreements, notice adequacy, carriage failures or the scope of the Railways Commission’s obligations when the State is unable to transport daily requirements (Sch cl. 10(2)).

• Parliamentary disallowance of variations: variations agreed between the parties require laying before Parliament and are subject to disallowance within 12 sitting days (Sch cl. 28(2)-(3)). Litigation could arise on procedural grounds if variations are treated as effective or ineffective given parliamentary action or inaction, or if there is dispute about whether a particular variation falls within the scope envisaged by clause 28.

Because the Agreement cross‑references the principal and Pinjarra agreements and other Acts for definitions and some procedural details, actual litigation history on precise matters would likely involve those instruments as well. The Schedule does not list or summarise any case law interpreting its provisions; to locate concrete judicial decisions, practitioners must search case law databases for disputes invoking the Alumina Refinery (Wagerup) Agreement, the principal Alumina Refinery Agreement Act 1961, the Alumina Refinery (Pinjarra) Agreement Act 1969 and any subsequent 1987 variation litigation records. The absence of recorded litigation in this reprint does not indicate absence of litigation in reality; it only reflects that the instrument as provided does not carry a litigation annex.

The Agreement contains several provisions that can produce unexpected legal or operational consequences if not read closely. These are concrete matter‑of‑fact traps and interpretive tight spots drawn from the text.

• Commencement conditional on parliamentary passage and statutory override interplay (Sch cl. 3(1)-(3)): although the Agreement anticipates operation as an Act, many substantive provisions only take effect once the ratifying Bill is passed. Clause 3(3) then declares that upon commencement the Agreement operates “notwithstanding the provisions of any Act or law”. Practitioners should not assume contemporaneous operation of obligations absent that legislative step. Moreover, the statutory override can be read expansively but clause 17 preserves environmental duties; the coexistence of those statements can produce a read‑across risk when deciding whether an environmental regulator’s statutory requirement is displaced by the Agreement.

• Environmental reporting cadence and content (Sch cl. 6(1)-(4)): the Company must submit an environmental review and management programme by 30 June 1978 and then implement it with continuous monitoring and annual interim plus triennial detailed reports. Failure to adhere to these timelines or to provide sufficient additional information when requested exposes the Company to breaches whose enforcement route is not specified within the Schedule but which are likely actionable under environmental statutes or through contractual remedies. The specific metrics and performance tests are not prescribed in the Schedule and are left to the approved programme and State requirements, which creates compliance uncertainty.

• Company deemed a municipality for road liability (Sch cl. 16(6)): the legal effects of treating the Company as a municipality, and the roads as “streets” under the Local Government Act 1960 definitions, shift the tort and liability framework for incidents on such roads. That reclassification can alter duty‑of‑care assessments, potential immunities and insurance requirements , practitioners must examine the Local Government Act 1960 definitions and civil liability regimes to see the precise legal consequences.

• Road closure powers and replacement obligations (Sch cl. 16(4)-(5)): the Minister may close and dispose of roads notwithstanding Local Government Act and Land Act provisions after consultation. If closures impede public access, the Minister may require the Company to construct replacement roads at its expense. This creates an operational cost exposure that depends on the Minister’s subjective view of what “prevents or impedes reasonable public access” may mean in practice. Companies should not assume closures will be frictionless or cost‑neutral.

• Water licence amendment by the State (Sch cl. 15(2)): while licences are to be granted under the Rights in Water and Irrigation Act 1914, the State retains the power to amend licences after consultation and the Company’s water entitlement is tied to a first call on surface water within the site. This duality produces regulatory uncertainty for long‑term water security and creates a potential negotiation point with the State for future allocation changes or restrictions.

• Transport obligations with operational dependencies (Sch cl. 10): the Agreement requires rail transport but includes an exception where the State is unable for any reason to transport daily requirements by rail (Sch cl. 10(2)), and contemplates alternatives like conveyor and pipeline in certain circumstances (Sch cl. 10(3)). That structure means that operational continuity depends on State rail capacity and agreement with the Railways Commission on freight agreements, notice periods and infrastructure provisioning. The Company bears responsibility to provide loading/unloading facilities and may be required to advance funds for rolling stock; repayment terms are to be agreed at the time, so the financial terms could be negotiated after the obligation is incurred (Sch cl. 10(4)).

• Variation mechanism with parliamentary disallowance (Sch cl. 28): while the parties may enter written variations, such variations must be laid before Parliament and can be disallowed within 12 sitting days. This makes variation subject to external political process and timing risks. A variation agreed and implemented may be reversed by Parliament within a short period, creating legal uncertainty for capital projects implemented under a variation.

• Importation of provisions from other agreements without full text (Sch cl. 1, 19, 21): the Schedule imports definitions and cross‑references clauses from the principal and Pinjarra agreements. Practitioners cannot fully understand enforcement, dispute resolution, or certain rights without reading those other texts. Assuming the Schedule is self‑contained risks missing crucial procedural or remedial clauses.

• Lack of express penalties in the Schedule: the Agreement does not set out a catalogue of fixed monetary administrative penalties for breaches within the Schedule text. Enforcement therefore depends on other instruments or common contractual remedies, which could make remediation and quantifying exposure more complex.

• Town development and cost‑sharing references are imprecise (Sch cl. 13(2)): the Company “accepts the principle of fair and reasonable sharing” of costs for services as they develop, but the Agreement does not quantify what “fair and reasonable” means or provide an arbitration mechanism to resolve disputes about cost‑sharing. This vagueness is a practical source of negotiation and potential disagreement with local authorities.

These features are not hidden; they are explicit in the Schedule. The practical risk is that parties may treat them as standard or routine when they carry material legal and financial implications that require detailed implementing agreements, licences and project‑level plans.

Compliance under the Agreement is a mix of discrete deliverables, recurring reporting obligations and ongoing operational practices. The practical steps below track the Agreement’s express requirements and identify where additional implementation instruments will be necessary.

1. Secure statutory commencement and coordinate approvals

• Ensure the ratifying Bill has been introduced and the Agreement is operational only after the Bill is passed and comes into force (Sch cl. 3(1)-(3); s 3 of the Act ratifies the Agreement). The Company should record the date of parliamentary commencement, as many obligations and rights condition on that event.

2. Environmental review and management programme

• Submit a detailed environmental review and management programme to the Minister by the stated deadline (the Agreement required submission “on or before 30 June 1978” , Sch cl. 6(1)). If the programme has been approved (or amended by the 1987 Variation Agreement), the Company must implement it and establish systems for continuous monitoring and research (Sch cl. 6(2)).
• Establish data capture, monitoring, environmental management systems and protocols for recording investigations. Set up a calendar for the required interim yearly reports commencing 12 months after programme approval and detailed three‑yearly reports thereafter (Sch cl. 6(3)).
• Maintain internal documentation to respond promptly to additional information requests from the State (Sch cl. 6(4)).

3. Construction and expansion timetable

• Align project milestones with cl. 4: first stage completion within three years of programme approval and expansion to ~2,000,000 tpa within 15 years of first stage completion (Sch cl. 4(a)-(b)). If market or finance conditions impair timing, document “best endeavours” to obtain finance and sales contracts in writing to justify any ministerial extension under the proviso (Sch cl. 4 proviso).

4. Mining plans and consultation

• Prepare a detailed ten‑year mining plan for State Forest and Crown land within two years after 30 June 1978 and institute an annual review process with the Conservator of Forests (Sch cl. 5). Keep records of consultation minutes, alternate options considered and environmental assessments.

5. Transport obligations

• Negotiate and execute a freight agreement with the Railways Commission that fulfils Sch cl. 10(5) obligations. Ensure the Company provides sufficient notice of annual and projected tonneages and gives at least 18 months’ notice for significant changes (Sch cl. 10(8)).
• If required to advance funds for rolling stock or upgrading, document advance agreements and repayment terms at the time of advance (Sch cl. 10(4)). Establish inter‑agency interface protocols with Railways Commission for terminal operations, maintenance, and staff provisioning per Sch cl. 10(6)-(7).

6. Road and easement compliance

• When proposing construction of railways, roads, conveyors or pipelines, submit detailed proposals to the Minister as required (Sch cl. 14(1)). For railways constructed pursuant to approved proposals, understand that section 96 of the Public Works Act 1902 is disapplied and the Railways Commission will construct the railway at the Company’s cost (Sch cl. 14(3)).
• If private roads are constructed, ensure exclusion signage, security, maintenance regimes and compliance with protection requirements the Commissioner may stipulate where crossings occur (Sch cl. 16(1)(b)-(c)). Maintain insurance calibrated to the Company’s status as deemed municipality on covered roads (Sch cl. 16(6)).

7. Water licensing and supply

• Prepare and submit comprehensive water proposals for Ministerial approval, including bores, dams, supply channels, pipelines and any diversions (Sch cl. 15(1)). Apply for licences under the Rights in Water and Irrigation Act 1914 and document the State’s consultative process and any agreed maximum annual quantities (Sch cl. 15(2)).
• Plan for a first‑call posture on internal surface water while also preparing contingency plans and budgeting for a fair and reasonable contribution to any alternative or supplementary supply the State establishes if internal supply proves inadequate (Sch cl. 15(3)).

8. Local procurement, labour and community obligations

• Implement procurement policies, tendering processes and labour strategies that give reasonable opportunity to Western Australian suppliers, professionals and labour markets as set out in Sch cl. 12(1). Keep records to support compliance when the Minister requests a report (Sch cl. 12(2)).
• Draft housing and community services plans that demonstrably provide reasonable accommodation and set out proposed capital contributions or other mechanisms for sharing costs for sewerage, water headworks and related services (Sch cl. 13(1)-(2)). Engage early with local authorities to avoid disputes over “fair and reasonable” contributions.

9. Reporting and records

• Create an integrated compliance register for all Agreement‑based obligations with notification and reporting deadlines derived from the Agreement (environmental reports, mining plan submissions, rail freight notices, water licence maintenance, procurement reporting).
• Maintain versioned documentation proving best endeavours to obtain finance and sales contracts where timetable extensions are sought (Sch cl. 4 proviso).

10. Governance, insurance and liability management

• Review and revise the Company’s insurance programme and legal oversight in light of clause 16(6) which casts the Company as municipality for certain road liabilities. Seek legal advice on how this affects tort exposure and indemnity arrangements.
• Ensure contractual terms with suppliers and contractors reflect the Agreement’s transport, road access, and environmental obligations, and include indemnities and appropriate compliance warranties.

11. Variation and parliamentary process

• Where the Company seeks contractual variations with the State, remember that such agreements must be laid before Parliament within 12 sitting days and can be disallowed by resolution (Sch cl. 28(2)-(3)). Incorporate contingency planning for parliamentary review timelines into project schedules.

12. Cross‑reference other instruments

• For dispute resolution, enforcement, and other procedural matters that the Schedule references but does not reproduce (for example, clause 29 of the principal agreement), obtain and review the principal and Pinjarra agreements and the text of the 1987 Variation Agreement referenced by the Act (s 2; s 4).

Compliance requires an integrated programme spanning environmental science, engineering, public administration, statutory licensing and commercial contract law. Because many obligations depend on approvals and licences under other Acts, establishing and documenting cooperative working relationships with relevant State agencies and local authorities is essential for reducing implementation risk.
