Alumina Refinery Agreements (Alcoa) Amendment Act 1987

The Schedule implements several recurring legal and economic concepts via express contractual/statutory mechanisms. Each concept is implemented as a clause or set of clauses in the Schedule and interacts with external regulatory frameworks.

1. Ratification and overriding effect

• s 4(1) ratifies the 1987 agreement; s 4(2) provides that the 1987 agreement “shall operate and take effect notwithstanding any other Act or law”. The Schedule therefore operates with an overriding character, subject to the Government Agreements Act 1979 as noted in s 4(2). Mechanically the ratified agreement becomes authorised State policy and law for the parties.

2. Royalty design and deemed revenue

• The principal new royalty is a percentage of “deemed F.O.B. revenue” (1.65% per quarter) for alumina sold or otherwise disposed of from 1 January 1988 forward (Schedule cl 9(3)(a)-(c)). The Schedule defines “deemed F.O.B. revenue” as the sales value per tonne multiplied by total tonnes sold during the quarter; “sales value per tonne” is defined by reference to average arm’s length export prices, net of enumerated costs and export duties (Schedule cl 9(3)(b)). The Minister may disallow particular cost items and disputes on treatment of costs are subject to arbitration (Schedule cl 9(3)(b)(a)). Currency conversion methodology is to be agreed by Minister and Company (cl 9(3)(c)). The royalty is payable quarterly on estimated returns, with audited annual returns to reconcile estimates (cl 9(3)(d)-(g)).

3. Resource value capture for secondary minerals

• Gallium: the Company has the right to extract gallium from bauxite processed in its refineries but must pay a 20% royalty of the gross value less Minister‑approved sale costs (Schedule cl 9(18)(a)-(c)). Valuation rules and arbitration for non‑arm’s length transactions are specified (cl 9(18)(c)).
• By‑products (other than alumina and gallium): recovery allowed only with Ministerial approval, potentially conditional on environmental approvals, and royalties are to be paid at rates prescribed under the Mining Act 1978 (Schedule cl 9(19)(a)-(c)).

4. Tenement handling and excision

• The Schedule prescribes that mining leases granted under clause 9(15) will be excised from the mineral lease and leased area, will be subject to special conditions (cl 9B), and on expiration be returned to the mineral lease regime (cl 9D). Clause 25A permits the State to grant mining tenements for minerals other than bauxite in areas covered by the mineral lease subject to consultation, Ministerial determination of “undue prejudice or interference”, and Warden procedures under the Mining Act 1978 (Schedule cl 25A).

5. Ministerial approvals, consultation and environmental linkages

• Clause 9E sets out procedures for significant refinery modifications or expansions: notice to the Minister, requirement to submit proposals on request, Ministerial approval, timelines for decision (2 months), rights to consult and revise proposals, arbitration for disputes about reasonableness of Ministerial decisions, and compensation to the State for costs if the Company abandons an approved proposal (Schedule cl 9E).

6. Local content and procurement obligations

• Clause 9F requires the Company, “as far as it is reasonable and economically practicable”, to use Western Australian professional services, labour and to give fair opportunity or preference to Western Australian suppliers when price/quality/delivery/service are equal (Schedule cl 9F).

7. Commercial flexibility for logistics

• The fixed freight schedule is removed and replaced with freight charges “as agreed with the Railways Commission” and the option to implement a separate, negotiable freight agreement which can be retrospective if the parties agree; variability and exclusion from clause 28 are expressly provided (Schedule cl 4(4), cl 5, cl 6).

8. Audit, reporting and arbitration

• The Schedule requires quarterly returns and estimated payments, an audited annual return, State‑requested independent audits at State cost, and arbitration mechanisms for disputes (Schedule cl 9(3)(d)-(g), cl 31 replacement).

9. Statutory modernisation

• The Schedule modernises references: e.g., replacing Mining Act 1904 references with Mining Act 1978, renaming authorities (Fremantle Port Authority), and updating representation rights in arbitration (Schedule cl 4(1), cl 4(11)).

Each of these concepts creates distinct protocols for economic allocation (royalties, excisions), decision rights (Minister approvals, arbitration), information flows (returns and audits), and operational constraints (environmental approvals, freight contracting, local content). The Schedule places these protocols into the partially statutory framework by virtue of ratification (s 4(1)) and overriding primacy (s 4(2)).

The Act and the Schedule operate through named parties, statutory offices, regulators, third parties, and classes of private actors. The principal affected actors identified in the text are:

• Alcoa of Australia Limited (the Company), its successors and permitted assigns: the agreement expressly governs Alcoa’s rights to mine, process, extract gallium, recover by‑products, apply for and hold mining leases, surrender portions of leases, expand refineries, enter freight contracts, and meet reporting and royalty payment obligations (Schedule throughout; see cl 1, cl 9(3)-(20), cl 9B-9F, cl 25A).

• The State of Western Australia: the State is a named party in the 1987 agreement and retains decisional powers under numerous clauses , Ministerial discretion over approvals, arbitration nominations, determinations on whether tenement grants would “unduly prejudice or interfere”, and a duty to grant certain mining leases (e.g., cl 9C obligation for land coloured green on Plan F) (Schedule cl 2, cl 4(3), cl 9C, cl 25A).

• Ministers and Ministerial offices:

  • Minister for Mines (or “the Minister”): responsible for receiving returns, determining allowable deductions for deemed F.O.B. revenue, requesting audits, consulting on tenement applications, making decisions on approvals and arbitration references (Schedule cl 9(3)(b), (d), (e), cl 25A).
  • Minister(s) responsible for transport (references updated to the Minister administering the Transport Co‑ordination Act 1966) and Minerals and Energy: involved in freight agreements and various approvals (Schedule cl 4(4), cl 5, cl 6).
  • Executive Director (Conservation Act): replaces Conservator of Forests references for certain environmental conditions (Schedule cl 4(1)(c), cl 13 amendments).

• Railways Commission: required counterparty to the new freight agreements and contract for rail freight services; the freight agreement may be negotiated and can operate retrospectively by mutual agreement (Schedule cl 4(4)(a), (b), cl 5(2), cl 6(2)).

• Future assignees and holders of separate mineral leases: assignability of interests and the effect on rights is addressed across clauses (e.g., references in cl 9B(3), cl 17 amendment). Assignees carry the Company’s rights and obligations in certain contexts.

• Third‑party miners and applicants for mining tenements: clause 25A permits the State to grant tenements for non‑bauxite minerals but requires consultation with the Company and empowers the Minister to refuse applications likely to prejudice the Company’s operations; Warden procedures and objections under the Mining Act 1978 remain applicable (Schedule cl 25A).

• Contractors, suppliers, and Western Australian manufacturers: the Company is required to give domestic suppliers a fair opportunity and preference where price/quality/delivery/service are equal, and to use WA professional services and labour where reasonable and economically practicable in implementation of approved proposals (Schedule cl 9F).

• Auditors and arbitration panels: registered auditors (audited annual returns) and independent auditors appointed by the State (at State cost) are specifically contemplated; arbitration is the formal dispute-resolution route for many valuation and reasonableness disputes (Schedule cl 9(3)(e)-(f), cl 9E(7), cl 31).

• Environmental regulators: the Minister may require environmental condition variations and engagement with the Environmental Protection Authority is explicitly required in certain Wagerup expansion cases (Schedule cl 9(19)(b)(iii), cl 6(1)(2)).

• Port and shipping interests: the Schedule updates port authority references and removes prior freight schedules in favour of negotiated arrangements, affecting port handling arrangements, shipping agents and insurance allocations (Schedule cl 4(1)(d), cl 4(4)(a)-(b), cl 9(3)(b) deductions).

Who pays and who decides:

• The Company pays the various royalties (alumina royalty 1.65% of deemed F.O.B. revenue, gallium 20% gross value less approved costs, by‑products per Mining Act 1978 rates) and freight charges as negotiated (Schedule cl 9(3)(a), cl 9(18)(b), cl 9(19)(c), cl 4(4)(a)).
• The Minister(s) decide on deductible costs for deemed F.O.B. revenue, on approval of by‑product recovery modes, on tenement refusal under clause 25A, and on approval of expansion proposals; many Ministerial decisions are subject to consultation obligations and potential referral to arbitration where reasonableness is disputed (Schedule cl 9(3)(b)(a), cl 9(19)(b)(i)-(iii), cl 25A, cl 9E).

The Act therefore concentrates primary payment obligations on the Company while vesting a mixture of approval, consultative and veto powers with Ministers and certain statutory officers. Third parties proposing to operate within the mineral lease area are affected by excision rules, consultation procedures and possible conditions imposed on any granted tenement.

The Schedule imposes enumerated duties on the Company, confers rights, and allocates decision and information rights between the Company and the State. Below are the principal duties and rights, identified by clause references in the Schedule.

Obligations of the Company

• Pay alumina royalty: From and including the quarter commencing 1 January 1988 the Company must pay royalty at 1.65% of “deemed F.O.B. revenue” for that quarter (Schedule cl 9(3)(a)-(b)).

• Reporting and payment timetable: The Company must:

  • Furnish quarterly returns within 30 days after each quarter end (last days of March, June, September, December), estimating royalties payable and showing quantity, value and other details as required by the Minister for Mines (Schedule cl 9(3)(d)).
  • Pay estimated royalty by the due date (within 30 days of the due date) based on the estimate or other agreed amount (cl 9(3)(d)).
  • Furnish an audited annual return within 2 months after 31 December each year showing all details necessary for royalty calculations (cl 9(3)(e)).
  • Allow an independent State‑appointed audit, at State cost, if required (cl 9(3)(f)).
  • Pay adjustments following reconciliation, with differences treated in the next quarterly payment (cl 9(3)(g)).

• Provide evidence for royalty calculations: On request the Company must satisfy the Minister as to weights, analyses, prices and costs by competent independent certification or other means reasonably satisfactory to the Minister (cl 9(3)(i)).

• Pay gallium royalties and comply with valuation/arbitration rules for gallium sales: If gallium is extracted and sold, Company pays 20% royalty of gross value less Minister‑approved sale costs; valuation for non‑arm’s length transactions to be agreed or determined by arbitration (cl 9(18)(a)-(c)).

• Seek Ministerial approval for by‑product recovery and comply with environmental conditions: The Company may only recover by‑products in modes approved by the Minister, and the Minister may require environmental condition variations before approving (cl 9(19)(b)(i)-(iii)). Royalties for by‑products will follow rates under Mining Act 1978 (cl 9(19)(c)).

• Surrender and rent abatement: The Company may surrender portions of the mineral lease subject to Ministerial consent regarding previously mined areas; future rentals abate proportionately on surrender (cl 9(20)(a)-(b)).

• Conform with special conditions on mining leases: Mining leases granted pursuant to clause 9(15) will carry special conditions including that bauxite mining must be carried out by or on behalf of the Company and that breach of mine lease covenants will be deemed a failure to comply with the Agreement (cl 9B(1)(a)-(b)). The Company will not be obliged to pay bauxite royalties under Mining Act 1978 where it is already liable for alumina royalties under the Agreement (cl 9B(1)(c)).

• Notify and submit proposals for significant refinery modification/expansion: The Company must notify the Minister if it desires to significantly modify or expand refinery capacity; if required it must submit detailed proposals, including environmental monitoring/management measures (cl 9E(2)).

• Local procurement and labour obligations in approved proposals: The Company must, so far as reasonable and economically practicable, use WA professional services, labour, and give fair opportunity and preference to WA suppliers when price/quality/delivery/service are equal (cl 9F(1)(a)-(d)).

Rights of the Company

• Right to extract gallium and by‑products (subject to the Schedule’s constraints): Right to extract gallium from bauxite processed in specified refineries (cl 9(18)(a)); right to recover by‑products other than alumina and gallium subject to Ministerial approval and environmental conditions (cl 9(19)(a)-(b)).

• Right to obtain mining leases and be treated preferentially for certain leases: The Schedule requires the State to grant a mining lease for land coloured green on Plan F not later than one month after the 1987 Amendment date when applied for by the Company or assignee (cl 9C(1)). Mining leases granted under clause 9(15) for the Company are subject to special conditions but are available (cl 9B).

• Right to expand or modify refinery subject to prescribed process: Where the Minister does not require proposals, the Company can proceed with modifications subject to compliance with applicable laws; if proposals are required, decision timelines and arbitration rights for “reasonableness” disputes are provided (cl 9E(1)-(7)).

• Right to arbitration: The Company can refer certain disputes (e.g., disagreement over cost deductions for deemed F.O.B. revenue; reasonableness of Ministerial decisions regarding expansion approvals) to arbitration as provided (cl 9(3)(b)(a), cl 9E(7); arbitration representation clarified in cl 31 replacement).

Ministerial and State rights and discretions

• Determine deductible costs in deemed F.O.B. revenue: The Minister may notify the Company that particular costs listed items (1)-(9) in cl 9(3)(b) are not “properly incurred”; the Company may then arbitrate the matter (cl 9(3)(b)(a)).

• Require environmental approvals before permitting by‑product recovery: The Minister may require approval of variations to environmental conditions before approving by‑product recovery modes (cl 9(19)(b)(ii)-(iii)).

• Refuse tenement applications and impose conditions: Under clause 25A the Minister may refuse applications for mining tenements over mineral lease area if grant would unduly prejudice Company operations or reduce economically extractable bauxite reserves; where not refused, the application will proceed under Mining Act 1978 with possible conditions imposed by the Minister (cl 25A(1)-(3)).

• Require consultation with the Company for tenement applications: Before deciding on certain tenement applications, the Minister must consult with the Company about significance of bauxite deposits and operation impacts (cl 25A(2)(a)).

Enforcement and dispute resolution mechanisms

• Audit and reconciliation mechanisms for royalty compliance: Audited annual returns, State‑appointed audits, adjustments and reconciliation provisions operate to detect under/overpayments (cl 9(3)(d)-(g)).

• Arbitration for specific disputes: Arbitration is the specified dispute-resolution mechanism for disagreements relating to cost treatment, valuations for non‑arm’s length transactions, and ministerial decision reasonableness on expansions (cl 9(3)(b)(a), cl 9(18)(c)(ii), cl 9E(7)).

• Deemed breaches under mining lease covenants: A breach of mining lease covenants will be deemed a failure by the Company to carry out its obligations under the Agreement (cl 9B(1)(b)), which operationally links mining lease enforcement to contract enforcement under the Agreement.

These duties and rights allocate payment obligations, information and audit duties, operational permissions and constraints, and dispute resolution rights. The State retains multiple discretionary decision points that are procedurally constrained by notice, consultation and arbitration in defined circumstances.

The Act itself is a ratification instrument and does not introduce a novel enforcement regime of criminal penalties in its own text. Enforcement and compliance mechanisms are implemented through the contractual/statutory provisions ratified in the Schedule. The Schedule relies on a mix of financial, administrative and dispute-resolution mechanisms rather than explicitly prescribing new standalone criminal penalties. The following enforcement and sanction pathways are present in the Schedule:

1. Financial enforcement via royalties and reconciliations

• The primary economic sanction is the requirement to pay royalties (alumina 1.65% of deemed F.O.B. revenue, gallium 20% of gross value less approved costs, by‑products at rates under Mining Act 1978) and adjustment mechanisms for underpayment/overpayment. Quarterly estimated payments are required with an audited annual reconciliation; differences are remedied by subsequent payment or deduction (Schedule cl 9(3)(a), (d)-(g), cl 9(18)(b), cl 9(19)(c)). The reconciliation cycle creates incentives to report conservatively or to ensure accurate estimates; underpayment will be recovered via the next quarterly payment.

2. Audit regime

• The Company must file quarterly returns and audited annual returns; the State may require an independent audit at State cost to verify correctness of returns (cl 9(3)(d)-(f)). The audit mechanism enables the State to detect non‑compliance and trigger financial or contractual remedies.

3. Contractual consequence via deemed breach

• Clause 9B(1)(b) provides that a breach of covenants or conditions applicable to mining leases shall be “deemed to be a failure by the Company to comply with or carry out the obligations on its part contained in this Agreement”. This deeming links mining lease breaches to a contractual default, enabling the State to enforce contractual remedies under the Agreement and any associated statutory remedies available under the Mining Act 1978 or the principal agreement. The specific remedies for breach are not restated in the Schedule; they will be those available under the principal agreement and applicable mining law.

4. Ministerial discretion to refuse or condition grants

• Clause 25A(2)(b) authorises the Minister, following consultation, to refuse an application for a mining tenement where grant is likely to unduly prejudice or interfere with Company operations or reduce economically extractable bauxite reserves. Refusal is an administrative enforcement tool to protect the Company’s operations; the Schedule also provides for conditional grants under Mining Act 1978 where the Minister does not refuse (cl 25A(3)).

5. Arbitration and binding awards

• Several disputes are directed to arbitration (e.g., disputes over the Minister’s acceptance of cost items for deemed F.O.B. revenue, valuation of gallium when not sold at arm’s length, disputes about the reasonableness of Ministerial decisions relating to expansions). Clause 31 replaces the Arbitration Act reference and confirms parties may be legally represented (Schedule cl 4(11)). Arbitration awards will therefore form binding determinations on factual or valuation disputes which have economic consequences (e.g., entitlement to refunds, adjustment of royalty base).

6. Administrative compensation

• Clause 9E(11) requires the Company to pay to the State “reasonable compensation as shall be agreed for all costs directly incurred by the State in connection with the approved proposal” if the Company abandons an approved refinery expansion. This insertion creates an administrative cost exposure for the Company where the State has incurred preparatory costs.

7. Interplay with Mining Act 1978 and other laws

• The Schedule repeatedly references and imports the Mining Act 1978 for royalty rates (for by‑products), production reporting obligations and general tenement governance; enforcement provisions under that Act for non‑payment or breaches of mining tenements remain applicable where the Schedule requires compliance with the Mining Act (cl 9(19)(c), cl 9B(1)(c), cl 25A(3)). The Schedule’s statement that it operates “notwithstanding any other Act or law” (s 4(2)) indicates the ratified agreement is intended to pre‑empt inconsistent statutory provisions, but practical enforcement of statutory offences or penalties under other Acts (e.g., Mining Act sanctions) will remain a relevant enforcement pathway where the Schedule requires compliance with that external law.

Limitations and enforcement gaps visible in the text

• The Schedule provides detailed financial and administrative enforcement measures (royalty payments, audits, arbitration, deemed breaches), but does not create express new criminal sanctions or specify termination procedures or penalty amounts within the inserted clauses themselves. Enforcement will therefore proceed through the contractual mechanisms, existing mining law enforcement tools, and any remedies available in the principal agreement.

• The ministerial discretion embedded in several clauses (approvals for by‑product recovery; refusal under clause 25A; decisions on deduction of costs in deemed F.O.B. revenue) is subject to limited procedural constraints (consultation, arbitration in some areas). Where arbitration is not expressly available, ministerial determinations may be final, subject to any judicial review remedies available under administrative law (not specified in the Schedule).

• Enforcement relies on accurate reporting by the Company; although the State may require independent audits, the timing, scope and triggers for State audits may affect detection risk and recovery of underpaid royalties (cl 9(3)(f)).

In sum, enforcement under the Schedule is primarily financial and administrative, using reporting, reconciliation, audits, arbitration and ministerial decision powers. The Act itself ratifies and gives statutory backing to these arrangements but does not create a separate, novel criminal penalty regime within the text provided.

The Schedule operates as an instrument that modifies the contractual rights embedded in earlier Acts and interfaces explicitly with a number of statutory regimes. The text contains many express cross‑references and repurposes statutory mechanisms. Key interactions include:

1. Relationship with the Government Agreements Act 1979

• Section 4(2) of the Act states, “Without limiting or otherwise affecting the application of the Government Agreements Act 1979, the 1987 agreement shall operate and take effect notwithstanding any other Act or law.” The ratified agreement therefore sits alongside the Government Agreements Act 1979 but is given express supremacy against other inconsistent Acts or laws. The Schedule’s provisions will therefore be treated as authorised by the State and operable even where other statutes might otherwise apply, subject to the Government Agreements Act 1979 (s 4(2)).

2. Mining Acts: substitution and incorporation

• The Schedule replaces references to the Mining Act 1904 with the Mining Act 1978 and explicitly provides that from the 1987 Amendment date references in mineral leases to the Mining Act 1904 shall be read as references to the Mining Act 1978 (Schedule cl 4(1)(g), cl 9(1)(aa)). Much of the Schedule integrates obligations that require compliance with the Mining Act 1978 (e.g., by‑products royalties and production reports, cl 9(19)(c); special conditions on mining leases under cl 9B; procedure for applications and excisions under cl 25A).

• Mining leases and tenements: the Schedule contemplates grant, excision and re‑integration of land between the mineral lease and separate mining leases (cl 9B(2), cl 9D, cl 25A(4)), and states that mining leases granted for parts of the mineral lease shall be subject to Mining Act covenants and special conditions. Where the Schedule requires compliance with the Mining Act 1978, enforcement measures and statutory obligations under that Act will apply in parallel.

3. Arbitration and commercial dispute law

• Clause 31 replaces the prior Arbitration Act reference with the Commercial Arbitration Act 1895, and clarifies parties may have legal representation notwithstanding section 20(1) of that Act (Schedule cl 4(11)). The Schedule therefore imports the Commercial Arbitration Act 1895 as the underlying arbitration law for disputes earmarked for arbitration in the agreement.

4. Environmental and conservation law

• The Schedule links approval for by‑product recovery and expansions to environmental approvals: it permits the Minister to require Company obtaining approval of variation of environmental conditions and requires referral to the Environmental Protection Authority for Wagerup expansion beyond certain thresholds (cl 9(19)(b)(ii)-(iii), cl 6(1)(2)). The Schedule therefore creates procedural interfaces with environmental regulation and administrative processes (e.g., EPAs, Conservation Act offices).

5. Transport and rail law

• The Schedule removes an explicit freight schedule and instead requires freight charges “as agreed with the Railways Commission” and contemplates a separate freight agreement, expressly excluding the freight agreement from clause 28 (which concerns variation provisions) (cl 4(4), cl 5(2), cl 6(2)). The effect is that commercial arrangements with the Railways Commission will govern freight obligations, and these freight agreements may operate retrospectively if both parties agree.

6. Local administrative instruments and offices

• References to offices and instruments are modernised (for example, changing “Harbour Trust Commissioners” to “Fremantle Port Authority pursuant to the Fremantle Port Authority Act 1902”, conservator to Executive Director under the Conservation Act, Transport Commission references updated to Transport Co‑ordination Act 1966) (cl 4(1)(d), cl 4(1)(c), other amendments). This keeps the agreement operable with current agency responsibilities.

7. Interaction with the principal statutory agreements

• The Schedule amends the principal agreement and those amendments are statutorily ratified by this Act. The Reprints Act has caused other parts of the earlier acts to be omitted in the compilation (Notes), but the Schedule’s amendments are to be read into those pre‑existing Acts and agreements (see Schedule cl 1 defining how terms are to be read).

Practical implications of legal interaction

• Where the Schedule expressly requires compliance with the Mining Act 1978 (e.g., for by‑products reporting and royalties, cl 9(19)(c)), enforcement may follow both the contractual provisions in the ratified agreement and the statutory consequences under the Mining Act. The Schedule’s express “notwithstanding other Act or law” clause (s 4(2)) signals the ratified agreement may displace inconsistent statutory provisions, but the agreement nonetheless imports duties from the Mining Act where specified.

• Ministerial discretion under the Schedule is constrained in certain respects by consultation duties, timelines and arbitration where provided. For areas lacking arbitration the State’s administrative law obligations (e.g., reasonableness, procedural fairness) remain available as background judicial review processes, though those remedies are not created by the Schedule itself.

• The negotiated freight agreement mechanism displaces the previously prescribed freight schedule, shifting operational regulation of freight costs to commercial negotiation with a statutory counterpart (Railways Commission), which may affect transport regulation interplay and pricing outcomes.

Overall, the Schedule is designed to sit as a specialised contractual/statutory overlay on top of the Mining Act 1978, transport law, environmental regulation, and arbitration law. It both displaces and imports aspects of these regimes depending on the clause: displacing inconsistent statutory constraints (s 4(2)) while expressly requiring compliance with other statutes in particular contexts (e.g., cl 9(19)(c) and cl 25A(3)).

The text provided includes a short compilation table and notes concerning reprints. The amendment history as recorded in the document is limited to a small number of formal events:

• Execution and ratification timeline:

  • The 1987 agreement was executed on 10 November 1987 (Schedule preamble).
  • The Act was assented to on 9 December 1987 and, per s 2, came into operation on the day it received Royal Assent (9 December 1987) (Compilation table; s 2).

• Reprints and formatting amendments:

  • The document indicates there is at least one reprint: Reprint 1 as at 4 June 2004 (Compilation table).
  • The Standardisation of Formatting Act 2010 effected formatting changes noted in the compilation table: Standardisation of Formatting Act 2010 s 4 and s 43(2) produced an amendment reflected on 11 September 2010 with Gazette notice (Compilation table). The Part IA heading was inserted by No. 19 of 2010 s 43(2) and the Schedule heading amended by s 4 (Notes).

• Omitted provisions under Reprints Act 1984:

  • Several provisions of the Act amending the 1961, 1969 and 1978 principal Acts have been omitted under the Reprints Act 1984 s 7(4)(e) for the purposes of the contemporary published reprint (Notes). The compilation table states: “The provisions of this Act amending the Alumina Refinery Agreement Act 1961, the Alumina Refinery (Pinjarra) Agreement Act 1969 and the Alumina Refinery (Wagerup) Agreement and Acts Amendment Act 1978 have been omitted under the Reprints Act 1984 s. 7(4)(e).”

• Clause‑level insertions and deletions effected by the 1987 agreement:

  • The Schedule itself is a lengthy instrument effecting clause substitutions, insertions and deletions across the principal, Pinjarra and Wagerup agreements. Key inserted clauses include 9B-9F, 9C, 9D and 25A (Schedule cl 4(3)-(11)) and the freight agreement mechanism inserted into principal, Pinjarra and Wagerup agreements. Those textual modifications are the operative legislative history within the Act.

No subsequent substantive amendments to the Act’s policy content (royalty rates, inserted clauses) are reflected in the provided document, beyond formatting and reprint updates. The Compilation table does not list further amending Acts that change policy or monetary provisions. Where other Acts such as the Mining Act 1978 post‑date the instruments originally referenced (the 1904 Act), the Schedule expressly updates cross‑references, indicating contemporaneous alignment with the newer mining statute at the time of drafting (Schedule cl 4(1)(g), cl 9(1)(aa)).

Users should note that the compilation table and notes are the only historical markers present in the text provided. Any later legislative amendments, judicial interpretations, or administrative rule‑making that post‑date the document are not included in the supplied material.

The Act as provided contains no reported litigation history, no judicial decisions and no cases cited within the text. The Schedule contemplates arbitration as the principal dispute resolution mechanism for certain identified disputes (e.g., valuation disputes, disputes about the reasonableness of Ministerial decisions, treatment of cost deductions) and substitutes references to the Commercial Arbitration Act 1895 allowing legal representation (Schedule cl 4(11), cl 9(3)(b)(a), cl 9E(7), cl 9(18)(c)(ii)). Arbitration awards are therefore the expected first‑line adjudicative outcome for many disputes.

Given the material provided, there are no precedents, judicial rulings or litigation episodes recorded in the statute or the Schedule. The absence of litigation material in the document means:

• There is no statutoryly recorded case law resolving the interpretive questions that might arise under the new definitions (e.g., how “deemed F.O.B. revenue” deductions are to be treated in specific factual scenarios), nor any recorded judicial review of Ministerial determinations under clause 25A or clause 9E within the text.

• There are no recorded arbitral awards in the text. The Schedule creates avenues for arbitration, but any arbitral decisions would be external to the Act and not included here.

Practitioners and researchers relying on this instrument should therefore seek case law databases and administrative records external to the provided text to identify whether disputes under the 1987 agreement were later litigated or arbitrated and to obtain any interpretive precedents or recorded awards that clarify ambiguous points in the Schedule. The document itself does not supply such material.

Several operational, interpretive and compliance risks arise from the text of the Schedule. The following are concrete “gotchas” anchored in the wording that counsel, compliance officers and accountants should be aware of:

1. “Deemed F.O.B. revenue” complexity and Ministerial veto on cost items

• The royalty base for alumina is 1.65% of “deemed F.O.B. revenue” (cl 9(3)(a)-(b)). The Schedule lists specific cost items (ocean freight, marine insurance, port charges at port of discharge, delivery costs to smelter nominated by purchaser, weigh/assay costs, shipping agency charges, import taxes at port of discharge, demurrage after loading and at port of discharge, costs normally assumed under a CIF contract, and other costs as agreed). Importantly, the Minister may notify the Company that certain costs are “not properly incurred” in relation to a particular sale; in that event the Company can arbitrate, but until arbitrated the cost is treated as not properly incurred and the State will refund royalty only if arbitration subsequently determines otherwise (cl 9(3)(b)(a)). Practical effects:
  • Cash flow risk: estimated quarterly payments are due within 30 days of quarter end (cl 9(3)(d)). If the Company includes costs in its estimate that the Minister subsequently disallows (and arbitration is unresolved), the Company faces potential future adjustments and contested refunds.
  • Evidence burden: the Company must maintain and produce documentation and be prepared for the State‑appointed independent audit (cl 9(3)(f)).

2. Quarterly estimates and audit timing

• The Company must estimate royalties quarterly and pay by the due date; annual audited reconciliations follow with adjustments in the next quarterly payment (cl 9(3)(d)-(g)). If an independent audit is ordered by the State, that audit is at the State’s cost (cl 9(3)(f)), but the mechanics of timing and repayment/refund where overpayment is established are partially specified: clause 9(3)(b)(a) contemplates State refund if arbitration changes the cost treatment; clause 9(3)(g) allows adjustment via next quarterly payment. Practical snag: timing mismatches between audit findings, arbitration timelines and cash flow cycles can create uncertainty and working capital pressure.

3. Ambiguity of Plan F and spatial obligations

• Clause 9C requires the State to grant a mining lease for “the land coloured green on the plan marked ‘F’ initialled by or on behalf of the parties … for the purpose of identification” within one month after the 1987 Amendment date. The Plan F is not reproduced in the text provided; absence of the Plan in the statutory text could create practical problems if the physical or cadastral extent is disputed. Implementation depends on extrinsic documents (Plan F) not reproduced here.

4. Ministerial discretion and limited contestability

• Several Ministerial powers (to refuse tenement applications under cl 25A where grant would unduly prejudice Company operations; to approve methods of by‑product recovery; to require environmental condition variations before approval) appear with procedural protections (consultation) but without full judicially enforceable standards laid out in the Schedule itself. While some decisions like “reasonableness” of refusal/conditions on expansion are arbitrable (cl 9E(7)), the Minister’s discretion over tenement refusals under cl 25A appears final unless an objection under the Mining Act is available. Practical outcome: certain Ministerial decisions may be difficult to overturn except by judicial review or by the narrow appeal/objection processes under the Mining Act 1978.

5. Interaction of mining lease covenants and deemed contractual breaches

• Clause 9B(1)(b) deems that breach of any covenants or conditions applicable to a mining lease is a failure to comply with the Agreement. That coupling increases the stakes of statutory compliance under mining leases because breach of a statutory covenant can transfer into contractual default consequences. Parties must monitor mining lease compliance closely; otherwise, administrative or technical breaches under the Mining Act could trigger contractual enforcement remedies.

6. By‑products royalty rule delegates rate setting to Mining Act

• Royalties on by‑products (other than gallium) are to be at rates “from time to time prescribed under the Mining Act 1978” (cl 9(19)(c)). That delegation means royalty rates on some by‑products may change with future statutory amendments to the Mining Act or its regulations, creating price and tax risk for the Company and revenue variability for the State.

7. Freight agreement negotiability and retroactivity

• Freight charges are to be “as agreed with the Railways Commission” and the freight agreement may be retrospective if both parties agree (cl 4(4)(a)-(b)). This departure from a fixed schedule reduces certainty of logistics costs and allows negotiated retrospective adjustments, which can affect accounting and tax treatments, logistics planning, and the allocation of transport risk over past periods.

8. “Reasonable and economically practicable” local content obligations

• Clause 9F imposes obligations to prefer WA suppliers where price/quality/delivery/service are equal and to use WA labour and professional services “so far as it is reasonable and economically practicable.” The reasonableness and economic practicability standard is subjective and fact‑sensitive, creating potential compliance disputes over procurement decisions and documentation burdens to show consideration given to local suppliers.

9. Currency conversion and price volatility

• The Minister and Company must agree on the basis of converting currencies to Australian dollars for royalty calculations (cl 9(3)(c)). Lack of a default conversion regime or hedging mechanism in the text means currency risk and potential disputes about the appropriate conversion basis will be an operational issue.

10. Arbitration and representation quirks

• Clause 31 replacement mandates arbitration under the Commercial Arbitration Act 1895 and allows legal representation notwithstanding section 20(1) of that Act (cl 4(11)). Users should ensure arbitration clauses and procedures are aligned with contemporary arbitration law and practice; the use of a 1895 Act reference may require confirmation of later amendments or replacement arbitration statutes.

These “gotchas” are concrete operational and legal issues embedded in the Schedule’s text. They create areas of implementation risk, information burdens and potential for contestation that need to be managed proactively.

Compliance under the ratified 1987 agreement requires coordinated legal, accounting, operational, environmental and procurement measures. The Schedule sets specific reporting, payment, approval and consultation duties. Practical compliance steps, mapped to the clauses, are as follows.

1. Royalty accounting and reporting systems (cl 9(3)(a)-(g), cl 9(3)(i))

• Establish a dedicated royalty accounting system that calculates “deemed F.O.B. revenue” each quarter:
  • Record all alumina sales tonnes and prices, ensuring export sales used are arm’s length and within the defined scope (exports for smelting to aluminium).
  • Maintain itemised records of costs claimed as deductions under the Schedule’s list (ocean freight, marine insurance, port/handling at discharge, delivery to smelter, sampling/assaying, shipping agency, import taxes, demurrage, CIF‑type costs, and any “other costs” agreed).
  • Reconcile and produce the quarterly return format to the Minister within 30 days of quarter end. Ensure internal sign‑off and audit trail to substantiate the estimate.
  • Prepare the audited annual return within two months after 31 December, ensure external registered auditors engage early to avoid timing bottlenecks.

2. Documentation to withstand Ministerial queries and audits (cl 9(3)(b)(a), (f), (i))

• Maintain transaction‑level documentation (invoices, freight bills, insurance policies, port handling invoices, proof of delivery, demurrage notes, shipping agency fees, import tax receipts, CIF terms where applicable).
• Keep contemporaneous transfer pricing and sales contract files to demonstrate arm’s length pricing for exports.
• Prepare procedural manuals for responding to Ministerial notices about cost disallowances and for initiation of arbitration where necessary. Ensure timely retention of records to support any independent audit appointed by the State.

3. Financial management and cash flow planning

• Recognise quarterly estimated royalty payments are due promptly (within 30 days of due date) and may be adjusted on annual reconciliation. Build cash reserves or working capital facilities to meet potential reconciliations and to cover adjustments resulting from audits/arbitration.

4. Gallium and by‑product commercialisation compliance (cl 9(18), cl 9(19))

• For any gallium extraction:
  • Implement separate sales, valuation and royalty accounting for gallium with clear invoicing and deduction schedules so the 20% royalty base is readily computed.
  • Seek Ministerial approval in advance for any costs proposed to be deducted from gross value and prepare supporting documents to withstand scrutiny.
  • Where sales are not at arm’s length, negotiate valuation methodology with the Minister early or prepare to submit to arbitration if agreement cannot be reached.
• For other by‑products:
  • Develop proposals for recovery modes and environmental management, and submit these to the Minister for approval before recovery commences (cl 9(19)(b)(i)).
  • Be prepared to obtain any required environmental condition variations and comply with the Mining Act 1978 reporting and royalty obligations, including production reporting as prescribed (cl 9(19)(b)(iii), (c)).

5. Tenement application and consultation procedures (cl 25A, cl 9B)

• When applying for mining tenements or when third parties seek tenements over the mineral lease area, implement a proactive consultation process with the Minister and document representations about the significance of bauxite deposits and likely impacts.
• Maintain geological reserve and extraction plans and be prepared to demonstrate how proposed third‑party tenements could prejudice operations or reduce economically extractable bauxite reserves, per clause 25A(2)(a).

6. Lease surrender and excision management (cl 9(20), cl 9B(2), cl 9D)

• If surrendering parts of the mineral lease, secure Ministerial consent where required (for mined areas) and calculate proportional rental abatement and mapping of surrendered areas.
• Map excised areas to ensure they are not inadvertently subject to new mining that would conflict with existing operations; document arrangements to ensure that mining leases granted in respect of surrendered land do not authorise removal of bauxite without Company consent (cl 9(20)(c)).

7. Expansion and environmental compliance (cl 9E)

• For significant refinery modifications or expansions:
  • Issue timely notices to the Minister, and if required to submit detailed proposals, do so within the period the Minister reasonably allows.
  • Include comprehensive environmental monitoring, protection and management measures in proposals, anticipating possible conditions the Minister may ask for.
  • Track the Minister’s two‑month decision window following receipt of proposals and prepare to consult and revise proposals in the event of deferral or conditional approvals.
  • If disputing the reasonableness of a Minister’s decision, prepare arbitration materials promptly within the two‑month window permitted for referral (cl 9E(7)).
  • If abandoning approved proposals, be prepared to negotiate and pay “reasonable compensation” for State costs attributable to the proposal (cl 9E(11)).

8. Freight agreements and logistics contracting (cl 4(4), cl 5, cl 6)

• Negotiate a freight agreement with the Railways Commission that sets out rates, retrospective application where agreed, service standards and dispute resolution. Incorporate clear mechanics for retrospective operation and accounting treatment of any retrospective price changes to avoid unexpected liabilities.
• Ensure freight agreements are integrated with royalty calculations for deemed F.O.B. revenue where freight costs are claimed as deductions.

9. Procurement and local supplier processes (cl 9F)

• Establish documented procurement policies demonstrating consideration and preference given to Western Australian suppliers where price/quality/delivery/service are equal.
• Maintain tender processes, tender records, and evaluation documents to evidence compliance with the “reasonable and economically practicable” standard.
• Develop diversity and local content reporting for Ministerial requests tied to approved proposals.

10. Dispute avoidance and arbitration readiness (cl 9(3)(b)(a), cl 9E(7), cl 9(18)(c))

• Maintain an internal dispute register, preserve evidence for potential arbitrations, and engage legal counsel experienced in commercial arbitration under the Commercial Arbitration Act 1895 (as referenced).
• Where arbitration is likely (cost disputes, valuation disputes, reasonableness challenges), prepare contemporaneous valuation, pricing and cost methodology documentation to shorten arbitration timelines and reduce costs.

11. Governance and records retention

• Implement a governance structure that assigns responsibility for: royalty reporting and calculations; regulatory engagement with Ministers and the Railways Commission; environmental approvals; procurement/local content compliance; audit responses; legal/arbitration liaison.
• Ensure records retention policies keep all supporting documentation for at least the period likely to be looked back on in audits or arbitrations (quarterly returns, shipping and insurance documents, production reports).

12. Review and legislative monitoring

• Monitor statutory developments in the Mining Act 1978 and related regulations (which affect by‑product royalties and reporting) and track any ministerial instruments that clarify cost treatment, currency conversion or other operational definitions referenced in the Schedule.

These practical steps map directly onto the Schedule’s requirements. Compliance requires a cross‑functional programme involving commercial, legal, environmental and finance teams to deliver timely returns, manage approvals and respond to audits or arbitration effectively.
