Alteration of Statutory Designations Act 1974

The Act rests on a set of narrow statutory concepts. Each is defined in or governed by the sections cited below. These concepts control the universe of permissible Orders and the legal consequences of those Orders.

• Reference. Defined in s 2A to include a reference otherwise than by designation, style or title. That means the Act targets not only formal statutory headings but any wording in law, contracts or proceedings that points to a Minister, office or department.
• Minister. Defined by reference in s 2A as a "principal executive office of the Government under the Constitution Acts Amendment Act 1899". The Act therefore focuses on principal executive offices rather than every public servant post; the source text itself supplies that definition (s 2A).
• Department and office. Both are defined in s 2A: department means any department or part of a department of the Government; office includes any office in a department. These definitions are broad and include parts of departments and offices within departments.
• Order in Council. The vehicle by which the Governor directs that specified references in specified instruments or laws be read as some other references (s 3(1)). Orders in Council are expressly the statutory mechanism for making the substitutions required by the Act.
• Scope of substitution. Section 3(1) sets out when the Governor may act: when he or she designates or declares a principal executive office for constitutional purposes thereby changing the designation of a Minister; when the Governor establishes, amalgamates, divides, abolishes, or alters the designation of any department; or when an office has been abolished or its designation altered. The Order may then direct that references in "any law" or in "any instrument, contract, or legal proceedings made or commenced before the coming into operation of the Order" be read as references to the new Minister, office or department (s 3(1)(a)-(g)).
• Temporal effect. Orders take effect on publication in the Government Gazette or a later date specified (s 3(3)). The Act explicitly protects the validity of anything done before the Order (s 3(2)). Revocation provisions in s 4A can cause revival of the earlier reference if a later Order revokes the first Order and does not otherwise direct.
• Variation, revocation and rectification. Orders may be varied or revoked by subsequent Orders in Council (s 4). If an Order made under s 4 revokes an earlier s 3 Order, s 4A provides that, unless otherwise directed, the earlier reference is revived notwithstanding anything in the Interpretation Act 1918. Where an accidental omission has prevented alteration of a reference, the Governor may take measures by Order to remove doubt and validate what was done under the unaltered reference (s 4B).
• Preservation of prerogative. Section 5 makes clear that nothing in the Act impairs prerogative powers relating to Ministerial functions.

Operationally, the Act is not an authorisation to reassign statutory powers or to change who holds substantive responsibilities; rather it authorises the executive to change textual referents so that the law, instruments and documents point to the right Minister, office or department after machinery changes. The Act accepts that the formal instruments of public administration change over time and provides a textual correction mechanism to avoid legal uncertainty generated by stale names or designations.

The Act creates effects for several identifiable groups; the statute itself identifies the primary actors and the scope of affected documents.

• The Governor and the executive. The Governor is the decision maker for Orders in Council under the Act (s 3(1), s 4). The Governor (by Order in Council) decides which references are to be read differently and when those changes operate (s 3(3)). The administrative burden of preparing, drafting and publishing Orders rests with the executive, including ensuring Gazette publication and specifying dates of operation.
• Ministers, offices and departments. The subjects whose names and designations change are defined by the Act (s 2A). When designations are altered by executive act (for example by designation or declaration of principal executive offices or by establishing, amalgamating, dividing or abolishing departments), the Act permits corresponding textual substitutions in laws and documents (s 3(1)(a)-(b), s 3(1)(c)-(e)).
• Private parties to contracts and instruments. The Act expressly allows Orders to reach instruments and contracts made before the Order (s 3(1)(g)). That means businesses, contractors, licensees, landlords, lenders and other private parties whose contracts refer to an office, department or Minister by name may find that those references are re‑read as referring to a different entity after the Order takes effect. This affects contract interpretation, performance and notice addresses for statutory notices, unless the parties otherwise agree or the Order states a different treatment.
• Litigants and courts. The Act applies to references in legal proceedings made or commenced before the Order (s 3(1)(g)). Courts, litigants and legal practitioners must apply the substituted reading when Orders take effect, subject to the protection for things done prior to the Order (s 3(2)). The Order’s publication date (s 3(3)) will be a key temporal point for procedural and substantive effects.
• Statutory officers and administrative decision makers. Records, registers, licences, authorisations and statutory notices that name a Minister or department are affected because the references can be read as addressed to or under the authority of the newly named office (s 3(1)). Administrative officers must therefore check whether the Order changes the prescribed addressee or responsible authority for statutory functions.
• Government lawyers, corporate counsel, compliance teams and accountants. These professionals will bear the work of identifying where references exist across statutes, regulations, contracts, licences, deeds, leases, permits and court files, and advising whether the Order produces operational change or requires administrative updating.

Who pays. The Act itself does not impose a monetary charge or fine; the costs of implementing Orders are borne by the parties required to adjust. That includes public sector costs in drafting and publishing Orders and internal reorganisation costs, and private sector costs for contract amendments, re‑notification, updating registers and potential litigation over altered interpretations. The Act’s broad reach to past contracts and proceedings (s 3(1)(g)) can impose remediation costs on private parties unless the Order is limited or parties negotiate alternative arrangements.

Who decides. The Governor, acting by Order in Council, makes the operative decisions under ss 3 and 4. Section 4B also gives the Governor discretion to take validating action for accidental omissions. The Act imposes no statutory review or parliamentary veto mechanism within the text of the Act itself; the Orders take legal effect once published in the Gazette (s 3(3)).

The Act itself prescribes few duties and rights for private parties. Its operative effect is to alter how existing legal text is read. The practical duties and rights arise from how the Orders change textual referents.

Statutory duties of the executive under the Act

• Draft and make Orders in Council when changes in Ministerial designation or departmental arrangements occur (s 3(1)(a)-(b), s 3(3)). The Act implies an expectation that the executive will use this mechanism to ensure continuity of reference.
• When revoking or varying an Order, the executive must use a subsequent Order in Council (s 4). If revoking, the revoking Order should state whether revival of the prior reference is to be effected; if it does not, s 4A prescribes revival of the earlier reference.
• Where there has been an accidental omission to alter a reference, the Governor may issue an Order to remove doubt and validate acts done under the unaltered reference (s 4B). That is a discretionary power exercised by Order in Council.

Rights and obligations of private parties and other public entities after an Order

• After an Order takes effect, any specified reference in "any law" shall be read and construed as the new reference (s 3(1)(f)). Consequently, statutory powers, obligations and entitlements that are expressed by reference to a Minister, office or department will be read as referring to the new entity. This changes who is nominally responsible or who is the proper addressee for statutory notices and directions.
• For instruments, contracts and legal proceedings made or commenced before the Order, the Order directs that specified references be read as the replacement reference (s 3(1)(g)). That can affect contract performance, the identity of a contracting party for notice or consent clauses, and the recipient for statutory documents relating to an ongoing proceeding.
• Actions done before the Order remain valid: an Order "shall not affect the validity of anything done by or in relation to any Minister of the Crown, office, or department before the coming into operation of the Order" (s 3(2)). Thus parties retain rights and obligations arising from past acts; but ongoing duties may be read to refer to the new entity after the Order’s commencement.
• If the executive later revokes the Order, s 4A provides that the earlier reference is revived unless the revoking Order otherwise directs. That produces a right for parties to have the prior textual referent restored in the absence of contrary direction by the revoking Order.

Practical duties for affected parties (implied by the Act’s mechanics)

• Monitor the Government Gazette for relevant Orders and their operative dates (s 3(3)).
• Review contracts, instruments, licences, permits, deeds and court documents for references to Ministers, offices and departments, and assess whether an Order will change the identity of a nominal party or the proper addressee for notices and statutory directions (s 3(1)(f)-(g)).
• If necessary, seek amendments, clarifying letters, or novations where the changed reference would otherwise create operational or interpretive problems.

The Act imposes no express procedural limits on the content of Orders beyond those in s 3; the duties primarily flow from the need to update or confirm legal relationships once an Order operates.

The Act contains no express penalty, fine or criminal sanction. Its enforcement mechanism is administrative and interpretive rather than punitive.

• No sanctioning provisions. The text does not create offences, civil penalties, or administrative fines for failure to comply with Orders in Council; it simply authorises substitution of references by Order (ss 3 and 4). There is no provision that prescribes penalties for persons who ignore or fail to update documents in response to an Order.
• Effect through interpretation and operation. The practical "enforcement" of an Order is that, once it takes effect, a specified reference in a law, instrument, contract or proceeding "shall be read and construed" as the replacement reference (s 3(1)(f)-(g)). That interpretive command is the mechanism by which the legal identity of the addressee or responsible entity is altered. Courts and administrators must apply the new reading when applying the text after the Order’s operative date (s 3(3)).
• Protection for past acts. Section 3(2) protects the validity of anything done before the Order. The absence of retrospective invalidation reduces the practical need for penal or remedial measures for prior acts, because the Act does not, by itself, undo past legal acts.
• Administrative remedies rather than sanctions. If a party is dissatisfied with the effect of an Order on contracts or statutory obligations, the available remedies are those provided by contract law or judicial review of administrative action where appropriate; the Act itself does not set an appeal or review route for Orders. The Act does not specify a parliamentary oversight mechanism for Orders within its text.
• Orders may be varied or revoked. Section 4 allows subsequent Orders to vary or revoke earlier Orders. Section 4A makes special provision for the legal consequence of revocation, namely that the earlier reference is revived unless the revoking Order otherwise directs. Those provisions create administrative levers for correcting or reversing prior textual substitutions; they are operational, not penal.

In short, the Act is an interpretive and administrative tool rather than an instrument of sanction. Its legal force operates by changing the meaning of references; compliance costs and disputes will be dealt with through ordinary civil, contractual and administrative channels rather than through penalties imposed by the Act itself.

The Act is designed to be a textual bridge between machinery‑of‑government changes and existing legal instruments. The statute itself references other laws and expressly preserves certain powers; the source text provides the following interaction points.

• Constitution Acts Amendment Act 1899. The definition of Minister in s 2A is by reference to "a principal executive office of the Government under the Constitution Acts Amendment Act 1899". The Act therefore links the identity of a "Minister" for its purposes to the constitutional mechanism of principal executive offices. The Act does not alter the substantive meaning of that constitutional requirement but uses it to identify which offices it may operate on (s 2A).
• Interaction with "any law". Section 3(1)(f) permits Orders to change references in "any law". That phrase, as used in the Act, means the order can reach statutes and subordinate legislation. Consequently, the Act operates as a cross‑cutting interpretive tool that alters the textual reading of statutory provisions without the need to amend each statute individually.
• Instruments, contracts and legal proceedings. Section 3(1)(g) allows Orders to change references in existing private or administrative instruments and in legal proceedings made or commenced before the Order. This reaches commercial contracts, licences, deeds and court files. The Act therefore interacts with private law instruments by authorising textual substitution rather than requiring parties to renegotiate.
• Interpretation Act 1918. Section 4A expressly refers to the Interpretation Act 1918 and states that "Notwithstanding anything in the Interpretation Act 1918" a revoking Order shall, unless otherwise directed, effect a revival of the reference altered by the earlier Order. The compilation notes record that the Interpretation Act 1918 was repealed by the Interpretation Act 1984. The text of the Act as reprinted retains the s 4A language that modifies how revocation operates in relation to interpretation law at the time of its drafting (s 4A).
• Effect on validity and continuity. Section 3(2) establishes that Orders do not affect the validity of things done before the Order. That provision interacts with substantive statutes that create obligations, entitlements or rights by protecting prior legal acts from being invalidated by a later textual change.
• Administrative law and judicial application. The Act will be applied by courts when construing statutes, instruments or pleadings after an Order is published. It does not displace judicial power to interpret statutes, but it gives a statutory command that specified references should be read as the Order directs. That interacts with ordinary rules of statutory interpretation because courts must apply the Order when giving effect to the altered text.
• Machinery-of-government changes. The Act is expressly designed for situations where the Governor designates or alters Ministers or departments (s 3(1)(a)-(b)). It therefore interacts operationally with executive acts that restructure government portfolios and departments. The Act facilitates continuity without necessitating a multiplicity of statute amendments.

Limitations and boundaries under the Act

• The Act changes references; it does not itself allocate powers or responsibilities unless those are strictly tethered to a reference that is reinterpreted by the Order. Practical reallocation of functions may require separate statutory or executive action, and the Act does not purport to create substantive authorities that were not authorised elsewhere. The Act’s language is about how references are "read and construed" (s 3(1)(f)-(g)).
• The Act does not displace prerogative powers: s 5 saves prerogative powers relating to Ministerial functions.

To implement a machinery change comprehensively, administrators will typically use this Act to correct textual references while also undertaking whatever statutory amendments, administrative transfers, or instrument modifications are necessary to effect the substantive transfer of powers and resources. The Act reduces the need for immediate legislative amendment where the sole problem is an outdated name or designation.

The reprint and compilation table in the source give the concrete amendment history up to 6 February 2015. The text also identifies where provisions were inserted or parts deleted. The key amendments and milestone dates in the source are:

• Original enactment. The Act began life as the Ministers of the Crown (Statutory Designations) and Acts Amendment Act 1974 (No. 27 of 1974). Assent was 29 October 1974 and the original commencement was 1 December 1974 (see compilation table notes).
• State Energy Commission Act 1979 (No. 111 of 1979). Section 3(2) of the State Energy Commission Act 1979 affected the Alteration of Statutory Designations Act 1974 and the compilation table records commencement relevant to that amendment as 1 February 1980 (compilation table). The compilation notes list the State Energy Commission Act 1979 at the table.
• Ministers of the Crown (Statutory Designations) Amendment Act 1981 (No. 62 of 1981). This instrument made several textual amendments to the Act; the source records specific insertions and amendments with section citations:
  • Section 1 (citation) was amended by No. 62 of 1981 s 3 (note under s 1).
  • Section 2A (Terms used) was inserted by No. 62 of 1981 s 4 (see heading 2A and note).
  • Section 3 was amended by No. 62 of 1981 s 5 (note under s 3).
  • Sections 4A and 4B were inserted by No. 62 of 1981 s 6 (these sections appear in the reprint with that insertion note).
  • Parts II, III, IV, VI and VII were deleted by No. 62 of 1981 s 7 (the text shows those parts deleted).
• Reprints. The Act was reprinted as at 24 November 2000 and reprinted again as at 6 February 2015; the compilation table records the reprint dates and the amendments included in the reprints.

Precise text insertions and deletions visible in the source:

• Section 2A (Terms used) is an insertion that defines department, Minister, office and reference; the note shows s 2A inserted by No. 62 of 1981 s 4.
• Section 4A (Effect of revocation of Order) and s 4B (Governor may rectify omissions) are both insertions made by No. 62 of 1981 s 6.
• Multiple Parts (II-VII and V by a separate Act) were deleted by the 1979 and 1981 amending Acts (notes after s 5 show these deletions).

The compilation table in the source is the definitive list of amendments and reprints up to the reprint date of 6 February 2015. The source also notes that the Interpretation Act 1918, referred to in s 4A, was repealed by the Interpretation Act 1984; that historical cross‑reference is recorded in the notes.

When using the Act, practitioners should consult the compilation table and the reprint to ensure they are working with the consolidated text incorporating the listed amendments. The source supplied here is explicitly the reprint as at 6 February 2015, which already incorporates the amendments described above.

The source provides no reported litigation history or judicial decisions that interpret the Alteration of Statutory Designations Act 1974. The Act’s text does not refer to any cases, and the compilation notes list only legislative amendments and reprints. Accordingly:

• There are no cases named in the Act’s text or in the attached compilation notes supplied in the source.
• The source does not record decisions, appeals, or judicial interpretation that would illuminate contested legal questions arising under the Act.

Because the Act's operation affects statutory construction and the reading of references, courts may have occasion in practice to interpret Orders made under the Act and their effect on particular contracts, instruments or proceedings. However, any such jurisprudence is not contained in the supplied source material and is therefore not reported here. Practitioners wanting to know whether and how courts have applied the Act in disputes will need to conduct a case‑law search beyond the text supplied.

The Act is compact and administratively framed, but it contains several practical traps and subtle points that can create legal uncertainty or operational risk if ignored. These are grounded in the statutory language and the mechanisms the Act creates.

1. Broad reach to past contracts and proceedings. Section 3(1)(g) expressly allows Orders to apply to "any instrument, contract, or legal proceedings made or commenced before the coming into operation of the Order". That means the executive can direct that an old contractary reference will be read as a new one without the consent of the contracting parties. Practical consequence: parties may find their counterparty identification, notice address, consent authority or other contractual point altered by operation of the Order. This can change who must perform, who may receive notices, or which department’s approval is required. Although s 3(2) protects the validity of past acts, it does not protect the continuing contractual allocation of responsibilities after the Order’s operative date.

2. Temporal pivot is Gazette publication. The Order takes effect on the date it is published in the Government Gazette, or a later date specified in the Order (s 3(3)). If parties do not monitor the Gazette closely, they can miss an operative date and be surprised when a reference is read differently. Administrative processes which depend on statutory addressees or registry entries can be disrupted if the Gazette publication is missed.

3. Revocation can revive the earlier reference automatically. Section 4A provides that a revoking Order will, unless otherwise directed, effect a revival of the reference altered by the earlier Order. That means back‑and‑forth changes can occur if successive Orders are made without clear drafting. If a revoking Order wishes to avoid reviving the earlier reference, it must expressly direct otherwise. Failure to do so can leave parties with unintended restoration of prior textual referents.

4. Accidental omission remedy is discretionary and retrospective. Section 4B empowers the Governor to validate anything done under an unaltered reference where it was accidentally omitted from alteration. That is practical, but it is discretionary, and its exercise can validate acts carried out under a non‑current name. Parties may therefore face retrospectively validated acts they thought might be defective. Reliance on s 4B is an administrative cure rather than a statutory guarantee; its availability depends on the Governor acting by Order in Council.

5. "Reference" is wide. The definition in s 2A that "reference includes a reference otherwise than by designation, style or title" is broad. Even imprecise or contextual references to an office or Minister may be within the Order’s reach. Practitioners should therefore search for indirect references (for example, "the Minister responsible for X" in a contract) as well as explicit names.

6. No express procedural or parliamentary safeguard in the Act text. The Act does not, within its text, require a parliamentary disallowance period, a consultation process with affected stakeholders, notice to private parties, or publication beyond the Gazette requirement. The practical consequence is that Orders can operate quickly and with limited procedural checks apparent in the Act itself.

7. Does not itself reassign substantive authority. The Act changes textual referents; it does not, by itself, transfer legislated powers or fund flows unless those powers are strictly exercised by textual reference that the Order alters. Substantive reallocations of authority may require separate statutory amendment or administrative action. Assuming that a mere Order automatically grants functional responsibility without the necessary enabling instruments can be an operational error.

8. Possible conflicts with other instruments. If a contract or statute contains transitional or saving clauses, or specific definitions that fix an entity by identifier, there could be tension between a specific contractual identifier and a broader Order in Council. Because the Act mandates how references "shall be read and construed" (s 3(1)(f)-(g)), practitioners should audit whether local definitions in a contract will be displaced or whether they survive because they operate by identity rather than by name.

9. Reliance on superseded Interpretation Act language. Section 4A contains a provision framed "Notwithstanding anything in the Interpretation Act 1918". The compilation notes record that the Interpretation Act 1918 was repealed and replaced by the Interpretation Act 1984. Although the reprint retains s 4A, the surrounding interplay of interpretation statutes may require care to ensure revocation‑revival consequences operate as intended in light of the current Interpretation Act.

10. Potential operational friction for regulated licences and registrations. Licences that specify a Minister or department may require reissue, renotification or administrative amendment to reflect the new textual referent. The Act permits the Order to substitute nominations across instruments, but businesses reliant on a particular departmental contact or regulatory interface may face practical disruption.

In sum, the Act provides a powerful textual substitution tool, and the "gotchas" arise from its breadth (past contracts, courts, instruments), the speed of executive action (Gazette publication), the automatic effects on interpretation (revival on revocation), and the limited procedural constraints in the Act itself. Because the Act operates by changing how words are read, not by adding or removing duties directly, many of the problems it can create are in the domain of contract interpretation and administrative practice rather than penal enforcement.

Compliance under this Act splits into two practical streams: the obligations of the executive to make clear and well‑drafted Orders, and the steps private parties, counsel and administrators should take to protect rights and avoid operational disruption.

For the executive (drafters of Orders in Council)

• Draft Orders with precision. Specify the exact text(s) or references in each affected statute, instrument, contract or proceeding that are to be read differently. Because "reference" is broad (s 2A), list examples and typical formulations to avoid ambiguity.
• State operative dates clearly. Orders must state the date they come into operation, which is the date of Gazette publication unless a later date is specified (s 3(3)). Explicit operative dates reduce confusion for third parties.
• Address the effect on past acts. Although s 3(2) protects past validity, Orders should expressly clarify any intended transitional arrangements, for example whether ongoing proceedings, licences or notices require re‑service or re‑identification.
• Consider revocation consequences. If an Order might later be revoked, either craft the original Order to minimise potential disruption or in the revoking Order expressly direct whether revival of the prior reference is intended (s 4A).
• Use s 4B sparingly and document the basis for any rectifying Orders. Where an accidental omission has occurred, record the factual basis and scope of the validating order so affected parties can audit the ground for retrospective validation.
• Publish promptly in the Government Gazette and notify stakeholders where practicable. The Gazette publication is the legal trigger (s 3(3)); targeted notices to significant stakeholders will reduce controversy and litigation risk.

For private parties, counsel, compliance teams, accountants and licensed entities

• Monitor the Government Gazette. The operative event is Gazette publication (s 3(3)). Subscribe to or check the Gazette for Orders affecting relevant portfolios, departments or offices.
• Audit documents for "references". Search statutes, subordinate instruments, contracts, licences, leases, funding agreements, approvals, deeds and pleadings for any reference to a Minister, department or office. Remember the definition of "reference" covers more than formal names (s 2A).
• Identify operational touchpoints. For every affected instrument, list the legal consequences of substituting the reference: who receives notices, who must give consent, who may exercise a power, who holds a licence or who is the payee. Assess whether the substitution is merely nominal or whether it triggers a change in who actually administers a function.
• Consider contractual safeguards. Where the identity of a contracting party or notice recipient is material, seek protective drafting in future contracts that defines the party by legal identity or by reference to function rather than fixed title, or include automatic notice and re‑delegation clauses.
• Negotiate or document changes where necessary. If an Order affects your contractual position, attempt to secure a signed deed of novation, an amendment, or a confirming instrument with the other party if you want to avoid unilateral textual substitution effects.
• Check court documents and proceedings. If you are a party to litigation or administrative proceedings, confirm whether an Order affects the proper respondent, the addressee for correspondence, or the authority referred to in orders and undertakings (s 3(1)(g)).
• Update registers, statutory filings and corporate records. Accountants and compliance officers should record the substituted reference in registers and filing systems to ensure future statutory compliance documents reflect the operative reading.
• Seek legal advice where rights or duties may change. Because the Act changes how references are read, legal advice will be necessary where the substitution could affect liability, consent regimes, indemnities, or regulatory obligations.
• When in doubt, obtain certified copies of the Order. The Order in Council itself is the authoritative instrument; keep certified copies and note operative dates. If a revocation occurs, check whether the revoking Order directs revival or indicates another transitional approach (s 4A).

Checklist for an immediate compliance review

1. Has the Gazette published an Order under this Act that mentions your portfolio, licence, contract or proceedings? (s 3(3))
2. Does the Order specify which references in which documents are to be re‑read? (s 3(1)(f)-(g))
3. Will substitution change the recipient of notices, the party with approval powers, or the statutory authority over a licence? If yes, draft amendments or seek confirmation.
4. Are there ongoing proceedings where the named defendant/respondent will be altered by the Order? If yes, file appropriate steps in the proceeding to notify parties and the court.
5. Does the Order contain transitional directions or is revocation likely? If revocation is possible, note s 4A and plan for the risk of revival.
6. If an accidental omission has occurred, has the Governor made an Order under s 4B to validate prior acts?

Practical drafting tips for future contracts and instruments

• Define "Minister" or "department" by reference to the function being exercised (for example "the Minister administering the [Act name] from time to time") rather than a fixed title.
• Include an express clause recognising that the parties accept an Order under the Alteration of Statutory Designations Act may re‑point references and specify whether the parties wish to require a further written confirmation to effect any material change.
• Provide a notice clause that contains alternative addresses or contact points, and a process to re‑agree notice details if an Order alters the nominated contact.

Following the steps above aligns private and public actors with the Act’s mechanics (ss 3, 4, 4A, 4B) and reduces the risk of surprise operational or contractual disruption.
