Albury-Wodonga Development Corporation (Abolition) Act 2014

The Act operates through a small set of legal concepts and devices: vesting without conveyance, ministerial certificates for registration, statutory substitution, non‑transfer of staff, transitional powers, reporting obligations, and a constitutional compensation safety valve.

Vesting without conveyance. Division 2 (items 9 and 10) provides that assets and liabilities of the Corporation at the commencement time vest in the Commonwealth “without any conveyance, transfer or assignment.” That language makes the transfer automatic and legal, rather than depending on minute procedural transfers or the execution of conveyancing documents. The Commonwealth is described as the “successor in law” for those assets and liabilities (items 9(2), 10(2)).

Ministerial certificates and interaction with State registers. Items 11 and 12 provide a mechanism to give effect to the vesting in State or Territory registers. If land or other assets vest in the Commonwealth and the Minister signs a certificate identifying the land or asset and stating that vesting has occurred, the State or Territory registrar or relevant authority “may register the matter” or “deal with, and give effect to, the certificate” (items 11(1)(a)-(e), 12(1)(a)-(e)). Those certificates are expressly stated not to be legislative instruments (items 11(2), 12(2)), and item 22 treats such documents as authentic unless the contrary is shown.

Statutory attribution and substitution. The Schedule attributes pre‑commencement acts of the Corporation to the Commonwealth (item 13) and substitutes the Commonwealth as a party for the Corporation in pending proceedings (item 14). Instrument references to the Corporation are to be read as references to the Commonwealth, subject to enumerated exceptions (item 17). The net effect is continuity of legal rights and obligations while changing the legal owner or responsible Commonwealth entity.

Non‑transfer of staff. Item 18 provides the converse: the statute expressly states that nothing in the Part has the effect of converting appointments, engagements or employments of members, CEO, officers, employees or consultants of the Corporation into Commonwealth appointments. That is a clear delimitation of personnel change, leaving employment status outside the automatic vesting machinery.

Reporting and accountability. Item 19 requires the Secretary to prepare a final report on the Corporation’s activities in its final reporting period. The requirement applies s 39 and s 43 of the Public Governance, Performance and Accountability Act 2013 “in a corresponding way” (item 19(2)) and obliges the Secretary and Minister to table and publish the final report, with a Ministerial discretion to extend the period for handing the report to the Minister in special circumstances (item 19(4)-(5)).

Transitional powers and disposal. Item 20 authorises the Commonwealth to dispose of the newly vested assets and to do “all things necessary or convenient” for that purpose, including entering into contracts and constructing buildings and works. That clause expressly preserves the Commonwealth’s full scope to manage or realise those assets (items 20(1)-(2)).

Tax and evidentiary rules. Item 21 exempts the vesting and operation of the Schedule from stamp duty and other State/Territory taxes. Item 22 provides a rebuttable presumption of authenticity for certificates issued under the Part.

Delegation and discretion. Item 23 permits the Minister to delegate powers under the Part to the Secretary or an SES employee in the Department, subject to directions from the Minister.

Compensation safety valve. Item 24 recognises that if the Schedule’s operation results in an acquisition of property other than on just terms (s 51(xxxi) of the Constitution), the Commonwealth is liable to pay reasonable compensation; failing agreement, the person may bring Federal Court proceedings to recover compensation (item 24(1)-(2)).

Transitional rules. Finally, item 25 gives the Minister authority to make legislative instrument rules of a transitional nature relating to the amendments or repeals effected by the Schedule.

Those concepts work together to replace the Corporation with the Commonwealth for property, contractual and statutory continuity, while carving out personnel and providing statutory tools for registration, disposal, reporting and compensation.

The Act names or implicitly affects a discrete set of actors and interests. The primary affected entities are:

• The Albury‑Wodonga Development Corporation (the Corporation). Immediately before the commencement time the Corporation holds assets, liabilities, contracts, records and staff; the Act transfers assets and liabilities to the Commonwealth (items 9-10), attributes past acts to the Commonwealth (item 13) and treats instruments referring to the Corporation as references to the Commonwealth (item 17). The Corporation’s legal identity persists only to the extent necessary for winding‑up mechanics addressed by the Schedule; the Act abolishes its distinct legal role by substitution.

• The Commonwealth. The Commonwealth becomes successor in law for assets and liabilities (items 9(2), 10(2)), is substituted into proceedings (item 14), acquires records (item 15), inherits pending investigations (item 16), may exercise transitional functions and powers to dispose of assets and enter contracts (item 20), and is liable to pay compensation where acquisition is otherwise than on just terms (item 24(1)). The Minister and Secretary are given specific duties (items 11-12, 19, 23).

• The Department and the Secretary. The Secretary must prepare the final report for presentation to Parliament and apply certain PGPA Act provisions to that report (item 19). The Secretary receives transferred records (item 15). The Minister may delegate powers to the Secretary or SES staff (item 23).

• State and Territory registrars, titles offices and other authorities responsible for registers. Those officers are authorised to register matters and make entries on production of ministerial certificates identifying vested land or assets (item 11(1), item 12(1)). Item 21 exempts the vesting and related operations from stamp duty and other State/Territory taxes, which affects those tax administrations.

• Counterparties to contracts and instruments that named the Corporation. If they have instruments that were in force immediately before the commencement time and those instruments refer to the Corporation, the reference will have effect after the commencement time as if it were a reference to the Commonwealth, except for certain excluded instruments (item 17(1)-(3)). This affects counterparties’ counterparty identity, notice addresses, performance obligations and enforcement remedies.

• Persons with claims, liabilities or pending proceedings involving the Corporation. Proceedings pending immediately before the commencement time are to continue with the Commonwealth substituted as party (item 14). Persons with complaints or investigations underway before the commencement time have those matters continued as if taken by the Department (item 16). Persons who consider they have suffered acquisition other than on just terms have a statutory route to compensation against the Commonwealth and may bring proceedings in the Federal Court (item 24).

• Employees, officers and consultants of the Corporation. Item 18 expressly states that nothing in the Part has the effect of converting their appointments into Commonwealth appointments. The Act thus affects their employment status by not providing an automatic transfer to Commonwealth employment. The practical consequences for these individuals will depend on separate arrangements (not set out in the Schedule) by which their positions are terminated, assigned, or rehired.

• Approved bodies under s 3A. The Minister may approve bodies that are State authorities, local governing bodies, or non‑profit corporates for the purposes of the Act (s 3A(1)). Such approvals continue in force where they existed under the Urban and Regional Development (Financial Assistance) Act 1974, subject to transitional provisions (item 6).

• State and Territory taxpayers and tax administrations. Item 21 removes stamp duty and other State/Territory taxes from certain transactions connected with vesting and operation of the Schedule.

• Parliament and the public. The Secretary must ensure the final report is given to the Minister for presentation and published on the Department’s website after tabling, with the Minister obliged to table the report in each House as soon as practicable (item 19(4)(a)-(c)).

In short, the Act shifts asset and liability ownership and legal responsibility from the Corporation to the Commonwealth, alters counterparty identity for contracts and instruments, leaves staff appointments outside the automatic transfer, imposes specific reporting and registration mechanics, and creates an interface with State and Territory registration and taxation systems.

The Act creates a small set of express duties, powers and rights that structure what affected parties must do and what remedies they can pursue.

Commonwealth/Minister/Secretary duties and powers

• The Minister may approve bodies for the purposes of the Act if they meet the criteria in s 3A(1), namely an authority of a State, a local governing body, or a body corporate constituted for purposes other than members’ gain. The approval must be in writing and is not a legislative instrument (s 3A(1)-(2)). Item 6 continues certain pre‑existing approvals under the Urban and Regional Development (Financial Assistance) Act 1974 as approvals under s 3A (item 6(a)-(b)).

• The Minister may sign certificates that identify vested land or other assets and state that vesting has occurred; those certificates can be lodged with State or Territory registrars or other responsible authorities and those officials “may register the matter” or “deal with, and give effect to, the certificate” (items 11(1)(a)-(e), 12(1)(a)-(e)). Items 11(2) and 12(2) clarify that such certificates are not legislative instruments.

• The Commonwealth is given the functions and powers necessary to facilitate winding‑up or as consequential to the Schedule, explicitly including disposal of assets, entering into contracts, constructing buildings and carrying on services, whether directly or indirectly (item 20(1)(a)-(b), 20(1)(b)(i)-(ii)). Item 20(2) states this does not limit what the Commonwealth may do.

• The Minister may, by writing, delegate powers and functions under the Part to the Secretary or to an SES employee in the Department; the delegate must comply with any directions of the Minister (item 23(1)-(2)).

Secretary duties

• The Secretary must prepare and give to the Minister a final report on the Corporation’s activities during the final reporting period for presentation to Parliament (item 19(1)). Sections 39 and 43 of the Public Governance, Performance and Accountability Act 2013 apply to that final report in a corresponding way (item 19(2)). The Secretary may include the final report in the Department’s annual report (item 19(3)). If not included, the Secretary must give the report to the Minister within three months after the end of the final reporting period, unless the Minister extends that period for special circumstances (item 19(4)(a), (5)). The Minister must table the final report in each House “as soon as practicable” (item 19(4)(b)), and the Secretary must publish it on the Department’s website as soon as practicable after tabling (item 19(4)(c)).

Rights and remedies for private parties

• Persons whose property is acquired otherwise than on just terms by operation of the Schedule have a statutory right to reasonable compensation from the Commonwealth (item 24(1)). If compensation cannot be agreed, the person may institute proceedings in the Federal Court to recover such reasonable compensation as the Court determines (item 24(2)).

• Parties to instruments that referred to the Corporation have their instruments read as references to the Commonwealth after the commencement time, subject to exceptions (item 17(1)-(3)). Pending proceedings where the Corporation was a party are continued with the Commonwealth substituted for the Corporation (item 14).

Duties on State/Territory registrars and authorities

• Registrars and other responsible persons or authorities may, on production of the Minister’s certificate, register vested land or make entries in registers for other assets “as are necessary, having regard to the effect of this Division” (items 11(1)(d)-(e), 12(1)(d)-(e)). The Act gives them permission and direction to treat the ministerial certificates as sufficient for typical registration transactions.

Administrative presumptions

• Item 22 establishes that a document that appears to be a certificate under the Part is taken to be such a certificate and to have been properly given unless the contrary is established. That shifts the initial evidential weight in administrative and registry dealings to the certificate’s validity.

Exemptions and constraints

• Item 21 exempts the vesting and related operations under the Schedule from stamp duty or other State or Territory taxes, removing a potential financial burden on transactions effectuating the vesting.

Non‑transfer of staff

• Item 18 creates a clear constraint: nothing in the Part produces the result that the various forms of appointment, engagement or employment of members, CEO, officers, employees or consultants of the Corporation have effect as if they were appointments to the Commonwealth. That leaves employment rights and obligations subject to separate decisions or arrangements and not altered automatically by the vesting of assets and liabilities.

Delegation and rule‑making

• The Minister’s delegation power (item 23) and the power to make transitional rules by legislative instrument (item 25) create duties and formal mechanisms by which the Minister and Department can operationalise the transitional arrangements.

Taken together, the Act assigns to the Minister and to the Department concrete duties of registration, reporting, disposal, and delegation, while conferring rights on private parties to substitute Commonwealth counterparty status, to register interests under ministerial certification, and to seek compensation through the Federal Court where constitutional acquisition of property is implicated.

The Act does not create criminal offences or administrative penalty regimes in the material provided. Enforcement and remedial mechanisms are primarily civil and administrative, focused on ensuring continuity and giving parties mechanisms to register, pursue claims and receive compensation where applicable.

Enforcement/continuity mechanisms

• Substitution in proceedings. Item 14 substitutes the Commonwealth for the Corporation as a party to proceedings pending immediately before commencement. That is an enforcement and continuity mechanism: existing litigation proceeds against the Commonwealth, rather than the abolished Corporation, without the need for fresh pleadings or joinder. Item 14 does not itself prescribe additional costs or sanctions, but it changes the defendant or respondent.

• Transfer of investigations. Item 16 provides that complaints or investigations begun under Commonwealth law before the commencement time, if not finally disposed of, are thereafter to be dealt with as if taken by the Department. This allocates investigative and enforcement authority and preserves ongoing administrative action.

• Registration and evidentiary weight. Items 11 and 12 empower State and Territory registrars to register interests on ministerial certificate, and item 22 gives such certificates an evidentiary presumption of authenticity unless the contrary is established. Those provisions increase administrative enforceability of the vestings by easing the burden on registries to accept the transfers and on parties to rely upon the ministerial certificate as proof of vesting.

Compensation and judicial enforcement

• Constitutional compensation. Item 24 provides the enforcement route where vesting would otherwise constitute an acquisition of property other than on just terms within the meaning of s 51(xxxi) of the Constitution. The Commonwealth is “liable to pay a reasonable amount of compensation” (item 24(1)). If the Commonwealth and the person cannot agree the amount, the person “may institute proceedings in the Federal Court of Australia” to recover reasonable compensation (item 24(2)). That is an express judicial remedy and places the onus on affected persons to litigate if necessary.

Administrative oversight and reporting

• The Secretary’s obligation to produce the final report under item 19, and the requirement that the report be tabled and published, create parliamentary and public transparency mechanisms rather than corrective sanctions. The application of s 39 and s 43 of the Public Governance, Performance and Accountability Act 2013 to the final report (item 19(2)) imports those statutory reporting standards and oversight arrangements into the closure of the Corporation’s affairs.

Limitations and absence of penalties

• No provision in the text creates new offences or administrative penalties for non‑compliance with the Act’s transition mechanics. The Act relies instead on civil registration mechanisms, substitution in litigation, delegated administrative powers and Federal Court remedies for compensation.

• State/Territory registrars’ powers under items 11 and 12 are permissive: the Registrar “may” register the matter and “may” make entries. The Act does not impose direct penalties on registrars who do not register, nor does it provide an express cause of action against a registrar for failure to register; the practical consequence is that registrars have statutory authority to give effect to the ministerial certificate but the Act does not create an express enforcement mechanism against registrars beyond normal administrative law remedies in respect of decisions they make.

In summary, enforcement is mainly through substitution and continuation of proceedings against the Commonwealth, administrative registration supported by ministerial certificates with evidentiary force, public reporting obligations, and a judicial path to compensation where constitutional acquisition is implicated. The Act does not create new criminal sanctions or targeted administrative penalty regimes in the Schedule’s text.

The Act explicitly references and interacts with several Commonwealth and State statutory regimes and constitutional provisions. Its transitional and operative provisions are framed to dovetail with existing registration, reporting and constitutional frameworks.

Constitutional law

• The Schedule recognises the constitutional constraint in s 51(xxxi) by providing that if the Schedule’s operation would amount to an acquisition of property other than on just terms, the Commonwealth is liable to pay reasonable compensation and that the person may bring Federal Court proceedings (item 24(1)-(2)). That places the Act’s vesting mechanism within the constitutional regime for property acquisitions.

Commonwealth administrative and accountability law

• Item 19 imports elements of the Public Governance, Performance and Accountability Act 2013 into the reporting obligations for the Corporation’s final report: sections 39 and 43 of the PGPA Act apply to the final report “in a corresponding way” (item 19(2)). Item 19 also defines “annual report” and “reporting period” by reference to terms in the PGPA Act (item 19(6)). The Archive Act 1983 is referenced via a note that transferred records are Commonwealth records for Archives Act purposes (item 15 note). Those cross‑references create reporting and records management obligations consistent with broader Commonwealth practice.

State and Territory registration and taxation regimes

• Items 11 and 12 interact with State and Territory registries by authorising registrars to register vestings on production of a ministerial certificate, and item 21 suspends the application of State/Territory stamp duty or other taxes to the vesting and other operations of the Schedule. Item 21 therefore displaces State/Territory fiscal claims in relation to the specified matters by a Commonwealth statutory exemption.

Pre‑existing approvals under other Acts

• Item 6 preserves approvals made under paragraph (b) of the definition of “approved body” in section 3 of the Urban and Regional Development (Financial Assistance) Act 1974 that were in force immediately before commencement, continuing them as if they were approvals under s 3A(1) of the Urban and Regional Development (Financial Assistance) Act as amended by the Schedule. Item 7 repealed subsection 6(3) (as enacted in the Schedule). Those transitional notes indicate the Act’s amendments to the 1974 Act and continuity for previously approved bodies.

Legislative instruments and delegation

• Items 11(2) and 12(2) specify that ministerial certificates are not legislative instruments, which relieves them from disallowance and tabling regimes that typically apply to legislative instruments. Conversely, item 25 empowers the Minister to make transitional rules by legislative instrument in relation to amendments or repeals effected by the Schedule, meaning the Minister can create subordinate law to manage transitional detail.

Instruments and registers

• Item 17 edits the operation of instruments that referred to the Corporation by deeming those references to be references to the Commonwealth after commencement, but lists exceptions including Acts or regulations, instruments made under the Part, instruments associated with registers covered by items 11 or 12, the Winding‑up Agreement under the Albury‑Wodonga Development Act 1973 and instruments made under that Agreement (item 17(2)(a)-(e)). The Minister may add specified instruments to the exceptions by legislative instrument (item 17(3)(f)). This scheme balances continuity of instruments against preserving the integrity of particular statutory or contractual frameworks.

Administrative law

• Decisions by registrars and other State or Territory authorities in implementing items 11 and 12 remain subject to those authorities’ legal obligations and administrative law. The Schedule’s permission to register and treat certificates as sufficient does not displace general legal limits on administrative action, though item 22 gives a presumption of authenticity for certificates which affects evidentiary considerations in administrative proceedings.

Overall interaction pattern

• The Act uses existing constitutional and statutory channels for continuity and transition: it fits the vesting process into the Constitution’s acquisition rule, imports Commonwealth reporting and accountability regimes for final reporting, authorises ministerial certificates to ease interaction with State/Territory registries, preserves certain prior approvals under earlier legislation, and creates a limited delegated rule‑making power to manage transitional matters. The Act deliberately avoids making certificates legislative instruments, thereby retaining a lighter administrative route to effect registration while providing specific avenues (by legislative instrument) for additional transitional rule‑making.

The Act text provided contains an explicit commencement table and a statement about Schedules and their effects (s 2 and s 3), and it includes a note that the commencement table “relates only to the provisions of this Act as originally enacted” and “will not be amended to deal with any later amendments of this Act” (s 2(2) text and the commencement table note). That indicates the document is presenting the Act as originally enacted in 2014 together with its original commencement arrangements.

Specific historical amendment entries are not included in the material provided. The Schedule itself contains transitional items that amend or operate alongside other legislation, for example by continuing approvals under the Urban and Regional Development (Financial Assistance) Act 1974 and by referring to the Albury‑Wodonga Development Act 1973 in the definition of “joint Commonwealth/State scheme” (item 20(3)). Item 7 records the repeal of subsection 6(3) as part of the Schedule. Those are internal amendments effected at the moment of abolition and are therefore part of the original enactment package.

Absent explicit later amendment notes in the text supplied, the document does not disclose subsequent amendments, registrations or repeals enacted after the original 2014 enactment. The commencement table gives the original dates: sections 1-3 and uncategorised provisions took effect on Royal Assent (11 November 2014); Schedule 1 Parts 1 and 2 were to commence on a day fixed by proclamation but the table records 1 January 2015 (subject to the “6 months” backstop described); Schedule 1 Part 3 commenced on 12 November 2014 (s 2 table). The Act’s own note that the table will not be amended to reflect later amendments indicates the version provided is fixed to the original enactment rather than a consolidated version incorporating later legislative amendments.

Where the Schedule prescribes that the Minister may, by legislative instrument, specify or make rules (items 17(3), 23(1), 25), those subordinate instruments would constitute post‑enactment rules or amendments made under the Act. The text provided does not include any such legislative instruments; therefore any post‑2014 instruments must be located external to this document.

In short, the Act as provided appears to be the original 2014 enactment, with no later amendment history recorded in the supplied text. The Act itself contains both operative amendments to other Acts and authorises future subordinate instruments to manage transitional matters; however, the supplied material does not list subsequent legislative modifications beyond the original Schedule provisions.

The Act text supplied does not record any judicial decisions, cases or litigation history that arose post‑enactment. There are, however, statutory provisions within the Schedule that create potential litigation pathways and may give rise to litigation in practice, and those procedural features inform likely areas where litigation could occur.

Key statutory features that can generate litigation

• Compensation claims under constitutional acquisition rules. Item 24(1)-(2) creates an express civil remedy: where the Schedule’s operation results in an acquisition of property otherwise than on just terms within the meaning of s 51(xxxi) of the Constitution, the Commonwealth is liable to pay reasonable compensation, and the person may institute proceedings in the Federal Court to recover reasonable compensation determined by the Court. That provision expressly contemplates litigation in the Federal Court where compensation is disputed between the Commonwealth and the person whose property was affected.

• Substitution in pending proceedings. Item 14 substitutes the Commonwealth for the Corporation in proceedings pending immediately before commencement. That substitution may have generated procedural litigation, applications to strike out or to re‑plead, disputes about continuity of jurisdiction, or interlocutory applications arising from the change in respondent. The Act does not itself record outcomes of such proceedings.

• Disputes about registration or title entries. Items 11 and 12 authorise registrars to register vesting on the Minister’s certificate and to make appropriate entries. Where either registrars decline to register or third parties challenge entries made pursuant to ministerial certificates, litigation (for example in State Supreme Courts or judicial review proceedings) might arise. Item 22’s presumption of authenticity for certificates could be contested in litigation where a party asserts forged or invalid certificates.

• Administrative law challenges. Item 16 transfers pending investigations to the Department. Affected persons may seek judicial review if they consider administrative action flowing from those investigations is unlawful. The Schedule does not itself limit judicial review remedies.

• Contract and instrument disputes. Item 17 deems instrument references to the Corporation to be references to the Commonwealth, subject to exceptions. Parties to contracts or statutory instruments may litigate over whether an instrument is within the exception list in item 17(2), whether the instrument has been properly interpreted post‑commencement, or whether substitution of the Commonwealth alters rights and obligations in ways advantageous to one party or the other.

Absence of reported judicial decisions in the supplied text

• The supplied Act text contains no headnotes, judicial annotations or references to appeals or judgments. Therefore, based solely on the source provided, there is no direct litigation history recorded.

Practical considerations for litigation risk

• The presence of item 24’s explicit Federal Court route makes compensation litigation a predictable category. The substitution provision (item 14) and the Secretary’s obligation to handle final reporting and records (items 15 and 19) suggest potential administrative and civil litigation concerning records, investigations and parliamentary oversight. Disputes are most likely to focus on the operation of ministerial certificates (items 11-12 and item 22), the scope of the exceptions to deemed instrument references (item 17(2)), and whether particular actions amount to an acquisition of property within s 51(xxxi).

Because the material provided does not include post‑enactment judgments or recorded litigation outcomes, the account above identifies the statutory nodes most likely to produce litigation, rather than summarising any actual case history. Any practitioner seeking reported decisions based on this Act must consult external case law databases and court records beyond the supplied text.

The Act’s mechanics are compact but contain several features that practitioners and administrators should treat as potential pitfalls or areas requiring proactive management. Below are the concrete operational “gotchas” grounded in the Act’s provisions.

Automatic vesting without conveyance

• Items 9(2) and 10(2) provide that assets and liabilities “cease to be assets [or liabilities] of the Corporation and become assets [or liabilities] of the Commonwealth without any conveyance, transfer or assignment.” That automatic vesting denies counterparties the usual procedural comfort of executed transfer documents. Parties must rely on ministerial certificates (items 11-12) and the register entries they induce. Practitioners should ensure they obtain and retain ministerial certificates where they depend on title clarity.

Ministerial certificates are not legislative instruments and carry a rebuttable authenticity presumption

• Items 11(2) and 12(2) state the certificates are not legislative instruments. Item 22 takes an apparent certificate to be a proper certificate and to have been properly given unless the contrary is established. The combination means (a) the certificates are not subject to instrument disallowance mechanisms; and (b) they enjoy an evidentiary presumption that shifts initial burden to a challenger. However, the presumption is rebuttable. Challengers may need to assemble proof to displace the certificate’s effect.

State registration depends on registrars’ discretion

• Items 11(1)(d)-(e) and 12(1)(d)-(e) use permissive language: the Registrar “may” register the matter and may make entries “as are necessary.” There is no absolute ministerial compulsion forcing registrars to register; administrative practice and State law interactions will matter. Parties should maintain a clear chain showing production of the ministerial certificate and, if a registrar declines to register, be prepared to seek administrative review or judicial relief.

Employment status not automatically transferred

• Item 18 states that nothing in the Part produces the result that appointments, engagements or employments of members, CEO, officers, employees or consultants of the Corporation have effect as if they were appointments to the Commonwealth. Practically, staff are not automatically absorbed into Commonwealth employment. That can create gaps in employment continuity, superannuation, redundancy rights, and access to remedies unless separate arrangements (which the Act does not prescribe) are made. Employers, employees and unions must anticipate negotiating or legislating transitional employment arrangements.

Instrument exceptions and ambiguity

• Item 17 deems instrument references to the Corporation to be references to the Commonwealth, but enumerates exceptions in item 17(2)(a)-(f) and permits the Minister to specify further instruments by legislative instrument (item 17(3)). This creates potential uncertainty for contract drafters and counsel, who must check whether their instruments fall within an exception or could be specified later by the Minister. Affected parties should review their instruments to confirm post‑commencement counterparty and notice arrangements.

Stamp duty and tax exemption scope

• Item 21 exempts stamp duty or other State/Territory tax in respect of the vesting of assets or liabilities and the operation of the Schedule “in any other respect.” The breadth of this exemption is meaningful but may interact with State law interpretations of taxable events. Parties should confirm with State revenue authorities whether particular consequential transactions triggered by the vesting are taxable, and request clear confirmation when relying on the exemption.

Compensation claims require proactive action

• Item 24 provides a right to reasonable compensation where acquisition occurs otherwise than on just terms, and the remedy is Federal Court proceedings if parties cannot agree. Affected persons must be prepared to litigate within appropriate timeframes and to demonstrate valuation and constitutional acquisition elements. There is no administrative valuation mechanism imposed by the Act; negotiation or litigation will determine amounts.

Continuity of complaints and investigations

• Item 16 transfers pending complaints and Commonwealth investigations to the Department. Practitioners should note that investigations begun before the commencement time continue as if taken by the Department. Parties who were mid‑process must treat the Commonwealth/Department as the investigative authority and should ensure they update contact and notice details accordingly.

Final report requirements and timing

• Item 19 imposes deadlines and procedures for the final report, including a three‑month default period for the Secretary to provide the report to the Minister (unless extended), the Minister’s obligation to table the report “as soon as practicable,” and the Secretary’s obligation to publish it on the Department’s website after tabling (item 19(4)(a)-(c)). Practitioners relying on information in the final report should note these timing mechanisms and the Minister’s discretion to extend the initial period.

Delegation subject to Ministerial directions

• Item 23 allows delegation to the Secretary or SES employees but requires that a delegate comply with any directions of the Minister (item 23(2)). Delegates may therefore be required to implement Ministerial policy directions, which will affect the operationalisation of registration, disposal, and transitional rules.

Preservation of certain instruments and agreements

• Item 17(2)(d)-(e) exempt the Winding‑up Agreement under the Albury‑Wodonga Development Act 1973 and instruments made under that Agreement from the automatic “reference becomes Commonwealth” rule. Parties dealing with those agreements should confirm their rights remain governed by the specific contractual terms and supplementary law rather than by the automatic substitution.

Taken together, these provisions create several practical hazards: reliance on ministerial certificates rather than conveyancing, registrars’ discretionary steps, presumption of certificate authenticity, the absence of staff transfer, the need to litigate constitutional compensation claims, and the potential for Ministerial subordinate instruments to alter the rules. Practitioners should plan concrete administrative steps to manage each of these points.

The Act establishes clear procedural steps and administrative actions for parties affected by the abolition of the Corporation. Compliance requires both administrative actions by Commonwealth officers and practical steps for private parties and State/Territory authorities.

For Commonwealth decision‑makers (Minister, Secretary, Department)

• Prepare and publish the final report. The Secretary must prepare the final report on the Corporation’s activities for the final reporting period and either include it in the Department’s annual report or deliver it to the Minister within three months after the end of the final reporting period (item 19(1), (3)-(4)). If the Secretary does not include the final report in the Department’s annual report, the Secretary must give it to the Minister and the Minister must table it in each House of Parliament “as soon as practicable,” while the Secretary must publish it on the Department’s website after tabling (item 19(4)(a)-(c)). The Minister may extend the three‑month period for special circumstances (item 19(5)). The Secretary should therefore plan the report’s preparation, ensure PGPA Act compliance (item 19(2)), and coordinate tabling and web publication.

• Create and issue ministerial certificates where required. To enable registration of vested land and other assets, the Minister should sign certificates identifying the land or asset and declaring vesting under the Schedule, then lodge those certificates with appropriate State/Territory registrars or registries (items 11(1), 12(1)). Ensure certificates properly identify the assets and are kept accessible since item 22 affords them an evidentiary presumption.

• Use the delegated powers framework prudently. If the Minister delegates powers under the Part to the Secretary or SES employees, do so in writing and include directions the delegate must follow (item 23(1)-(2)). Record delegations and ensure delegates understand the obligation to comply with Ministerial directions.

• Manage disposal and transitional functions. Item 20 gives the Commonwealth broad power to dispose of assets and do necessary or convenient acts, including entering contracts and constructing works. Establish internal controls for asset disposal, procurement, contract oversight and potential constraints imposed by other laws (for example, Commonwealth procurement rules, financial management standards and the PGPA Act references in item 19).

• Exemptions: liaise with State revenue authorities. Item 21 exempts stamp duty and other State/Territory taxes in respect of vesting and the Schedule’s operation. The Department should obtain formal confirmation from State/Territory revenue offices when effecting registrations and disposals to avoid disputes about tax liability.

For State and Territory registrars and authorities

• Accept and process ministerial certificates. When presented with a certificate of vesting from the Minister identifying land or another asset and stating that vesting has occurred, registrars “may register the matter” or otherwise give effect to the certificate (items 11(1)(d)-(e), 12(1)(d)-(e)). Registrars should ensure their internal workflows and database entries capture the ministerial certificate and note the Commonwealth’s successor‑in‑law status.

• Apply the evidentiary presumption but retain rights to review. Item 22 grants apparent certificates a presumption of authenticity unless the contrary is established. Registrars may accept certificates as prima facie proof but should be ready to process objections or competing claims under applicable State/Territory laws.

For private counterparties to contracts and instruments

• Review instruments that refer to the Corporation. Item 17(1) provides that references to the Corporation in instruments in force immediately before the commencement time “have effect after the commencement time as if they were references to the Commonwealth,” except for specified exceptions (item 17(2)(a)-(f)). Parties should review their contracts for notice provisions, termination clauses, rights to assign or novate, liens and security, and confirm whether their instruments fall within the item 17 exceptions. If the instrument is within an exception or if the instrument’s operation is ambiguous, consider obtaining a written acknowledgment of the Commonwealth as successor counterparty or negotiating an express novation to avoid future disputes.

• Secure ministerial certificates or register entries for title certainty. Parties who rely on land interests or other asset title should obtain the Minister’s certificate and ensure registration occurs under item 11 or item 12 so that the Commonwealth’s title is recorded.

• Prepare for employment consequences. Employees, officers, consultants and managers of the Corporation should note item 18’s express non‑transfer rule for appointments. Those whose income or benefits depend on continued appointment should seek clarity from the Corporation or the Department about transitional arrangements such as re‑appointment, redundancy, termination entitlements or transfer of accrued entitlements including superannuation. The Act imposes no automatic employment status transfer.

For persons asserting property rights that might be acquired

• Evaluate whether an acquisition occurred and, if so, pursue compensation. If a person believes their property was taken otherwise than on just terms by the operation of the Schedule, the Commonwealth is liable to pay reasonable compensation (item 24(1)). If compensation cannot be agreed, initiate Federal Court proceedings as item 24(2) prescribes. Practitioners should prepare valuation evidence and consider the legal threshold for a constitutional acquisition claim.

For parties involved in pending proceedings or investigations

• Update filings and processes to reflect substitution. Where the Corporation was a party to a pending proceeding, expect the Commonwealth to be substituted as the party at and after the commencement time (item 14). Ensure pleadings, service addresses, and discovery processes are updated to name the Commonwealth and to engage the Commonwealth’s solicitors or the Attorney‑General’s office where appropriate. For pending complaints or investigations referred to a Commonwealth entity before commencement, treat those matters as if they were taken by the Department (item 16).

For regulatory and compliance planning

• Use the Minister’s power to make transitional rules. Item 25 authorises the Minister to make legislative instruments prescribing transitional matters, saving provisions or application provisions. Stakeholders should monitor the Federal Register of Legislation for rules made under item 25 and for any legislative instruments specifying instruments under item 17(3).

Record keeping and archives

• Transfer and preserve records as Commonwealth records. Item 15 requires transfer of records and documents that were in the Corporation’s possession immediately before the commencement time to the Department. The note in item 15 makes clear the transferred records are Commonwealth records for Archives Act purposes. Entities subject to records obligations should ensure transfer is documented and that access and retention schedules are updated.

Taken together, compliance requires coordinated action across the Commonwealth, State/Territory registries, counterparties and affected individuals. The principal operational steps are: obtain and preserve ministerial certificates; secure registration where title clarity is needed; review and, where necessary, novate or renegotiate instruments; anticipate and manage employment transitions; and, where acquisition issues arise, prepare for Federal Court compensation claims.
