Albert Park Land Act 1972

The text rests on a small set of legal and administrative concepts:

• Reserved public park land and committee of management. The Act applies to land reserved by an Order in Council dated 21 March 1876 described as Albert Park. The preamble names the “committee of management appointed pursuant to section 221 of the Land Act 1958” as the managing body. The Act therefore presupposes a committee with statutory creation under another statute; it supplies that committee with a specific additional power to grant leases of part of the land delineated in the Schedule.

• Statutory delegation of property rights. Section 2(1) delegates to the committee the statutory ability to grant leases of the Plan B portion for defined purposes (sport, recreation, social activities and connected purposes), expressly including the erection of buildings. The power is defined by purpose, location (Plan B) and form (lease).

• Overriding clause. The phrase “Notwithstanding anything to the contrary in any Act” at the start of s 2(1) signals an intended statutory inconsistency resolution. Mechanically that phrase gives this Act priority over other statutes that would prohibit or limit such leases, meaning the committee’s power under s 2 operates regardless of conflicting statutory provisions.

• Administrative checks: Governor in Council and Minister roles. Section 2(2)(a) requires Governor in Council approval for any lease, introducing an executive approval gate. Section 2(3)(b) makes application of rent for “any other purpose” conditional on Ministerial approval. These two approvals are distinct: the Governor in Council must approve each lease; the Minister must approve any departure from the statutory default for application of rent.

• Committee discretion over lease terms. Section 2(2)(b) gives the committee broad discretion to set covenants, conditions, exceptions and reservations “as the committee of management thinks fit”. That wording gives the committee freedom to tailor leases, subject only to the Governor in Council approval requirement and the 21-year maximum term.

• Ring-fencing of rent. Section 2(3) stipulates where rent must be applied: firstly towards maintenance and improvement of the remainder of the reserved land that is not leased under s 2 (s 2(3)(a)); secondly, for other purposes only if the Minister approves (s 2(3)(b)). The statutory language fixes the default destination of rent to park upkeep, not to general revenue.

• No compensation by the Crown. Section 2(4) provides that “No compensation shall be payable by the Crown in respect of any act, matter or thing done under or arising out of this section”. That is an express statutory displacement of Crown liability for acts done under the power conferred by s 2.

• Spatial specificity. The Schedule identifies the permitted lease area as Plan B, At St. Kilda, Parish of Melbourne South. The Act’s operation is spatially limited to the land delineated in Plan B rather than the entire Albert Park reserve.

These concepts interact: committee discretion over lease content is subject to external executive approval and statutory limits on term; rent is directed to park maintenance unless the Minister allows otherwise; and Crown non-liability constrains compensation claims arising from exercise of the power. The Act contains no procedural detail for how the committee should seek Governor in Council approval, no fees or rent-setting mechanism, and no stated enforcement mechanism within the Act itself.

Primary decision-makers and affected parties under the Act are identifiable on the face of the statute.

• Committee of management. The Act explicitly empowers the committee that manages Albert Park to grant leases (s 2(1)). The preamble locates that committee as appointed under s 221 of the Land Act 1958. Practically, the committee will carry the administrative and operational burden of soliciting, negotiating, granting and administering leases. The committee also bears the responsibility to apply rent receipts in accordance with s 2(3).

• Governor in Council. The Governor in Council must approve each lease (s 2(2)(a)). That places decision-making authority and a veto over leases outside the committee, at executive government level. The requirement imposes a procedural step the committee must satisfy before a lease becomes effective.

• The Minister. The Minister has a defined approval role over the application of rent for any purpose other than maintenance and improvement of the reserved land (s 2(3)(b)). This gives a ministerial control over diversion of rent away from the park’s upkeep and into other uses.

• Prospective lessees (clubs, sporting bodies, commercial operators). The Act opens a market opportunity: entities wanting space for sport, recreation, social activities or related buildings on the Plan B area can seek leases from the committee (s 2(1)). Prospective lessees must accept lease terms set by the committee (s 2(2)(b)), the requirement of Governor in Council approval (s 2(2)(a)), and the 21-year maximum term (s 2(2)(c)). The Act also affects what lessees can expect in terms of compensation , s 2(4) disclaims Crown compensation “in respect of any act, matter or thing done under or arising out of this section”.

• Public park users and the local community. The Act allows parts of the public reserve to be leased for activity and building, which may change public access, amenity and the management of parkland. The ring-fencing of rent for maintenance and improvement of the remainder of the reserve (s 2(3)(a)) creates a funding stream for park upkeep; alternatively, rent may be diverted to other purposes only with Ministerial approval (s 2(3)(b)).

• The Crown and public finances. The Crown’s exposure to compensation claims for acts under s 2 is removed by s 2(4). That shifts financial risk away from the Crown for those specific acts, and implicitly places more reliance on contractual protections and administrative approvals to manage disputes.

• Local municipal entities. The preamble records the land sits in the municipal districts of the Cities of South Melbourne and St. Kilda. While the Act does not make municipal authorities decision-makers, their constituents and local planning frameworks may be affected by leases and new buildings on the reserved land.

• Parties with existing rights. Although the Act contains the overriding “notwithstanding anything to the contrary in any Act” clause (s 2(1)), it does not expressly extinguish private rights or easements. However, s 2(4) eliminates Crown liability for compensation for acts done under the section; therefore land users seeking redress for actions arising from the statutory power will find that the Crown is not liable under this Act.

Who does not appear as a decision-maker on the face of the Act is also significant. The Act does not create or require any public consultation process, local council approval, planning permits or environmental assessments within its text. It likewise does not contain a mechanism for judicial review of individual lease approvals; such oversight is not provided for in the Act itself. The Act therefore centralises grant and financial-direction powers in the committee, the Governor in Council and the Minister.

The Act imposes a small set of duties and creates discrete rights:

Rights and powers

• Right to grant leases. The committee of management obtains the statutory right to grant leases of the Plan B area for sport, recreation, social activities and connected purposes, including the erection of buildings (s 2(1)). This is not a general conveyancing power but a lease power constrained by purpose and place.

• Right to set lease terms. The committee may include covenants, conditions, exceptions and reservations “as the committee of management thinks fit” (s 2(2)(b)). That textual formulation is wide, allowing the committee to tailor rights and obligations within leases.

• Right to receive rent. The committee is entitled to rents payable under leases it grants. Section 2(3) then dictates how those moneys are to be applied.

Duties and limits

• Duty to obtain Governor in Council approval. No lease may be granted under s 2 without the Governor in Council’s approval (s 2(2)(a)). This is a procedural duty on the committee: an internal decision to grant a lease must be validated by executive approval.

• Term limit duty. Leases granted under s 2 cannot exceed 21 years (s 2(2)(c)). This is a statutory cap that affects lessee rights and the security of tenure that can be granted, with consequential effects on investment decisions and financing capability.

• Duty to allocate rent. Rent received from leases must be applied to maintenance and improvement of the reserved land other than the leased parcel (s 2(3)(a)), unless the Minister approves an alternative purpose (s 2(3)(b)). The committee is therefore duty-bound to ring-fence revenue for park upkeep or seek Ministerial consent to depart from that destination.

• No compensation duty on the Crown. Section 2(4) makes it clear that the Crown is not responsible for compensation “in respect of any act, matter or thing done under or arising out of this section”. This is framed as a limitation on Crown duties rather than a duty itself; it affects the remedial landscape for affected parties.

Discretion and delegated authority

• Committee discretion in lease content. The committee has discretion to impose whatever covenants and conditions it thinks fit (s 2(2)(b)). There is no statutory catalogue or mandatory minimum content; the discretion reaches to exceptions and reservations the committee deems fit.

• Ministerial discretion over rent diversion. The Minister has a discretion whether to approve “any other purpose” for rent application beyond maintenance and improvement (s 2(3)(b)). The Act does not specify criteria or process for that approval.

• Governor in Council discretion on approvals. The text mandates Governor in Council approval but does not prescribe criteria or procedural requirements, so that branch of executive government has a gatekeeping role without statutory guidance in the Act itself (s 2(2)(a)).

Operational effects on prospective lessees and the committee

• Lessee expectations. Prospective lessees receive a statutory licence to occupy via lease but only on terms that satisfy committee drafting discretion and Governor in Council approval, and only for up to 21 years (s 2(2)). They must expect the rent they pay will be applied to park maintenance unless Ministerial approval is obtained for another use (s 2(3)). They must also factor Crown non-liability for compensation into their risk assessment (s 2(4)).

• Committee responsibilities. The committee must manage the administrative process to obtain Governor in Council approval, draft leases with appropriate covenants and ensure rent is applied as the Act requires. The committee holds the operational duty to apply rents to park upkeep by default and to seek Ministerial approval for any alternative application.

Absences are also notable. The Act does not prescribe rent-setting methodology, dispute-resolution mechanisms, notice or consultation obligations, or performance monitoring criteria. It does not create statutory penalties for non-compliance or a statutory scheme for enforcement within the Act itself. Remedies and enforcement therefore will be dependent on lease terms and other legal mechanisms outside the Act.

The Act contains no express penal provisions, fines or criminal offences; nor does it establish a dedicated enforcement agency or enforcement procedure within its text. Section 2 simply confers a power to grant leases and prescribes conditions for that power; it does not create offences for breach of the section nor does it specify administrative penalties or regulatory enforcement steps.

Practical enforcement implications on the face of the Act

• Enforcement through contract. Because the Act itself does not prescribe statutory penalties, enforcement of lease terms, maintenance obligations, rent payment and other operational matters will largely be contractual. Covenants and conditions inserted under s 2(2)(b) will form the primary legal instrument for enforcement by the committee (or lessee) through ordinary civil remedies such as damages, specific performance or forfeiture, as available in contract law. The Act’s silence on remedies means that lease drafting is the practical locus of enforcement detail.

• Executive approvals as control points. Governor in Council approval under s 2(2)(a) and Ministerial approval under s 2(3)(b) are administrative control points that regulate the exercise of the grant power. The requirement of those approvals is itself an enforcement-like barrier: the committee’s lease has no statutory validity without the Governor in Council sign-off. Similarly, diversion of rent requires Ministerial approval. These approvals are discrete levers that can prevent or limit the operation of individual leases.

• Crown immunity from compensation claims. Section 2(4) removes Crown liability for compensation “in respect of any act, matter or thing done under or arising out of this section”. That provision narrows the remedial avenues available to parties affected by acts under s 2, because the Crown is statutorily exempted from paying compensation in those circumstances. The effect is to place responsibility for dispute resolution more squarely on contractual arrangements and non-Crown remedies unless other statutes or common law rights (not contained within this Act) provide relief.

• Procedural and judicial oversight not detailed. The Act does not specify procedures for Governor in Council or Ministerial decision-making nor does it establish timelines, notice obligations, public consultation or merits review processes. The absence of procedural prescriptions may limit statutory routes for interested parties to challenge administrative decision-making under this Act; however such oversight possibilities (judicial review for legality, or other statutory review routes) are not created or ruled out by the Act itself , the text simply does not address them.

Consequences of statutory silence

• Importance of lease drafting. Because the Act delegates much of the operational detail to leases and to external executive approvals, the enforceability of obligations, remedies for breaches, indemnities and dispute-resolution mechanisms will depend on the quality of lease drafting and the content of covenants imposed pursuant to s 2(2)(b).

• Administrative discretion with limited statutory constraints. The Act confers significant discretion on the committee, the Governor in Council and the Minister but sets few procedural or substantive constraints in statute. That means enforcement and governance will rest on administrative practice, internal governance arrangements, and the ancillary legal framework outside the Act.

• Risk allocation via contract. Section 2(4) shifts certain liabilities away from the Crown and therefore increases the importance of contractual risk allocation between committee and lessees. Lessees and the committee will need to anticipate risks that otherwise might be addressed through statutory compensation by the Crown.

In short, remedies and penalties for non-compliance are not contained in the Act itself; enforcement will be exercised by contractual mechanisms and through the executive approvals required by the Act. The Act’s stipulation that the Crown is not liable for compensation arising under s 2 materially affects the remedial landscape for affected parties.

The Act is drafted to sit in a particular relationship with other statutes and administrative frameworks; its interplays follow from its wording.

• Express statutory primacy. Section 2(1) begins “Notwithstanding anything to the contrary in any Act”. That language creates an express override: where another statute forbids, limits or conflicts with the committee granting leases of the Plan B area for the specified purposes, this Act governs and the committee’s power under s 2 will prevail. The interaction is therefore one of statutory superiority for the specified power and area.

• Reference to the enabling appointment. The preamble states that the committee of management is “appointed pursuant to section 221 of the Land Act 1958”. That cross-reference evidences that the committee’s existence and perhaps broader functions are rooted in the Land Act 1958. The Albert Park Land Act 1972 supplements that statutory framework by conferring the separate lease power in s 2. The Act therefore operates as a specific enabling statute layered on top of the committee’s general statutory basis.

• Executive approvals and administrative law. The Act places decision-making authority in the Governor in Council (s 2(2)(a)) and in the Minister regarding use of rent (s 2(3)(b)). These are statutory authorisations that bring administrative law considerations into play for those approvals (procedural fairness, legality, rationality), but the Act itself does not prescribe procedures for those approvals. How these approvals interact with other administrative statutes (such as acts governing ministerial powers or the operation of the Governor in Council) is not specified but the Act leaves open those broader administrative law frameworks to supply procedural and review mechanisms.

• Land-use and planning laws. The Act authorises erection of buildings for the permitted purposes (s 2(1)), but it does not address how those developments interact with planning or building regulatory regimes. The Act contains no explicit exemption from planning controls. The statutory phrase “Notwithstanding anything to the contrary in any Act” could be read to override conflicting statutory controls, but its operation against planning law is not expressly tested or defined in the text. The Act therefore creates a potential site of overlap or tension with other statutes governing land use, but the Act itself does not lay down the mechanics of that interaction beyond its general override statement.

• Financial controls and public money. Section 2(3) requires rents to be applied to maintenance and improvement of the reserved land other than leased parcels, or to other purposes only with Ministerial approval. This prescribes internal financial direction for the committee, but does not specify accounting, audit or public finance requirements. The Act thus sets a substantive constraint on the use of rent receipts, leaving procedural financial controls to other statutes or to administrative practice.

• Compensation and remedy regimes. Section 2(4) excludes Crown compensation for actions under or arising from s 2. That interacts with statutory compensation schemes in other Acts: where those schemes would otherwise impose a Crown liability, s 2(4) indicates that the Crown should not be regarded as liable for compensation in respect of actions under this Act. The exact boundary of that exclusion depends on other law and is not further defined in the Act.

• Relationship to municipal powers. The preamble situates the land within the municipal districts of the Cities of South Melbourne and St. Kilda. The Act does not confer a role to municipal councils, nor does it subject leases or development to municipal consent within the text. Any interaction between council planning powers, local laws and leases under this Act is left unarticulated.

In summary, the Act asserts dominance over conflicting statutory provisions for the specific power it confers, references the committee’s origin in the Land Act 1958, and allocates decision-making roles to executive offices. It does not describe procedural or substantive interfaces with planning, finance or compensation law; those cross-Act interactions must be resolved by applying other statutes and administrative law principles, but the Act’s overriding language and s 2(4) create durable statutory constraints and priorities that will shape how other laws operate in practice.

The Endnotes record the amendment history incorporated in this published version. The only recorded amendment affecting the Albert Park Land Act 1972 in the Endnotes is the State Sport Centres Legislation Amendment Act 2022 (No. 41/2022). The table of amendments shows:

• State Sport Centres Legislation Amendment Act 2022, No. 41/2022: Assent date 6 September 2022. Commencement: sections 25 and 26 commenced on 7 September 2022; s 2 (the main operational section of this Act) was amended by s 25 of that amending Act; the Schedule was amended by s 26. The Endnotes explicitly identify that the current publication incorporates those amendments.

The statute also contains an endnote recording the original assent and commencement dates of the Albert Park Land Act 1972 itself:

• Original assent and commencement: the Act was assented to on 3 October 1972 and came into operation on 3 October 1972.

Other interpretive provisions in the Endnotes concern general legislative interpretation (for example, references to the Interpretation of Legislation Act 1984 and style changes authorised by that Act). Those interpretive notes operate across Victorian legislation and are not amendments specific to the Albert Park Land Act 1972, but they affect how headings, examples, punctuation and other textual elements are treated when interpreting the Act.

There are no further amendment entries, schedules of transitional provisions, or explanatory details included in the Endnotes beyond the note that “No entries” appear in the Explanatory details section at the time of publication. The schedule in the Act was amended by s 26 of No. 41/2022, although the text provided here shows the Schedule identifying Plan B (At St. Kilda, Parish of Melbourne South) but contains no reproduced map image.

For an accurate account of amendments beyond those recorded in these Endnotes, a reader would need to consult Victoria’s consolidated legislation database; however the version provided here reflects incorporation of the 2022 amendments described in the Endnotes.

The Act text and the accompanying Endnotes contain no litigation history. There are no cases, decisions or judicial authorities cited in the Act itself or in the Endnotes. The Schedule notes and explanatory details contain no references to judicial interpretation or dispute resolution arising under the Act. The preamble and main text likewise do not mention any specific litigation or legal challenge.

Consequently, based solely on the source material provided, there is no recorded case law, appellate decision, tribunal finding or litigation narrative that interprets or applies the Albert Park Land Act 1972. The lack of litigation history in the text should be treated as an absence of recorded cases in this published version, not as confirmation that no disputes have ever arisen; the Act and its operational consequences may have been the subject of external litigation not recorded in this document. The Endnotes do not report judicial proceedings or statutory court decisions.

Where litigation might arise, the Act’s key features suggest likely dispute loci (noting this section confines itself to what the source text implies):

• Approval and administrative discretion. Disputes could arise about whether a lease had the necessary Governor in Council approval under s 2(2)(a), or whether a Minister properly approved an alternative purpose for rent under s 2(3)(b). The Act does not set out review procedures.

• Lease covenants and enforcement. Because enforcement is through lease terms, disputes between committee and lessee about covenant compliance, rent application, building works and obligations are natural candidates for litigation, although none are recorded in the Act.

• Compensation claims. The s 2(4) bar on Crown compensation narrows statutory compensation claims against the Crown arising under the Act; litigation attempting to characterise a claim as outside s 2(4) or to identify alternative liability sources could be foreseeable, though not recorded here.

The Act itself provides no adjudicative or dispute-resolution apparatus, and the Endnotes do not record any judicial interpretation. Any deeper litigation history would have to be sourced from court records, administrative tribunal decisions or secondary materials outside the text provided.

The Act is concise, but its economy of drafting creates several practical pitfalls and risks that parties should note and manage. These follow directly from the text.

1. Governor in Council approval is mandatory and unspecified. Section 2(2)(a) requires Governor in Council approval for any lease. The Act does not prescribe process, timing, decision criteria or scope for that approval. Practically, that means a committee cannot rely on an in-principle agreement with a lessee until the Governor in Council has acted. Timing delays, political sensitivities and administrative discretion at that approval gate can materially affect project timelines and sunk costs. Because the Act is silent on procedure, administrative law principles and external instruments will shape the approval step.

2. Broad committee discretion in lease content. Section 2(2)(b) allows the committee to impose covenants, conditions, exceptions and reservations “as the committee of management thinks fit”. That phrasing gives the committee wide latitude but puts the onus on lessees to negotiate and manage contractual risk. There is no statutory minimum protection for lessees such as default repair standards, public access guarantees or compensation for early termination embedded in the Act.

3. 21-year maximum term constrains finance and investment. Section 2(2)(c) limits lease terms to 21 years. For capital-intensive facilities, clubhouses, stadia, substantial building works, this term cap is commercially significant. It affects the lessee’s ability to secure long-term financing, amortise investment, and obtain favourable lending terms. Lessees and lenders must structure deals within that statutory ceiling or rely on successive short-term renewals, which carry reversion risk.

4. Rent application is ring-fenced by default. Section 2(3) mandates that rent be applied to maintenance and improvement of the reserved land other than the leased area, unless the Minister approves otherwise. That ring-fencing restricts the committee’s budget flexibility and may limit uses that a committee or lessee might prefer (for example, wider community programs or general revenue uses) unless Ministerial approval is obtained. For lessees, rent revenue is not fungible for other local purposes without Ministerial consent.

5. No Crown compensation under s 2(4). The Act’s explicit bar on Crown compensation affects expected remedies after adverse acts “done under or arising out of this section”. Parties who would normally expect Crown compensation in certain circumstances must instead rely on contractual remedies or other non-Crown statutory avenues (if any). The effect narrows Crown liability and shifts risk allocation away from the Crown.

6. “Notwithstanding anything to the contrary in any Act” is sweeping but not procedurally complete. The override in s 2(1) may supersede conflicting statutory prohibitions, but the Act does not specify whether it overrides local planning, building or environmental regimes, nor does it set out transitional or interfacing rules. The practical boundary between this statutory override and other regulatory frameworks is therefore unclear on the face of the Act.

7. No internal enforcement or penalty regime. The Act contains no express penalties for misuse, breach of purpose, or improper diversion of rent. Enforcement of obligations is therefore primarily contractual. Absent robust lease drafting and enforcement clauses, a party may find statutory remedies limited.

8. Spatial uncertainty if Plan B is not clear. The Schedule identifies Plan B as “At St. Kilda, Parish of Melbourne South” and the published copy here lacks a reproduced map image. If the Schedule’s plan is not readily accessible or if its boundaries are ambiguous, questions about what land is within the permitted lease area may arise. That could create legal uncertainty about whether a particular parcel is properly leasable under s 2(1).

9. Ministerial control over rent diversion could produce political risk. The Minister’s approval power over any non-park use of rent (s 2(3)(b)) centralises control and may result in policy-driven decisions that affect operational budgets. Committees and lessees should plan on obtaining explicit Ministerial approvals before assuming alternative applications of rent.

10. No express public consultation requirement. The Act does not mandate consultation with local councils, communities or park users before leases or building works proceed. That omission increases the risk of local opposition or reputational disputes that are not regulated within the Act.

Each “gotcha” flows from a provision in the Act: the Governor in Council gate (s 2(2)(a)), committee discretion (s 2(2)(b)), term cap (s 2(2)(c)), rent application (s 2(3)), Crown non-liability (s 2(4)) and the overriding clause (s 2(1)). Parties should plan for these consequences through careful contract drafting, administrative engagement, contingency timing and clear mapping of the Schedule.

Compliance in practice requires attention to statutory prerequisites, careful lease drafting and administrative procedure. The steps below map onto the statutory requirements and identify practical actions that flow directly from the Act.

1. Confirm the parcel is within Plan B. Before beginning any grant process, the committee must identify the precise land that is “delineated and shown hatched in Plan B in the Schedule” (s 2(1)). Obtain the official Schedule map (the Act’s operative Schedule) to confirm the boundaries and record the legal description. Any uncertainty about the Plan B boundaries should be resolved pre-contract because the statutory power is limited to that area.

2. Ensure purpose compliance. Leases must be for “the purposes of sport or recreation or social activities or purposes connected therewith” (s 2(1)). Draft the lease to state clearly the permitted uses and include compliance obligations and permitted use covenants. Exclude or tightly control non-permitted uses through explicit prohibitions and re-entry/forfeiture clauses.

3. Prepare covenants, conditions and reservations. Section 2(2)(b) allows the committee to impose “such covenants, conditions, exceptions and reservations as the committee of management thinks fit”. Use that discretion to: set maintenance obligations, building standards, public access requirements, insurance and indemnities, environmental and heritage compliance, and termination rights. Include default remedies, dispute resolution mechanisms and clear performance standards so that enforcement can proceed under contract.

4. Observe the 21-year term limit. Draft the lease term to be 21 years or less (s 2(2)(c)). If longer economic life is needed, consider sub-leasing structures, staged investments, or negotiated renewal options that comply with the statutory cap, but ensure any renewal mechanism is compatible with the statute and subject to Governor in Council approval where required.

5. Secure Governor in Council approval before grant. Do not enter into final settlements or permit occupation until the Governor in Council approval under s 2(2)(a) is obtained. Establish a process to lodge the necessary materials for that executive approval, including the proposed lease, plan approvals, financials and evidence that the proposed use fits within the Act’s permitted purposes. Anticipate that the Governor in Council approval may involve executive scrutiny beyond technical drafting.

6. Plan for rent application. Under s 2(3) rent must be applied by the committee towards “the maintenance and improvement of the whole or any part of the land reserved” that is not leased, unless the Minister approves an alternative purpose (s 2(3)(a)-(b)). Determine and document how rent receipts will be channelled into maintenance budgets, segregated accounting and reporting. If there is any intention to apply rent to other uses, secure written Ministerial approval before committing funds.

7. Address the Crown’s compensation bar in risk allocation. Given s 2(4) excludes Crown compensation for actions arising under the section, lessees should seek contractual protections: robust indemnities, insurance obligations, explicit allocation of operational risks, warranties about the state of the land, and where necessary security of tenure through roll-over or re-issue provisions (subject to statutory constraints). Committees should ensure obligations are commercially enforceable and do not misrepresent Crown liability where none exists under the Act.

8. Consider planning and building compliance outside the Act. Although the Act authorises erection of buildings (s 2(1)), it is silent on planning and building approvals. Parties should assume they must satisfy applicable planning and building regulatory requirements unless a separate statutory exemption exists (none is provided in this Act). Obtain up-front legal advice and permit approvals where required.

9. Maintain transparency and records for approvals. Keep complete records of the committee’s decision-making, the materials submitted to the Governor in Council, Ministerial approvals for rent diversion, and council or community engagement undertaken. Those records will be crucial if administrative decisions are challenged or if questions arise about compliance with s 2.

10. Draft dispute resolution and enforcement mechanisms into leases. Because the Act contains no enforcement regime or penalties, put in place clear dispute resolution (step clauses, mediation/arbitration), remedies for breach, and clear default provisions. Ensure the committee has enforceable remedies for rent default, works non-completion and unlawful use, and ensure the lessee has recourse for breach where appropriate.

11. Financial modelling that reflects ring-fenced destination of rent. Ensure financial projections and budgeting for both the committee and prospective lessee take into account that rent must by default be applied to park maintenance (s 2(3)(a)). If the business model depends on rent funding other activities, secure Ministerial approval in writing before finalising commitments.

12. Engage early with the Minister and government agencies. Given the critical roles of the Governor in Council and the Minister under the Act, engage pre-emptively with these decision-makers to clarify expectations, timelines and any policy considerations that could affect approval. Early engagement reduces procedural risk and can identify non-statutory requirements likely to be relevant.

13. Seek clarity on the effect of the “notwithstanding” clause. If there is any doubt about the Act’s interaction with other statutory regimes (for example planning law), obtain legal advice to map statutory interactions and ensure compliance with any applicable regulatory regimes not displaced by the Act.

Following these steps aligns practice with the Act’s requirements: confirming spatial limits (Schedule/Plan B), meeting purpose restrictions (s 2(1)), securing Governor in Council approval (s 2(2)(a)), respecting the 21-year cap (s 2(2)(c)), applying rent as required (s 2(3)), and accounting for the Crown’s compensation exclusion (s 2(4)). Robust contract drafting and administrative process management are the primary compliance levers available under the statutory framework.
