Albany Hardwood Plantation Agreement Act 1993

The Act is concise, but it embodies several interlocking legal devices and concepts that determine its legal and practical reach.

1. Statutory ratification of a private agreement. The statute converts the Albany Hardwood Plantation Agreement (set out in Schedule 1) into a statutory instrument by ratifying it (s 4(1)) and authorising its implementation (s 4(2)). The Schedule’s text therefore acquires statutory backing rather than remaining a purely private contract.

2. Statutory primacy, subject to one statute. The Agreement “operates and takes effect despite any other Act or law” (s 4(3)). That creates an overriding rule within the State statute book for the content of the Agreement, except it explicitly preserves the application of the Government Agreements Act 1979 (s 4(3)). Mechanically, that means where the Agreement’s terms conflict with other State Acts or subordinate instruments, the Agreement will prevail, unless there is a relevant precept in the Government Agreements Act 1979 that limits that effect. The text does not elaborate how conflicts with Commonwealth law are to be resolved; the Agreement contemplates Commonwealth licences and representation to Commonwealth authorities (clause 4(f)).

3. Agency and third‑party implementation. The Agreement contemplates timber sharefarming agreements “as described in section 34B of the Conservation and Land Management Act 1984” being acquired by or entered into by the Executive Director of the Department of Conservation and Land Management as agent of the Company (Schedule, recital (b)). There is also a Deed of Agency and Indemnity referenced as the instrument creating that agency relationship (Schedule, recital (b) and cl 4(g)). The Act does not reproduce that Deed, so its detailed obligations remain in a separate instrument.

4. State undertakings of non‑interference and facilitation. Clause 4 contains a set of commitments by the State: no expropriation of the Company’s timber or wood chips (cl 4(a)); no discriminatory taxes, rates or charges (cl 4(b)); no discrimination in processing applications relevant to the Company’s production and processing activities (cl 4(c)); no export restrictions preventing export of wood chips produced under the Company’s timber sharefarming agreements (cl 4(d)); a promise not to materially obstruct the Company’s operations or transport and processing, subject to safety considerations (cl 4(e)); an obligation to make representations to Commonwealth authorities on request for export licences or consents (cl 4(f)); and not to cause the Executive Director to breach the Deed of Agency and Indemnity (cl 4(g)).

5. Variation with parliamentary oversight. Clause 5 provides a written agreement procedure for variation between the parties, but requires that the Minister lay any such variation on the Table of each House within twelve sitting days after execution (cl 5(2)), and permits either House to disallow the variation within that period (cl 5(3)). This creates a formal parliamentary oversight mechanism for modifications.

6. Temporal scope and termination. Clause 6 ties the Agreement’s term to the Company’s continuing rights under its timber sharefarming agreements or to a fixed date, 30 June 2030, whichever is earlier.

7. Forum selection and governing law. Clause 7 selects Western Australian law and confers exclusive jurisdiction on WA courts and their appeal courts for disputes arising under the Agreement.

8. Interplay with statutory instruments and external licences. The Agreement relies on timber sharefarming as defined in another statute and contemplates Commonwealth export licences/consents, which sit outside the Act’s direct control but are part of implementation realities (recital (b) and cl 4(f)).

These concepts together frame a statutory-private hybrid: a private commercial development project is supported by State commitments that are given statutory backing and parliamentary oversight, while leaving some critical elements (agency deed, Commonwealth approvals, timber sharefarming agreements) to separate instruments and processes.

The Act and the Agreement directly and indirectly affect a small set of named actors and a broader group of public authorities, private participants and third parties.

Primary parties named in the Schedule

• The State of Western Australia, represented by the Premier in the Agreement text (Schedule heading and signature pages). The State is the obligor under the undertakings in clause 4 and is responsible for introducing the Bill (clause 1, historical step) and performing representations to Commonwealth authorities on request (clause 4(f)).
• Albany Plantation Forest Company of Australia Pty. Limited (the Company), the commercial counterparty, which is the intended developer and operator of large scale commercial hardwood plantations in the Albany region (recital (a)) and is subject to the covenant to comply with WA laws (clause 3).

Statutory officers and instrumentalities

• The Executive Director of the Department of Conservation and Land Management is named as the agent who may acquire or enter timber sharefarming agreements for or on behalf of the Company pursuant to a Deed of Agency and Indemnity (recital (b)). Clause 4(g) expressly binds the State not to cause the Executive Director to breach the Deed or the timber sharefarming agreements.
• “Agencies or instrumentalities” of the State and local authorities are specifically referenced in clause 4(b) and 4(e) as bodies the State covenants it will not permit to impose discriminatory taxes or materially obstruct operations. Those references impose obligations on the State to direct or prevent its agencies and local authorities from taking specified discriminatory or obstructive acts.

Other affected parties

• Timber sharefarmers and holders of timber sharefarming agreements under s 34B of the Conservation and Land Management Act 1984 are implicated because the Company’s operations are to be carried out “by or on behalf of the Company under the Company’s timber sharefarming agreements” (recital (b) and throughout clause 4). The rights and obligations of those parties are not created or altered by this Act directly, but the State’s promise not to expropriate, not to impose discriminatory taxes, and not to obstruct operations bears on the operating environment for timber sharefarmers involved in the Company’s programme.
• Local and other authorities in Western Australia are affected to the extent the State must ensure they do not impose discriminatory taxes or materially obstruct the Company’s operations (clause 4(b), 4(e)).
• Commonwealth agencies: the Company’s export of wood chips may require Commonwealth licences or consents (clause 4(f)). The Agreement does not bind Commonwealth bodies, but the State commits to make representations to Commonwealth authorities on the Company’s behalf upon request.

Indirectly affected interests

• Competing land users, purchasers of timber, port operators, exporters, logistic providers and downstream purchasers of wood chips are affected economically because the Agreement facilitates plantation establishment, processing and export. The Act does not itself create new property rights in third party land; it is focused on the Company’s operations and the State’s facilitative undertakings.

Finally, Parliament itself is an actor in the variation process: the Minister must lay variations and either House has a 12 sitting‑day window to disallow them (clause 5(2)-(3)). Clause 7 also pulls the State and Company into the exclusive jurisdiction of Western Australian courts if disputes arise.

The Act incorporates the Agreement in Schedule 1 and that Schedule sets out specific rights and duties for the State and the Company. The following are the operative duties and rights, cited to the Agreement’s clauses and to the enabling sections of the Act where relevant.

Statutory effect and commencement

• The Agreement is ratified by the Act (s 4(1)) and its implementation is authorised (s 4(2)). The Agreement as set out in Schedule 1 is defined as “the Agreement” in s 3, and that definition includes variations made under the Agreement’s own variation procedure.

Company obligations and rights

• Compliance with law: The Company is obliged to “comply with and observe the laws for the time being in force in Western Australia” in its operations (Schedule, clause 3). That places a general statutory duty on the Company to follow WA legislation and subordinate instruments notwithstanding the broader facilitative undertakings by the State.
• Right to have State assistance and non‑interference: In return, the Company has a set of rights and expectations arising from the State’s undertakings in clause 4. Those rights are statutory in character because of the Act’s ratification (s 4(1)).

State undertakings (Schedule, clause 4)

• No expropriation: The State covenants it “shall not expropriate or confiscate from the Company timber standing or felled produced by or on behalf of the Company under the Company’s timber sharefarming agreements or wood chips made from that timber” (clause 4(a)). That is a non‑expropriation commitment limited to specified Company products produced under the timber sharefarming agreements.
• No discriminatory taxes/charges: The State covenants it “shall not impose, nor shall it permit or authorise any of its agencies or instrumentalities or any local or other authority of the State to impose discriminatory taxes rates or charges of any nature whatsoever on or in respect of the Company’s timber sharefarming agreements the timber standing or felled produced thereunder or wood chips made from that timber” (clause 4(b)). The commitment is to refrain from discriminatory impositions targeted at the Company’s timber or wood chips; it does not waive general taxation powers or preclude non‑discriminatory levies.
• No discrimination in processing applications: The State undertakes that it “shall not discriminate against the Company in processing the Company’s applications made in respect of its activities relating to the production of timber… or made in respect of the processing thereof into wood chips” (clause 4(c)). This commits the State to impartial processing relative to other applicants, but the Agreement does not specify timeframes or detailed administrative steps.
• No export restrictions: The State promises it “shall not impose restrictions which prevent the export by the Company of wood chips made from timber which has been produced under the Company’s timber sharefarming agreements” (clause 4(d)). This is a State promise not to impose export bans that would block the Company’s planned exports, but it does not bind Commonwealth export law or licences.
• No material obstruction: Subject to relevant safety considerations, the State commits it “shall not materially obstruct, nor shall it permit or authorise any of its agencies or instrumentalities or any local or other authority of the State materially to obstruct, the Company’s operations… or the transportation of the timber produced therefrom or processing for export or transportation of wood chips made from that timber” (clause 4(e)). The “subject to relevant safety considerations” qualifier is explicit.
• Representations to Commonwealth: On request by the Company, the State “shall make representations to the Commonwealth or to the Commonwealth constituted agency authority or instrumentality concerned for the grant to the Company of any licence or consent under the laws of the Commonwealth necessary to enable or to permit the Company to export wood chips… ” (clause 4(f)). The State’s duty is to make representations, not to obtain or guarantee Commonwealth licences.
• Protection of agency obligations: The State shall not cause the Executive Director to breach the Deed of Agency and Indemnity or the Company’s timber sharefarming agreements (clause 4(g)). That prevents the State from directing the Executive Director into actions that would contravene the agency arrangements.

Variation rights and parliamentary oversight

• The parties may vary the Agreement by written agreement (clause 5(1)). The Minister must lay any such variation before Parliament within twelve sitting days (clause 5(2)). Either House may disallow the agreement within that twelve sitting‑day period (clause 5(3)). If neither House disallows it within the period, the variation comes into effect.

Temporal limitation and continuity

• Termination: The Agreement expires when the Company ceases to have any rights or obligations under any of the Company’s timber sharefarming agreements, or on 30 June 2030, whichever occurs earlier (clause 6). That creates a temporal limit to both the Company’s statutory backing and the State’s undertakings tied to the Company’s timber sharefarming rights.

Governing law and forum

• Governing law: The Agreement is to be interpreted according to Western Australian law (clause 7).
• Jurisdiction: The parties irrevocably submit to the exclusive jurisdiction of the courts of Western Australia and to courts hearing appeals from those courts (clause 7).

Procedural and historical duties

• Clause 1 records the State’s undertaking to introduce and sponsor a Bill in the WA Parliament to ratify the Agreement and to endeavour to secure its passage by a target date. That clause is the historical mechanism that preceded enactment; the Act itself now carries the effect intended by clause 1.

These duties and rights together create a statutory structure in which the Company is permitted to develop plantation operations under timber sharefarming arrangements, while the State accepts specific non‑interference and facilitation obligations. The Agreement also preserves normal law compliance on the Company’s side (clause 3) and imposes a parliamentary check on variations (clause 5).

The Act and the Agreement in Schedule 1 do not create a self-contained enforcement or penalty regime. The statute ratifies the Agreement (s 4(1)) and authorises its implementation (s 4(2)), but it contains no provision that prescribes criminal sanctions, administrative fines, or a specialised enforcement body for breaches of the State’s undertakings or the Company’s obligations. For enforcement that follows from this statutory arrangement, the Agreement and Act therefore rely on ordinary legal processes and remedies available under Western Australian law.

Specific points on enforcement and remedies drawn from the text:

• No express penalties in Act or Schedule. The Act itself is silent about penalties; the Schedule does not create explicit statutory penalties or an administrative compliance regime for breaches of the State’s promises (for example, clause 4’s undertakings are commitments but the text does not spell out liquidated damages, statutory penalties or administrative sanctions).
• Judicial enforcement and jurisdiction. Clause 7 designates Western Australian law as the governing law and confers exclusive jurisdiction on WA courts and appellate courts to resolve disputes under the Agreement. That selection of forum makes the State and Company subject to judicial processes in WA courts if a party seeks relief for breach (clause 7).
• Parliamentary oversight of variations as political check. Clause 5(2)-(3) gives Parliament a procedural control over variations: the Minister must lay variations and either House may disallow them within twelve sitting days. The presence of this political oversight is a non‑judicial control on changes to the rights and duties created by the Agreement.
• Reliance on common law and contractual remedies. Because the Agreement is statutorily ratified, a breach of its undertakings could be remedied through court remedies available under common law and statute (for example declaratory relief, injunctions or damages), but the Act does not specify which remedies apply or limit them. The real scope of remedies would therefore be a matter for judicial determination under WA law in the absence of express statutory limits in the Agreement.
• Interaction with Government Agreements Act 1979. Section 4(3) preserves the application of the Government Agreements Act 1979, stating the Agreement operates despite any other Act or law but without limiting or affecting the Government Agreements Act 1979. That indicates some other statutory rules governing government agreements may continue to apply and could bear on enforcement or remedies, but the Act does not spell those out.

Practical enforcement implications and uncertainties:

• If a dispute arises about whether the State’s conduct breaches the non‑expropriation, non‑discrimination or non‑obstruction undertakings in clause 4, the parties would likely litigate in WA courts under the choice of law and forum clause (clause 7). The Act does not constrain the court’s remedial powers by prescribing particular remedies or caps.
• The Agreement’s statement that it “operates and takes effect despite any other Act or law” (s 4(3)) may limit the availability of statutory defences advanced by State instrumentalities, but does not remove general legal defences or sovereign immunities that might exist under other laws unless and until a court determines they are displaced.
• For breaches involving Commonwealth law (for example, denial of an export licence by a Commonwealth agency), the State’s obligation is limited to making representations on request (clause 4(f)); the Agreement does not bind Commonwealth decision‑makers nor does it create a statutory remedy against the Commonwealth.

In short, enforcement will primarily proceed by ordinary litigation in WA courts under the Agreement as ratified by statute, supplemented by political and administrative controls (parliamentary disallowance of variations). The Act does not provide a bespoke penalty schedule or administrative enforcement mechanism.

The Act and the incorporated Agreement operate in a networked legal environment that includes State statutes, agency instruments, and Commonwealth regulatory regimes. The Schedule itself references other statutory instruments and agency deeds; the Act’s text sets rules about conflict and application.

Priority among State laws

• Section 4(3) states that, “Without limiting or otherwise affecting the application of the Government Agreements Act 1979, the Agreement operates and takes effect despite any other Act or law.” That gives the ratified Agreement a statutory primacy over other State laws that would otherwise conflict with it, while explicitly preserving the Government Agreements Act 1979. The practical effect is that the Agreement can displace inconsistent State subordinate instruments and legislation (subject to any constraints coming from the Government Agreements Act 1979), but the Act does not describe the precise mechanism for resolving specific conflicts; that will be a matter for judicial interpretation if disputes arise.

Interaction with Conservation and Land Management Act 1984

• The Schedule refers to timber sharefarming agreements “as described in section 34B of the Conservation and Land Management Act 1984” (recital (b)). That means the Company’s plantation operations are to be implemented through instruments and arrangements defined by the Conservation and Land Management framework. The Agreement anticipates that the Executive Director of the Department of Conservation and Land Management will act as agent of the Company in acquiring or entering the timber sharefarming agreements pursuant to a Deed of Agency and Indemnity (recital (b)). Therefore, the substance and mechanics of the timber sharefarming arrangements will be governed in part by s 34B and by the Deed, not solely by this Act.

Agency relationships and separate deeds

• The Agreement references a Deed of Agency and Indemnity that is to be entered into between the Executive Director and the Company (recital (b)). The Deed is a separate instrument; its terms will influence how the Executive Director operates on the Company’s behalf, who bears indemnity obligations, and how third‑party rights under timber sharefarming agreements are allocated. The Act does not reproduce or constrain the contents of that Deed beyond clause 4(g), which prevents the State from causing the Executive Director to breach the Deed and the timber sharefarming agreements.

Commonwealth law and export controls

• Clause 4(f) recognises that export of wood chips may require licences or consents under Commonwealth law. The State undertakes, “On request by the Company the State shall make representations to the Commonwealth or to the Commonwealth constituted agency authority or instrumentality concerned for the grant to the Company of any licence or consent under the laws of the Commonwealth necessary to enable or to permit the Company to export wood chips...” (clause 4(f)). This is an assistance obligation directed at intergovernmental advocacy; it does not alter or override Commonwealth statutory decision‑making powers. Commonwealth export controls or biosecurity requirements remain matters for Commonwealth law.

Local government and State agencies

• Clause 4(b) and 4(e) operate as commitments by the State that it will not permit agencies, instrumentalities or local authorities to impose discriminatory taxes or to materially obstruct operations. Those are obligations the State owes the Company; they do not expressly repeal or amend the statutory powers of local government. However, because the Agreement has statutory effect (s 4(1)) and is to operate despite other Acts (s 4(3)), there is potential for the statutory ratification to constrain the exercise of local powers if they would otherwise produce discriminatory taxes or material obstruction affecting the Company’s timber or wood chips. The mechanics of that constraint would again be a matter for courts to interpret if contested.

Parliamentary oversight and the Government Agreements Act 1979

• Clause 5 imposes procedural requirements for variations, including laying agreements before Parliament and a 12‑sitting‑day disallowance window. This creates an interface with parliamentary procedure and oversight. Section 4(3)’s saving of the Government Agreements Act 1979 suggests that other statutory rules governing government agreements, such as requirements for disclosure, tabling, or other procedural matters under that Act,may remain applicable. The Act does not detail which provisions of the Government Agreements Act apply; users must check that Act for procedural obligations beyond clause 5.

Preservation of general legal duties

• Clause 3 requires the Company to “comply with and observe the laws for the time being in force in Western Australia.” The Agreement’s operation despite other Acts (s 4(3)) does not remove the Company’s obligation to obey general WA law; rather the clause ensures the Company is law‑abiding in its operations, and any deviation will remain subject to WA law enforcement.

In summary, the Act establishes a statutoryised private agreement that is intended to sit above other State laws when conflicts occur, but it explicitly preserves at least one procedural statute, the Government Agreements Act 1979, and it contemplates the continued relevance of the Conservation and Land Management Act 1984 and Commonwealth licensing laws. Implementers will need to coordinate across those regimes and consult the separate Deed of Agency and Indemnity and the timber sharefarming instruments to understand the full legal interface.

The Act as presented contains a short compilation and amendment record in the Notes and Compilation table. The following items are recorded in the source:

• Original enactment: Albany Hardwood Plantation Agreement Act 1993, No. 43 of 1993. Assent date is recorded as 20 December 1993 and commencement is the same date under s 2 (Compilation table row for the original Act and s 2).
• Reprint: The source records a reprint of the Albany Hardwood Plantation Agreement Act 1993 as at 16 September 2002. The reprint consolidates the original text as of that date.
• Formatting amendment: The Standardisation of Formatting Act 2010 (No. 19 of 2010) effected an amendment noted in the Schedule header: “[Heading amended: No. 19 of 2010 s. 4.]” The Standardisation of Formatting Act 2010 received assent on 28 June 2010 and its relevant provisions commenced on 11 September 2010 (see Compilation table and associated footnote). The amendments recorded are formatting and heading standardisation rather than substantive policy changes to the Agreement’s operative clauses.
• Notes confirm that this compilation includes amendments made by the written laws referred to in the compilation table. The compilation table lists the principal dates and the Standardisation of Formatting Act 2010 as an amendment.

No other substantive amendments or later modifications are recorded in the text provided. The Schedule itself contains a clause permitting the parties to vary the Agreement by written agreement (clause 5), and that clause requires the Minister to table any such written variation before Parliament and allows parliamentary disallowance within twelve sitting days (clause 5(2)-(3)). Variations made under that internal procedure are part of the Agreement as defined by s 3, and, if not disallowed in the parliamentary window, they are effective as part of the Agreement.

Users should note:

• The compilation notes and the reprint information indicate that the Act has been republished in consolidated form; the Schedule’s heading was amended for formatting under the 2010 Act. The source does not record any other changes to the substance of the Agreement or the Act.
• Because the Agreement includes an internal variation mechanism with parliamentary oversight, substantive further modifications could have been made by parties under that procedure (and potentially not captured in the present text), but the source supplied here does not identify any executed variations other than the formal note that variations are included in the definition of the Agreement in s 3.

For a complete legislative history beyond the provided compilation, readers would need to consult parliamentary records and the Register of Agreements or any later consolidations, but those sources are not reproduced in the Act text provided.

The Act and the Agreement text provided do not include or cite any judicial decisions, adjudications, or reported litigation. The Schedule and the Act contain no reference to cases, dispute adjudications, or precedents. The compilation notes and table do not list any relevant litigation.

What the source does show about dispute resolution and forums is clause 7, which selects Western Australian law as the governing law and provides that the parties “irrevocably submit to the exclusive jurisdiction of the courts of Western Australia and to courts hearing appeals from those courts” (clause 7). That indicates the contracting parties contemplated that any future disputes under the Agreement would be litigated in WA courts, but the source does not record any such litigation.

Because the Act ratifies the Agreement and confers statutory status on it, any disputes about the State’s compliance, the Company’s compliance, or issues arising under the timber sharefarming arrangements would be litigable in WA courts pursuant to clause 7. However, there is no litigation history contained in the provided text to describe remedies actually sought, judicial holdings, or interpretive outcomes.

If a reader requires known judicial treatment of the Act or the Agreement, they will need to search WA court databases, law reports, or litigation registries; such searches and any results are beyond the material contained in the Act text supplied here.

The text contains several features and absences that create legal and practical risks or points of uncertainty for implementers, financiers, regulators and third parties. These are concrete mechanics and informational gaps to be attended to before relying on the Act’s provisions.

1. No express enforcement mechanism or penalty regime. The Act ratifies the Agreement but does not provide a specialised enforcement apparatus or monetary penalties for breaches by either party. Remedies would depend upon general legal processes under WA law. There is no clause prescribing liquidated damages, arbitration, administrative penalties, or a specific tribunal for dispute resolution (Schedule, clause 7 narrows forum to WA courts but does not specify remedies).

2. “Despite any other Act or law” clause with a carve‑out. Section 4(3) gives the Agreement primacy over other State Acts or laws but saves the Government Agreements Act 1979. The practical effect is that the Agreement may displace conflicting State legislation or subordinate instruments, but the Government Agreements Act 1979 may still impose procedural or substantive constraints. Implementers must check that Act to understand retained obligations and whether any procedural steps were required beyond the approach in clause 5.

3. Reliance on separate instruments not included in the Act. The Agreement’s implementation depends on:

   • Timber sharefarming agreements as described in s 34B of the Conservation and Land Management Act 1984 (recital (b)), and
   • A Deed of Agency and Indemnity between the Executive Director and the Company (recital (b)). The text of the Deed and the timber sharefarming agreements is not included in the Act and may contain material terms affecting operations, indemnities, securities, obligations and liabilities. Those separate documents may alter implementation risk materially.

4. Limited State commitment on Commonwealth approvals. The State’s obligation in clause 4(f) is to “make representations” to Commonwealth agencies on request. That is an advocacy duty; it does not bind Commonwealth decision‑makers to grant licences or consents. The Company cannot assume that Commonwealth export approvals will be obtained simply because the State will make representations.

5. “Subject to relevant safety considerations” qualifier on non‑obstruction. Clause 4(e) prevents the State and its agencies from materially obstructing operations “subject to relevant safety considerations.” That qualifier allows the State latitude to take safety‑based regulatory actions, including restrictions on transport and processing, where safety is implicated. The Agreement does not define “relevant safety considerations,” leaving a potential area of dispute.

6. Narrow protection against “discriminatory” taxes only. Clause 4(b) bars discriminatory taxes, rates or charges on the Company’s timber sharefarming agreements or the timber and wood chips produced thereunder. It does not preclude general, non‑discriminatory taxes or levies that apply equally to other operators. The textual distinction between discriminatory and non‑discriminatory fiscal measures is a potential flashpoint if a tax or charge appears targeted in practice.

7. Temporal termination tied to timber sharefarming rights. The Agreement expires when the Company “ceases to have any rights or obligations under any of the Company’s timber sharefarming agreements, or on 30 June 2030, whichever is earlier” (clause 6). If timber sharefarming agreements are transferred, terminated, or challenged, the statutory backing could terminate earlier than calendar expectations. Parties must track the status of the timber sharefarming agreements closely.

8. Parliamentary disallowance window for variations. Clause 5(2)-(3) requires the Minister to table variations and permits disallowance within twelve sitting days. The “sitting days” measurement creates a procedural risk: a variation executed by the parties can be nullified by parliamentary disallowance within that window. Parties should plan for political and timing risk before executing material variations.

9. Ambiguities about scope of “operations” and “material obstruction.” Clause 4(e) protects the Company’s operations and transport/processing from material obstruction, but does not define “operations” exhaustively nor the threshold for a “material” obstruction. These are factual questions that may require judicial interpretation.

10. The Agreement does not create property in land. The Schedule describes the Company’s operations through timber sharefarming agreements (recital (b)), which are statutory instruments under another Act. The Albany Hardwood Plantation Agreement itself does not transfer freehold or long‑term interests in land in the text provided; the practical land rights will be determined by the timber sharefarming agreements and the Deed of Agency and Indemnity.

11. Executive Director’s legal and fiduciary duties. The Executive Director is to act as agent for the Company in acquiring or entering timber sharefarming agreements. The public official’s obligations under statute, fiduciary constraints and public accountability may limit or condition the scope of agency action in ways the Agreement does not fully address. Clause 4(g) prevents the State from causing the Executive Director to breach the Deed, but it does not displace the Executive Director’s statutory duties under the Conservation and Land Management Act 1984.

12. Absence of recorded litigation or judicial guidance. Because the Act text contains no litigation history, there is no judicial interpretation available to clarify scope, operation or remedies under contested circumstances.

These “gotchas” are concrete mechanics and informational gaps that should be checked against the Deed of Agency and Indemnity, the timber sharefarming agreements, the Government Agreements Act 1979, and any relevant Commonwealth laws before relying on the protections or obligations in the Agreement.

This section sets out a practical checklist and action points for each primary actor named in the Act and Agreement: the Company, State departments and instrumentalities, local authorities, and legal/commercial advisers. All references are grounded in the Act and the Agreement text.

For the Company (Albany Plantation Forest Company)

1. Observe statutory compliance. Clause 3 requires that the Company “in its operations in Western Australia shall comply with and observe the laws for the time being in force in Western Australia.” Ensure regulatory compliance across environmental approvals, occupational health and safety, planning and land use, transport and export formalities.
2. Secure and manage timber sharefarming agreements and the Deed. The Agreement contemplates timber sharefarming agreements per s 34B of the Conservation and Land Management Act 1984 and a Deed of Agency and Indemnity with the Executive Director (recital (b)). Obtain and review the texts of those instruments, ensure their terms are consistent with the Company’s business model and the obligations in clause 4, and confirm indemnities, insurance and liability allocation in the Deed.
3. Trigger State representations for Commonwealth approvals. If export licences or consents under Commonwealth law are required, formally request the State to make representations (clause 4(f)). Document the request and the State’s responses.
4. Monitor timber sharefarming agreement status. Clause 6 ties the Agreement’s term to the Company’s rights under the timber sharefarming agreements or to 30 June 2030. Maintain close records of those agreements’ status, assignments, or terminations to track the statutory protections’ duration.
5. Plan for parliamentary oversight of variations. If contemplating proposed variations to the Agreement, factor in clause 5(2)-(3): ensure the Minister will lay the variation on the Table of each House and that the 12 sitting‑day disallowance window could affect timing. Consider political risk and timing when negotiating material variations.
6. Maintain records for potential litigation. Given the absence of an express penalty regime, preserve documentary evidence of any State representations, refusals, or actions that could later be relied on in court under clause 4’s undertakings and the Act’s ratification.

For State agencies, instrumentalities and local authorities

1. Avoid discriminatory taxes/charges. Clause 4(b) requires the State not to impose, permit or authorise discriminatory taxes, rates or charges on the Company’s timber sharefarming agreements or timber/wood chips produced thereunder. Agencies should review proposed charges to ensure they are non‑discriminatory and legally justified.
2. Avoid material obstruction subject to safety. Clause 4(e) forbids material obstruction to the Company’s operations and transport/processing, subject to “relevant safety considerations.” Agencies should document safety rationales when imposing operational or transport restrictions to establish the safety basis for action.
3. Coordinate with the Executive Director regarding agency duties. Clause 4(g) prevents the State from causing the Executive Director to breach the Deed of Agency and Indemnity or timber sharefarming agreements. Ensure that any instructions to the Executive Director are consistent with the Deed and legal obligations under the Conservation and Land Management Act 1984.
4. Process applications without discrimination. Clause 4(c) requires non‑discriminatory processing of the Company’s relevant applications. Administrative processes should include objective decision criteria, recorded timelines and consistent treatment across applicants.
5. Provide representations to Commonwealth authorities on request. When the Company requests State representations for Commonwealth licences (clause 4(f)), ensure a prompt, documented response and clear coordination with the Premier’s office and relevant ministers, as appropriate.

For legal and compliance advisers

1. Check cross‑references and external instruments. Obtain and review the Deed of Agency and Indemnity, the timber sharefarming agreements (s 34B instruments), the Government Agreements Act 1979 and relevant Commonwealth export and biosecurity laws to assess enforcement risk and compliance steps.
2. Draft formal requests and records. When the Company requests State representations, make the request in writing and maintain contemporaneous records of the State’s action or inaction. In any variation process, ensure the Minister receives the final executed variation for tabling within the twelve sitting‑day window.
3. Assess tax treatment carefully. Clause 4(b) bars discriminatory taxes but not general taxes. Advise the Company about the risk of non‑discriminatory levies and how a challenged imposition might be framed legally (discriminatory vs non‑discriminatory).
4. Prepare for judicial remedies. Because the Act does not specify remedial rules, prepare to seek declaratory relief, injunctions or damages in WA courts if necessary, using clause 7’s forum clause as the jurisdictional basis. Litigation strategy should reflect the absence of bespoke remedies in the Agreement.

Operational and commercial steps for the Company

1. Permitting and planning. Secure all necessary planning approvals and permits for establishing plantations, roadworks, harvesting and processing facilities, and port logistics. Ensure these permits are consistent with the Company’s timber sharefarming agreements.
2. Safety and transport compliance. Because clause 4(e) is subject to safety considerations, ensure transport and processing comply with safety laws and codes, and build compliance evidence to defend against any safety‑based restrictions.
3. Financial and contractual safeguards. Structure contracts with timber sharefarmers, processors, transporters and port operators to reflect the statutory undertakings and to manage risk in the event of dispute or early termination under clause 6.
4. Timeline and funding planning. Since the Agreement expires on 30 June 2030 or earlier if timber sharefarming rights cease (clause 6), financial planning should reflect that temporal limit and the risk of earlier termination tied to sharefarming rights.

In summary, compliance requires aligning actions with: the Company’s duty to obey WA law (clause 3), the State’s commitments in clause 4, the variation and tabling process under clause 5, the termination trigger in clause 6, and the governing law/forum in clause 7. Critical documents for operationalising the Agreement that must be obtained and checked are the Deed of Agency and Indemnity and the timber sharefarming agreements under the Conservation and Land Management Act 1984.
