Advance Bank (Merger with St.George Bank) Act 1998

The central concept is succession (s. 3(1) defines “merger” as “the succession in law of SGB to ABAL under the NSW Regulation”). This is not a purchase of assets but a statutory continuation: SGB becomes the same legal entity as ABAL. The key date is the succession day, fixed as 1 April 1998 (s. 3(1)). The Act operates retrospectively; Parts 2 and 3 are taken to have come into operation on that day (s. 2(2)). That retrospective operation means that any dealings or events occurring between 1 April 1998 and the date of Royal Assent (30 June 1998, with the certificate triggering retrospective effect on 2 October 1998 per the compilation table) are validated as if the Act were always in force. “Translated asset” and “translated liability” (s. 3(1)) refer to assets and liabilities that become SGB’s under the NSW Regulation. The definitions of “asset” and “liability” are extremely broad: asset includes any legal or equitable estate, chose in action, right, interest, or claim, whether present or future, vested or contingent, tangible or intangible, and extends to assets under Part IIIA of the Income Tax Assessment Act 1936 (Cth). Liability includes any duty or obligation, actual, contingent, or prospective. “Translated instrument” (s. 3(1)) means any instrument subsisting immediately before the succession day to which ABAL was a party, that refers to ABAL, or under which money is payable or property may be transferred to or by ABAL. This covers everything from loan agreements and guarantees to leases, service contracts, and security documents. The Act then provides that such instruments continue “according to their tenor” with ABAL references read as references to SGB (s. 6). A further important concept is the overriding effect (s. 19). The Act prevails over any contract, deed, undertaking, agreement, or other instrument (s. 19(1)). It also provides that nothing done under the Act or the NSW Regulation places any person in breach of contract, confidence, or civil wrong, or in breach of any law or contractual provision prohibiting assignment or disclosure (s. 19(2)). Moreover, any advice or consent that would otherwise be required is deemed given (s. 19(3)). This effectively extinguishes third-party veto rights. The chief executive officer of SGB (defined in s. 3(1) as the officer with day-to-day management) is the key administrative actor, empowered to issue conclusive certificates under s. 14. These certificates can certify matters such as whether a specified asset is a translated asset of SGB, or whether a thing was done for a purpose connected with the Act. Such certificates are conclusive evidence except insofar as the contrary is established (s. 18(1)).

The Act directly affects at least five categories of persons and entities. St.George Bank Limited (SGB) acquires all of ABAL’s assets and assumes all liabilities without any further conveyance. SGB can carry on business in Western Australia under the names “Advance Bank Australia”, “Bank of South Australia”, or “BankSA” (s. 9). SGB also obtains access to all customer information held by ABAL (s. 10(3)). Former customers and depositors of ABAL are the most directly affected private parties. Their relationship with ABAL is automatically converted into a relationship with SGB, with the same rights and duties, including rights of set-off (s. 10(1)). Any instructions, orders, directions, mandates, or authorities previously given to ABAL are treated as given to SGB unless revoked (s. 10(2)). A customer who had, for example, a loan facility with ABAL now deals with SGB on the same terms, but may lose any negotiating leverage they might have had in a bilateral transfer. Counterparties to contracts with ABAL - including lessors, suppliers, guarantors, and joint venture partners - find their contractual counterparty changed without their consent. Their contracts continue under s. 6, and any contractual provision that would require consent to assignment is overridden by s. 19(2)(b). However, sureties are not released (s. 19(2)(c)), so guarantors remain liable for the same obligations now owed to SGB. Government agencies and registries are affected. The Registrar of Titles and Registrar of Deeds and Transfers must, on request and payment of fees, amend land records to reflect SGB as registered proprietor (s. 16). Similar obligations apply to any person or authority responsible for a register of other property under a written law (s. 17). Courts and tribunals are affected because SGB is substituted as a party to any pending proceedings to which ABAL was a party (s. 8(1)). The Act also provides that evidence previously admissible for or against ABAL is admissible for or against SGB (s. 8(2)). The Crown is bound by the Act (s. 4), meaning that if the State had contracts or dealings with ABAL, those now bind the State with SGB. The Act has extraterritorial application (s. 5), affecting persons and property outside Western Australia to the extent of the State’s legislative power. This could affect interstate or international counterparties whose contracts with ABAL are governed by WA law or relate to WA property.

The Act imposes relatively few duties; it primarily creates rights for SGB and removes obstacles. The key duties fall on government officers. The Registrar of Titles and Registrar of Deeds and Transfers must amend land records when requested and upon delivery of relevant documents and payment of any fee (s. 16). Other persons or authorities keeping registers for property must make amendments on request and upon lodging a certificate from SGB’s chief executive officer (s. 17). The chief executive officer of SGB has a power, not a duty, to issue certificates under s. 14, but the Act does not compel the officer to do so. However, without a certificate, the register amendment process under ss. 16 and 17 may be unavailable, creating a practical incentive for SGB to use the certificate mechanism. SGB’s primary right is to step into ABAL’s shoes as successor in law. Section 6 ensures translated instruments continue with SGB substituted for ABAL. Section 7 deems ABAL’s former places of business to be places of business for SGB, which may assist with service of process and regulatory compliance. SGB has the right to use ABAL’s business names (s. 9). SGB also has the right to access and use customer information previously held by ABAL (s. 10(3)), which has privacy implications but is expressly authorised. Customers and depositors retain all existing rights and duties, including rights of set-off (s. 10(1)). They also retain the right to revoke or cancel any instruction, order, direction, mandate, or authority previously given to ABAL (s. 10(2) uses “unless and until revoked or cancelled”, implying the power of revocation remains). Sureties are not released (s. 19(2)(c)), so their obligations continue. However, they gain no new rights; the Act does not give them a right to renegotiate terms or demand fresh consideration. A notable right is the ability of any person to challenge a certificate under s. 14 by establishing the contrary (s. 18(1) says certificates are conclusive “except so far as the contrary is established”). This places the burden of proof on the challenger. The Act also provides that nothing done under it or the NSW Regulation places any person in breach of contract or confidence (s. 19(2)), which can be seen as a right for counterparties not to be sued for breach by the other party due to the merger events, although in practice the Act prevents that other party from bringing such a claim.

This Act contains no criminal penalties, civil penalties, or infringement notice provisions. There is no regulator empowered to enforce the Act. Enforcement is essentially private and administrative. The principal enforcement mechanism is the conclusive evidentiary value of certificates issued by SGB’s chief executive officer under s. 14, as provided by s. 18. A certificate is “conclusive evidence of the matters certified except so far as the contrary is established” (s. 18(1)). This means a court or tribunal must accept the certificate as proof of its contents unless the party challenging it produces evidence to the contrary. The burden shifts to the challenger. Section 18(2) adds a presumption that a document purporting to be a certificate under s. 14 is to be taken to be such a certificate and properly given, unless the contrary is established. This makes the certificate a powerful tool for SGB to prove the vesting of assets or liabilities without needing to produce the underlying transfers. For land, s. 15 provides that where land registered under the Transfer of Land Act 1893 has become a translated asset of SGB, SGB is “to be taken to be the registered proprietor” despite anything to the contrary in a written law. This operates as a statutory vesting without any need for a transfer instrument. If a party refuses to recognise SGB’s rights, SGB can rely on these provisions in legal proceedings. There is no specific penalty for non-compliance with the Act itself. Rather, non-compliance with the Act’s provisions (for example, a person refusing to accept SGB as the lawful counterparty under a contract) would likely lead to SGB seeking declaratory relief or specific performance. The overriding effect provision in s. 19(1) gives the Act priority over any contract, so a court would be obliged to give effect to the statutory substitution. The Act also preserves the character of ABAL’s records as banking records for the law of evidence (s. 14(3)), ensuring they remain admissible. In summary, enforcement relies on the courts and the force of statutory direction, not on any administrative penalty regime.

Section 19(1) states the Act has effect “despite anything in any contract, deed, undertaking, agreement or other instrument”. This is a standard paramountcy clause. It means the Act overrides any private agreement that would conflict with the succession. Section 19(2) further clarifies that nothing done under the Act or the NSW Regulation places SGB, ABAL, or another person in breach of any written law or other law, or in breach of any contractual provision prohibiting assignment or disclosure of information. This effectively exempts the merger from laws that would otherwise impede it, such as confidentiality clauses, non-assignment provisions, or regulatory consent requirements. However, this exemption is limited to “nothing done by or under this Act or under the NSW Regulation”, not to the ongoing conduct of SGB after the merger. The Act does not override the Banking Act 1959 (Cth) or Commonwealth legislation generally, though the reference in the reasons for enactment to consent from the Commonwealth Treasurer under s. 63 of the Banking Act indicates that Commonwealth approval was obtained separately. The Act specifically addresses land registration. Section 15 overrides the Transfer of Land Act 1893 to the extent that SGB is deemed the registered proprietor of land that has become a translated asset, without the need for a normal transfer. The Registrar of Titles must still amend the record under s. 16, but the legal effect is immediate. This interacts with the Torrens system of title by registration by creating an exception where statutory vesting takes precedence. Section 17 deals with other registers (e.g., for motor vehicles, ships, intellectual property, or shares). It provides that any requirement under a written law relating to transfer of property is taken to have been complied with if a certificate under s. 14 is lodged. The register-keeper must then make amendments on request. This overrides the normal procedural requirements of those registration laws. The Act also interacts with the law of evidence. Section 14(3) preserves the character of ABAL’s records as banking records, which may be relevant to admissibility and hearsay exceptions. Section 8(2) makes evidence that would have been admissible for or against ABAL admissible for or against SGB. Section 18 gives certificates conclusive evidentiary status, subject to rebuttal. The Act does not override the Business Names Act 1962; rather it allows SGB to carry on business under specified names under that Act (s. 9). The Act also interacts with the Corporations Act 2001 (Cth) and its predecessor the Corporations Law, but it does not purport to override federal corporations legislation. The merger was effected under NSW law, and the WA Act is supplementary. Section 4 binds the Crown, meaning the Act overrides any Crown prerogative or statutory immunity in respect of the State’s own contracts with ABAL.

The Act received Royal Assent on 30 June 1998 as Act No. 20 of 1998. It came into operation in stages. Section 2(1) brought Part 1 (except s. 2(2)-(3)) into operation on Royal Assent. Part 1 includes the interpretation and other preliminary provisions. However, Parts 2 and 3 (the operative provisions) were taken to have come into operation on the succession day, 1 April 1998, but only upon the giving of a certificate under s. 12 (which was later deleted). The compilation table shows that the certificate was given on 2 October 1998, so the retrospective operation was triggered on that date. Section 12 originally provided for a certificate from the Treasurer certifying that the NSW Regulation had come into operation and that SGB had complied with conditions. That certificate was necessary for the retrospective commencement of Parts 2 and 3. However, section 12, along with section 13 (which related to the certificate process), was deleted by the Statutes (Repeals) Act 2014 (No. 32 of 2014), section 5(7). That amending Act received Royal Assent on 3 December 2014 and commenced on 4 December 2014. The 2014 amendments also made other changes. Section 2 was amended by section 5(2) and (3) of the 2014 Act, deleting subsection (3). Subsection (3) had originally tied the commencement of Parts 2 and 3 to the giving of a certificate under s. 12; once s. 12 was deleted, that subsection became redundant. Section 3 (interpretation) was amended by section 5(4) to reflect the deletion of s. 12 reference. Section 9 was amended by section 5(5) and (6) to delete subsections (2) to (5). Those subsections previously dealt with procedural matters relating to business name registration and fees, and their deletion suggests those matters are now handled under the general Business Names Act 1962. Section 18 was amended by section 5(8) to remove a reference to section 12, which no longer existed. The amendments appear to be housekeeping, removing spent transitional provisions. The Act as amended is short, with only 19 sections, several of which have been partially or fully deleted. The effective law is now contained in sections 1-11 and 14-19. The defined terms list still includes “Treasurer”, but that definition is arguably surplus now that s. 12 is gone.

The Act does not refer to any litigation, and a search of standard Australian legal databases yields no reported cases specifically construing this Act. This is unsurprising given the Act’s narrow scope. The Act was designed to prevent litigation by overriding contractual rights and providing conclusive certificates. The absence of litigation may also reflect that the merger was commercially uncontroversial within the limited WA context, or that disputes were resolved privately or through the NSW courts under the NSW Regulation. It is possible that the Act was cited in passing in cases related to the St.George-Advance merger, but no specific case is named in the source. The user’s instruction is to only name cases the source names, so no further comment is warranted. What can be said is that the Act’s provisions, particularly s. 18 (conclusive evidence) and s. 19 (overriding effect), would be difficult to challenge successfully. A party seeking to contest SGB’s title to an asset would need to establish the contrary to a certificate, which may require evidence that the asset was not validly transferred under the NSW Regulation. That challenge would likely be mounted in the jurisdiction where the NSW Regulation operates, not under the WA Act. The Act also provides no private right of action for affected customers or counterparties. There is no compensation mechanism for any loss caused by the forced substitution. This lack of a compensation provision may be a deliberate policy choice to keep the merger costless in legal fees, but it raises questions of fairness if a counterparty suffered actual financial loss because the mandatory substitution frustrated a business relationship (e.g., a contract with ABAL that was uniquely valuable because of ABAL’s credit rating). Without litigation, it is impossible to know how a court would interpret the Act’s provision that nothing places any person in breach of contract (s. 19(2)). That provision may be seen as a complete defence to any claim for breach, but it may not prevent claims for frustration or quantum meruit. The absence of caselaw leaves those questions open.

Several features of this Act could surprise counterparties, customers, or legal practitioners. First, the Act operates retrospectively. A person dealing with ABAL between 1 April 1998 and 30 June 1998 (or 2 October 1998 for the trigger) would have had no notice that their counterparty was about to become SGB. The Act validates that transfer for all purposes. Anyone who signed a contract with ABAL in that window is now bound to SGB. Second, the Act overrides contractual consent requirements (s. 19(2)(b) and s. 19(3)). A lease that requires the lessor’s consent to assignment is overridden; the lessor cannot refuse or demand a fee. This can be a shock to landlords or joint venturers who relied on personal dealings with ABAL. Third, guarantees are not released (s. 19(2)(c)). A guarantor of ABAL’s obligations remains liable for those obligations to SGB, even if the guarantor had a personal relationship with ABAL’s management. The guarantor cannot argue material change in circumstances to escape. Fourth, customer information held by ABAL becomes available to SGB without fresh consent (s. 10(3)). For customers who valued privacy, having their financial history automatically transferred to a new institution may be unwelcome, and the Act provides no opt-out. Fifth, the certificate provisions create a powerful evidentiary tool for SGB. A certificate under s. 14 is conclusive evidence except as to the contrary established (s. 18). This means a third party who wants to dispute that an asset is a translated asset must produce evidence to rebut the certificate. In practical terms, the certificate may be used to shortcut normal conveyancing and title investigations. However, if a certificate is forged or contains an error, the burden of proof on the challenger may be difficult and expensive to meet. Sixth, section 15 deems SGB the registered proprietor of land even before the register is amended. This could cause confusion for purchasers searching the title who see ABAL still registered. The Act does not oblige SGB to amend the register immediately; it only requires amendment on request. That request could come years later, leaving a gap between legal ownership and registered ownership. Seventh, the Act has extraterritorial effect (s. 5). Assets of ABAL located outside Western Australia may be caught if the State has legislative power. This could affect assets in foreign jurisdictions, though enforcement may depend on local recognition of WA legislation. Eighth, the Act does not require any notice to be given to customers or counterparties. The change is automatic on the succession day. A customer who continues to deal with what they think is ABAL may inadvertently create binding obligations with SGB. Ninth, the overriding effect provision (s. 19(1)) applies despite anything in any contract, deed, undertaking, agreement, or other instrument. This includes even provisions that are specifically drafted to survive a change of control or assignment. It is a blunt override.

The Act is largely self-executing for most parties. For SGB, compliance involves several practical steps. First, SGB should ensure that its chief executive officer is prepared to issue certificates under s. 14 as needed. Those certificates will be used to evidence the vesting of specific assets and liabilities, particularly where a third party (such as a land registry or share registry) requires proof. SGB should also train its staff to recognise that references to ABAL in contracts and documents should be read as references to SGB, and that customers of ABAL are now customers of SGB with the same rights and duties. Second, for land, SGB must request the Registrar of Titles or Registrar of Deeds and Transfers to amend the records, delivering any relevant title documents and paying any fees (s. 16). The request should be accompanied by a certificate or other evidence that the land is a translated asset. For other property, similar procedures apply under s. 17. Third, SGB should review all pending legal proceedings to which ABAL was a party and ensure that the court or tribunal records reflect SGB as the substituted party. This may require filing notices of change of solicitor or name. Fourth, SGB should update its business name registrations. Section 9 allows it to use certain names; SGB should lodge the appropriate applications under the Business Names Act 1962 if it wishes to use those names. Fifth, SGB should manage customer communications. Although the Act does not require notice, best practice would be to inform customers of the change, confirm that their mandates and instructions remain valid, and provide new account details if necessary. This reduces confusion and the risk of unauthorised transactions. For customers and counterparties of ABAL, compliance is largely passive: they must now deal with SGB as their counterparty. However, they should take steps to ensure that any instructions, mandates, or authorities given to ABAL remain appropriate. If they wish to revoke any prior instruction, they should do so in writing to SGB. Customers should also review their privacy preferences; although SGB can use information obtained from ABAL (s. 10(3)), customers may still have rights under privacy legislation to object to certain uses. Guarantors should note that their obligations continue unchanged. For registrars and government officers, compliance involves processing requests from SGB efficiently. The Act requires them to make amendments on request and upon delivery of documents and certificates. They must accept the certificate under s. 14 as sufficient evidence of the vesting. They may not demand additional evidence beyond what the Act requires, such as a formal transfer instrument. For legal practitioners advising clients dealing with property or contracts that originated with ABAL, the key step is to verify whether the asset or liability has become a translated asset of SGB. A certificate from SGB’s chief executive officer should be treated as conclusive evidence of that fact unless there is clear evidence to the contrary. Practitioners should also be aware that the Act overrides any contractual consent requirements, so a client cannot refuse to recognise SGB based on a lack of consent. The Act has no sunset clause; it remains in force indefinitely. However, its practical relevance diminishes as contracts are discharged or replaced.
