Advance Bank Integration Act 1998

Succession in law. Section 6(a) provides that SGB “becomes the successor in law of ABAL and is for all purposes a continuation of and the same legal entity as ABAL.” This is not a mere assignment or transfer; it is a statutory fusion. ABAL is liquidated and dissolved on the succession day (s 6(b)). The effect is that every right, asset, liability, contract, and proceeding passes to SGB without any further step. This concept overrides the ordinary requirement for separate assignments, consents, or novations.

Translated asset and translated liability. These terms (defined in s 4) refer to assets and liabilities of ABAL that have become assets or liabilities of SGB under the NSW Regulation. Although the Act uses these defined terms, the automatic vesting in s 6(c) and (d) operates on all assets and liabilities “wherever located” and does not require them to be translated; the definition appears mainly for evidentiary and registration purposes. The Act allows the chief executive officer of SGB to certify whether a specified asset or liability has become a translated asset or liability (s 9(1)(c)-(d), (2)).

Succession day. Section 4 defines “succession day” as the day fixed under clause 3 of the NSW Regulation. This is an external reference; the NT Act does not itself specify a date. The Act comes into operation on the succession day (s 2). Section 6 then triggers all the consequences on that day.

Payment in lieu of Territory taxes and charges. Section 8 creates an obligation on SGB to pay a lump sum that the Treasurer determines, in the Treasurer’s opinion, equals the total stamp duty, financial institutions duty, and debits tax that would have been payable if the vesting of ABAL’s business and the translated assets and liabilities had occurred by way of a normal commercial transaction. The Treasurer may choose the principles for calculating the amount (s 8(2)). Once paid, any obligation to lodge stamp duty returns or include information about the vesting in a statement or return ceases (s 8(4)). However, the payment-in-lieu does not cover fees payable to the Registrar-General for land transactions or fees under the Motor Vehicles Act 1949 for vehicle transfers (s 8(5)). The sum is a debt due to the Territory (s 8(6)).

Instrument. Defined broadly in s 4 to include a document and an oral agreement. Translated instruments (defined in s 4) are instruments subsisting immediately before succession day to which ABAL was a party, that refer to ABAL, or under which money is payable to or by ABAL. These continue in force after succession day with references to ABAL read as references to SGB (s 6(e)).

Business. In relation to ABAL, defined to include its assets and liabilities (s 4). This means that when the Act refers to the “business” of ABAL, it encompasses both the operational side and the balance sheet.

St George Bank Limited (SGB). As the surviving entity, SGB acquires all of ABAL’s assets and liabilities worldwide, assumes all pending proceedings, and steps into every contract, deed, and instrument. SGB must pay the Treasurer the determined sum in lieu of Territory taxes and duties (s 8(1)). SGB may carry on business in the Territory under the names “Advance Bank Australia”, “Bank of South Australia”, or “BankSA”, and must apply to register those names under the Business Names Act 2007 (s 7). For six months after succession day SGB may also trade as “Advance Bank Australia Limited” or “BankSA a Division of Advance Bank Australia Limited” as if those names were registered (s 7(3)). SGB’s chief executive officer has the power to issue conclusive certificates about the operation of the Act (s 9).

Advance Bank Australia Limited (ABAL). ABAL is dissolved under s 6(b) on succession day. All its rights and obligations are subsumed into SGB. Its place of business becomes a place of business for SGB (s 6(f)). ABAL’s creditors, counterparties, and employees are no longer dealing with ABAL but with SGB.

Counterparties to contracts with ABAL. Every person who had a contract, lease, licence, or other instrument with ABAL is automatically now in a relationship with SGB. Consent is not required; s 11(3) deems any necessary advice or consent to have been given. s 11(2) provides that nothing done under the Act places SGB, ABAL or another person in breach of contract or confidence, or makes them guilty of a civil wrong, and does not release any surety from obligations (except as provided). This affects counterparties’ rights: they cannot claim the merger constituted a breach or triggered termination rights unless the Act expressly allows it. They also cannot refuse to deal with SGB on the basis of assignment restrictions.

Sureties. Section 11(2)(c) expressly provides that the Act does not release any surety, wholly or partly, from all or any of the surety’s obligations. This protects lenders and counterparties who rely on guarantees: the change of the principal debtor from ABAL to SGB does not discharge the guarantor. That is a standard provision in successor-in-law statutes.

Northern Territory Treasurer. The Treasurer is responsible for determining the amount payable under s 8, using principles he thinks appropriate. The Treasurer may issue a certificate when satisfied the sum has been paid (s 8(3)). The sum is a debt due to the Territory, so the Treasurer can enforce payment.

Registrar-General and other registration officials. Section 10 permits the Registrar-General or other registration authorities to register the vesting of translated assets or liabilities without a formal application, and on written application by SGB must do so. This affects land titles registries, motor vehicle registries, and any other register.

The Crown. The Act binds the Crown in right of the Territory and, so far as the legislative power of the Legislative Assembly permits, the Crown in all other capacities (s 5). This means that government entities, including Commonwealth agencies to the extent of NT legislative power, are subject to the Act’s provisions, including the automatic vesting of assets that may be held by or in relation to government.

Duty of SGB to pay Territory tax equivalent. Under s 8(1), SGB must pay the Treasurer a sum equal to the taxes, duties and charges that would have been payable under Territory law if the business of ABAL and any translated asset and liability had vested by way of a normal commercial transaction. This is a mandatory payment; the amount is determined solely by the Treasurer in accordance with principles the Treasurer thinks appropriate (s 8(2)). Once paid, SGB’s obligations to lodge stamp duty, financial institutions duty, or debits tax returns cease (s 8(4)). The sum is a debt due to the Territory, meaning the Treasurer may sue for recovery (s 8(6)). SGB cannot avoid this payment by arguing that a normal commercial transaction would not have occurred or that the Treasurer’s principles are unreasonable; the Act gives the Treasurer carte blanche.

Right of SGB to issue conclusive certificates. The chief executive officer of SGB may certify any matter relating to the operation or effect of the Act, including that a specified matter is an aspect of the Act, that a thing was done for a purpose connected with the Act, or that a specified asset or liability is a translated asset or liability of SGB (s 9(1)). Such a certificate must be accepted in legal proceedings and by an administrative official as evidence of the matter certified (s 9(3)). The certificate is prima facie evidence of its own genuineness unless the contrary is established (s 9(4)). This gives SGB a powerful evidentiary tool: it can effectively prove the vesting of any asset or liability without a chain of title, simply by issuing a certificate.

Right of SGB to carry on business under specified names. Section 7(1) allows SGB to carry on business in the Territory under “Advance Bank Australia”, “Bank of South Australia”, “BankSA”, or another name registered under the Commonwealth Business Names Registration Act 2011. Section 7(2) requires those first three names to be registered under the Business Names Act 2007 upon SGB’s application. For six months after succession day, SGB may also use “Advance Bank Australia Limited” and “BankSA a Division of Advance Bank Australia Limited” as if they were registered (s 7(3)). This gives SGB transitional flexibility to manage branding and customer recognition.

Right of SGB to register vesting. SGB may apply in writing to the Registrar-General or other registration officials to register the vesting of a translated asset or liability, and the official must do so (s 10(1)(b)). Even if SGB has not yet been registered as proprietor of an asset, a transaction related to that asset entered into by SGB in ABAL’s name (or a predecessor’s name) must be registered if the instrument is otherwise in registrable form (s 10(2)). This overrides normal title requirements.

Rights of counterparties restricted. The Act confers no rights on counterparties to veto the merger or to demand new terms. They cannot claim breach of contract, breach of confidence, or civil wrong by reason of anything done under the Act (s 11(2)). Any advice or consent otherwise needed is deemed given (s 11(3)). However, sureties are not released (s 11(2)(c)), which is a modest protection for those who have guaranteed ABAL’s obligations.

Duty of the Treasurer to determine the amount. The Treasurer must form an opinion as to the sum payable under s 8(1) and determine the amount. There is no statutory requirement for the Treasurer to consult SGB, to publish the principles, or to provide reasons. The only subsequent duty is to issue a certificate of payment once satisfied the sum has been paid (s 8(3)).

The Act does not create criminal offences or civil penalties beyond the debt recovery mechanism in s 8(6). The primary enforcement provision is that the sum payable under s 8(1) is “a debt due and payable by SGB to the Territory.” This means the Territory can sue SGB in a court of competent jurisdiction to recover the amount if SGB fails to pay. There is no provision for interest, late payment penalties, or additional taxes if SGB is late; the debt is simply recoverable as a civil debt.

The Act does not specify what happens if SGB fails to pay the determined sum before the succession day or at any particular time. The Treasurer’s certificate under s 8(3) is a practical mechanism: once satisfied that payment has been made, the Treasurer issues a certificate. Until then, SGB may still be subject to the normal obligations for stamp duty, financial institutions duty, and debits tax - those obligations only cease upon payment (s 8(4)). So the penalty for non-payment is that the ordinary duty regime continues to apply. SGB would then be liable to lodge returns and pay duties in the normal course, which could be administratively burdensome and potentially more costly than the Treasurer’s lump-sum determination. However, the Act does not explicitly state that the Treasurer’s determination is a precondition for the cessation of duties; it says the obligations cease on payment of the amount determined under subsection (1). If SGB disputes the amount and refuses to pay, duties continue.

The Act provides no mechanism for SGB to challenge the Treasurer’s determination. There is no right of review, no appeal to a tribunal, and no criteria for the Treasurer to follow other than “principles that the Treasurer thinks appropriate.” This gives the Treasurer essentially unreviewable discretion. In practice, SGB would have to rely on administrative law remedies (judicial review for jurisdictional error or irrationality) if it wished to challenge the amount, but the Act itself creates no merits review.

With respect to the overriding effect of the Act, s 11(2) provides an immunity: nothing done by or under the Act or under the NSW Regulation places SGB, ABAL, or another person in breach of contract or confidence or otherwise makes any of them guilty of a civil wrong. This means that even if the automatic vesting technically violates a contractual non-assignment clause, no liability arises. The Act itself precludes any cause of action. Similarly, s 11(2)(b) provides that nothing done places anyone in breach of any Territory law or any contractual provision prohibiting assignment or disclosure. So the Act creates a statutory shield against claims that would otherwise arise from the merger.

The Act does not impose any obligation on counterparties to do anything. If a counterparty refuses to recognise SGB as the successor, s 9(3) certificates, s 6(e) (instruments continue), and s 10(2) (registration even if SGB not yet registered) can be used in legal proceedings to compel recognition.

Overrides contracts and deeds. Section 11(1) provides that the Act “has effect in spite of anything in any contract, deed, undertaking, agreement or other instrument.” This means that any private agreement that would prevent or restrict the automatic vesting of assets, the substitution of parties, or the continuation of instruments is overridden. Non-assignment clauses, change-of-control provisions, confidentiality obligations, and consent requirements are all rendered ineffective to the extent they conflict with the Act. Section 11(3) deems any necessary advice or consent to have been given.

Overrides Territory laws. Section 11(2)(b)(i) explicitly provides that nothing done under the Act places anyone in breach of any law of the Northern Territory. This is a broad override: if some Territory law (other than the Act itself) would make the vesting illegal or unlawful, the Act prevails. For example, if there were a licensing requirement that depends on the corporate identity of the licensee, the Act would allow SGB to step into ABAL’s shoes without triggering a contravention. The Act does not, however, override Commonwealth laws, except so far as the Crown binds the Crown in all capacities (s 5) and the Act has effect despite other laws - but the phrase “any law of the Northern Territory” in s 11(2)(b)(i) suggests it does not purport to override Commonwealth law. The NSW Regulation, however, may have its own overriding effect under NSW law; the NT Act operates within the Territory’s legislative competence.

Interaction with the NSW Regulation. The Act depends entirely on the NSW Regulation for the definition of “succession day” and for the substantive operation of the succession. The Act does not define what happens on succession day beyond s 6; it assumes the NSW Regulation has already fixed the date and the mechanics. The Act provides additional Territory-specific machinery (tax payment, name registration, certificates, registration of title) that the NSW Regulation does not address. The Act is thus a supplementary statute, not a standalone merger law.

Interaction with taxation law. Section 8 replaces the normal stamp duty, financial institutions duty, and debits tax regime with a single lump-sum payment. The Act does not affect Commonwealth taxes (income tax, GST). The definition of “asset” in s 4 includes “any asset within the meaning of Part IIIA of the Income Tax Assessment Act 1936 (Cth)”, which suggests that capital gains tax may be relevant but the Act does not override it. The payment-in-lieu is a Territory-only arrangement.

Interaction with the Business Names Act 2007 (NT). Section 7(2) requires that “Advance Bank Australia”, “Bank of South Australia” and “BankSA” must, on application by SGB, be registered under the Business Names Act 2007. The amendment by the Business Names (National Uniform Legislation) Implementation Act 2012 updated s 7 to refer to the Commonwealth Business Names Registration Act 2011 and to add paragraph (d) allowing registration under that Act. So the Act both requires registration and provides a temporary deemed registration for six months.

Interaction with the law of evidence. Section 9(5) preserves the character of records made by ABAL (or an ADI from which ABAL acquired records) as ADI records for the purposes of the law of evidence. This means that the evidentiary privileges or presumptions that apply to records of authorised deposit-taking institutions continue to apply even after the merger, so that SGB can rely on them.

Suretyship law. Section 11(2)(c) provides that nothing releases any surety from obligations. This modifies the general law principle that a change in the principal debtor may discharge a guarantor. By preserving the surety’s liability, the Act prevents a windfall to guarantors who might otherwise argue that the substitution of ABAL by SGB without their consent has prejudiced them.

Registration systems. Section 10 overrides normal registration procedures for land and other assets by allowing registration without formal application and requiring registration upon SGB’s application. It also allows registration of transactions done in ABAL’s name even if SGB has not yet been registered as proprietor. This interacts with the Land Title Act and other registration statutes.

The Act was originally enacted as Act No. 10 of 1998, assented on 30 March 1998 and commenced on 1 April 1998 (the succession day). It has been amended by two subsequent Acts and by a general amendment Act.

Statute Law Revision (Financial Provisions) Act 2002 (Act No. 38, 2002). Assented 13 September 2002, commenced 30 October 2002. This Act amended s 9. The endnotes indicate that s 9 was amended by this Act (listed in the table of amendments). The specific amendment is not detailed in the source, but it likely updated references to financial institutions or removed obsolete provisions. The amendment appears to have been a minor, machinery change.

Business Names (National Uniform Legislation) Implementation Act 2012 (Act No. 8, 2012). Assented 27 April 2012, with Parts 3 and 4 commencing 28 May 2012. This Act amended s 7. The table of amendments shows s 7 was amended by No. 8, 2012, s 30. The effect was to replace the original s 7(1)(d) (which previously referred to another name registered under the Business Names Act 2007) with the current reference to the Commonwealth Business Names Registration Act 2011, and to add s 7(1)(d) in its present form. This reflects the move to a national business names registration system.

Interpretation Legislation Amendment Act 2018 (Act No. 22, 2018). This Act made general amendments of a formal nature to ss 1, 7 and 9. These are not detailed in the table of amendments but are noted as general amendments. They likely involve standardisation of drafting style or cross-references.

There have been no substantive policy amendments since 1998. The Act remains largely as originally enacted, with only minor updates to business name legislation and formal drafting. The Act is now nearly 25 years old and was a time-limited merger facilitation statute. Its substantive operation (the succession) occurred on 1 April 1998. The ongoing provisions (s 7 name registrations, s 9 certificates, s 10 registration) remain in force but are now largely spent or administrative.

The source text does not record any litigation under or relating to the Advance Bank Integration Act 1998. This is not unusual for a bespoke merger facilitation statute that operates automatically and is designed to pre-empt disputes. Several factors reduce the likelihood of litigation: the Act overrides contractual consent requirements (s 11), deems consents given, and provides that no civil wrong arises from acts done under the Act. It also gives SGB the power to issue certificates that are conclusive evidence, making it difficult for third parties to challenge the vesting of assets.

However, potential areas of dispute can be identified. The determination of the payment in lieu of taxes under s 8 gives the Treasurer extremely wide discretion with no statutory appeal. If SGB believed the Treasurer had acted arbitrarily or in excess of power, it might seek judicial review in the Northern Territory Supreme Court on administrative law grounds (jurisdictional error, irrationality, failure to take into account relevant considerations). No such challenge is recorded in the source, suggesting that the parties reached agreement or SGB accepted the Treasurer’s determination.

Another possible source of litigation is disputes over whether a particular asset or liability is a translated asset or liability, especially where chain of title is complex. The s 9 certificate system is designed to resolve such disputes summarily: the certificate is conclusive evidence, so a court would accept it unless the challenging party could establish the contrary (s 9(4)). In practice, this places a heavy burden on any challenger.

There may be disputes about the effect on sureties. Section 11(2)(c) expressly says sureties are not released. But a surety might argue that the merger without consent materially alters the risk and that the Act does not override the law of suretyship completely - it only says the Act does not release the surety. A guarantor could potentially argue that the Act does not prevent the surety from being otherwise discharged under general law if the variation is not protected by the Act. The Act preserves the surety’s obligations, but if SGB later makes further changes not required by the Act, those could trigger a discharge. No litigation is recorded, so the point remains untested.

Because the merger occurred in 1998, the limitation period for most claims would have expired. The Act’s ongoing provisions (s 7 business names, s 9 certificates) may still be relevant but are unlikely to generate litigation. The absence of recorded litigation suggests the Act achieved its purpose of facilitating a clean transition without court involvement.

Treasurer’s unfettered discretion on the tax payment. Section 8(2) allows the Treasurer to determine the amount payable using “principles that the Treasurer thinks appropriate.” There is no requirement to consult SGB, no published guidelines, no appeal mechanism, and no criteria like “fair value” or “reasonable estimate.” The Treasurer could in theory adopt principles that produce a higher figure than the actual duties that would have been payable, and SGB has no statutory right to challenge the calculation. While judicial review is theoretically available, the Act gives no foothold for a merits challenge. A prudent SGB would have negotiated the principles before the merger, but the Act does not require that.

Conclusive certificates shift the burden of proof. Under s 9(3), a certificate signed by SGB’s chief executive officer must be accepted in legal proceedings as evidence of the matter certified. The other party can rebut the certificate only by establishing the contrary (s 9(4)). This effectively reverses the normal evidentiary burden. Any third party who believes that a particular asset was not properly vested under the Act must prove that, rather than SGB having to prove the vesting. This could be a trap for creditors who think they have a claim against ABAL’s former assets that should not have passed to SGB.

Deemed consent eliminates negotiation leverage. Section 11(3) provides that “where, apart from this section, the advice or consent of a person would be necessary in a particular respect, the advice is taken to have been obtained or the consent is taken to have been given.” This means that any counterparty who had a contractual right to veto an assignment, a change of control, or a change of counterparty loses that leverage. They cannot demand a fee, a renegotiation of terms, or a release in exchange for consent. The Act pre-empts any hold-up. This is efficient for the merger but harsh on counterparties who might have had valuable rights.

Sureties not released. Section 11(2)(c) says the Act does not release any surety. This is probably intended to protect SGB and the lenders, but it can catch sureties unawares. A person who guaranteed ABAL’s obligations may think the merger discharges them because the principal debtor has changed. The Act says no; the guarantee continues. The surety may be stuck with a new debtor (SGB) that it did not choose. While the Act preserves the surety’s liability, it does not give the surety any additional rights, such as the right to call for new information about SGB’s creditworthiness.

Name registration time limits. Section 7(3) gives SGB only six months from succession day to use the unregistered names “Advance Bank Australia Limited” and “BankSA a Division of Advance Bank Australia Limited”. After that period, use of those names without registration is unlawful. SGB must ensure it applies for registration under s 7(2) or registers under the Business Names Act 2007 or the Commonwealth Act before the six months expire.

No express provision for employees. The Act does not deal with employee entitlements, transfer of employment contracts, or redundancy. Section 6(e) provides that translated instruments continue, and employment contracts are instruments. So employees likely transfer to SGB automatically under the same terms. However, the Act does not give employees the right to object or to receive notice. The absence of an explicit provision mirroring the Commonwealth’s Fair Work Act or similar may create uncertainty about continuity of service, accrued entitlements, or collective agreements.

Act does not override Commonwealth laws. While s 11(1) says the Act has effect despite other instruments, s 11(2)(b)(i) only overrides “any law of the Northern Territory.” Commonwealth laws such as the Competition and Consumer Act, the Corporations Act, or workplace relations legislation are not overridden by this Act. The merger may still require ACCC clearance, ASIC approval, or other federal authorisations. The Act is silent on this, so SGB would have had to obtain all necessary Commonwealth approvals separately.

No dispute resolution mechanism. If a third party disputes that a certificate is genuine or that an asset has vested, the Act does not provide a procedure for that dispute. The party would have to go to court and face the conclusive evidence provision. There is no statutory right to challenge the certificate itself within the Act.

Limited application of s 5 (binding the Crown). Section 5 binds the Crown in right of the Territory and, so far as the Legislative Assembly’s legislative power permits, the Crown in all other capacities. The scope of NT legislative power is limited; it may not extend to binding the Commonwealth Crown fully. If any asset involved the Commonwealth (e.g. government bonds, licences), the automatic vesting might not be effective as against the Commonwealth.

For the purposes of this Act, compliance is largely a matter for the surviving entity, SGB, and for the Northern Territory government. The merger occurred in 1998, so the steps described here are historical. For anyone dealing with this Act in a current context, compliance will relate to ongoing obligations rather than the succession itself.

Payment of the sum in lieu of taxes. SGB must pay to the Treasurer the amount determined under s 8(1) and (2). The Treasurer will advise the amount. SGB should ensure it receives a certificate from the Treasurer under s 8(3) confirming payment. Until that certificate is issued, the obligations to lodge stamp duty, financial institutions duty or debits tax returns remain (s 8(4)). So SGB should obtain the certificate promptly and keep it as evidence. SGB should also ensure it retains the Treasurer’s determination, even if it considers the amount unreasonable, because there is no statutory avenue to contest it.

Registration of business names. SGB must apply under s 7(2) to register “Advance Bank Australia”, “Bank of South Australia” and “BankSA” under the Business Names Act 2007. Failure to apply does not appear to invalidate the right to carry on business under those names (s 7(1) allows it), but the obligation is expressed as “must” in s 7(2). To avoid continued non-compliance, SGB should make the application. The six-month grace period under s 7(3) for the temporary names is automatic; SGB must ensure that within that six months it either stops using those names or registers them properly under the applicable business names legislation.

Certificates. If SGB needs to prove the vesting of any particular asset or liability, its chief executive officer may issue a certificate under s 9. The certificate should state the matter with specificity, e.g., “the shares in X Ltd are a translated asset of SGB.” The certificate must be signed (s 9(1)). To maximise its evidentiary value, the certificate should clearly refer to the operation or effect of the Act. The CEO should also verify that the certificate is accurate, because while it is prima facie genuine, if a challenger establishes the contrary (s 9(4)), the certificate loses its effect.

Registration of title. If SGB holds translated assets that are subject to a registration system (land, motor vehicles, intellectual property, etc.), it should lodge written applications with the relevant registrar under s 10(1)(b). The registrar must register. SGB does not need to wait for its own proprietorship to be registered before dealing with the asset (s 10(2)). However, SGB should still apply for registration to ensure clean title and to avoid future disputes.

Dealing with counterparties. SGB and its officers should inform all counterparties of ABAL of the automatic substitution. While the Act does not require notice, s 11(3) deems consents given, but practical notification helps prevent misunderstandings. SGB should update its letterhead, bank accounts, and contract management systems to reflect that it now stands in ABAL’s shoes.

Sureties. Parties who have guaranteed ABAL’s obligations should be advised that their guarantees continue under s 11(2)(c). SGB should update surety records to refer to SGB as the creditor or obligee. No release documentation is needed, but SGB should obtain written acknowledgment if practical to avoid later disputes.

Records preservation. Under s 9(5), the character of ABAL’s records as ADI records is preserved. SGB should maintain these records and keep them accessible for evidentiary purposes. Destruction or alteration could jeopardise the evidentiary status.

For third parties (creditors, counterparties, regulators): compliance is passive. They must accept SGB as the successor, cannot refuse to deal with SGB on the basis of the merger, and cannot demand new agreements or payments as a condition of continuing the relationship. If they have concerns, they may request a certificate from SGB under s 9, but they cannot compel one. They may also seek independent legal advice as to whether the Act has overridden any particular right (e.g., a right to terminate for change of control). The Act states that no civil wrong arises, so suing for breach of contract is not an option.
