Adelaide Oval Redevelopment and Management Act 2011

The Act creates a bespoke legal architecture for redevelopment of Adelaide Oval built around a small set of interlocking concepts: Adelaide Oval Core Area, Adelaide Oval Licence Area, Ministerial leases and licences, SMA as commercial manager and sublessee, sporting occupiers’ rights (SACA and SANFL), financial caps and reporting, development deeming, and temporary construction powers.

Adelaide Oval Core Area and Adelaide Oval Licence Area are defined by reference to cadastral sections and mapped schedules (s 3). The Core Area comprises Section 1726 and the Eastern Grandstand Area, Southern Area, Northern Area and the land in s 14; the Licence Area is Section 1626 less excluded lands and existing tennis‑club leases (s 3). Those place definitions trigger different statutory regimes: the Core Area is treated principally through a head lease to the Minister (s 4), and the Licence Area through a licence to the Minister (s 7).

Use‑rule hierarchy: the Core Area must be used predominantly as a sporting facility, with ancillary recreational, entertainment and social uses allowed (s 4(4)). The Licence Area licences authorise car parking on grassed areas within specified limits, vehicular access to the Core Area, ancillary redevelopment and event‑related activities, and sport facilities for Adelaide Oval No 2 (s 7(6)-(9)). These statutory permissions supersede ordinary planning code constraints for redevelopment‑connected projects (s 10(1)-(3)).

Tenure and decision control: the Council is required to grant leases and licences to the Minister on request and within 30 days (s 4(1)-(2); s 7(1)-(2)). The Minister determines lease and licence terms after consultation with the Council (s 4(3)(b); s 7(3)(c)). The Minister may sublease to SMA and grant sub‑licences, with limited consultation constraints; the Council’s consent is not required for the SMA sublease (s 5(1)-(3)). The Minister must lay copies of subleases, licences and sub‑licences before both Houses within six sitting days (s 5(6)-(7); s 7(17)).

Sporting body exclusivity: the Act preserves rights for SACA and the SANFL through licences that grant certain rights to unrestricted and exclusive use of Adelaide Oval during designated seasonal periods (s 5(4), s 5(8) defines the dates). These licences must be respected in any sublease to SMA (s 5(4)).

Financial architecture: the State’s cap of $535 million for redevelopment‑related designated purposes (s 8(1)-(3)) defines the upper bound of public financial exposure for development, grants, guarantees and assistance. SMA must establish a sinking fund for non‑recurrent expenditure and report annually to the Minister; the Treasurer determines contributions after consultation and the Auditor‑General audits and reports to Parliament (s 6; s 9).

Planning and procedural carve‑outs: redevelopment‑connected development is treated as deemed‑to‑satisfy under the Planning, Development and Infrastructure Act 2016 and the State Planning Commission is the relevant authority (s 10(3)-(4)). The Act expressly excludes the Adelaide Park Lands Management Strategy and certain management plans from applying to Core Area matters (s 11(1), s 11(3)). It also exempts designated land from council rates (s 11(5)).

Temporary construction powers and limits: during the construction period the Minister may enter and use the adjacent area for works and related activities notwithstanding other laws, and management plans are taken to be modified to that extent (s 20(1)-(2)). The Minister cannot remove or damage trees in the adjacent area and must make good damage caused at the end of the construction period (s 20(3)-(4)).

Oversight and dispute resolution: the Act requires parliamentary disclosure of leases and licences (s 5(6)-(7); s 7(17)), gives the Auditor‑General audit and reporting powers (s 6(5)-(11); s 9), and provides a review path to the State Planning Commission where the Council objects to licence terms or management plan provisions or where the Minister or Council acts unreasonably (s 7(4)-(5); s 7(12)-(13)). The State Planning Commission may direct variations to licences or management plans and such directions have effect despite Chapter 11 of the Local Government Act 1999 or the Adelaide Park Lands Management Strategy (s 7(13)(b)(i)).

Transactional obligations: SMA is subject to specified annual fees payable to the Treasurer into the Sport and Recreation Fund, with staged increases and an indexing formula for the $1,000,000 component (s 18). Timing obligations include payment deadlines (s 18(2)), reporting deadlines for the sinking fund (s 6(3)), and the Minister’s obligation to prepare a public transport plan within 12 months including a 70% public transport usage target for event attendance after redevelopment (s 15).

Together, these concepts reallocate operational control, create statutory rights for private operators, reserve seasonal sporting use, set public fiscal bounds and create an institutional oversight framework tailored to the redevelopment project.

Primary actors and who pays

• The State (through the Minister): acquires long‑term lease and licence rights (s 4; s 7), assumes or authorises financial commitments up to $535 million for designated purposes (s 8), and must prepare a public transport plan (s 15). The State receives the special annual sublease fee from SMA and oversees sinking fund determinations via the Treasurer (s 18; s 6(4)).
• Council (The Corporation of the City of Adelaide): must grant leases and licences to the Minister on request within 30 days (s 4(1)-(2); s 7(1)-(2)); cannot grant certain adjacent area commercial leases, licences or approvals without SMA consent (s 12); is the recipient of vesting of Victor Richardson Road for park lands (s 14).
• SMA (Adelaide Oval SMA Limited): is the commercial sublessee and operational manager authorised to be granted a sublease (s 5); must establish and account for a sinking fund, report annually, and pay the special annual sublease fee into the State fund by legislated dates (s 6; s 18).
• SACA and SANFL: retain statutory rights to unrestricted and exclusive use during designated seasonal periods, protected by licences that the Minister must grant and that bind any sublease to SMA (s 5(4)). SACA is expressly authorised to continue interim occupation and management of the Core Area until a sublease to SMA is granted (s 19).
• Treasurer and Auditor‑General: the Treasurer must determine sinking fund contributions after consulting SMA (s 6(4)); the Auditor‑General must audit SMA’s sinking fund and SMA’s annual accounts and prepare broader reports on public money spent within the $535 million cap, delivering those reports to Parliament (s 6(5)-(11); s 9).
• State Planning Commission: serves as review authority where the Council considers the Minister unreasonable about licence terms and in disputes over management plans; it is the relevant authority for redevelopment‑related development (s 7(4)-(5); s 10(4); s 7(12)-(13)).
• Public and park‑land users: the Act alters the management and permitted uses of parts of Adelaide’s park lands. The Minister is directed to seek to protect and enhance the Licence Area as park lands subject to operation of Parts 2 and 3 (s 13), and certain open‑space and tree protections apply to the Core Area (s 4(5), s 4(7)).

Secondary or affected private parties

• Other commercial operators: s 12 prevents the Council granting prescribed leases, licences or approvals in the adjacent area for business purposes conferring rights in relation to event days without SMA consent; any such grant in breach is void (s 12(1)-(2)). That limits other businesses’ ability to secure event‑linked rights from the Council in the adjacent area.
• Local government regulatory bodies and planning authorities: the Act modifies the application of Chapter 11 management plans and the Adelaide Park Lands Management Strategy to certain lands (s 4(8), s 5(9), s 7(10)-(13), s 11(1), s 11(3)), and declares specified development to be deemed‑to‑satisfy development under the Planning, Development and Infrastructure Act 2016 (s 10). These alterations reduce the scope for routine local regulatory instruments to constrain redevelopment works.
• Community sporting and recreation organisations: the special sublease fee received by the State is directed into the Sport and Recreation Fund for the Active Club Program or successor program providing financial assistance to South Australian not‑for‑profit community‑based active recreation and sporting organisations (s 18(3)). Thus recipients of that Fund are affected by the Act via the revenue stream.

Who decides

• Minister: decides lease and licence terms (after consultation), grants subleases and sub‑licences, exercises construction period powers (s 4(3)(b); s 5(1); s 7(3)(c); s 20). Must lay copies of agreements before Parliament (s 5(6); s 7(17)) and prepare the public transport plan (s 15).
• Treasurer: determines required payments into SMA’s sinking fund after consulting SMA (s 6(4)) and receives SMA’s special sublease fees to be paid into the Sport and Recreation Fund (s 18(2)-(3)).
• State Planning Commission: decides reasonableness disputes about licence terms and management plan provisions and may direct changes (s 7(4)-(5); s 7(12)-(13); s 10(4)).
• Auditor‑General: undertakes audits and delivers reports to Parliament (s 6(5)-(11); s 9).

Net behavioural effects implied by the statute

• Council is constrained in land disposal choices: it must comply with Ministerial requests to lease or licence (s 4; s 7) and cannot make certain adjacent area commercial grants without SMA consent (s 12).
• SMA is incentivised to manage facilities efficiently but subject to cash outflows (special annual sublease fee s 18) and sinking fund obligations (s 6), with financial oversight by Treasurer and Auditor‑General.
• Sporting bodies retain seasonal exclusivity that protects playing rights, limiting SMA’s ability to schedule alternative commercial uses during those periods (s 5(4)).
• Developers and contractors operating in the construction period gain access rights to adjacent lands (s 20), but with explicit limits on tree removal and an obligation to repair damage (s 20(3)-(4)).

The Act therefore reallocates decision‑making authority and creates a web of obligations and vetoes that directly affect the State, the Council, SMA, sporting bodies, and third‑party commercial interests in and around the Adelaide Oval precinct.

This section lists the principal statutory duties, rights and timing obligations the Act imposes on the main actors, with direct citations.

Council

• Duty to grant a lease over the Adelaide Oval Core Area to the Minister on request and within 30 days, subject to any extension allowed by the Minister (s 4(1)-(2)).
• Duty to grant a licence over the Adelaide Oval Licence Area to the Minister on request and within 30 days, subject to any extension allowed by the Minister (s 7(1)-(2)).
• Duty not to grant a prescribed lease, licence or approval in the adjacent area without SMA consent; any grant in breach is void (s 12(1)-(2)).
• Receives vesting of Victor Richardson Road as park lands on commencement (s 14).

Minister

• Right to obtain head lease and licence from Council (s 4(1); s 7(1)).
• Power to specify the lease term (up to 80 years) and terms and conditions after consultation with Council for Core Area leases (s 4(3)(a)-(b)).
• Power to grant a sublease to SMA for any period not exceeding the head lease (s 5(1)-(2)); no Council consent required for the SMA sublease (s 5(3)).
• Must ensure Core Area remains named Adelaide Oval, scoreboard is maintained, and a minimum of 1,200 m2 grassed open space is kept at the northern end (s 4(5)).
• Must not remove or substantially alter Moreton Bay fig trees in the Core Area without Council approval (s 4(7)).
• Power to grant licences and sub‑licences over Licence Area land and to carry out works on licence land (s 7(6)-(7); s 7(14)).
• Power to cancel a sub‑licence if land is not managed consistent with maintaining park lands or complying with management plans (s 7(15)).
• Must lay copies of subleases and licences before both Houses of Parliament within six sitting days (s 5(6)-(7); s 7(17)).
• Duty to prepare a public transport plan with a target of at least 70% public transport usage for event attendees within 12 months (s 15(1)-(3)).

SMA (Adelaide Oval SMA Limited)

• Right to be granted a sublease by the Minister over any part of the Core Area head‑leased to the Minister (s 5(1)).
• Obligation to establish a sinking fund as soon as practicable after grant of the sublease, maintain proper accounts, and report annually to the Minister by 1 September on prior and proposed payments (s 6(1)-(3)).
• Obligation to comply with the Treasurer’s determination on the amount to be paid into the sinking fund for the current financial year (s 6(4)).
• Annual accounting and audit obligations: the Auditor‑General may audit the sinking fund at any time and must audit it at least once annually; the Auditor‑General must audit SMA’s accounts annually in any event, and report on that audit in the Auditor‑General’s annual report (s 6(5)-(6); s 9(3)).
• Financial obligation to pay special annual sublease fees according to the staged schedule and thereafter an indexed $1,000,000 per year while holding a sublease (s 18(1)-(2); s 18(4)).
• Liability for the sinking fund and payment of amounts, with Auditor‑General required to report to Parliament if SMA fails to comply with Treasurer determinations or misuses the fund (s 6(7)-(11)).

SACA and SANFL

• Have statutory rights under licences that provide certain rights to unrestricted and exclusive use of Adelaide Oval during designated seasonal periods and those rights bind any sublease to SMA (s 5(4); s 5(8)).
• SACA is authorised to continue to occupy and manage Core Area on Ministerial terms until SMA sublease is granted (s 19).

Treasurer

• Must approve or determine the amount to be paid into SMA’s sinking fund for the current financial year after consultation with SMA (s 6(4)).
• Must receive SMA’s special sublease fee payments and pay them into the Sport and Recreation Fund for the Active Club Program or successor program (s 18(2)-(3)).

Auditor‑General

• May audit SMA’s sinking fund accounts at any time and must do so at least once per year; may exercise powers under Part 3 of the Public Finance and Audit Act 1987 in relation to such audits (s 6(5)-(6)).
• Must prepare reports where the audit indicates non‑compliance or misuse, deliver reports to Parliament and the reports must be published and laid before both Houses (s 6(7)-(11)).
• Must prepare designated‑period reports on the extent to which spending has been within the $535m cap and on the management and use of public money related to the redevelopment, delivering such reports to Parliament (s 9(1), s 9(5)-(6)).

State Planning Commission

• Receives applications from Council where the Council considers the Minister acting unreasonably about licence terms; may determine reasonableness and direct variations or specify terms (s 7(4)-(5)).
• May review disputes where the Minister considers management plan provisions unreasonable or the Council considers the Minister unreasonably refuses to agree to amendments; the Commission may direct variations despite Chapter 11 of the Local Government Act 1999 or the Adelaide Park Lands Management Strategy (s 7(12)-(13)).

Other operational duties and limits

• Core Area leases and subleases and Licence Area licences are not subject to Chapter 11 of the Local Government Act 1999 or s 21 of the Adelaide Park Lands Act 2005 in specified respects (s 4(8); s 5(9); s 7(16)).
• The Act exempts designated land from council rates under the Local Government Act 1999 (s 11(5)).
• The Minister may use adjacent area land during the construction period for works and related activities despite other Acts or laws but must not remove/damage trees and must make good damage at the end of the construction period (s 20(1), (3)-(4)).

These duties and rights establish clear mandatory actions (granting leases and licences; paying fees; establishing funds; auditing and reporting) and significant discretionary powers (Ministerial specification of lease/licence terms; SMA’s management choices subject to Treasurer/Auditor‑General oversight; SPC powers to resolve disputes).

The Act contains a mix of enforceable legal effects, mandatory duties with specified remedies, mandatory reporting and oversight obligations, and a limited set of express invalidation provisions. It does not create a broad penal regime with fines for operational non‑compliance, but it embeds enforcement by invalidity, administrative oversight, statutory auditing and parliamentary disclosure.

Invalidity as enforcement

• Section 12 creates a strict legal consequence: the Council must not grant a prescribed lease, licence or approval in the adjacent area without SMA consent; a grant in breach is "void and of no effect" (s 12(1)-(2)). That supplies an immediate legal remedy: any third party taking such a grant acquires no enforceable rights under it. This is an express statutory nullity rather than a monetary penalty.

Parliamentary disclosure and reputational enforcement

• The Minister must lay copies of a sublease to SMA and of relevant licences before both Houses of Parliament within six sitting days after grant (s 5(6)-(7); s 7(17)). The Auditor‑General must deliver audit and designated‑period reports to the President of the Legislative Council and the Speaker of the House of Assembly, and those persons must cause publication and lay before Parliament (s 6(7)-(11); s 9(5)-(6)). Those disclosure duties create enforcement through parliamentary and public scrutiny rather than direct sanctions.

Financial enforcement mechanisms

• SMA's special annual sublease fee is a statutory debt payable to the Treasurer by 31 July after each financial year (s 18(2)). Although the Act does not specify penalties for late payment, the statutory character of the payment creates an enforceable obligation recoverable as a debt in the absence of express contrary provision. The Act further directs that amounts collected must be paid into the Sport and Recreation Fund (s 18(3)), imposing an administrative destination for recovered funds.

Auditor‑General enforcement and reporting

• The Auditor‑General is empowered to audit SMA’s sinking fund and SMA’s accounts and must prepare reports where SMA has not complied with Treasurer determinations or has paid funds out of the sinking fund for non‑permitted purposes; those reports must be delivered to Parliament and published (s 6(5)-(11)). That is an accountability mechanism which, while not prescribing criminal or civil penalties, activates public and legislative oversight and may trigger other legal or administrative remedies.

Administrative controls

• The Treasurer's determination under s 6(4) is binding on SMA: SMA "must comply with any determination of the Treasurer" (s 6(4)). Non‑compliance will be reportable to Parliament via the Auditor‑General; the Act does not set out specific sanctioning powers for the Treasurer within the Act itself beyond determinations and oversight.

Contractual consequences

• The Act extinguishes any pre‑existing lease between the Council and SACA that relates to the Core Area when a lease is granted to the Minister under s 4, "without giving rise to an entitlement to compensation or relief on the part of the Council or SACA by virtue of the operation of this section" (s 4(9)). That is a statutory displacement of contractual rights without compensation, and the practical enforcement effect is the removal of competing occupancy claims.

Planning and land use enforcement

• Developments within the ambit of redevelopment projects are deemed‑to‑satisfy under the Planning, Development and Infrastructure Act 2016 (s 10(3)), reducing the scope for conventional development refusals. The State Planning Commission is the relevant authority for such proposals (s 10(4)), and it has power to determine reasonableness disputes and issue directions which bind parties despite Chapter 11 or the Adelaide Park Lands Management Strategy (s 7(13)(b)(i)). Enforcement in that sphere is administrative: directions and variations issued by the Commission take legal effect.

Tree protections and obligations to make good damage

• The Act prohibits removing or substantially altering Moreton Bay fig trees within the Core Area without Council approval (s 4(7)). During the construction period, the Minister may not remove or damage any trees in the adjacent area (s 20(3)) and must take reasonable measures to make good damage to adjacent area land at the end of the construction period (s 20(4)). These provisions impose duties that can be enforced by judicial review or by seeking injunctive relief where a party acts contrary to them; the Act does not specify administrative fines.

Gaps in express penalisation

• The Act contains few express criminal offences, monetary fines or specified penalty regimes. Instead it relies on: (a) invalidation of unlawful acts (s 12), (b) binding administrative determinations and statutory payment obligations (s 6(4); s 18), (c) Auditor‑General statutory reporting to Parliament (s 6; s 9) and (d) the power of the State Planning Commission to direct modifications and resolve disputes (s 7). Parties reliant on the Act should therefore expect enforcement to be predominantly administrative, public, and contractual, rather than penal in nature.

Practical enforcement levers available to affected parties

• Injunctive relief or declaratory relief in courts or tribunals for breaches of statutory duties (e.g. tree protection, unlawful disposals) remains available in the jurisdiction’s general law, though the Act creates specific statutory bars (such as s 12) that provide immediate legal responses. The Act’s built‑in audit and parliamentary reporting mechanisms channel enforcement through public and political accountability, which can be consequential for reputational and political leverage.

In sum, enforcement under the Act is chiefly administrative, financial and reputational, supported by statutory invalidity for certain Council acts and by parliamentary disclosure and Auditor‑General reporting to create accountability. The Act provides limited direct penal sanctions within its text.

The Act deliberately alters the normal operation of several planning, local government and park‑lands instruments. Its text spells out specific interactions, carve‑outs and supremacy for redevelopment‑connected matters. The key interactions are with: the Local Government Act 1999 (Chapter 11 management plans), the Adelaide Park Lands Act 2005 and its Adelaide Park Lands Management Strategy, the Planning, Development and Infrastructure Act 2016 (and the Planning and Design Code), the Development Act 1993 (legacy reference), and public finance and audit legislation.

Exemptions from Local Government Act and Park Lands Act

• Core Area leases and subleases are not subject to Chapter 11 of the Local Government Act 1999 or s 21 of the Adelaide Park Lands Act 2005 (s 4(8); s 5(9)). Similarly, licences under s 7 are not subject to s 202 of the Local Government Act 1999 or s 21 of the Adelaide Park Lands Act 2005 (s 7(16)). These provisions remove typical managerial and consent constraints that would otherwise apply under local government management plans or park‑lands statutory regimes.

Management plan interactions and disputes

• Uses and works under licences or sub‑licences in the Licence Area are generally subject to the Council's management plan under Chapter 11 (s 7(10)), but the Minister’s agreement is required for any amendment to a management plan adopted after 1 July 2011 to apply (s 7(11)). Where the Council considers the Minister unreasonable about licence terms, or where the Minister considers a management plan provision unreasonable, either party may apply to the State Planning Commission for review (s 7(4); s 7(12)). The Commission may direct variations or confirm reasonableness, and its directions operate despite Chapter 11 or the Adelaide Park Lands Management Strategy (s 7(13)(b)(i)). That creates a statutory override of usual local government management plan primacy in this precinct for specified disputes.

Planning and development law

• The Planning and Design Code under the Planning, Development and Infrastructure Act 2016 is treated as providing that the Core Area and Licence Area may be used for the Act’s specified predominant purposes, and the Act’s provision prevails to the extent of any inconsistency with the Code (s 10(1)-(2)). Further, development connected to redevelopment in the Core or Licence Areas is deemed‑to‑satisfy development under the Planning, Development and Infrastructure Act 2016 (s 10(3)), and the State Planning Commission is the relevant authority (s 10(4)). The practical effect is to streamline approvals for redevelopment‑related works and to place final administrative decision‑making with the State Planning Commission.

Public Finance and Audit Act 1987 and Auditor‑General powers

• The Auditor‑General’s audit and examination powers in relation to SMA and the sinking fund may be exercised under the powers the Auditor‑General has in Part 3 of the Public Finance and Audit Act 1987, and that Part applies to these audits as if the power were exercised under that Act and as if references to a public authority included SMA (s 6(6)). Similarly, the Auditor‑General’s powers under s 9 invoke Part 3 powers in relation to auditing public authorities and other entities for the designated‑period reports (s 9(4)). This cross‑reference gives the Auditor‑General standard audit powers for the purposes of the Act.

Development Act 1993 legacy reference

• The Act contains a clause (s 11(4)) referring to section 14 of the Development Act 1993, stating that the Development Assessment Commission is not subject to Ministerial direction and control in the exercise of its powers, functions or duties under this Act. The legislative history shows amendments tied to the Planning, Development and Infrastructure Act 2016; however, the text in the Act as provided retains the stated independence protection for the Development Assessment Commission in relation to duties under this Act (s 11(4)). The practical point is the Act seeks to preserve some agency independence vis‑à‑vis Ministerial direction for certain decision processes, at least as they read at enactment.

Rates exemption

• The Act exempts designated land from council rates under the Local Government Act 1999 (s 11(5)). Designated land includes Core Area land and Licence Area land that is subject to a licence under this Act (s 11(6)). That alters municipal revenue treatment of the affected parcels.

Construction period powers vs local rules

• During the construction period, the Minister may enter, occupy and carry out works on the adjacent area "despite any other Act or law (and without the need for any further consent, approval or authorisation)" (s 20(1)). A Chapter 11 management plan that applies to the adjacent area is taken to be modified where inconsistent with these powers (s 20(2)). That creates a temporary supersession of normal local regulatory controls for the specified construction period subject to limits (notably tree protection and repair obligations in s 20(3)-(4)).

Register and title amendments

• The Minister may deposit instruments in the General Registry Office (GRO) identifying or delineating land in connection with the Act, and the Registrar‑General and other land recording officers must amend, cancel or replace titles and make necessary entries to give effect to those instruments (s 16; s 17). This creates an administrative pathway to alter title records consistent with statutory leases, licences and closures (e.g. Victor Richardson Road in s 14).

Interactional hierarchy summary

• For redevelopment‑connected activities, the Act places the Minister and the State Planning Commission at the top of an administrative hierarchy: the Minister acquires lease and licence rights and exercises significant discretion; the State Planning Commission is the relevant planning authority and dispute resolver for reasonableness objections (s 10(4); s 7(4)-(5); s 7(12)-(13)). Local government planning instruments and the Adelaide Park Lands framework are sidelined to the extent inconsistent with the Act’s redevelopment measures (s 4(8); s 5(9); s 7(13)(b)(i); s 11(1), s 11(3), s 20(2)).

Because the Act explicitly overrides and modifies multiple existing laws for defined parcels and activities, parties should treat its provisions as the operative legal framework for redevelopment‑related work in the Adelaide Oval Core and Licence Areas while recognising normal law continues to apply outside the Act’s defined ambit.

The Act’s legislative history is recorded in the text and shows the principal Act (No 29 of 2011) assented on 4 August 2011 and commencing 29 September 2011 (Gazette 29.9.2011 p4136). It also records an amending instrument:

• Statutes Amendment (Planning, Development and Infrastructure) Act 2017 (No 5 of 2017), assented 28 February 2017. Certain amendments in that amending Act have specified commencement dates, with parts commencing on 19 March 2021 (Gazette 4.3.2021 p823). The legislative history table indicates which specific provisions were varied and their commencement status.

The table in the Act text identifies how specific sections were varied by the 2017 amending Act (5/2017) and the relevant commencement dates. Key recorded variations include:

• s 3: the definition "development" was substituted by 5/2017 s 11, commencing 19 March 2021.
• s 7: s 7(4), (5), (12) and (13) were amended by 5/2017 s 12, with commencement 19 March 2021.
• s 10: subsections s 10(1), s 10(2), s 10(3) were amended by 5/2017 s 13(1)-(3), and s 10(4) substituted by 5/2017 s 13(4), all commencing 19 March 2021.
• s 11(2) was amended by 5/2017 s 14(1) on 19 March 2021. s 11(4) was amended by 5/2017 s 14(2) but that amendment is recorded as uncommenced and therefore not incorporated.

Notes in the legislative history state that "Amendments of this version that are uncommenced are not incorporated into the text" and that s 14(2) of the 2017 amending Act is uncommenced. The Act text we have appears to include some of the 2017 amendments (as several sections reflect Planning, Development and Infrastructure Act 2016 terminology), and the table confirms which amendments took effect on 19 March 2021.

Practical implication of recorded amendments

• The amendments track the transition from the Development Act 1993 regime to the Planning, Development and Infrastructure Act 2016 regime. The amendment entries for s 10 and s 3 refer to the Planning and Design Code and rework deemed‑to‑satisfy provisions and the relevant authority role to align with the newer planning statutory framework. Those amendments came into effect on 19 March 2021, per the table.

Limitations in the recorded history

• The legislative history in the Act text does not show any other later amendments after 2017. It records commencement and uncommenced amendments explicitly. The Act text warns that uncommenced amendments are not incorporated, and it directs users to the Index of South Australian Statutes or legislation.sa.gov.au for further information.

What the Act’s recorded amendment history signals about legal risk

• The targeted 2017 amendments reflect the government’s intent to harmonise the Adelaide Oval Act with the state’s reformed planning regime. That alignment alters the statutory interplay for development approvals and the role of the State Planning Commission. Users should check official consolidated versions and the status of uncommenced amendments (s 11(4) amendment uncommenced) because the legislative history shows some amendments were delayed after enactment of the amending Act.

In short, the Act was enacted in 2011 and materially updated by 2017 amending legislation with key provisions commencing on 19 March 2021 to align with the Planning, Development and Infrastructure Act 2016. The printed legislative history in the Act must be consulted to confirm which amendments have commenced and which remain uncommenced.

The text of the Adelaide Oval Redevelopment and Management Act 2011 provided does not record any judicial decisions or litigation history. The Act itself contains no appendix or schedule listing cases or litigation outcomes related to its provisions. The legislative history notes only statutes and amendments.

Consequently, there is no litigation material set out in the statute book excerpt supplied. Practitioners seeking case law on the Act’s interpretation, challenges to administrative acts under the Act, or disputes involving the parties named (Council, SMA, SACA, SANFL, Minister, Treasurer, or State Planning Commission) must consult consolidated statute publications, South Australian court and tribunal databases, reported judgments, and public law resources to identify any judicial or tribunal decisions interpreting or applying the Act. The Act’s text makes several features likely to attract litigation or review, for example:

• challenges to the validity of a Council act that allegedly violates s 12 (granting of prescribed leases in the adjacent area without SMA consent) could be litigated on grounds of statutory invalidity;
• judicial review proceedings might arise if parties claim the Minister or State Planning Commission acted unreasonably in exercising discretion under s 4, s 5, s 7, s 10 or s 20;
• disputes could arise over whether particular works are within the "ambit" of redevelopment and therefore deemed‑to‑satisfy under the Planning, Development and Infrastructure Act 2016 per s 10;
• compliance with sinking fund determinations (s 6) and alleged misuse of sinking fund monies could generate Auditor‑General reports that precipitate further administrative or civil actions.

However, the Act text itself does not record any such proceedings. Any summary of litigation history must therefore be sourced from case law databases and not from the statute text. Users should perform case law research for authoritative appellate decisions or tribunal rulings that interpret the Act’s key provisions, and to determine how courts have dealt with issues such as statutory extinguishment of pre‑existing leases (s 4(9)), the scope of the Minister’s construction period powers (s 20), or the scope of the State Planning Commission’s review and directive powers (s 7(13)).

This Act contains a number of operational traps and practical features that can catch parties unprepared. The following points are drawn directly from the statute text and show where attention is required.

1. Council’s compulsion to grant leases and licences

• The Council must grant leases and licences to the Minister on request and within 30 days (s 4(1)-(2); s 7(1)-(2)). The Minister may allow a longer period but the default is mandatory. Council has limited grounds to resist.

2. Ministerial discretion and long terms

• The Minister specifies lease terms for the Core Area for up to 80 years and licence terms up to 20 years (renewable to a cumulative 80 years) (s 4(3)(a); s 7(3)(a)-(b)). Long‑term tenure transfers significant control to the State/Miner and any sublessee, locking in land use for extended periods.

3. Extinguishment of pre‑existing leases without compensation

• When a lease is granted under s 4, any pre‑existing lease between the Council and SACA that relates to the Core Area is extinguished “without giving rise to an entitlement to compensation or relief” to the Council or SACA (s 4(9)). Parties with pre‑existing contractual expectations should note that statutory extinguishment occurred by operation of the Act.

4. SMA sublease and Council consent

• The Minister can grant a sublease to SMA without Council consent (s 5(3)). That means the Council cannot veto SMA’s appointment once the Minister exercises the power to sublease under s 5.

5. Sporting exclusivity constraints

• SMA’s sublease must be subject to SACA and SANFL licences preserving rights for cricket and football during specified seasonal periods (s 5(4), s 5(8)). SMA’s commercial scheduling and revenue plans must accommodate these hard dates.

6. Deeming of development and planning carve‑outs

• Redevelopment‑related development is deemed‑to‑satisfy under the Planning, Development and Infrastructure Act 2016 and the State Planning Commission is the relevant authority (s 10). This removes ordinary planning refusal pathways for redevelopment works; parties should not assume usual local planning objections will apply.

7. Overrides of local management plans and park‑lands regime

• The Act excludes Core Area leases and uses from Chapter 11 of the Local Government Act 1999 and the Adelaide Park Lands Management Strategy in significant respects (s 4(8); s 5(9); s 7(13)(b)(i); s 11(1), s 11(3)). This reduces the operation of local control instruments in the precinct for redevelopment‑connected activities.

8. Council restricted in adjacent area commercial grants

• The Council cannot grant prescribed event‑linked commercial leases or licences in the adjacent area without SMA consent; any contrary grant is void (s 12(1)-(2)). This may limit local government’s ability to facilitate rival commercial operators seeking event‑day revenue.

9. Sinking fund governance and binding Treasurer determinations

• SMA must establish a sinking fund and comply with Treasurer determinations on contributions (s 6(1)-(4)). Non‑compliance triggers Auditor‑General reporting (s 6(5)-(11)). The Treasurer’s binding authority creates a non‑commercial control point over SMA’s finances.

10. Auditor‑General’s reporting and parliamentary publicity

• The Auditor‑General’s duty to report to Parliament for the sinking fund and on spending within the $535m cap (s 6(5)-(11); s 9) creates public exposure for any failures, and such reports must be published and tabled promptly (s 6(8); s 9(6)). Fiscal impropriety will therefore be publicly visible.

11. Special annual sublease fee timing and indexing

• SMA’s special fee schedule has staged increases culminating in an indexed $1,000,000 per year thereafter (s 18(1)-(4)), payable by 31 July following the financial year (s 18(2)). The indexing formula is explicit and must be applied to determine annual amounts (s 18(4)). Failure to plan for these payments is a financial risk.

12. Temporary construction powers but tree protection and duty to repair

• During the construction period, the Minister may enter the adjacent area and undertake wide powers "despite any other Act or law," but the Minister may not remove or damage trees and must take reasonable measures to make good damage at the end of the construction period (s 20(1), (3)-(4)). The "despite" clause creates broad temporary authority but with environmental and repair limits that must be complied with.

13. Time‑sensitive obligations and past deadlines

• The Act includes fixed dates that have passed (for example the Minister had to grant a sublease to SMA by 15 March 2012 per s 5(10)). Parties should confirm whether those statutory deadlines were complied with historically and how current rights reflect statutory performance.

14. Limited express sanction provisions

• The Act does not include a broad penalty schedule for many breaches (for example if the Minister fails to lay the sublease before Parliament, the Act requires the Minister to do so but does not provide an express penalty). Enforcement is predominantly administrative and reputational rather than criminal, except where the statute expressly renders acts void (s 12).

15. Council rates exemption changes municipal revenue bases

• Designated land is exempt from council rates under the Local Government Act 1999 (s 11(5)-(6)), which can alter municipal revenue and service funding expectations in affected wards.

16. State Planning Commission overarching powers

• The Commission can direct changes to licences or management plans and its directions have effect despite Chapter 11 management plans and the Adelaide Park Lands Management Strategy (s 7(13)(b)(i)). Where parties expect to rely on local management plan protections, those can be displaced by SPC directions.

Each of these features can materially affect transaction structuring, budgeting, environmental approvals, commercial planning, and contestability for event‑day services. Parties should map these statutory constraints to their commercial models and compliance flows.

This checklist converts the Act’s mandatory provisions into practical compliance actions for the main actors: Minister’s office, Council, SMA, SACA/SANFL, Treasurer, Auditor‑General, and contractors. Cite the statute sections for each action.

For the Council

• On any Minister request, prepare to grant a lease over the Core Area or a licence over the Licence Area within 30 days (s 4(1)-(2); s 7(1)-(2)). Create an internal workflow to record requests and Ministerial correspondence and note any Ministerial extensions granted.
• Do not grant a prescribed lease, licence or approval in the adjacent area that is for a business purpose and confers event‑day rights without SMA consent; implement an internal pre‑grant checklist to obtain SMA consent or to decline (s 12(1)-(2)).
• If Victor Richardson Road closure effects apply, update council land registers and plan for park management responsibilities consistent with the vesting in s 14.
• If asked to amend a Chapter 11 management plan affecting the Licence Area after 1 July 2011, obtain the Minister’s approval before treating the amendment as applicable under s 7(11).

For the Minister and Ministerial officers

• When requesting a lease or licence, document consulting steps with the Council as required by s 4(3)(b) and s 7(3)(c).
• Ensure that any head lease for the Core Area includes express obligations to maintain the Adelaide Oval name, scoreboard, and the minimum 1,200 m2 open space at the northern end, and that temporary exceptions are documented (s 4(5)-(6)).
• If planning to grant a sublease to SMA, ensure laying copies of the sublease before both Houses within six sitting days and maintain proof of lodgement for parliamentary records (s 5(6)-(7)). Do the same for licences and sub‑licences under s 7(17).
• If exercising construction period powers in the adjacent area (s 20), document the scope and duration, ensure tree protections are observed (s 20(3)), and record remediation plans and budgeting for the required "make good" obligations at construction end (s 20(4)).
• Prepare and publish the Public Transport Plan within 12 months, including a plan to achieve the 70% public transport target (s 15(1)-(3)), and lay copies before both Houses within six sitting days.

For SMA (operational and financial compliance)

• Establish a sinking fund as soon as practicable after the sublease is granted (s 6(1)). Maintain proper accounts and records of all revenues and expenditures of the sinking fund (s 6(2)).
• By 1 September each year, report to the Minister the previous financial year’s payments into and out of the sinking fund and proposed payments for the current financial year (s 6(3)). Ensure timing and substance of reports meet statutory requirements.
• Consult with the Treasurer before the Treasurer issues determinations on sinking fund contributions and be prepared to comply with the Treasurer’s determination when given (s 6(4)).
• Be ready for Auditor‑General audits of the sinking fund and of SMA’s accounts annually; implement internal audit and compliance controls to ensure funds are only used for permitted non‑recurrent purposes (s 6(5)-(6); s 9(3)-(4)).
• Budget for the special annual sublease fee schedule: escalating amounts for 2015/16 to 2019/20 and thereafter $1,000,000 indexed per year while SMA holds a sublease (s 18(1)-(4)). Set up payment schedules to ensure amounts are paid to the Treasurer by 31 July immediately following the end of each financial year (s 18(2)).
• Keep records to demonstrate compliance with the Treasurer’s determinations and with permitted uses of sinking fund monies to reduce the risk of Auditor‑General adverse reporting (s 6(7)).

For SACA and SANFL

• Ensure their license arrangements under s 5(4) are properly recorded and that the Minister’s licences preserve exclusive seasonal rights as intended. Maintain schedules and documentation that specify the designated periods (s 5(8)).
• If SACA occupies Core Area under interim arrangement, ensure any terms agreed with the Minister are in writing and coordinate with the Minister to confirm handover conditions once SMA’s sublease is finalised (s 19).

For the Treasurer’s office

• Establish and publish internal procedures to consult with SMA and timely determine sinking fund contributions by the statutory schedule (s 6(4)). Ensure the Treasurer’s determinations and rationale are documented.
• Set up administrative processes to receive SMA’s statutory payments and to transfer them into the Sport and Recreation Fund for the Active Club Program or a successor program (s 18(2)-(3)).

For the Auditor‑General

• Prepare to exercise audit powers under Part 3 of the Public Finance and Audit Act 1987 in relation to SMA’s accounts and the sinking fund, including ad hoc audits and yearly examinations (s 6(5)-(6); s 9(2)-(4)).
• Implement reporting templates and timelines to deliver designated‑period reports to the President of the Legislative Council and the Speaker of the House of Assembly within two months after the end of each designated period (s 9(1), s 9(5)-(6)). Ensure publication requirements are observed (s 6(8); s 9(6)).

For contractors and developers

• Confirm whether proposed works are within the "ambit" of redevelopment as defined in s 10(3) to determine if they are deemed‑to‑satisfy development under the Planning, Development and Infrastructure Act 2016. If so, coordinate approvals with the State Planning Commission, which is the relevant authority (s 10(3)-(4)).
• During the construction period, obtain ministerial authorisation and coordination before entering adjacent area land, and plan to avoid tree damage; budget for remediation obligations (s 20(1), (3)-(4)).

Record‑keeping and audit readiness

• All parties should maintain contemporaneous records of consultations, determinations, financial transactions, maintenance actions (e.g. scoreboard and open space maintenance), and permission instruments deposited in GRO (s 16-17). Those records are required to give effect to the Act and will be relevant for Auditor‑General audits and parliamentary scrutiny (s 6; s 9; s 5(6); s 7(17)).

Dispute and review preparedness

• If the Council considers the Minister unreasonable about licence terms, or the Minister considers a management plan provision unreasonable, either may apply to the State Planning Commission for review (s 7(4); s 7(12)). Parties should be prepared to present reasoned evidence and administrative rationales to the Commission and to comply with any directions made (s 7(5); s 7(13)).

Practical checklist (summary)

• Council: grant lease/licence on request; withhold prohibited adjacent grants; update land registers for Victor Richardson Road.
• Minister: specify terms, ensure scoreboard/name/open space obligations, lay agreements before Parliament, prepare Public Transport Plan.
• SMA: establish and account for sinking fund; report by 1 Sept; comply with Treasurer determinations; pay annual sublease fees by 31 July.
• SACA/SANFL: formalise seasonal exclusive use licences; maintain schedules.
• Treasurer: determine sinking fund contributions; receive and allocate special fees to Sport and Recreation Fund.
• Auditor‑General: audit annually and prepare designated‑period reports.
• Developers/contractors: coordinate with Minister and SPC; observe tree protections; budget remediation.

Following these steps aligns operational practices with the Act’s express requirements (s 4-7; s 6; s 9; s 15; s 18; s 20; s 16-17). Failure to adhere invites administrative invalidity (s 12), Auditor‑General reporting (s 6; s 9), parliamentary scrutiny and potential legal challenge.
