Adelaide Festival Theatre Act 1964

The Act organises a small number of legal and financial building blocks. First, it creates statutory authority for the council to build and provide a theatre complex and to incur specified expenditure and borrowings to that end (s 3). That power is not unlimited: designs require Ministerial approval (s 3(3)), and borrowing is capped when secured against general rates (s 3(5)). The statutory deeming of the Festival Theatre as a permanent work for Local Government Act 1934 purposes (s 3(2)) has significance for treatment under local government law, including asset classification and likely implications for financing and rates security under the Local Government Act framework.

Second, the Act establishes a defined public financing scheme. It contemplates a bipartite cost allocation for construction costs up to a specified cap, with the State bearing two‑fifths and the council three‑fifths up to £1,000,000, and the council bearing any excess beyond that cap (s 5(2)). The Treasurer is authorised to make up‑front payments, and the council has a statutory obligation to repay part of those up‑front payments and interest according to a schedule determined by the Treasurer so that liabilities are discharged over thirty years as prescribed (s 5(3)-(4)). Later sections (s 7 and s 7A-7C) modify and expand the Treasurer’s payment authority and set out consequences of transferring operational control to the Adelaide Festival Centre Trust, including that after vesting day no further moneys shall be payable by the Treasurer under s 7 except to satisfy prior liabilities (s 7A(1)).

Third, the Act constructs a donor fund and trustee regime. The Adelaide Festival Theatre Appeal Fund is to have two trustees, appointed one by the Lord Mayor and one by the Treasurer (s 17(1)). The trustees’ duties are administrative and financial: take donations, deposit funds in an ADI, invest surplus on advantageous terms, render accounts to the Treasurer and Lord Mayor when required, pay $100,000 to the council, and, at the council’s request, pay for works of art (s 17(3)-(4)). On vesting day trustees must transfer any remaining funds to the Adelaide Festival Centre Trust and works of art purchased from the fund vest in that Trust (s 17(4a)-(4c)). Trustees receive statutory immunity from suit for acts done in exercise or purported exercise of their functions (s 17(5)).

Fourth, the Act contains land title restructuring. It cancels and revests land previously vested in the South Australian Railways Commissioner and ceases prior appropriations, causing some parcels to revest in the Crown freed from trusts and some to vest in the council in fee simple free of trust (s 12-15). Section 16 directs the Registrar‑General to give effect to those changes by making entries and issuing certificates of title without the need for title investigation or public advertisement (s 16(1)). The Act also specifies that certain land once revested in the Crown or vested in the council shall not be under the care and control of the council notwithstanding anything in any Act (s 15(3)).

Fifth, dispute resolution and payment mechanics are specified. Disputes between the Treasurer and council about money payable under the Act go to arbitration under the Arbitration Act 1891 (s 10). All Treasurer payments must be made out of monies appropriated to a deposit account at Treasury or subsequently appropriated by Parliament for the purpose (s 9), creating a parliamentary appropriation requirement as a precondition to spending.

Finally, the Act contains transitional provisions and amendment hooks: the definitions and sections referring to the vesting day link to the Adelaide Festival Centre Trust Act 1971 (s 2), and multiple amending Acts altered financial caps and administrative provisions over the 1970s and later (legislative history). These main concepts combine statutory authorisation to build and finance, detailed payment/repayment mechanics, donor fund governance, land vesting mechanics, and a specific dispute and payment‑appropriation regime.

Primary duty‑bearers and beneficiaries are clearly spelled out in the statute. The immediate implementer is the council of The Corporation of the City of Adelaide, which is authorised to construct, own and manage the Festival Theatre until vesting day (s 3(1), s 4). The council is also the entity that must bear specified portions of construction cost, may borrow on the security of general rates (s 3(5)), is liable to repay portions of Treasurer payments with interest according to the schedule determined by the Treasurer (s 5(4)), and retains obligations arising from sale or dealing with the Carclew property, including allocation of proceeds to the Treasurer reflecting past Government contributions (s 6(3)-(4)). The council is therefore the principal payer, borrower and asset manager within the statutory framework.

The Treasurer of South Australia is a central financial actor. The Treasurer approves designs particulars per s 3(3) insofar as the Minister (the text uses “Minister”) approves designs , the Act delegates design approval to the Minister (s 3(3)) , and the Treasurer is authorised to make direct financial payments to the council under the Act, up to the financial ceilings set out (s 5(1), s 5(3), s 7(1), s 7B). The Treasurer also determines repayment schedules and the time and manner of instalments for council repayments under s 5(4). The Treasurer has power to consent to sale or dealing of the Carclew property by the council (s 6(3)), and is a party to the arbitration procedure for disputes about money payable under the Act (s 10).

The Adelaide Festival Centre Trust becomes relevant at vesting day. The Act defines vesting consequences for funds and works of art: trustees must pay any balance of the Appeal Fund to the Trust as soon as practicable after the vesting day (s 17(4a)), works of art purchased from the fund vest in the Trust on vesting (s 17(4b)), and monies transferred by trustees to the Trust pass freed from any trust and must be applied to purchase or acquire works of art for the Theatre or purposes ancillary thereto (s 17(4c)).

Donors and the trustees appointed to manage donor monies are affected by the statutory obligations in s 17. The Act prescribes trustees (one appointed by the Lord Mayor, one by the Treasurer) and requires trustees to deposit donations in an ADI, place surplus on advantageous terms, render accounts to Treasurer and Lord Mayor when required, and make specified payments to the council and to the Trust at vesting (s 17(1), (3)-(4a)). Trustees are insulated from suit for acts done in exercise or purported exercise of their powers (s 17(5)), materially affecting donors’ recourse if trustees act negligently in the exercise of their functions.

Property holders with title interests in affected parcels are directly affected by Part 4. The South Australian Railways Commissioner loses or has limited interest in land subject to the grant cancellation and revesting (s 12-15). The Registrar‑General is under a statutory duty to register the vestings and issue certificates of title without further investigation or advertised notice on application by the council, the Railways Commissioner or the Minister (s 16(1)). Entities and persons dealing with the Carclew property or the specified sections of park/rail land may find titles altered, revested or appropriations ceased (s 12-15).

Other statutory instruments and authorities are implicated. The Local Government Act 1934 is invoked by deeming the Festival Theatre a permanent work (s 3(2)), which may affect local government accounting, rates security, and asset classification rules under that Act. The Arbitration Act 1891 is applied to disputes under s 10, and the Registrar‑General provisions intersect with the Real Property Act 1886 and the Registration of Deeds Act 1935 as defined in s 16(2).

Finally, Parliament and public finance structures are indirectly affected. Section 9 requires Treasurer payments to be made out of monies appropriated by Parliament to a deposit account for the purpose, or subsequently appropriated, tying the Act’s implementation to the appropriation process. The amendments recorded in the legislative history (1970, 1973, 1974, 1975, 1999) also affect how parties interact with the statute over time.

The Act imposes express duties on several actors and confers particular rights and discretions.

Council duties and rights

• Right to construct and provide the Festival Theatre and associated works, furniture, fittings and equipment on council‑held or acquired land (s 3(1)). The council may take all incidental or necessary actions for that purpose (s 3(1), s 4).
• Duty to construct in accordance with designs approved by the Minister (s 3(3)).
• Right to expend revenue on the Theatre’s construction and maintenance where the cost was incurred before the vesting day (s 3(4)).
• Right to borrow up to $1,800,000 secured on general rates without further authority (s 3(5)). That is an explicit borrowing power in addition to other borrowing powers.
• Repayment obligation: as each Treasurer payment under s 5(3) is made, the council becomes liable to repay one half of the amount of that payment and to pay interest on the capital indebtedness at £4 10s. per centum per annum, with repayment over a thirty year schedule as determined by the Treasurer (s 5(4)).
• Duty in relation to the Carclew property: with Treasurer consent, the council may sell or otherwise deal with the property but must deduct attributable current expenditure from sale proceeds and pay to the Treasurer an amount bearing the same ratio as the Government's contribution to Carclew expenditure (s 6(3)-(4)).

Treasurer duties and discretions

• Discretion to approve payments for site acquisition and construction assistance, subject to the Act’s caps: up to £100,000 for site purchase (s 5(1)); and payments under s 5(3) toward four‑fifths of the capped cost for construction up to £1,000,000 (s 5(3)). Later sections create other payment authorities and limit further payments after vesting day (s 7, s 7A(1)).
• Duty to determine the time and manner of instalments and repayment schedule for council liabilities, and to set the first repayment date after the thirtieth day of June in the year of completion (s 5(4)).
• Power to require payments from proceeds of Carclew property sales pursuant to the formula in s 6(4) after deduction of current expenditure (s 6(3)-(4)).
• Duty to make payments only from monies appropriated by Parliament to a deposit account or subsequently appropriated (s 9).

Ministerial role

• Minister must approve designs for the Festival Theatre and may require particular details in those designs (s 3(3)). The statute does not specify appeal rights or judicial review parameters within the Act text itself.

Trustees and donors

• Trustees: two trustees, appointed one by the Lord Mayor and one by the Treasurer (s 17(1)). Trustees must receive donations, deposit donations in an ADI, invest surplus on advantageous terms, and render accounts to Treasurer and Lord Mayor when required (s 17(3)).
• Trustees must pay $100,000 to the council from the fund, and at the council’s request pay amounts from the remaining balance for acquisition of works of art, with council receipts being a complete discharge (s 17(4)(a)-(b)).
• Trustees must transfer any remaining balance to the Adelaide Festival Centre Trust on the vesting day, with the Trust’s receipt being a full discharge and the monies passing freed from any trust to be used for works of art connected to the Festival Theatre (s 17(4a)-(4c)).
• Trustees are statutorily protected from action for acts done in the exercise or purported exercise of their powers (s 17(5)).

Registrar‑General

• Duty to make entries and endorsements in registers and to issue certificates of title to give full effect to the land vesting provisions without being obliged to make any further investigation of title or make any public advertisement, upon application by the council, the Railways Commissioner or the Minister (s 16(1)). Definitions link this duty to the officer holding the office under the Real Property Act 1886 or the Registrar‑General of Deeds under the Registration of Deeds Act 1935 (s 16(2)).

Rights to arbitration and appropriation constraints

• Right to have disputes between the Treasurer and the council about monies payable resolved by arbitration under the Arbitration Act 1891 (s 10).
• Payments by the Treasurer are constrained to appropriated monies (s 9), creating a budgetary control and a procedural right held by Parliament to control funding through appropriation.

No criminal penalties specified

• The Act does not create criminal offences or fines within its text for breach of these duties. Enforcement levers are financial, administrative and through arbitration as specified (see s 5, s 6, s 9, s 10, s 17).

These duties and discretions create operational dependencies: the council’s borrowing and repayment obligations interact with Treasurer approval and appropriation; trustees’ immunities and discharge mechanics limit donors’ remedies; the Registrar‑General’s power to effect title changes on application compresses judicial or public notice processes. The Act sets out who decides, who pays, and how accountability is to be exercised, principally through administrative direction and Treasury control.

The Act’s enforcement regime is primarily financial, administrative and contractual rather than criminal. The statute contains no express criminal offences, pecuniary fines or imprisonment provisions in the text supplied. Enforcement and remedial mechanisms in the Act therefore operate through a small set of statutory devices.

Repayment obligations enforceable against the council

• The council is contractually and statutorily obliged to repay one half of each Treasurer payment under the arrangements created by s 5(3)-(4). Interest is payable on outstanding capital indebtedness at the fixed rate specified in the Act, historically stated in pounds and shillings (s 5(4)). The Treasurer determines the instalments and the timing of payments so long as the repayments are structured to discharge liability over thirty years from the fixed date (s 5(4)). The Act does not set out enforcement steps for non‑payment beyond this prescription, but the repayment obligations are expressed as liabilities of the council.

Treasurer appropriations and conditional payments

• Payments by the Treasurer are dependent on appropriations: s 9 states that all payments by the Treasurer authorised by the Act (as in force after the commencement of the 1970 amending Act) shall be paid out of monies appropriated to a deposit account at Treasury for the purpose prior to the commencement of the 1970 amending Act, or subsequently appropriated by Parliament. That creates a parliamentary spending control and a practical enforcement constraint: without appropriation the Treasurer lacks authorised funds to make the statutory payments. Where appropriation is absent, a procedural enforcement gap arises because the Act constrains payments to appropriated funds.

Arbitration as dispute resolution

• Section 10 requires arbitration for disputes between the Treasurer and the council about monies payable under the Act. The Arbitration Act 1891 is made applicable, meaning that monetary disputes are to be resolved by private arbitral process rather than the ordinary courts (s 10(1)-(2)). This provides an enforcement path for determining monetary liabilities and presumably enforcing awards pursuant to the Arbitration Act framework.

Land vesting: Registrar‑General actions and title changes

• The Registrar‑General is directed to make entries and issue certificates of title to give effect to the vestings without further investigation or public advertisement upon application (s 16(1)). The statutory instruction to the Registrar‑General is a direct administrative enforcement mechanism for title transfer and prevents impediments such as title inquiries or advertising delay. This gives effect to Parliament’s land transfers through administrative action rather than judicial process.

Trustees’ immunity and receipts as discharge

• The trustees’ receipt for moneys paid pursuant to s 17(4)(b) is a "good and sufficient discharge" to the trustees of their duty under the section and the trustees are not obliged to satisfy themselves as to the application of moneys so paid (s 17(4)(b)). Further, s 17(5) prohibits actions or proceedings against trustees for acts done in exercise or purported exercise of their powers. Together these clauses limit legal remedies against trustees and reduce potential avenues of enforcement by third parties should trustees misapply funds.

Statutory constraints and residual obligations

• The Act includes provisions that free the council from certain liabilities in later amendments (e.g. s 7C(1)(a) frees the council from liability to make further payments to the Treasurer under subsection 5(4) as modified), and requires the Treasurer to reimburse some amounts expended or set aside by the council (s 7C(1)(b)). These amendment provisions alter enforcement exposure but do not create criminal sanctions.

Absence of penalty mechanisms

• Because the Act lacks express criminal sanctions, non‑performance typically results in financial and administrative consequences rather than penal sanctions. For example, failing to repay amounts to the Treasurer would create a financial liability and likely lead to recovery proceedings consistent with public finance practice, or be finally determined via arbitration if the dispute concerns monies payable by the Treasurer to the council (s 10). The Act does not specify recovery procedure for council non‑repayment beyond these structures.

In practical terms, enforcement will be exercised through Treasury control over payments and appropriations (s 9), contractual and statutory repayment obligations attached to council liabilities (s 5), administrative title changes via the Registrar‑General (s 16), and arbitration for monetary disputes between the Treasurer and the council (s 10). Trustees enjoy statutory protection reducing private enforcement against them (s 17(4)(b), (5)). The Act’s enforcement architecture therefore privileges administrative and financial levers and dispute resolution mechanisms over criminal or civil penalty regimes.

The Act expressly links to multiple other statutes and administrative frameworks, creating a web of legal interaction.

Local Government Act 1934

• The Festival Theatre is declared a permanent work for the purposes of the Local Government Act 1934 (s 3(2)). That deeming will influence how the Festival Theatre is treated under the Local Government Act’s rules for local authority assets, potentially affecting borrowing security, accounting, rates policy and asset categorisation. The Act therefore operates as a subordinate asset‑classification instrument under the Local Government Act regime, although the precise effects depend on the provisions of the Local Government Act itself which are not set out in the source text.

Adelaide Festival Centre Trust Act 1971

• The Act defines the "vesting day" as the vesting day fixed pursuant to s 28A of the Adelaide Festival Centre Trust Act 1971 (s 2). Multiple provisions use the vesting day as a trigger for transferring obligations and ownership (s 4, s 7A, s 17(4a)-(4c)). The transfer of operational responsibility and the financial consequences are therefore contingent upon the separate statutory mechanism under the Adelaide Festival Centre Trust Act 1971.

Real Property Act 1886 and Registration of Deeds Act 1935

• Section 16 employs the office of the Registrar‑General under the Real Property Act 1886 or the Registrar‑General of Deeds under the Registration of Deeds Act 1935 and directs the Registrar‑General to make entries and issue certificates of title to give full effect to vestings without further title investigation or public advertisement (s 16(1)-(2)). That cross‑reference collapses procedural steps under land registration law to expedite statutory vestings mandated by the Act.

Municipal Corporation Act 1890 and Adelaide Park Lands Act 1928

• The Act refers to the land appropriated as City Public Baths in s 368 of The Municipal Corporation Act 1890 and to section 3 of the Adelaide Park Lands Act 1928 in relation to land vested in the South Australian Railways Commissioner (s 12, s 13). By canceling certain land grants and revesting land in the Crown or the council (s 12-15), the Act displaces earlier statutory appropriations and vestings under those Acts and alters land management responsibilities.

Arbitration Act 1891

• Section 10 requires disputes between the Treasurer and council in relation to money payable under the Act to be decided by arbitration and provides that the Arbitration Act 1891 applies to those disputes as if the Treasurer and the council were parties to a submission (s 10(1)-(2)). This diverts contested financial questions from the ordinary court process into the arbitration machinery under that Act.

Parliamentary appropriation framework

• Section 9 conditions Treasurer payments on appropriation to a deposit account or subsequent appropriation by Parliament. The Act therefore interacts with public finance and appropriation law: the Treasurer cannot lawfully pay unless Parliament has appropriated funds to the specified account or later appropriated for the purpose (s 9). This creates accountability to Parliament within the Act’s funding mechanics.

Financial sector and ADI regime

• Section 17(3)(b) requires trustees to deposit donations in an ADI. The term ADI is anachronistic to the 1964 text and reflects amendment (see legislative history noting an amendment in 1999). Nevertheless, this provision links trustee operations to authorised deposit‑taking institutions and the prudential regime that governs them, with implications for where donors’ monies are held and the regulatory environment for deposit takers.

Interaction constraints and overrides

• The Act expressly states that certain land revestings and care/control exclusions apply "notwithstanding anything in any Act" (s 15(3)). That phrasing indicates express parliamentary priority in respect of those parcels, displacing contrary management arrangements under other statutes. The Registrar‑General’s limited investigatory obligation (s 16(1)) also reduces procedural overlap with title investigation and public notice regimes in other land law instruments.

Amendment interplay

• The legislative history shows multiple amending Acts (1970, 1973, 1974, 1975, 1999) that altered financial ceilings, obligations and technical terms. Those amendments interact with the Act’s original provisions and the wider statutory environment, for example changing currency references from pounds to dollars and adjusting trustee duties (s 17(3) as amended by 33/1999 Sch (item 3)). The Act therefore must be read against its amendment history to understand current interaction with the financial and registration regimes.

In sum, the Act is not a stand‑alone instrument: it integrates with local government law (deeming and financing), land registration law (Registrar‑General instructions), park and rail land legislation (vesting overrides), arbitration practice (Arbitration Act), appropriation and Treasury practice (s 9), and the financial/deposit regulatory environment for trustees (s 17(3)). Those interactions allocate authority between Parliament, Treasury, Minister, council and the Adelaide Festival Centre Trust and can produce overlapping administrative responsibilities that need coordination.

The legislative history attached to the source sets out the Act’s principal amendments and name changes. The original Act, assented on 30 October 1964, was titled the Adelaide Festival Theatre Act 1964 (formerly Festival Hall (City of Adelaide) Act 1964). Subsequent amendments recorded in the consolidated history are:

• 1970 , The Festival Hall (City of Adelaide) Act Amendment Act 1970 (No. 45 of 1970). Assent: 10 December 1970. Commencement: 10 December 1970. This amending Act is referenced throughout the text, particularly in Part 4 (land vesting) and in transitional provisions (see s 6, s 12-16, s 17(2)). The 1970 amending Act appears to have triggered the reworking of vestings, grant cancellations and procedural changes for the land and related title entries.

• 1973 , Adelaide Festival Theatre Act Amendment Act 1973 (No. 66 of 1973). Assent: 6 December 1973. Commencement: 13 December 1973 (Gazette 13.12.1973 p3266). Section 7 of the principal Act and other financial provisions show dollar figures consistent with later amendments, suggesting that the 1973 amendment introduced or altered dollar‑based funding ceilings. The Act itself references the Adelaide Festival Theatre Act Amendment Act 1973 in the text (s 7).

• 1974 , Adelaide Festival Theatre Act Amendment Act 1974 (No. 99 of 1974). Assent and commencement date both 5 December 1974. Section 7C is a product of the 1974 amendments, freeing the council from certain repayment liabilities from that date and directing periodic reimbursement by the Treasurer out of General Revenue for certain amounts expended or set aside by the council on or after 1 July 1974 (s 7C(1)).

• 1975 , Adelaide Festival Theatre Act Amendment Act 1975 (No. 108 of 1975). Assent: 20 November 1975. Commencement: 20 November 1975. The legislative history lists this amendment but the source text does not set out which sections were altered by that amending Act; the overall consolidated Act includes the 1975 changes.

• 1999 , Financial Sector Reform (South Australia) Act 1999 (No. 33 of 1999). Assent: 17 June 1999. Commencement: specified items. The legislative history notes that s 17(3) was amended by 33/1999 Sch (item 3), commencing 1 July 1999. That amendment introduced the ADI deposit requirement in s 17(3)(b) and altered the trustees’ financial duties to reference an Authorised Deposit‑taking Institution, aligning trustee deposit practice with contemporary financial sector regulation.

The legislative history also notes that provisions prior to 3 February 1976 are detailed in earlier marginal notes and footnotes included in the consolidation of the Act in Volume 1 of The Public General Acts of South Australia 1837-1975. The consolidation table in the source identifies entries: the Act was formerly titled Festival Hall (City of Adelaide) Act 1964, and the principal Act and its amendments are listed with assent and commencement dates as above.

Several consequential and transitional provisions in the body of the Act refer explicitly to amending Acts by name (for example s 6 repeatedly references the 1970 amending Act and s 7A refers to vesting consequences). Section 17 has amendments recorded, with s 17(3) explicitly amended in 1999. Sections have been omitted under legislation revision and publication in the past (the notes indicate s 1A omitted), and the schedule and marginal notes record the history to aid statutory interpretation.

This amendment history matters when reading substantive financial caps and terms, because some monetary figures remain in pounds and shillings (reflecting the 1964 framing) while later provisions use dollars. The Act as consolidated therefore must be read alongside the amending Acts and commencement dates to identify which numerical caps and transitional rules are operative at any given time.

The source text supplied contains no reported cases, judicial interpretations, or litigation history concerning the Adelaide Festival Theatre Act 1964. The Act’s consolidation includes a legislative history and notes on amendments but does not include citations to any court decisions. The statutory text itself does not reference judicial review, declaratory relief mechanisms or case law.

Because the Act directs arbitration for disputes between the Treasurer and council in relation to money payable (s 10), monetary disputes under the Act were designed to be resolved by arbitration under the Arbitration Act 1891 rather than by ordinary court proceedings. The Act thereby channels a subset of potential litigation into arbitration.

Absent court decisions in the source, there are no statutoryly‑recorded judicial constructions or precedents for key provisions such as the Ministerial approval power for designs (s 3(3)), the meaning and application of the vesting day (s 2 as linked to Adelaide Festival Centre Trust Act 1971), the Registrar‑General’s duty to make title entries without investigation (s 16(1)), trustee immunity (s 17(5)), or the mechanics of repayment schedules under s 5(4). Practitioners must therefore rely on the statute’s plain language and, if further clarity is required, on contemporary case law interpreting analogous provisions elsewhere or on legal advice, but such external authorities are not contained in the source.

The absence of litigation records in the supplied text does not mean no disputes arose historically, but it does mean the Act’s source consolidation does not report or incorporate any judicial determinations. For any actual disputes or precedent research, practitioners must consult case databases or historical reports beyond the text provided.

The Act contains several practical traps and technical particulars that can catch implementers, financiers and advisers if overlooked.

Mixed currencies and historical interest mechanics

• The Act retains sums and an interest rate expressed in pre‑decimal currency in s 5: amounts in that section appear as £100,000 and £1,000,000 and an interest rate expressed as "£4 10s. per centum per annum" (s 5(1), s 5(2), s 5(4)). Later sections (for example s 7 and s 7B) use dollar amounts. The coexistence of pound‑denominated and dollar‑denominated provisions may create confusion about which numeric caps and rates apply at particular times and requires careful attention to amendment dates. Practitioners should verify which figures are operative as a matter of statutory amendment and commencement history.

Treasurer discretion over repayment scheduling

• Section 5(4) delegates to the Treasurer the determination of the amount of each instalment and the time and manner of payment, subject to the thirty‑year total discharge requirement and a start date after the relevant thirtieth of June. This gives the Treasurer considerable control over the council’s cashflow and debt service profile. While the repayment obligation is mandatory, the Treasurer’s discretion over scheduling can materially affect the council’s budget planning.

Borrowing secured on general rates without further consent

• The council may borrow up to $1,800,000 on the security of general rates without any further authority (s 3(5)). That is an express statutory security arrangement and potentially bypasses other approval mechanisms. Practitioners should note the precise limit and ensure borrowings are recorded and secured in accordance with the Local Government Act and other applicable regulatory requirements.

Carclew property proceeds allocation

• The Act defines "Carclew expenditure" and requires, on sale of the Carclew property, that the council deduct current expenditure attributable to the sale and then pay to the Treasurer an amount from the remainder bearing the same relationship as the Government’s contribution bears to the Carclew expenditure (s 6(3)-(4)). The statute leaves the council with a degree of subjective computation: the council may deduct that portion of current expenditure "as, in the opinion of the council, is attributable to such sale or dealing" (s 6(3)). That introduces a governance risk where the council’s internal allocation choices affect the quantum payable to the Treasurer.

Trustees’ immunity and discharge mechanics

• Trustees’ receipt is an absolute discharge for their duty to pay moneys (s 17(4)(b)), and s 17(5) bars actions or proceedings against trustees for acts done in exercise or purported exercise of their powers. This limits donor remedies in the event of misapplication of funds and reduces checks on trustees’ exercise of discretion, especially given trustees are only two people appointed by the Lord Mayor and the Treasurer respectively (s 17(1)). Donors and auditors should note the limited statutory recourse.

Registrar‑General’s limited investigatory duty

• Section 16(1) instructs the Registrar‑General to make entries and issue certificates of title to implement the vestings "without being obliged to make any further investigation of title or to make any public advertisement." This expedites registration but bypasses customary safeguards; practitioners should ensure applications to the Registrar‑General are robust and that interested parties are notified by other means where appropriate.

Vesting day triggers and transitional complexity

• Many provisions are tied to the vesting day (s 2): the council’s care and control continues until the vesting day (s 4), trustees must transfer balances to the Trust "as soon as practicable after the vesting day" (s 17(4a)), and s 7A curtails further Treasurer payments after vesting day. Determining the vesting day requires reference to the Adelaide Festival Centre Trust Act 1971 and any instrument fixing that date. Failure to coordinate dates and administrative steps can produce timing mismatches for payments, asset transfers and obligations.

Appropriation constraint

• Section 9 conditions Treasurer payments on prior appropriation to a deposit account or subsequent appropriation. Practically, this means that even though the Act authorises payments, the Treasurer cannot disburse funds without parliamentary appropriation, creating potential timing and cashflow issues. Parties should not assume statutory authorisation equals immediately available funds.

Arbitration requirement for monetary disputes

• The Act routes disputes between the Treasurer and the council about monies payable into arbitration under the Arbitration Act 1891 (s 10). Arbitrating public finance disputes can produce different procedural outcomes than court litigation, including private determinations and the need to comply with the Arbitration Act framework. The arbitration clause limits public court scrutiny of financial disputes unless an arbitration award is challenged on limited grounds.

Specificity of certain payments

• Section 7B authorises a discrete payment to A.V. Jennings Industries (Australia) Limited not exceeding $42,840 for overtime payments in connection with construction. This is a narrow, contractually oriented provision; parties should ensure documentation supports such payments and that any conditions in the underlying arrangement with the Company are satisfied.

Taken together, these "gotchas" point to areas where statutory drafting confers administrative discretion, injects timing or currency complexity, or curtails ordinary protections and remedies. Practitioners advising any affected party should map vesting dates, check appropriations, confirm applicable monetary caps as amended, and document exercises of discretion by the council and the Treasurer to reduce legal and financial uncertainty.

The Act creates distinct compliance paths depending on the actor: council, Treasurer, Minister, trustees, Registrar‑General, donors and contractors. The following sets out practical steps, grounded in the statutory text, to comply with key duties.

For the council

• Ensure design documents for the Festival Theatre are submitted to the Minister and comply with any particulars the Minister requires, because construction must be in accordance with Minister‑approved designs (s 3(3)). Keep a traceable record of design approvals and any correspondence with the Minister.
• If relying on power to expend revenue for costs incurred before the vesting day, document dates and invoices showing when costs were incurred to avoid disputes under s 3(4).
• If borrowing, ensure total borrowings secured on general rates do not exceed $1,800,000 and maintain records demonstrating security on general rates consistent with s 3(5). Seek legal and financial advice to document the charge over rates in a form acceptable under local government borrowing rules.
• Track Treasurer payments received under s 5 and s 7 and calculate the council’s repayment obligation (one half of each Treasurer payment under s 5(4)). Maintain ledgers showing the capital indebtedness and interest calculations at the rate specified in s 5(4) unless superseded by amendments; coordinate with Treasury on the instalment schedule determined by the Treasurer.
• Before selling any portion of the Carclew property, obtain written consent from the Treasurer as required by s 6(3). When calculating "current expenditure" to deduct from sale proceeds, document the allocation methodology and rationale to support the council’s opinion as to the portion attributable to sale or dealing.
• Prepare for vesting day transfers: arrange for delivery of works of art acquired from the Appeal Fund to the Adelaide Festival Centre Trust and coordinate the handover of assets and records as works of art vest in the Trust on vesting day (s 17(4b), (4a)).
• Preserve documentation for amounts expended or set aside for repayment after 1 July 1974 if seeking reimbursement by the Treasurer under s 7C(1)(b), ensuring records tie the sums to the purposes stated in the Act.

For the Treasurer and Departmental staff

• Ensure payments authorised by the Act are made only from monies appropriated by Parliament to the specified deposit account or are subsequently appropriated, consistent with s 9. Maintain appropriation schedules and approvals before authorising disbursements.
• For payments and repayment scheduling under s 5(3)-(4), issue written determinations on instalment amounts, dates and methods of payment so the council can budget and comply. Retain copies of determinations to support administrative transparency.
• If exercising consent to sales of the Carclew property under s 6(3), set clear conditions and document the methodology for determining the Government’s contribution and required payments from sale proceeds per s 6(4).
• When disputes arise about monies payable, follow the arbitration requirements in s 10 and set in train arbitration under the Arbitration Act 1891.

For the Minister

• Assess and approve designs under s 3(3) according to any statutory particulars required. Give written approvals and specify particulars required of the design documents to create an audit trail.

For trustees of the Appeal Fund

• Maintain bank accounts with an ADI as required by s 17(3)(b). Keep records showing deposits of donations, placements of funds on advantageous terms, and evidence of account statements.
• Make the $100,000 payment to the council required under s 17(4)(a) and provide receipts that will be a good and sufficient discharge under s 17(4)(b). Document all payments and correspondence with the council to evidence compliance.
• At the council’s written request, pay amounts for works of art from the fund and obtain council receipts. Immediately on vesting day, transfer any remaining balance to the Adelaide Festival Centre Trust and obtain the Trust’s receipt (s 17(4a)). Prepare documentation showing the transfer and, where feasible, advise donors of the transfer in accordance with donor communications best practice, noting the statutory effect that transferred monies pass freed from any trust (s 17(4c)).
• Keep and render true accounts of moneys received and paid from the fund whenever required by the Treasurer and the Lord Mayor (s 17(3)(d)). Ensure availability of trustees’ records for inspection and auditing consistent with these obligations.

For the Registrar‑General

• On application by the council, the Railways Commissioner or the Minister, make the entries and endorsements and issue certificates of title necessary to give full effect to the Act’s vestings without further investigation or public advertisement (s 16(1)). Nevertheless, keep internal files evidencing the basis for entries to preserve administrative integrity and allow later verification if required.

For contractors and companies (e.g., A.V. Jennings)

• If seeking payment under an express statutory reimbursement (s 7B), ensure the contract and the evidence of overtime payments conforms to the arrangement described and retain documentation that supports the Treasurer’s decision to make payment up to $42,840.

General compliance practices

• Map vesting day and other key dates by reference to the Adelaide Festival Centre Trust Act 1971 so parties can sequence obligations (s 2, s 7A).
• Coordinate appropriation timing with Treasury to ensure funds will be available before incurring spend that relies on Treasurer payments (s 9).
• Keep robust records of all approvals, receipts, payments, consents and account statements to demonstrate compliance with the Act’s documentation requirements (s 17(3)(d), s 16(1), s 5(4)).
• Where disputes arise concerning sums payable between the Treasurer and the council, prepare for arbitration under the Arbitration Act 1891 by preserving correspondence, accounting records and statutory calculations tied to the payments in dispute (s 10).

Following these steps aligns administrative practice with the Act’s prescriptions. The Act confers significant discretions to the Treasurer and to the council and tight ties to parliamentary appropriation and vesting‑day sequencing; those are the practical levers to manage and document in order to comply and to reduce legal and financial uncertainty.
