LEGAL PRACTITIONER - conflict of interest - duty of loyalty - whether practitioner may act for party with interest adverse to former client.
- Before the Court is an application for orders restraining the firm of solicitors, Blake Dawson Waldron, ("BDW") from acting for the holder of 1,000 ordinary and 1,000 preference shares in Village Roadshow Limited in this proceeding and in Proceeding No. 7620 of 2003. The application is brought by Village Roadshow by summons filed on 16 December 2003. The shareholder is Boswell Filmgesellschaft MBH whom I shall refer to simply as Boswell. The grounds of the application depend upon the fact that BDW had previously been retained by Permanent Trustee Company Limited, whose interest is adverse to that of Boswell. The circumstances giving rise to the application may be stated as follows.
