Velos Global Markets Pty Ltd and Australian Securities & Investments Commission (Practice and procedure) [2025] ARTA 2705 (16 December 2025)
Respondent: Australian Securities and Investments Commission
Decision: The application for orders under s 32 of the Administrative Review Tribunal Act 2024 (Cth) is dismissed.
PRACTICE AND PROCEDURE - CORPORATIONS - application for stay of a decision - cancellation of Australian Financial Services License - whether a stay is desirable for the purpose of ensuring the effectiveness of the review - consideration of consequences on the parties - application dismissed
Corporations Act 2001 (Cth) s 915B
[27] The power to suspend or cancel an AFS licence should only be exercised having regard to the purpose of the legislative scheme. > > [28] The purpose of the legislative scheme is found in s760A and s1(2) of the ASIC Act. Relevantly to this matter, its purpose is to promote fairness, honesty and professionalism by those who provide financial services, as well as confident and informed participation of investors and consumers in the financial system. > > [29] Further, applying to ASIC under s913A and being assessed by ASIC under s913B is the only method approved by Parliament for obtaining an AFS licence. The legislative scheme does not allow for a person, in this instance Ms Huang, to obtain an AFS licence by buying a company that already holds an AFS licence. ASIC does not know if she has the fitness and propriety to control a business that carries on a financial services business under the licence because she did not apply to ASIC for the licence under s913A and was not assessed by ASIC under s913B. > > [30] I am satisfied that, in such circumstances, allowing the licence to continue so as to enable Velos Global Markets to launch a new financial services business will not promote fairness, honesty and professionalism by those who provide financial services, nor confident and informed participation of investors and consumers in the financial system. > > [31] There is nothing that Velos Global Markets can do to remedy this situation. I am therefore satisfied that the licence must be cancelled. If Velos Global Markets wishes to hold an AFS licence in the future, it will have to apply for one under s913A.[3]

(3) The order is subject to any conditions specified in the order.
(a) an order staying the operation of ASIC's cancellation decision dated 23 September 2025 until this Tribunal determines the review; or > > (b) an order permitting the applicant, for pre-launch activities only, to hold itself out as licensed for the limited purposes of vendor onboarding, insurance placement, banking arrangements and compliance build, with strict conditions.[5]
