1. One Nicholson Street Pty Ltd is joined as a party to the proceeding under s 60 of the Victorian Civil and Administrative Tribunal Act 1998 (Vic).

1. On 2 February 2024 a Land Tax Assessment Notice was issued to The Trust Company Limited (Trust Company) for land owned on 31 December 2023 for the period of 1 January 2024 to 31 December 2024, at the relevant valuation date of 1 January 2023.
2. The 2024 Land Tax Assessment contained 10 assessments that formed part of the subject property, 1 Nicholson Street, East Melbourne.
3. On 28 March 2024, M3 Property lodged an objection to the Site Value (SV) of the subject property.
4. On 12 June 2024, the subject property was sold to One Nicholson Street Pty Ltd (One Nicholson). The contract of sale was entered into on 20 September 2023 with settlement on 12 June 2024.
5. On 20 December 2024, the Trust Company lodged an application with VCAT seeking review of a deemed decision to the Site Value at the relevant date of 1 January 2023.
6. On 25 February 2025, a request was made by the applicant for the name of the applicant, the Trust Company to be substituted for One Nicholson. The applicant filed submissions on 21 March 2025 in support of the request for an amendment to the application.
7. The Valuer-General Victoria raised concerns with the applicant relating to the Tribunal's ability to make the requested order pursuant to s 127 of the Victorian Civil and Administrative Tribunal Act 1998 (Vic) (VCAT Act).
8. Following further discussions between the parties, the parties identified that an application pursuant to s 60 of the VCAT Act for One Nicholson to be joined as a party would not raise the Valuer-General Victoria concerns relating to jurisdiction.
9. On 29 April 2025, the parties signed the following Minute of Proposed Consent Orders:

1. The Tribunal made the following Orders following a Practice Day Hearing on 30 April 2025:

1. The Trust Company filed written submissions on 2 June 2025 in support of its application to join One Nicholson as a party to the proceeding.
2. On 13 June 2025, Valuer-General Victoria advised that it did not intend to file any submissions in reply as it does not resile from the Minute of Proposed Consent Orders filed by the parties on 29 April 2025.
3. In support of the application for joinder, the Trust Company submits:
   1. On 2 February 2024, the 2024 Land Tax Assessment Notice (No. 68768907) (Assessment Notice) was issued by the State Revenue Office, under which the total site value of the Property as at 1 January 2023 was $16,715,000.
4. Via Nomination Form dated 15 March 2024, Stamoulis Property Group nominated One Nicholson Street Pty Ltd ACN 675 642 154 as trustee for One Nicholson Street Trust (One Nicholson) as substitute Purchaser under the Contract of Sale, to take a transfer of the Property in lieu of Stamoulis Property Group. [2]:
5. One Nicholson was not the owner of the subject property on 31 December 2023, being the required date of ownership of land for the 2024 Land Tax Assessment. However, as the 2024 Land Tax Assessment Notice is for the period of 1 January 2024 to 31 December 2024, the Tribunal considers the following submission to be pertinent:
   1. Following nomination, the Applicant notified One Nicholson of the quantum of land tax payable under the Assessment Notice, which would be adjusted at settlement, and the pro rata land tax payable by One Nicholson calculated at $218,059.28. Accordingly, and significantly, One Nicholson incurred, and paid, a proportional component of the land tax payable under the Assessment Notice. [3]

Given One Nicolson has paid a portion of the 2024 Land Tax Assessment Notice (on a pro-rata basis) calculated at $218,059.28 based on the total SV of $16,715,000 at the relevant valuation date of 1 January 2023, that forms the valuation under review before the Tribunal; I am satisfied that One Nicholson has an interest in the proceeding and will be bound or have the benefit of, an order of the Tribunal in the proceeding.
7. The nature of the interest, a financial interest, is such that the outcome of this proceeding may affect both the applicant and One Nicholson.
8. Therefore, these orders give effect to the proposed minute of consent signed by the parties.
9. As this proceeding is already listed for a practice day hearing on 16 July 2025, there is no need to make the second proposed order by the parties.
