(a) an affidavit of Monica Lee Cooper, an accountant employed by the plaintiff, filed 18 December 2025;
(b) an affidavit of Ian George Stuart, a director and non‑executive chair of the plaintiff, filed 18 December 2025;
(c) an affidavit of Christopher Bryan James Achurch, the plaintiff's company secretary, filed 18 December 2025; and
(d) two affidavits of Belinda Sarah Giles, a lawyer employed by the plaintiff's solicitors, filed 18 and 19 December 2025.
(a) instruct Blackwall Legal to include a resolution seeking shareholder approval for Nexia's appointment; and
(b) inform Blackwall Legal that Star Minerals had changed its auditor.
Should an extension of time be granted to lodge the Form 315?
(a) Elderton gave notice of its resignation as auditor of Star Minerals on 28 November 2024. Their resignation took effect on 13 January 2025 when ASIC consented to their resignation.
(b) In breach of s 329(11) of the Act, Star Minerals did not lodge the requisite form (Form 315) within 14 days.
(c) Following the resignation of Elderton as auditor, the directors of Star Minerals complied with their obligations under s 327C(1) of the Act by appointing Nexia as auditor with effect from 15 January 2025. However, by reason of s 327C(2) of the Act, the appointment of Nexia to fill the casual vacancy only extended until the company's annual general meeting.
(d) At no stage did a shareholder nominate Nexia as auditor of Star Minerals nor was a resolution passed at the annual general meeting on 19 November 2025 appointing Nexia as auditor of Star Minerals.
(e) As a consequence, the effect of s 327C(2) of the Act is that Nexia ceased to hold office as auditor of Star Minerals following its annual general meeting.
(f) From this date, the directors of Star Minerals were required, pursuant to s 327C(3) of the Act, to take all reasonable steps to comply with, or to secure compliance with s 327C(1) to appoint an auditor to fill the casual vacancy. This has not occurred.
(a) the proposed validation orders are framed in a declaratory form;
(b) the act, matter or thing has been identified; and
(c) the contravention has been identified.
Will making the orders cause any substantial injustice?
Should the court exercise its discretion to grant the relief sought?
Should orders be made to relieve the company and its officers from civil liability?
I certify that the preceding paragraph(s) comprise the reasons for decision of the Supreme Court of Western Australia.
