(This judgment was delivered extemporaneously and has been edited from the transcript to include references, headings and to correct matters of grammar and expression.)
(a) orders for relief from personal liability for debts incurred in relation to a funding deed (Funding Deed) entered into today with the Australia and New Zealand Banking Group Limited (ANZ);
(b) orders to vary the effect of s 443E(5) of the Corporations Act 2001 (Cth) (Act); and
(c) directions that the administrators would be justified and acting reasonably in entering into and drawing down on the Funding Deed.
(a) an affidavit of Robert Michael Kirman, one of the administrators; and
(b) an affidavit of Michael Richard Crommelin, a solicitor employed by the plaintiffs' solicitors.
(a) cash at bank - nil;
(b) trade debtors - an estimated book value of $280,000; and
(c) plant and equipment - a net book value of $10.7 million, although one of the directors has informed the Administrators they believe this has an approximate realisable value of between $4.4 and $5.4 million.
Should orders be made to relieve the first plaintiff from personal liability?
(a) The plaintiffs have entered into the Funding Deed in their capacity as administrators of the Company.
(b) Unless orders are made by the court under s 447A of the Act in the terms sought, the Funding Deed will terminate.
(c) ANZ will make funding of $700,000 available to the Administrators, with an initial drawdown of $100,000.
(d) The interest rate on the amount outstanding under the loan is the Bank Bill Swap Yield.
(e) The Funding Deed sets out what the funds can be used for, as well as the provisions for repayment of the loan funds.
Should directions be given for approval to enter in the Funding Deed?
(a) The power to give advice is intended to facilitate external administrators' performance of their functions and should be interpreted widely to give effect to this purpose.
(b) The court may give a direction where it is just and beneficial to do so.
(c) The function of the power is to give an external administrator advice as to the proper course of action to take in an external administration.
(d) The court will not give directions as to a matter of commercial or business judgment. There must be a legal issue of substance or procedure, including an issue of power, propriety or reasonableness.
(e) The power will generally not be used to determine substantive rights and make binding orders, although it is possible to do so if the necessary parties are before the court.
I certify that the preceding paragraph(s) comprise the reasons for decision of the Supreme Court of Western Australia.
