(This judgment was delivered extemporaneously and has been edited from the transcript to include references, headings and to correct matters of grammar and expression.)
(a) two affidavits of Melissa Jane Catto, a lawyer employed by the plaintiff's solicitors, filed 3 and 6 February 2026;
(b) an affidavit of Aaron Philip Gates filed 5 February 2026. Mr Gates is a manager at Automic Group and has undertaken the role of chief financial officer of Celsius since August 2025;
(c) an affidavit of Neil Grimes filed 5 February 2026. Mr Grimes has been an executive director of Celsius since June 2025, and was appointed as a director on 17 March 2025; and
(d) an affidavit of Kelly Anne Davis filed 5 February 2026, who is the current company secretary of Celsius, having been in that position since 2023.
(a) I infer that BDO gave notice of its intention to resign as auditor of Celsius prior to the 2011 annual general meeting.
(b) The consent of ASIC was not sought to the resignation, nor was the requisite form lodged with ASIC within 14 days.
(c) At the 2011 AGM, the shareholders of Celsius resolved to appoint RSM as auditor. The appointment of RSM was done in compliance with s 327B of the Act.
(a) the proposed validation orders are framed in a declaratory form;
(b) the act, matter, or thing has been identified; and
(c) the contravention has been identified.
Will making the orders cause any substantial injustice?
Should the court exercise its discretion to grant the relief sought?
Should orders be made to relieve Celsius from civil liability?
I certify that the preceding paragraph(s) comprise the reasons for decision of the Supreme Court of Western Australia.
