Bayin Pty Ltd as trustee for EAD Family Trust (applicant)
The Body Corporate for Hive The Gap (respondent)
Body Corporate and Community Management Act 1997 (Qld), sections 227(1) and 229(3)(a)
REASONABLENESS - COMPLEX DISPUTE - CONTRACTUAL MATTER - JURISDICTION - The body corporate resolved at its annual general meeting to execute a deed to extend the term of the applicant's caretaking service contractor agreement by a further 5 years. The motion provided for the deed to be executed in substantially the same form as the draft annexed to the meeting papers. The committee executed the deed but struck out words which would warrant that the meeting was held in full compliance with the legislation because it received legal advice that the meeting was not called in full compliance with the legislation. The applicant seeks an order that the body corporate execute the deed without that amendment.
The questions are whether: (a) the committee acted unreasonably by amending the warranty clause in circumstances where the AGM has not been formally invalidated; (b) the committee failed to properly implement the resolution; and (c) on a proper characterisation of the dispute, it is a complex dispute about a contractual matter and therefore beyond an adjudicator's jurisdiction.
Body Corporate and Community Management Act 1997 (Qld): ss 94(2), 100(5), 229(2)
1. That the Body Corporate Committee be required to immediately execute the caretaking top-up agreement, as validly passed at the AGM.
2. That the Committee's refusal to execute the agreement be declared a breach of their statutory duties.
3. That the Body Corporate reimburse the applicant for application fees and reasonable legal costs incurred.
2.4 The Body Corporate warrants that it has at general meeting, by secret ballot, without the use of proxies and in compliance in all respects with the requirements of the Act and the applicable Regulation Module, resolved to vary the Agreement in accordance with this Deed and to enter into this Deed.
AND THAT the body corporate enter into a deed of variation of such management and letting agreement on substantially the same terms and conditions as those in the deed of variation circulated with this motion and that the common seal of the body corporate be affixed to the said deed of variation by the secretary and any member of the committee or any two members of the committee or the secretary acting alone. A BCCM form 20 is attached to this motion as required by the Body Corporate and Community Management Act 1997.
AND THAT the body corporate enter into a deed of variation of such management and letting agreement on substantially the same terms and conditions as those in the deed of variation circulated with this motion and that any two members of the body corporate committee execute the said deed of variation on behalf of the body corporate.
contractual matter, about an engagement or authorisation of a body corporate manager, service contractor or letting agent, means - > > (a) a contravention of the terms of the engagement or authorisation; or > > (b) the termination of the engagement or authorisation; or > > (c) the exercise of rights or powers under the terms of the engagement or authorisation; or
(d) the performance of duties under the terms of the engagement or authorisation.
[1] I have proceeded on the basis the applicant intended to say section 94(2), which requires a body corporate to act reasonably.
