CWDS Corporations - companies code - contravention - damages in lieu of injunction - the plaintiff, a trustee for the holders of debenture stock, sued a former director of a "borrowing corporation" for damages alleging breaches of the duty to furnish to the plaintiff true and accurate reports of the financial position of the corporation pursuant to s158 of the Companies (South Australia) Code ("the Code") (s1324 of the Corporations Law) - the plaintiff did not seek an injunction, but relied on s574(8) of the Code, which creates a jurisdiction where there is power to grant an injunction "either in addition to or in substitution for the grant of the injunction" to order a person to pay damages to any other person - held by analogy with Lord Cairns Act that the words "in addition to or in substitution for the grant of the injunction" identified a situation where an injunction was sought, and if no injunction was sought, there was no power to order damages pursuant to the section - furthermore, held that the subsection did not create a right to damages where such a right did not otherwise exist.
