This matter was relisted today because the parties could not reach agreement on the form of undertaking which I described in paragraphs [6] and [7] of the brief judgment I delivered on 5 June 2026, in relation to a stay of my orders pending a possible appeal (see Dexus Capital Investment Services Pty Ltd v Australia Pacific Airports Corporation Limit**ed (No 2) [2026] NSWSC 648).
I conveyed to the parties the form of orders I envisaged, but it found favour with none of them. It seems to me that if my judgment stands, there is nothing to prevent the implementation of the machinery in the agreement; but if that machinery is implemented and any appeal subsequently succeeds, the risk of implementation simply lies with the presently successful parties. That is just a fact of commercial life.
In the circumstances, I consider that there should be no stay and that the principal judgment should take its effect, which will be subject to the risks and rewards which might eventuate respectively in the event of the failure or success of an appeal (if there is one).
All Injunctions presently on foot are dissolved.
